INVITATION FOR BIDS

SECTION –I

1.0 For and on behalf of the NESCO Utility, the undersigned invites bids in two part bidding system in sealed cover in duplicate duly super scribed with Tender Specification no.and date of opening – Dt 12.08.2016 from the eligible bidders for“Operation & Maintenance including Watch & Ward and House keeping works of 33/11KV Electrical Sub-stations” on Work Contract basis for Balasore Circle under NESCO Utility.

The following works are to be carried out in the 33/11KV Substation during

the period of the Contract by the Tenderer / Service Provider under the guidance and control of Officer-in-charge of the Electrical Sub-station.

A. OPERATIONAL ASSISTANCE RELATING TO THE OPERATION OF

THE ELECTRICAL SUB-STATIONS : i. All operations are to be carried correctly and accurately and are to be

recorded in the Log-book. ii. Shall prepare daily reports in the prescribed proforma and submit the

same to concerned officers. iii. Shall be alert and attend to all operation and event promptly without any

delay. iv. Recording of the readings at periodical intervals including Feeder

Metering Points as specified by Officer-in charge of Electrical Sub- station and maintain them in the log book.

v. They will maintain the Operation Register for recording all the operations of Breakers, details of L.C. issued and other events that occur in the order of sequence with the time of occurrence correctly in respect of electrical operation.

vi. They will record all the data in the Log-Book in hourly basis. vii. Up-dating of interruption registers, Telephone Call Register, Data Book,

Battery Register, Register of Inspection of Jumpers. Apart from the above, the Service Provider shall carry out the routine checks during the Contract period daily.

viii. Shall follow strictly operating instructions given by Officer-in charge to carry out the operations like charging CBs and other equipments, issue of LCs to be authorized person etc. and follow the SOP(Standard Operating Procedure) during Line Clearance,

ix. Must attend to all emergencies that may arise during the contract period such as equipment failures, fire accidents etc. & shall get acquainted with all the operations such as isolating transformers and other equipment etc.,

x. Shall attend to all telephone calls and issue receipt message promptly xi. Must observe all safety precautions as envisaged in the CEA Regulation

2010(Measures relating to safety & electricity supply) & observe all applicable regulations regarding safety at site and ensure safety to man and material and the equipment during the contract period.

xii. Shall be held responsible for the equipment and other materials kept at the Switchyard & Control room area. Shall also be responsible for watch & ward and house keeping of the 33/11 KV Electrical sub-station areas.

xiii. Shall be held responsible for any damages that occur due to defective/improper operation of equipment as well as non implementation of right operation of the equipments and shall make good the loss occurred by NESCO Utility.

xiv. The Operator/Labourer should not do continuous shift duties. xv. The Service Provider is responsible for maintenance of 33/11

KV Electrical S/S.

B. TRANSFORMERS : 1. Checking of oil level in conservator and temperatures of oil and winding and bushings and also examine for leaks. 2. Checking un-usual internal noises. 3. Checking relief diaphragm for cracks. 4. Checking and renewal of HG Fuses and Section Fuses of Station

Transformer. 5. Shall check the condition of silica gel and record in the Log Book. 6. Shall record hourly readings of temperature of oil and winding in the

log book 7. Release of Gas from Buchhloz relay when required

C. 33/11 KV BREAKERS: Checking of healthiness of trip circuits, SF-6 Gas pressure, pneumatic and hydraulic pressures and its leakage, if any, and other works specified by the Officer of NESCO Utility.

D. SWITCH YARD: Checking of the Yard at hourly intervals and note down any unusual observations, defects, sparks, loose contracts, red hot spots, jumpers, abnormalities detected in the equipments and loose bolts & nuts and earthing etc., and informing the concerned officers of NESCO Utility.

E. BATTERIES: 1. Taking specific gravity and voltage of pilot cells daily during morning shift and for all cells weekly once observation shall be recorded in the log book. 2. Checking of DC Earth leakage, contactors etc. and top up distilled water when required.

F. EARTH PITS: All the earth pits are to be watered daily.

G. GENERAL VISUAL CHECKS/ MAINTENANCE: To be carried out in each shift, as per operating instructions given by the concerned Officer and as per the Tender Specification.

H. Any other minor works as per scope of work allotted by the concerned maintenance Officer-In-charge of NESCO Utility at site.

I. Shall report to the concerned Officer of NESCO Utility on important occurrences of Breakdowns and defects observed. The above works are to be done by the Service Provider. This does not constitute a part of special maintenance.

J. Watch & Ward and House-keeping of the Electrical Sub-station is the responsibility of the Service Provider.

K. Surroundings of the Control Room should be kept clean daily and small flowering plants may be planted around the control room to have better landscape.

2.0 Submission of the Bids:

2.1 The bidding for “O&M of 33/11KV Electrical Substations” shall be done for Balasore Circle. Bidders are free to participate with requisite Tender cost & EMD has to be furnished along the bid.

2.2 The bidders are required to submit a detailed and comprehensive bid, consisting of Technical and Commercial Proposal and conditions /schedule of non-compliance, if any and the Price Bid. The submission of the Bids shall be in the manner specified in the instruction to Bidders. The due date of submission shall be 12.08.16 upto 3.00 PM.

3.0 NESCO will not be responsible for any costs or expenses incurred by bidders in connection with the preparation and delivery of bids.

3.1 NESCO reserves the right to cancel, postpone, withdraw the invitation for Bids without assigning any reason thereof and shall bear no liability whatsoever consequent upon such a decision if the situation so warrants.

5.0 5.1

QUALIFICATION OF BIDDERS: QUALIFYING REQUIREMENT

1. The participant Bidder(s) should be a registered Sole Proprietor /Firm/Organization possessing valid HT Electrical License from the ELBO, Govt. of Odisha

2. The Bidder should possess the followings:

i. EPF Code No. ii. ESI Code No. iii. Service Tax Registration No. iv. PAN No. v. TIN No.

vi. Registration Number of the Sole Proprietor/Firm/Organization.

3. 3. The bidder(s) shall have successfully maintained O & M of minimum 05(Five)

Nos. of 33/11 KV Electrical sub-stations for a period of 2(Two) years contract for any Distribution Utility/Reputed Organization within last 5(Five) years prior to dt.30.06.16.

4. 4.The Bidders shall have to furnish Work Performance Certificates from the respective ordering Authorities indicating period of Contract towards successful maintenance of 33/11KV sub-stations & compliance of statutory obligations e.g. EPF, ESI during undertaking O & M of 33/11KV Electrical Sub-stations.

5. 5. The bidder(s) shall have technically qualified (ITI - Electrician) persons with Workman-HT License or above issued by ELBO, Govt. of Odisha in shift duties round the clock for O&M including Watch & Ward and House Keeping Works of 33/11 KV Electrical Substations duly in compliance with Labour Acts/Laws.

6. 6. The average annual turnover of the participant bidder(s) for last three years shall be Rs.70.00 Lakhs .The bidder must furnish self attested Audited Annual Accounts for last Three Years.

7. 7. The intending bidder(s) shall furnish the documentary evidence pertaining to the above qualifying criteria else their bid shall be rejected outright.

8.The bidders should produce documents in respect of depositing EPF contribution/ ESI Contribution for his existing employees not less than at least Thirty Five persons (both technical & non technical person of same type job) for the works carried out by himself in other utility prior to it. Those bidders who have executing the same work in NESCO Utlity, must have to produce documents in respect of depositing EPF contribution/ ESI Contribution for his existing employees.

9. The bidders should produce documents in respect of depositing Salary in the Employees A/c for his existing employees not less than at least Thirty Five persons (both technical & non technical person of same type job) for the works carried out by himself in other utility prior to it. Those bidders who have executing the same work in NESCO Utlity, must have to produce documents in respect of depositing Salary in the Employees A/c for his existing employees.

1 0 . NESCO Utility reserves the right to reject all or any tender without assigning any reason at any time and at any stage.

11. In the interest of work, the NESCO Utility reserves the right to relax any terms and conditions without affecting the quality & price of the equipments.

INSTRUCTION TO BIDDERS (ITB).

1.0 DISCLAIMER:

1.2 Neither NESCO Utility nor its employees will have any liability whatsoever to any

Bidder or any other person under the law or contract, the principles of restitution or unjust enrichment or otherwise for any loss, expense or damage whatsoever which may arise from or be incurred or suffered in connection with anything contained in this Document, any matter deemed to form part of this Document, provision of Services and any other information supplied by or on behalf of NESCO Utility or its employees, or otherwise arising in any way from the selection process for the Supply / provision of Services for the Project.

1.3 Though adequate care has been taken while issuing the Bid document, the Bidder

should satisfy him self that documents are complete in all respects. Intimation of any discrepancy/ doubt shall be sent to the NESCO Utility address for speedy response.

1.4 This document and the information contained herein are Strictly Confidential and are

for use of only the person (s) to whom it is issued/ downloaded from the website. It may not be copied or distributed by the recipient to third parties (other than in confidence to the recipient’s professional advisors).

2.0 COST OF BIDDING:

2.1 The Bidder shall bear all costs associated with the preparation and submission of its Bid and NESCO Utility will in no case be responsible or liable for those costs. 3.0 BIDDING DOCUMENTS:

3.1 The Scope of Work, Bidding Procedures and Contract Terms are described in the

Bidding Documents. In addition to the covering Letter accompanying Bidding Documents, the Bidding documents include:

(a) Invitation of Bids (IFB) - Section –I (b) Instruction to Bidders (ITB). ( c) General Terms and Conditions of Contract (GTCC) (d) List of Annexure

3.2 The Bidder is expected to examine the Bidding Documents, including all Instructions, Forms, Terms and Specifications. Failure to furnish all information required in the Bidding documents or submission of a Bid not substantially responsive to the Bidding Documents in every respect will / may result in the rejection of the Bid.

4.0 AMENDMENT OF BIDDING DOCUMENTS:

4.1 At any time prior to the deadline for submission of Bids, the NESCO Utility may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective Bidder, modify the Bidding Documents by way of issuing an addendum.

4.2 The Amendment/ Addendum shall be part of the Bidding Documents, pursuant to

Clause 4.1, and it will be binding on the bidders.

4.3 In order to afford prospective Bidders reasonable time in which to take the amendment into account in preparing of their Bids, NESCO Utility may, at its discretion, extend the deadline for the submission of Bids.

5.0 LANGUAGE OF BID:

The Bid, prepared by the Bidder, and all correspondence and documents relating to the Bid exchanged by the Bidder and the NESCO Utility, shall be written in the English Language. Any printed literature furnished by the Bidder may be written in another Language, provided that the literature is accompanied by an English translation, in which case, for purposes of interpretation of the Bid, the English translation shall govern.

6.0 DOCUMENTS COMPRISING THE BID:

6.1 The Bid prepared and submitted by the Bidder shall comprise of two parts i.e.

Part-I (Techno-Commercial Bid), & Part-II (Price Bid) as detailed below. Each part shall contain Original & duplicate bids separately.

(A) The Part-I (Techno-Commercial Bid) must contain the following documents:

(a) Bid Document signed by the bidder in every page, all other Schedules / Formats enclosed in the Bid-Document (i.e. Annexure- III, IV, V, VI, VII, VIII, IX) duly filled in & signed by the bidder with seal in a separate envelop super scribed as Techno Commercial Bid. Bids containing information in formats other than our prescribed formats shall not be acceptable and may make the bid non-responsive. (b) Requisite Tender Cost & Earnest Money Deposit (E.M.D) (c) Documentary evidence establishing qualifying Criteria.

(B) Part-II (Price Bid) :

The Price Bid shall contain the price schedules as per the prescribed format enclosed as (Annexure-I & II) duly filled in & signed by the bidder with seal.

(This shall be submitted in a double sealed envelope separately duly superscribed as “Price Bid”)

6.2 The Bid document duly completed in all respects shall be dropped in the “Tender Box”

kept at NESCO Utility, Head Office, Januganja, Balasore-756019. The sealed envelope containing filled in Tender Paper must be superscripted with “Tender Number & Name of the work”.

7.0 E.M.D:

7.1 The bidder shall submit E.M.D as a part of the bid in the prescribed manner for the amount mentioned in the tender documents. The bids without E.M.D shall be rejected outright.

7.2 The E.M.D is required to protect the NESCO Utility against the risk of bidder’s

conduct, which would warrant the security’s forfeiture.

7.3 The E.M.D shall be in the following form:

E.M.D in the form of a A/C Payee Demand Draft in favour of the ‘Administrator, NESCO’ Utility issued by a Nationalised /Scheduled Bank payable at Balasore only.

7.4 Unsuccessful bidder’s E.M.D shall be refunded back as promptly as possible, but not

later than thirty (30) days after the expiry of the period of bid validity & it will not carry any interest. The successful bidder’s E.M.D shall be discharged upon furnishing of the performance security.

7.5 No adjustment of any previous deposit or any amount payable from the owner (NESCO Utility) shall be entertained for EMD. EMD amount so deposited shall not carry any interest payable to the bidder.

7.6 The E.M.D may be forfeited due to following reasons:

7.7

i) If the bidder withdraws bid during the period of bid validity specified by the bidder in the bid form. ii) In case the successful bidder fails to give his acceptance or to sign the contract in specified time and / or fails to submit the requisite performance Bank guarantee, after execution of contract within specified time frame. iii) If the bidder does not engage the labour ( to be engaged under the Works Contract) within stipulated time on issuing of the direction by the Officer In-charge of NESCO Utility. (iv) When the successful bidder does not accept the order after issue of letter of intent or acceptance letter. v) When the bidder alters his prices or withdraws his offers during the validity period.

8.0 BID PRICE:

8.1

Bidders have to quote price strictly as per the enclosed format in ANNEXURE-II. The total Bid Price shall also cover all the Service Provider’s obligations mentioned in or reasonably to be inferred from the Bidding Documents in respect of Operation & Maintenance including Watch & Ward and House Keeping works of 33/11KV Electrical Sub-stations on work Contract basis”, all in accordance with the requirement of Tender Documents. The Bidders shall indicate the rate quoted for Supervision & Administrative Charge per sub-station per month clearly. The Bidder shall complete the appropriate Price Schedules enclosed herein at ANNEXURE-II, stating the Unit Price for each item, all other liveable taxes & duties & insurance separately and thereby arriving at the total amount. However, the rates quoted by the bidders shall comply with the provisions of the Minimum wages Act and all other Acts as on the date of opening of the Tender.

8.3 The Price offered shall be inclusive of all costs as well as Duties, Taxes and Levies

paid or payable during implementation of the contract. 8.4 Prices quoted by the Bidder shall be “Firm” and not subject to any price adjustment

during the period of the Contract.

A Bid submitted with variable Price / an adjustable price / conditional offer / not as per the enclosed format shall be treated as non-responsive and rejected outright.

9.0 CONTRACT PRICE:

9.1 The Prices quoted for the Contract shall remain FIRM as per the above Parameters and

NESCO Utility shall not compensate Bidder for any variations during the period of contract. However, any statutory variation in the rates , taxes & duties within the contract period shall be borne by the NESCO Utility.

10.0 BID CURRENCIES:

10.1 Prices shall be quoted in Indian Rupees Only.

11.0 DOCUMENTS ESTABLISHING CONFORMITY TO THE BIDDING DOCUMENTS:

11.1 The bidder shall submit documentary evidences establishing conformity to the Bidding Documents. 12.0 PERIOD OF VALIDITY OF BIDS:

12.1 Bids shall remain valid for one year from the date of opening of Bids.

12.2 Notwithstanding Clause 12.1 above, the NESCO Utility may solicit the Bidder’s

consent to an extension of the Period of Bid Validity. The request and the responses thereto shall be made in writing or by Fax.

13.0 ALTERNATIVE BIDS:

13.1 Bidders shall submit Bids, which comply with the Tender Documents. Alternative

bids shall not be considered for evaluation. 14.0 ONE BID PER BIDDER:

14.1 Each Bidder shall submit Bid by himself only. A Bidder in a Joint Venture/Consortium

shall not be allowed to participate in the tender. 15.0 LATE BIDS: 15.1 Any Bid received by the NESCO Utility after the deadline for submission of Bids prescribed by the NESCO Utility, will be declared “Late” and will be rejected outright and will be returned unopened to the Bidder. 16.0 MODIFICATION AND WITHDRAWAL OF BIDS: 16.1 The Bidder may modify or withdraw his Bid after the Bid’s submission, provided that written notice of the modification or withdrawal is received by the NESCO Utility prior to the deadline prescribed for submission of Bids.

16.2 The Bidder’s modification or withdrawal notice shall be prepared, sealed, marked anddispatched in accordance with the provisions of tender. A withdrawal notice may be sent by fax but must be followed by an original signed confirmation copy. 16.3 No Bid can be modified subsequent to the deadline for submission of Bids.

16.4 No Bid can be withdrawn in the interval between the deadline for submission of Bids

and the expiry of the period of Bid validity specified by the Bidder on the Bid form. 17.0 EVALUATION OF BID: 17.1 PROCESS TO BE CONFIDENTIAL:

Information relating to the examination, clarification, evaluation and comparison of Bids and recommendations for the award of a contract shall not be disclosed to Bidders or any other persons not officially concerned with such process. Any effort by a Bidder to influence the NESCO Utility’s processing of Bids or award decisions may result in the rejection of the Bidder’s Bid.

18.0 CLARIFICATION OF BIDS:

To assist in the examination, evaluation and comparison of Bids, the NESCO Utility may, at its discretion, ask the Bidder for a clarification of its Bid. All responses to requests for clarification shall be in writing and no change in the price or substance of the Bid shall be sought, offered or permitted.

19.0 PRELIMINARY EXAMINATION OF BIDS / RESPONSIVENESS:

19.1 NESCO Utility will examine the Bids to determine whether they are complete,

whether required sureties have been furnished, whether the documents have been properly signed, and whether the Bids are generally in order.

19.2 A Bid determined as not substantially responsive will be rejected by the NESCO

Utility and will not subsequently allowed to be made responsive by the Bidder by correction of the non – conformity.

20.0 EVALUATION AND COMPARISON OF BIDS: 20.1 The evaluation of Bids shall be done basing on the quoted total price on

competitiveness basis for the circle. The bid of a bidder shall not be considered for evaluation who has been awarded the operation contract works in any other two Circles under NESCO Utility .

20.2 The evaluation of the Bids shall be a stage-wise procedure. The following stages are

identified for evaluation purposes:

In the first stage, the Bids would be subjected to a responsiveness check as detailed in the Qualifying requirement. The Technical Proposals and the Commercial terms & conditions of the Bidders would be evaluated.

Subsequently, the Financial Proposals of Bidders of the qualifying bidder(s) shall be considered for evaluation. However, NESCO Utility will make his own assessment of the cost of any deviation for the purpose of ensuring fair comparison of Bids.

21.0 AWARD OF CONTRACT:

21.1 In normal circumstances the NESCO Utility will generally award the Contract to the successful Bidder whose Bid has been determined to be the lowest evaluated responsive Bid, provided further that the Bidder has been determined to be qualified to perform the Contract satisfactory.

21.2 If the lowest evaluated price (L1) of more than one responsive bidder(s) is same, then in such event the CONTRACT shall be awarded on proportional basis to their previous experience pertaining to Number of Sub-Stations maintained during last three years.

21.3 However, for better & effective performance, NESCO Utility may be distributed the Outsourcing of Sub-Station works among the bidders (maximum three) at L1 rate and awarded operation contract ratio shall be 55% (L1) : 45% (L2&L3) of total no. of sub-station of the circle or quantity offered/ quoted by the bidders whichever is less.

In case L2 & L3 bidders does not agree to match the L1 prices, negotiation can be held with other techno-commercially responsive L4, L5 …….bidders in sequence to match L1 price . 21.4 A bidder shall not be awarded the Outsourcing of Sub-Station work who has been already obtained and continue the operation contract work in any other 2 nos. Circle under NESCO Utility.

22. THE NESCO’S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL

BIDS OR TO RELAX ANY TERMS AND CONDITIONS: 22.1 NESCO Utility reserves the right to accept or reject any Bid and to annul the Bidding

process and reject all Bids at any time prior to award of Contract, without thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform the affected Bidder or Bidders regarding the grounds for the NESCO Utility’s action.

22.2 In the interest of work, the NESCO Utility reserves the right to relax any terms and

conditions without affecting the quality & price of the equipments. 23. 0 THE NESCO Utility’s RIGHT TO VARY QUANTITIES:

The NESCO Utility reserves the right to vary the quantity i.e. increase or decrease the number of Sub- Station work assignment without any change in terms and conditions at the time of placing the orders or during the execution of the Contract.

24.0 NOTIFICATION OF AWARD & CONTARCT AGREEMENT:

The Notification of Award shall be issued to the successful Bidder(s), whose bid(s) have

been considered responsive, techno-commercially acceptable and evaluated to be the Lowest (L1). The successful Bidder shall be required to furnish a letter of acceptance to it within 7 days of issue of the Notification of Award by NESCO Utility.

25.0 PERFORMANCE BANK GUARANTEE:

25.1 Within 15 days of the signing of the Contract Agreement, the successful Bidder shall furnish the Performance Security in the form of Bank Guarantee executed on non-judicial stamp paper worth Rs.100/- (Rupees One hundred only) issued by a Scheduled Sector Bank in favour of the ‘Administrator, NESCO Utility’ en-cashable at Balasore only for an amount of 10% (ten percent) of the total Contract Price in accordance with the p rescribed Performance Security Format to be provided by NESCO Utility.

The Bank Guarantee shall be valid for a period not less than 90 days over and above the contract period.

Failure to furnish the PBG within the due date, contract shall be cancelled and necessary EMD shall be forfeited.

The successful Bidder shall be required to sign Contract Agreement with NESCO Utility as per the format enclosed within next 7 days of the acceptance of the Notification of Award.

26. CORRUPT OR FRAUDULENT PRACTICE:

26.1 The NESCO Utility requires that the Bidders observe the highest standard of ethics

during the execution of the Contract. In pursuance of this policy, the NESCO Utility:

a) Defines, for the purposes of this provision, the terms set forth below as follows:

(i) “Corrupt practice” means behavior on the part of officials in the public or private sectors by which they improperly and unlawfully enrich themselves and/ or those close to them, or induce others to do so, by misusing the position in which they are placed, and it includes the offering, giving, receiving, or soliciting of anything of value to influence the action of any such official in contract execution; and

(ii) “Fraudulent practice” means a misrepresentation of facts in order to

influence the execution of a contract to the detriment of the NESCO Utility, and includes collusive practice amount Bidders (prior to or after Bid submission ) designed to establish Bid prices at artificial non-competitive levels and to deprive the NESCO Utility of the benefits of free and open competition.

b) NESCO Utility will reject a proposal for award if it determines that the Bidder

recommended for award has engaged in corrupt or fraudulent practice in competing for the contract in question.

c) NESCO Utility will declare a firm ineligible, either indefinitely or for a stated period of

time, to be awarded an contract if he at any time determines that the firm is engaged in corrupt or fraudulent practice in competing for, or in executing, the Contract.

26.2 Furthermore, Bidders shall be aware of the provision stated in the General Terms and Conditions of Contract.

27.0. LITIGATION HISTORY:

The Bidder should provide accurate information on any litigation or arbitration resulting on contracts completed or under execution by him over the last three (3) years. A consistent history of awards involving litigation against the Bidder may result in disqualification of Bid.

GENERAL TERMS AND CONDITONS OF CONTRACT (GTCC)

SECTION –III

1. GENERAL INFORMATION:- 1.1 NESCO Utility invites sealed Tenders from H.T Electrical contractors with required

license & experiences for Operation & Maintenance including Watch & Ward and Housekeeping Contract of 33/11KV primary Sub-stations, which are required for trouble free electricity supply in the respective area s u p p l y of NESCO Utility .

1 .2 The title of the work briefly indicates the work requirement. In order to get completely familiarized with the conditions and work requirement, prospective bidders are advised to visit the sites before quoting the rates.

1.3 NESCO Utility will permit access to all concerned areas of Sub stations to contractor’s personnel. Use of facilities wherever available like local telephone (for official use only), vehicle parking to operational staff deployed by contractor etc., shall be provided by NESCO Utility free of cost.

1.4 All the Bids shall be prepared and submitted in accordance with these instructions. 1.5 Bidder shall bear all costs associated with the preparation and delivery of its Bid,

and NESCO Utility will in no case shall be responsible or liable for these costs. 1.6 The Bid should be submitted by the Bidder in whose name the bid document has

been issued and under no circumstances it shall be transferred / sold to the other party.

1.7 The Purchaser reserves the right to request for any additional information and also reserves the right to reject the proposal of any Bidder, if in the opinion of the Purchaser, the data in support of Tender requirement is incomplete.

1.8 The Bidder is expected to examine all instructions, forms, terms & conditions and specifications in the Bid Documents. Failure to furnish all information required in the Bid Documents or Submission of a Bid not substantially responsive to the Bid Documents in every respect may result in rejection of the Bid. However, the NESCO Utility’s decision in regard to the responsiveness and rejection of bids shall be final and binding without any obligation, financial or otherwise, on the Purchaser.

2.0 CONTRACT RATES : The rates shall be quoted per 33/11 KV sub-station per

month & must be applicable for all sub stations under a circle and shall be FIRM and inclusive of service tax and all other applicable taxes & charges.

2.1 The bidder shall quote rates both in figures and words. He shall also workout the

amount for each item of work and shall write both in figures and words.

2.2 The rates quoted should be inclusive of all taxes, duties & levies applicable on the last date of receipt of the tenders. In case any additional tax / duties becomes leviable

subsequently or if the percentage of any existing tax / duty is increased, then NESCO Utility shall reimburse the additional component of the taxes / duties to the contractor on submission of satisfactory documentary evidence to prove that the tax is actually paid by the contractor to the respective Govt. agencies. The necessary deductions on account of income tax, service tax etc. will be deducted at source, if applicable as per Govt. rules from the bills submitting by the service provider and necessary TDS certificate will be issued. Similarly any increase in the Minimum Wage by Govt.; of Orissa shall also be compensated to the contractor, subject to proof of payment of such additional wages by the Contractor.

2.3 Before tendering, the bidder shall inspect the site to fully acquaint himself about the

condition in regard to accessibility of site, nature and extent of ground, working condition of site and locality including stocking of materials, installations of tools and plants (T&P) etc., conditions affecting accommodations and movement of labour, etc., required for the satisfactory execution of the contract. No claim whatsoever on such account shall be entertained by the NESCO Utility under any circumstances.

3.0 EARNEST MONEY DEPOSIT (EMD) :

3.1 The Earnest Money amounting to Rs.100000/- by A/C Payee DD drawn in favor of

Administrator , NESCO Utility payable at Balasore , should accompany the tender in separate envelope along with commercial & technical bid. Part Tenders received without earnest money will be invalid.

3.2 NESCO Utility do not bind itself to accept the lowest tender or any tender and

reserves the right of accepting the whole or any part of the tender and the bidder shall be bound to perform the same at the rates quoted.

4. PERIOD OF CONTRACT:

4.1 The Period of Contract shall be initial ly for a period of one year starting from the date of handing over of substation under contract or date of agreement whichever is later. The detailed LOI/ Work orders will be placed indicating the name of 33/11 S/S, financial commitment and procedure of making payment after due verification & passing the bills and ensuring compliance / observance of statutory requirement.

4.2 NESCO Utility reserves right to extend the contract period with the same Contract Rate, Terms and Conditions, which shall be binding to the Service Provider. 4.3 NESCO Utility reserve the right to terminate the contract without assigning reasons when the contract is not required during the period of contract by giving one month notice in writing and no compensation will be paid for the balance period of contract.

4.4 The contract will be liable for termination at any time during the period of contract and without liability for the balance period if the work is not carried out satisfactory in accordance with the rules in vogue and on non-fulfillment of the terms and conditions of the contract.

5. AGREEMENT The Service Provider should enter into an agreement within 30days from the date of issue of the Order on Non-judicial Stamp Paper of Rs.100/-(Rupees one hundred) only as per enclosed format ANNEXURE-A herewith. During signing the Contract Agreement the successful bidder has to produce an affidavit in a non judicial stamp paper worth Rs.100/- (Rupees one hundred only) to the effect that neither the workers so deployed through outsourcing in NESCO Utility nor the bidder himself would claim any employment in NESCO Utility due to such deployment through outsourcing contract job.

6. PERFORMANCE SECURITY DEPOSIT :

6.1 Within 15 days of the signing of the Contract Agreement,the successful Bidder shall have to furnish Performance Security in the form of Bank Guarantee executed on non-judicial stamp paper worth Rs.100/- (Rupees one hundred) only issued by a Nationalised/ Scheduled Bank in favour of NESCO en-cashable at Balasore only, for an amount of 10% (ten percent) of the total Contract Price (One year Contract Value) in accordance with the prescribed Performance Security Format to be provided by NESCO Utility. The Bank Guarantee shall be valid for a period not less than 90 days over and above the initial contract period. In case of Failure to furnish the PBG within the due date the contract shall be liable for cancellation along with forfeiture of EMD. The security deposit shall be forfeited if Service Provider does not fulfill/execute the work as per the Terms and Conditions of the Job Contract.

The Security Deposit amount shall remain with NESCO Utility till the end of contract plus additional three months and shall not bear any interest and shall be liable for forfeiture in case of the breach of any terms and conditions of the Contract.

6.2 The Earnest money already deposited shall be refunded after receipt of Performance Security Deposit.

6.3 The contractors, to whom the work is awarded shall have to execute an

indemnity bond in favour NESCO Utility , thereby indemnifying the authorities and staff of NESCO Utility against theft, loss of material, damages of any kind to the plant and installations, damages to buildings and appurtenances due to any mishandling/mistakes in operation and maintenance, as this will be the sole responsibility of the contractor and to be made good by the contractor at his own risk and cost. The contractor is also to declare in the indemnity bond that he/his firm/his partners shall be held fully responsible for any damages due to fire caused by any mishandling, mal-operation, or improper maintenance and replacement of materials of electrical

installation, air-conditioning plant and connected installations and that all such damages will be made good by him/his firm/his partners at his/their own risk and cost.

6.4 All procedures either technical or security measures as followed in NESCO

Utility for all contractors shall be followed in the case of this contract also. 6.5 The conditions beyond its reasonable control such as, but not limited

to, war, strikes, fires, Flood, governmental restrictions or power failures, damages etc, shall not be deemed a breach of the contract.

6.6 Except where otherwise provided in the contract, all questions and disputes

relating to the meaning of the specification, and instruction herein before mentioned and as to the quality of the materials, services as to any question, claim, right, matter or thing whatsoever, in any way arising out of or relating to the contract, specifications, estimates, instructions, orders or these conditions or otherwise concerning the works, or the execution of the same whether arising during the process of the work or after the completion or abandonment thereof shall be referred to arbitration in accordance with the Arbitration and Conciliation Act,1996 or any statutory modification or reenactment thereof for the time being in force. The place of arbitration shall be Balasore. The arbitral procedure shall be conducted in English language and any award or awards shall be rendered in English. The procedural law of the arbitration shall be Indian law. The award of the arbitrator shall be final and conclusive and binding upon the parties. The cost of the arbitration shall be borne by the parties in equal proportion.

7.0 GENERAL REQUIREMENTS: 7.1 The Service Provider shall be responsible & shall comply with the

provisions of all statutory Acts i.e. Electricity Act 2003, Indian Electricity Rules 1956, Income Tax Act-1961 etc.

7.2 The Service Provider shall indemnify NESCO Utility against all claims which may be made under all the Labour Laws of the Land including the Workmen’s Compensation Act or any statutory modification thereof or rules there-under or otherwise for in respect of any damage of compensation payable in consequence of any accident or injury sustained by any workmen engaged in the performance of the business relating to this Work Contract. In all cases of personal injury to workmen employed by the Service Provider on the works for which the Service Provider is liable to pay compensation under the Workmen’s Compensation Act. The Service Provider shall pay the prescribed medical fee to the Medical Officer or any other fee or charge payable.

7.3 The Service Provider shall indemnify NESCO Utility against all claims which may be made under the Minimum Wages Act, 1948, Abolition of Child Labour Act,1986, Provident Fund Act,1952, ESI Act 1948, Payment of Bonus Act 1965, Industrial Dispute Act 1947, Payment of Gratuity Act 1972, Payment of Wages Act,1936 or any statutory modification thereof or Rules there-under or otherwise for in respect of any damage or compensation arising in-consequence of any dispute under these Acts.

8.0 UNDERTAKING: The Service Provider shall submit an undertaking stating that dues, penalties etc pertaining to the all statutory taxes during the contract period or later, and levy of new taxes in future etc., if any, will be borne by the Service Provider. a) The Second Party i.e. the Service Provider should provide copy of the duly

accepted appointment letter of his/ their employees (other than casual labourers), who are placed to carry out the specified job work of this Agreement along with the placement letters to the First Party i.e. NESCO.

b) NESCO will not however pay any extra charges for any other reasons; in case the Service Provider is found later on to have misjudged the work / materials to execute the work. The rates accepted by the Service Providers shall be firm for complete period of work.

c) If any complaints received on the Service Provider from the Contract Labour engaged by him for non-payment of wages for consecutive two months, the concerned contract will automatically be terminated duly forfeiting the security deposit paid by him besides black listing the Service Provider.

d) Whenever it is found that the Service Provider has received any excess payment by mistake or if any amounts are due to NESCO due to any reason and when it is not possible to recover such amounts, NESCO reserves the right to collect the same from any other amounts and Bank Guarantee / Security Money deposit by the Service Provider.

e) Any violation by the Service Provider in the payment of Minimum Wages, PF & ESI Contributions, Leave salary & Bonus as per the provisions of Act and any relevant provisions of applicable laws brought to the notice of the Officers of NESCO would be referred to the concerned Authorities / Department for taking legal action against the Service Provider, without prejudice to the right of NESCO to terminate the contract in such cases.

The bidder shall have to submit an undertaking in format given in Schedule-IX on non-judicial stamp paper of Rs. 100/- mentioning that in case of order placed on them, they will follow minimum wage rules and other rules & guidelines issued by Govt. of India / Govt. of Odisha.

9.0 DECLARATION OF RELATIONSHIP

9.1 The tenderer should disclose his relationship with officers / official of the NESCO Utility, if any with tender. 9.2 The bids not accompanying the above certificate will be rejected. The declaration must be furnished in the format given in Schedule-VIII. Any false information

furnished in the declaration, the disclosure of which, if revealed later the contract shall be liable to be terminated and the company will be entitle for recovery of damages.

10.0 INSPECTION/ VERIFICATION: i) NESCO Utility’s’s representative shall have the right to verify the

Certificates, Statutory documents etc. of the Man Power engaged by the Service Provider during the execution of Contract.

ii) During the execution period, NESCO Utility’s representative shall have right to inspect, examine the workman-ship and Muster Roll of all personnel engaged by the Service Provider.

iii) However, such inspection, examination shall not release the Service Provider from his obligations under the contract.

11.0 SUPERVISON OF WORK OF SERVICE PROVIDER The concerned Section In-charge (Elect) will supervise day to day affairs of the Service Provider and will maintain checks and balances in the matter of Operation and Maintenance including Watch and Ward and House Keeping works of 33 / 11 KV S/S. Any deviation in the services should be reported to SDO & Executive Engineer In-charge concerned. After due scrutiny, Executive Engineer concerned should report to GM (O &P) regarding performance of service provider from time to time.

12. PAYING OFFICER The DDO of the Circle shall be the paying officer for this purpose. He shall process the monthly bill and release the payment as per the terms & conditions of the contract, only after obtaining the relevant documents duly certified by the Divisional Engineer.

13.0 TERMS OF PAYMENT:

13.1 The Service Provider shall submit monthly invoice / bill for which the service is being provided along with the following documents within 1st week of the succeeding month. i) Invoice in Triplicate. ii) Summary Statement of Attendance certified by the Service Provider iii) Wage summary indicating details of the persons engaged (Name, wages paid, PF A/C

No, PF deposited, ESI deposited) duly certified by the Service Provider.

NESCO Section In-Charge shall certify and forward the invoices along with the supporting documents to the Inspecting Officer i.e. concerned SDO (Elect) for verification. The Inspecting Officer shall forward the same to the Controlling Officer i.e. concerned Divisional Engineer after due verification. The Controlling Officer shall forward the same to the concerned Superintending Engineer for processing payment after necessary certification. The Service Provider shall submit the following documents each month directly to the Superintending Engineer for verification & passing of the bill. i) Copy of ECR (Electronic Challan cum Reader) of the last month PF deposited

ii) Proof of deposit of ESI for the last month.

iii) Up-to-date proof of deposit of Service Tax and Medical Insurance Coverage (in case of Non-ESI) for the last month.

iv) Copy of Approval of Performance Bank Guarantee (One Time)

v) Up-to-date proof of payment of wages to the personnel engaged

vi) In addition to the monthly Contract Rates, NESCO shall reimburse the premium paid for Group Accident Insurance Policy of personnel engaged on this job on production of documentary evidence of payment.

The Service Provider shall also submit following documents via e-mail for verification & record. (a) Monthly returns of ECR (PF deposit) in PDF format to the each Circle through

Circle mail ID with a copy to Head Office mail ID ([email protected]) (b) Monthly returns of ESI in PDF format to Circle mail ID with a copy to Head

Office mail ID ([email protected]) 13.2 The contractor must ensure the payment o f prevailing State Government

monthly minimum rates of wages payable to skilled / semiskilled / unskilled category of workers as promulgated by the Labour Commissioner, Orissa.

13.3Any additional claim by the contractor towards increase in the special allowances / variable dearness allowance / basic minimum wages etc. due to changes in the relevant labour laws or regulations, will be made on submission of the bills duly supported by the Government Orders to that effect, after due examination by NESCO Utility authority.

13.4Payment for the work done will be made by Cheque / Demand Draft. The commission charges of Bank shall be on account of Tenderer. 13.5All statutory deductions towards Income tax or any other tax as per rules will be

deducted in the bills. 13.6 The NESCO Utility will not however pay any extra charges for any other

reasons, in case the Tenderer is found later on to have misjudged the work materials to execute the work. The rates quoted by the tenderers shall be firm for complete

period of work. 13.7 The insurance charges and relevant EPF contribution for the personnel engaged

by the Tenderer are to be borne by the Tenderer only. 13.8 Whenever it is found that the Tenderer has received any excess payment by

mistake, NESCO Utility reserves the right to recover from tenderer. 13.9 The successful Tenderer is bound to make payment to his employees engaged for

the work not less than the wages fixed by Labour Commissioner / Govt. of Odisha. If rates offered by bidder are such that proposed wages to the employees are less than minimum wage in that case the bidder will have to submit satisfactory justification along with the offered rates ( rate analysis) in part-II separately. Any change in rate fixed by Govt. of Odisha shall not affect rates offered by contractor for period of contract. The payment of wages should be made in presence of Board / Company officer.

14 CONTRACT PRICE VALIDITY: For award of Contract, the prices shall remain valid and FIRM till

contract completion i.e. 01 year. 15 EXTENSION ORDER:

The company reserves right to place extension order to further three months period or part thereof on same rates, terms & conditions.

16 PENALTY:

i) If the Service Provider engages less no. of personnel as stipulated in Work Order,

then the Service Provider shall be liable to pay to NESCO as penalty, a sum of Rs. 500/- (Five hundred) only per Personnel / Sub-Station per day in addition to deduction of proportionate payment in respect of less manpower.

ii) If the default continues for a period of one month, NESCO may without prejudice to any method of recovery, deduct the amount for such damages from any amount due or which may become due to the Service Provider or from the Performance Bank Guarantee or file a claim against the Service Provider.

iii) The Operation & Maintenance including watch & ward and house keeping activity of 33/11KV Sub-stations have to be carried out effectively and efficiently. Any lapse as found and notified by the concerned Circle Head/ Divisional Head of NESCO, will attract a penalty to an extent of @5% of the Monthly Bill value. However, quantum of penalty or waiver of penalty in full or part thereof will be decided by NESCO and will be binding on the Service Provider.

17.0 EVENTS OF DEFAULT:

Events of Default. Each of the following events or occurrences shall constitute an event of default (“Event of Default”) under the Contract : (a) Service Provider fails to pay any statutory duty within the time frame due under the Contracts. (b) Service Provider fails or refuses to appoint the no. of personnel as per the contract continues for a period of two Months. (c) Service Provider becomes insolvent or unable to pay its debts when due, or commits any act of bankruptcy, such as filing any petition in any bankruptcy, winding-up or reorganization proceeding, or acknowledges in writing its insolvency or inability to pay its debts; or the Service Provider’s creditors file any petition relating to bankruptcy of Service Provider; (d) Service Provider otherwise fails or refuses to perform or observe any term or condition of the Contract and such failure is not remediable or, if remediable, continues for a period of 30 days after receipt of written complain from the concerned Divisional Manager/Superintending Engineer against the Service Provider for such failure. (e) Service Provider otherwise misrepresent any facts, submit the documents which is being fabricated, any act for which the Sub-Station is affecting and any action for which NESCO is incurring losses, and such action shall constitute the event of default. 18.0 CONSEQUENCES OF DEFAULT

If an Event of Default occurs and would be continuing, NESCO may forthwith terminate the Contract by written notice. In the Event of Such Default, NESCO may, without prejudice to any other right granted to it by law, or the Contract, take any or all of the following actions:

(i) Cancel the contract and Present for payment, to the relevant bank the Contract Performance Bank Guarantee;

(ii) Recover any losses and / or additional expenses, NESCO may incur as a result of Service Provider’s default.

19.STATUTORY RULES, ACT , REGULATIONS AND RESPOSIBILITY OF THE SERVICE PROVIDER :

19.1 The Service Provider shall not sublet, transfer, assign or otherwise part of the Contract or any part thereof, either directly or indirectly covered under the Scope of work.

19.2The Service Provider shall indemnify NESCOUtility against all claims which

may be made under the Workemen's Compensation Act or any statutory modification there of or rules there under or otherwise for in respect of any damage or compensation payable in consequence of any accident or injury sustained by any workmen engaged in the performance of the business relating to this work contract including medical claims raised by the contract labourer arising out of and during the period of engagement. In all cases of personal injury to workmen employed by Service Provider on the work for which the Service Provider is liable to pay compensation under the Workman's Compensation Act.

19.3 The Service Provider shall indemnify NESCOUtility against all claims which may be made under the payment of wages Act / minimum Wages Act, 1948, Contact babour (Regulation and abolition) Act,1970 and rules framed there under and Child Labour Act or any statutory modification thereof or Rules there under or otherwise for in respect of any damage or compensation arising in consequence of any dispute under these acts.

19.4 The Service Provider has to obtain necessary license and competency

certificate from the ELBO to handle the lines, equipment by the workers employed by him as per I.E. Rules. Persons to be deployed by the Service Provider should have requisite qualification to operate the installation. The minimum eligibility of the personnel engaged shall be verified by concern Officer In-Charge.

19.5 The Service Provider shall be responsible for any accidents caused to the

personnel and damage to equipment during the period of contract. The Service Provider will be responsible for the loss sustained NESCO Utility,

due to damage to equipment on account of Mal operation.

19.6 The Service Provider should follow all the Labour Laws. Act and Rules & Regulations that are relevant and necessary for carrying out the operation & other works allotted for the Sub-station. NESCO Utility, shall have liberty to recovery penalty in case of any failure of implementing rules. It will also be obligatory on part of the Service Provider to ensure compliance of all legislations applicable to such works and for the time being in force and any other law which may become applicable in future.

19.7 Weekly off shall be given as prescribed under Minimum Wages Act to all the

Labour employed. 19.8The Service Provider shall follow the provision of Industrial Disputes Act in

case of any disputes arises with his labours. 19.9 No child labour should be employed.

19.10 The Service Provider shall be responsible for payment of compensation to his employees under workman compensation act in case of any accidents while carrying out the operation and other allottedworks at Sub-station. NESCO Utility, shall in no way be held responsible for any such compensation.

19.11 For any failure of implementing the statutory rules and regulations

by the Service Provider NESCO Utility will be at liberty to recover such amounts from the bills or security deposits of the Service Provider or any other payment available with the Board / Company in the name of Service Provider.

19.12 The successful tenderer shall be responsible for engaging employees at his

choice. Under no circumstances, the employee of the successful tenderers shall be considered as NESCO Utility employee. The tenderer shall make it clear to the operator/ personnel engaged by him that they are his operator/ personnel and NESCO Utility, has nothing to do with their employment or any other claims.

19.13 The Tenderer shall provide required personnel with minimum qualification

having line work and they will be examined for their knowledge for various operations in the substation concerning to the breakers, isolators, issuing of line clear etc. by the Officer In-charge concern and if performance not found up to the mark, he should be replaced.

19.14 Each personnel deployed by the Service Provider should be issued identity

card with passport size photograph affixed on it and duly attested by the Service Provider. A photo copy of such identity card to be given to Officer-in- charge of 33/11 KV sub-stations.

19.15 The Service Provider should maintain in the prescribed format wage-cum-muster roll which should be available at site.

19.16 The Service Provider has to make Insurance coverage of accidents (required to cover all risks as per the Provision of Workmen Compensation Act) if the area is not covered under ESI Scheme that may arise while carrying out the O & M including Watch & Ward and House Keeping duties of Sub-stations.. The Service Provider on demand from NESCO utility shall have to produce the copy of the valid insurance policy, covering the names of the employees engaged by him. The Service Provider shall also be responsible for the safety of his employees and in case of any safety threat from public, natural calamity or otherwise causing harm to his employees, NESCO Utility will not be liable for any compensation to the Service Provider and his employees.

19.17 The sub-station and its environment will be kept neat and clean. Cleaning

agents such as soap, detergent, cotton waste, etc., shall be provided by the Service Provider.

19.18 The Service Provider shall follow the provisions of the Electricity Act 2003

and the Regulations framed there under. The contractor should provide all fire fitting equipments and other safety equipments essential as per Electricity Rules and maintain the same throughout the contract period.

19.19 The Service Provider shall maintain record of LC issue and return in the NESCO Utility’s prescribed format. The Service Provider shall adhere to guideline issued by NESCO Utility during shut down & line clearance.

19.20 Wherever fuse call centre is provided, the staff provided by the Service Provider may also be made responsible for lodging fuse call reports and handing over to the concerned line man & recording of action taken. In such a case separate MIS on the received and disposed would require to be provided to Engineer In charge.

19.21 The Service Provider shall maintain printed log sheets duly approved by

NESCO Utility for recording hourly readings of voltmeter, frequency meter etc available at the substation with different equipment / panels etc.

19.22 Authorized Officer, NESCO Utility has got rights for any negotiation in

respect of Rates and eligibility criteria in the best interest of Company. NESCO Utility reserves the right to cancel or reject tender(s) without assigning any reason and without being liable to refund the cost of Tender document there upon.

19.23 Any other terms and conditions as per NESCO Utility, Rules and

Regulations, not covered herein will be binding on the tenderer/Service Provider.

19.24 The personnel engaged by the Service Provider shall be courteous,

obedient and sincere to the NESCO Utility, Officers / Officials while discharging the duties entrusted to them. In case of any misbehavior by any of the person engaged by the Service Provider, the Service Provider shall take full responsibility in replacing the concerned with a suitable trained person.

19.25 The Service Provider shall arrange the cleaning work of the control

room and its surroundings besides planting small flowering plants on the premises to have better appearance of the substation and watering to the plants, removal of grass rooting etc. from the S/S yard and also watering regularly to earth pits.

19.26 All disputes arising out of this contract should be decided in the courts

situated in Distt. H. Q. in which 33/11 KV Sub-station is situated.

19.27 The Service Provider will provide all necessary ISI marked safety appliances to the engaged employees and ensure to maintain all safety procedure as envisaged in the CEA Regulation 2010(Measures relating to safety & electricity supply) & observe all applicable regulations regarding safety at site. Any compensation due on account of accident at site shall be in the Service Provider’s account.

19.28 The performance of the Contractor will be reviewed by Officer In charge and Assistant Engineer every three months or earlier and if found unsatisfactory the agreement will be terminated with a notice of 30 days.

19.29 At the end of the every month the contractor shall give the following reports Officer -in-charge for which the formats will be given from time to time .

1) Maximum / minimum voltage during the month with date and time on 33 KV/11KV

2) Maximum / minimum load on each feeder during the month with date and time of 33 / 11 KV transformer.

3) Failure report of 33KV , 1KV feeders. 4) Break downs of power transformer during the month 5) Failure of equipements. 6) Any other reports in vogue to be specified by Officer in-charge.

SECTION –IV

TECHNICAL SPECIFICATION & SCOPE OF WORK

The scope of works covered in the operation of the 33/11 KV Sub-stations are as under: -

1.0 MAJOR ELECTRICAL SYSTEM (INSTALLED AT 33/11 KV SUB STATIONS):

1.1 33 & 11 KV VCBs (Indoor/ Outdoor) for incoming and outgoing feeders, with

necessary protective relay control panels.

1.2 12.5 MVA /8MVA /5 MVA/ 3.15 MVA/2.0 MVA/1.6 MVA/1 MVA 33 KV/11 KV Transformers (ranging from 1 to 4 nos. transformers at each S/s) with on load /off load electrically operated Manual tap changer.

1.3 LT 415 V ACDB and protective relays. 1.4 Battery & Charger panel/ power pack.

1.5 Street Light in campus area & lighting, luminaries in various buildings. 1.6 Station Transformer-33/0.4 or 11/0.4. 1.7 Indoor Switchgears.

2.0 OPERATION & MAINTANING RECORD 2.01 Recording of meter readings at hourly intervals as specified by the officers of

Company and maintaining records in log book by the shift operator for voltages, load in Amps, power Transformer Temperatures, reading Battery chargers etc.

2.02 Recording of reading of all the energy meters provided for the purpose of line loss/ energy audit at 12.00 Hrs. and 24.00 Hrs. daily.

2.03 Recording of all tripping of each breaker, relay indications, and other events occurred in the order of sequence correctly and neatly with time in hour and minutes in the log book.

2.04 Recording of all operations carried out daily, correctly accurately and neatly in log book with time in hour and minutes.

2.05 Staff have to follow the operating instructions given by the officer in-charges to carry out the operations like charging of circuit breakers (VCB/KIOSK) and other equipments, renewal of fuses, issue of permits for shutdown/line charging etc.

2.06 Must have to observe all safety precautions and ensure safety of men, materials and equipments during the contractual period.

2.07 Must have to attend all emergencies that may arise during the contractual period, such as equipment failure, fire accidents and shall be acquainted with all operations such as isolating the transformer and other equipment and use of fire extinguisher etc. However, minor T & P required for the day to day work shall be arranged by the contractor.

3.0 WORK TO BE CARRIED OUT BY CONTRACTOR DURING OPERATIONAL CONTRACTUAL PERIOD: i) General cleaning, picking, cutting, vegetation growth in switch yard every

month and time to time as and when required Switch yard must be kept clean and no grass/vegetation growth be allowed throughout the contractual period.

ii) Checking of the switch yard at regular intervals, recording and reporting of any unusual observations, defects sparks, loose bolts nuts etc. and informing the same

to the concerned officer. iii) Checking of AC / DC fuses on panel Board, renewal of fuses if required as per

instruction of officer in charge. iv) Shall have to attend all telephone calls and issue/receive messages promptly. v) The operator shall have to prepare daily reports in the prescribed performa in

duplicate and submit to concerned officers. vi) The operator shall be held responsible for security of the equipments and other

material available within the sub- station premises. vii) The contractor shall be held responsible for any damage occurred due to

maloperation of equipment and shall make good the losses suffered by the Utility.

viii) The operator should be alert and intimate the events related with power supply without any delay to the concern. ix) Checking and reporting of oil level in the equipment and leakage, if any.

x) Checking, recording and reporting of unusual internal noise. Any unusual sound in Power Transformer and breakers, leakage of oil and gas must be intimated to concerned officer immediately.

xi) Checking, recording and reporting of leakage from pressure relief diaphragm of power transformers.

xii) Checking of D.O. fuses and renewal of fuses in consultation with concerned officer.

xiii) Checking the condition of silica gel. xiv) Checking of unusual noises of sparks at HV or LV side bushing of Power Transformer. xv) Checking healthiness of battery charger and cells of the batteries. xvi) Alarm bell test for annunciation & trip ckt. healthy must be checked in all panels. xvii) Checking of the yard lighting. xvii) Any other works of Emergency nature or changes as per the direction of concern

officers of the Company. xviii) Taking specific gravity and voltage of pilot cell daily and all Cells of sets weekly,

checking of DC voltages daily of Battery sets. xix) Daily Watering of earth pits, wherever Company's water source is available can be

used by the contractor. xx) Checking the HT panel and recording the observations made, any abnormality

to be corrected immediately. xxi) Keeping all the meters and indicators of HT and LT panels intact. xxii) Cleaning of Transformer, HT panels, LT panels etc; and repairing etc. is to be

done immediately if on inspection any defect is found. xxiii) Checking of loads on 11KV phases of the feeder and inform NESCO Utility

Engineers for load balancing. xxiv) Tightness of all the jumper and connections are to be checked daily and to be

recorded in the substation logbook. xxv) Record of fault, breakdown, interruptions, incoming supply fail time in and time

out etc should be maintained in a logbook. xxvi) Checking and ensuring that all the installations are properly earthed. In case some

earthing is found to be disconnected, the same is to be rectified. All materials will be supplied by NESCO Utility.

xxvii) Display the Operational & Technical data on a board in the Control Room. xxviii) Wherever fuse call centre is provided, the outsourcing staff provided by the

contractor may also be made responsible for lodging fuse call reports and handing over to the concerned line man & recording of action taken. In such a case separate MIS on the received and disposed would require to be provided to Engineer In charge.

NOTE: For the above operations (routine, special) required Tools, plants,

Instruments safety equipments (Hand gloves, pliers, screwdriver etc.) etc. and consumable items viz. grease, oil, cloth, dhoti etc. needed are to be arranged by the contractor at his own cost. NESCO Utility will not provide anything to the contractor. Besides above, the contractor will also provide and upkeep emergency light, Torch etc. required for smooth discharge of the job.

5.0 MANPOWER & SECURITY i) The contractor will be responsible for all operational and minor maintenance and

supervisory works. The shift operator should not leave Sub-station without a substitute deputed by contractor. The contractor shall be responsible to ensure that proper arrangements of shift in-charge for shift duties are made and at no time the Sub-station to be left unattended.

ii) The persons deputed as shift in-charge shall be well conversant with the operation of fire fighting equipment and the contractor shall keep the fire fighting system intact and utilize whenever necessary.

iii) Operating personnel shall report to the concerned officer in-charge the important occurrences, breakdowns and defects observed within the Sub-station premises.

iv) The telephone communication, system should entirely be utilized for Company's work only. If it is observed that the same have been used for any other purposes the recovery for such usage shall be made from the contractor. Any instructions/messages to the Sub-station shall be received and followed strictly.

v) The routine & scheduled, periodical maintenance will be done by the Company staff. However the help of available staff has to be given by the contractor as and when required for any type of maintenance work.

vi) Line man Permit-HT & above license holder, who can handle and operate the Substation as mentioned in the scope above as skilled electrician and as unskilled (Helper) at least 7th class passed with minimum one year experience in similar type of job.

vii) The contactor will furnish bio – data along with testimonials of the staffs proposed to

be engaged by him to the Engineer – in – Charge, at least two weeks ahead from the proposed date of employment and he will engage such staff after screening and obtaining clearance from Engineer – In – Charge. The clearance issued by the office will not absolve/responsibility of the contractor for misconduct of his staff members. During the period of contract, Engineer– in – Charge will have authority to ask the contractor to remove/replace any staff members in the event of any misconduct of the later. For this purpose decision of Engineer – in – Charge will be final. The contractor may also engage ex-employees of DISCOMs/GRIDCO/OPTCL/OHPC/other PSUs having suitable valid license.

viii) The required man power to be decided & engaged by contractors for operation of each 33/11 KV round O/clock, basically i) ‘A’ shift 6.00 Hrs to 14 Hrs., ‘B’ shift 14.00 Hrs to 22.00 Hrs, ‘C’ shift 22.00Hrs to 6.00Hrs.

The Contractor shall comply all provision of minimum wages act, 1948, Contract

labour (Regulation and Abolition) Act 1970 and rules framed there under other labour laws affecting contract labour that may be brought in to time to time. Details of payment calculation should be submitted with break up along with price bid. Necessary supporting documents, GR copies, any other proof should be submitted with price bid in envelop No.2.

1.0 Deployment

i) Mere deployment of MANPOWER does not fulfill the obligation of contract. Contractor will be responsible for satisfactory operation of all the systems under the scope of contract and smooth functioning of electrical services in the NESCO Utility.

ii) During operation & Maintenance, if required more skilled/un- skilled workers may

be deployed by the contractor to complete the work without much interruption of electricity supply to different/any part of the Network.

iii) In case of break down immediate action must be taken to rectify the fault and

restore the supply within reasonable time as per norms of NESCO Utility, failing which penalty clause will be invoked.

7.0 Detailed Terms and Conditions for providing Manpower for electrical

operation in NESCO Utility. i) Contractors should provide 2 sets of uniforms of approved color for

the employees deputed in NESCO Utility at his own cost along with one pair of safety shoes.

ii) In order to ensure that the fulfillment of statutory obligations, contractors shall

ensure that the payment of wages of the workmen of the contractor is made through cheques only.

iii) The contractor shall issue the identity cards to his workmen and/or name plate on

Uniform at his own cost and shall duly intimate in writing to the Engineer-in-charge as and when there is any change.

iv) The contractor shall ensure to provide an alternate qualified manpower or replace

with a standby in case any of the regular staff deployed is absent or on leave. The contractor shall be responsible for the safety of all the items of furniture, plants, office equipment and other fittings provided in the premises and shall be liable to make good of any loss to the same if damaged during the execution of their duties which shall be recoverable from his monthly bill or other dues payable to the contractor by the company. A copy of the inventory items shall be supplied to him.

v) The monthly bills for the service shall be submitted by the contractor at the end of

every month and the same will be settled by the NESCO Utility normally by 10th of every month. The bills rendered after 10th would be liable for payment after 25th of the month.

vii) The contractor shall ensure that the workmen deployed by him behave decently

and do not indulge themselves in any such activities, which are unbecoming on the part of a person working in the Company. The staff on duty shall not consume any intoxicants or liquor.

viii) The contractor shall be responsible for the good conduct and behavior of his

supervisory staff or any other staff member. The contractor shall also be responsible for the good moral character of his employees and get police antecedents verified before engaging in the job. The contractor shall terminate the services of such employees at their own risk and responsibility on the recommendation of the Engineer in charge or any other officer designated by the NESCO Utility on finding the same unbecoming, Indiscipline or involved in consuming intoxication or liquor or doing illegal activity. The contractor shall issue necessary instruction to its employees to act upon the instructions given by the supervisory staff of the Centre

vix) The successful contractor who is awarded with the outsourcing of operation of

33/11KV Sub- station contract shall sign a joint inventory having list of S/S, equipment/ T&P and other items existing in the Sub-Station on the day of taking the

contract. Inventory registers shall be maintained for all items to know the consumption / replacement over a period. He shall be responsible to replenish any shortages found during routine checks by the NESCO Utility authority.

vx) The contractor shall submit an advance program of engagements with names of

employees in each month for succeeding month. The details of challans and payment made to EPF commissioner with copy of challans for the preceding month are to be submitted along with each claim for considering release of subsequent payments.

vxi) The amount of service tax is inclusive of the BID amount. The details of service

tax payments made to central excise and customs along with copy of challans for the previous month shall be submitted during each month along with claims. There should be no increase or variation in the contract price even in case of changes in service tax.

vxii) The contractor shall be liable for payment of workman compensation to workman

engaged by him in case of any accident during the operation & Maintenance of annual operation & maintenance contract.

vxiii) The contractor shall also be liable to take relevant insurance coverage under ESI for all his employees. The contractor shall enclose copies of challans in proof of deposit of monthly PF / ESI dues along with the bill. vxiv) NESCO Utility shall not be responsible for any labour dispute arises or litigation out of the assignment between employee and the contractor. vxiii) NESCO Utility shall not be responsible in any way for the employment of the employees of contractor in the NESCO Utility area during operation contract.

8.0 SPECIAL TERMS AND CONDITIONS (STC)

8.1 Site E n g i n e e r /Supervisor:

The contractor’s supervisor shall be available at all times for receiving instructions from the authorities of NESCO Utility. He shall also attend all site meetings & co-ordination meetings & arrange to carry out work smoothly as per the agreed time schedule. Any instruction given to the site supervisor shall be construed as if the same is given to the contractor. The contractor shall provide the electricians who have undergone the basic training supply all the Tools / equipments to handle any emergencies with regard to electrical maintenance.

8.2 Corrupt or Fraudulent Practices:

8.2.1 Bidders & Suppliers shall observe t h e highest standard of e t h i c s during t h e procurement and execution of the contract.

8.2.2 NESCO Utility will reject a proposal for award of contract if it detects t h a t the successful Bidder has been involved in corrupt or fraudulent practices in competing for the contract in question. Even if such thing is detected after award of contract, the contract will be cancelled forthwith without any notice.

8.2.3 NESCO Utility will declare a firm ineligible, either indefinitely or for a stated

period of time, to be awarded a contract if it at any time determines that the firm has engaged in corrupt or fraudulent practices in competing for this bid, or in executing the contract.

8.3 Time of Contract will be one year from the date of effectiveness of the order and may be renewed on mutually agreed period.

8.4 Any material required for making good the damages will be brought by the contractor at his own cost and risk, and such material should be of proper brand and of good quality.

8.5 In case failure of power from OPTCL or from the other supplying agency, the massage should be intimated to the officers by contractor’s personnel for restoration of power.

8.5.1 The firm will be responsible for the security/insurance of their staff working at site.

NESCO shall not be responsible in any manner in case of any accident/ mis- happening with the employees of contractor.

8.5.2 Technical evaluation committee during technical evaluation will also review the past performance of the contractor to examine technical qualification.

9.0 Additional Terms and Conditions:-

9.1 The bidding contractors if desired may visit the site to get acquainted of the prevailing conditions, communication and transportation facility, working hour security aspects etc. besides condition of the plant equipment to be operated, before quoting for the job. Subsequently no complaint regarding loss of labour expenses, items of work not included, scope of work variation etc. will be entertained .

9.2 The contractor should submit detailed general and shift duty chart of proposed staff to

be deployed one week advance before start of every month and schedule of detailed works to be carried out.

9.3 The contractor should submit list of spare parts required to carry out operation & minor maintenance works well in advance to the NESCO Utility.

9.4 Contractor should follow all safety norms and provide necessary safety equipments at his own cost. In case of any accident during the operation & m aintenance of the equipment leading to injuries /damaged to human beings equipments and / or loss of life, the contractor shall be fully responsible for settlement of all claims and indemnify NESCO Utility against any claims arising out of such incidents.

9.5 Every employee shall have to be enrolled for the membership of employees, provided fund in accordance of the provision or "Employee provident fund" and Misc. provision Act. 1952 with all the amendments as may be enacted by the provident fund commissioner from time to time.

9.6 The contractor shall be responsible for deduction towards E.P.F. contribution from workers and remittance to E.P.E. authorities together with an equal amount

contribution by himself and show records to this effect as and when desired. 9.7 The contractor shall obtain necessary license and competency certificate from the

electrical inspectorate to handle the lines equipment to the workers employed by him.

9.8 In every case in which by virtue of the provision ; of section 12, subsection (10 of the workmen's compensation Act. 1923 the Company is obliged to pay compensation to workmen engaged by the contractor in execution of the works, the Company will recover from the amount of the compensation so paid without prejudice to the right of the Company under section 12 subsection (2) of the said Act, the Company shall be at liberty to recover such amount or any part thereof by deducting it from the deposit or from any sum due by the Company or the contractor whether this contract or otherwise. Company shall not be bound to context any claim made against it under section 12, subsection (1) of the said act, except on the written request of the contractor and upon his having given to the company full security for all costs for which the Company might become liable in consequence of contesting such claim.

9.9 The equipments and control Room handed over to contractor and other things connected there shall remain at the risk and sole charge of the contractor till completion of contract period and till completion certificate has been obtained from EE. Until such delivery of the substations, the contractor shall at his own cost take all precautions necessary to keep all the equipments, material building and other things connected their with from any loss or damage and in the event of

the same or any part there of being lost or damage, he shall forthwith reinstate and make good such loss or damage at his own cost. 9.10 On the breach of any terms and conditions of this contract or failure in

implementing the statutory rules and regulations by the contractor the Company shall be entitled to forfeit the security deposit or the balance thereof that may at the time be remaining and to realize and retain the same as damages and compensation for the said breach but without prejudice to the right of the Company to recover any further sum as damages from any sums due or which may become due to the contractor by company for otherwise howsoever.

9.11 The contractor shall not issue any line clear permit without consent of the Company officials, However, the shift personnel should give line clear permit with consent of NESCO Utility officer in the proper format whenever it is requisitioned by the proper authority duly following all precautions for isolating the circuit such as Tripping of the breaker and opening of isolator and proper earthing of equipment etc.

9.12 The contract can be terminated by NESCO Utility without assigning any reasons by giving a notice of 30 days period at any time during the period of contract. No c l a i m f o r a n y c o m p e n s a t i o n will h o w e v e r be entertained due to such termination prior to the expiry of stipulated period of contract.
