DONT's

Do not keep the clutch lever pressed while riding Do not run the engine in low gear for long times Do not park your motorcycle under direct sunlight as

it causes evaporation of petrol Do not keep brake pedal pressed while riding Do not raise the engine rpm during traffic halts Switch off the engine if the halt is for more than 30

seconds Do not cover Inlet of Air Filter assembly Do not cover the engine in the front and sides. This

may restrict the smooth air flow to the engine fins required for air cooling and the engine may run at a higher temperature.

In case you wish to have the fuel efficiency tested, please take your motorcycle to the nearest dealer and ask for a fuel efficiency test ("KPL test") done. They can then also make any adjustments that are found necessary.  PUC CERTIFICATION You should get your motorcycle inspected and certified from an authorised PUC centre to ensure that the emission performance of the vehicle in within the desired limits.

Mr. Anil Dua, Sr. Vice-President (Marketing & Sales), Hero Honda Motors Ltd said, “The four-lakh plus sales in July has set an upbeat tone for the beginning of the new quarter (July-September). As we move into the festive season in the coming months, we anticipate maintaining this buoyancy. We have a series of new launches planned in the coming months leading up to the festive season."

"The four lakh-plus sales for the third consecutive month has been possible because of growth coming in from all segments – entry, deluxe as well as premium and also in our Scooter sales which continue to grow at 60% growth rate. These numbers have come about even on the enormous customer base of last year, and despite the ongoing constraint in supply of components," he added.

HERO HONDA REPORTS 4TH CONSECUTIVE MONTH OF FOUR LAKH-PLUS SALESNEW LAUNCHES IN FESTIVE SEASON TO CARRY FORWARD THE GROWTH MOMENTUM

New Delhi, Monday, May 02, 2011: Hero Honda Motors Ltd (HHML)continues to consolidate its market leadership by recording its fourth consecutive month of four lakh-plus sales.

The company sold 4,24,617 units of two-wheelers in the month of August’10, maintaining its robust sales record and setting the pace for the upcoming festive season. Hero Honda’s sales in

Page 41: New Microsoft Office Word Document

August 2009 were 415,137 units.

Hero Honda has been consistently selling four-lakh plus two-wheelers, with May recording its highest-ever monthly sales of 4,35,933 units, followed by 4,26,454 units in June and 4,27,686 units in July.

Mr. Anil Dua, Sr. Vice-President (Marketing & Sales), Hero Honda Motors Ltd said, "The domestic two-wheeler industry remains buoyant and we expect growth to maintain this trajectory in the coming months. With GDP growth showing encouraging signs and most of the country having a good monsoon, the outlook seems positive for the industry. The first quarter GDP growth of 8.8 per cent has come on back of solid growth in the manufacturing sector, which is very encouraging. However, certain concerns such as high inflation and short supply of components continue to bother the two-wheeler industry in the near term.

"For us at Hero Honda, the record four lakh-plus sales for the fourth consecutive month, has set the tone for the festival season. We are looking to ride this buoyancy, having lined up a number of new launches to meet our customers’ expectations and bring a lot of excitement in the festive season."

The growth has been coming from across segments, including scooter where Pleasure has been driving robust volumes, selling more than 27,000 units in August.

In yet another validation of brand Hero Honda’s success in customer satisfaction, the company has been adjudged at top of the two-wheeler category in the Brand Equity Most Trusted Brands 2010 Survey. The company has recorded an EBIDTA margin of 17.27 per cent in the quarter. The EBIDTA margin in the previous quarter (Oct - Dec'08) was 14.47 per cent.

YTD FY ’10 has been a remarkable year for Hero Honda with the company posting sales of over a million units and a PAT of over Rs. 500 crores in each of the quarters. With the third quarter of fiscal 2009, Hero Honda concludes the calendar year with record sales of over 4.4 million units, a growth of 22 per cent over the calendar year 2008 when the company had sold 3.6 million units. With this, Hero Honda has retained the coveted status of World No.1 two-wheeler manufacturer for the 9th consecutive year.

Riding on a record sales of more than a million units (34, 13,594) of two-wheelers –the third consecutive time that  the company crossed the magic million mark in a quarter this year – Hero Honda’s total turnover (Net sales & Other Operating income) grew to Rs 11708.91 crore, a growth of  31.05 per cent over Rs 8934.36 crore recorded in the corresponding period last fiscal. continued success. I am delighted that the company has been making great strides in fulfilling its larger vision of a progressive India. I am confident that the company will continue with its sustainable contribution to making the dream of mobility for every individual in the country come alive.”

Mr. Pawan Munjal, MD & CEO, Hero Honda Motors Ltd., said “It has indeed been a phenomenal year for us, as reflected in our both top line growth and bottom line performance. In view of the projected GDP growth and the continued success of the government schemes directed at rural infrastructure and employment generation, we are expecting market demand to remain bullish. Therefore, going forward, we would also have to look at further augmenting our installed capacity in our existing manufacturing plants, and also at the possibility of a new plant sometime in the near future”.

“Instead of resting on our laurels, we are indeed relentlessly working towards bringing more innovative, value-added products for our customers. As we enter the calendar year 2010, and the fourth quarter of FY’10, we remain quite optimistic on our performance. In the short term, however, we are closely monitoring the movement of commodity prices which are on an upward trajectory. The rising input costs, as indeed the retail financing situation, remain areas of concern for the industry.”

New Delhi, July 29, 2009: Hero Honda Motors Ltd (HHML), the world's largest two-wheeler manufacturer, today reported its best-ever quarterly earnings of all time with Rs 500.11 crore profit after tax (PAT) in the first quarter (April-June) of Financial Year (FY) 2009-10.

Defying a sluggish economy and challenging market conditions, the company’s PAT grew by a robust 83.28% over the PAT of Rs 272.87 crores in the corresponding period last fiscal (April - June’09).

Riding on a record sales of more than a million units (11.18,987) of two-wheelers – the first time it crossed the magic million mark in a quarter – Hero Honda’s total turnover (Net sales & Other Operating income) grew to Rs 3822.44 crore, a growth of 34 per cent over Rs 2851.04 crore recorded in the corresponding period last fiscal. The company has recorded an EBIDTA margin of 17 per cent in the quarter. The EBIDTA margin in the previous quarter (April – June '09) was 12.23 per cent.

Page 69: New Microsoft Office Word Document

The company posted a stellar top line performance as sales volumes were up 25 per cent during the quarter, while the industry grew by 12 per cent during the same period.

Dr. Brijmohan Lall, Chairman, Hero Honda Motors Ltd, said “Our performance is a tribute both to Hero Honda’s values and the way in which they are implemented and gives us the confidence to be ever more rigorous in our approach. We would like to thank our customers, suppliers, dealers, employees and also our joint venture partners again for their faith in us and for their full support given in so many different ways.”

Mr. Pawan Munjal, MD & CEO, Hero Honda Motors Ltd., said “We’re delighted to report our best quarter ever, with the highest revenue and earnings in Hero Honda’s history. The momentum from a strong FY’09 has gotten us off to an excellent start in FY’10. Our sales continue to be robust, and profitability has improved by a record 83%. Our ongoing focus on continuous innovation in every sphere of our business and fiscal discipline have allowed us to leverage our double-digit sales growth into robust earnings for the quarter. Our operating performance is excellent at both the top and bottom lines. Our balance sheet and liquidity position give us agility and flexibility in today’s weakened global economy and turbulent financial markets.

The speed and strength of our business model has injected strong momentum into our market positions and paced our growth. We will continue our dynamic development of the two-wheeler market by maintaining a strong focus on expanding the customer reach and by offering technologically superior products. We have a rigorous expansion plan in place.”

With over 59 per cent market-share in the domestic motorcycle market and with sales of over a million units in the quarter, the robust top line growth has largely contributed to the strong bottom line performance. Several other key factors such as cost rationalization across the board, softening of commodity prices, and tax benefits also contributed to the bottom line. The current quarter reflects a substantial tax benefit accrued on account of the company’s full utilization of the tax benefits available for the Haridwar plant, which resulted in bringing down the overall effective tax rate.,

The consistent robust top line performance has been driven by volume growth across segments and markets, aggressive brand building initiatives and rapid network expansion, reflecting the strong brands and continued expansion of new markets. Most of the recent launches such as Passion Pro, Splendor NXG self-start,

Page 70: New Microsoft Office Word Document

the special edition Hunk, the new Pleasure, in addition to the trusted Splendor + and Passion Plus, have been share-and-volume drivers for the company. Hunk and CBZ X-treme continue to help build on Hero Honda’s steadily growing share in the premium segment.

Hero Honda continues to invest in brand building utilizing not only new product launch and new corporate and brand campaign launch opportunities but also innovative marketing initiatives revolving around sports, entertainment (MTV Roadies, Campus Rock Idol, Saregama Pa) and ground- level activation. Hero Honda's legendary mileage has always given the company a key edge, and now this attribute of "fuel economy" has further been augmented with an innovative communication campaign.

Taking forward its commitment to promote sports in the country, Hero Honda recently signed up with the International Hockey Federation (FIH) to be the title sponsor of the FIH Men’s Hockey World Cup 2010, to be held in Delhi in March next. With this, Hero Honda is now actively involved with the promotion of all major sports in the country – cricket, football, hockey and golf.

The company was associated with the Indian Premier League (IPL), 09 as a partner at the central level. Additionally, it was also the main team sponsor of the Delhi IPL team – the Delhi Daredevils. Hero Honda was also one of the main sponsors of T20 World Cup, 09, which was held in England.

Dr. Brijmohan Lall, Chairman, Hero Honda Motors Ltd, said “ The Hero Honda value proposition stems from our deep understanding of the industry and the local market. The company continues to benefit uniquely from its strong customer and supplier relationships. Our performance is a tribute to all our stakeholders - our customers, our suppliers, our dealers, our employees and also our joint venture partners for their continuous support and faith in us."                                                                                                 Mr. Pawan Munjal, MD & CEO, Hero Honda Motors Ltd., said "FY'09 - our 25th Year - has been a path-breaking year for us. We continue to set new benchmarks even as recessionary trends and sluggish market situation afflict firms across the globe. We grew at 12 per cent during FY'09 even as the industry grew by mere five per cent. Our Q4 volumes growth - 13 per cent - was more than three times that of the industry growth of four per cent during the period. The dividend payout is in recognition of the company's strong financial performance and is indicative of the Board's confidence in the company's strategic direction. With more than 57 per cent share in the domestic motorcycle market, we are in the strongest position in the company's history.”

“This robust top line growth, combined with our operating margins, revenue trends and industry-leading growth is reflective of the winning strategy that we continue to execute with precision. The strategy is driven by innovation in every sphere of our activity, and we will build on this path to keep up the growth momentum in the new financial year as well," he added.

The stronger-than-industry growth has been driven by several factors including new product launches, refreshed product portfolio, robust performance of its brands across segments and an ever-expanding network across urban and rural markets.

Fiscal 2008-09 saw Hero Honda launch nine models across segments. With the new all-muscle and macho Hunk, and a sporty and stylish new CBZ X-treme, HHML strengthened its market presence in the 150cc segment. Hero Honda introduced self-start in the 100 cc range with its new launch Passion Pro. The "Power Start" variants were also introduced in CD Deluxe and Splendor NXG. In addition, the company also refreshed its successful Glamour, Glamour FI, Splendor NXG and Pleasure models

Innovative communication across media, leveraging properties such as sports and entertainment for brand building, and augmenting its distribution network to more than 3500 touch-

The company has recorded an EBIDTA margin of 11.99  per cent in the quarter. The EBIDTA margin in the previous quarter (Jan-March ’07-08) was 14.77 per cent.

This strong financial performance comes close on the heels of the company’s good overall sales through the first quarter. Page 84: New Microsoft Office Word Document

The consistent performance comes on account of key Hero Honda brands driving strong volumes across segments – CD Deluxe in entry segment, Glamour, the New Splendor NXG, Splendor + and Passion Plus in deluxe segment and Hunk, CBZ X-treme and Karizma in the premium segment. Hero Honda’s scooter Pleasure has also been contributing to the volumes, with more than 10,000 units being sold in June this year.

According to Dr. Brijmohan Lall, Chairman, Hero Honda Motors Ltd, “This financial year is the 25th year of Hero Honda’s existence. We had a befitting beginning to the year with the inauguration of our new plant at Haridwar in April, which is going to substantially augment our installed capacity. This is a significant step towards our future growth. We remain committed to reach out to our customers across the country, and provide them with quality products. I also wish to thank our customers and all our stakeholders for reposing their faith in us, which is consistently reflected in our top line as well as our bottom line growth.”

Mr. Pawan Munjal, MD & CEO, Hero Honda Motors Ltd., said “We continue to demonstrate leadership performance - profitability in tandem with increasing market share. We have continued to invest in further spreading our distribution network, expanding into new markets in semi-urban, rural and upcountry areas; and in brand building initiatives through our customer focused advertising and leveraging our various properties such as cricket etc – resulting in strong top line growth. Simultaneously, we have continued to focus on all-round efficiency improvement and cost rationalization across the board. This two-pronged strategy has helped us maintain profitability, even as we continue to further consolidate our near 55 per cent share in the domestic motorcycle market.”

The industry, however, is severely impacted with the very high costs of raw materials such as steel, aluminum, copper and rubber; double-digit inflation and the continuing uncertainty over interest rates.

“Even amidst the current industry scenario, our strategy has succeeded in delivering growth and profitability. We will continue to follow our winning strategy to keep up the better-than-industry performance,” Mr. Munjal added.

Financial Results for Q4, FY'07-08

Total sales for Q4 stands at 884075 units, growth of 3.28% Total turnover Rs. 2843.79 crores growth of 5.95 % Net profit after tax at Rs 298.70 crores, growth of 53% EBIDTA margin for the quarter 14.77 %

Riding on the impressive tally of 33,37,142 two-wheelers it sold during the FY, the company reported a Profit after tax of Rs. 967.88 crores in this financial year (detail as per annexure attached) , even as the domestic two-wheeler industry remained sluggish on account of high interest rates and low availability of consumer finance. Hero Honda's sales surpassed its tally of previous year, further boosting its share in the domestic motorcycle market to more than 52 per cent, even as the industry saw a decline in domestic motorcycle sales by 12 per cent and overall two-wheeler sales by seven per cent during the financial year.

In a year which saw new launches and landmark achievements by the company, Hero Honda introduced several successful new models including the 150-cc Hunk in the premium segment, Splendor NXG in the deluxe segment, and refreshed Pleasure in the scooter segment which all went on to drive impressive volumes. (Two Crore) cumulative sales during the year.

Announcing the annual results here today, Dr. Brijmohan Lall, Chairman, Hero Honda Motors Ltd., said "It is indeed highly satisfying to report such excellent financial numbers at the end of the financial year. As I have always maintained, our customers are the reason for our success. Our growth story has been driven by the immense faith our customers have reposed in our products. We stand committed to carry on with this approach."

Mr. Pawan Munjal, Managing Director & CEO, Hero Honda Motors Ltd., said "We have been able to improve our profitability in tandem with our increasing market share. All through the year, we have demonstrated a winning top line strategy by consistently gaining market share. Now these financial numbers are reflective of our strong focus on the bottom line and financial discipline. During the year, we have focused on all-round efficiency improvement. Several cost rationalization initiatives were also taken which have yielded excellent results in the improved bottom line.

"However, for the industry as a whole, the steadily rising input costs remain a concern area. The price of steel is at an all-time high, and the prices of other commodities are also on the rise. For more than a year, the industry has also been reeling under very high interest rates and lack of consumer finance. Going forward, we expect the government to address these issues for the industry to be able to make a turnaround," Mr. Munjal added.

The company, which sold 265,431 units of two-wheelers in the month of February, reduced the price of Splendor+ by about Rs 1300/- (ex-showroom Delhi) and on Karizma by about Rs 2400/- (ex-showroom Delhi). Similarly, the price of its best-selling 150cc bike Hunk has been reduced by about Rs 1800/- (ex-showroom Delhi).

Mr. Pawan Munjal, MD & CEO, HHML, said “Hero Honda has taken the voice of the customer to the government, and consequently the excise duty on two-wheelers has been reduced to 12 per cent from 16 per cent. This is a welcome move, and we are happy to pass on the entire benefit to customers. The reduction in excise duty cut will enable us to draw more customers to our fold, but the basic factors causing the industry slowdown still remain unattended. Credit financing has been withdrawn in some key markets, while interest rates on consumer loans also remain very high. This credit squeeze continues to be the most critical factor adversely impacting industry growth, and we still don’t see any indication from the banks and the government to address this concern. For the industry to make a turnaround and get back on the path of growth, the government has to address these key issues.”

New Delhi, January 31, 2008: Hero Honda Motors Ltd. (HHML), the world's largest two-wheeler manufacturer, today reported 31% per cent growth in profit after tax (PAT) at Rs 275 crore for the third quarter (October-December) of this financial year (2007-08). Hero Honda's profit after tax in the corresponding period last fiscal stood at Rs 209.18 crore.

Total Turnover (sales turnover plus other income, net of excise) grew to Rs 2795.17 crores, a growth of 3.54 per cent over Rs 2699.63 crores recorded in the corresponding period last fiscal. The company has recorded an EBIDTA margin of 13.95% in the quarter. The EBIDTA margin in the previous quarter (July-September'07) was 12.39%.

This strong financial performance comes close on the heels of the company's good overall sales even in the face of the prevailing slowdown in the two-wheeler industry. Hero Honda's cumulative total turnover for the first three quarters (April-December 2007) of this financial year stood at Rs. 7673.43 crores.

Hero Honda's strategy for aggressive top line growth through new product launches, brand building initiatives backed by innovative communication has resulted in market share gain across every segment. Indeed, Hero Honda's share in domestic motorcycles market has been growing upward of 50 per cent, despite the slowdown in the two-wheeler industry.

According to Mr. Brijmohan Lall, Chairman, Hero Honda Motors Ltd ., "Our performance during the third quarter of this fiscal has been very encouraging considering the current slowdown in the two-wheeler industry. We have been consistently reporting better-than-industry sales numbers, and it has also been reflected in our bottom line. We wish to thank all our customers and stakeholders for reposing their faith in our company and our products."

Mr. Pawan Munjal, Managing Director & CEO, Hero Honda Motors Ltd . said, "Given the industry slowdown scenario, we are very enthused by our robust financial numbers for the third quarter. However, this was not unexpected. We had undertaken some strategic initiatives since the beginning of this fiscal, including a conscious effort to rationalize costs across the board, and its results are now visible. Our bottom line has seen a

Page 90: New Microsoft Office Word Document

consistent improvement, and we have been able to demonstrate that it is possible to keep gaining market share while maintaining a robust bottom line.

"With input costs softening and our sharp focus on cost efficiencies, we should be able to further improve upon our financial results," he added.

HERO HONDA BRINGS LEGENDARY ROCK BAND

“THE SCORPIONS”

THE ICONIC ROCK BAND TO PERFORM LIVE IN MUMBAI & BANGALOORU AS PART OF THEIR “HUMANITY WORLD TOUR 2007-08”

New Delhi, 06th December 2007:- Fans of rock music in the country are in for a feast, as “Scorpions” are going to “Rock You Like a Hurricane”. As part of the legendary rock band’s “Humanity World Tour 2007-08”, Hero Honda Motors Ltd, the world’s largest two-wheeler manufacturer, is bringing Scorpions for pulsating live concerts in Mumbai and Bangalore this month. Fans have been eagerly looking forward to see the iconic German band, whose latest album “Humanity – Hour I”, released in May this year, has gone on to become a huge hit worldwide. The latest album comes 35 years after they hit global headlines with their debut album “Lonesome Crow” in 1972. In all these years, the Scorpions have produced some of the most popular albums such as “In Trance”, “Tokyo Tapes”, “Animal Magnetism”, “Savage Amusement”, “Face the Heat”, “Eye to Eye”, “Moment of Glory” and “Unbreakable”. Scorpions will perform at Mumbai on December 14th, and in Bangalore on December 16th. Humanity World Tour 2007/2008 takes the Scorpions right through Europe, North and South America and Asia. “Direct contact with our fans is our biggest source of inspiration,” says the band’s front-man Klaus Meine.  “Music has been an integral part of our communication with the youth. And what better way to connect with our fans than to bring their all-time favourite band Scorpions closer to them! This is going to be a high point for music lovers in the country, after the very popular ‘Hero Honda Campus Rock Idols’, a nationwide contest of amateur rock bands.”“There are a lot of people who say that the classic concept album is dead. We don’t see it that way, so we are swimming against the tide again with our new “Humanity – Hour I” which is a mature

Page 91: New Microsoft Office Word Document

album, with lyrics that are often provocative and deal with the dark sides of the world we live in. At the same time though, we are sending our fans a positive musical message, telling them not let the insanity going on around us every day get them down”, explains Klaus Meine, who considersHumanity – Hour I to be the most powerful album since the global success of Crazy World in 1991. “We have delivered a strong body of work over the years and are more confident than ever,” says lead-guitarist Matthias Jabs.Fans all over the world seem to agree: above all in Asia and Eastern Europe, the Scorpions still fill the biggest stadiums every year, performing in front of hundreds of thousands of enthusiastic fans. In early March, the band returned to Moscow to give a concert in the Kremlin at the invitation of the Russian President – an honour granted to relatively few Western artists. But the Scorpions’ power-packed live shows have numbered among the events that sold out the fastest in the USA and Canada and many European countries for decades as well.
