SUMMARY OF OPPORTUNITY

Neighborhood Housing Services of South Florida, Inc. (NHSSF) is soliciting proposals from qualified developers having the technical experience and capacity to build a mixed-income workforce/affordable housing development in the City of Miami on land currently owned by NHSSF. The proposed project will include the demolition of the existing building at 300 NW 12th Ave., Miami, FL 33128 and new construction of mixed-used affordable housing and office development. NHSSF plans to maintain its headquarters in the newly developed building.

• Assist in selection and supervision of architect, engineer, general contractor and property manager

• Engage contracts with 3rd party environmental engineers, surveyors and market analysts

• Coordinate any required rezoning, permits and local approvals • Oversee compliance with federal, state and local requirements • Timely updates to NHSSF

STRUCTURE RECOMMENDATIONS

NHSSF prefers to consider proposals that include the following:

• Development of affordable, workforce or market rate condos or apartments • NHSSF included in the ownership structure as co-owner, co-developer or lessor • Indemnity for any financial guarantees as required by the lender or Investors in favor

of NHSSF • IRC 42(i)(7) Right of First Refusal to NHSSF after any required compliance period • 3,000 sq. ft. of commercial space for NHSSF’s headquarters within the building to be

leased to NHSSF for nominal consideration plus its share of CAM. • Proposals should include proposed fees payable to all partners, cash flow and back-

end splits.

ABOUT LITTLE HAVANA

Little Havana is Miami’s Ellis Island — a place where generations of people have launched their American journey. An internationally recognized symbol of the role of immigrants in the American story, Little Havana remains a thriving, healthy and culturally rich urban neighborhood. A symbol of inclusiveness, a testament to the immigrant spirit that built our nation, and an affordable neighborhood that thousands of Miamians continue to call home, Little Havana is integral both to Miami and to the nation. Little Havana is the colorful center of Hispanic culture in Miami. The area’s riddled with Latin-inspired cafes, restaurants, venues and markets that give space and a voice to all the different backgrounds that have taken root in the neighborhood. Here you will find locals grabbing an afternoon cortado or a fresh fruit batido, talking politics over a game of dominoes, or eating solid authentic dishes from all over Latin America to a backdrop of ever-present Cuban beats. Little Havana offers a taste of multicultural Miami at its best. Little Havana is a working-class neighborhood. Under the city’s mixed-income program, a developer can build twice as many units when affordable and workforce housing are included. Developers can receive a reduction in parking and the ability to defer impact fees. Recently, the Miami City Commission accepted the data of an affordable housing master plan created by Florida International University. City commissioners want to analyze the report’s suggestions on how to leverage $85 million in bond money for affordable housing to up to $6 billion, to build 32,000 affordable units over the next 10 years.1

Established in 1978, NHSSF is a 501(c)(3) chartered member of the NeighborWorks® network. It is amongst a nationwide network of 245 trained and certified community development organizations at work in more than 4,400 communities across America. NHSSF provides a full spectrum of homeownership services in English, Creole, Spanish, and French to assist potential homebuyers in reaching their homeownership goals. NHSSF is a HUD certified housing counseling agency; a Treasury certified Community Development Financial Institution (CDFI); and a HUD certified Community Housing Development Organization (CHDO). NHSSF has engaged in the development of single-family ownership housing and partnered with other developers to produce rental multifamily housing.

Neighborhood Housing Services of South Florida Key Staff and Contact Information

KIMBERLY T. HENDERSON, President and CEO, brings over 20 years of experience managing programs, operations, and initiatives in federal, non-profit, private, and local government sectors. She managed significant initiatives in affordable housing development, housing counseling, rental subsidy, homeownership, financial literacy, homeless services, and energy efficiency programs. Ms. Henderson is the former Director of Housing and Community Development for the Greater Washington Urban League where she managed approximately $25 million in affordable housing programs annually. She also served as Executive Director of Be the Change, an organization that initiated the development of the John and Jill Ker Conway Residences which houses veterans exiting homelessness. Ms. Henderson was instrumental in the development of two innovative housing programs for youth: Wayne Place, which provides transitional housing; and Genesis, a permanent intergenerational housing complex for parenting teens exiting foster care and active elders. Ms. Henderson is a former founding board member of Hope and a Home, a leading non-profit providing transitional housing to families experiencing homelessness. Through her travels, education and experience Ms. Henderson has garnered the capabilities and perspective to champion progressive policies that impact those living on modest incomes. JOHN P. PANTOJA, COO and Controller, brings over 33 years of experience in the finance, auditing, and accounting. Mr. Pantoja is a senior controller, with experience working as an accounting executive for Hertz Corporation. Most recently, he worked for the nonprofit housing development organization Lucha in San Juan, Puerto Rico, where he oversaw the budgetary and management of the organization’s federal, state and grant awards under HUD. He has extensive experience managing financials of tax credit programs and grant award management over the past 9 years. Mr. Pantoja has been involved on two projects financed by tax credits located in Caguas and Gurabo, Puerto Rico with a total of 136 units.

TANYA SKILLMAN, Consulting Project Manager with Wellhouse Development, brings over 16 years of experience in real estate and affordable housing development. Through the years, she has managed various aspects of closing affordable housing and renewable energy developments financed by tax credits. Some of the states include Georgia, Florida, Kansas, Oklahoma, Nebraska and Missouri for a total of over half a billion dollars in credits. Her areas of expertise include, underwriting, due diligence, construction monitoring and lease up. Ms. Skillman also has experience with tax exempt bond financing, USDA RD loans, project-based section 8, CDBG and HOME funds. Ms. Skillman established Wellhouse Development in 2019. Neighborhood Services of South Florida Proposal Criteria

DEVELOPER EXPERIENCE / QUALIFICATIONS / BACKGROUND / REFERENCES

To be considered, respondents should provide the following, showing experience, qualifications, and background in workforce/affordable housing, public and private sector, and non-profit developments or similar activities. Include duration, description of responsibilities and description of the services rendered:

1. Description of the business (include business history, organization of the firm). 2. Past projects which your firm has completed and those completed within the last two

years include type of financing, state or federal government awards program, annual occupancy and debt coverage ratios for the projects. Highlight any experiences with similar projects based on proposal and within the state of Florida.

3. Pipeline projects over the next two years. 4. Financial Ability: Minimum net worth of $5 million and liquidity of $300,000.

Demonstrated capacity to provide all financing and investor guarantees, indemnifications, and predevelopment financing. (See Ex. 1 real estate owned and contingent liability schedules.) Include company questionnaires (See Ex. 2) for pending litigation, bankruptcy or HUD, LIHTC or other housing program violations for company and/or individual guarantors.

5. Experience in working with nonprofit development organizations. Please include contact information for the nonprofit organizations as references.

6. References: Minimum of three (3) bank references, within the past five (5) years, to contact with phone numbers, addresses and email addresses, if available. Minimum of three (3) references, preferably in the State of Florida, within the past five (5) years, to contact with phone numbers, addresses and email addresses, if available.

7. Miscellaneous: Any additional information that you might find helpful. No materials submitted will be returned to the proposer. NHSSF reserves the right to request additional information.

PROPOSAL REQUIREMENTS

All proposals should be submitted as a letter of intent must contain all required documents for consideration. Including:

1. Contact Information: Include primary contact’s name, email address and phonenumber.

2. Proposed Project: description of the proposed project, number of units, targetpopulation, construction timeline, anticipated budget and 15-year cash flowproforma. Explanation of other roles that respondent proposes to provide for thedevelopment. All proposals must include the commercial development of 3,000 sq.ft. of office space for NHSSF. This may be included with the rental office andcommunity area.

3. Capital Stack: Break down of capital stack including an explanation of any federal,state or local financing, grants or investment included in the proposal.

4. Structure: Percentages of ownership, fees, cash flow and back end. Detailedexplanation of your company’s role, and how respondent will involve NHSSF indecision making and listing of major decisions requiring NHSSF approval.

5. Qualifications: Include documents requested under Experience, Qualifications,Background and References.
