GOVERNANCE AND PERSONNEL RESOLUTION No. GP-0001-12-13 SUBJECT: APPROVAL OF APPOINTMENTS – 2012-2013 SCHOOL YEAR RESOLVED, that the Board of Education, upon recommendation of the Superintendent, approves the appointments of the following personnel in the Hoboken School District, for the 2012-2013 school year on the appropriate bargaining unit salary guides, pending the full satisfaction of requisite New Jersey Department of Education and District employment criteria. RESOLUTION No. GP-0017-12-13 SUBJECT: APPROVAL OF WORKSHOPS RESOLVED, that the Board of Education, upon recommendation of the Superintendent, approves the following workshops: WHEREAS, N.J.A.C. 6A:23B-1.1 et. seq. requires that each board of education adopt a formal policy and procedures relating to travel and expense reimbursement for its employees and board members; and WHEREAS, the School District of the Hoboken Board of Education (the “Board”) adopted a Travel Expense Reimbursement Policy that addresses the reimbursement of travel-related expenses by Board members and employees of the District; and WHEREAS, the Board has considered all other relevant guidelines and circulars associated with the adoption of its Travel Expense Reimbursement Policy; and WHEREAS, the Board has determined that the travel listed in this Resolution is educationally necessary and fiscally prudent; and WHEREAS, the Board has concluded that the travel and expense reimbursement listed in this Resolution are directly related to and within the scope of the employee’s current responsibilities; and WHEREAS, the Board has determined that the travel and expense reimbursements listed in this Resolution are for travel that promotes the delivery of instruction or furthers the efficient operation of the school district; and WHEREAS, the Board has concluded that the travel and expense reimbursements listed in this Resolution are in compliance with State travel reimbursement guidelines as established by the Department of Treasury and incorporated herein; THEREFORE, BE IT RESOLVED, pursuant to N.J.A.C. 6A:23B and Board Policy and upon the recommendation of the Superintendent, that the School District of the Hoboken Board of Education, in the County of Hudson, New Jersey, approves travel requests as listed.

RESOLUTION No. FI-0008-12-13 SUBJECT: APPROVAL OF REVISION TO FOOD SERVICES MANAGEMENT COMPANY CONTRACT APPROVED ON JUNE 12, 2012 RESOLVED, that the Hoboken Board of Education hereby rewards the school food service contract for the 2012-2013 school year to Sodexo Management, Inc., Weatogue, Connecticut; and BE IT FURTHER RESOLVED that the fees for the said contract include a flat Management fee of $55,852 for the 2012-2013 school year and a General Support Services of $69,257 for the 2012-2013 school year, based on the conditions and assumptions stipulated in the proposed contract on file in office of the School Business Administrator/Board Secretary remaining in effect; and BE IT FURTHER RESOLVED that Sodexo Management, Inc. guarantees a breakeven bottom line of the operational financial report for the 2012-2013 school year, with no subsidy to the bottom line by the LEA. In the event that the costs of operating the Food Service Program exceed total revenues (from all sources), Sodexo Management, Inc. will be responsible for any losses (shortfalls) incurred but in no event shall the reimbursement obligation exceed the amount of $125,000; and BE IT FURTHER RESOLVED that the prices for student lunches during the 2012-2013 school year shall remain $3.00 at the elementary schools and $3.50 at the high school with the adult lunch price at $4.00, and that the district shall continue to offer a Universal Breakfast program to all students at no cost; BE IT FURTHER RESOLVED that the Business Administrator/Board Secretary is authorized to execute the contract in accordance with the approvals by the New Jersey Department of Agriculture, Division of Child Nutrition.
