Important Notice regarding Satyre Spectacle

June 29, 2018 – 5:35 p.m.

To: All attendees of the Satyre Spectacle

As you may or may not be aware by now, the Satyre Spectacle has officially been

CANCELLED. Things got off to a rough start today, the first day of the event, and

we are unable to overcome those obstacles.

There will be no further activities held on Yarbro Island today or tomorrow.

All of us with VISION!, Inc. are deeply saddened at this outcome and, of course, this

reality is in no way comparable to the experience that we had envisioned.

We understand and apologize that communication to date has not been as consistent

as we would have liked, and in some instances, you have been in the dark, confused,

and with little to no provisions on the island.

We have scheduled boats to arrive at the island starting at 7:00 a.m. tomorrow

morning, June 30, to take everyone back to Texoma. We have secured at least four

boats to accommodate an orderly and quick process for everyone to get off the island,

and they will all depart from the dock near the stage where you arrived.

Please do not attempt to arrange your own transportation off the island as that would

be very dangerous. We are greatly concerned with keeping everyone safe until the

boats arrive in the morning.

Unfortunately, we do not have the resources to answer or respond to all of your

questions, so we ask that you remain in your tents through the evening and be ready

to depart first thing in the morning. Please do not attempt to make the long walk up

to the compound on the opposite side of the island in the dark. The path is rocky and

dangerous in the dark.

Please share this notice with anyone you know on the island.

EMPLOYMENT AGREEMENT

This Employment Agreement (the “Agreement”) made this 6th day of June 2018, between

VISION!, Inc. (“Vision”), a Texoma corporation, and Murphy Edwards (“Employee”), an

individual residing in the State of Texoma.

Whereas, Vision has organized an event to be held on Yarbro Island from June 29 to July

1, 2018 called the Satyre Spectacle (the “Event”);

Whereas, Employee has skills in construction, set-up, and break-down of stages, seating,

and audio-visual equipment for venues and event spaces (the “Services”);

Whereas, Vision wishes to hire Employee to perform the Services for the Event;

Whereas, Employee wishes to perform the Services for the Event.

Now therefore, in consideration of the premises set forth above and the mutual promises,

agreements, representations, and conditions stated herein, and for other good and valuable

consideration, the sufficiency of which is hereby acknowledged, Vision and Employee hereby

agree to the following:

1. Employee’s Responsibilities. Subject to the terms and conditions of this Agreement,

Employee shall provide the Services for Vision at the Event from June 14 to July 2, 2018.

2. Vision’s Responsibilities. Subject to the terms and conditions of this Agreement, Vision

shall pay Employee for the Services at $20 per hour. Payment shall be made in one lump

sum no later than July 4, 2018. Vision shall also provide Employee with transportation

from Texoma to Yarbro Island, accommodations at Yarbro Island from June 14 to July 2,

2018, and food and water for the same period – all at no cost to Employee.

3. Employee’s Representations and Warranties. Employee hereby represents and warrants

the following:

a. Employee will use best efforts to perform the Services; and,

b. Employee will use best efforts to perform any other work reasonably necessary and

reasonably requested by Vision in conjunction with the Services.

4. Vision’s Representations and Warranties. Vision hereby represents and warrants the

following:

a. Vision is and shall at all times be able to fulfil its obligations under this Agreement;

b. Vision shall provide Employee with transportation, accommodations, food, and

water from June 14 to July 2, 2019 as reasonably necessary to protect the health

and safety of Employee; and,

c. Vision shall promptly pay Employee according to the provisions in paragraph 2.

5. Confidentiality. The parties mutually agree that the terms and conditions of this

agreement are hereby to remain confidential and shall not be disclosed to any person or

entity, whether during the term of this Agreement or in the future, except for any disclosure

required by law.

6. Non-Disclosure. Employee hereby agrees to refrain from disclosing any information

(including but not limited to accounts or descriptions of the island or the Event, whether in

words or pictures) learned during the course of the employment at any time during the term

of this Agreement. Employee further agrees that disclosure about the Event shall cause

damage to Vision, and that any breach of this provision shall constitute a default of this

Agreement and give Vision the right to withhold any and all compensation earned by

Employee under this Agreement as damages for such breach.

7. Governing Law. This Agreement shall be governed by and enforceable and interpreted

under the laws of the state of Texoma. All disputes arising hereunder between the parties

shall be adjudicated in the District Court of Landry County, Texoma.

8. Entire Agreement. This Agreement sets forth the entire Agreement among the parties

hereto pertaining to the subject matter of this Agreement and supersedes all prior

agreements, understandings, negotiations and discussions, whether oral or written, among

the parties hereto. The parties expressly acknowledge, represent, and warrant that they are

not relying on any statement, promise, warranty, representation, or agreement that is not

contained in this Agreement regarding the subject matter of this Agreement. Any future

oral representations or modifications concerning this Agreement shall be of no force or

effect unless contained in a subsequent writing signed by the party to be charged.

TEXOMA COAST—Are you planning on attending the party of the century on Yarbro Island in a few days? Better bring your own food, water, seat, shovel, first aid kit, and construction crew. On second thought, maybe you should just stay home. Some things are too good to be true.

Construction crews are working nearly 24 hours a day on the island but the writing is on the wall. Chase Ford has overpromised something no one could ever deliver, and it’s setting up to be the most sensational epic fail we’ve ever seen.

An anonymous source tells this reporter that the Satyre Spectacle, set to begin in less than two weeks, is woefully behind schedule. This source is on the ground at Yarbro Island with exclusive information: none of the stages are complete (only one is even partially built) and none of the seating has been installed (and less than half is even on the island). Our source provided pictures to back up the account:

Its promoter, the infamous N.Stagram, apparently visited the island earlier today and saw what you see in these pictures – yet the promotion continues on Chirpster. My source says Vision didn’t even have the wherewithal to order steps from the ground to the stage, so crews had to build makeshift steps out of scrap pieces of wood:

PROMOTION AGREEMENT

This Promotion Agreement (the “Agreement”) made this 2nd day of April 2018 (the “Effective

Date”), between VISION!, Inc. (“Vision”), a Texoma corporation, and Naylor Stagram (“N.

Stagram”), an individual residing in the State of New York.

Whereas, Vision has organized an event to be held on Yarbro Island from June 29 to July

1, 2018 called the Satyre Spectacle (the “Event”) and is selling tickets to the Event;

Whereas, N. Stagram is an influencer consultant in the business of promoting parties and

events with a large, successful following on Chirpster;

Whereas, Vision wishes to hire N. Stagram to promote the Satyre Spectacle on Chirpster

to increase awareness of and ticket sales for the event;

Whereas, N. Stagram wishes to promote the Satyre Spectacle.

Now therefore, in consideration of the premises set forth above and the mutual promises,

agreements, representations, and conditions stated herein, and for other good and valuable

consideration, the sufficiency of which is hereby acknowledged, Vision and N. Stagram hereby

agree to the following:

1. N. Stagram’s Responsibilities. Subject to the terms and conditions of this Agreement, N.

Stagram shall promote the Event on Chirpster to increase awareness of the Event and

increase ticket sales for the same. N. Stagram shall post about the Event on Chirpster no

less than four times a week from the Effective Date to May 31, 2018, and no less than six

times a week from June 1 to June 30, 2018.

2. Vision’s Responsibilities. Subject to the terms and conditions of this Agreement, Vision

shall pay N. Stagram for promoting the Event as follows:

a. $100,000.00 in a lump sum payment to be paid no later than April 22, 2018; plus

b. 10% of all ticket sales purchased from the link that will be specifically designed for

N. Stagram to use on Chirpster, payment of which shall be paid no later than July

7, 2018.

3. N. Stagram’s Representations and Warranties. N. Stagram hereby represents and

warrants the following:

a. N. Stagram will use best efforts to post about the Event on Chirpster no less than

the frequency describe in paragraph 1;

b. N. Stagram will only post positive, non-derogatory statements about the Event;

c. N. Stagram shall take all reasonable efforts to ensure that no adverse publicity or

commentary about the Event appears on N. Stagram’s Chirpster account;


d. N. Stagram shall not be entitled to any percentage of ticket sales that are purchased

using any method other than the link specifically designed for N. Stagram’s posts

on Chripster, nor shall N. Stagram be entitled to any percentage of ticket sales that

are cancelled within the refund period (i.e. two days prior to the event); and,

e. N. Stagram shall not be entitled to any percentage of ticket sales if the Event is

cancelled for any reason.

4. Vision’s Representations and Warranties. Vision hereby represents and warrants the

following:

a. Vision is and shall at all times be able to fulfil its obligations with respect to holding

the Event on Yarbro Island from June 29 to July 1, 2018;

b. Vision shall provide N. Stagram’s agent, Ari Silver, with the details of all tickets

purchased from the specially designed link no less than every two weeks; and,

c. Vision shall promptly pay N. Stagram according to the provisions in paragraph 2.

5. Confidentiality. The parties mutually agree that the terms and conditions of this

agreement are hereby to remain confidential and shall not be disclosed to any person or

entity, whether during the term of this Agreement or in the future, except for any disclosure

required by law.

6. Governing Law. This Agreement shall be governed by and enforceable and interpreted

under the laws of the state of Texoma. All disputes arising hereunder between the parties
