This is an Application for an Order pooling the interests , des i gnating an Operato r, providing for the development of the unit and adjudicating the rights and equities of o il and gas owners in the Permian , Wabaunsee , Newkirk , Pawhuska Lime , Hoover , E l gin , Ca r michael , Endico tt, Lovell , Tonkawa , Layton , Big L i me , Oswego , Skinner , Red Fo rk , Mississippian , Viola , Wilcox and Arbuckle common sources of supply underlying the NW /4 of Section 28 , Township 25 No rt h , Range 1 West , Kay County , Oklahoma , a drilling and spac i ng unit pursuant to Order No . 526359 . At the time of the hearing , the Application was amended to dismiss the Newkirk common source of supply . 2 . Notice has been g i ven by publication as required by Commission Rules and Affidav i ts of Publication have been filed . Those owners whose names and addresses were a tt a i nable have been g i ven actual notice by mail . An adjudicative inqui ry was condu cted by the Administrat i ve Law Judge ' into the sufficiency of the search to asce rt ain the names and addresses of all owners and if a diligent effo rt had been made to locate all affected interest owners . Applicant has made a meaningful and diligent search of all reasonably ava i lab l e sources at hand to asce rt ain those parties that are entitled to notice and the whereabouts of those entitled to notice but who were served only by publication . The Commission finds the process to be proper and has jurisdiction over the subject ma tter and the parties . FINDINGS

1 . This is an Application for an Order pooling the interests , des ignating anOperato r, providing for the development of the unit and adjudicating the rights and equitiesof o il and gas owners in the Permian , Wabaunsee , Newkirk , Pawhuska Lime , Hoover ,E lgin , Ca rmichael , Endico tt, Lovell , Tonkawa , Layton , Big L ime , Oswego , Skinner , RedFo rk , Mississippian , Viola , Wilcox and Arbuckle common sources of supply underlying theNW/4 of Section 28 , Township 25 No rth , Range 1 West , Kay County , Oklahoma , a drillingand spac ing unit pursuant to Order No . 526359 . At the time of the hearing , the Applicationwas amended to dismiss the Newkirk common source of supply .

4 . The Applicant, an owner of the right to drill a well on said drilling and spacingunit and to develop and produce said common sources of supply, has not agreed with allof the other such owners in such drilling and spacing unit to pool their interests and todevelop the drilling and spacing unit and common sources of supply as a unit, and theCommission should issue an Order requiring such owners to pool and develop the drillingand spacing unit and common sources of supply covered hereby on a unit basis .

5 . The Applicant proposes to develop said unit and the common sources ofsupply therefore as a unit by the drilling of a well or wells thereon and , to avoid the drillingof unnecessa ry wells and to protect correlative rights , all owners should be requ ired to pooland develop the unit and common sources of supply covered hereby as a unit , upon theterms and conditions set out in "Order" below , all of which are found hereby , after acons ideration of the substantial evidence in this Cause , to be just and reasonable and willafford each owner i n the unit the oppo rtunity to recover or receive without unnecessa ryexpense his just and fair share of the production from the unit .

6. In the interest of the prevention of waste and the protection of correlativerights, this Application should be granted, and the rights of all owners pooled andadjudicated .

ORDER

IT IS THEREFORE ORDERED by the Corporation Commission of Oklahoma asfollows :

1 . Applicant proposes to develop the NW/4 of Section 28 ,Township 25 No rth ,Range 1 West , Kay County , Oklahoma , a drilling and spacing unit for the Permian ,Wabaunsee , Pawhuska Lime , Hoover , Elgin , Carmichael , Endicott, Lovell , Tonkawa ,Layton , Big Lime , Oswego , Skinner , Red Fork , Mississippian , Viola , Wilcox and Arbuck lecommon sources of supply , and the rights and equities of all oil and gas owners coveredhereby are poo led , adjudicated and determined as set forth herein .

2 . a . The estimated well costs are :

Completed for production - $740 , 370 . 00Completed as a d ry hole - $266 ,450 . 00

b . $75 .00 per acre cash (for a total royalty of1 /8) , is a fair, reasonable and equitable bonus tobe paid unto each owner who elects not t oparticipate in said development by paying suc howner's proportionate part of the cost thereof .Such cash bonus plus overriding or excessroyalty, when paid as set out in this Order, i ssatisfaction in full for all rights and interests ofsuch owner in the drilling and spacing uni tcovered hereby, except for any normal 1/8royalty interest, as defined in 52 O .S . ,Section 87 .1(e) (1971) .

c . $65 .00 per acre cash , plus an overriding o rexcess royalty of 1 /16 (for a total royalty o f3 /16), is a fair, reasonable and equitable bonu sto be paid unto each owner who elects not, t oparticipate in said development by paying suc howner's proportionate part of the cost thereof.Such cash bonus plus overriding or exces sroyalty, when paid as set out in this Order, i ssatisfaction in full for all rights and interests ofsuch owner in the drilling and spacing uni tcovered hereby, except for any normal 1/8royalty interest, as defined in 52 O .S . ,Section 87 .1(e) (1971) .

d . $50 .00 per acre cash , plus an overriding o rexcess royalty of 7 . 5% (for a total royalty o f1 /5), is a fair, reasonable and equitable bonus t obe paid unto each owner who elects not toparticipate in said development by paying suchowner's proportionate part of the cost thereof .Such cash bonus plus overriding or excessroyalty, when paid as set out in this Order, i ssatisfaction in full for all rights and interests. ofsuch owner in the drilling and spacing uni tcovered hereby, except for any normal 1/8royalty interest, as defined in 52 O .S . ,Section 87 .1(e) (1971) .

PROVIDED , however , that any excess royalty , overridingroyalty or other payments out of production shall be chargedagainst the overriding or excess royalty , or overriding royalty ,as here in above set fo rth , and same shall be reduced by theamount of any such excess .

PROVIDED , fu rther, in the event the oil and gas interest of anyowner is subject to any royalty , overriding royalty , or otherpayments out of production which create a burden on suchinterest in excess of the burdens set out in paragraph 2babove , the owner of any such interest shall not be entitled tothe option provided in paragraph 2b above , but shall berequired to either pa rt icipate or to accept the option providedin paragraphs 2c or 2d above .

PROVIDED , fu rther , in the event the oil and gas interest of anyowner is subject to any royalty , overriding royalty , or otherpayments out of production which create a burden on suchinterest in excess of the burdens set out in paragraph 2cabove , the owner of any such interest shall not be entitled tothe option provided in paragraph 2c above , but shall berequired to either participate or to accept the option providedin paragraph 2d above .

3 . Each owner , subject hereto , may make any of the elections as to all or anypart of the interest of such owner in the unit and must give notice as to which of theelections stated in paragraph 3a , 3b , 3c or 3d herein such owner accepts .

a . To pa rt icipate in the development of the unit and commo nsources of supply by agreeing to pay such owner 's propor-tionate part of the actual cost of such development and b ypaying , as set out herein , to Applicant such owner'spropo rt ionate pa rt of the estimated completed for productio ncost of the proposed well , as set out in paragraph 2aabove , orby furnishing security for such payment satisfacto ry to theApplicant . In all events , such owner's cost in said well shall no texceed its propo rt ionate pa rt of the actual or the reasonablecost thereof which shall be determined by the Commission i nthe event there is a dispute as to such costs . The payment ofsuch owner's propo rt ionate part of the estimated completed fo rproduction cost of said well , or the furnishing of securit ytherefor , shall be accomplished within 20 days from the dateof this Order, such owner's propo rtionate pa rt of the costs of ,and of the produCtion from , such well and unit , to be inpropo rt ion to the number of acres such owner has in the unit ;o r,

b . To receive the cash bonus as set out in paragraph 2b above ,which cash bonus shall be paid or tendered by Applicant , ifsame can be paid or tendered , within 30 days from the date ofthis Order ; or , •

c . To rece ive the cash bonus plus overriding or excess roya lty , asset out in paragraph 2c above , which cash bonus shall be paidor tendered by Applicant , if same can be pa id or tendered ,within 30 days from the date of this Order ; or ,

d . To receive the cash bonus plus overriding or excess royalty , asset out in paragraph 2d above , which cash bonus shall be paidor tendered by Applicant , if same can be paid or tendered ,within 30 days from the date of this Order .

IF ANY PAYMENT OF BONUS DUE AND OWING UNDER THIS ORDERCANNOT BE MADE because the person entitled thereto cannot be locatedor is unknown , then said bonus shall be paid into an escrow account within90 davs after th is Order and shall not be commingled with any funds of theApplicant or Operator . Any royalty payments or other payments due to suchperson shall be paid into an interest bearing escrow account by the holderof such funds . Responsibility for filing repo rts with the Commission asrequired by law and Commission Rules as to bonus , royalty or otherpayments deposited into escrow accounts shall be with the applicable holder .Such funds deposited in said escrow accounts shall be held for the exclusiveuse of , and sole benefit of , the person entitled thereto .

4 . Each owner of the right to drill in said drilling and spacing unit to saidcommon sources of supply covered hereby , who has not agreed to develop said unit asa unit , other than Applicant , may elect any of the alternatives set out in paragraph 3 aboveas to all or any pa rt of the interest which such pa rty owns , said election to be made toApplicant , in writing , within 15 days from the date of this Order . In the event any ownerfails to elect within the time and in the manner as set out above which of the alternativesset fo rth in paragraph 3 above , any such owner accepts , then such owner shall be deemedto have elected to receive the highest cash bonus and lowest royalty for which said interestqualifies . An interest qualifies for a pa rt icular royalty in question when the sum of theowner 's net revenue interest , together with all overriding royalties and other burdens onsuch interest , and the royalty in question , do not exceed 1 . 00 . In the event any ownerelects to do other than pa rt icipate in said well by paying his pro rata share of the coststhereof , or fails to make any election provided above , or , having elected to participate , failsto timely furnish payment of costs or security therefor, such owner shall be deemed to haverelinqu ished unto Applicant all of such owner 's right , title , interest or claim in and to thedrilling and spacing unit , except for any normal 1 /8 royalty interest , defined above , or othershare in production to which such owner may be entitled by reason of an electionhereunder .

5 . Only those owners electing to pa rt icipate in the initial well will be allowed topa rtic i pate in subsequent wells drilled on the drilling and spacing unit covered hereby.Owners electing or deemed to have elected any option other than pa rt icipation in the initialwell shall receive no cash consideration for subsequent wells but shall receive the excessroyalty , if any , provided for herein . In the event any pa rt icipating owner proposes thedrilling of a subsequent well , it shall notify those owners who pa rt icipated in the prior wellof its intent to drill a subsequent well . Such notice shall be sent by ce rt ified mail , returnreceipt requested , and shall be accompanied by an AFE which sets fo rth the anticipatedcost of the well and the well location . Each owner who pa rticipated in the prior well shallhave 15 days from the receipt of said notice to elect , to the Applicant , in writing , whethersaid owner elects to participate in said subsequent well , or , if not , which of the alternativesset forth in paragraph 3 above such owner elects . Owners electing to pa rt icipate must payto Applicant their proportionate share of said costs , or furnish security satisfacto ry toApp licant therefore , within 20 days from the receipt of said notice . Those owners failingto elect within the period provided , or those owners electing to participate but failing to payor secure costs within the period provided , shall be deemed to have elected not t o

participate in the subsequent wells . Said owner's right to participate in the proposed welland all future wells shall be transferred to the operator and said owner shall receive thegreatest bonus and lowest royalty for which such interest qualifies herein . An interestqualifies for a particular royalty in question when the sum of the owner's net revenueinterest, together with all overriding royalties and other burdens on such interest, and theroyalty in question, do not exceed 1 .00 . Any time an owner elects or is deemed to haveelected not to participate in a subsequent well, then that owner shall not be allowed toparticipate in future wells drilled on the drilling and spacing unit covered hereby and shallbe deemed to have forfeited all rights in such future wells, except the right to receiveroyalty (if any) to which that owner may be entitled . The Oklahoma CorporationCommission shall retain jurisdiction to determine the reasonableness of actual drilling andcompletion costs of subsequent wells . In the event operations for the proposed well arenot commenced within 180 days after the date of the notice, then the proposal shallterminate and new notice must be resubmitted .

6 . The Applicant , in addition to any other rights provided herein , shall have alien , as set out in 52 O .S ., Section 87 . 1(e) (1971) , on the interest of any owner , subject tothis Order , who has elected to participate in the well covered hereby by paying suchowner 's propo rtionate pa rt of the costs thereof ; provided , however , that in the event anowner elects to pa rt icipate in said well by paying his propo rt ionate pa rt of the costs thereofand fails or refuses to pay or to secure the payment of such owner 's proportionate pa rt ofthe completed for production cost as set out in paragraph 2a above , or fails or refuses topay or make an arrangement with the Applicant for the payment thereof , all with in theper iods of time as prescribed in this Order , then such owner shall be deemed to haveelected to receive the highest cash bonus for which such interest qualifies and such ownershall be deemed to have relinquished unto Applicant all of such owner's right , title , interestor claim in and to the drilling and spacing unit , except for any normal 1/8 royalty interest ,defined above , or other share in production to which such owner may be entitled by reasonof an election hereunder . Thereupon , the payment of such cash bonus shall be made byApplicant w i th in 30 days after the last day on which such defaulting owner , under thisOrder , should have paid his propo rt ionate pa rt of such costs or should have madesat i sfacto ry arrangements for the payment thereof .

7 . Range Product ion Company , 5600 N . May Ave ., Suite 350 , OklahomaCity , OK 73112 , is designated operator of the drilling and spacing unit and commonsources of supply covered hereby . All elections must be communicated to said operatorat the address above as required in this Order .

8 . The operator must commence operations for the driUing or other operationswith respect to the initial well covered hereby within 180 days from the date of this Orderand diligently prosecute the same to completion in a reasonably prudent manner , or thisOrder shall be of no force and effect , except as to the payment of bonus .

9 . The Applicant or its a ttorney shall file with the Secreta ry of the Commission ,with in 10 days from the date of this Order , an affidavit stating that a copy of said Order wasma i led within 3 days from the date of this Order to all pa rties pooled by this Order , whoseaddresses are known .
