EXECUTIVE SUMMARYThis manual describes the general policies and procedures for addressing the details of all PCI organized group operations and publications. As such, group chairs should be familiar with the contents of this manual as they implement the various actions required of group leadership. This document should be used as the basis for the orderly conduct of group business.

PurposePCI groups are formed and conduct their missions to further the strategic goals of PCI. This typically includes the development of knowledge that is disseminated by means of PCI publications, seminars, programs, and other works. PCI groups also provide important input into PCI-sponsored research programs and other PCI activities. Organized groups may be formed in a variety of areas including, but not limited to, technical, research, marketing, education, quality, management, and operations.

Why Get Involved?There are many benefits to joining a group and becoming involved in the inner workings of PCI. Overall, those involved claim this to be an important, valuable, and rewarding experience. Becoming involved provides the opportunity:• to gain knowledge from and build relationships with professionals working in the industry and related fields.• for personal and career growth.• to learn where the industry is going and the challenges it faces from a more global viewpoint.• to discuss common industry problems and find solutions that directly affect industry and industry-related businesses.• for leadership development of the employees of PCI members in all membership categories as well as academic institutions.• to provide input and influence in the development of future guides, standards, codes, and other PCI publications.

FOREWORD

This manual has been prepared by PCI to guide the operation of PCI organized groups, often referred to generically as committees. In this document, all organized volunteers will be referred to as groups. Much of this document parallels similar documents prepared by the American Concrete Institute and the Structural Engineering Institute of the American Society of Civil Engineers. The content of this document is based on the bylaws, policies, and procedures of PCI.

This manual is intended to serve as a minimum baseline for group operations. Councils and committees, as defined in section 1.1, may develop more detailed manuals for their specific group procedures. Council and committee manuals must be approved by the PCI board of directors.

The chair of a group is primarily responsible for the success of that group’s activities. Thus, the initiative and administrative ability of the chair are important characteristics. Chairs of PCI groups are chosen for their demonstrated knowledge in the field to be covered by the specific group, as well as for their administrative and leadership skills.

Chairs are also responsible for the economic use of the scarce resources that are represented by the volunteer time and associated expenses that are contributed to a group effort by its members. Chairs should prepare for meetings and manage discussion with the realization that an all-day meeting of a 15-person group would represent a private industry investment of over $40,000.

For efficiency of operation and coordination of activities of the various PCI organized groups, some regulations and procedures are necessary to ensure that their activities are productive, technically sound, and consistent with PCI branding and formats.

Comments and suggestions regarding group activities and procedures should be directed to the group chair, the appropriate staff liaison, and the PCI president.

CHAPTER 1POLICIES AND PROCEDURES

1.1. TYPES OF ORGANIZED GROUPSIn this manual, all organized volunteers will be referred to generically as groups. PCI has four types of organized groups, each having a specific intent, duration, and function (Table 1.1). The hierarchy (Fig. 1.1) of these groups is described in this section, along with a brief description of each type of group. Usually the scope of an opportunity for the industry in a specific area of interest dictates which type of group should exist or be created.

All groups are to report to their parent group—that is, the group above them on the hierarchy chart (Fig. 1.1), in order to maintain communication and coordination of activities.

1.1.1. CouncilsCouncils are formal groups created by the PCI Board of Directors (BOD) to address broad-based areas of interest where subordinate committee(s) (defined in section 1.1.2) either exist or may be created in the future. These areas will normally align with functional areas of PCI or the industry. Councils provide oversight, coordination, and strategic direction for their subordinate committees and the means of communicating to and from the BOD. Councils report to the BOD.

Councils are responsible for:• disseminating information to and from the BOD;• providing strategic direction in their areas of interest;• providing guidance and coordination to subordinate committees so that industry needs and PCI strategic goals are met;• ensuring that proper review is performed for all work and knowledge generated from their subordinate committees as well as

other organized groups when requested;• ensuring that the products of PCI work meet PCI standards;• serving as an expert resource for PCI and the industry in their respective areas of interest; and• conducting their activities in ways that foster high levels of participation by volunteer members of PCI.

Councils are normally created for long-term missions and exist until reorganized or dissolved by the BOD.

The following groups are considered councils:1. Technical Activities Council (TAC)2. Marketing Council (MRK)3. Educational Activities Council (EAC)4. Management Activities Council (MAC)5. Quality Assurance Council (QAC) 6. Research and Development Council (R&D)7. Sustainability Council8. Transportation Activities Council (TRAC)

1.1.2. CommitteesCommittees are formal groups created by councils, the PCI Executive Committee (EC), or the BOD. Committees address specific topics within an area of interest or carry out tasks assigned by a council. Committees are formed with the intent to be ongoing and may have multiple projects or tasks in progress from time to time. Committees report to their parent council. A committee serves until

reorganized or dissolved by the entity that created it.

Committees are responsible for:• creating products in broad knowledge areas such as technical, research and development, marketing, education, management,

and quality;• providing guidance and coordination to subordinate subcommittees so that PCI strategic goals are met; and• fulfilling industry needs for information.

1.1.3. SubcommitteesSubcommittees are semiformal groups created by committees to further subdivide an area of interest to facilitate focus on a specific component of that area. Their focused activities allow for faster completion of general-consensus work. While they typically work on only one project at a time, they may have several projects to complete over a period of time. Therefore, their existence is expected to be longer-term than that of a task group. A subcommittee serves until reorganized or dissolved by its parent group.

Subcommittees are responsible for:• creating products in narrower knowledge areas, such as seismic, residential marketing, continuing education, and personnel

training; • fulfilling industry needs for information; and• reporting activities to the parent group.

1.1.4. Task GroupsTask groups (also known as fast teams) are informal groups created by any level of group to accomplish a specific task. This task may or may not be a part of a bigger project. A task group normally only serves until its assigned task has been completed. A task group must report its activities to the parent group on a periodic basis.

1.2. MEMBERSHIPMembers of PCI organized groups are typically volunteers who offer their services to PCI and specific groups. In most cases, staff liaison members of groups are also voting members. Group members are normally responsible for the costs of their meeting attendance and participation. Each prospective member, regardless of membership category, is to submit a PCI Committee Member Application to the PCI Coordinator, Member Services (see Appendix B for the PCI Committee Member Application form or it may be downloaded from www.pci.org at Members Only/Committee Central/Committee Member Application). Approval of membership shall be in accordance with Table 1.1. Procedures for changes in membership of organized groups are detailed in section 1.6.2.

All group members must be PCI members or employees of PCI member companies in good standing. Chairs may make an exception to this rule, via the Invited Member category, based on justification by the group and approval from their parent-council chair and the PCI president.

1.2.1. Group Membership CategoriesThere are two classifications of group membership. These are voting and non-voting.

1.2.1.1. Voting memberVoting members are the core members who accomplish the goals and work of any organized group. They are appointed by the respective chairs and have no term limits. Specific groups, especially councils, may set terms and term limits, or require approval from the PCI president for appointment of voting members. The recommended number of voting members in a group is discussed in section 1.4.Voting members may vote on any official group business, make motions, have the right to the floor at any meeting, and have access to all correspondence and documents. Voting members are listed on their group’s roster and considered in balance and quorum requirements if applicable.

Expectations of voting members:Voting members are required to participate actively in the group’s work by contributing information, completing assignments related to document review or production, promptly returning ballots, replying to correspondence, and regularly attending meetings.Voting members can expect to spend up to 20 hours per month on group-related activities. Actual time will vary based on the group’s work, activities, and requirements. Voting members can be deemed inactive if they fail to participate in two consecutive group activities including, but not limited to, meetings and ballots. Voting members who are unable to fully participate in a group’s activities, and thus have been deemed inactive, may be assigned to a non-voting membership category at the discretion of the chair. Some groups may have special attendance requirements exceeding the minimum set forth in this manual.

Voting membership on any council or committee is limited to two representatives from the same company or organization. For PCI Producer Members, voting membership on any one council or committee is also limited to one representative per plant. Exception to this rule requires approval by the PCI president in consultation with the chair of the parent council.

1.2.1.2. Non-voting memberThere are several categories of non-voting members. In general, non-voting members typically:

• do not make motions or vote;• do not have terms or term limits; and• are not limited in number.

1.2.1.2.1. Consulting member – Consulting members are members who are interested in the work of a specific group, but may not be able to fulfill the participation requirements. They may also be prospective voting members or applicants, but unable to be appointed as such due to balance and size limitations or other compliance requirements. Consulting members are appointed by the respective group chair and generally have no term limits. They may attend meetings and have the right of the floor upon being recognized by the chair. Consulting members do not vote or make motions. Consulting members have access to all correspondence and work unless otherwise determined by the chair. Consulting members are included on the non-voting member roster and are not considered in calculating balance and quorum requirements.

Not all groups may elect, nor are they required to have, consulting members. Any organized group is permitted to have consulting members if it serves the best interests of the group mission. Consulting membership is not limited by company or organization affiliation. The number of consulting members in a group is unlimited.

Expectations of consulting members:Consulting members have no participation requirements other than to be members of PCI in good standing.

1.2.1.2.2. Liaison member – Groups may have liaison members from other groups for the purpose of communication and coordination. The liaison member from group B to group A is appointed by the chair of group B, or the chair of group B may choose himself/herself as the liaison member. The liaison position on the host group must be approved by that group’s chair unless the liaison is from a parent or lateral group, in which case the acceptance of the liaison position is automatic. This member type is typically required by councils where one of their members will serve as a liaison member to one or more groups that report to that council. Councils may also assign liaisons to other councils. These positions are non-voting and have access to all group correspondence and documents.

1.2.1.2.3. Ex-officio member – These are liaison members from other groups or organizations who are selected by virtue of their expertise in the area of the group’s mission. Ex-officio members are non-voting members.

1.2.1.2.4. Invited member – A group chair may invite any person to join the group (regardless of PCI membership) as an invited member with a non-voting status. This category of membership shall not be listed on any roster. The chair determines the access limits to correspondence and work for this category of members. The chair may terminate the invited member’s status at any time. Invited members who are not PCI members must have approval from the parent-council chair and the PCI president.

1.2.1.2.5. PCI staff liaisons – All PCI councils, committees, and subcommittees have a PCI staff liaison assigned to them by the PCI president. This can be a voting or non-voting position as determined by the group chair. Details of this position are described in section 1.9. Chairs may invite any PCI staff member, based upon his/her experience and expertise, to become a voting member of their group. Any PCI staff member joining a council, committee, or subcommittee as a voting member must comply with all the voting requirements, such as participation. Also, any PCI staff member who is a voting member of a group must act on his or her own behalf, and that person’s votes do not reflect PCI’s position or views.

1.2.2. Officers

1.2.2.1. ChairThe chair of the Technical Activities Council is elected by the Professional Membership of PCI. The chairs of the Marketing Council, Educational Activities Council, Management Activities Council, Quality Assurance Council, and Research and Development Council are elected by the Producer Membership of PCI. Other group chairs are proposed by the chair of the parent group and approved by a two-thirds majority of the parent group. The chair is a voting member of the group and must meet the voting-member requirements set forth in section 1.2.1. For councils and committees, the chair is typically appointed for a two-year term and may be reappointed for an additional two-year term. Chairs of some committees whose charge is the development of a publication may be appointed for the duration of the development process (examples include the Industry Handbook Committee and the Connections Committee). For subcommittees and task groups, the chair is appointed by the chair of the parent group and must be a voting member of the parent group.

The chair of a group is responsible for:• meeting the group’s goals and objectives;• appointing the group’s members, including a vice chair;• appointing task groups as necessary;• scheduling meetings and preparing agendas (with support of staff liaison);• conducting business per applicable PCI administrative rules;• ensuring complete and updated Committee Central postings (with support of staff liaison);• coordinating with his or her PCI staff liaison;• maintaining group productivity; and• creating a positive volunteer experience.

1.2.2.2. Vice chairEach chair appoints a vice chair (with the exception of task groups) with term limits being the same as that of the chair. The vice chair is a voting member of the group and must meet the voting-member requirements set forth in section 1.2.1.1. The vice chair serves in the capacity of chair if the chair is absent from a meeting or otherwise unable to fulfill his/her duties. It is the intent that the vice chair will succeed the chair of that group subject to approval by the parent group as noted in section 1.2.2.1. However, final approval in accordance with PCI policies and procedures is required and reappointment is limited to two years. It is the chair’s responsibility to assign the duties of the vice chair. For example, a vice chair may also take minutes or serve as the secretary of the group, but this is not a requirement. Vice chairs will commonly assist the chair in the many activities that take place.

1.2.2.3. SecretaryAlthough not required, it is suggested that each chair appoint a secretary to the group. The secretary should record the attendance and minutes of each meeting as well as assist with preparing ballots and other work as requested by the chair. The secretary shall be a voting member of the group and shall meet the voting-member requirements set forth in section 1.2.1.1. There is no term limit for the position of secretary. Appointment is at the sole discretion of the chair. Hence, there may be a different secretary assigned at each meeting. The PCI staff liaison is not necessarily the secretary of the group. While it is not mandatory to have a secretary, it is mandatory that minutes be recorded for all official meetings as noted in section 1.8.4.

1.3. ESTABLISHING GROUPS

1.3.1. Establishing CouncilsSection 13.2.2, Committees and Teams, of the PCI Policy Statement states that any PCI member or group may propose to the BOD the formation of a new council to study an important topic of interest to the industry. The request must be in writing and must identify the need for the proposed group, identify a proposed chair, and identify a proposed mission. The written request must be submitted to PCI at least 60 days prior to the BOD meeting and be reviewed by the EC at least 30 days prior to presentation to the BOD for approval. All written requests should be submitted to the PCI president.The BOD may approve the creation of a council. When a council is created, it reports to the BOD. The chair of the council must satisfy the requirements of section 1.2.2.1. See section 1.3.5 for the next steps.

1.3.2. Establishing CommitteesCommittees may be formed under an existing council by official action at a meeting or by letter ballot (section 1.5.4.2). When the committee is formed, a mission statement and scope of proposed activities must be written and approved by the parent council. The committee then reports to the council that formed it. The parent-council chair appoints a chair of the committee who is a qualified voting member of PCI (section 1.2.2.1), but does not have to be a member of the council. Section 1.3.5 outlines the next steps.

1.3.2.1. Appeal if not approvedIf the formation of a committee is not approved by a council, the request may be presented to the BOD following the same procedures and guidelines as described for the creation of a council. If it is agreed that a committee should be created, the BOD will assign the committee to an existing council for reporting. In case no existing council is appropriate, the committee may also temporarily report directly to the BOD or EC until such time as a council is created. The chair of the parent group (council, BOD, or EC) shall appoint a chair of the new committee in compliance with section 1.3.2.

1.3.3. Establishing SubcommitteesSubcommittees may be formed under an existing committee by the committee chair. The subcommittee then reports to the parent committee. The parent-committee chair also appoints a chair of the subcommittee, who is a qualified voting member of the parent committee. The subcommittee should have a clearly defined mission, typically developed by the parent committee. Staff liaisons for subcommittees are assigned by the PCI president, with advice and consent of the council chair.

1.3.4. Establishing a Task GroupTask groups may be formed under any existing council, committee, or subcommittee by their chairs. The task group then reports to the group that formed it. The chair of the parent group also appoints a chair of the task group, who is a qualified voting member of the parent group. A task group should have a clearly defined purpose for its existence and work only on that one task. Task groups normally do not have official staff liaisons.

1.3.5. After Formation of a GroupAfter a group has been formed by its parent group, the PCI president will, with advice and consent of the council chair, assign a staff liaison, except for task groups. The newly formed group should hold an organizational meeting and accept applications for membership. PCI should communicate such an opportunity to the entire PCI membership and member applications will be collected in accordance with the procedure described in section 1.6.1. The chair appoints the group’s members in accordance with the procedures and commission of the appropriate group type. The first order of business is to review and approve the group’s proposed mission statement (section 1.7).

1.4. GROUP SIZE AND COMPOSITION GUIDELINESGroups may vary in size and composition depending on their purpose, goals, and work. In general, membership should conform to the guidelines listed below. Each council, in its commission, should define its membership requirements and those of its committees and subcommittees to maintain a balance of interests.

1.4.1. CouncilsCouncils define their voting membership and are required to maintain a balance of interests. All councils set a maximum number of voting members, which should be based on its functional needs. As a guide, a council should be limited to about 20 members. Councils typically do not have consulting members. The balance requirements and makeup of a council shall be defined in its commission (section 1.7).

1.4.2. CommitteesCommittees have no limits as to the number of voting or consulting members, but are encouraged to keep the number of voting members at 30 or fewer in order to maintain control and promote efficiency. Committees are encouraged to maintain a balance of interests on their rosters.

1.4.3. SubcommitteesSubcommittees have no limits as to the number of voting or consulting members, but the chair must be a voting member of the parent group.

1.4.4. Task GroupsTask groups are typically, but not necessarily, small in size. Task groups have neither consulting members nor official voting members because minutes and ballots are not required for task-group activities.

1.5. GROUP ACTIVITIES

1.5.1. Official BusinessOfficial business includes ballots and voting, approving documents (for example, minutes and business plans), resolving negatives, and determining any course of action. General discussion and making suggestions to other groups, PCI staff, or the BOD does not constitute official business, but should have a general consensus. Except for letter ballots, official business is to be conducted at official meetings.

1.5.2. Official MeetingsMeetings may be in person or via conference call or webcast. An official meeting must take place to perform official business and requires:

• the chair or vice chair to be present;• a quorum to exist for that group;• a review of the PCI antitrust policy;• an official start and stop time of the meeting; and• minutes be recorded for the meeting in accordance with this PCI Group Operations Manual.

PCI requires all councils and committees to have at least two official meetings per year. However, groups are not limited by a maximum number of meetings. Each group chair is responsible for organizing and scheduling meetings with the assistance of the staff liaison. If an official vote is intended to occur at a meeting, the group members must be notified at least 60 days prior to the meeting date. Because most groups meet at the annual PCI Convention and PCI Committee Days, these meeting notifications are organized by PCI. Conference call or webcast notification may be reduced to 14 days. Official meetings are typically open to all PCI members. Task groups are not required to have official meetings.

1.5.3. QuorumsTo have an official meeting, a quorum must be present throughout a meeting. A quorum is 40% of the voting members. Quorums are based on the official roster of the group. If a quorum is not present, the group may elect to have an unofficial meeting. Minutes should be recorded for unofficial meetings. Those minutes may be approved at the next official meeting of the group where a quorum is present, with the group approving the actions suggested during the unofficial meeting, thereby making them official. Subcommittees and task groups do not have quorum requirements.

1.5.4. BallotsAll official business for councils and committees must be approved through the ballot process. Subcommittees are required to follow the ballot process with the exception of the resolution of negatives on letter ballots. Task groups are not required to follow the ballot process. However, it is encouraged that consensus be achieved by similar means.Only a group’s voting members may take part in the ballot process. Non-voting members’ ballots are not to be counted in the official tally and negatives from non-voting members are to be treated as comments. Councils may further define their balloting requirements and the review process of work. The two types of ballots are meeting and letter. These are described in more detail in the following sections.

1.5.4.1. Meeting ballots (motions and voting)Meeting ballots take place during an official meeting with the voting members that are present. Meeting ballots may be used for most business, such as approving minutes, business plans, project ideas, and responding to negatives. Meeting ballots may not be used to review documents. Document approval requires a letter ballot offered to the entire group membership. The procedure for conducting a meeting ballot is as follows:

• A formal motion is made, followed by a second. Both of these, along with the members who made them, shall be recorded in the minutes. The motion and second shall come from two different voting members. See box “General Rules About Motions.”

• The chair then calls for discussion. The discussion should be focused on the motion that has been made. A brief summary of the discussion may be included in the minutes.

• After discussion is complete, the chair shall call for a vote on the motion. The options for voting shall be for, against, or abstain. The motion passes or fails based on both the 2/3 rule and quorum (40% rule). The minutes shall include both the tally of the votes and the final outcome of the motion.

• There are no negative votes for a meeting ballot and, hence, nothing to resolve.

GENERAL RULES ABOUT MOTIONS• All motions must be acted upon, either by a vote, lack of a second (no support), or withdrawn.• If a motion receives no second, it is not a valid motion and cannot be acted upon. This is recorded as no support.• Only one motion may be on the floor at a time.• If a motion is revised, the revision must be accepted by the original person who submitted it as well as the person who

seconded it. Otherwise the original motion must be withdrawn, acted upon, or, if not seconded, found not to have support (and therefore requires no further action).

• Groups may only make motions within their scope. Chairs and staff liaisons should work to keep motions in order. All other motions will be taken as suggestions.

1.5.4.2. Letter ballotsThe letter-ballot procedure is used when an item must be offered to the entire voting membership of a group for a vote. Letter ballots are required for:

• new documents and projects;• reapprovals or withdrawals of existing documents;• revising documents other than minor editorial changes; and• approval of an Industry Advisory or Technical Bulletin.

Letter ballots may be used for any official business. The PCI letter balloting procedure is as follows:• A chair may initiate a letter ballot or a voting member may make a motion.• PCI staff or group officers prepare the ballot. Ballots are prepared in line-numbered PDF format. A ballot form (in Appendix

B) is used for each ballot. • The PCI staff liaison or group officer posts the ballot on Committee Central.• Ballots must remain open for a minimum of 14 days, although a 30-day period is preferred to allow ample time for review.• Ballot results are compiled and shared with the group to act upon.• Passing letter ballots must meet both the 1/2 and 2/3 rules and have all negatives resolved.

When letter ballots are cast, a voter may respond with the following options:• Affirmative – No committee action is required.• Affirmative with comment – The committee should consider comments, but no committee action is required.• Negative – The voter is required to provide reasons for the negative vote. The voter should also provide a suggestion as to

how to resolve the negative. Committee action is required on all negative comments.• Abstain – No committee action is required. This is used when a voter feels that he or she is not qualified or familiar enough

with the ballot item to cast a vote, or if there is a conflict of interest.

1.5.4.3. Ballot passing rules – The three basic rules for passing ballots are explained below. These rules are intended to ensure that a fair representation of a group is always involved and in consensus when official business and action are approved. They serve as minimum requirements. Any group may, however, have more restrictive rules that would need to be identified in the group’s commission.1⁄2 rule – To pass, a letter ballot must receive affirmative votes from at least 1⁄2 of the voting members of a group. Abstentions and unreturned ballots count in this calculation.2⁄3 rule – To pass, a letter or meeting ballot must receive affirmative votes from at least 2⁄3 of the total affirmative and negative votes that are cast. Abstentions and unreturned ballots do not count toward this calculation.Quorum rule (40% rule) – To pass, a meeting ballot must receive affirmative votes from at least 40% of the voting members of a group. Abstention ballots count in this calculation. For example, if the minimum number of voting members required to have a quorum attend a group meeting, a ballot at that meeting would need to be approved unanimously to pass.NOTE: Appendix B contains a sample of the letter ballot approval form.

1.5.4.4. Resolving negativesAll negatives must be resolved in an official meeting, unless the negative is withdrawn by the voter, in which case the negative voter changes his or her vote to affirmative, affirmative with comment, or abstention. Otherwise, a group has the following options for resolving negatives:

• The negative vote may be found to be unrelated. This requires a meeting or letter ballot and it must only pass the 2/3 rule.• The negative vote may be found to be persuasive and is satisfied editorially. The vote then becomes affirmative.• The negative vote may be found to be persuasive and requires substantial change. In this case, the change(s) must be balloted

again by letter or meeting ballot and all rules apply to the change. The balance of the document need not be balloted again.• The negative vote may be found to be non-persuasive by meeting or letter ballot. All rules apply.

1.5.4.5. Ballot reportAfter a letter ballot has been completed, the group officers or staff liaison prepare the ballot report, which includes the tally of the votes, the final outcome, and any summary of negative votes and how they were resolved. This report is submitted to PCI for the group’s file and may be required to be reviewed by the parent council. If the council determines that the ballot report does not substantially resolve the council comments, the matter should be turned over to the BOD for resolution.

1.6. ADMINISTRATION

1.6.1. Joining a Council, Committee, or SubcommitteeThe group membership application process is described in this section. However, application for membership does not guarantee acceptance. Applications are accepted at any time. Some groups have special membership requirements that may limit acceptance or timing of appointment to membership.To join a committee:

• Fill out the Committee Member Application form (in Appendix B or it may be downloaded from www.pci.org at Members Only/Committee Central/Committee Member Application) and fax, email, or mail it to PCI’s Coordinator, Member Services.

• The Coordinator, Member Services will verify information (such as PCI membership) and enter it into the database (if not already done). Then, the application will be passed on to the appropriate staff liaison.

• The staff liaison will submit the application to the chair and check balance requirements.• The chair will either approve or disapprove and provide the reason for disapproval to the applicant.• The appropriate PCI department will notify the applicant of the status and file the application.• If approved, the staff liaison will make the adjustments to the roster and send the new member an appointment letter.• If denied and the applicant is eligible for membership, he or she may be placed on a waiting list until a member position

opens.

1.6.2. Resignation, Termination, or Change in MembershipAny group member may resign by giving written notice to the chair and staff liaison. A chair or PCI may change the membership status or terminate a group member based on the following:

• The member has failed to meet attendance and/or participation requirements and has been designated as inactive.• There is a change in the member’s employment.• There is a change in company or personal standing with PCI.• There is a conflict of interest.• There is a noncompliance with this PCI Group Operations Manual or specific committee requirements.

In the event that a voting member has missed two consecutive group activities without an acceptable reason, the chair or PCI staff should communicate with the member that a third offense will classify him or her as inactive and may result in a change of membership (for example, change to consulting member) or termination. A record of such communication must be retained by the staff liaison. Chairs are encouraged to communicate with the member in question prior to making such a change.

1.7. COMMISSIONS: PURPOSE, OBJECTIVES, AND PROJECTS

1.7.1. CommissionsA commission clarifies and documents a group’s purpose and function. Commissions are created or approved by the parent group for its subordinate groups. Commissions must be in writing and include:

• name of group;• name of parent group;• purpose;• mission statement;• PCI’s strategic goals addressed;• any operations requirements in addition to those outlined in this manual; and• membership rules such as

o balance requirements and makeup, ando size limits of groups.

1.7.2. PurposeOrganized groups are the lifeblood of PCI and, in addition to many other activities, develop content for documents, seminars, and other works. They guide, review, and make recommendations regarding content development, consultants, or projects. They do not handle or direct operational aspects of PCI activities, such as staffing, pricing, financial-related activities, and contract-related activities. Groups may be involved with document format and branding, and creating procedures.

1.7.3. Mission and ObjectivesEach group must set its own mission and objectives relevant to its members’ area of activities and in relation to the PCI strategic plan. Councils and committees develop, ballot, and post a formal mission statement for their group. Subcommittees and task groups should have a clear mission as determined by their parent groups, but do not have to go through the formal procedure.

1.7.4. Projects Any work done by a group is called a project or work. Groups may work on a variety of projects, such as technical publications (see section 2.8 for a complete list of document types), seminars, research activities, and strategic initiatives. All group projects should support the PCI strategic plan and be approved by the group initiating them. Only councils, committees, and subcommittees may initiate projects. Task groups only implement projects.

While all projects must have a business plan, projects exceeding certain limits shall have these plans approved at different levels. Projects in excess of $25,000 or 1000 total estimated volunteer hours or 100 estimated PCI staff hours must have a completed and approved business plan (see section 2.10).

1.8. DOCUMENTS

1.8.1. RostersCouncils, committees, and subcommittees, in coordination with their staff liaison, shall maintain a roster of their voting members through PCI’s membership database and on Committee Central. These groups should also maintain a roster of their non-voting members and their classification. PCI staff maintains and makes alterations to all rosters. Roster changes are made in conjunction with the appropriate chair(s). Task groups have no official roster requirements; however, chairs are encouraged to keep track of task group membership.

1.8.2. AgendasChairs should prepare and post an agenda on Committee Central (section 1.10) at least 14 days in advance of any official meeting. The agenda is to be developed by the chair in conjunction with his or her staff liaison, and does not require official approval. Agendas may be revised by the chair at any time. All agendas should be prepared on the PCI agenda template (see Appendix B or it may be downloaded from www.pci.org at Members Only/Committee Central/Committee Member Work Area/Agenda Template)

1.8.3. PCI Antitrust PolicyAll groups are required to review and abide by the PCI antitrust policy at the beginning of every meeting. The antitrust policy must be available at all official meetings. A copy of the policy is located in Appendix B.

1.8.4. MinutesMinutes are legal documents of PCI and provide a brief summary of a meeting. At a minimum, all minutes shall include:

• the name of the group;• the date and place of meeting;• the names of voting members in attendance/absent with prior notification/absent without notification;• names of guests in attendance.• a review of PCI antitrust policy;• the starting time of the meeting;

• a brief summary of main discussions;• a description of any actions taken;• a record of all meeting ballots and outcomes;• a summary record of any discussions and/or suggestions from the group;• a brief summary of action items, including who, what, and due dates; and• the ending time of the meeting.

Minutes should be completed within 30 days of the meeting. Minutes should be reviewed by the chair of the group and PCI staff liaison before being posted. Minutes are first posted under Drafts on Committee Central until the next official meeting when they can be officially approved via a meeting ballot. Minutes may also be approved via a letter ballot.Minutes are required for all official meetings of a council, committee, or subcommittee. Minutes are not required for task groups, but may be useful depending on what the group is working on. All minutes should be prepared on the PCI minutes template (see Appendix B or it may be downloaded from www.pci.org at Members Only/Committee Central/Committee Member Work Area/Minutes Template)

1.8.5. Annual ReportsEach council and committee shall prepare an annual report for the BOD. These reports shall be due at least 30 days prior to the fall BOD meeting. Appendix B contains an annual report template.

1.9. THE ROLE OF PCI STAFFPCI staff supports the activities of groups and their chairs. Chairs are encouraged to work closely with their staff liaisons to accomplish their goals and objectives. However, chairs must lead the efforts. Given the number of groups and activities, PCI staff liaisons may not be able to attend every meeting.

Below are some general guidelines. PCI staff liaisons:• shall be copied on all correspondence;• shall maintain and make changes to the roster for the chair;• shall administer all PCI operational functions, such as working with internal departments at PCI;• shall manage all contracts;• shall manage all budgets;• shall act as project manager and lead development for all business plans;• shall help maintain a group’s focus;• shall provide guidance on PCI policies and procedures;• shall not be required to attend all meetings; • shall not be required to take minutes; and• shall be required to post minutes.

1.10. COMMITTEE CENTRALCommittee Central is a tool available to PCI groups that serves as a virtual meeting place. Through Committee Central, groups can work on documents, post meeting agendas and minutes, vote on initiative ballots, and discuss ideas. The group roster is connected to the PCI membership database, so member information is maintained by PCI, and only group members will have access to the group’s space (including ballots and documents).

A Committee Central job aid has been created to assist groups in the use of the system. The job aid contains directions and screen shots of procedures that group members and chairs will follow to use the system. Committee Central is based heavily on the American Concrete Institute’s committee management software. Please refer to the most current edition of the Committee Central job aid, posted on Committee Central, for complete instructions. 1.11. BUDGETSPCI has limited resources with which to accomplish its strategic plan and goals. Resources include dollars, volunteer time, and staff time. To best use these resources and coordinate projects and efforts, all projects are required to have a business plan that defines the project; its timelines; its required resources; and its impact on the organization, membership, and the industry. More-detailed information on business plans can be found in chapter 2.

Approved business plans are used to make PCI’s annual operating plans and budgets, which are managed by PCI staff. Although business plans may be submitted for approval at any time, groups should target to have plans submitted by June 1 of the current year for consideration in the next year’s operating plan. All budgets, payments, invoices, accounting, and other financial matters shall be handled by PCI staff and reported through the PCI staff liaison to the respective committees.

CHAPTER 2PUBLICATION POLICIES AND PROCEDURES

2.1. GENERALAs a technical institute, PCI’s intent is to disseminate knowledge related to the design, construction, and quality manufacture of precast and prestressed concrete. The goal of PCI publications is to strengthen the knowledge base of the precast and prestressed concrete industry and PCI member companies. This chapter is not applicable for periodicals.

2.2. INTELLECTUAL PROPERTYAs part of their participation in PCI activities, PCI group members contribute to the group’s work products, including written works. All work products of PCI groups belong to PCI. By participating in PCI groups, PCI group members acknowledge that the rights to such work products, including any copyright, reside with PCI.

2.3. COPYRIGHT AND PERMISSIONSPCI has a legal obligation to comply with all trademark, copyright, and permission laws of the United States. PCI will attribute content and honor copyrights. All contributors to PCI works must sign a Copyright Transfer Agreement, which details PCI’s copyright policy (see Appendix B). It is the responsibility of PCI to obtain the necessary permissions from contributors submitting materials for publication by PCI for use of all text, figures, and images. PCI will provide the Image License Request Form for completion by those contributing images for use in PCI publications (see Appendix B).

2.4. IMAGE ETHICSGraphics and design in PCI works should maintain the credibility of PCI. Images should be accurate, comprehensive, fair, honest, inclusive, and objective and should avoid fraud, deception, plagiarism, and stereotypes. PCI will not publish images that are believed to show unsafe practices.

2.4.1. CorrectionsPCI will correct errors promptly and prominently and will rerun images when appropriate.

2.4.2. Altering ImagesAlterations should maintain the integrity of the photographic images’ content and context. Do not manipulate images in any way that can mislead viewers or misrepresent subjects. Images will not be altered so that, in the end, they cause the reader to believe that what PCI is showing them is true when it is not.

2.5. UNITS OF MEASUREIn general, PCI works do not require dual dimensions. English (ft-lb) units are the preferred unit type for PCI publications. Any conversions to the International System of Measurement (SI) should conform to the latest version of IEEE/ASTM SI 10,1 supplemented where applicable by ASTM E621.2 In making hard conversions, due consideration shall be given to uniformity among PCI works and to availability of metric products for concrete construction.

2.6. BRANDINGPCI’s brand is internationally recognized, and PCI staff is responsible for maintaining brand consistency throughout PCI’s body of works. The overall responsibility for setting the PCI brand belongs to the PCI Managing Director, Business Development and the Manager, Art Direction & Production. The PCI Publications department is responsible for implementing PCI’s brand into all PCI works.

2.7. BUSINESS PLANSAll PCI projects, including all PCI publications, are required to have a business plan. The EC must approve any business plans requiring funds in excess of $25,000, volunteer time commitment estimated to be greater than 1000 hours, or staff time estimated to be greater than 100 hours prior to commencement of a project (PCI Policy 12.2.1 and 12.2.11). Business plans may be initiated by groups, staff, or any combination thereof. Appendix A has more detailed information on these plans.

Groups shall not commence work prior to approval of the business plan. Basic steps involved in the approval of a business plan include:

1. Completion of a project proposal form (see Appendix A) and submission to PCI staff liaison;2. Creation of a business plan by PCI staff from the project proposal form;3. Initiation of PCI group reviews and approval by appropriate groups of the business plan (by PCI staff);4. Submission of the business plan to the group’s parent council and PCI staff directors for their information (by PCI staff);5. Submission of the business plan to the EC for approval (by PCI staff);6. Resolution of any comments from the EC, parent council, or staff directors (by appropriate group);7. Presentation of the business plan to the BOD (by PCI staff or EC if applicable); and8. Incorporation of the business plan into the budget and implementation.9. If the plan is rejected in steps 3 to 5, PCI staff works with the group to revise and resubmit the business plan for approval (see

Fig. A.1 in Appendix A).

2.8. TECHNICAL PUBLICATION TYPES

2.8.1. ReportsThese are documents that are used to convey information or educate PCI members and nonmembers. Documents in this category were formerly known as white papers, state-of-the-art reports, Tech Briefs, Tech Notes, issue-specific reports, and authored reports.

Documents in this category have four defining characteristics (Table 2.1):• They are written in nonmandatory language.• The information is on a specific, somewhat limited topic.• There are no recommendations made in the document.• There is no commentary (the entire document is commentary).

2.9. OVERALL DOCUMENT CREATION PROCEDUREDocument production by PCI is a five-step process:

1. Seeking and gaining PCI approval to begin the activities necessary to develop or revise a document for publication.2. Preparing a new document or revision of an existing document.3. Balloting the draft document by the group.4. Submitting the group-approved document for parent council review, ballot, and approval.5. Producing the final document by PCI’s Publications Department.

2.10. DOCUMENT PREPARATION BY GROUPDuring the development of a group document, drafts should be formatted on plain paper (not on PCI logo or letterhead) and be marked clearly on the cover sheet and in the footnotes with the following disclaimer:

2.10.1. Project Proposal FormPrior to the start of any document creation, groups should submit a project proposal form to their PCI staff liaison. A sample form is included in Appendix A.

2.10.2. Business Plan Creation and ApprovalSee section 2.7 and Appendix A for guidance on business plan creation and approval.

2.10.3. Writing the DraftPCI groups may handle the preparation of needed and approved documents or publications in a variety of ways. Sometimes the simplest, quickest, and most direct approach for developing group documents is for a qualified individual, such as the chair, to prepare the first draft of a document. Individual members and, in some cases, outside experts can then be called upon to add to the draft where needed. The draft is submitted to the entire group for review, comment, and revision. Participation by all group members generally produces the best results.

In some cases, a group may determine to develop a document whose content is significantly outside the expertise of the membership. In such a case, the selection of an appropriate expert to develop the document and the identification of special review procedures will need to be developed. In most cases, the group membership will determine that they have the internal capability necessary to develop needed documents in the area of the group expertise.

2.10.3.1. Using paid contractors and consultantsThe PCI president is responsible for selecting and engaging all paid contractors and consultants. If a group believes that using a paid contractor or consultant would be beneficial to completing work overseen by the group, the staff liaison brings the matter to the president for review.

If use of a contractor or consultant is approved, the staff liaison coordinates with the group to define scope, schedule, deliverables, and approximate budget and issues a request for proposal (RFP). The group’s chair, and a task group selected by him or her if desired, should participate in reviewing and evaluating the proposed scope, schedule, and deliverables in proposals received, and be involved in the price and terms of the proposal and in reviewing the contract in consultation with the staff liaison.

After the contract is established, the staff liaison monitors compliance, coordinating with the group to assess contractor performance. When the work is complete, the staff liaison closes out the contract with consultation with the group chair.

2.10.3.2. Organization of materialsA group’s PCI staff liaison and the PCI Style Manual can give assistance on organizing material within a document. A copy of the PCI Style Manual is in Appendix C.

2.10.3.3. ReferencesGroup documents should reference existing reports, guides, or manuals instead of duplicating their text. See the PCI Style Manual for details on including references within documents. When a group document is revised or updated, the references should also be updated. When updating references such as ASTM test methods or specifications, the group should verify that the document’s text is in accord with the revised reference. The group should compare the text with the references, which may be done by an editorial subcommittee if the group has established one. If there are discrepancies, they should be brought to the attention of the full group for action.

2.10.3.4. Formatting and styleStyle and format of PCI publications are included in the PCI Style Manual.

2.10.3.5. Group editorial review of documentsBefore final group ballot, a document should be thoroughly edited by the group. See the PCI Style Manual for guidance on editing the document.

2.10.4. Ballot DocumentGroups shall ballot their documents in accordance with section 1.5.4 of this Group Operations Manual.

2.10.5. Submit to PCI Publications DepartmentPCI staff will copyedit and provide a technical edit of all PCI documents prior to their being submitted to a council for review. Under no circumstances will the council reviews occur prior to the staff copyedit and technical edit. The group chair may see a copy of the edited document prior to council submission if desired. After the staff edit, PCI staff sends the document to the PCI staff project manager for the document for review by the relevant council.

2.10.6. Council BallotCouncils may have varying submission requirements for groups that are having their documents reviewed. Groups shall resolve comments to their documents by the council in accordance with section 1.5.4 of this manual.

PCI’s organization is such that coordination among diverse activities is both important and more difficult than if the organization were dealing only with one type of publication. Thus, the requirement for document coordination among the various functional areas of PCI is addressed by the PCI staff project manager at the PCI director level.

A copy of the document draft shall be sent to the chairs of related groups as determined by the PCI staff project manager, with a request to review and comment on overlapping subjects. When the document is submitted to council for review, the chair is to provide a report of the groups that participated in the document review.

2.10.7. Final ProductionAfter resolution of council comments by the group, the group submits the finished document to PCI staff for production.

After all of the previous procedures have been completed and all approvals have been obtained, the documents become official PCI publications. All manuals include the year that the current revision of the document achieved compliance, with all council comments as verified by PCI staff.Prior to final publication, the PCI president shall notify the EC and the BOD of any proposed publication. Both bodies reserve the right to review and approve/disapprove at their discretion prior to publication. The BOD understands that the justification for the publication has been previously established by the publication business plan.
