OOBBJJEECCTT The purpose of this document is to establish the instructions to tenderers for the preparation and submission of the offers for the PILING - FOUNDATIONS package tendering of the CHAIN HOTEL KINSHASA in REP D. CONGO. The project comprises: the construction of 159 keys business hotel at KINSHASA (REP D. CONGO). The object of this tender is also to select a contractor for the execution of PILING WORKS of Chain Hotel in KINSHASA. Tenderers must take into account the instructions given for the preparation of their financial and technical offers. NOT following tendering instructions may result the rejection of the Offer.

    5. PAYMENT TERMS AND CONDITIONS:

    10 (Ten)% in advance (total repayment within monthly certification).

    Offers shall be delivered to our office enclosed in an envelope, marked with the tender name and address by:

    PILING WORKS by 12:00 on Friday 28th June 2013. This envelope should content a second sealed enveloped bearing the reference: CHAIN HOTEL KINSHASA – PILING - FOUNDATIONS WORKS OFFER. Offer shall remain valid for a period of at least 3 (three) months.

    Digital format offers (.pdf and .xls) shall be sent to the above mentioned email address by 12:00 on Friday 28th June 2013.

    Tenderers are allowed to submit offers for: only PILING, only FOUNDATIONS or both packages PILING – FOUNDATIONS. Not submit offer for the complete scope of works would not result in the rejection of the offer.

    2.3 Employer will reject any offer delivered after the specified date. Offers that do not

    comply with all the instructions for tendering will not be considered.

    2.4 If tenderer should wish to submit any alternative attached to their tender, a separate statement should accompany the offer.

    2.5 All costs incurred by the Tenderer in the preparation of the Offer and during the tendering process and negotiation shall be at the expense in all respects of the Tenderer.

    The Tenderer shall study and check all documents to ensure that all of them (documents on its possession) are completed and without errors. Tenderer will be responsible to revise and understand all the technical documentation. In case of any doubt or discrepancy tender shall notify the Authorized Person immediately and not later than 7 (SEVEN) days before the original date to submit offers.

    44.. SSIITTEE VVIISSIITT The Tenderer may, during the preparation of the proposal, visit the site of works to check

    the current status of SITE and all the logistic needed to execute the works. No claim will be accepted base on not knowledge of the current status of the site.

    55.. OOFFFFEERR CCOONNTTEENNTT

    Offer must content the following documents:

    1. Financial Offer (envelope 1), content:

    a) Letter of Offer (see attached template in ANNEX 2). b) Complete BOQ (based on template in ANNEX 3). c) Preliminaries valuation (based on template in ANNEX 9) d) List of dayworks cost: labour, materials, machinery and equipment e) Pre bank guarantee f) Company Audited Accounts g) Comments to Contract Model

    2. Technical Bid (envelope 2), content:

    a) General Construction Programme (see chapter 10) b) List of resources and machinery scheduled based on programme of works. c) Technical Team Organization Chart including Curriculum Vitae for the persons

    that will be in charge of the execution of the works. d) Similar Works Experience (see ANNEX 7) e) Certificates of Quality and Environmental Management Systems of the Tenderer f) Logistic Plan (preliminary draft) g) Health and Safety Plan (preliminary draft) h) List of subcontractors

    4. Alternatives:

    If the Tenderer should wish to submit any alternative attached to their offer, a separate statement should accompany the offer following: a) General description of the proposal indicating the benefits. b) Drawings, specifications and other technical documentation need to understand

    the alternatives.

    c) Financial Comparative (excel format) between current solution and alternative proposed by the tenderer.

    66.. CCOONNTTRRAACCTT PPRRIICCEE

    The payable price by INAUGURE HOSPITALITY GROUP to the TENDERER APOINTED to

    execute the Works shall be considered as LUMP SUM PRICE. The price will be final and

    fixed for unit prices, which may not be changed in any manner whatsoever.

    The Tenderer agrees that each unit price indicated in its offer is certain and fixed, and

    therefore the Tenderer may not demand that it be increased on any grounds, whether

    due to cost increases, the use of material of higher quality than required by the

    Agreement, or the early completion of the construction. Likewise, the measurements

    used as a basis for the Tender are fixed, since the CONTRACTOR approved them.

    The total price comprises all the taxes, custom and port duties, costs and expenses,

    direct or indirect, required for the execution of the Works. In particular, the unit price

    includes the cost of the materials, direct and indirect workforce (including labour

    charges and insurance), accessory means, testing and quality control, auxiliary and

    temporary works, any other expenses, taxes, custom and port duties, fees, levies and

    insurance or deposits necessary to execute the Works, general expenses, energy, fuel,

    water, telephone and the CONTRACTOR’s profits, as well as all costs and expenses.

    77.. AAWWAARRDDIINNGG

    The Employer will award the contract of the Works to the most advantageous offer, taking into account:

    - Delivery of the complete documentation requested.

    - Quality and details of all the technical documents taking into account: Programme of Works, Organization Plan, Technical Team Organization and machinery supplied.

    - Total Programme of Works. - Background in similar Works, taking into account CV’s from persons in charge

    of onsite Works. - Financial Offer. - Alternatives. The employer may not accept the lowest offer. The employer also may not accept any offer. The Tenderer finally awarded shall sign a CONTRACT with the Employer.

    88.. CCOONNTTRRAACCTT

    The awarding Tenderer shall formalize a CONTRACT with the Employer not later than 15 (fifteen) days after appointment date.

    The awarding will be communicated to the Tenderer by a LETTER OF APPOINTMENT (LOA) that shall be considered as a contractual document meanwhile the contract is formalized. After signing the LOA, the Tender will be considered as a CONTRACTOR and shall sign the STARTING WORKS MINUTE not later than 30 (thirty) days after date of appointment. The date of the Starting Works Minute will be considered as the effective start of the works.

    99.. SSUUBBCCOONNTTRRAACCTTOORRSS

    The CONTRACTOR shall provide to the Employer a list of Subcontractors to be validated by the Project Manager of the Employer. The Employer may refuse whatever of those subcontractors that in its opinion are not suitable for the Works. The CONTRACT cannot be assigned to another Company without the Employers authorization.

    The STARTING WORKS MINUTE shall be signed not later than 30 (thirty) days after the date of communication of appointment by LOA. The date of the Starting Works Minute will be considered as the effective start of the works.

    All the costs due to verification of the works, for the STARTING WORKS MINUTE, shall be at the expense, in all respects, of the CONTRACTOR.

    1111.. PPRROOGGRRAAMMMMEE OOFF WWOORRKKSS

    The Tender shall provide a detailed Programme of the execution of the works. The Programme of Works of the Tenderers shall not exceed the maximum construction period. The maximum construction period shall not exceed: Total Construction Period for PILING WORKS: 16 weeks

    Starting Construction Date: +30 days after receiving LOA After appointment the Programme of Works agreed with the Employer will be incorporated to the CONTRACT.

    12. PPAAYYMMEENNTT TTEERRMMSS AANNDD CCOONNDDIITTIIOONNSS

    The Employer may, after the signing of the Contract, make an advance payment of Ten (10) % of the Accepted Contract Amount (total repayment within monthly certification). The payment shall be made by submitting monthly invoices and works certifications, which shall be cumulative from the beginning. The Employer shall pay for the certifications within sixty (60) days, applying a retention of 5 (five) % on each certificate payment as a guarantee of good execution. The payment will be made in EUROS (€)

    13. WWAARRRRAANNTTYY AANNDD IINNSSUURRAANNCCEESS

    The CONTRACTOR guarantees to The Employer that the Works shall be executed according to the terms and conditions set forth in the Contract Documents. This warranty

    covers all the materials, supplies and assembling work included in the Agreement, regardless of their origin and potential warranties given to the CONTRACTOR by the suppliers. At the signing of the Agreement, the CONTRACTOR shall deliver to INAUGURE HOSPITALITY GROUP a bank guarantee consisting of a joint first-demand bank guarantee issued by a front-line entity, with the participation of a commissioner of oaths, providing coverage equal to ten percent (10%) of the Price of the Agreement. The bank guarantee must be valid for more than TWO (2) months after the completion date of the works, in order to guarantee the CONTRACTOR’s compliance with its obligations hereunder. If the Parties sign an addendum to this Agreement, the bank guarantee shall also apply for the price agreed therein The CONTRACTOR shall also take out a civil liability insurance policy to cover all damages to third parties (including cross civil liability with other participants in the Works for CHAIN HOTEL PROJECT) which may occur as a consequence of the execution of the Works for a minimum value of THREE MILLIONS EUROS (€ 3,000,000) per accident. INAUGURE HOSPITALITY GROUP shall be considered a third party for the purpose of the policy The developer will take out an ALL RISK INSURANCE. The cost of Developer’s All Risk Insurance will passed to all package CONTRACTORS.

    1144.. AANNNNEEXXEESS ANNEX 1 – SCOPE OF WORKS DESCRIPTION AND TERMS 1. GENERAL DESCRIPTION OF WORKS 1.1 Piling Works consist in the complete execution of every item indicated in the Bill of

    Quantity (BOQ) and other technical documentation (drawings, technical specs, etc.) attached to the current Tender Document.

    1.2 Hereby is presented as follows, a brief description, NON-RESTRICTIVE, of the scope of

    Works for Piling - Foundations Package:

    - Earthworks and demolitions - Superficial waterproofing - Transfer and onsite assembly and disable of ALL pilling and micropiling

    equipment - Drilling of micropiles - Drilling of Ø 65 cm pile - Drilling of Ø 100 cm pile - Formation of Ø 65 cm pile - Formation of Ø 100 cm pile - Sludge geocomposites during execution of pilling and also the equipment

    needed, if it is necessary - Tubing during pilling execution, if it is necessary - Transportation of earth 8poles and excavation) to dump and dump fee. - Pile caps formation - Columns to ground floor - Gabion wall formation - Formation of underground reinforced concrete tanks and pool - Groundfloor slab - Reinforced concrete stairs - Drainage and water pumping systems for the execution of the works.

    2. WORK ITEMS 2.1. Work Items are described in the BOQ document attached as Annex 3.

    Following we present a brief description of the unit prices terms and conditions that must to be considered by the Tenderers:

    All the Machinery (mobilization and desmobilisation), tools and manpower necessary for the correct execution of the Works within the program of Works establish in the current Tender Document.(see Annex 4)

    All necessary supplies of materials, accessory means, machinery, tools, hardware, computers, printers, software, energy, water, reprography, etc.

    Drainage and water pumping for the execution of the works.

    Topographical Works for the execution of piling and stakeout of building.

    Quality Control and testing (piling).

    24h security

    Health and safety Works.

    As-Built drawings.

    Proportional Cost of Developer’s ALL RISK INSURANCE

    All technical information requested by the Employer.

    Site Verification before starting works.

    Waste management.

    Removing all the materials, machinery, tools, etc. after finishing the complete Works within the scope of Works of Pilling Package.

    Maintenance and protection of site: including access, fences, existing services, etc.

    Maintenance of temporary drainage works.

    Works coordination with other contractors.

    Cleaning of site and external accesses.

    Developer’s preliminaries listed in Annex 11.

    3. TO PROVIDE BEFORE CONTRACT SIGNINING

    a) Organization Plan.

    b) Detailed Programme of Works.

    c) List of machinery and resources.

    d) Logistic Plan

    e) Health & Safety plan

    4. SITE VERIFICATION

    The CONTRACTOR shall verify the current status of the site before starting Works. All the costs shall be at the expense in all respects of the CONTRACTOR.

    5. TEMPORARY INSTALLATIONS

    The CONTRACTOR shall provide all the temporary installations for material and workers. Costs of temporary installations shall be at the expense in all respects of the CONTRATOR. The CONTRACTOR shall provide all the temporary installations for Design Team, Consultants and Project Manager contracted directly by the Employer. Costs of temporary installations shall be at the expense in all respects of the CONTRATOR and this Cost must be included within work item prices, based on template of ANNEX 11. Tenderers must provide, just for INFORMATION, the mentioned ANNEX 11 for preliminaries included in work items prices.
