R EC E N T E V E N T SFrom June 2013 through to March 2014, the advancement of Lincoln Mining’s projects in the United States was restricted and conditional upon the Company satisfying certain terms of an Order (the “Order”) of the Committee on Foreign Investment in the United States (“CFIUS”), for its major shareholder Procon Resources Ltd. (“Procon”) to divest its entire investment in Lincoln Mining to a third party investor that was acceptable to CFIUS. On March 3, 2014, the Company announced that Procon had completed the divestment of its interests in Lincoln Mining pursuant to the Order. For details see Lincoln Mining news releases dated March 3, 2014, February 19, 2014 and June 18, 2013.

Mr. Ronald K. Netolitzky, a Canadian mining entrepreneur, acquired Procon’s 46,000,000 common shares of Lincoln through a private sale for a total purchase price of $518,420. In addition, a $2,300,000 convertible debenture plus accrued interest, which was held by Procon, was repaid in full and discharged using funds advanced to Lincoln through unsecured, non-convertible loans from companies controlled by previous directors of the Company. The loans bear interest at a rate of 6% per annum, payable monthly commencing April 1, 2014 for a term of five years, at which point the principal amount owing under the loans is due.

The Company appointed Mr. Eugene Beukman as its new Chief Financial Officer. Mr. Beukman has over 30 years of experience related to acquisitions, joint ventures, and the organization and management of public and private companies.

Lincoln remains committed to its exploration and development programs in the United States, with a primary goal of advancing its two Nevada projects towards production as quickly as possible. PROJECT DEVELOPMENT PLANS

Pine Grove Property Lincoln holds 100% interest in the Pine Grove gold property. It is a development-stage project located in Lyon County, Nevada. A positive preliminary economic assessment by Telesto Nevada Inc. was announced in December 2011. See a resource summary for the Pine Grove property on the reverse side. Lincoln plans to restart all activities required to advance the Pine Grove property to production as soon as funding is acquired. Some activities will include:

Conducting geotechnical core drilling, condemnation and monitor well drilling.

Permitting will include complete base-line biology studies, base-line cultural studies, waters of the U.S. and wet lands study, complete hydrologic basin study, the submission of a U.S. Forest Service Plan of Operations and Bond to do work. Formal permitting procedures have begun.

The Company also plans to initiate a Prefeasibility Study for the Pine Grove property and will continue to advance the project towards production.

Bell Mountain Property Lincoln finalized a purchase agreement to acquire a 100% interest in the Bell Mountain property in December 2012. The property is located in the Fairview Mining District, Churchill County, Nevada. It is an advanced-stage project with near term gold production. An amended and restated NI 43-101 technical report was filed in December 2012. See the Bell Mountain resource summary on the reverse side. The project has significant exploration potential beyond current resources. It is the Company’s goal to advance the project quickly towards a positive Preliminary Economic Assessment. As funding becomes available, activities will focus on the following:

Completion of geotechnical test work and the infill reverse circulation of five new drill holes. The geologic model will be updated and column leach metallurgical will be initiated.Base-line biology and cultural studies, re-establishment of the recording weather station, monitor waters of the U.S, submission to U.S. Army Corp. of Engineers, the submission of a new Plan of Operations to the Bureau of Land Management.

Begin an Environmental Assessment Study.

Oro Cruz Property Located in Imperial County, Tumco Mining District, California, Oro Cruz is a pre-development stage gold project and a NI 43-101 technical report filed September 21, 2010 reported Inferred gold resources of 376,600 ozs gold @ 0.01 opt cutoff grade. See Oro Cruz gold resource summary on back page.

In June 2013, Lincoln announced that it had signed a full and final settlement agreement with its joint venture partner on the Oro Cruz and La Bufa projects. Under the settlement, both parties agreed to terminate the agreement for the following consideration: Lincoln made a final payment to the joint venture partner at which time 100% interest of the Oro Cruz project reverted back to Lincoln and that Lincoln shall take all commercially reasonable steps to market and sell the La Bufa property, with the net proceeds of such sale (after allow-able expenses) to be split equally between both parties.

Lincoln plans to restart advancement of the Oro Cruz property as soon as funding can be arranged. Activities planned for the project may include the following:

Confirmation drilling to upgrade the resources from Inferred to Measured and Indicated. Seven core holes and 20 reverse-circulation holes will be required in the immediate Oro Cruz pit area.

Conduct detailed geological mapping of the pit and resource area.

Consider potential for both underground and open-pit mining, or a combination of both.

Permitting, develop a revised mine model database and install a recording weather station.

Advance the project towards a Preliminary Economic Assessment.

OVERVIEW Lincoln Mining Corporation is a Canadian precious metals exploration and development company headquartered in Vancouver, British Columbia. Lincoln currently holds three advanced-stage gold projects in the United States and an exploration-stage gold-silver project in Chihuahua State, Mexico. The Company plans to sell the La Bufa property in Mexico.

Lincoln’s core projects are the Pine Grove and Bell Mountain gold properties, which are both located in western Nevada, and the Oro Cruz gold property in southeastern California. In the United States, the Company operates under Lincoln Gold US Corp. and Lincoln Resource Group Corp., both are Nevada corporations. With the Procon divestment completed, Lincoln Mining is now able to resume activities at its projects in the United States. As soon as funding becomes available, work programs at the Pine Grove and Bell Mountain projects will begin.

Lincoln Mining’s primary focus will be to advance its projects in Nevada through the pre-feasibility, permitting and construction phases and begin exploration and development of the Oro Cruz project in California.

Total Measured and Indicated resources of 6,055,000 tons grading 0.034 opt gold at cutoff grade of 0.007 opt gold (203,900 ozs gold).

Measured and Indicated resources within designed pit shells (included in total above) of 3,470,000 tons grading 0.042 opt gold estimated at (145,000 ozs gold).

Total Inferred resources of 1,596,000 tons grading 0.027 opt gold at cutoff grade of 0.007 opt gold (43,100 ozs gold).

Estimated heap leach gold recovery at 75%.

Significant exploration potential exists beyond current resources.

NI 43-101 technical report on Oro Cruz details an Inferred gold resource of 341,800 ozs gold contained in 4,835,000 tons with an average grade of 0.070 opt (2.20 g/t) gold at a 0.02 opt cutoff grade, or 376,600 ozs gold in 7,860,000 tons with an average grade of 0.050 opt (1.60 g/t) gold at a 0.01 opt cutoff grade.

Technical report recommends twin-hole drill program to convert Inferred resources to Indicated and Measured categories, bulk density tests, metallurgical tests.

Previous work has identified multiple exploration targets and several satellite gold zones that offer potential for increasing current resources.
