condizioni di vendita specificate nelle pagine successive.

I prezzi indicati si riferiscono ad una unità

(modulo/pezzo) calcolati con la superficie alla massima

altezza. Essi pertanto non sono divisibili in frazioni.

I prezzi dei moduli sono comprensivi di tutti gli

elementi necessari per la realizzazione di ciascun

modulo nelle versioni standard previste.

Vendite all’estero:

I prezzi espressi sono da intendersi franco nostro

magazzino a Putignano (BA) secondo gli Incoterms 2000

della CCI; i prezzi indicati si intendono al netto di IVA.

Vendite in Italia:

I prezzi sono IVA esclusa e si intendono con resa merce

franco destino nel territorio italiano a bordo camion

Introduction

This pricelist is valid from the 1st of July 2010

and it cancels and substitutes the previous editions. The prices are expressed in Euro and refer to

the sales conditions described in the following pages. The prices indicated refer to one unite (

module/piece) calculated with the surface at the maximum height. They can therefore be divided into fractions.

The prices of the modules comprehend all the elements required for the realization of each module in their standard version. Sales abroad: The prices expressed are ex-works our warehouse in Putignano (BA) according with the Incoterms 2000 of the ICC; they are without V.A.T. Sales in Italy: The price indicated are without VAT and CPT agreed Italian destination on a articulated truck (discharging not comprehended) for minimum order of net amount superior to: Euro 3,000.00 VAT excluded of material for the peninsular Italy (excluded Sicilia, Sardegna, little islands and the Venice Lagoon) Euro 4,000.00 VAT excluded of material for Sicilia Euro 5,000.00 VAT excluded of material for Sardegna. Dati tecnici

Modulo

La parete attrezzabile Planika è prodotta secondo una modularità sia verticale, che orizzontale Per il modulo si è adottato un interasse di 500, 1000 e 1200 mm., oltre ai moduli 200 adottati come compensatori verticali; in altezza invece il modulo è di 2800 - 3150 -3500 - 4000 mm.. Struttura

La struttura portante della parete attrezzabile Planika si compone di due elementi: i montanti verticali ed i traversi orizzontali, entrambi realizzati in acciaio zincato di spessore 1 mm. Il collegamento tra i vari elementi che compongono il reticolo strutturale, viene effettuato con appositi accessori a scatto che fissano in modo preciso e statico i traversi ai montanti. L'intera struttura è regolata da pressori di contrasto, alloggiati nei montanti e inseriti nelle guide. Nella parte superiore, il pressore è provvisto di una molla a spirale in acciaio che permette all' intera parete di assorbire gli eventuali movimenti di dilatazione dei solai. I montanti della parete sono provvisti di asole passanti nelle quali si fissano i ganci applicati sui pannelli di rivestimento, inoltre nelle asole vengono agganciati tutti gli elementi di arredo. Attraverso le asole posizionate sui profili della struttura possono passare guaine flessibili o altri impianti, che raggiungono ogni parte della parete. Rivestimento

Il rivestimento della parete Planika é realizzato in tre versioni: - con pannello sagomato dello spessore mm. 18 in lamiera d'acciaio preverniciato di mm. 0.8 accoppiata ad una lastra di gesso-rivestito di mm. 13. - con pannello in truciolare nobilitato melaminico ignifugo (Classe B-,s1,d0 ex CL1) dello spessore di mm 18; - con pannello in truciolare nobilitato melaminico dello spessore di mm. 18 ;

Technical information Module

The equippable partition Planika is

produced following horizontal and vertical modules. For the module we use axes 500, 1000 and

1200 mm, and the modules 200 mm used as vertical compensation; the heights of the modules are 2800-3150-3500-4000 mm.

Structure

The loadbearing structure of the equippable partition Planika is composed of two elements: the vertical uprights and the horizontal crosspieces both realized in galvanized steel thickness 1 mm. The link between the various element of the structural net is realized through specialized click accessories inserted that fix, in a precise and static way, the crosspieces to the uprights. The internal structure is ruled through contrasting pressors collocated into the uprights and into the rails. The uprights of the partition are provided with slots to which are fixed the hooks of the covering panels; moreover to the slots are hooked all the furniture. The slots on the profiles can be used for the passage of flexible sheath or other installations, that can reach each point of the partition. Covering

The covering of the partition Planika is realized in three versions: - with shaped panel thickness 18 mm in pre-varnished steel mm 0.8 combined with plasterboard thickness 13 mm. - with panel in melamimic treated chipboard fire-resistant (B-,s1,d0 ex CL1) thickness 18 mm; - with panel in melamimic treated chipboard thickness 18 mm;

Vetrate

I moduli vetrati sono costituiti da: - Fascia inferiore cieca; - Zona vetrata (diversa per tipologia prescelta); - Fascia superiore di compensazione dello stesso tipo del rivestimento dei moduli ciechi. L'altezza della zona vetrata varia da un minimo di mm. 448 ad un massimo di mm. 2432. Le lastre di vetro sono assemblate con i profili portavetro, in acciaio zincato preverniciato spessore mm 0,8 di colore grigio alluminio. Una guarnizione in PVC corre lungo tutto il perimetro del vetro assicurando una buona tenuta ed evitando le vibrazioni. Il modulo vetrato della parete Planika prevede la presenza di due vetri di spessore mm. 4 o vetri di sicurezza di mm. (3+3). Tale soluzione crea una intercapedine che conferisce alla parete un notevole potere fonoisolante e che consente l'eventuale applicazione di tende oscuranti con comando di solo orientamento o di elevazione e orientamento. Il pregevole effetto estetico è garantito dalla complanarità della superficie vetrata alla parete e dalla rifinitura del telaio. Porte

La parete attrezzabile Planika mette a disposizione porte cieche, parzialmente vetrate o vetrate. Le porte cieche sono realizzate in tamburato rivestito di laminato per uno spessore complessivo di mm. 44, con la larghezza utile di mm.876,1076,1876; altezza utile di mm. 2036, 2548 e con apertura a destra, a sinistra, a uno o due battenti. Su queste porte è possibile inserire vetri di sicurezza da 6 mm. di spessore e griglie di aerazione. Le porte vetrate sono realizzate in cristallo temperato da 10 mm trasparente o acidato. Le porte cieche è possibile realizzarle anche in acciaio verniciato ed in acciaio REI 120. Il telaio che raccorda le porte alla parete è fornito in acciaio zincato preverniciato colore grigio alluminio RAL 9006.

Aggiustaggi

Per far aderire perfettamente la parete alle strutture murarie sono utilizzate fasce di aggiustaggio, che consistono in particolari profili telescopici. Quest'ultimi garantiscono la perfetta messa a piombo della parete sopperendo alle irregolarità delle strutture murarie. Il sistema telescopico funge da elemento di compensazione, evita aggiustaggi in cantiere e consente di mantenere la modularità e la omogeneità nella disposizione dei moduli.

Glazed

The glazed modules are composed with: - blind lower band; - glazed part ( different according with the desired part); - upper compensation band of the same type of the covering of the blind modules. The height of the glazed modules goes from a minimum of mm 448 to a maximum of mm 2432. The glasses are assembled with profiles for the glasses, pre-varnished galvanized steel thickness mm 0,8 colour aluminium grey. A PVC gasket that goes along all the perimeter of the glass assuring a good resistance and avoiding the vibrations. The glazed modules of the partition Planika have two glasses thickness mm 4 or security glasses mm ( 3+3). This solution creates a gap that gives the partition a great sound insulation and allows the application of blinds with only orientation command or elevation and orientation command. The aesthetic effect is guaranteed through the coplanarity of the glazed surface of the partition and through the finishing of the frame. Doors

The equippable partition Planika has blind and completely or partially glazed doors. The blind doors are realised in laminated honeycomb for a total thickness of 44 mm, with width mm 876, 1076, 1876; height mm 2036 and right or left opening with one or two door leaves. On these doors can be inserted security glasses of 6 mm thickness and air grills. The glazed doors are realised in temperate crystal 10 mm thickness transparent or acidated. The blind doors can also be made of varnished steel and REI 120 steel. The frame that connects the doors to the partition is in pre-varnished galvanized steel colour aluminium grey RAL 9006. Adjusting bands

In order to make the partition perfectly adherent to the walls we use adjusting bands that is to say special telescopic profiles. They guarantee the perfect alignment of the partition compensating the irregularities of the wall.. The telescopic system is a compensating element, it avoids further modification during the work and allows the keep of the modularity and homogeneity in the disposition of the modules.

Battiscopa (Disponibile su richiesta)

Il battiscopa che corre inferiormente ad ogni modulo consente l'installazione e l'ispezione degli impianti di alimentazione. Infatti lo speciale sistema di aggancio permette una rapida e facile rimozione della fascia battiscopa, lasciando completamente libera l'intercapedine della parete per qualsiasi intervento di installazione, manutenzione, e riparazione. Skirting (Available on request)

The skirting is in the lower part of each module and allows the installation and the inspection of the alimentation installation. The special hooking system allows a rapid and simple removal of the skirting, leaving completely free the gap of the partition for each works of installation, maintenance and reparation. Condizioni generali di vendita (Rev. 02 Marzo 2009) 1) VALIDITA’ E UNICITA’ DELLE CONDIZIONI – Le seguenti condizioni generali sono le uniche che regoleranno tutti gli ordini che il cliente (di seguito “committente”) conferirà alla Mangini S.p.A. (di seguito “venditrice”) a partire dalla data sopra indicata. Ogni deroga o revoca dovrà essere espressamente approvata per iscritto dalla venditrice. 2) ORDINAZIONI - Ogni ordine è conferito come proposta irrevocabile da parte del committente e deve essere trasmesso per iscritto, con tutte le indicazioni necessarie al suo espletamento, poiché trattasi di vendita con produzione su misura e per commessa. Ogni ordine è subordinato all’accettazione della direzione commerciale della venditrice, mediante l’emissione di regolare conferma d’ordine scritta.

3) FORNITURA – La merce viene consegnata non assemblata e nelle quantità necessarie alla realizzazione dei materiali ordinati e confermati. 4) PREZZI E ANTICIPI - I prezzi sono in Euro, I.V.A. esclusa. Saranno applicati i prezzi in vigore al momento delle singole consegne. La venditrice si riserva di apportare in qualsiasi momento modifiche ai prezzi in funzione delle variazioni del costo delle materie prime, della mano d’opera, degli oneri fiscali e dei trasporti, intervenuti fra la data dell’ordine confermato e quella della consegna. Gli anticipi sono sempre infruttiferi e nel caso in cui l’ordine fosse revocato con approvazione della venditrice, questi restano acquisiti alla venditrice a titolo di penalità, salvo il diritto alla richiesta di danni e azioni di legge. 5) IMBALLO – La merce è consegnata con imballo standard incluso nei prezzi ed idoneo al trasporto su camion: i pannelli su pedane; i profilati metallici in fasci legati da reggetta; i telai vetrati sfusi. Diverso imballo sarà addebitato al costo e dovrà essere concordato per iscritto sulla conferma d’ordine. 6) TERMINI DI CONSEGNA - I termini di consegna anche se confermati sono indicativi. Eventuale ritardo non darà diritto a risarcimento danni o modifica o annullamento totale o parziale dell'ordine. La venditrice può eseguire anche consegne ripartite. Saranno comunque ritenuti casi di forza maggiore, liberando la Venditrice da ogni responsabilità, gli scioperi nazionali o parziali, l'impossibilità di trasportare per qualsiasi motivo, la mancanza di materie prime o energia, gli incidenti tecnici che possano ostacolare la produzione.

7) LUOGO DELLA CONSEGNA E TRASPORTO – La merce è sempre venduta e ricevuta dal committente presso i magazzini della venditrice a bordo camion coperto. Il trasporto, sia franco sia con addebito di contributo, è sempre per destino Italia isole e laguna di Venezia escluse, a bordo camion coperto ed in luogo raggiungibile ed accessibile da camion TIR centinato e coperto, di dimensioni (lunghezza x larghezza x altezza) mt. 17,00 x 2,60 x 4,10 e a condizione che ci sia un parcheggio libero ed idoneo per le operazioni di scarico. Il tutto è regolato da quanto previsto dall’art. 1510 c.c..

General sales conditions (Rev. 02 March 2009) 1) VALIDITY AND UNIQUENESS OF CONDITIONS – The following general conditions are the soles that will rule all the orders that the client (herein called “customer”) commissions to Mangini S.p.A. (herein called “seller”) starting from the indicated date. Any dispensation or revocation should be expressly approved in writing by the seller. 2) ORDERS- Each order is conferred as irrevocable proposal from the customer and should be transmitted in writing, with all necessary information to its realisation, since it is a sale with production on measure and under commission. Each order is subdued to the approval of the seller commercial direction, through the emission of a regular written order confirmation.

3) DELIVERY – The goods is delivered not assembled and in the necessary quantities to the realisation of the ordered and confirmed materials. 4) PRICES AND DEPOSITS – The prices are expressed in Euro, V.A.T excluded. The prices applied will be the ones in force at the moment of the delivery. The seller can apply variations to the prices according to the variations of the costs of the materials, of the labour, of the fiscal duties and of the transports occurred between the confirmed date of the order and the date of delivery. The advanced payments are always unprofitable and if the order is cancelled, after the approval of the seller, they are kept from the seller as penalty, except for the right to request of damages and legal actions. 5) PACKAGING – The goods are delivered with standard packaging comprehended in the price and suitable for transportation with trucks: the panels on pallets; the metal profiles in bands kept together with a plastic ribbon; glazed frames without packaging. Different types of packaging will be charged at the cost and should be agreed in writing in the order confirmation. 6) TERMS OF DELIVERY – The terms of delivery, even if they are confirmed, are indicative. A possible delay does not allow to indemnity, to variation, to total or partial cancellation of the order. Partial deliveries are also possible. National or partial strikes, the impossibility to deliver for any reason, the lack of raw materials or energy, technical accidents interfering with the production are deemed as reasons beyond control and release the seller from any responsibility.

7) PLACE OF DELIVERY AND TRANSPORTATION – The good is always sold and received from the customer in the seller warehouses and delivered on covered trucks. The transportation, both free and charged to the customer, is always destination Italy, except islands and Venice lagoon, on a covered truck and in a place reachable and approachable with covered TIR trucks, with dimensions ( length x width x height) mt 17.00 x 2.60 x 4.10 and at the condition that there is a free parking zone and suitable for the unloading. This procedure follows the indication of the art.1510 Italian c.c.

8) SCARICO E TIRO AL PIANO - Lo scarico ed il tiro al piano di posa sono sempre a cura e spese del committente. Per la tipologia dei colli, pesanti e di grosse dimensioni, lo scarico é da effettuarsi mediante carrello elevatore (muletto) di portata minima 2.000 kg. e con personale di manovalanza. Lo scarico deve essere eseguito entro trenta minuti dal momento dell'arrivo. Eventuali spese provocate da dirottamenti, divieti, cambiamenti, ritardi di scarico o altro, saranno addebitate al committente. Se all’arrivo lo scarico non é possibile per mancanza d’attrezzatura, personale addetto o altro, la venditrice è autorizzata al richiamo della merce presso i propri magazzini ove resterà a disposizione del committente, quale merce resa in deposito e regolarizzata da fattura in pari data oltre ad addebitare la somma di Euro/quintale 2,00 per ogni giorno di sosta delle merci nel magazzino della venditrice con pagamento contanti a vista fattura o mediante RI.BA. a 30 giorni data fattura. Per le vendite effettuate franco magazzino della venditrice, le merci commissionate saranno ritirate dal committente entro 5 giorni dalla comunicazione della venditrice di merce pronta. Decorso tale termine la venditrice emetterà la regolare fattura di vendita nonché addebiterà la somma di Euro/quintale 2,00 per ogni giorno di sosta delle merci con pagamento contanti o mediante RI.BA. a 30 giorni data fattura. 9) GARANZIE – La merce venduta è di buona qualità ed esente da difetti di fabbricazione ed è controllata prima della spedizione. La venditrice, inoltre, garantisce che la merce è conforme alle proprie documentazioni tecniche ed é immune da vizi che la rendano inidonea all’uso per il quale é destinata, salvo le normali tolleranze di produzione in uso nel settore. Il committente dichiara di conoscere tutte le caratteristiche tecniche della merce acquistata, il suo corretto immagazzinamento, installazione e manutenzione. Pertanto solleva la venditrice da qualsiasi responsabilità causata da inosservanza delle norme suddette nonché dai danni dovuti ad uso improprio o inadeguato o ad urti accidentali. Il committente ha l’obbligo di verificare qualità e quantità della merce al momento della consegna, trascrivendo sul documento di trasporto tutte le eccezioni o ammanchi riscontrati e farli sottoscrivere dal conducente del mezzo utilizzato per il trasporto. Eventuali altri reclami per vizi riscontrati devono essere fatti unicamente per iscritto alla venditrice nei termini di legge. La denunzia dei vizi deve essere corredata da tutti gli elementi inerenti la consegna, la produzione e la qualità del prodotto ritenuto non conforme e fatta prima che la merce venga usata o montata. La denuncia vizi dovrà essere accettata dalla venditrice per iscritto; in questo caso la venditrice sostituirà gratuitamente la merce difettosa in un ragionevole periodo purché non sia stata manomessa, usata o montata, altrimenti la merce si considera accettata. Con la sostituzione della merce difettosa, la venditrice sarà liberata da qualsiasi responsabilità verso il committente. In nessun caso la venditrice potrà essere ritenuta responsabile delle conseguenze dovute a danni speciali, consequenziali, indiretti o simili, inclusa la perdita di profitti. La venditrice non risponde di variazioni nelle tonalità di colore, per ordini eseguiti in tempi diversi.

8) UNLOADING AND RAISING TO THE FLOOR – The unloading and the raising to the floor are always charged to the customer. Considering the type of boxes, heavy and of big dimensions, the unloading should be done through a lift truck with a minimum load of 2,000 kg and from bricklayer workers. The unloading should be done within 30 minutes from the moment of the arrival. Possible expenses caused from transboarding, prohibitions, changes, delays in unloading or other will be charged to the client. If, after the arrival, the unloading is impossible because of lack of equipment, of authorised persons or other reasons, the seller is authorised to request back the goods to its warehouse where it will be kept at disposal of the customer, as goods returned to the warehouse and regularised with an invoice in the same date and with a further charge of an amount of 2.00 €/quintal for each day of rest of the goods in the seller’s warehouse with a cash payment at sight or with bank transfert 30 days invoice date. For the Ex works sales the ordered goods will be collected by the client within 5 days after the seller communication of ready goods. After this period the seller will issue a regular sale invoice and will charge to the client the amount of 2€/quintal for each day of rest with a cash payment at sight or with bank transfert 30 days invoice date. 9) WARRANTY– The sold goods is of good quality and with no production faults and is controlled before delivery. The seller, moreover, guarantees that the good is produced following its technical documents and does not present any fault that could make it unsuitable for its use, except from the normal production tolerations typical of this field. The customer declares to know all the technical characteristics of the bought goods, its correct storage, installation and maintenance. Therefore the seller has no responsibility in case the above mentioned rules will not be respected or in case of damages due to an improper and incorrect utilisation of the product or to accidental shocks. The customers must verify the quality and the quantity of the goods at the moment of the delivery, writing on the transportation documents all the faults or lacks verified and asking the driver of the truck used for the transportation to sign the document. Other possible claim due to faults verified should be communicated in writing to the seller in the terms described by the law and before the goods is used or assembled. The declaration of fault should be accepted in writing by the seller; in this case the seller will free substitute the faulted goods in a relatively short time on condition that it has not been forced, used or assembled, otherwise the goods will be considered accepted. With the substitution of the faulted goods, the seller will be free from any kind of responsibility towards the customer, in no way the seller can be considered responsible for the consequences due to particular damages, indirect or others, including the loss of profits. The seller does not respond for variation of the colours, for orders made in different periods.

10) FATTURAZIONE – Nel rispetto della normativa fiscale, la venditrice emetterà fattura nel corso o alla fine di ciascun mese per la merce consegnata nello stesso mese e la quota parte di montaggio effettuato nel caso ci fosse detta prestazione accessoria. Contestualmente sarà emesso il relativo pagamento. Trattandosi di vendita con produzione su commessa, in caso d’interruzione per cause non imputabili alla venditrice, sarà fatturato l’intero importo contrattuale oltre ad eventuali oneri e danni relativi, con l’emissione del relativo pagamento previsto. 11) CONDIZIONI DI PAGAMENTO, RISOLUZIONE DI DIRITTO E CESSIONE DEL CREDITO - Il pagamento del prezzo deve avvenire alla scadenza convenuta ed unicamente presso la sede della venditrice in Putignano (Ba). Anche se eseguito altrove e/o a mezzo di terzi Incaricati si intende da eseguirsi ed eseguito in Putignano (Ba) presso la sede della venditrice. Il rilascio di tratte e cambiali o l’emissione di RI.BA. non costituisce deroga al luogo di pagamento. I costi per effettuare il pagamento saranno a carico del committente. Il mancato pagamento della fattura, anche parzialmente, alla scadenza convenuta costituisce inadempienza con diritto della venditrice di addebitare le spese, i costi di recupero e gli interessi di mora calcolati come da D.Lgs. 9 ottobre 2002, n. 231 (pubblicato nella Gazzetta Ufficiale n. 249 del 23 ottobre 2002), salvi ed impregiudicati ogni altro diritto, ragione ed azione. E’ fatto salvo per la venditrice, di risolvere il rapporto o di sospendere o annullare senza preavviso ulteriori consegne di merce e/o risolvere i contratti in corso ai sensi dell’art. 1456 c.c. Inoltre il non rispetto dei termini di pagamento rende immediatamente esigibile tutti i crediti, anche non scaduti, senza bisogno di messa in mora o preavviso, senza alcun indennizzo per il committente. Nel caso di atti esecutivi o protesti nei confronti del committente o di variazioni del suo stato patrimoniale, la venditrice ha diritto ed è autorizzata ad esigere immediatamente tutti i pagamenti relativi alle forniture effettuate anche se di scadenza futura ed a richiedere garanzie di pagamento. La venditrice si riserva di non dar corso o sospendere l’esecuzione delle forniture in caso di mutamento delle condizioni patrimoniali del committente ai sensi dell’art. 1461 c.c., nonché in caso di decesso, incapacità, scioglimento di società, ipoteca, decreto ingiuntivo, pignoramento, sequestro conservativo o altri elementi o formalità pregiudizievoli. In tal caso il committente non avrà alcun diritto per richieste di danni. Le vendite sono eseguite con “patto di riservato dominio”; la merce rimane di proprietà della venditrice sino al totale pagamento del prezzo pattuito. Durante questo periodo il committente assumerà gli obblighi e la responsabilità di custode delle cose fornite e potrà alienare, dare in uso, in pegno, muovere tale merce solo a seguito di dichiarazione della proprietà della venditrice e con immediato avviso alla stessa a mezzo di raccomandata A/R. La venditrice, altresì, in qualunque caso possibile e indipendentemente dal comportamento del committente, si riserva la facoltà di notificare ai terzi l’esistenza del patto di riservato dominio esistente sulla merce. Eventuali pagamenti parziali effettuati resteranno acquisiti dalla venditrice a titolo di rimborso spese, danni, e deprezzamento per l’uso della merce. La venditrice si riserva, in qualsiasi momento, la facoltà di cedere il credito vantato nei confronti del committente, il quale dichiara di accettare fin d’ora ai sensi e per gli effetti dell’art. 1264 c.c. e di esonerare espressamente la venditrice da ogni altro onere di notificazione, eccetto la conferma dell’intervenuta cessione mediante comunicazione scritta con qualunque forma utilizzata (es. raccomandata A/R, fax o altro).

10) BILLING– In order to respect the fiscal norms, the seller will issue invoice and the relative payment during or at the end of each month, for goods delivered in the same month and for the possible share of the assembling, in case this further service is requested. Since it is a sale with production on request, in case there is an interruption not caused by the seller, the entire contractual amount will be invoiced together with any other cost and damage, with the emission of the payment. 11) PAYMENT CONDITIONS, RIGHT RESOLUTION AND ASSIGNMENT CREDIT - The payment of the price should be done at the agreed extinguish date exclusively to the registered office of the seller in Putignano (Ba). Even if it is done somewhere else or through thirds it is considered to be done in Putignano (Ba) in the seller registered office. The issue of drafts or of cash orders does not allow to changes in the place of the payment. The costs of the payment will be charged to the client. The outstanding payment of the invoice, even if in part, at the agreed extinguish date is considered as non-fulfilment and the seller has therefore the right to charge to the client the expenses, the costs of recovering and the interests of arrears, calculated following the law decree dated 9 October 2002 n° 231 (published in the Italian Official Journal n° 249 dated 23 October 2002), except for other rights, reason and action. The seller can stop the relation, interrupt or cancel, without notice, further delivery of the goods or solve the still pending agreement following the art. 1456 Italian c.c.. Moreover the lacked respect of the payment terms allows immediately the seller to require credits, even if not yet extinguished, with no need of arrears or notice, and with no refund for the client. In case there are executive actions or protest towards the client or variations of its property status, the seller is allowed to require immediately all the payments related to the realised supplies even if in future expiration and to require guarantees of payment. The seller has the right to interrupt the supplies in case of change of the property conditions of the customer according to the art. 1461 c.c., or in case of death, unfitness, society breaking up, mortgage, commended decree, distains, confiscation or other prejudicial elements. In this case the customer will not be allowed to requirements for damages. The sales are made with an “ownership lien”, the goods are property of the seller until the complete payment of the agreed price. During this period the customer will have the obligations and responsibilities of custody of the goods and can alienate, borrow on use, on pledge an move the ware only after declaration of the property of the seller and communicating it to the seller by registered letter with a form of acknowledgement of receipt. The seller, in any possible case and apart from the customer’s behaviour, can notify to third parties the existence of the ownership lien on the goods. Possible partial payments will be kept by the seller as expenses refund, damages and depreciation for the utilisation of the goods. In any moment, the seller has the right to assign the credit towards the customer, which declares to accept, according to the art. 1264 Italian C.C., and to expressly exonerate the seller from any other cost of notification, except the confirmation of the assignment by written communication in any form (fax, letter with receipt or other).

L’eventuale cessione del credito potrà essere effettuata a terzi di qualsiasi genere (società di factoring, istituti di credito, finanziari o altro). Il pagamento non potrà essere sospeso o ritardato per nessun motivo. Ogni eventuale ragione o pretesa dovrà essere fatta valere dal committente in separata sede. 12) MONTAGGIO – La venditrice è in grado di fornire a pagamento il servizio accessorio di montaggio della merce fornita, affidandolo a fiduciaria ditta esterna specializzata. Tale prestazione dovrà essere appositamente pattuita per iscritto nella conferma d’ordine e sarà effettuata in un’unica fase e nelle date stabilite dalla venditrice in base alle proprie esigenze organizzative. Dal montaggio sono sempre esclusi, e quindi a cura e spese del committente, i seguenti oneri: a. stoccaggio dei materiali consegnati presso il cantiere

in locale apposito chiuso ed asciutto con custodia degli stessi, per cui è a carico del committente la responsabilità per manomissioni e/o danneggiamenti;

b. tenere liberi i locali, dove saranno montati i materiali, da cose e persone estranee ai lavori,

c. acqua, energia elettrica, illuminazione, eventuali opere murarie e di finitura necessarie al montaggio;

d. reti e canalizzazioni d’impianti tecnici (elettrico, idrico, telefonico, telematico, condizionamento o altro);

e. aggiustaggi in cantiere non previsti nella conferma d’ordine;

f. eventuali forometrie da effettuarsi sui materiali forniti dalla venditrice;

g. lavori connessi al montaggio non previsti contrattualmente nella conferma d’ordine della venditrice e richiesti durante l’esecuzione, saranno contabilizzati “lavori in economia” ed addebitati al committente al prezzo in vigore al momento della loro effettuazione;

h. pulizia a fine lavori dei materiali montati e del cantiere, con trasporto a rifiuto dei materiali di risulta;

i. pratica per permessi, concessioni, autorizzazioni, nulla-osta ed altro atto di qualsiasi tipo;

j. organizzazione della sicurezza in base alle vigenti norme (T. U. 81/2008 e altre norme vigenti);

k. oneri e danni derivanti da interruzioni o rallentamenti non imputabili alla venditrice;

l. tutto quanto non indicato espressamente a carico della venditrice nella conferma d’ordine.

13) CONSULENZA TECNICA - L’eventuale consulenza tecnica che la venditrice riterrà di dare gratuitamente al committente sia direttamente sia tramite i suoi agenti di vendita, deve considerarsi fornita in via spontanea e volontaria senza alcuna responsabilità a carico della venditrice. 14 MODIFICHE – La venditrice si riserva il diritto di modificare o revocare le sopradette condizioni generali di vendita in qualsiasi momento senza preavviso e comunque per iscritto, anche mediante le condizioni specifiche di fornitura da riportarsi nella conferma d’ordine della venditrice. 15) LEGGE E FORO – Tutti i rapporti e gli atti giuridici tra la committente e la venditrice sono regolati esclusivamente dalla legge italiana. Per qualsiasi controversia tra le parti sarà esclusivamente competente il Foro di Putignano (Ba). Qualora la venditrice sia parte attrice, questa si riserva la facoltà di adire tanto il Tribunale di Putignano (Ba) quanto quello della circoscrizione del committente.

The credit assignment can be made to third parties of any sort (factoring company, banks, financial bodies, or other). The payment cannot be suspended or delayed in any case. Other types of reasons or requests should be expressed in a special session. 12) ASSEMBLING– The seller can offer to the client, under payment, the further service of assembling of the supplied goods through a trusted specialised external company. This service should be agreed in writing in the order confirmation and should be done in a unique step and in the date fixed from the seller according to its needs. From the assembling are always excluded, and are therefore charged to the client, the following charges: a. storage of the delivered materials in a suitable place, closed, dry and protected; therefore the responsibility for damages or tampering is of the client; b. keep the place where the material will be assembled free from things and external people; c. water, electric storm, lighting, possible walls and finishing necessary to the assembling; d. nets and canalisation of electrical installations ( electrical, plumbing, telephone, air conditioned, etc.) e. variation to be done in yard and not agreed in the order confirmation; f. possible holes to be realised on the materials supplied by the seller; g. works connected with the assembling, not agreed in the seller order confirmation and necessary during the assembling, will be considered as “works in economy” and will be charged to the client at the price in force at the moment of the assembling; h. at the end of the works, cleaning of the assembles materials and of the site, with transport as waste of the remaining materials; i. papers for permissions, concessions, authorizations, or any other necessary documents: j. organization of the security according to the actual laws (T.U. 81/2008 and other norms in vigour); k. costs and damages due to interruptions or delays not due from the seller; l. everything not expressly indicated as at charge of the seller in the order confirmation. 13) TECHNICAL ADVICE - The possible technical consultation that the seller will decide to offer free to the client, both directly or through its sales agents, should be considered as offered in a spontaneous and voluntary manner, without any responsibility at charge of the seller. 14) VARIATIONS – The seller has the right to modify or revoke the above mentioned general sales conditions in any moment and without notice, anyway in writing, even by means of the specific supply conditions to be expressed in the seller order confirmation. 15) LAW AND COURT– All the relations and the juridical acts between client and seller are ruled exclusively from the Italian law. Any kind of dispute between the two parts will be strictly by the court of Putignano ( Ba). If the seller is the actor part, the courts allowed to participate can be the one in Putignano (Ba) or the one indicated by the client.

16) PRINCIPIO DI CONSERVAZIONE – Nel caso in cui una o più clausole delle presenti condizioni generali di vendita divengano nulle, le restanti clausole rimarranno completamente valide. In tale caso la clausola nulla sarà sostituita dalla venditrice da una clausola valida che si avvicini di più allo scopo economico di quella nulla. 17) TUTELA DEI DATI PERSONALI – Ai sensi e per gli effetti del D. Lgs. 30 giugno 2003 n. 196 i dati personali sono raccolti con la sola finalità di registrare il committente e dare esecuzione al contratto.

16) PRINCIPLE OF CONSERVATION – If one or more clause in these general sales conditions is invalidated the other clauses will be anyway valid. In this case the invalidated clause will be substituted by the seller with a valid clause with a similar economical content of the previous one. 17) TUTELAGE OF PERSONAL INFORMATION – In accordance with law decree 30/06/2003 the personal information are collected with the only aim of recording the client and of giving execution to the agreement.

Come formulare un preventivo / ordine

Preventivo

La prima fase per la preparazione di un preventivo è quella di raccogliere tutti i dati necessari per l'individuazione delle caratteristiche principali della parete. Tali caratteristiche si possono acquisire direttamente dal progetto o tramite la consultazione del cliente. Le informazioni necessarie per redigere un preventivo sono: - Caratteristiche tecniche particolari (Protezione al fuoco, isolamento acustico); - Altezza della parete; - Tipologia del modulo; - Tipo di rivestimento; - Colore del rivestimento. Dalle informazioni assunte, quindi, si procede alla ricerca, all'interno del listino, dei corrispondenti moduli. Individuata la tipologia del singolo modulo si procede successivamente all'assegnazione del relativo codice e all'attribuzione del costo, in funzione dell'altezza richiesta. Sarà poi la sommatoria dei singoli valori a determinare il costo finale dell'opera. Per realizzare un preventivo che riguarda i rivestimenti di pilastri occorrerà utilizzare la modulistica dei rivestimenti di parete e i relativi moduli di completamento dando così continuità estetica alla realizzazione finale. Ogni composizione di parete mobile avrà, oltre agli elementi di compensazione e /o di partenza necessari, anche, gli elementi di compensazione e/o di partenza "Finali". Quest'ultimi sono necessari per terminare le "composizioni" (Un insieme di moduli che iniziano e finiscono sulle murature esistenti). Ogni composizione , quindi, avrà sia un elemento standard che uno o più elementi finali . Ordine

Nell'ordine devono comparire in modo chiaro ed inequivocabile i seguenti elementi : - Ragione sociale del cliente e luogo di destinazione della merce; - Condizioni commerciali pattuite (pagamenti, trasporti, ecc.); - Tipologia di parete prescelta; - Codici di ogni singolo modulo; - Quantità e costo dei singoli moduli; - Maggiorazioni ed accessori; - Eventuali note. Farà seguito al Vs. ordine una Ns. "Conferma d'ordine" per convalidare, o variare le condizioni tecniche e commerciali.

How to prepare an offer/ order Offer

The first step for the preparation of an offer is to collect all the necessary information to understand the most important information of the partition. These characteristic can be taken directly from the project or through consultation with the client. The necessary information to prepare an offer are: - Particular technical characteristics ( fire reaction, acoustic insulation); - Height of the partition; - Type of the module; - Type of covering; - Colour of the covering. From the collected information we identify, in the pricelist, the corresponding modules. Once we have understood the type of each single module, we give a code to each module and give them a price according with the requested height. The sum of the single values will define the final cost of the work. To realise an offer about the column covering it will be necessary to use the modules of wall covering and the completing modules giving; in this way aesthetic continuity to the final realisation. Each composition of mobile partition will have, apart from the necessary compensation and starting elements, the compensation and “final” starting elements. The latter are necessary to finish all the compositions ( a group of modules that start and finish on the existing walls). Each composition, therefore, will have a standard element and one or more final element. Order

In the order should appear in a clear way the following elements: - Name of the client’s company and place of destination of the goods; - Agreed commercial conditions ( payments, transportations, etc.); - Type of partition chosen; - Code for each single module; - Quantity and price of the single modules; - Surcharges and accessories; - Possible notes. Your order will be followed by an “Order confirmation” to confirm or modify the technical and commercial conditions.
