Independent Workshop Procedure for Key Adaptations Access to vehicle security information and replacement keys is provided only for those security professionals registered with the NASTF (National Automotive Service Task Force) vehicle security professional registry. For more information on registration, visit the ‘Vehicle Security Information’ page on the NASTF Web Site (see link below). After registration, please follow steps one through four within this document for instructions on the key adaption process. http://nastf.org/i4a/pages/index.cfm?pageid=3532 The Immobilizer is a theft-deterrent device that adds a layer of security and is standard on every new Porsche model. This is achieved with an electronic device embedded in the ignition key, an Immobilizer Control Module and an electronic link to the Engine Control Module.
System Access Porsche uses an on-line Immobilizer Adaptation (PIN) delivery system on all new vehicles. It is a vehicle anti-theft protection system. With this system a SAE J2534 diagnostic tool is connected to the vehicle, a computer and the Internet to an online database called Fazit. The identification of the tester and vehicle are passed to the database and the correct PIN is passed to the vehicle in a secure link without direct user interface. Internet Requirements for performing Key adaptations: This technique requires a secure un-interrupted Internet connection During update programming approximately 4MB are transmitted via the Internet connection The connection must not be broken during the adaption process A special Porsche certificate is required
First Step: NASTF Registration As mentioned above, you must be registered with the NASTF (National Auto Service Task Force) vehicle security professional registry to perform key code adaptions or acquire keys from Porsche. A valid LSID (Locksmith Identification Number) is required. Second Step: Register as an Authorized Independent Workshop with Porsche Independent workshops/locksmiths wishing to perform key code adaptions or acquire keys from Porsche must be a registered workshop with Porsche Cars North America, Inc. Please review the application process below: 1. Program registration forms for PXN (Porsche eXternal Network), which are required for the application process, can be found at the end of this document (please see section ‘PXN Contract for Independent Repair Facility’). The first half of the form is in German and is the binding version of the contract. A convenience translation has been provided in English, however only the German version should be completed and signed as it is the binding contract. 2. The workshop must return the completed forms, along with your business license and contact documentation, to either the mailing or email address listed below. Porsche TechInfo Support will respond to the workshop with a confirmation of receipt within 2 days upon receiving the application. Total processing time from initial request to approval or disapproval will take approximately 2-3 Weeks, plus time spent by the requesting workshop during the application cycle. The completed forms and documents must be mailed to the following address: Attn: Regulatory Affairs/AfterSales Porsche Cars North America, Inc. 980 Hammond Drive Suite 1000 Atlanta, GA 30080 or scanned and emailed to [email protected]. 3. Individual security system access IDs and passwords will be sent via e-mail. Please follow the instructions within the email to download and install your certificate (instructions are also written in this document; please see section ‘PXN User Setup Instructions’). This will grant you access to the Porsche eXternal Network, known as PXN. Third Step: Obtaining a SAE J2534 Pass Thru Device You will need a SAE J2534/J2534-1 Pass Thru Device and the appropriate software to properly perform a key adaption on a Porsche vehicle. A Porsche PIWIS II Diagnostic Tester is not required to perform a key adaption. Device: Porsche recommends the PassThru+XS Device for flash reprogramming and pass thru on Porsche vehicles. It has been both tested and approved. This device should also be used (in conjunction with the PXN Virtual Tester) for key codes and key adaptions. http://www.passthruxs.com/passthruxs.htm Software: Porsche recommends the API PassThru+XS & XS 2G for Workshops (version 2.06d and higher, based on SAE J2534-1 Dec 2004) for the pass thru software required. http://www.passthruxs.com/download.htm

Fourth Step: Obtaining a Key or a Key Adaptation Obtaining a key or key adaption requires a registered LSID with NASTF, a high speed internet connection and additional information identifying both the vehicle and workshop to maintain a high level of security. The adaptation is only valid for the vehicle it is being performed on at the time it is being performed. Workshops registered with NASTF and Porsche can order a key through the Porsche Key Service Web Site: www.keys-porsche.com Once the key has been received, the workshop must use PXN - Virtual Tester to adapt the key(s) to the vehicle. Please note: • If the vehicle has been reported as stolen, no immobilizer adaptation will be given. • A service fee will apply for each key ordered or adaptation performed by the workshop. • The cost of the key will be charged to the registered workshop • Replacement keys are only available for MY2008 and newer vehicles • Registered workshops will submit an on line credit card payment to perform each adaptation or to

Import and Install PXN User Certificate After receiving the ‘PXN Logon Information for User XXXXX’ email from [email protected], click on the link within the email and follow the instructions of the certificate installation wizard.
Enter the username and password that was provided in the email and press login.
A prompt will appear to change your password. Fill in the fields and click save.

Now the certificate must be installed to Internet Explorer. Copy or write down the import password that has been provided and then click on the link to begin the import process.

Enter the import password that was provided to you and make sure the check box for Include all extended properties is selected. Click Next.

Click Finish. A box will appear saying that the Import was succesful!. Click Ok and import has been completed. Präambel
0.1 PORSCHE ist ein führender Hersteller sportlicher Fahrzeuge. Der Vertrieb und Service,
insbesondere Wartung und Reparatur der Fahrzeuge, wird durch ein Netz autorisierter Porsche
Händler und autorisierter Porsche Service-Werkstätten gewährleistet. Zusätzlich leisten
unabhängige Werkstätten Service an Porsche Fahrzeugen.
0.2 Für die UNABHÄNGIGE WERKSTATT stellt PORSCHE das System PIWIS TSI (Internet Angebot von
technischen Service Informationen) bereit. Für sicherheitsrelevante Daten wie Code- und
Fahrzeuginformationen ist ein Zugang zu einem speziell abgesicherten Bereich PXN (Porsche
External Network) notwendig. Dieser Zugang erfordert eine spezielle Akkreditierung der
UNABHÄNGIGE WERKSTATT und eine Zertifizierung zur Nutzung des Systems. Die Nutzung sieht,
aus technischen Gründen, das Vorhanden sein eines PORSCHE Diagnosegerätes oder des
PORSCHE Diagnosepaketes vor.
0.3 Bei der UNABHÄNGIGE WERKSTATT handelt es sich um eine von Porsche nicht autorisierte
Werkstatt. Die UNABHÄNGIGE WERKSTATT möchte für die Instandsetzung und Wartung von
Porsche Fahrzeugen und Porsche Teile die bereitgestellten Daten nutzen.
Dies vorausgeschickt schließen die Parteien folgenden Vertrag:
Artikel 1 Vertragsgegenstand
1.1 Porsche stellt der UNABHÄNGIGEN WERKSTATT folgende Daten zur Verfügung:
Fahrzeuginformationen Codeinformation Zugang zu Diebstahlschutz relevante Daten
1.2 Die oben genannten Daten können von PORSCHE ohne Ankündigung verändert werden. Die
Änderungen erhalten Gültigkeit mit Veröffentlichung. Die UNABHÄNGIGE WERKSTATT ist für die Erkennung von Änderungen verantwortlich.
1.3 Die von PORSCHE zur Übertragung der Informationen gewählten Medien sind nicht dauerhaft
festgeschrieben. PORSCHE steht es frei die Medien zu wechseln. 1.4 Zur Nutzung der Daten müssen die geeigneten Gegenstellen und Betriebsmittel (z.B. Hard- und
Software) von der UNABHÄNGIGEN WERKSTATT selbst beschafft werden. Hierfür anfallende Kosten werden von der UNABHÄNGIGEN WERKSTATT getragen.
1.5 Rückfragen zur Lieferung der Daten und technische Auskünfte werden durch den Porsche
IMPORTEUR beantwortet.
Artikel 2 Gebrauchsüberlassung und Umfang der Nutzungsrechte
2.1 PORSCHE räumt der UNABHÄNGIGEN WERKSTATT ein nicht ausschließliches, nicht übertragbares,
auf die Laufzeit dieses Vertrags beschränktes Recht im Rahmen der nachfolgenden Regelungen zur Nutzung der Daten ein.
2.2 Die UNABHÄNGIGE WERKSTATT ist berechtigt die Daten zur Nutzung im Rahmen von Reparatur-,
Wartungs- und Servicearbeiten an Fahrzeugen der Marke Porsche zu verwenden.
2.3 Der UNABHÄNGIGEN WERKSTATT ist es untersagt, die Daten an einen Dritten zu vermieten, zu
verleihen, zu verkaufen oder sonst zu überlassen.
2.4 Der UNABHÄNGIGEN WERKSTATT ist es untersagt die Daten zur Manipulation der vom Hersteller
voreingestellten Fahrzeugdaten, d. h. zur Änderung von Fahrzeugeigenschaften und Fahrzeugdaten
zu benutzen.
2.5 Die UNABHÄNGIGE WERKSTATT darf die Daten nicht vervielfältigen. 2.6 Die Nutzung der Daten ist beschränkt auf die Laufzeit dieses Vertrages. Die Daten dürfen nach
Beendigung des Vertrages nicht weiter genutzt werden. 2.7 Sämtliche Urheberrechte an den von PORSCHE zur Verfügung gestellten Daten bleiben bei
PORSCHE. 2.8 Zertifikate und Zugangsdaten für das System werden personenbezogen zugewiesen. Die
Weitergabe von Zugangsdaten an andere als die für diese Zugangsdaten registrierten Personen ist nicht gestattet.
2.9 Die Personen, die im Rahmen dieses Vertrages Zugang zum System haben sollen (maximal 2),
werden mit den für den Systemzugang notwendigen Angaben im Anhang 1 genannt. Zusätzlich ist der separate Antrag im Anhang 2 für den Systemzugang notwendig.
Artikel 3 Aktualisierung und Lieferung der Daten
3.1 PORSCHE aktualisiert die Daten laufend, es obliegt der UNABHÄNGIGEN WERKSTATT sich bei
Bedarf die jeweils aktuellen Daten aus dem System zu beschaffen. 3.2 Die Lieferung der Zertifikate und daraus resultierenden Benutzerdaten liefert PORSCHE spätestens
10 Werktage nach Prüfung der notwendigen Daten im Anhang 1 und daraus erfolgreicher Vertragsunterzeichnung.
Artikel 4 Vertragsstrafe
4.1 Sollten die Maßnahmen der UNABHÄNGIGEN WERKSTATT zur Absicherung der unter Artikel 2
genannten Nutzung nicht ausreichen und die Daten in anderer Weise genutzt werden, ist die
UNABHÄNGIGE WERKSTATT zur Zahlung einer Vertragsstrafe in Höhe von 20.000 EUR für jeden Verstoß unter Verzicht auf die Einrede des Fortsetzungszusammenhangs verpflichtet.
4.2 Die Geltendmachung weitergehender Ansprüche bleibt vorbehalten.
Artikel 5 Entgelt, Zahlungsbedingungen
5.1 Die Preise für einzelne Informationen bezüglich Codes und Fahrzeuginfos betragen 2,60 EUR pro
Code bzw. Fahrzeuginfo. Änderungen können erfolgen. Bitte beachten Sie zudem die Angaben im
Umfeld PIWIS TSI.
5.2 Die UNABHÄNGIGE WERKSTATT kann die Daten erwerben, sobald ein Guthaben über die im Anhang
1 angegebene Kreditkarte auf das jeweilige Benutzerkonto gebucht ist.
Artikel 6 Geheimhaltung
6.1 Die UNABHÄNGIGE WERKSTATT verpflichtet sich, über die Systeme, Daten und Unterlagen, die sie
erhält oder einsieht, und sonstige als vertraulich gekennzeichnete Unterlagen gegenüber Dritten
strengstes Stillschweigen zu bewahren und/oder diese Dritten nicht preiszugeben. Die
UNABHÄNGIGE WERKSTATT wird alle von PORSCHE bzw. dem PORSCHE IMPORTEUR erhaltenen
Unterlagen so aufbewahren, dass Unbefugte keine Einsicht nehmen können. Die UNABHÄNGIGE
WERKSTATT wird ihren Mitarbeitern eine entsprechende Geheimhaltungspflicht auferlegen.
6.2 Die Geheimhaltungspflicht gemäß Artikel 6.1 gilt zeitlich unbefristet. Die Geheimhaltungspflicht
gemäß Artikel 6.1 gilt nicht
gegenüber solchen Personen, die gesetzlich oder aufgrund Gestattung von PORSCHE zur
Kenntnisnahme befugt und zur Verschwiegenheit verpflichtet sind,
für solche Veröffentlichungen, die aufgrund gesetzlicher Bestimmungen und/oder behördlicher
Anordnungen von der UNABHÄNGIGEN WERKSTATT verlangt werden,
für solche Unterlagen und/oder Informationen, die allgemein bekannt sind oder allgemein bekannt
werden, ohne dass dieses von der UNABHÄNGIGEN WERKSTATT zu vertreten ist,
für solche Unterlagen und/oder Informationen, die der UNABHÄNGIGEN WERKSTATT durch
Preisgabe von einem zur Bekanntgabe berechtigten Dritten bekannt werden,
und/oder,
soweit die Geheimhaltungspflicht der Geltendmachung von Ansprüchen der UNABHÄNGIGEN
WERKSTATT entgegensteht.
Das Vorliegen einer der vorstehenden Ausnahmen hat die UNABHÄNGIGE WERKSTATT zu beweisen.
6.3 Die UNABHÄNGIGE WERKSTATT verpflichtet sich, für jeden Fall der schuldhaften Zuwiderhandlung
gegen die Geheimhaltungspflicht gemäß Artikel 6.1, sei es durch die UNABHÄNGIGE WERKSTATT
oder durch einen Mitarbeiter der UNABHÄNGIGEN WERKSTATT, an PORSCHE und den PORSCHE
IMPORTEUR eine von PORSCHE und dem PORSCHE IMPORTEUR nach billigem Ermessen
festzusetzenden Vertragsstrafe von bis zu 10.000 EUR zu zahlen, die im Streitfall vom Landgericht
Stuttgart zu überprüfen ist. Porsche behält sich vor, einen über die verwirkte Vertragsstrafe
hinausgehenden Schadensersatz geltend zu machen.
Artikel 7 Mängelrechte
7.1 PORSCHE gewährleistet mangelfreie Lieferung der Daten. Sämtliche Eigenschaften der von
PORSCHE geschuldeten Leistungen werden abschließend durch diese Vertragsbedingungen
bestimmt. Als Mängel im Sinne der Bestimmungen des Artikels 7.1 gelten nur wesentliche Fehler.
Angaben zu geschuldeten Leistungen stellen im Zweifel nur dann eine Zusicherung oder Garantie
von Eigenschaften dar, wenn dies dem Wortlaut nach ausdrücklich erklärt ist.
7.2 Mängel der überlassenen Daten einschließlich der Bedienungshandbücher und sonstiger Unterlagen
werden nach entsprechender Rüge des Mangels durch die UNABHÄNGIGE WERKSTATT von
PORSCHE bzw. dem PORSCHE IMPORTEUR innerhalb angemessener Zeit behoben. Die
Mängelbehebung erfolgt nach Wahl von PORSCHE bzw. des PORSCHE IMPORTEURS durch
kostenfreie Nachbesserung oder Ersatzlieferung. Bei Fehlschlagen der Nachbesserung oder
Ersatzlieferung stehen der UNABHÄNGIGEN WERKSTATT vorbehaltlich der Regelungen in Artikel 7
und 8 die gesetzlichen Mängelrechte zu.
7.3 Die verschuldensunabhängige Haftung von PORSCHE für bereits bei Vertragsschluss vorhandene
Fehler der Daten ist ausgeschlossen.
7.4 Der UNABHÄNGIGEN WERKSTATT stehen keine Mängelrechte zu, sofern die UNABHÄNGIGE
WERKSTATT den Vertragsgegenstand ändert oder durch Dritte ändern lässt, es sei denn, dass die
UNABHÄNGIGE WERKSTATT nachweist, dass diese Änderung für den Mangel nicht ursächlich ist.
7.5 Die Mängelrechte verjähren innerhalb eines Jahres ab Ablieferung, soweit diese nicht auf einer
vorsätzlichen Pflichtverletzung von PORSCHE bzw. dem PORSCHE IMPORTEUR beruhen
Artikel 8 Haftungsbeschränkung
8.1 PORSCHE und der PORSCHE IMPORTEUR haften für einfache Fahrlässigkeit bei Verzug, objektiver
oder subjektiver Unmöglichkeit, anfänglichem Unvermögen und sonstigen Formen verschul-
densabhängiger Haftung nur, sofern eine Pflicht verletzt wird, deren Einhaltung für die Erreichung
des Vertragszwecks von besonderer Bedeutung ist (Kardinalpflicht), und zwar nach folgender
Maßgabe:
Die Haftung ist der Art nach auf solche Schäden begrenzt, mit deren Entstehung im Rahmen
dieses Vertrages zum Zeitpunkt des Vertragsschlusses typischerweise gerechnet werden
musste.
8.2 PORSCHE und der PORSCHE IMPORTEUR haften unbeschränkt nur für die grobe Fahrlässigkeit ihrer
gesetzlichen Vertreter und/oder leitenden Angestellten und/oder für Vorsatz. Für die grobe
Fahrlässigkeit sonstiger Erfüllungsgehilfen haften PORSCHE und der PORSCHE IMPORTEUR nur im
Umfang und nach Maßgabe der Haftung für einfache Fahrlässigkeit gemäß Artikel 8.1.
8.3 Die Haftung für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, nach
dem Produkthaftungsgesetz, wegen des Fehlens zugesicherter oder garantierter Eigenschaften
und/oder aufgrund von Garantien im Sinne des § 443 BGB oder § 639 BGB bleibt von den
vorstehenden Regelungen unberührt.
Artikel 9 Haftungsfreistellung bei Missbrauch des Systems
9.1 Die UNABHÄNGIGE WERKSTATT stellt PORSCHE hinsichtlich aller Kosten, Schäden und/oder
sonstiger Verluste jeglicher Art (inklusive Kosten der Rechtsverfolgung) frei, die daraus resultieren,
dass die UNABHÄNGIGE WERKSTATT die Daten entgegen den Bestimmungen von Artikel 2
gebraucht und/oder für andere als die in dem Bedienungshandbuch vorgesehenen Zwecke
missbraucht. Das gilt nicht, falls die Haftung aus dem Verantwortungsbereich von PORSCHE
resultiert.
9.2 Weitergehende Ansprüche von PORSCHE gegen die UNABHÄNGIGE WERKSTATT bleiben von der
Haftungsfreistellung gemäß Artikel 9.1 unberührt.
Artikel 10 Vertragslaufzeit
10.1 Dieser Vertrag tritt ab Unterzeichnung durch beide Vertragsparteien in Kraft. Er gilt für unbestimmte
Zeit und kann von beiden Vertragspartnern zum Monatsende gekündigt werden.
10.2 Bei Neuentwicklungen bzw. Umstellungen der bestehenden Systeme wird PORSCHE der
UNABHÄNGIGEN WERKSTATT binnen einer angemessenen Frist mitteilen, dass ein neues System
zum Einsatz kommt. Die UNABHÄNGIGE WERKSTATT ist berechtigt, dieses neue System aufgrund
eines neu abzuschließenden Vertrages zu beziehen. Mit der Veröffentlichung eines neuen Systems
werden keine weiteren Softwareaktualisierungen des bis dahin geltenden Systems erfolgen.
10.3 Das Recht zur Kündigung aus wichtigem Grund bleibt von Artikel 10.1 unberührt. Ein wichtiger
Grund liegt für PORSCHE insbesondere vor,
wenn die UNABHÄNGIGE WERKSTATT die Daten zur unzulässigen Einstellung von
Fahrzeugeigenschaften und Fahrzeugdaten missbraucht;
wenn die UNABHÄNGIGE WERKSTATT die Daten unbefugt einem Dritten überlässt;
wenn die UNABHÄNGIGE WERKSTATT die in Artikel 2 festgelegten Nutzungsrechte in sonstiger
Weise überschreitet;
wenn die PORSCHE WERKSTATT gegen die in Artikel 6 aufgeführte Geheimhaltungspflicht
verstößt;
wenn ein Dritter aufgrund eines gegen die UNABHÄNGIGE WERKSTATT gerichteten
Vollstreckungstitels die Zwangsvollstreckung die Nutzungsrechte der UNABHÄNGIGEN
WERKSTATT betreibt;
wenn ein Insolvenzverfahren über das Vermögen der UNABHÄNGIGEN WERKSTATT eröffnet
oder dessen Eröffnung mangels Masse abgelehnt wird.
10.4 Die Kündigung bedarf zu ihrer Wirksamkeit der Schriftform. Die Kündigung in der Form eines

Artikel 11 Schlussbestimmungen
11.1 Dieser Vertrag begründet kein Recht der UNABHÄNGIGEN WERKSTATT, sich als Porsche Service
Zentrum oder sonst als authorisierte oder anerkannte Porsche Werkstatt zu bezeichnen und/oder
den geschützten Porsche Schriftzug oder sonstige Porsche Marken und/oder Porsche
Außenidentifikationsmittel zu verwenden.
11.2 Änderungen oder Ergänzungen dieses Vertrages bedürfen der Schriftform. Genügen sie dieser
nicht, so sind sie nichtig. Dies gilt auch für Änderungen dieser Schriftformklausel.
11.3 Keine der beiden Parteien darf ohne vorherige schriftliche Zustimmung der anderen Partei Rechte
oder Pflichten aus diesem Vertrag auf einen Dritten übertragen. Porsche ist jedoch zur Übertragung
von vertraglichen Rechten oder Pflichten auf mit PORSCHE im Sinne des § 15 AktG verbundene
Unternehmen auch ohne Zustimmung der UNABHÄNGIGEN WERKSTATT berechtigt. PORSCHE hat
das Recht, bei der Leistungserbringung aufgrund dieses Vertrages Subunternehmer zu
beauftragen.
11.4 Ereignisse höherer Gewalt, Arbeitskämpfe in eigenen oder dritten Betrieben, Terrorakte, Epidemien,
Unruhen, staatliche oder behördliche Maßnahmen und sonstige unvorhersehbare, unabwendbare
und schwerwiegende Ereignisse, die einer Partei ihre Leistung oder Obliegenheit wesentlich
erschweren oder unmöglich machen, befreien die betroffene Partei für die Dauer der Störung und
im Umfang ihrer Wirkung von ihrer betroffenen Leistungspflicht und Obliegenheit. Die Parteien
werden sich über den Eintritt solcher Ereignisse unverzüglich unterrichten und, soweit erforderlich,
die Verpflichtungen während der Dauer solcher Ereignisse den veränderten Verhältnissen anpassen.
11.5 Die UNABHÄNGIGE WERKSTATT ist nicht berechtigt, mit Gegenforderungen aufzurechnen, es sei
denn, die Gegenforderung ist unbestritten oder rechtskräftig festgestellt. Entsprechendes gilt für
durch die UNABHÄNGIGE WERKSTATT geltend gemachte Zurückbehaltungsrechte.
11.6 Sollte eine Bestimmung dieses Vertrages unwirksam sein oder werden, so bleibt die Wirksamkeit
der übrigen Bestimmungen hiervon unberührt. Die Parteien sind in einem solchen Falle verpflichtet,
eine rechtswirksame Bestimmung zu vereinbaren, die dem wirtschaftlichen Ergebnis der
unwirksamen Bestimmung am nächsten kommt.
11.7 Dieser Vertrag unterliegt dem Recht der Bundesrepublik Deutschland mit Ausnahme des UN-
Kaufrechts (CISG United Nations Convention on Contracts for International Sale of Goods vom
11.04.1980).
11.8 Diese Vereinbarung wird in englischer und deutscher Sprache ausgeführt. Im Fall von
Widersprüchen ist die deutsche Ausführung maßgeblich.
11.9 Als ausschließlicher Gerichtsstand ist Stuttgart (Bundesrepublik Deutschland) vereinbart.

Sicherheitsbestimmungen: 1.
Die Nutzung der durch den Systemzugang bereitgestellten Funktionen beschränkt sich allein auf die zur Erfüllung der dem jeweiligen Arbeitsgebiet zu Grunde liegenden Aufgaben. Die Nutzung zu anderen Zwecken ist nicht zulässig.
2. Die Weitergabe überlassener Daten an Dritte ist verboten, es sei denn, die Porsche AG stimmt hierzu schriftlich zu. 3. Überlassene Daten dürfen nur temporär gespeichert oder aufbewahrt werden und nur, wenn sie zur Erfüllung der Aufgaben
erforderlich sind. Werden die Daten nicht mehr benötigt, so sind sie unverzüglich zu löschen / vernichten. 4. Die Nutzung einer fremden Benutzerkennung sowie die Weitergabe des Passwortes an Dritte ist nicht zulässig. 5. Der Tausch bzw. das Neuanlernen von Motorsteuergeräten, Wegfahrsperrengeräten (separate Geräte oder Kombiinstrumente)
und Schlüssel sowie Schließgarnituren darf nur von akkreditierten Werkstätten, nicht durch unbefugte Dritte, durchgeführt werden. Hierzu muss der Personalausweis und der Fahrzeugschein vom Kunden vorgelegt werden. Zum Schutz des Kunden sind die Werkstattmitarbeiter angehalten, eine Kopie des Personalausweises und des Fahrzeugscheins anzufertigen und datumsorientiert zu archivieren. Falls eine Kopie des Personalausweises nicht möglich ist, so sind die Kundendaten um die Personalausweisnummer zu ergänzen. Die am Fahrzeug befindliche Fahrgestellnummer sind mit dem Fahrzeugschein abzugleichen und auf einer Liste zu bestätigen.
6. Zu Überprüfungszwecken ist die vollständige Dokumentation jederzeit der Porsche AG zur Verfügung zu stellen. 7. Wird die Benutzerkennung nicht mehr benötigt, so ist diese beim zuständigen PPN Manager unverzüglich abzumelden.
Alle durchgeführten Transaktionen im Zusammenhang mit dieser Benutzerkennung werden protokolliert. Die Auswertung der Protokolle erfolgt unter Beachtung der Bestimmungen des Bundesdatenschutzgesetzes. Die Geheimhaltung der Daten ist sichergestellt.
Ich bestätige, dass ich die Sicherheitsbestimmungen gelesen und inhaltlich verstanden habe und den daraus entstehenden Verpflichtungen uneingeschränkt nachkommen werde.

Preamble
0.1 PORSCHE is a leading manufacturer of sports cars. The distribution and service of Porsche cars, in
particular their maintenance and repair, is warranted by a network of authorized PORSCHE dealers
and PORSCHE service centres. Additional afford of service at PORSCHE cars by INDEPENDENT
WORKSHOPS.
0.2 PORSCHE provides the system PIWIS TSI (Technical Service Information) for the INDEPENDENT
WORKSHOP . Special secured PXN (Porsche External Network) includes security related information
such as codes and vehicle information. Access is essential to this special secured network. This
access requires a special accreditation of INDEPENDENT WORKSHOP and a certification to
utilization of system. Because of technical reasons one of PORSCHE Diagnosis device or PORSCHE
Diagnosis package shall be exist in advance to use the information.
0.3 The INDEPENDENT WORKSHOP is an workshop, which is not authorized by PORSCHE. The
INDEPENDENT WORKSHOP wishes to use the information, which is offered by PORSCHE for the
repair and service of Porsche cars and Porsche parts.
With regard to the aforesaid, the parties hereby conclude the following Agreement:
Article 1 Subject of the Agreement
1.1 Porsche provides following information to the INDEPENDENT IMPORTER
Vehicle Information Code Information Access to anti-theft protection information
1.2 Abovementioned facts could be changed by PORSCHE without prior notice. The changes become
valid at the date of publication. INDEPENDENT WORKSHOP is responsible for the recognition of the
introduced changes
1.3 The media which is used by PORSCHE to transfer the relevant information, is not stipulated.
PORSCHE is free to change the media. 1.4 The INDEPENDENT WORKSHOP has to obtain the equipment which is necessary for utilising the
media by himself (e.g. hard- and software). The herewith arising expenses shall be covered by the
INDEPENDENT WORKSHOP. 1.5 Any further queries with regard to the delivery of data and technical information shall be answered
by the PORSCHE IMPORTER.

Article 2 Grant and Scope of Rights of Use
2.1 For the duration of the contract PORSCHE admits the INDEPENDENT WORKSHOP the following non-
exclusive, non-transferable right for the use of the relevant data as regulated by the terms below.
2.2 The INDEPENDENT WORKSHOP is authorised to integrate the data into software used for repair,
maintenance and service of Porsche branded cars.
2.3 The INDEPENDENT WORKSHOP may not rent, provide, sell or relinquish the information to the third
parties.
2.4 The INDEPENDENT WORKSHOP may not use the information to manipulate the vehicle data preset
by PORSCHE, i.e. they may not change the vehicle characteristics and data.
2.5 The INDEPENDENT WORKSHOP must not reproduce/copy information.
2.6 Utilization of the data is limited to the time of validity of this contract. After termination of the
contract the data may not further get utilized.
2.7 PORSCHE has and remains the ownership of the copyrights of all data which is provided by
Porsche.
2.8 Certificate and access data for the System are entrusted to personal. Disclosure of the access
data to third parties is not allowed.
2.9 The Persons (maximum 2), who should have the access to system within the scope of this contract,
should be stated with essential information for the system access in Appendix 1. Additionally
Appendix 2 is necessary for the system access.
Article 3 Update and Delivery of Information
3.1 The INDEPENDENT WORKSHOP undertakes to obtain himself up-to-date data from the system
which is continuously updated by PORSCHE. 3.2 PORSCHE supplies the certificates and thereof resulted user data within 10 working days after
verification of the required data in Appendix 1 and thereof successful contract signing.

Article 4 Contract Penalty
4.1 If the measures of the INDEPENDENT WORKSHOP for securing of the utilization of the data as
regulated by Article 2 are insufficient and the data gets utilized in a different way, the
INDEPENDENT WORKSHOP is obliged to pay a contractual penalty of 20.000 EUR for each
infringement and is hold to waive the plea of continuation of offence. 4.2 Porsche reserves the assertion of further demands.
Article 5 Fee and Payment Conditions
5.1 The price is 2,60 EUR per code/vehicle information. Changes may be made. Please consider the
information given at PIWIS TSI.
5.2 The INDEPENDENT WORKSHOP can purchase the information as soon as the credit is posted on
the credit card whose user account information is declared in Appendix 1
Article 6 Confidentiality
6.1 The INDEPENDENT WORKSHOP undertakes to observe strictest confidentiality vis-à-vis third parties
relating to the documents, systems and information which it receives or inspects and any other
documents marked as confidential, and/or not to divulge such documents to third parties. The
INDEPENDENT WORKSHOP shall keep all documents received from PORSCHE respectively from
PORSCHE IMPORTER so that unauthorised persons may not inspect such documents. The
INDEPENDENT WORKSHOP shall impose a corresponding confidentiality obligation on its
employees.
6.2 The confidentiality obligation pursuant to Article 6.1 shall be valid for an indefinite period of time.
The confidentiality obligation pursuant to Article 6.1 shall not apply:
vis-à-vis such persons who are authorised to receive such information and obliged to maintain
confidentiality under statute or subject to permission granted by PORSCHE.
for such publications which are demanded by the INDEPENDENT WORKSHOP on the basis of
statutory provisions and/or official directions,

for such documents and/or information which are or will be in the public domain without the
INDEPENDENT WORKSHOP being responsible therefore
for such documents and/or information of which the INDEPENDENT WORKSHOP obtains knowledge
through a third party entitled to publish such information,
and / or
in as far as the confidentiality obligation contradicts the assertion of claims of the INDEPENDENT
WORKSHOP.
The INDEPENDENT WORKSHOP must prove the existence one of the abovementioned exceptions
6.3 The INDEPENDENT WORKSHOP undertakes to pay a contractual penalty to PORSCHE and the
PORSCHE IMPORTER for each culpable breach of confidentiality obligation pursuant to Article 6.1,
whether by the INDEPENDENT WORKSHOP or by an employee of the INDEPENDENT WORKSHOP.
Such contractual penalty shall be determined by PORSCHE and the PORSCHE IMPORTER at their
reasonable discretion at an amount up to 10,000 Euro which in the event of dispute shall be
reviewed by the Stuttgart Provincial Court. PORSCHE reserves the right to claim compensation of
any damages exceeding the amount of contractual penalty.
Article 7 Rights Arising from Product Defects
7.1 PORSCHE warrants delivery of the Information. The quality of service to be provided by PORSCHE
shall be conclusively defined by the terms and conditions of this Agreement. Only significant
defects shall be regarded as defects within the meaning of the provisions of this Article 7.1. In case
of any doubt, information relating to services owed to the INDEPENDENT WORKSHOP shall only
represent an express warranty or guarantee of properties if this is specifically provided in this
Agreement.
7.2 Defects in Information including manuals and other documents shall be remedied by PORSCHE
respectively PORSCHE IMPORTER within a reasonable period of being notified of such a defect by
the INDEPENDENT WORKSHOP. PORSCHE respectively PORSCHE IMPORTER at its own discretion
may elect whether to remedy the defect by subsequent improvement or replacement free of
charge. In the event the subsequent improvement or replacement delivery should fail, the
INDEPENDENT WORKSHOP shall be entitled to the statutory rights relating to defects, subject to
the provisions in Articles 7 and 8.

7.3 PORSCHE shall not strictly be liable for defects in information that existed at the time of conclusion
of this Agreement.
7.4 The INDEPENDENT WORKSHOP is not entitled to any rights relating to defects in as far as the
INDEPENDENT WORKSHOP makes any changes to an object of this agreement or has it changed
by a third party, unless the INDEPENDENT WORKSHOP can prove that such change did not cause
the defect.
7.5 The rights relating to defects shall be statute-barred within one year upon delivery, in as far as such
rights do not result from an intentional breach of a duty by PORSCHE respectively PORSCHE
IMPORTER.
Article 8 Limitation of Liability
8.1 PORSCHE and the PORSCHE IMPORTER shall be liable respectively for any and all breaches of
conditional terms of the Agreement arising from its negligent and grossly negligent acts and/or
omissions, non-performance or delayed performance of its obligations hereunder whether or not
performance is subjectively or objectively within its control provided that:
The liability is restricted to damage which could typically have been expected within the context
of this Agreement at the time the Agreement was concluded.
8.2 PORSCHE and the PORSCHE IMPORTER shall only be liable to the INDEPENDENT WORKSHOP
without limitation in the event of gross negligence of its statutory representatives and/or executive
employees and/or for intentional behaviour. PORSCHE and the PORSCHE IMPORTER shall be liable
for gross negligence of other vicarious agents only to the extent and subject to its liability for
simple negligence pursuant to Article 8.1.
8.3 PORSCHE’s and the PORSCHE IMPORTER’s liability for claims arising from injury to life, body or
health, pursuant to the German Product Liability Act, on the grounds of an expressly warranted or
guaranteed property and/or of guarantees within the meaning of § 443 German Civil Code or §
639 German Civil Code shall remain unaffected.
Article 9 Release from Liability in the Event of Misuse of the Systems
9.1 The INDEPENDENT WORKSHOP shall indemnify PORSCHE from all costs, claims and/or all other
losses (including the costs for legal action) arising from the INDEPENDENT WORKSHOP using the

Information in breach of Article 2 and/or misuses it/them for purposes other than those provided
for in the instruction manual. This shall not apply if liability results from the designated responsibility
of PORSCHE.
9.2 Any further claims of PORSCHE against the INDEPENDENT WORKSHOP shall remain unaffected by
the exemption from liability pursuant to Article 9.1.
Article 10 Duration of Contract
10.1 This agreement shall come into effect upon signature by both parties. It is valid for indefinite period
and may be terminated by either party by the end of the month.
10.2 PORSCHE will notify the INDEPENDENT IMPORTER in case of new developments or conversions of
existing systems within a reasonable time that a new system comes into operation. The
INDEPENDENT IMPORTER is entitled to obtain the new system under a new treaty to be concluded.
With the release of new system there will be no further software updates hitherto existed system.
PORSCHE is also entitled to terminate the contract prematurely with a period of three months with
the announcement and implementation of such a new system.
10.3 The right of termination for cause shall remain unaffected by Article 10.1. PORSCHE shall have an
important cause for extraordinary termination in particular if either of the following events occurs:
the INDEPENDENT WORKSHOP misuses the information for non-permitted adjustment of vehicle
qualities and vehicle data;
the INDEPENDENT WORKSHOP transfers or otherwise passes over the information to a third
party without authorisation by PORSCHE;
the INDEPENDENT WORKSHOP otherwise exceeds the rights of use set out in Articles 2;
the INDEPENDENT WORKSHOP breaches the confidentiality obligation set out in Article 6 ;
a third party conducts enforcement proceedings in utilisation rights of the INDEPENDENT
WORKSHOP on the grounds of an enforcement title directed towards the INDEPENDENT
WORKSHOP;
insolvency proceedings are opened on the assets of the INDEPENDENT WORKSHOP or the
opening thereof is refused owing to the lack of assets.

10.4 Notice to termination must be made in written form to the other Party to be valid. Termination in the
form of a fax shall suffice. Termination in the form of an e-mail shall not suffice.
Article 11 Final Provisions
11.1 This Agreement shall not entitle the INDEPENDENT WORKSHOP to describe himself in any manner
whatsoever as an authorized or acknowledged Porsche INDEPENDENT WORKSHOP or to use the
PORSCHE crest or any other PORSCHE trademarks.
11.2 Amendments and additions to this Agreement shall be made in written form. If this requirement is not
satisfied such amendments or additions shall be null and void. This shall also apply to any
amendment to the written form requirement.
11.3 Neither of the parties may assign rights or obligations to a third party without the prior written
consent of the other. This shall not apply to the assignment of contractual rights and obligations to
companies associated with PORSCHE within the meaning of § 15 German Stock Corporation Act.
PORSCHE shall have the right to instruct subcontractors to provide services on the basis of this
Agreement.
11.4 Events of force majeure, industrial action in the businesses of the parties or industrial action in third
party terrorist activities, epidemics, turmoils, governmental or official sanctions and further
unpredictable inevitable events which seriously impair or prevent either party from performing a
service or fulfilling an obligation under this Agreement shall entitle the party concerned to postpone
such performance or fulfilment for the duration of the impairment or prevention and to defer it for a
reasonable period. In the event of such situations the party’s shall inform each other without
measurable delay, the commitments during this period will be adjusted to the changed situation.
11.5 The INDEPENDENT WORKSHOP may not set off counterclaims from any fees payable under this
agreement unless the counterclaim is undisputed or res judicata. Any property provided to the
INDEPENDENT WORKSHOP in accordance with this agreement may not be retained or set off against
counterclaims.
11.6 If any provision of this agreement be or become invalid, the validity of the remaining provisions shall
remain unaffected.. The parties are obliged in such a case to agree a legally binding substitute
provision which shall reflect as closely as possible the economic purpose of the invalid provision.

11.7 This Agreement shall be subject to the Law of the Federal Republic of Germany excluding the CISG
United Nations Convention on Contracts for International Sale of Goods of 11. April 1980.
11.8 This Agreement is executed in English and German language. In case of contradictions the German
version shall prevail.
11.9 Stuttgart (Federal Republic of Germany) shall be the exclusive place of jurisdiction.

Security regulations: 1.
Usage of every system option supplied with this access is exclusively allowed for fulfilling the defined job assignments. Usage for any other reasons is not allowed.
2. Passing on disposed data to any other person is strictly forbidden, except PAG firmly confirms in writing. 3. Storing and saving of disposed data is only allowed temporarily and exclusively if data are required for fulfilling
the defined job assignment. The data have to be deleted or destroyed immediately when not being required any more.
4. Usage of a foreign user identification as well as passing on password to any other person is not allowed. 5. Exchanging or training of engine control unit, immobilizer control unit (separate hardware or instrument clusters)
or keys as well as key sets may exclusively be executed by accredited workshops, but on no account by unauthorized third parties. Presentation of the customer’s identity card and registration papers of the customer’s vehicle is required. For the safety of the customer, the workshop employees are urged to copy the customer’s identity card and registration papers and to put into the archives arranged according to the date. If copying of the mentioned documents is not possible, the customer’s registration data has to be completed by the number of the customer’s identity card. Analogy of the documents with the vehicle registration number in the vehicle (vehicle identification number) has to be approved and confirmed by putting down in a documentation by the workshop employees.
6. The documentation has to be presented to the Porsche Regional Office / Porsche AG for approval at any point of time.
7. When ATP authorization is not required any more, the user has to apply for deletion at the PPN Manager without delay.
All transactions concerning this ATP authorization are registered. All registered logins are analysed in compliance with all valid liabilities and data protection law. Secrecy of the data is guaranteed.
