Innovative Trends in Technology Contracting taught by Mark Trowbridge.
To participate, sign up for class sessions # 1A, 1B, 1C, 1D, 1E, 1F, 1G, 1H, and 1I.
The sessions build upon each other and different topics will be covered in each
session. Below is a description of the curriculum for both days.
In addition to understanding sourcing and contracting strategies, those profession-
als who negotiate technology acquisition agreements must understand the unique
complexities of the products and services they acquire.
Concepts like transfer of intellectual property rights, license types, intangible code, source and object
code, contingency operating plans, and others must be understood and written to maximize your or-
ganization’s leverage against powerful and influential technology providers and consultants. This
workshop teaches participants techniques, content, and strategies to utilize while creating and negoti-
ating Software Licenses, Software as a Service (SaaS), ASP Hosting, Development Arrangements,
Hardware Purchases, HW & SW Maintenance, Technology Service Arrangements, and even Consult-
ing Support.
This master class delves deeply into contractual issues inherent in Cloud services, including detailed
examples and discussion regarding specific clauses that should be included in variant iterations of
subscription based contracts, including Software-as-a-Service (SaaS), Platform-as-a-Service (PaaS),
and Business-Process-as-a-Service (BPAS)….known together as Everything-as-a-Service (XaaS).
The program includes detailed examples and discussion regarding key contractual clauses, including
dissection of a complete customer-oriented Software License & Maintenance Agreement AND a Soft-
ware-as-a-Service (SaaS) template agreements. The program concludes with discussion of sample
clauses brought in by the workshop participants.

Breakfast Keynote: A System to Reckon With
Ask McDonald’s what their secret sauce to supply chain success is and they will tell you it’s how they treat their suppliers. It’s suppliers that make sure McDonald’s never run of french fries. But is also suppliers that bring the power of innovation to McDonald’s that has helped keep McDonald’s supply chain ranked at the top of Gartner’s annual supply chain rankings. Kate Vitasek studied sixteen of McDonald’s supply chain supplier relationships as part of her research at the University of Tennessee on “Vested” sourcing business models. Kate will share some of the secrets of McDonald’s success in this thought provoking keynote breakfast session. Attendees will leave being inspired that the secret sauce of supply chain success is learning the power to innovate - with suppliers!

Getting to We: Negotiating Agreements for Highly Collaborative Relationships
For years, businesses have worked under the assumption that the goal of negotiation is simply to get the deal. Hundreds of books have been written on “getting to yes”, “getting past no,” and “getting more”…the prevalent assumption being “get a signature, and you are done”. Strategies and tactics focus on getting the deal – not making sure the deal provides sustained value in the future. More and more, business success depends on strategic relationships built for an ever-dynamic and interconnected world that will endure long after “the deal is done.” Come to this negotiations workshop to:
Understanding why “getting to yes” is no longer enough Challenge how you have traditionally played the “game” of negotiating Learn a proven five step approach to negotiating a relationship – not just the
specific deal points

In today's complex and competitive business environment, many procurement organizations have hit a brick wall trying to achieve additional cost savings through aggressive negotiations, spend aggregation, waste reduction and diligent adherence to contract compliance. The possibilities for cost saving through these traditional methods are finite. For this reason, many organizations are looking to the concept of category management. Total Cost of Ownership
This workshop will address the Total Cost of Ownership (TCO) from a negotiation per-spective. Consumers regularly consider long-term ownership costs before purchasing some products. For example; we consider Energy Star labels on major applianc-es. Unfortunately, when purchasing products or services for our companies, ownership costs are not always as obvious or easy to consider. Some long-term cost elements can be significant, such as enterprise software support fees. In this workshop we’ll review specific cost elements and their potential to impact long term ownership costs.

Theory of Constraints
Finding the true root cause of a given problem is the goal of practitioners of Lean Management. The theory of constraints (TOC) approach, which is a derivative of lean thinking, argues that very few constraints restrict the performance of any system. TOC does not try and optimize all constraints all at once but focuses on identifying and eliminating the true constraint (or the root-cause) of the system. Tools such as Thinking Processes (TP) can be used to identify the root cause behind most of the problems by researching the cause-and-effects between the various entities.

Cost/Price Analysis
This class will first discuss the basic principles of analyzing a seller’s costs and how those costs relate to the eventual selling price. Then, we’ll talk about how the price analysis can be used to a buyer’s advantage when negotiating long-term purchase orders and contracts.
Negotiating successful and cost-effective purchase order or contract is a key responsibility of supply chain professionals. But consider for a minute that negotiating a better contract isn’t always about saving money. A more valuable, cost-effective and complete contract is also a much better contract. The more you understand about the seller’s cost the better the negotiated outcome can be. That is, by looking at the various cost elements involved in establishing the seller’s price, we can find opportunities to be creative in negotiating cost savings.
We’ll talk about the difference between direct and indirect costs as well as the influence of market-pricing strategies. Understanding and analyzing a seller’s pricing structure affords astute contracting professionals negotiation opportunities.
