MESSAGE
for so long the Philippines has been a great hub of untapped potential, hindered only by a lack of initiative and awarenessof mutually beneficial possibilities. Recent events, however, have drastically changedtheoutlookofthegovernmentandnowIamstandinghere,readytotakesignificantstepsin achieving this potential.
Thereisanewfoundoptimisminthecountryatthemoment–anewfoundtrustbetweenthepeopleand theirgovernment.Theworkers,the entrepreneurs, the public officials, and the national economy are all noticeably more vibrant. There is an administration that knows how to develop profitablepartnerships with private companies bothlocal and international. There are resources; and there is improved human capital in the form of the filipino citizens invigorated by a new, transparent relationship with theirpublic servants.

The Aquino Administration’s Socio-economic Agenda
PresidentBenignoS.AquinoIII’sSocialContractwiththeFilipinoPeopleenvisionsacountrythathasachievedinclusivegrowthandischaracterizedbyrapid,sustained,andbroad-basedeconomicgrowth;focusedoncreatingmorejobsandnewopportunitiestoachievefullemployment; and significantly reduced poverty.
Inordertoattainthevision,thedevelopmentstrategieswillbedirectedtowardsattainingahighandsustainedeconomicgrowth;providingequalaccesstodevelopmentopportunities;and formulating effective social safety nets.
Toattainahighandsustainedeconomicgrowththatprovidesproductiveemploymentopportunities,thegovernmentwillprovideanenablingenvironmentforprivatesectorinvestment through a stable macroeconomic environment and sound and consistent publicpolicies.Measurestoincreasethecountry’scompetitivenesswillbeimplementedbyinvesting in infrastructure, and improving governance by reducing the cost of doing business, enforcingtheruleoflaw,ensuringtheeffectiveandefficientdeliveryofpublicservice,andimprovingtheinvestmentprogrammingprocesses.gettingintoahighergrowthpathoverthemediumtermneedsfocusonimprovingproductivityandcreatingnewopportunitiesfor full employment and efficient allocation of resources. The levels of private investment andentrepreneurship,especiallyamongmicro,smallandmediumenterprises(MSMes)willbe raised.
Access to development opportunities across geographic areas and across different income andsocialspectrumwillbeequalized.Thiswillensurethatexpansionofemploymentopportunities translates to poverty reduction. This entails more quality investment in human capital, especially in education, primary health care and nutrition, and other basic social services; levelling the playing field through equal access to infrastructure, credit, land, technology, and other productive inputs; and unbiased and facilitative policies that promote competition as the government improves governance and strengthens institutions.
Ingearingupforahighsustainedgrowth,effectiveandresponsivesocialsafetynetswillbeprovidedtoprotectandsupportthosewhoareunabletoimmediatelyparticipateinthisneweconomicgrowthprocess.Socialsafetynetsthatsupportandcapacitatethevulnerablesectors of the society in addressing not only poverty but also the devastating effects of climatechangewillbeformulatedandimplemented.

IV. OBJECTIVES Of THE PPP PROGRAM
Objectives of the PPP Program
The Philippine Government recognizes the essential role of the private sector as the mainenginefornationalgrowthanddevelopment.Pertinentincentiveswillbeprovidedto stimulate private resources for the purpose of financing the construction, operation and maintenance of infrastructure and development projects normally financed and undertakenbythegovernment.Theprivatesectorinvestorwillbegenerallyselectedthroughcompetitionunderfairandtransparenttermsgivenalevelplayingfieldandwithreasonablereturnsandsharingofrisks.notwithstanding,protectionofpublicinterestwillbeensured,andend-userswillhaveadequate,safe,efficient,reliable,andreasonably-pricedinfrastructure services.
TheprojectsunderthePPPProgramwereselectedbasedonthefollowingcriteria:
1. Projectreadiness/Preparation: a. for 2011 Rollout
i. FeasibilityStudytobecompletedwithin2010to2011, ii. Completed feasibility Study being reconfigured for PPP, and iii. Ready to tender in 2011.
b. for Medium-Term Rollout and other PPP Projects i. Included in the PPP pipeline projects of the Implementing Agencies, and ii. Initial preparation on-going, i.e., concept stage, hiring of consultants for feasibility Study preparation.
2. responsivetothesector’sneeds(e.g.,partofthetransportnetworksystem,watersupply/sewerage,electricpowercapacity,etc);and
3. HighImplementability(bankable,nomajorissues).
further, the Government is committed to facilitate the approval and implementation process ofPPPprojects.Asdeclaredbythegovernment,thesolicitedproposalswillbeprocessedwithinsix(6)months.qualifiedPPPprojectsshallhavecompletedocumentsthatarenecessary to facilitate the approval process.

The project aims to integrate and expand the capacity of existing MRT 3 and LRTA railway lines. It involves the extension oftheexisting15-kilometerLrTALine1systemsouthwardtoBacoor,Cavitebyanadditional11.7 kilometerswhich includes 8 passengerstationswithprovisionfor2additionalfuturepassenger stations, a satellite depot for light maintenance to be located at the southern end of the proposed line, and intermodal facilities installed at high-demand stations, including the provision of additional rolling stocks to meet the current demand andsystems enhancements. Also included is the integration of Lines 1 and 3 to permit through-train operations.

As a critical factor to the development of a country’s human resource and labor force, better education translates to higher productivity and output, and thus, growth of the economy. The data of the national Solid WasteManagement Commission (nSWMC)Secretariat showed that the estimatedaverage waste generation of 1,610 Lgus(cities and municipalities) is 31,891,193.30 kilograms per day. Though there are manyLgus addressing the issue on SWM, thereare still many of them having difficulty in dealingwithproperSWMintheirrespectivelocalities. As provided for under RA 9003, all open dumpsites and controlled dumpsites shouldnotbeallowedbyyear2006.Asof4thquarterof2009,therearestill838opendumpsites and 396 controlled dumpsites that are inoperation.ThisshowsthatmostLgusarehaving difficulty facilitating the solid wastemanagement in their respective localities.
Based from 2008 price levels, the required investmentforSWMincitiesandmunicipalitiesamount to PhP 4.5 Billion and PhP 3.2 Billion, respectively.ThiscoversSWMactivitiessuchas closing of open dumpsites, establishment of Materials, Recovery facility (MRf), and construction of Sanitary Landfill (SLf), among others.

ThelandmarklegislationthatclearlylaysthegroundworkforprivatesectorparticipationininfrastructuredevelopmentinthePhilippinesisrepublicAct7718,otherwiseknownastheAmendedBuild-operate-and-Transfer(BoT)LawwithitsImplementingrulesandregulations.underthislaw,privateprojectproponentsareallowedtoenterintocontractualarrangementseitherwithnationalinfrastructureimplementingagencies(IAs)orlocalgovernmentunits(Lgus)toundertaketheconstruction,financing,operationandmaintenanceof infrastructure facilities. It is the declared policy of the State to recognize the indispensable role of the private sector as the mainenginefornationalgrowthanddevelopmentandprovidethemostappropriateincentivestomobilize private resources for the purpose of financing the construction, operation and maintenance ofinfrastructureanddevelopmentprojectsnormallyfinancedandundertakenbythegovernment.Suchincentives,asidefromfinancialincentivesasprovidedbylaw,shallincludeprovidingaclimateofminimumgovernmentregulationsandproceduresandspecificgovernmentundertakingsinsupportofthe private sector.
IntheBoTcontractualarrangement,theprojectproponenthasthefollowingrights:
•Tooperatethefacilityoverafixedperiod,nottoexceed50years;•Tochargefacilityuserstolls,feeandrentals;and•Torecoverconstruction,operation,andmaintenanceexpensesandearnreasonablereturnon

• Grant of franchise. Thelawprovidesthatawinningprojectproponent,uponexecutionofthecontract,shallbegrantedbytheappropriateagencyafranchise,whichconveystotheproponenttherightsto:
- Operate and maintain a facility; and - Collect tolls, fees, rentals and other charges
This process in effect delegates the issuance of the administrative and legislative franchise to the appropriate regulatory or implementing agencies. The maximum concession period to operate a facility is fifty (50) years.
• Right of proponent to collect tolls, fees, rentals. Aprojectproponentisallowedtorecoverinvestmentsthroughanyofthefollowing:
- Tolls, fees, rentals and other charges from the users of the BOT facility for a fixed term not to exceed 50 years;
- A share in the revenue of the project; and - Other non-monetary payments.
•Entitlement to reasonable return. Ingeneral,theBoTLawentitlesaprojectproponenttoreasonablereturntohisinvestedcapital.Thereturnshouldreflecttheprevailingcostofcapitalindomesticandinternationalmarkets.Fornegotiatedcontractswhicharepublicutilitiesandmonopolies,thereturnisdeterminedbyexistinglaws,whichinnocasetoexceed12%ofreturnonratebase.
• Government support for BOT projects. Recognizing that there may be a need for the government to share intherisksandcostsofaprojecttomakeitfinanciallyviable,avarietyofgovernmentundertakingsareallowedunderprescribedconditions.Theseinclude:
-Costsharing.Projectswithdifficultyinsourcingfundsmaybepartiallyfinancedfromdirectgovernmentappropriations(gAA)and/orofficialdevelopmentassistance(oDA)funds.FinancingfromeithergAAoroDAshouldnotexceed50%ofprojectcost.
- Investment Incentives.Projects costing Php1 Billion and above are entitled to get incentives as providedforundertheomnibusInvestmentCodeuponregistrationwiththePhilippineBoardofInvestments (BOI).
-othergovernmentundertakings.governmentagenciesmayalsoexecutespecificundertakingsorcredit enhancements such as direct government subsidy, direct government equity, performance undertaking,andlegaland/orsecurityassistance.

The Philippine Government has revitalized the BOT Center by renaming it as PPP Center and attaching it to thenationaleconomicandDevelopmentAuthority(neDA),underexecutiveorderno.8,seriesof2010.ThisreorganizationwillenablethePPPCentertocoordinateandmonitorallPPP/BoT/PSPProgramsandProjects,whichessentiallyprovidesthegovernmentwithalegalplatformtohastenprivatesectorinvestmentsinthecountry amid a stable investment climate.

TheBoTLawprovidesthat,ifaninfrastructureprojectrequiresapublicfranchise,thentheconcernedgovernmentregulatoryagencyshallissueafranchiseinfavorofthewinningproponent.However,itshouldbe noted that, under the Philippine Constitution, franchises or any other authority for the operation of a publicutilityshallbegivenonlytoPhilippinecitizensortocorporationsorganizedinthePhilippines,60%ofwhosecapitalisownedbyPhilippinecitizens.Thefranchisecannotbeexclusiveorforalongerperiodthan50 years. The participation of foreign investors on the board of public utility is limited to the proportionate share in its capital. furthermore, all the executive and managing officers of the corporation must be citizens of the Philippines.

Inrelationtotheaboveconstitutionalprovision,aDepartmentofJustice(DoJ)opinion(no.100,Seriesof1994)providesthat,whentheConstitutionimposesanationalityrequirementontheexploitationanddevelopmentofwater,therequirementrefersonlytotheextractionofwaterdirectlyfromitsnaturalsourceandnottosubsequentprocessingofthewater.oncethewaterhasbeenremoved,itceasestobeapartofthe natural resources of the country and becomes the subject of ordinary commerce, and may be acquired by foreigners.
Thus,ifawaterprojectisundertakenunderaPPParrangement,thenthediversionorextractionofthewaterandtheoperationand/ormanagementofthewatersourcecannotbegiventoaforeignentity.extractionofthewatercanonlybeundertakenbytheState,whichmaythenenterintoco-production,jointventureorproduction-sharingagreementswiththeFilipinocitizens,orcorporationsorassociationsatleast60%ofwhosecapitalisownedbysuchcitizens.However,oncethewaterisremovedfromitsnaturalsource,thenitmay then be subject to private sector involvement.

AforeignentitymayconstructawatertreatmentplantunderaPPParrangementwithoutviolatingthenationalityrequirement.Thisissobecauseoncethewaterisextracted(bythegovernment),thenationalityrequirement of the Constitution no longer applies, and therefore, a foreign entity may build and operate thetreatmentplant.Afterthewateristreated,thentheProjectCompanymaysellthetreatedwatertothedistributioncompany(suchasawaterdistrict).
2. Public Service Act
ThePublicServicesActisthelawthatauthorizestheestablishmentandtheregulationofpublicutilitiesinthePhilippines.underthislaw,nopublicutilitymayoperatewithoutbeinggrantedthenecessaryfranchiseorcertificateofpublicconvenience.AsprovidedundertheBoTLaw,publicutilityprojectsincludethoseinvolvedwithpublicroadsandthoroughfares,railwaysandurbanrailmasstransit,electricityandgasdistributionsystems,waterandseweragesystems,telecommunicationssystemsandotherpublicservicesdefined under the Public Services Act.
If the PPP project requires a public utility franchise, the appropriate government regulator shall immediately grantthewinningprojectproponentthefranchisetooperateandmaintainthefacility,includingthecollection of tolls, fees, rentals, and other charges according to the agreed schedule in the Concession Agreement.However,asprovidedunderthelaw(andthePhilippineConstitution),thefranchisecanonlybeawardedtoPhilippinecitizensand/ortoPhilippinecorporationsatleast60%ofwhosecapitalisownedbyPhilippine citizens.
PublicutilityfranchisesareissuedeitherbyCongress(inwhichcase,theyarecalledCongressionalFranchises)orbythevariousconcernedgovernmentagenciesempoweredbylawtofixtheratesforaproviderofapublicservice,suchastheTollregulatoryBoard(inwhichcasetheyarecalledAdministrativeFranchise).Inanycase,the appropriate government agency has jurisdiction, supervision, and control over the franchise.

This control and supervision generally consist of:
1. requiring the issuance of certificates of public convenience before operating;2. prescribing routes or territory and operating standards; and,3. prescribing schedule of trips and rates to be charged.
However,ifthepublicfranchiseisimplementedasaPPP,pleasenotethatthesefactorswouldbegenerally agreed upon by the parties and contained in the PPP Agreement.
3. Foreign Investment Act
TheForeignInvestmentActregulatesforeigninvestmentsinthePhilippines,whichhasrelaxedthepreviousrulesonforeigninvestment.undertheForeignInvestmentAct,foreignersmaynowownupto100%ofaPhilippinecompanyprovidedthatforeignownershipinsaidenterpriseoractivityisnotlimitedbyotherexistinglaws.

Itisimportanttorememberthat,underaPPPstructure,theProjectCompanyactuallyownstheprojectduring the Concession Period.
IncasesofPPPprojectswheresuchownershiprestrictionsapply,foreignproponentsusuallyhavetolookfor Philippine nationals as partners in the Project Company.
Adifferentresulthowevermayariseincaseofacontractualarrangementwherethefacilityoperator(notnecessarilytheproponent)isFilipinoorifacorporationisatleast60%Filipino-owned.AnothercaseisaBLTarrangement.InaBLTarrangement,theProjectCompanywillbuild(andown)theProjectandthen lease it to the IA to operate it. At the end of the concession period, the Project Company transfers ownershipoftheProjecttothegovernment.
Thus,eveniftheProjectinvolvesanactivitywhereforeignownershipislimited,sinceitisthegovernmentthatisactuallyoperatingtheproject,thenationalityrequirementisdeemedcompliedwith.
TheForeignInvestmentActfurtherprovidesthatfirmsseekingtotakeadvantageofincentivesundertheomnibusInvestmentCodemustapplyforregistrationwiththeBoardofInvestments.

4. Foreign Borrowings Act
TheForeignBorrowingsActauthorizesthePresidentofthePhilippinestoborrowfromgovernmentsofforeigncountriesorfrominternationalorganizationsorlendinginstitutions.Thepurposeoftheseloanswillbetofundthegovernment’seconomicprojectsortolendsuchfundstogovernment-ownedor-controlledcorporations(goCCs),theDevelopmentBankofthePhilippines,orLandBankofthePhilippinesforfurtherrelending to the private sector. The President may also guarantee loans or credits extended to, or bonds or securitiesissuedbygoCCsforundertakingtheireconomicdevelopmentprojectsorgovernmentfinancialinstitutions (GfIs) for relending to the private sector for projects that are authorized by the charters of such gFIsorbylaw.
Thus,ifthegovernmentintendstolendinternationallyborrowedfundstofinancePPPprojects,theloanwillhavetofollowtheForeignBorrowingsAct,andtherefore,thefundswillhavetobechanneledthroughgFIssuchasDBPand/orLBPbeforetheycouldbelenttoPPPprojects.Inaddition,anygovernmentguaranteemay be issued only to GOCCs for their projects and GfIs for relending to the private sector. The result is that the government may not directly guarantee loans obtained by the private sector PPP proponent.
5. Omnibus Investment Code
The Omnibus Investment Code (OIC) outlines the basic guidelines and qualification requirements for enterprisestoavailoffiscalincentivesandliststheseincentives.TheallowedincentivesundertheoICareasfollows:incometaxholiday,andtaxanddutyexemptiononimportedcapitalequipment,taxcreditondomestic capital equipment, tax credit on domestic capital equipment, exemption form contractor tax, simplification of customs procedures, unrestricted use of consigned equipment, employment of foreign nationals,taxanddutyfreeimportationofbreedingstocksandgeneticmaterials,taxcreditondomesticbreedingstocksandgeneticmaterials,taxcreditfortaxesanddutiesonrawmaterialsofexportproducts,exemption from taxes and duties on imported supplies and spare parts in a bonded manufacturing warehouse,andwharfageduesandexporttaxexemption.undertheBoTlaw,projectscostingoverPhPonebillion are automatically qualified to avail of the fiscal incentives under the OIC. A. BACKGROUND
In 1995, the National Statistics Office (NSO) had already forecasted an increase in demand for its services given a projected10.31% increase inpopulationfrom1995to2000.In early 2000, demand for issuance, authentication, and certification of civil registry documents increased to an average of10,000to12,000requestsdaily.Further,therewasasignificantupwardtrend inthevolumeofstatistical reportsrequiredbyother government institutions for their development programs. In order to address the growing demand for nSo services,computerizationwasconsidered to improve thecivil registrysystem and the organization’s computing abilities. Hence, the Civil Registry System Information Technology (CRS-IT) project wasdeveloped.
B. TRANSACTION STRUCTURE
The US$ 65 million multi-phase Build-Transfer-and-Operate (BTO)project that involves automation of the document copy issuance, authentication, and certification of civil registry documents; conversion of over 120millioncivilregistrydocumentsintodigitalformat;establishmentofCrSoutletsnationwide;buildingofawideareanetworkinfrastructureforthecommunicationrequirementsoftheCrSoutlets;developmentofapplicationandsupportsystemsthatwillruntheCrS,andtheredesignofbusinessprocessestosupporttheCRS.

A. BACKGROUND
The national Power Corporation (nPC), a government-ownedand–controlledcorporation(goCC)wasmandatedbyPresidentialDecreeno.40 toownandoperate,asasingle integrated system all generating facilities supplying electric power to the entire area covered by the nPCset up grids. Pursuant to this mandate, it issued to the public a notice inviting interested parties to bid for the developmentofacoal-firedthermalpowerplantlocatedin PHIVIDeC, Villanueva, Misamis oriental, northernMindanao Region, on a build-operate-and transfer (BOT) arrangement. B. TRANSACTION STRUCTURE

Inflation environment remains within target range HeadlineInflationslightlyroseto4.0percentyear-on-yearinAugust2010 from 3.9 percent in July resulting from the higher annual growthratesrecordedintheindexesoffood,beveragesandtobacco(FBT),clothing,fuel,lightandwater(FLW)andmiscellaneousitems.Meanwhile,coreinflationpickedupto4.2percentfrom3.9percentin thepreviousmonth.During thefirsteightmonthsof thisyear,headline inflationaveraged4.2percent.Witha favorable inflationenvironment,theBangkoSentralngPilipinashasmaintainedpolicyrates at 4 percent for the overnight borrowing rate (rrP) and 6percent for the overnight lending rate (RP) since July 2009.
External position continues to strengthen
Gross International Reserves have more than tripled since 2001. As of end-August 2010, the GIR stood at US$49.6 billion. The current levelofgIrcouldcover9.2monthsworthofimportsofgoodsandpayments of services and income. It is also equivalent to 9.5 times the country’s short-term external debt based on original maturity.
The country’s Balance of Payments (BoP) stood at a surplus of US$3.3 billion as of end-July 2010. Latest available data for current account showed that it also registereda surplusofuS$1.8billionduring the first quarter of 2010 on account of sustained resilience ofoFremittances.Meanwhile,overseasFilipinos’(oF)remittancesreached US$1.6 billion in June 2010, registering a year-on-year growthof8.3percent.Forthefirst6monthsoftheyear,remittancestotaled US$9.1 billion, higher by 6.9 percent year-on-year.
Foreign investments supported by investors’ continued confidence in the Philippine economy
In the first 5 months of 2010, foreign direct investments (FDI)postednetinflowsofuS$446million.Meanwhile,foreignportfolioinvestments (FPI) registeredanet inflowofuS$701million in thefirst 7 months of 2010, 164 percent higher year-on-year.
In 2009, despite a volatile global economic environment, FDIrecorded net inflows amounting to uS$1.9 billion, 26.2 percenthigher than the year-ago level. fPI, on the other hand, yielded a net inflowofuS$388millionin2009,reflectingamajorturnaroundfromtheuS$1.8billionnetoutflowrecordedin2008.

Banking sector remains fundamentally sound and stable
The impact of the global financial turmoil on the country’s financial system has been limited in large part because Philippine financial institutions remained fundamentally sound and stable. The non-performingloansratio(nPL)ofthePhilippineBankingSystemstoodat3.7percentin2009,whilenPLofuniversalandcommercialbanks(u/KBs)stoodat3.4percentasofend-May2010.Moreover,banksremainedcapitalizedatlevelsabovetheBangkoSentralngPilipinas(BSP) regulatory requirement and the Basel International Standard. Asofend-December2009, thecapitaladequacy ratioswithin thePhilippinebankingsystemstoodat14.9percentand15.8percenton a solo and consolidated basis, respectively.
A manageable fiscal profile
Improvements in the National Government’s (NG) fiscal position have, in recent years, contributed to a significant decline in its deficittogDPratio,whichfellfrom5.3percentin2002toalowof0.9percentin2008.In2009,however,thedeficit-to-gDPratioroseto 3.9 percent as the Government posted a fiscal deficit of P298.5 billion on lower level of revenues, and higher expenditures duetothefiscalandeconomicstimulusmeasuresandlowerrevenuesfromprivatization.revenuecollectionreachedP1.12trillionwhileexpenditures amounted to P1.42 trillion.
for the first seven months, the NG deficit reached P229.4 billion. Revenue collections improved to P695.0 billion, or 7.9 percent higher than in the same period last year as collections by the Bureau of Internal Revenue (BIR) and Bureau of Customs (BOC) continue to improve.Inlinewiththegovernment’sfirmcommitmenttoimprovetax collection efficiency, BIr collections grew by 7.9 percent toP467.3billionwhileBureauofCustomscollectionsreachedP153.0billion up 18.6 percent compared to the same period last year. Meanwhile, totalexpenditures fromJanuarytoJuly2010reachedP924.4 billion, or an 11.1 percent increase over last year’s P832.1 billion. Economic and Policy Outlook
In2010,gDPisexpectedtogrowbetween5.0to6.0percentandinflationistargetedtorangebetween3.5to5.5percent.Thenewadministrationwillpursueitsoverarchingobjectivesofpovertyreduction,increasedinvestmentsandacceleratedgrowthwithintheframeworkoffiscalsustainability.Toensurefiscalsustainability,theprimaryeffortwillbeonincreasingtaxcollections. Thiswillbedonebyimprovingtheeffectivenessofexisting administrative measures such as Run After the Tax Evaders (RATEs), Run After The Smugglers (RATs) and Revenue Integrity Protection Service (RIPS). The government also shifted to zero-based budgeting (ZBB) in preparing the P1.6 trillion 2011 budget to ensure the efficient use of government funds.
The key goal is to maintain a manageable deficit level which will result in continuous reduction in debt,sustainedmacroeconomicstabilityandgrowth,andatthesametimecreatefiscalspacetoallowgovernmenttoincreasecapitalinvestmentsinsupportofgrowth.Finally,recognizingtheroleoftheprivatesectorinnationaldevelopment, the new administration is committed to fast-tracking the implementation of public-privatepartnershipstocomplementgovernmentinfrastructureinvestmentsandpushgrowthmovingforward.
