We can help write that story by setting our goals and determining ourselves to achieve them in true letter and spirit. At the outset, I wish you all a happy, prosperous and successful year ahead. Friends, in my previous communications as a President for the Golden Jubilee Year of the Institute, I was engrossed in motivating you all for a bright future along with apprising the initiatives the Institute is taking persistently for building your capacities as the top notch professionals of the cotemporary era. But in this communication, being my first communication for year 2019, I would share few mantra to succeed as an Individual as well as a dedicated professional. As such, there is no golden rule of success, the only fact that take you to mark success in your goals is your hard work, dedication and focused perspective towards life. Indeed, for achieving the inclusive success, setting up the goals is not the only requisite, rather one should be determined in realizing those goals with their hard work, timely efforts and application of professional expertise. There might be endless aphorisms or mantras to motivate you towards a successful and enduring career, I would not repeat them; rather I would guide you towards 10 principles which can make you to do wonders in your life and career. To start with I would suggest- Have a right perspective about money. Money should be the consequence of our work, but not its objective. Dream big; start small; get it right. You must strive to become the best that you can in all that you do. Failure may be fatal but it is never final. Never forget that no one can access success except through the doors of failure. Develop a passion for action. Procrastination will destroy your destination. A life without strategy is a tragedy. Strategy defines our essence of existence and it separates the best from the rest. Adhere Honesty in business. Always remember that competition should be a motivation for innovation and not duplication. A single moment of greed can lead to a lifetime of need. The world has enough for each man’s needs but nothing for any man’s greed, so never be greedy with the worldly things, rather be greedy to acquire the maximum perfection and expertise in your professional service to the nation. Being a lone-ranger is a great danger. Keep in flock with the society. Try to return the best in you to the society for the empowerment of all. Work smart. The New Year stands before us like a chapter in a book, waiting to be written. We can help write that story by setting our goals and determining ourselves to achieve them in true letter and spirit. At the outset, I wish you all a happy, prosperous and successful year ahead.

Friends, in my previous communications as a President for the Golden Jubilee Year of the Institute, I was engrossed in motivating you all for a bright future along with apprising the initiatives the Institute is taking persistently for building your capacities as the top notch professionals of the cotemporary era. But in this communication, being my first communication for year 2019, I would share few mantra to succeed as an Individual as well as a dedicated professional.

As such, there is no golden rule of success, the only fact that take you to mark success in your goals is your hard work, dedication and focused perspective towards life. Indeed, for achieving the inclusive success, setting up the goals is not the only requisite, rather one should be determined in realizing those goals with their hard work, timely efforts and application of professional expertise.

There might be endless aphorisms or mantras to motivate you towards a successful and enduring career, I would not repeat them; rather I would guide you towards 10 principles which can make you to do wonders in your life and career. To start with I would suggest-

Have a right perspective about money. Money should be the consequence of our work, but not its objective.

Dream big; start small; get it right. You must strive to become the best that you can in all that you do.

Failure may be fatal but it is never final. Never forget that no one can access success except through the doors of failure.

Develop a passion for action. Procrastination will destroy your destination.

A life without strategy is a tragedy. Strategy defines our essence of existence and it separates the best from the rest.

Adhere Honesty in business. Always remember that competition should be a motivation for innovation and not duplication.

A single moment of greed can lead to a lifetime of need. The world has enough for each man’s needs but nothing for any man’s greed, so never be greedy with the worldly things, rather be greedy to acquire the maximum perfection and expertise in your professional service to the nation.

Being a lone-ranger is a great danger. Keep in flock with the society. Try to return the best in you to the society for the empowerment of all.

Work smart. Be responsive with an “ever-ready” approach.

Don’t forget What drives you? Always do what drives you the most, never get directed by others will on you.

Friends, these above principles are just not the words of my message to you, rather it consolidates my experience and know-how for 25 years in this profession and I am sure it would hearten our nascent professionals to lead the profession with excellence and profuse dedication in the services of the nation.

Franchise Industry - Reconnoitring its Vital Angles from Indian Business Perspective*

Introduction

Globalisation and market liberalisation has fuelled brand awareness among the Indian masses making the importation of foreign brands to Indian shores an attractive business opportunity for local businessmen. Foreign brands such as McDonald's and Pizza Hut have studied India's tastes and needs and customised their products and menus to suit local preferences.

Many foreign companies consider franchising to be a convenient method of entry into the geographically vast and culturally diverse Indian market, which offers a very favourable franchising environment.

As a model, franchising has proven itself to be highly resilient, even in times of economic downturn. Franchising can be a more inveigling prospect for many people than opening their own business, as the stability of an existing model and mode of operations can mitigate a lot of the risk of opening a brand new business. Indians can rely on the fact that they are buying into an established brand with a target market that has already been identified.

The major forms of franchises are as under:

i) Food and beverage franchises: Food and beverage franchises consistently dominate the franchise sector within India. One-third of new food outlets in India are established through franchise systems. Quick service restaurants and fast food outlets are the most popular, pointing to a shift in the pace of consumer lifestyles. By 2022 it is estimated that the food and beverage industry will have doubled its workforce, providing plentiful employment within India. The market value of the food and beverage industry was US$26 billion in 2017; this figure is projected to increase to US$46 billion within two years.

ii) Retail, beauty, healthcare and education: Retail, beauty and healthcare and education are also attractive markets for franchising. India has become an increasingly popular tourist destination and this influx of travellers has strengthened the growth of hospitality franchises. American brands have also identified India as a market that is ripe for expansion. There is a strong demand for American products and service among Indian consumers in areas such as food and beverage, hospitality, retail, education, clothing and fitness.

The key to the success of international brands within India is an accommodation of the market. India's culture is richly diverse and this is reflected in the population. The needs and tastes of India's consumers are unique, and international brands who have adapted their franchise model specifically to suit the particularities of the Indian market have experienced notable success.

Meaning and Onset of Franchising in India

Franchising is a term that comes from the French language and means `to be free from servitude'. It was developed as a business method in the United States in 1850s. But there are some historians who argue that as a method of licensing, franchising developed much earlier in feudal times when the head of the Roman Catholic Church gave his clergy the right to collect church taxes locally.

Franchising is the phenomenon of by which an entity (franchisor) that has developed a particular way of doing business expands the business by providing other existing or would be entrepreneurs (franchisees) the right to use the franchisor’s proven business model in another avenue or location for a definite period of time in exchange of initial and ongoing fees.

Franchising is a special form of licensing agreement where the right to use the business model is supported by a license to use intellectual property rights related with that business.

In India, according to Chapter 5 of the Finance Act, 1999 defines a ‘Franchise’ as ‘an agreement by which the franchisee is granted representational right to sell our manufacture goods or to provide service or undertake any process identified with the franchisor, whether or not a trademark, service mark, trade name or logo or any such symbol, as the case may be, is involved’.

A franchise agreement in India is administered by multiple allied legislations. Please refer exhibit 1 displaying allied legislations governing the franchise agreements in India.

The forms of franchise agreements or arrangements on the basis of Format of Franchising arrangements and On the basis of control over the franchisee are as follows:

1) On the basis of Format of Franchising

i) Product or Distribution Franchise: A product manufactured by a franchisor is sold to franchisee who, in turn, sells it to consumers under the trademark of the franchisor. Automotive and petroleum franchises like Ford, GM and Exxon are instances of this kind of franchise model.

ii) Manufacturing, Production or Processing Franchise: The franchisor sells the franchisee a key ingredient, or gives some specific know how which, along with ongoing quality controls by the franchisor, enables the franchisee to produce or process the final product and sell it to retailers, or in some cases, to end consumers. Coca-Cola operates in numerous markets across the globe in this manner, supplying franchisees with the important component of Coca-Cola which is protected as a trade secret.

iii) Business Format Franchising: The owner of a business (franchisor) licenses to another (franchisee) the right to use the particular business model including the intellectual property rights associated with it. Internationally known brands like, Hilton, Holiday Inn and 7-Eleven are examples of companies that use this approach.

2) On the basis of control over the franchisee

i) Direct Franchising: A franchisor forays into individual franchise arrangements for each outlet (single-unit franchisee) thereby franchisor having direct control over each franchisee. However, in case of international franchising due to issues of repatriating

revenues, tax implications, as well as difficulties pertaining to dealing with the unique characteristics of different countries, including language, culture, laws, regulations and business practices a master franchise model is preferred.

ii) Master Franchise Agreement: A franchisor may ink a master franchise agreement whereby another organisation is provided the right to sub-franchise the franchisor’s business idea within a given jurisdiction or territory in accordance with a development timetable. Here, the franchisee, in effect, acts as the franchisor in the target country. The limitation of this model is the loss of control over sub-franchisees (with whom the franchisor has no contract)

iii) International Franchising: Following are critically some of the approaches in which a franchise system may be expanded in offshore markets:

a) The franchisor, either from its headquarters or from a foreign branch operation, grants individual franchises to franchisees in the target country.

b) The franchisor forays into a master franchise agreement.

c) The franchisor set up a subsidiary in the target country, and that subsidiary acts as the franchisor.

d) A joint venture is established between the franchisor and a third party who is knowledgeable about the target country. The joint venture will act as the franchisor in the target country.

With reference to internationalising a business, it is essential to keep in mind that intellectual property rights are essentially territorial, that is, the rights are limited to the territories in which they have been registered / granted or arisen. Thus, if a business is planning to take a franchise operation overseas, it would be essential to ensure that its intellectual property rights are protected in that territory.

Coming to Indian franchise industry, the model of franchise management began in the 1990s in India, with the start of the era of liberalisation. This system was initially adopted by a few educational institutions and IT companies for business expansion and was slow to grow at first. But today, the franchise industry in the country has several well-known brands in various cities operating under this model. While the industry is in its nascent stages in India as compared to other trades, the growth in the sector has been strong.

The factors that have acted as a catalyst in stoking growth of franchise model in India are as under:

Lower rate of failure: Compared to other start-up ventures, franchises have a reduced chance of failing since the business concept has already been worked out. Existing loopholes are taken care of, and there is a proven model of what works and what does not – so franchisees are more eager and confident about investing in such businesses.

Demand for franchised business: The rising purchasing power of the Indian middle class coupled with an increase in brand awareness has created a substantial market demand for international brands that retail primarily through the franchise system. In addition, being a country of over a billion people, the Indian market provides huge numbers in sales simply because the number of consumers are so high.

India as a big market: Due to the demand in India, foreign investors and brands, mostly American, view the country as a big, beneficial destination to set up franchised outlets. The franchise model also works across diverse fields like food and beverage, beauty, healthcare, and many more – thus allowing a greater number of companies with varied products and

services to set up successful franchise businesses across the country. “India, being one of the fastest-growing economies in the world, offers good opportunities in this emerging business model,” believes Chackochen Mathai, founder and CEO of Franchising Right way.

Privatisation in different sectors: Gone are the days of consumers having to depend on a single service. With privatisation of everything in India from education and healthcare to telecommunication, there has been a constant rise both in the arrival of international brands in the country as well as national retail chains. And with it, the scope for franchising has gone up, too. Names like EuroKids, Guardian Pharmacy, and Ferns n Petals are just a few examples of successful privatisation and franchising in India.

‘Indianisation’ of products and services: Understanding the customer segment and catering to their specific needs is a key part of any successful business, and this is a major reason why franchised outlets in India have built such a massive consumer base. Most big brands in the country have customised their offerings to suit the Indian palate, such as McDonald’s, Domino’s Pizza, and even hospitality services. With the demographic makeover that India is experiencing with a middle class that has increased disposable income, there is a steady growth in the number of consumers for branded products and franchised names.

First-time entrepreneurs: Reports indicate that the Indian franchise industry is being driven by young people who are opting for franchising as their first entrepreneurship venture. These new entrants choose to be franchisees due to the minimised risk and already-established model, which provide almost-instant benefits and freedom in business. In fact, currently about 35% of Indian franchisees are first-time businessmen, contributing substantially to the growth of the sector in India.

Retail Sector of India- A Potential to Propel Franchise Model

The organised retail has increased but still the Organised Retail Penetration is low, i.e 7 percent compared with that in other countries, like the United States which has Organised Retail Penetration of mammoth 85 percent, thereby, indicating a robust growth potential for organised retail in India.

Currently, the organised retail in India is growing at a CAGR of 20-25 percent per annum. In 2020 it is estimated that organised retail penetration share would reach 10 per cent and unorganised retail penetration would hold a major share of 90 per cent.

India is among the highest in the world in terms of per capita retail store availability. India’s strong growth fundamentals, along with increased urbanisation and consumerism, offer immense scope for retail expansion for foreign players. With the allowance of 100 per cent FDI in single brand retail investor sentiment will get further push. India has occupied a remarkable position in global retail rankings; the country has high market potential, low economic risk and moderate political risk.

India is ranked first in the Global Retail Development Index 2017 (please refer exhibit 2), backed by rising middle class and rapidly growing consumer spending. Overall, given its high growth potential, India compares favourably with global peers among foreign investors.

India’s retail market witnessed investments worth US$ 200 million by private equity (PE) firms and wealth funds between January-June 2017. Department of Industrial Policy and Promotion (DIPP) approved three foreign direct investments (FDI), Mountain Trail Food, Kohler India Corporation, and Merlin Entertainments India in the single brand retail sector. The DIPP has approved two FDI proposals worth more than Rs 400 crore (US$ 62.45 million) within the retail sector.

It is heartening to note that online retail business is the next generation format which has high potential for growth in the near future (please refer exhibit 3). After conquering physical stores, retailers are now foraying into the domain of e-retailing. With growth in the e-commerce industry, online retail is estimated to reach US$ 60 billion by 2020. It is forecasted to grow at a CAGR of over 30 per cent from 2016 to 2021, on the back of shift from traditional retail to online channels by millennials. The key drivers of online retail are a young population aided by easier access to credit and payment options, increasing internet penetration and speed, 24-hour accessibility and convenient and secured transactions.

Thus, growing optimism in Indian retail sector is a portend of tremendous growth potential of franchise sector in India, as most of the retail products are traded under franchise model.

Way Forward

The growth of the franchise sector in India is heating up. The industry fetched huge gains in 2017 and the story is almost same in 2018. India’s Gross Domestic Product (GDP) which grew by 7.2% in final quarter of 2017 is expected to reach 7.8% in 2019. Further, recent developments within India, like, globalisation, liberalisation and enhanced brand awareness have resulted into prodigious

economic growth. India is now viewed as one of the globe’s fastest emerging markets, and its vast population size and cultural diversity have made it a prime ecosystem in which franchising can thrive. The franchise industry is growing at a rate of 30-35% per annum and the sales turnover of the sector was recently valued at over US$7 billion.

The recent demographic transformation in India has led to a consumption boom, meaning that there is now an identifiable section of the population with high disposable incomes, evolving lifestyles and an appetite for Western goods, which has been stimulated by a greater choice and availability of products. Over the last number of years there has been a huge growth in an interest in entrepreneurship in India. This has incited growth within the franchising sector, as franchises provide the perfect solution for budding entrepreneurs who wish to invest in the security of an established brand, whilst enjoying the freedom offered by franchise models.

With India becoming the hot market for American franchisors, the demand for United States brands is strong in food & beverage, hospitality, retail, education, garments & apparel, healthcare, fitness and personal grooming clinics. India is also witnessing a consumption boom fueled by a huge demographic transformation. This has led to a population of over 250 million middle-income Indians with high disposable incomes, changing lifestyles, mounting aspirations, appetite for Western goods, international exposure, options for quality retail space, and enhanced product choice and availability. The increased demand for goods in India is in turn generating a greater demand for U.S. franchises.

Currently in India, there are approximately 4,600 active franchisors across all sectors like Retail, Food service, healthcare, business services, Beauty and wellness; technology led business operating nearly 200,000 outlets. Though the Indian franchise market is still very young, the industry accounts for close to 2% of the national GDP. The job creation is estimated to be to be to the tune of 1 million in franchise industry in India.

A high young population also indicates a high entrepreneurial energy in the country. This is where a franchise model helps through shared ownership. More entrepreneurs get associated with brands that assure a relatively higher rate of success. This is one way India can fight the issue of economic imparity. A Franchising is not only a great way to encourage self-employment but it also is a big employment generator.

B. REGISTRATION

1. Renewal of Registration (Registration Denovo / Extension)

Registration of students registered upto and including January, 2014 stands terminated on expiry of five-year period on December, 2018.

Students are advised to apply for Registration De novo/ Extension of registration as per the guidelines. Students are advised to click on the following link

3. Re-Registration to Professional Programme

The Institute has introduced a Re-registration Scheme, whereby students who have passed Intermediate Course/ Executive Programme under any old syllabus but not eligible for seeking Registration Denovo may resume CS Course from Professional Programme Stage. It is an opportunity to come back to the profession for those students who had to discontinue the CS Course due to compelling reasons. 4. Registration to Professional Programme

C. PROCEDURAL COMPLIANCE

1. Cancellation of Provisional Admission

Provisional admission of the students, who fail to submit/upload the requisite proof of having passed the graduation examinations within the stipulated time period of six months shall stand cancelled and no refund of fee will be made.

2. Change of Address/Resetting Password

Students are advised to update their addresses instantly through online services option at www.icsi.edu. Their Registration Number shall be their user Id itself. Students can also reset their password anytime (The new password will be displayed on the screen).

3. Updation of E-Mail Address/ Mobile Number

Students are advised to update their E-Mail Id and Mobile Numbers timely so that important communications are not missed as the same are sent through bulk mail/SMS nowadays. Students may update their E-mail Id/ Mobile Number instantly after logging into their account at www.icsi.eduat request option.

4. Student Identity Card

Identity Card can be downloaded after logging into the Student Portal at www.icsi.edu. After

downloading the Identity card, students are compulsorily required to get it attested by any of the following authorities with his/her seal carrying name, professional membership No., designation and complete official address:

1. Member of the Institute, with ACS/FCS No. 2. Gazetted Officer of the Central or State Government. 3. Manager of a Nationalised Bank. 4. Principal of a recognized School/College. 5. Officer of ICSI

Unattested Identity Cards are not valid and the students are advised to carry duly attested Identity Card for various services during their visits to the offices of the Institute, Examination Centres, etc.

5. Regularisation of Executive Programme Admission

Students provisionally admitted to the Executive Programme are advised to upload the scanned copies of their graduation Pass Certificates or marksheets for regularizing their admission at their online account at www.icsi.edu. They are required to login at their account to upload the desired marks sheets/certificates. Students, who have already uploaded / submitted their graduation pass certificate/Marksheet and have not received any confirmation with regard to approval of their admission, must contact the Institute

ATTENTION STUDENTS!

DEDUCTION OF 30% OF THE TOTAL FEE REMITTED BY THE APPLICANT IN RESPECT OF REGISTRATIONS LYING PENDING FOR MORE THAN A YEAR

The Institute has decided to reject the applications of such students who do not submit the documents within one year after their registration in Foundation and Executive programme by deducting 30% of the fee remitted by them towards administrative charges after expiry of one year. Therefore it is advised that all such students may submit their documents in the stipulated time period failing which their registration applications would be rejected.

D. EXEMPTIONS AND SWITCHOVER

1. Clarification Regarding Paper wise Exemption

(a) Paperwise exemption is granted only on the basis of specific request received online through website www.icsi.edu from a registered student and complying all the requirements. There is one time payment of Rs. 1000/- (per subject).

(b) The paperwise exemption once granted holds good during the validity period of registration or passing/completing the examination, whichever is earlier.

(c) Paper-wise exemptions based on scoring 60% marks in the examinations are being granted to the students automatically and in case the students are not interested in availing the exemption they may seek cancellation of the same by sending a formal request through the Online facility available. For the purpose, please submit the Online Request by logging into your account at https://smash.icsi.in 15 days before commencement of examination.

If any student appears in the examinations disregarding the exemption granted on the basis of 60% marks and shown in the Admit Card, the appearance will be treated as valid and the exemption will be cancelled.

(d) It may be noted that candidates who apply for grant of paper wise exemption or seek cancellation of paper wise exemption already granted, must see and ensure that the exemption has been granted/cancelled accordingly. Candidates who would presume automatic grant or cancellation of paper wise exemption without obtaining written confirmation on time and absent themselves in any paper(s) of examination and/or appear in the exempted paper(s) would do so at their own risk and responsibility and the matter will be dealt with as per the above guidelines.

(e) Exemption once cancelled on request in writing shall not be granted again under any circumstances.

(f) Candidates who have passed either module of the Executive/Professional examination under the old syllabus shall be granted the paper wise exemption in the corresponding subject(s) on switchover to the new/latest syllabus.

(g) No exemption fee is payable for availing paper wise exemption on the basis of switchover or on the basis of securing 60% or more marks in previous sessions of examinations.

Attention Students !!!

There is no provision for submitting the exemption at the time of submitting the examination form.

If you have already been granted the exemption, it is reflected in your online account Examination, Enrollment Status and Admit Card issued for examination through online mode.

It may be noted that in some cases, the exemptions granted in accordance with the various provisions contained under the regulations are inter-related with other exemptions granted and cancellation (or appearance) in any one of the papers may result in cancellation of exemptions in all the inter- related papers. For example, if a candidate has been granted paper-wise exemptions in three papers on the basis of scoring 60, 62, 58 & 10 Marks respectively in the four papers contained under Module-I of Executive Programme in previous session and in case he/she appears or cancels the exemption in any one out of the three exempted papers, all the three exemptions shall be cancelled since the exemption criteria in this case is applicable only if all the three papers are taken together. Candidates are, therefore, advised to be extremely careful while seeking cancellation or while appearing in the exempted papers, as the final result will be computed considering the actual marks scored on reappearance and/ or the deemed absence in the papers as the case may be. In other words, candidates appearing in the exempted papers despite an endorsement to the effect in the Admit Card shall be doing so at their own risk and responsibility and the Institute may not be held responsible for any eventuality which may arise at a later date. In case of any doubt regarding the applicability of rules regarding the exemptions, it would be better if the candidates seek prior clarifications from the Institute by writing at [email protected] before appearing in the examination of exempted subjects or seeking cancellation of exemptions granted.

1. Opportunity for Higher Education with Scholarships from Government of India

The ICSI Student Education Fund Trust is providing financial assistance / scholarships on the basis of the marks scored by them in the qualifying examinations (10+2, Bachelor’ Degree, etc.). The scholarships are continued and ensure ‘zero cost’ education to meritorious students provided they are able to pass the different stages of examinations at the first attempt and first available opportunity. Besides the above, Government of India and most of the State Governments in India are providing substantial amount of Post-Matric Scholarships to the eligible students belonging to minority communities, having disabilityand variousother categories. For details of Scholarships available, students may please refer to the National Scholarship Portal at http://scholarships.gov.in/ Government of India has created the National Scholarship Portal as a Mission Mode Project under National e-Governance Plan (NeGP) to provide single-window services to the eligible students for availing scholarships against all the schemes of the Central and State Governments. The students of CS Course are eligible to apply for scholarships provided by Central / State Governments under different schemes. The Institute would like to emphasise that it is a golden opportunity to the students desirous of pursuing Company Secretaryship Course while availing scholarships from the Government. 4. Updation of Data

The Institute in its continuous endeavour to update technology is revamping all online services. We are moving through a transition phase while implementing the flagship online platform SMASH (Student Member Application Software Hosting).

With this, the data of all students registered under old system has been migrated to new system and after this transition all students are compulsorily required to log in at the new SMASH(Student Member Application Software Hosting) system.

Further after the migration process, it has been observed that the address of some of the students are incorrect. It is therefore advised to update your address immediately.

In case you don’t update your correct address, you may miss important communications, study material etc sent by the Institute by post.

6. Discontinuation of Public Private Partnership Scheme for Class Room Teaching

The Public Private Partnership Scheme for conducting Class Room Teaching has been discontinued and presently no Centres are authorized to conduct the classes under the Scheme. Students registering at these centres will be doing so at their own risk and responsibility. Students are advised to approach the nearest Regional and Chapter Offices of the Institute for availing the Class Room Teaching facility.

7. Revised Procedure for Effecting Change of Name in the Institute's Records

In order to ensure uniformity in the procedure for effecting change of name on the basis ofspecific requests from students, it has been decided that henceforth request for change of name of students in theInstitute'srecords wouldbe acceptedonlyonreceipt/submissionof eitherofthefollowing documents : - (i) Gazette Notification (ii) Publication in Newspaperfor change of name alongwith anAffidavit (iii) Copy of Marriage Certificate (in case of Female candidates after marriage) (iv) Copy of PAN Card / Aadhaar Card / DIN supporting change of name. Students may send any such request at [email protected] alongwith the requisite supporting documents as mentioned above while quoting their Registration Numbers. It may be further noted that no request would be accepted without registration number.

8. ATTENTION STUDENTS !

Issue of Study Materials Compulsorily to All the Students Registering for the CS Course

It is informed that henceforth the study materials will be issued compulsorily to all students registering for different stages of CS Course.

It has been decided to discontinue the system of granting concession to the students of Executive/ Professional Programme Stages not opting for the study materials at the time of registration.

1. Study Centres

ICSI is setting up Study Centres in cities/ locations where the Regional/ Chapter Office of the Institute does not exist to facilitate the students.

The details of study centres are given below.

The objective of the Study Centre Scheme is to break the distance barrier at the end of students for availing the services from the institute. Under the scheme, the Institute is establishing Study Centres in most of the Smart Cities as proposed by the Government of India

which shall not only remove the distance barrier but also improve the level of services being provided to the students in such areas.

2. Third (3rd) International Company Secretaries Olympiad for Academic

Session (2018-19)

CS Olympiad has been established with the objective of enabling the student community to discover their potential in areas pertaining to Company Secretaryship and governance and identifying their interest to choose their stream of education.

As you are aware, the Second (2nd) International CS Olympiad was conducted on 23rd and 30th January, 2018 in which more than 1300 schools and about 34,000 students from different parts of the country and aboard have participated.

Students of class 11th& 12th from various locations have scored International Rank as well as Zonal Ranks in the same.

This year also various chapters of the Institute have already organized the Zonal Winners award ceremonies at Schools level.

1st phase of 3rd CS Olympiad was held on 20th Dec-2018 and 2nd Phase of 3rd CS Olympiad will be held on 31st Jan, 2019.

The details of CS Olympiad is also being publicised through dedicated portal www.csolympiad.info .

3.‘Shaheed Ki Beti’ Initiative

The Institute has launched a novel initiative to help the daughters of Martyrs who laid down their lives for protecting the sovereignty of the country. Under the ‘Shaheed Ki Beti’ initiative, the Institute has discontinued the practice of giving mementoes, etc. to the dignitaries/ speakers invited for various programmes of the Institute and the said amount will be transferred to the dedicated corpus and will be utilised for the education/ welfare of the daughters of martyrs. The first certificate under this initiative was presented to Shri Narendra Modi, Hon’ble Prime Minister of India who was the Chief Guest on the launch of ICSI Golden Jubilee Year on 4th October, 2017. Any national of India can also donate under this scheme. Kindly disseminate this information amongst your family and friends to support the Institute for this novel initiative.

FAQs ON PRE-EXAMINATION TEST

Q.1 Students of which stage of CS Course are required to complete the Pre-Examination

Test? A.1 The Pre-Examination Test is applicable for students of New Syllabus (2017) of

Executive Programme and Professional Programme Stage. Initially, the Pre-Exam Test will be introduced for Executive Programme (2017) New Syllabus Students which will be a pre-requisite for students seeking enrolment to December, 2018 Session of Examinations.

Q.2 Please let me know the pattern and other related details of Pre-Examination Test? A.2 The pattern of Pre-Examination Test will be as follows :

a) Online Computer Based b) The student can take the test from his home, cyber café or any other location. c) Multiple Choice Question (MCQ) type with negative marking of 25% of the allotted

marks; d) Result of the test would be available immediately on completion of the test; e) Result of the test would be linked with the enrolment process for examination; f) The questions will be categorized as per three difficulty levels i.e. Easy, Medium

and Tough and shall have a ratio of 30:40:30 in the overall marking scheme. Q.3 What will be the qualifying marks for each subject? A.3 The subject-wise qualifying marks will be minimum 40% marks. Q.4 I am planning to appear in Module-1 of Executive Programme during December,

2018 Session? Am I required to complete the Pre-Exam Test of Module-2 also before enrolment to December, 2018 Session?

A.4 No. You are required to complete the Pre-Exam Test of subjects covered under Module-1 only. Students are required to successfully complete the Pre-Exam Test of all subjects forming part of specific Modules in which they are planning to appear in the main Examinations. They may complete the Pre-Exam Test of remaining modules separately before seeking enrolment to examinations of such Module(s).

Q.5 Can I complete the Pre-Examination Test after enrolling and appearing in the main examinations?

A.5 No. Students are required to complete the Pre-Examination Test before enrolling for the main examinations.

Q.6 If I successfully complete the Pre-Examination Test before seeking enrolment to December, 2018 Examinations, will it be valid for future sessions if I fail in the main examinations?

A.6 The Pre-Examination Test will be valid for future sessions of examinations for the respective subjects and students will NOT have to clear the Pre-Examination Test each time they are seeking enrolment to main examinations.

Q.7 Am I required to remit any fee for appearing in the Pre-Examination Test? A.7 Yes. Students seeking enrolment to Pre-Examination Test are required to remit a

fee of Rs.1000/-. However, students who have already remitted the Pre-Examination Test Fee while seeking registration to CS Executive / Professional Programme Stages are not required to remit the fee again.

Q.8 What will be the syllabus for Pre-Examination Test? A.8 The questions will be according to the 2017 New Syllabus of CS Course. Q.9 I was an Old Syllabus Student and I have switched over to New Syllabus (2017) of

Executive Programme. Shall I be required to pass the Pre-Examination Test before appearing in the main Examinations?

A.9 Yes. Students who have switched over from Old Syllabus to New Syllabus (2017) of Executive and Professional Programme Stages shall be required to pass the Pre-Examination Test before seeking enrolment to Examinations.

Q.10 I have been granted exemption in some of the subjects on the basis of higher qualification/ switchover/ 60% marks criteria, etc. Am I required to pass the Pre-Examination Test of these subjects before appearing in main examinations?

A.10 No. Students are not required to pass the Pre-Examination Test of subjects in which they have already been granted exemption under different criteria for grant of exemption.

Q.11 What will be the duration of Pre-Examination Test, Total Number of Questions and the Total Marks?

A.11 Duration of Pre-Examination Test : 60 Minutes; Total Number of Questions : 50; Total Marks : 100.

Q.12 In case, I fail in the Pre-Examination Test, shall I be given another opportunity to appear in the Pre-Examination Test?

A.12 Students may appear in Pre-Examination Test any number of times, but they shall be able to appear in the Pre-Examination Test only ONCE in a day.

Q.13 What will be the process of making payment of fee for Pre-Examination Test? A.13 PROCESS FOR REMITTING THE FEE FOR PRE-EXAMINATION TEST

1. Login Page: Student can login in to the application by entering Registration Number and DOB. http://www.icsi.in/PreExamFees/Login.aspx

It will not allow student to enter into application if he has already made payment and his transaction is Successful or after Successful reconciliation. Both Registration Number and DOB are mandatory.

2. Student Profile Page: This page populates student details along with Pre- Exam Test Fee.

3. Payment Instruction Page: This page displays Transaction ID, Receipt ID and Instructions. Student can “Proceed to Payment” by giving his consent on the same by checking the check box.

Q.15 I have enrolled myself for Class Room Teaching conducted by the Regional /

Chapter Office of the Institute in my city. Shall I be exempted from appearing in Pre-Examination Test if I pass the Tests conducted by the said Regional/ Chapter Office after completion of the Class Room Teaching Session?

A.15 Yes. Students who have cleared the Offline Test in specific subjects after undergoing Class Room Teaching session in the Regional and Chapter Offices shall be exempted from the specific subjects of Online Pre-Examination Test.

Q.16 Please let me know if the marks scored in the Pre-Examination Test will be considered for computing the result of main CS Examinations?

A.16 No. The Pre-Examination Test will be a qualifying test to assess the level of preparation of the students before appearing in the main examinations. The marks scored in the Pre-Examination Test will NOT be used for computing the results of the main CS examinations.

Attention Students !!

CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE FOR STUDENTS

The Institute launched the ‘Corporate Compliance Executive Certificate’ in terms of Chapter IVA (Regulation 28A & 28B) of the Company Secretaries Regulations, 1982 on 4th October, 2013.

ELIGIBILITY FOR AWARD OF CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE

A person who –

— is currently registered as a student of the Company Secretaryship course of the Institute;

— has completed at least one group of the Intermediate/Executive Programme Examination of the Company Secretaryship Course, and

— has completed a training of Six months under Regulation 28A of the Company Secretaries Regulations, 1982, which may include skill oriented practical/class room training for two weeks.

PROCEDURE

An eligible student may apply for award of Corporate Compliance Executive Certificate by submitting an application in specified format (available on the website of the Institute www.icsi.edu), after making payment of a fee of Rs. 2000 (two thousand only), either in cash (at counters of the Institute across the county) or by way of Demand Draft in favour of ‘The Institute of Company Secretaries of India’ payable at New Delhi.

STATUS OF HOLDER OF CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE

— The student who is awarded Corporate Compliance Executive Certificate of the Institute shall be entitled to use the descriptive letters “Corporate Compliance Executive”.

— The grant of Certificate of Corporate Compliance Executive Certificate shall not confer on the Corporate Compliance Executive the rights of a member, nor entitle him to claim membership of the Institute.

VALIDITY OF CERTIFICATE

— The Corporate Compliance Executive certificate is valid for a period of three years (financial years) and is renewable on completion of four Programme Credit Hours (PCH) and payment of requisite fee as the Council may determine from time to time.

OTHER DETAILS

— The student shall have to complete the course of Corporate Compliance Executive Certificate including the training requirements within the registration period.

— The student having awarded the Corporate Compliance Executive Certificate may continue to pursue the regular Company Secretaryship course if he so desires.

— Except to the extent provided in this Chapter IVA (Regulations 28A & 28B) of the Company Secretaries Regulations, 1982 or as decided by the Council from time to time, regulations in Chapter IV and VI relating to ‘Registered Students’ and ‘Examinations’ shall mutatis-mutandis apply to the ‘Corporate Compliance Executive Certificate Course’.

— A student after having awarded the Corporate Compliance Executive Certificate shall secure four Programme Credit Hours (PCH) for renewal of Corporate Compliance Executive Certificate.

— There shall be no exemption from training.

Attention Students !!

LICENTIATE - ICSI

Regulation 29 & 30 under Chapter-V of the Company Secretaries Regulations, 1982 provides for Licentiate ICSI.

ELIGIBILITY FOR AWARD OF LICENTIATE ICSI

A person who –

- has completed the Final examination or Professional Programme examination conducted by the Institute may, within six months from the date of declaration of results in which he has passed the Final examination or Professional Programme examination can apply for enrollment as a licentiate

- the Council, however, may condone the delay in applying for licentiateship by any person for reasons to be recoded in writing.

PROCEDURE

An eligible student may apply for enrollment as Licentiate ICSI by submitting an application in prescribed form ST-8 alongwith annual subscription of Rs. 1000/- in cash (at counters of the Institute across the country) or by way of Demand Draft in favour of ‘The Institute of Company Secretaries of India’ payable at New Delhi along with copies of date of birth, professional programme pass certificate and graduation certificate/foundation pass certificate duly attested by any member of the Council/Regional Council/Satellite Chapter of the Institute or any Officer of the Institute.

STATUS OF LICENTIATES

- The person enrolled as a Licentiate of the Institute shall be entitled to use the descriptive letters “Licentiate ICSI” to indicate that he has qualified in the Final examination or Professional Programme examination of the Institute.

- The grant of licentiateship shall not confer on such licentiate any rights of a member nor entitle him to claim any form of membership of the Institute or its Regional Council or Chapter, as the case may be.

- The licentiate may be permitted to borrow books from the library of the Institute, Regional Council or Chapter or participate in the activities of the Institute, its Regional Council or Chapter as the case may be, subject to such conditions as may be imposed by the Council, Regional Council or Chapter, as the case may be.

VALIDITY OF CERTIFICATE

- A licentiate shall not ordinarily be eligible to renew his enrolment for more than five years after passing the Final Examination or Professional Programme examination.

OTHER DETAILS

- The Licentiate will be provided Chartered Secretary Journal of the Institute free of cost.

- The student enrolled as a Licentiate ICSI may apply for ACS Membership on attaining the eligibility for ACS by surrendering his Licentiateship.

- A Licentiate may apply in the prescribed form for exemption from training requirements (except MSOP) along with the requisite documents of work experience. eMSOP can be undergone through online mode by the eligible candidates for acquiring ACS Membership.

- The annual licentiate subscription becomes due and payable on the first date of April every year and non-payment of annual subscription on or before the thirtieth of June of a year shall disentitle the person to use the descriptive letters “Licentiate ICSI” from 1st July of that year, until his annual subscription for the year is received by the Institute.

- The name of the person so disentitled shall be published in the Journal.
