Introduction

• The three-year term of office for the previous Board of the Council for Scientific and Industrial Research (CSIR) expired on 31 December 2014

• The Minister of Science and Technology appointed the new CSIR Board effective from 1 January 2015 to 31 December 2018

• The purpose of this presentation is to share with the members, the Report submitted to Parliament in January 2015 on the CSIR Board appointment

• The appointment of the Board was informed by the CSIR Act, 1988 (Act No. 46 of 1988) as amended by the Science and Technology Laws Amendment Act, 2014 (Act No. 7 of 2014) (“the Act”)

Appointment Process

• The Minister followed the appointment process as outlined in section 7 of the Act

• To initiate the process, the Minister informed the previous CSIR Board Chairperson,

Prof. Francis Petersen and requested the list of names of the Board at the time who were willing to continue to serve

published the advertisement in the Government Gazette and three national newspapers (Sunday Independent, The Star and Sowetan) calling for nomination of suitable candidates to serve on the CSIR Board in line with section 7(2A)(a) of the Act

Appointment Process

In line with section 7(2A)(b) of the Act, the Minister appointed the panel of experts (“the panel”) to compile the shortlist

The Department of Science and Technology (DST) presented to the panel, 35 nominations received from the public as a result of the published advertisements and a list of six names submitted by the previous Board Chairperson

The panel compiled a shortlist of 14 candidates from the nominations received by the DST

The shortlist included the names of the previous Board who were eligible for reappointment

Selection Criteria

• The criteria was informed by section 7(5) of the Act which states that “members of the board including the Chairperson must all be persons who have achieved distinction in the science industry or who have special knowledge or experience in relation to some aspect of the CSIR functions”

• The panel further considered race, gender, financial, legal and human resources expertise to balance the expertise required for the proper functioning of the Board

Way forward

• The recommendations made in the Handbook for the Appointment of persons to Boards of the State Controlled Institutions (“the Handbook”) were also considered. The Handbook recommends that –an individual may not serve on more than three boards

whether public or privateRetirees may not serve on more than five boardsan individual may not be Chairperson of more than one

board at any timean individual serving on the board of a regulatory entity

may not simultaneously serve on the board of government enterprise that is regulated by the particular entity

Consultation Process

• When the CSIR was transferred from the Department of Trade and Industry to the DST, an agreement was signed by the Ministers of Science and Technology; and Trade and Industry

• This agreement requires the Minister of Science and Technology to consult the Minister of Trade and Industry

• Following such consultation, the Minister of Trade and Industry nominated the Director General of Trade and Industry to represent him to in the panel.

• As indicated earlier, the Chairperson of the CSIR Board was also consulted and as such submitted a list of six names of board members who were willing to continue to serve. However, only four members were eligible for reappointment, the other two had already served two terms

Composition of the Board

• The composition of the Board is outlined in section 7(2) of the Act which states that “the board shall consist of –a Chairperson appointed by the Minister;not fewer than five but not more that nine other

members appointed by the Minister; the chief executive officer (CEO), by virtue of his or

her office;a member of the Board excluding the CEO shall hold

office for a period of not more than four years, shall be eligible for reappointment;

No member may serve for more than two consecutive terms”.

Composition of the Board

• In line with section 7(2) of the Act, the Minister appointed Prof. Thokozani Majozi as the Chairperson appointed nine other members as per table below:

• In view of the above, the Board of the CSIR meets all the legislative and governance requirements

• Abridged Curricula Vitae of the members were attached to the Report

• The Report on the CSIR Board appointment was submitted to Parliament within 30 days as required by section 7 of the Act
