OUR SUPPORT

Founded in February 1993, with a staff having more than 40 years ex-perience in the design and manufacture of valves. This experience, satis-faction and quality of work is what has assisted the company in evolving into what it is today, continually developing new products to meet the demands of industry and our customer’s needs. Today, CMO is one of the largest manufacturers of valves in both domestic and international markets.

CMO designs, manufactures and sales standard and specialized valves. Its wide range of manufacturing allows to cover many industrial applications and the capacity to control all kind of fluids.

CMO exports 85% of its production to more than 70 countries all round the world.

GENERAL ORDER CONDITIONS

1. GENERAL ORDER CONDITIONSThe present general conditions govern all operations of agreed sales. In all cases will be un-ders-tood that the customer is aware of the present General Conditions and is subjected to them by the order acceptance, the goods being dispatched or the carrying out of work that is in relation with it. Any modification on these General Conditions must have our total acceptance and must be made in written.

2. ACKNOWLEDGEMENT OF RECEIPTAll orders will have an acknowledgement of receipt. The modifications included in that ack-nowled-gement of receipt will be considered accepted if a written notice is not received from the customer within 48 hours. In case that the customer wishes to make modifications on the order after it has been started at CMO, the customer will be compelled to inform about its intentions to modify the or-der to CMO. These alterations will only be valid in the case that they are accepted in written by CMO.

3. PRICESThose stated in the order reviewed by CMO will be understood as fixed and unalterable. All va-ria-tions of characteristics or specifications subsequent to the order that could cause the fixing of a new price must be confirmed and accepted by us in written.

4. DELIVERY TIMESThe delivery times will be stated in the order and will be considered as accepted if a written noti-fi-cation is not received from the customer within 48 hours.

5. DELIVERY OF MATERIALSThe delivered materials are by way of deposit until the price for them is settled entirety, CMO maintaining title over them until full payment of the price is made. The materials will be sent with the corresponding delivery note on which the customer order number will be stated, the customer order number, the CMO Manufacturing Order, material description, the selling price of the material, customer details.... When requested the price can be omitted. Under no circumstances will CMO be responsible for the transport even for sales made ‘free to destination’. The goods are despatched and always travel to the account and risk of the purchaser, even if sent ‘free to destination’ from the place where they are taken for the transport, by whichever means this may be. If the goods have apparent defects not attributable to the transport, they must be notified by the buyer, by means of certified mail, within one month following the stated date of receipt, depending on the case, on the delivery note or despatch ad vice or on the receipt given to the transport company at the destina-tion after unloading. If the goods have been modified by the purchaser, no claim will be accepted. In the case of a complaint being made within time, if the goods are accepted as faulty by CMO, we shall be under no other obligation other than to replace said goods, CMO being exempt from all further damages and consequences. This replacement will not be carried out until the faulty goods have arrived in our factory, with our prior agreement.

6. PENALTYCMO will not accept any penalty that has not previously been accepted in writing..

7. DRAWINGS AND DOCUMENTS• Documents produced by the customer. The drawings and documents relative to the order sent

by the customer are the property of the customer and will be kept in the file corresponding to the order in question.

• Documents produced by CMO. Documentation generated by CMO is the exclusive property of CMO, its reproduction and distribution being expressly prohibited without the consent of CMO.

• The plans and documents belonging to CMO can suffer modifications, CMO not being obliged to communicate or distribute them.

• The standard CMO plans are freely distributed. CMO will be able to prepare a quotation for plans relative to a specific matter. CMO will not be compelled to send plans in respect of a matter if it has not previously been included in the price of the offer.

• All of the designs, trademarks and patents placed at the disposal of the customers will remain the property of CMO. The word trademark has to be understood by the parties as all the names, instruments, plans, seals, letters, logos, goods and packaging forms that are being used by CMO.

• In the event of breaches of the Intellectual Property rights, the customer will have to assume a non-appealable payment of 50% of the value of the order, without demand or notice by a legal process, or a fine in the amount of 5% per day of the value of the order, depending on the duration or continuation of the breach, the right to compensation by CMO for damages caused, present and future, being understood in the above-mentioned terms, likewise the right to terminate the contract with CMO by means of an extra-judicial declaration in writing stating the breach by one of the parties.

8. QUALITY CONTROLCMO bases it Quality Control on the ISO 9001 directives. CMO is under no obligation to admit external Quality Audits or Quality Certifications that have not been agreed previously by means of a quotation. Quality Inspections by the customer. CMO is under no obligation to accept quality inspections unless previously accepted in the offer.

9. GUARANTEESThe Guarantee period will be 12 months from delivery of the material, it being possible to reach a maximum of 18 months from the despatch of the material from CMO; the latter will be established in writing. Additional guarantees can be agreed in the quotation. The guarantee includes the repair or replacement of the faulty pieces in our workshops or those of our suppliers if it is demonstra-ted that there is a manufacturing fault. Not included under any circumstances are the expenses of dis-mantling, assembly, carriage, and travelling in the event of our technical personnel being required. The guarantee will be null and void if the goods have been tampered with by personnel other than those of CMO. Breakdowns caused by the entry of water or humidity to motors or other compo-nents are excluded from the guarantee. Likewise burnt out motors. The guarantee will be invalid when the circumstances of the breakdown have not been provided in an adequate manner, the material has not been used under conditions suitable for its design, the instructions for service and maintenance have not been observed or the stipulated guarantee period has elap-sed. The gua-rantee does not include breakdowns caused by normal wear and tear, unsuitable work, incorrect handling, discharges, thermal or chemical influences, oxidation, connections, lack of maintenance, errors in the assembly or incorrect commissioning.

1O. PACKAGINGCMO will consider standard packaging in the order, consisting of euro pallets, standard packaging tape, standard freight and cardboard boxes. With a quotation, the goods can be packaged in ac-cor-dance with the specifications of the customer, provided that there is an order signed by the customer relative to special packaging.

11. PAYMENT CONDITIONSThe payment conditions will be dealt with individually with each customer. No exception can be made of any type or nature by the purchaser, using defects, faults or irregularities in the premises of the supplier, as stipulated on !he invoice or acknowledgement of receipt. The failure to make payment of an invoice on its due date or the non-withdrawal of material within the agreed time will carry the full right to the termination of the transaction, with the damages and consequences, if there are any, unless legal action is preferred for the case. If the transaction is made up by several supplies, in addi-tion we reserve the right to suspend the deliveries pending. All payments are insured.

12. RETURN OF MATERIAL BY THE CUSTOMERAny return of material that is not attributable to reasons of CMO’s manufacture, will have to be re-quested, accepted and sent to us carriage paid. Our credit note will be at 70% of the value invoiced, provided that the material returned is in perfect conditions of use. For used materials, the return must always be negotiated prior to being carried out. In all cases the agreement in writing from CMO will be necessary prior to the carrying out of any return.

13. REJECTION OF GOODSFor there to be a rejection of goods, this must have the prior written acceptance of CMO.

14. SAFETY REGULATIONSThe Safety Regulations to be applied to orders from CMO are those reflected in the CMO Safety Manual.

15. SUBMISSION TO THE COURTSBoth parties give waiver to their own forum and address, if they are different, and give express agreement to subject themselves to the jurisdiction of the Courts and Tribunals in the city of San Sebastian / Tolosa.

16. SECRECYThe customer will not be able to divulge the information which it has knowledge of under the framework of a contract signed or to be signed with CMO and which is not in the public domain unless CMO has given its written authorisation. In the event of this prohibition being breached, the customer will have to assume a non appealable payment of 50% of the value of the order, likewise a fine in the amount of 5% per day of the value of the order whilst the breach continues, without prejudice to CMO for other rights or actions for the results of the breach.

17. TERMiNATION OF THE CONTRACT

The contract signed by the parties will be terminated immediately by CMO in the following cases:

a. In the event of the customer declaring bankruptcy or liquidation.b. In the event of the customer going into administration and the administration being

authorised.c. In the event of the customer being in breach of any of the obligations stipulated in the

contract.d. In the cases as stated under Article 17 of the General Purchase Conditions.e. In the event that CMO’s credit insurance company not covering a minimum of 80% of the

total order.

18. FORCE MAJEURE

a. In the event that the customer is unable to fulfil its obligations due to force majeure and in accordance with the contract, it will be compelled to inform CMO immediately in regard to the situation.

b. In the case where this situation may last for more than 30 days, CMO will be able to termi nate the contract immediately, without prejudice to its right to be compensated for the damages caused.

19. RESPONSIBILITY OF CMOIt is very important to take into account that CMO manufactures valves and elements for the con-duction of fluids in special applications. Because of that, the followings must be very se-riously taken into account:a. The application of a valve or an element manufactured by CMO in a location not expressly

stated in writing by CMO will not give rise to any type of complaint either directly by the customer or indirectly by the insurance company.

b. The customer-user is responsible for the choice of the valve model or element to be fitted in its installation, in line with the fluid and the features that are required from the product.

c. CMO as a manufacturer of different models of valves and elements for the conduction of fluids has a technical staff available to guide and guarantee the workings of its products..

d. CMO carries out an acknowledgement of receipt for the orders, but it does not mean that it is aware or agree with the application in which its products will be installed because the entire responsibility belongs to the customer-user.

e. CMO guarantees its products in the applications and the limits established in writing.

20. APPLICABLE LAWSpanish Law will be applicable in the case of a dispute in regard to these General Purchase Conditions or those connected with other Conditions and/or those applicable to the contract signed with CMO.

21. AFTER SALES SERVICEClaims under the guarantee have to be made immediately after the appearance of the defect. All requests for technical assistance or requests for replacement parts must be made in writing in order to quote for the assistance or repair. If the breakdown is protected under the guarantee, the part to be supplied will be without charge (carriage, travelling, expenses are not included - see Point 9 of the guarantee conditions). In the event of it not being covered by the guarantee, an order must be issued for the initial quotation. For the supply of any faulty part, the delivery time will depend on the manufacturing time or the supply time from CMO’s suppliers. Under no circumstances will the supply time be less than 10 days. Under no circum-stances does the adquisition of equipment or replacement parts grant a right to:a. Free commissioning.b. Field trials. Requests for commissioning or technical assistance will be attended to by CMO once having received the corresponding order, which implies express acknowledgment of the CMO after sales service conditions. It is advisable for the entire equipment installed to be fitted with replacement parts in order to avoid delivery delays. Electrically-operated geared motors and control cabinets will not be repaired on-site, therefore when faced with a breakdown they will have to be sent to CMO for any repair.
