Letter from the CEO

in August, we completed our 97th consecutive profitable quarter

(that’s over 24 years!). We can look back on our history and be very proud of our many great accomplishments. In fact, we surprised Wall Street in September with not only better than expected results, but also a stronger forecast for our fourth quarter. Thanks to all SYNNEX associates for delivering another solid quarter!

We are obviously doing a lot of things right, but that alone does not ensure that we will continue to grow faster than the market and increase our profitability in the years ahead.

Advances in technology, such as the iPad and other tablet devices, are creating exciting new products and services. But more importantly, new innovations are also driving significant changes throughout the whole technology eco-system. Examples of this are all around us:

Today, your smartphone is an entire com-munication, business, and entertainment platform–from voice and video communications, to email, gaming, video streaming, and many other everyday, yet indispensable, applications. The way we purchase software and bandwidth is also very different from how we did so just a few years ago.

Cloud computing is already changing the way small businesses and enterprises alike think about their IT environments. The ability to pur-chase individual “seats,” based on a recurring monthly charge, is very different than investing significant upfront capital to acquire servers and storage. And software is changing rapidly as well, moving from one-time licenses to monthly usage charges, and providing small and mid-size businesses with legacy enterprise solutions they could not afford previously.

Letter From the CEO, Kevin Murai

Computers are everywhere…in phones, cars, televisions, even home appliances. Many indus-try experts believe that the number of devices connected to the internet will exceed 15 billion by 2015. Being always-connected provides visi-bility and control that we have never experienced before.

So with the technology ecosystem being turned upside down, the threats to our legacy business model are apparent. Will we sell as many traditional computers (desktops, laptops) as we have previously? Will legacy hardware be cannibalized by the new mobile devices? Will we sell as much computing infrastructure, such as servers, storage and networking? Will Software-as-a-Service ultimately replace traditional software license sales?

These questions keep technology leaders up at night. Some see an existential threat to their businesses and livelihoods. Threat or not, we believe these new technologies represent huge opportunities for those willing to embrace these changes. The following are some competitive advantages we intend to capture:

Being first-to-market with new business models can translate into premier market share: With Cloud computing, the way that infra-structure, platforms, software, and services will be sold is very different. Aggregation of dispa-rate services, provisioning, services integration, single sign-on, invoicing, and consulting services are new value-add capabilities. As we help our channel partners develop their Cloud business, we rapidly build loyalty and increase scale.

There will be different ‘winners’ in the new world: A key part of our strategy has been to identify who the winners will be and partner with them. The Cloud and mobility ecosystems

changing the rules of the Game

are generating new players that have inherent advantages over some legacy technology players.

An opportunity to engage with new cus-tomer sets: as the technology ecosystem evolves, those who deliver solutions will not necessarily be only our legacy customers. For example, con-nected home solutions can be delivered through our existing VARs, but can also be deliv-ered through low-voltage VARs (audio-visual, alarm systems), the phone company, or the cable provider.

At SYNNEX, we spend a lot of time under-standing technology trends and contemplating what the future will bring. Many of you have been involved in our strategic planning process, performing research and analysis with our man-agement team and our board of directors. And although strategic discourse is a never-ending exercise, I’m pleased that we’ve already made some important investments in Cloud computing and Services.

CLOUDSolv: We recently launched our CLOUDSolv platform in time for our National Conference in Greenville, SC (see page 06). The core of the platform is a provisioning and billing tool that greatly simplifies the delivery of Cloud services for our resellers. In addition, resell-ers can create their own apps marketplace to market and sell not only SYNNEX partner ser-vices, but also their own. Our initial portfolio of service partners includes Microsoft, Broadsoft, Symantec, Alpicor, and Itronics, with more being added each month.

gem: On September 27, we announced the acquisition of gem, a provider of customer contact solutions based in Belfast, Northern Ireland. With this acquisition, we deepen our global Concentrix footprint within the European market, and also add exceptional capability in supporting

Letter From the CEO, Kevin Murai

enterprises with their social media strategies. The use of social communities is exploding these days, and gem helps businesses manage their sales and support within these communities through proprietary platforms. We believe this to be another key differentiator for our Concentrix business. We are pleased to bring gem on board, and I want to personally welcome their 700 employees to the SYNNEX family (see page 10).

SYNNEX has grown by being entrepre-neurial–taking measured risks and embracing new markets. Now, more than ever, we need to put on our entrepreneur hats and identify the new ways that technology will get to market, understand where value is created, and create business models to serve these new markets. I am more excited about the opportunities today than I have been in the 23 years I have been in the IT industry.

We are in the driver’s seat, so let’s capture the opportunities!

Letter from the CEO

sYNNeX corporation reports Fiscal 2011 third quartersolid revenue Growth, record third quarter Profitability

congratulations sYNNeX on another

strong quarter! As one Wall street

analyst headline read after our earnings

call, “sYNNeX continues to Zag While

the World Zigs.” this Fall it seems not

a day goes by without seeing newspaper

headlines on these challenging economic

times, but here at sYNNeX in our third

quarter, total earnings were up 24% over

the third quarter of 2010, we expanded

our operating margin and we continued

to increase our return on invested

capital (rOic).

in the Distribution segment reve-nues were up 18% year-over-year.

Our organic growth rate was 8%, sig-nificantly higher than overall growth in IT industry spending. In the U.S., we continued to experience stable and relatively strong demand in our com-mercial and government segments. The consumer segment remained somewhat soft; however, we saw some lift in the last month of the quarter. The Canadian landscape was similar although somewhat more softness in

the consumer segment was offset by solid demand and market share gains in the commercial segment. Demand in the Japanese market was season-ally soft, as expected, but on-plan as demand appears to have recovered for the most part after the very unfortu-nate disasters earlier this year.

In our Global Business Services (GBS) segment, while the overall BPO market has been soft, our revenues were up 31% year-over-year from the acqui-sitions of Aspire, Encover, and e4e, and also from organic growth. More importantly, with the integration of these acquisitions, we improved our operating margin sequentially. We were also pleased that we continued to win new platform engagements during the quarter which we are ramping in the coming months. What I believe is particularly noteworthy is that we are increasing the level of synergy between our GBS and Distribution businesses.

Here are a few additional financial highlights of note for the quarter:

• Our trailing four quarter ROIC grew to 10.5% up from 10.0% in Q3 2010

• Our operating margin grew to 2.59% for the quarter up from 2.40% in Q3 2010

Global Perspectives

Over the past few years, while there has been significant uncertainty in world economies which has had an impact on the demand for IT products and services, SYNNEX has consis-tently outperformed the market. This is because of the dedication of all our employees and our focused efforts on key technologies and markets where strong growth and margins exist. We expect to continue on this winning path.

Once again, congratulations SYNNEX associates worldwide on tre-mendous third quarter results!

sYNNeX National conference and canada sales conference

Cover Story

With 350+ resellers and 120 vendor companies participating, SYNNEX

US teams transformed Greenville’s TD Center into a technology village for its annual Vendor Executive Summit and National Conference events from October 12-15, 2011. Each year, the dual events grow bigger and better, and the various teams within SYNNEX work hard to find engaging ways to educate and enter-tain customers.

“Powered by Performance” was chosen as the theme for the 2011 events to convey how SYNNEX, vendors, and resellers all work together–like a pre-cision flying team–to synchronize our mutual success.

Preparation for the events is an eight-month process, involving all departments–each bringing their indi-vidual skills and expertise together to make it all happen:

• The Events staff works out the logis-tics of the agenda venue, books local hotels and transportation for all the guests, and finalizes contracts for the entertainment and keynote speakers.

• Marketing Specialists line up vendor sponsors and Product Management facilitates their efforts. Sales Reps communicate with the invitees to promote the conference.

• Creative Services designs graphics, signage, and event communications—those specific to the event, as well as communications such as websites and brochures for each business unit.

• The PRINTSolv Wide Format lab showcases its capabilities, produc-ing spectacular super graphics from the entrance of the venue, to the

breakout session rooms, and every-thing in between.

The months of planning culminate in one short, action-packed week. This year’s con-ference highlights included a new concept for the Solutions Pavilion. Functioning as the heartbeat of the National Conference, classrooms, vendor displays, and dining converged in one place to create a vibrant technology village.

The National Conference keynote speaker, John Foley, shared lessons on how his experiences as a Blue Angels’ lead pilot apply to improving busi-ness performance. With incredible video footage of aviation maneuvers, including flying in formation at a mere 18” apart, Foley offered an inspiring behind-the-scenes look at Blue Angels’ teamwork, driving home the conference message, “Powered by Performance.”

sYNNEX Canada held its National Sales Conference on October 12, with a record number of vendor attendees. The theme was “Best Distributor

in a Leading Role,” an Academy Award reference that highlighted SYNNEX Canada’s own powerful performance in meeting their customers’ needs.

Held at Blue Mountain, Ontario, equal parts of hard work and prepa-ration went into presenting the Canadian conference. The real stars of the show–the Canadian employees and our vendor partners–were treated to a festive and informative conference that showed off the dedication and exper-tise of the SYNNEX Canada team.

In keeping with the conference theme, the Canada staff created their own Hollywood movie trailers that were presented on the big screen during the event. A big congratulations goes out to the “cast and crew” of the Charlie’s Angels trailer, who won the grand prize for Movie of the Year! The team wrapped up the day’s activities with a gala dinner and VIP party patterned after the Academy Awards’ Governor’s Ball, featuring live music, casino games, and a Hollywood-style lounge.

Mirroring the old showbiz adage, “The Show Must Go On,” the Canada team also relocated its entire call center to the conference venue, for a trans-parent view of its exceptional customer service during the event. The onsite ICG call center was manned by 25 Inside Sales Reps, two Managers, and two Business Ops Reps, who flawlessly handled over 500 customer calls. The Business Ops team of Franco Bruno and Melvin Mack conceived, designed, tested, and executed the call center with such success that not a single call was dropped during the conference.

Kudos to the entire Canada team, who put on an exciting, memorable–and productive–Sales Conference for our associates and partners.

The goal of the Huang Leadership Development Scholarship is to empower exceptional students whose values and purpose are devoted to excelling as leaders for the future prosperity of the globalized world. The three 2011 schol-arship recipients were selected based on academic achievement, leadership qualities as evidenced by their personal statement, letters of reference, school and community activities, financial need, and through interviews with each member of the scholarship committee. i am very glad to have this oppor-tunity to say hello and update

you with the latest developments at SYNNEX Infotec. My name is Yoshitake Matsumoto, and I joined SYNNEX Infotec in August. Before joining SYNNEX Infotec, I spent 29 years with Hewlett-Packard where I had been responsible for the Enterprise Server and Storage busi-ness in Japan between 2004 and 2009, until I moved to the role of regional Enterprise Storage, Servers and Networking (ESSN) alliance manager for Enterprise Services (ES), which was part of EDS, before HP’s acquisi-tion of it. While I take over as CEO at SYNNEX Infotec, Bob Huang remains as chairman of SYNNEX Infotec, and

it is crucial to learn from Bob about the distribution business and to absorb his sense of urgency.

Our management team in SYNNEX Infotec is a mixture of man-agers from Marubeni Infotec, along with new members. At the time of the merger, Bob and Hirobumi Suzuki joined from SYNNEX Corporation. Kiyotaka Sugie, joined this past July as our new CFO, and I took over as CEO on August 1st.

SYNNEX Infotec has 450 employ-ees and does approximately $1.3B in business in Japan, encompassing commercial and consumer distribu-tion. There are two major distribution centers: one in Tokyo and the other in Osaka. When we had our SYNNEX IT Conference 2011 in Tokyo on June 14th, 132 vendors participated and 441 partners were invited. The total number of visitors that day was 1,035. The event started with Bob’s

keynote address, followed by speeches from HP Japan’s CEO, Mr. Shinichi Koide, and Microsoft’s Japan Director, Michael Dykes.

Because of the earthquake and tsunami on May 11th, we had some minor damage at our Sendai office, but all SYNNEX Infotec employees were safe. April to June GDP declined year-over-year and many businesses slowed due to supply chain issues in Japan. Business started picking up in July, and Japan’s GDP started to show positive YOY growth. As a result of our efforts, SYNNEX Infotec per-formed well in Q3 and achieved 9% revenue growth YOY.

We have good opportunities to improve our gross margin and profit-ability in Japan. We expect to implement CIS within a couple of months and we want to get better visibility for our

system for our improvements. Thanks to the support from US IT team and China development team, we are making solid progress.

Our cis teamAs a part of being in the SYNNEX family, SYNNEX Infotec’s “CIS cutover” project started at the end of 2010, and the target date for system cutover from Infotec’s current system to CIS is expected within a couple of months.

In addition to the more stan-dard aspects of a system conversion, an international acquisition (and CIS implementation) carries with it many unique challenges including varying business practices, language chal-lenges, and the need to navigate multiple, differing business cultures.

Top SYNNEX resources from the US and China have been working closely with our strong SYNNEX Infotec team here in Japan to manage and guide this highly complex initiative.

The project team has invested a great deal of time to ensure the success of the initiative, working through holidays and weekends for extended periods of time. With the dedication of this talented and hard-working team, SYNNEX Infotec will soon realize the benefits of our best-in-class, proprietary CIS ERP solution to improve visibility, velocity, and value.

With everyone’s dedication in this project, Infotec is going to get the best of CIS, which has been a core strength of SYNNEX’ business for many years.

China

the 2nd Annual SYNNEX China Technology Convention (STC) was

recently held presentations Nov. 4 and 5, where internal and external experts from various departments gave informative presentations on topics concerning technical innovation, new development, and creative ideas for SYNNEX’ global business. The topics mainly concerned three fields: Supply Chain/Logistic Solutions, Mobile Applications, and the exploration of Cloud technology. Much of the focus was placed on the integration of new technology, practical applications, and market opportunities.

SYNNEX China started pro-viding a series of solutions and integration services in the field of Supply Chain Management in 2007, while keeping a keen eye on the devel-opment of logistics and the China eCommerce industry. The R&D team in Chengdu shared projects which showed their technical strength. The Mobile team introduced applications they had successfully developed in the past year, which strengthen the partnership between SYNNEX and its vendors. The WMS and TMS teams introduced some projects they recently completed and shared expe-rience while facing the request and challenges of end users and practical applications. Clark Lu’s speech was a highlight of this two-day convention.

He told the story of Apple’s success and most importantly made an analy-sis of its successful model which was an inspiration to all of us.

Gary Gulmon, CIO of SYNNEX, made an opening speech through a pre-recorded video: “Technology needs to solve business problems; oth-erwise the technology would be a cost that is cut. I have learned over my career that the best technology is the technology that is used. By innovation, we should give people what they didn’t know they needed. So, start by under-standing the customer better than the customers knows themselves, and find a better way to do the same tasks. ”

Karen Lu, Director of BPO, said “I was very impressed to join STC. I am seeing a professional team present-ing our products that not only focus on current global marketing vs. future tendency, but they also create oppor-tunities SYNNEX can develop going forward. STC offers a wide platform that SYNNEX performs along a chain linking ITO, BPO, and SIS. With continuous growth, STC will inte-grate and optimize team resources, creating a high-performance, innova-tive, corporate environment, which is able to maintain competition.”

Darcy Zhang, GM of China Operations, said “Through this two-day intensive brain storming and sharing of research and direction,

understanding of market trends, and exploration of future directions, we already have a better understand-ing that our future development must rely on technology. Technical innova-tion and integration with application are absolutely at the core of our com-petitiveness. Most preciously, I feel the hope brought to our associates by knowledge beyond daily routine work. During the past 11 years, we experienced adjustment of business orientation, which must be trending with innovation. I am so pleased that our team is on their way. With the accumulation and hard work, we have gained stage achievement. SYNNEX China has been among the first class of service providers, most of our custom-ers are top tier corporations. Our team has been changing SYNNEX’ know-how, expertise and global resource accumulated in the past 30 years, for our future opportunities and fortune.”

On October 15, at the conclusion of the SYNNEX 2011 National

Conference, Peter Larocque, President of U.S. Distribution, hosted the first annual SYNNEX Share the Magic event at the TD Convention Center.

SYNNEX Share the Magic ben-efits Upstate SC children’s charities, including Make-A-Wish Foundation, Clement’s Kindness, Pendleton Place, and A Child’s Haven. These groups fulfill wishes for critically-ill children, purchase medicine for children whose parents cannot afford it, provide a safe place to stay for children who have no home, and give a sense of stability and comfort for neglected and abused kids.

“As a board member of Make-A-Wish Foundation of SC, I saw firsthand the need for funding to help children with life-threatening ill-nesses. As the father of three young children, I knew I had to do some-thing,” said Larocque, founder of SYNNEX Share the Magic. “This gala evening isn’t about any one person,” Larocque said, “It’s about many people doing what is necessary to make a difference in the lives of others–and their own as well.”

Honorary chairpersons, Richard Riley, former SC Governor and US Secretary of Education, and Betty Farr, a noted Greenville philanthropist, were on-hand to share their personal involvement with these charities.

SYNNEX Share the Magic gala evening showed the spirit and giving

nature of our associates, business partners, Greenville community and our friends. Together we exceeded all expectations, generating more than $500,000 for Upstate children’s charities! The gracious sponsorships and donations for the silent and live auction demonstrated the remarkable power we have to make a difference.

Javier Colon, winner of NBC’s “The Voice,” entertained the audi-ence with his soulful voice that won over millions of fans on television. During Javier’s set, local artist, Jared Emerson, painted a portrait of him live. Attendees were captivated watch-ing Jared’s art performance. The painting was later auctioned off as part of the fundraising.

Reflecting on the night, Larocque stated, “When visiting the charities, the thing that impressed me most was that SYNNEX associates are already very involved with these orga-nizations. So we will work to expand SYNNEX Share the Magic into a year-long activity to promote volun-teer work and fund-raising. I am very proud to have worked with all of you on this! My wish is simple: Make a difference in someone’s life and yours will be changed as well.”
