We do very granular reporting and analysis, but many of our clients need to know at a glance what

kind of trends we are seeing in terms of campaign success. Every campaign has a Key Metrics report

that is updated with new data every month. This allows us to quickly and easily tell from a high-level

view if the campaign is healthy and trending positively. The most common key metrics we track for

clients are Top 5 Rankings, Organic and/or Paid Traffic and -- perhaps most importantly -- Leads.

This Client Proposal (“Proposal”) is made as of April 22, 2020 (“Effective Date”) by and between Thrive Ideas, INC., DBA Thrive

Internet Marketing Agency, a Texas corporation, having its principal place of business at 4604 Park Springs Blvd #150, Arlington,

Texas 76107 (collectively with its related entities “Thrive”) and Publication Without Borders.

1) Standard Payment Terms

• a) Initial payment must be made in advance of scheduling a Kickoff Meeting and recurring payments will be due on the first

of each month going forward if paying monthly. Payments are required to be made via automatic bank draft (ACH).

Payments are billed in one month increments. Once the recurring services are paid in full to Thrive (as outlined above), any

elements of coding, text, content writing, back links, domain names, social media profiles, or any other SEO services are

entirely owned by Publication Without Borders.

• b) Payment is due upon receipt of the invoice. There will be a late payment charge of 1.5% for each month the payment is

late. Payments will be considered received as of the postmark date or submission date of online payments. If the payment

is late more than 3 months Thrive reserves the right to terminate service.

• c) Clients located in the State of Texas are required to pay Texas state sales tax (6.4%) for web design and web hosting. This

will be calculated and included on each invoice. Sales tax is not charged for search engine optimization.

• d) Prices are subject to change, and changes will be given in written notice prior to adjustments. Payment of invoices

following change constitute agreement to new prices.

2) Term & Termination

• a) Thrive reserves the right to work with any organization or business with their online marketing efforts (including but not

limited to SEO, social media, email marketing, content writing, e-commerce optimization, etc). If two direct competitors

approach Thrive, a non-disclosure agreement may be signed protecting each client from the sharing of confidential or

sensitive information. Thrive's ultimate goal is to provide our professional expertise, our time and Internet marketing

knowledge to increase the number of leads for any business.

• b) Contract will be on a Month-to-Month basis.

• c) For month to month contracts, client can cancel services at any time with a 30 day written notice sent to

[email protected].

• d) If engaging in a 6 or 12 month contract, this Proposal will automatically renew at the end of each term for a further term

of the same length unless either party gives the other written notice of termination at least 30 days prior to the end of the

then current term.

• e) For month to month contracts, monthly hours are flexible and can be changed at the Client's request.

• f) Thrive may terminate this proposal without cause upon giving Client thirty (30) days prior written notice.

• g) Upon termination of this Proposal by either party, Publication Without Borders will immediately pay Thrive all

undisputed fees, costs and expenses owed to or incurred by Thrive up to the effective date of such termination.

Furthermore, each party shall promptly return all data, materials and other property of the other held by it; provided,

however, that if Publication Without Borders has not fully paid all outstanding invoices for services performed by Thrive

prior to the date of termination, Thrive shall be entitled to retain or recover any deliverables until payment is made. This

right shall be in addition to any other remedies it may have at law or in equity.

3) Rights in Materials

• a) Once the services are paid in full to Thrive, any elements of text, graphics, photos, contents, trademarks, domain names,

articles are owned by Publication Without Borders.

• b) Thrive assumes the Client has permission from the rightful owner to use any images or design elements that are

provided for inclusion in marketing materials created by Thrive. Publication Without Borders will hold harmless, protect,

and defend Thrive from any claim or suit arising from the use of such elements.

• a) Once the services are paid in full to Thrive, any elements of text, graphics, photos, contents, trademarks, domain names,

articles are owned by Publication Without Borders.

• b) Thrive assumes the Client has permission from the rightful owner to use any images or design elements that are

provided for inclusion in marketing materials created by Thrive. Publication Without Borders will hold harmless, protect,

and defend Thrive from any claim or suit arising from the use of such elements.

• c) Thrive retains the right to display graphics and other web content elements as examples of their work in their portfolio

and as content features in other projects.

4) Employee Solicitation / Hiring

• a) During any period in which services are being performed, and for a period of one (1) year thereafter, neither party to this

Proposal shall, directly or indirectly, employ or offer employment to any employee or former employee of the other party.

For purposes of the preceding sentence, the terms “employment” and “employee” shall include any form of employment,

consulting, contract relationship, or other arrangement pursuant to which such individual will, directly or indirectly,

perform services for Publication Without Borders. In addition, either party shall promptly notify the other party of any

communications with personnel seeking employment.

5) Indemnity and Warranties

• a) Thrive makes no representation or warranties with respect to any Third Party Products. This includes, but is not limited

to, Hardware and Software, provided by Thrive in connection with the delivery of services.

• b) Client will pay third party advertising costs directly to third party marketing channels. Client is ultimately responsible for

tracking and paying any and all advertising costs paid to third parties and Thrive is not liable for any advertising cost spent

above or below Client's indicated third party advertising budget.

6) Confidentiality

• a) The parties hereby acknowledge that their personnel may gain access to information that the other party deems to be

confidential and/or proprietary and that has commercial value in its business. Each party agrees that any such information,

including but not limited to, the other’s price quotes, preliminary concepts, sales and/or marketing proposals, branding

strategies, creative designs and concepts, technical data, web designs, trade secrets and know-how, research, product

plans, products, customer technical requirements, software, programming techniques, algorithms, services, suppliers,

supplier lists, customers, employee lists, customer lists, markets, developments, inventions, processes, technology,

designs, drawings, engineering, apparatus, techniques, hardware configuration information, marketing, forecasts, business

strategy, finances or other business information disclosed by the other party and identified in writing as confidential

(“Confidential Information”) shall not, without the disclosing party’s authorization, be disclosed to any other party or used

7) Acceptance

• a) This Proposal becomes effective only when signed by an authorized agent of Publication Without Borders. Regardless of

the place of signing the Proposal, the Client agrees that for purposes of venue, the Proposal was entered into in Texas and

any dispute will be litigated or arbitrated in Tarrant County, Texas.

• b) Publication Without Borders will have 14 days from the receipt of this Proposal to accept its terms. Thrive reserves the

right to modify any information or pricing in this Proposal if entered into after the 14 day period.
