C O N F I D E N T I A L I T Y & C O N D I T I O N SBuyers Realty, Inc (“Broker”) has been engaged as the Exclusive Agents for the sale of the property located at 1733 S. Greenfi eld Rd., Mesa, AZ.

Each person receiving this Brochure or any information relating hereto agrees to treat as confi dential all information ( the “Confi dential Informa-tion”) including, without limitation, the information in this Brochure, concerning the Property or the Owner that is furnished to such person or its direc-tors, offi cers, employees, affi liates, representatives, or advisors (collectively, “Representatives”) by or on behalf of the Owner. The term “Confi dential Information” shall also be deemed to include, without limitation, (a) notes, analyses, compilations, studies, interpretations, memoranda, or other documents prepared by any such person or its Representatives that contain, refl ect, or are based upon, in whole or in part, the Confi dential Infor-mation, and (b) any reports prepared by third parties for Owner or any of its representatives or advisors that are provided to any such person or its Representatives concerning the Property ( the “Third-Party Reports”). Notwithstanding the foregoing, (i) Confi dential Information may be disclosed to such person’s Representatives who need to know such information for the sole purpose of evaluating the possible purchase of the Property, and (ii) disclosure of Confi dential Information may be made in any other manner to which Owner consents in writing prior to such disclosure. Each such person agrees to be responsible for any breach of this provision by it or any of its Representatives. The term “person” as used herein shall be broadly interpreted to include the media and any governmental representative or authority, corporation, partnership, group, individual, or any other entity.

Any person receiving Confi dential Information hereby agrees that the Confi dential Information will be used solely for the purpose of evaluating the possible purchase of the Property and not in any way directly or indirectly detrimental to Owner. ALL SUCH CONFIDENTIAL INFORMATION IS PROVIDED SOLELY AS A POINT OF BEGINNING FOR SUCH PERSON’S OWN DUE DILIGENCE. AND SUCH PERSON IS EXPECTED TO UTILIZE HIS OR HER OWN PERSONNEL AND CONSULTANTS TO EVALUATE THE PROPERTY’S PHYSICAL, LEGAL, ECONOMIC, AND ENVIRONMENTAL CONDITION, AND ALL OTHER FACTS AND POTENTIAL ISSUES WHICH SUCH PERSON DEEMS ARE RELEVANT TO A DECISION TO PURCHASE THE PROPERTY, INCLUDING, WITHOUT LIMITATION, INDEPENDENTLY REVIEWING ALL MATERIAL DOCUMENTS AND THOSE ASPECTS OF THE PROPERTY AS ARE ADDRESSED GENERALLY IN THE THIRD-PARTY REPORTS.

Any person receiving Confi dential Information understands that much of it is in summary form and that neither Owner nor any of its direct or indirect partners, nor any of their respective directors, offi cers, shareholders, employees, representatives, or advisors (including, without limitation, Buyers Realty, Inc.) have made or now make any representations or warranty, express or implied, as to the accuracy or completeness of the Confi dential Information (including, without limitation, any Third-Party Reports) or the value of the Property. All fi nancial projections are provided for general reference only and are based upon assumptions that may prove to be inaccurate when actual operating results are obtained. Each such person agrees that in no event will the Owner, its direct or indirect partners, or their respective directors, offi cers, shareholders, employees, representatives or agents be liable for any errors or omissions resulting from the use of the Confi dential Information.

An opportunity to inspect the Property will be accorded to qualifi ed prospective purchasers, subject to reasonable conditions imposed by Owner.

In addition, Owner expressly reserves the right, at its sole discretion, to reject any or all expressions of interest or offers to purchase the property, to terminate discussions with any party, or withdraw the Property from the market at any time with or without notice. Owner shall have no legal com-mitment or obligation to any person reviewing this Brochure or making an offer to purchase the Property unless a defi nitive written agreement for the purchase of the Property has been fully executed, delivered, and approved by the Owner, and the Owner’s obligations shall only be to the extent specifi cally set forth in such written agreement.
