Regulations & Terms of use of SecureCode service We thank you for your interest in the security service for Internet payments offered by BC “Mobiasbanca - Groupe Societe Generale” SA (from now onwards Mobiasbanca), hereinafter referred to as SecureCode and based on the international 3-D Secure protocols - MasterCard SecureCode. After a careful reading of the Regulations and Terms of Use of SecureCode mentioned hereinafter, if you agree to them and want to use for free this service, please continue the activation process by filling in your identification data. Important! The agreement to activate the SecureCode service for your card issued by Mobiasbanca means that you are fully aware of the present Regulations and Terms of Use of this service and Mobiasbanca together with MasterCard cannot be held liable for any possible damages generated by the failure to comply with the aforementioned rules.

1. General rules

1.1. Mobiasbanca will provide the SecureCode service that allows you to perform electronic commerce transactions (through Internet network) under strict security conditions, only in conformity with the provisions of the hereby Regulations and Terms of Use, which can be periodically amended without a prior notification. You can access their latest version, at any time, by accessing the Bank's official webpage (www.mobiasbanca.md). All transactions that have been performed by using SecureCode Mobiasbanca service fall under the incidence of the latest version of the Regulations and Terms of Use, available on www.mobiasbanca.md.

1.2. SecureCode service is supplied by the Bank by means of ROMCARD S.A., a data processor providing the secure means MasterCard SecureCode (MasterCard standard for 3-D Secure).

1.3. Mobiasbancă and MasterCard reserve the right to amend, improve or stop delivering this service without any prior notification.

1.4. Upon the express request of Mobiasbanca, you agree to sign a non-electronic version of these Regulations and Terms of Use.

2. Service description

2.1. SecureCode service offers you a security standard for e-commerce transactions that includes the latest technology in this field, thus decreasing the chances for Internet fraud, by using the 3-D Secure standard. In order to activate this service, you need to complete on-line in a secured web page your personal data and establish a set of identification data (User code / Password) which will be used subsequently in order to confirm your identity when making e-commerce transactions.

2.2. The SecureCode service can be used exclusively on websites supporting 3-D Secure standards, which are presenting the "MasterCard SecureCode" logo.

3. Liabilities resulting from service activation

3.1. By activating this service you:

(a) Authorize Mobiasbanca to collect your personal data and information about your cards and use it according to the provisions set under the present Regulations and Terms of Use and the legislation in force.

(b) Certify the accuracy and truthfulness of the supplied data and assure Mobiasbanca that you shall promptly notify any modification thereof. In case it is discovered that presented personal data is false, inaccurate, obsolete or incomplete, Mobiasbanca reserves the right to suspend your access to this service at any moment.

4. SecureCode service activation

4.1. In order to activate the SecureCode service you must supply certain information which will allow the verification of your identity against the existing data in Mobiasbanca’s database, so as to determine whether you are the real holder of the account used to make payments for e-commerce transactions or whether you are entitled to use the cards enrolled for this service.

4.2. In case of loss / damage / compromising the card for which was previously activated SecureCode service, you will need to repeat the activation process of SecureCode service for re-issued card.

4.3. In case of card renewal (after expiration of the initial validity term) for which was previously activated SecureCode service, is not necessary to repeat the SecureCode service activation, 3-D Secure password previously set remain to be valid.

4.4. Mobiasbanca reserves the right to refuse the activation of this service should you fail to supply the necessary information for verifying your identity.

4.5. For further details regarding the SecureCode service please access the official bank's webpage (www.mobiasbanca.md) or contact any bank’s branch or use the service Contactell (at phone numbers 22-256-456, 256-555).

5. Confidentiality

5.1. Personal data supplied during the activation stage shall not be disclosed to Internet merchants, under no circumstances whatsoever.

5.2. In case of a breach in the confidentiality of your personal data (card number, expiry date, personal numerical code and initial password) it is mandatory to immediately notify this situation to the Bank and block your card until the situation has been settled.

5.3. By accepting the hereby Regulations and Terms of Use you allow Mobiasbanca to use your personal data in order to check your identity during Internet transactions and reveal such data only to competent authorities, under exceptional circumstances, as stipulated by the law.

6. Access password security

6.1. The access password set while activating the SecureCode service is known only by you. Hence, you must protect the confidentiality of the password and identification data used when performing Internet transactions, being fully responsible in this respect.

6.2. Beginning of the moment of activation of SecureCode service, you undertake to promptly notify the Bank in case you have any suspicions regarding the password confidentiality and its Internet use thereof. You also accept not to divulge, under any circumstances, information related to your password and identification data. In this respect, you understand that Mobiasbanca and MasterCard are not to be held liable for any damages which may be generated by your failure to observe these Regulations and Terms of Use.

6.3. Prior to supplying any identification data in order to perform an Internet payment, it is mandatory to check the authenticity of the payment website, following at least:

- the display of the MasterCard SecureCode logo; - the security certificates of the web pages requiring such data; - the display of the welcome messages related to SecureCode Mobiasbancă, set by you at the

moment of service activation. 6.4. The bank shall not be held liable for the compromise of these identification data as a result of not upholding by you the hereby Regulations and Terms of Use.

7. Prohibitions

7.1. The following are forbidden: (a) Substituting a person or entity that uses SecureCode service or holds a card issued by

Mobiasbancă. (b) The transmission, by any means, of virus programs meant to interrupt, destroy or limit the

functionality of any hard/soft component (including communication) of the accessed service. (c) Sending spam, by any means, and invading the accessed websites on which is present the

MasterCard SecureCode logo. (d) Amending, adapting, decompiling or disassembling, sub-licensing, translating, selling any part of

SecureCode Mobiasbancă or 3-D Secure services. (e) Deleting any notifications related to the property rights (copyright, trademark) encountered when

accessing this service. (f) Using any means for finding or reproducing the navigation structure, the presentation and the

contents of the websites displaying Mobiasbanca and MasterCard SecureCode brand logos. (g) Interrupting the access of other users to this service, its respective servers or connected

networks.

(h) Failure to comply with the hereby Regulations and Terms of Use and the rules and procedures specific to the 3-D Secure service or any of its connected networks.

(i) Intentional or unintentional breach of any local, national or international regulation and requirements specified by Mobiasbancă and MasterCard for the use of this service.

8. Responsibility

8.1. You are directly responsible for the confidentiality of your password and your identification data and thereby for e-commerce transactions performed via the SecureCode Mobiasbanca and 3-D Secure services.

8.2. Mobiasbanca cannot be held liable for:

(a) amending, suspending or stopping the delivery of the service due to causes outside the will of Mobiasbancă;

(b) computer malfunctions or interruptions in delivering telephonic / Internet services occurred during e-commerce transactions;

(c) any potential damages incurred by your equipment being infected with viruses during transactions.

8.3. Payments made with the 3-D Secure password are irrevocable and cannot be disputed, the cancellation thereof and the settlement of any issues being possible only by mutual agreement with the payment beneficiary, without Mobiasbancă’s involvement.

9. SecureCode service interruption

9.1. In case you wish to disable the SecureCode service, after it has been activated, you must expressly request the disabling of your password and identification elements by using the Contactell service (phone nr. 22-256-456).

9.2. Mobiasbanca reserves the right to temporarily or permanently disable your access to this service.

9.3. In both above-mentioned cases, your liability with respect to already performed transactions does not suffer any changes.

10. The relationship with merchants

10.1. You enjoy complete freedom to acquire goods / services over the Internet by accessing SecureCode service.

10.2. The correspondence with selected merchants (virtual shops), participation in on-line promotions, payment and delivery of the acquired goods/services, any other related conditions and guarantees are strictly related to your relationship with the merchant. Mobiasbanca and MasterCard cannot be held liable, under any circumstances, for the potential damages incurred as a result of your direct relationship with the merchant.

10.3. You are fully aware that using the SecureCode service does not imply in any way that Mobiasbanca or MasterCard recommend any Internet merchant or guarantee the quality of its goods/services.

10.4. Any litigation related to the merchant's failure to comply with the payment terms, delivery conditions, quality of the acquired goods /services can be settled exclusively between you and the trader. It is recommended to obtain as much information as possible about the merchant and the transaction, by saving on your computer the delivery terms, the transaction details, the correspondence between you and the trader, etc.

11. Property rights

11.1. By accepting the hereby Regulations and Terms of Use, you acknowledge and agree that:

(a) SecureCode service contains information protected under the trademark protection legislation and other applicable normative acts.

(b) The Bank is granting you a non-exclusive license to use the SecureCode Mobiasbanca service and the 3-D Secure mechanisms in their existing form and also the improvements there are to be added in the future, according to the hereby Regulations and Terms of Use.

(c) You undertake not to copy, alter not use in any way Mobiasbanca trademarks (property of Mobiasbanca), 3-D Secure trademarks (property of MasterCard) or the logos, products and names associated with this service.

12. Final stipulations

12.1. By accepting the hereby Regulations and Terms of Use you admit to having the legal age for honoring the payment obligations arising from the use of SecureCode service.

12.2. The hereby Regulations and Terms of Use represent the agreement between you and Mobiasbancă on the use of SecureCode service and the 3-D Secure mechanisms.

12.3. In case of divergence in interpretation of these Rules and Conditions, the version in Romanian is considered the basic.
