Conditions of Saleand Warranty

OrderingInformation

The description and specifications contained in this Quotation were ineffect on the date of this Quotation. Gardner Denver, Inc. (here -inafter referred to as Seller) reserves the right to discontinue modelsor change specifications or design, including related items/equip -ment on the product or related engineered packaged system withoutnotice and without incurring any obligation.

General - Sellers prices are based on these sales terms and (i) this doc-ument, together with any additional writings signed by Seller, maynot be modified, supplemented, explained or waived by parol evi -dence. Buyer's Purchase Order, a course of dealing, or in any otherway except in waiting signed by an authorized representative ofSeller, and (ii) these terms are intended to cover all activity of Sellerand Buyer hereunder, including sales and use of products and allrelated matters, including technical advice and services. Any refer-ences by Seller to Buyer specifications and similar requirements areonly to describe the products covered hereby and no warranties orother terms therein shall have any force or effect. Catalogs, circu -lars and similar pamphlets of the Seller are issued for general infor-mation purposes only and shall not be deemed to modify the provi -sions hereof. (iii) This document is valid for thirty (30) days, subjectto cancellation or change at any time prior to acceptance andacknowledgment by Seller.

Cancellation Policy - Purchase orders accepted by Gardner Denvermay be canceled only with Gardner Denver's written consent. Anycancellation at customer's request may result in a cancellationcharge equal to: (a) if standard equipment, 20% of; and (b) if non-standard or special order equipment, one hundred per cent (100%)of the full contract price for equipment before any discount billable tocustomer.

Governing Law - The language herein shall be construed andenforced under the Uniform Commercial Code as in effect in theState of Texas on the date hereof.

Payment - Invoices submitted by Seller under this order are payableonly in funds which are accepted at par in Houston, Texas.Whenever reasonable grounds for insecurity arise with respect todue performance by Buyer, Seller may demand different terms ofpayment from those specified on the face of this Order and/or maydemand assurance of Buyers due performance. Any such demandmay be oral or in writing, and Seller may, upon the making of suchdemand, stop production and suspend shipments hereunder. If with-in the period stated in such demand Buyer fails or refuses to complywith the demand or demands of Seller, Seller may at its option, treatsuch failure or refusal as a repudiation of the portion of this Orderwhich has not been fully performed, or may resume production andmake shipment under reservation of possession or of a securityinterest and/or may demand payment against tender of documentsof title.

Taxes - Any sales, use or other similar type taxes imposed on this saleor on this transaction are not included in the price. Such taxes shallbe billed separately to the Buyer. Seller will accept a valid exemp-tion certificate from the buyer, if applicable; however, if an exemptioncertificate previously accepted is not subsequently recognized bythe government taxing authority involved and the Seller is requiredto pay the tax covered by such exemption certificate, Buyer agreesto promptly reimburse Seller for the taxes paid.

Transportation-Risk of Loss - Unless otherwise specified, all pricesare F.O.B. Sellers or suppliers shipping point. Title to products pass-es and risk of loss shall be the responsibility of Buyer when the prod-ucts are put in possession of the carrier. Seller does not assume anyresponsibility for breakage, loss or damage in transit. Any claim on

account of damaged products or short count shall be deemedwaived by Buyer unless made within ten (10) days from the date ofdelivery of products to which such claims relates.

Performance, Inspection and Acceptance -A. All products shall be finally inspected and accepted within ten (10)

days after receipt at point of delivery. All claims whatsoever byBuyer (including claims for shortages) excepting only those provid-ed for under the Warranty and Limitation of Liability and PatentClauses hereof, must be asserted in writing by Buyer within said 10-day period or they are waived. If this contract involves partial per-formances, all such claims must be asserted within said 10-day peri-od for each partial performance. There shall be no revocation ofacceptance. Rejection may be only for defects substantially impair-ing the value of the products and the Buyer's remedy for lesserdefects shall be those provided for under the Warranty andLimitation of Liability clause.

B. Seller shall not be responsible for non-performance or delays in per-formance occasioned by any causes beyond Sellers reasonablecontrol, including but not limited to, labor difficulties, delays of ven-dors or carriers, acts of God or the public enemy, governmentalactions and material shortages. Any delays so occasioned shallaffect a corresponding extension of Sellers performance dates whichare, in any event, understood to be approximate. In no event shallBuyer be entitled to damages, incidental, consequential or other -wise, for late performance or a failure to perform under the terms ofthis paragraph.

C. If Buyer wrongfully rejects or revokes acceptance of items tenderedunder this Agreement or repudiates this Agreement, Seller shallhave the right to recover as damages the price stated herein. Uponrecovery of the price, the items involved shall become the propertyof the Buyer.

D. Buyers representatives may inspect ordered goods at the plant dur-ing business hours prior to shipment, and inspection shall be in suchmanner as not to interfere with Sellers business operations.

Warranty and Limitation of Liability - Seller warrants that thegoods to be supplied hereunder will conform to the description onthe face hereof, that the Seller will convey good title thereto; thatsuch goods will be delivered free of any lawful security interest orother lien or encumbrance unknown to the Buyer; and that suchgoods will be free from defects in material and workmanship as fol -lows:

Pumps - For a period of one year from date of shipment, except wearparts. No warranty is made, either express or implied, for anydefects, failures or malfunctions resulting from corrosion, misappli -cation, overpressurization, improper suction pressure or other mis-use. Determination by Seller as to the cause of damage or defectsshall be conclusive.

Engines or Motors - Not warranted by Seller, but subject to warrantyof original manufacturer.

V-Belts - Not warranted.

Skids, Trailers (excluding tires), Hose Reels and HoseRacks - For one year from date of shipment.

Relief Valves - For six months from date of shipment.

Pressure Gauges, Hydro-Valves, High Pressure Manifolds - forninety days from date of shipment.

Gauge Snubbers - Not warranted.

High Pressure Hose, Quick Connect Couplings - Not warranted.

Abras-I-Jector, Fail-Safe Guns, Rigid Lances - For ninety daysfrom date of shipment. Nozzle Tips, Tipholders, Carbide Inserts,Extensions, Miscellaneous Fittings - Not warranted.

Flexible Lances - Hose not warranted. Coupling warranted forsixty days from date of shipment. Gardner Denver, Inc. productscomponents and/or accessories not designated in this warranty arenot warranted.

SELLER MAKES NO WARRANTY EXPRESSED, IMPLIED OR STATU-TORY, EXCEPT AS IS EXPRESSLY SET FORTH HEREIN. THEIMPLIED WARRANTY OF FITNESS FOR PARTICULAR PUR-POSE IS EXPRESSLY EXCLUDED AND DISCLAIMED.

During the warranty period specified herein Seller will, as its option eitherrepair or replace free of charge, F.O.B. Seller, such warrantedequipment or parts as appear to Seller, upon inspection, to havebeen defective in materials or workmanship, providing Buyerpromptly notifies Seller in writing of the defect and promptly deliversdefective equipment or parts to Seller, freight prepaid. Seller doesnot warrant any equipment or accessories, manufactured by othersto be free of defects in materials and workmanship. If Seller deter-mines such equipment or accessories to be defective in materials orworkmanship, repair or replacement thereof is limited to allowancemade to Seller by the original manufacturer, if any.

SELLER SHALL NOT BE LIABLE FOR DAMAGES, CONSEQUEN-TIAL , INCIDENTAL, OR OTHERWISE CAUSED BY DEFECTIVEEQUIPMENT OR ACCESSORIES. SELLER'S LIABILITY UNDERTHIS WARRANTY SHALL BE LIMITED TO REPAIR ORREPLACEMENT OF DEFECTIVE EQUIPMENT OR PARTS ASSET FORTH HEREINABOVE. SELLER WILL GRANT NOALLOWANCE FOR ANY REPAIRS OR ALTERATIONS MADE BYBUYER WITHOUT WRITTEN CONSENT OF SELLER.

Patents - Seller agrees to assume the defense of any suit for infringe-ment of any United States patents brought against Buyer to theextent such suit charges infringement of an apparatus or productclaim by Sellers product in and of itself, provided (i) said product isbuilt entirely to Seller's design, (ii) Buyer notifies Seller in writing ofthe filing of such suit within ten (10) days after service of processthereof, and (iii) Seller is given complete control of the defense ofsaid suit, including the right to defend, settle and make changes inthe product for the purpose of avoiding infringement. Sellerassumes no responsibility for charges of infringement of anyprocess or method claims unless infringement of such claims is theresult of following specific instructions furnished by the Seller.Buyer agrees, for the products delivered under this Order, to indem-nify Seller against all judgements, decrees and costs resulting fromany United States Letters Patent to the extent that such infringe -ment arises from designs, specifications or instructions furnished orexpressly or impliedly required by Buyer. The sale of products cov-ered by this Order shall not grant to Buyer any right or license of anykind under any patent owned or controlled by Seller or under whichSeller is licensed but the foregoing shall not be understood to limitin any way the right of the Buyer to use and sell such goods in theevent that such goods as sold hereunder are covered by any suchpatent.

Indemnity - Buyer shall release, hold harmless, indemnify and defendSeller from and against any loss, liability, claim, suits and costscaused by, arising out of, or relating to the use or design of goodssupplied hereunder or the design of the packages or containers inwhich they are shipped if such goods, packages or containers aremade in compliance with Buyers design or specifications.

Buyer will, on demand, reimburse Seller for all costs and expenses,including reasonable attorneys' fees incurred by Seller in enforcingany of its rights against Buyer under this contract.

Orders - All orders are subject to acceptance and approval by SellersCredit Department and are not binding until and unless so approvedand accepted. Written acknowledgment of an order shall constituteacceptance and will thereby be a binding contract which cannot bemodified or cancelled by Buyer without written consent of Seller.

Partial Shipments - Partial shipment of an order will not be madewithout Buyers knowledge or consent. In the event complete ship-ment cannot be made by the required date, Buyer will be notifiedand asked whether entire shipment should be held or partial ship-ment made. If partial shipment with Buyer's approval is made,excess freight charges, if any, will be billed to the Buyer.

Special Tooling - Notwithstanding any tool, die or pattern charges oramortization in connection herewith, all special tooling and relateditems shall be and remain the property of the Seller.

Affidavits - Orders requiring affidavits or certificates of compliancemust so state when orders are entered. Revisions to an order afterit has been put into the production schedule may result in addition-al charges and/or delays in shipment date.

International Shipments - Shipments to delivery points outside ofthe continental United States will be made only upon the Sellersprior receipt of the following documentation in form and substanceacceptable to the Seller:

A. Written evidence of establishment of irrevocable letter of credit infavor of Seller for an amount equal to or exceeding the full contractprice hereunder, and on terms acceptable to the Seller.

B. Import certificate properly issued by destination country whererequired.

C. Where shipment is FAS port or vessel, written instructions to theSeller specifically identifying loading berth where equipment is to bedelivered.

Credit Terms - If the terms of payment hereunder call for any exten-sion of credit by Seller to Buyer, Buyer hereby agrees that prior topayment in full, (i) the equipment sold hereunder is subject to a ven-dors lien and security interest in favor of Seller and (ii) Buyer willpromptly execute and deliver to Seller such security agreements,Uniform Commercial Code financing statements and other docu-ments as are requested by Seller to reflect this retention of a secu-rity interest.

Past Due Accounts - Unless specifically provided for in the contractor in other written evidence of the agreement of Buyer and Seller,all amounts due hereunder that remain unpaid for more than 30days after the payment date shall bear interest at the highest con-tract rate allowed by the state law governing this transaction.

Warning: Gardner Denver products are potentially hazardous equip-ment and may impose a risk of harm if not used properly and inaccordance with instructions provided by Gardner Denver or othermanufacturer's instructions. By its acknowledgment and acceptanceof these Terms and Conditions of Sale, Buyer acknowledges that ithas been provided with these instructions for the safe use of theproducts, and its component and accessory parts, and that it willproperly advise its employees (and any other persons reasonablyexpected to make use of the products) of the use of the equipment,including, but not limited to, instructions as to the proper safetydevices to be worn or utilized in connection with the operation of theproducts, subject only to any express warranty provided by GardnerDenver herein, and, without limiting any other indemnity provided byBuyer under these Terms and Conditions of Sale, Buyer does andshall release, hold harmless, indemnify and defend Gardner Denverfrom and against any loss, liability, claim, suit and costs (includingattorney's fees) third party or otherwise, caused by, or arising out ofor relating to the operation of, the products.
