Su:rr::a;ry :The City of Los Angeles is requesting submissions in th e form of let tersand related written documentation from those enti t ies with an express interestand abil i ty to provide cable television services within the scum CEi:'."TPJ-L areaof th e City. The purpose of this notice is solely to ascertain i f there issufficient interest and abi l i ty from telecommunications companies, cable t e l e ~ ~ -sion canpanies or th e business ccum.mity. I f interest is evidenced, the City\I."ill appropriately proceed to award a new franchise or multiple franchises, thattogether would ensure cable service to a l l th e residents of th e area or toapprove a transfer of the existing franchise, for the construction and operationof a cable television system to serve within the South Central service area.This Reauest for Interest is not an offer or a notice of sale of a franchise and

The City awnrded a cable television frcmchise for th e South Central servicearea in 1983 to A Ca:!n.mity Cable Entertairrrr.ent/Service System ("ACCESS"). Thef::anchise was awarded pursuant to an official Notice of Sale and Request forProposals. The cable system was to be constructed and operated by Sun Cable,Inc., a 'Wholly owned subsidiary of Kaufman and Broad, Inc. and the majoritystockholder of ACCESS.According to ACCESS a laY."Suit fi led agcdnst the City by Preferred Com::n.:nications, Inc. in 1983 created tIDcertainty for ti"'.is particular carrpany, such that

The City wishes to strongly a:nphasize that cOO1ID..lI1ity participation, ifincluded in submission, should be shawn to constitute a substantive i n v o l v ~ t in ownership, managem:!!'lt and programning. Moreover. respondents may wish tod.em:mstrate how local participation will continue on an ongoing, long-termbasis. Arrangerr.ents which pert!'.it or foster only short tern participation forthe purpose of obtaining a franchise, for the financial gain of a hand...-Ful ofselected individuc.ls or groups, is specifically discouraged. Regardless of any specific plans proposed, respondents are urged to seek areasonable balance between ccmn.mity participation and sound business andfinancial planning. The City seeks to obtain innovative eY.pressians of interestwhich could provide for genuine, on-going community participation in ownership,management, prograrmring and employment opporttmities in a marmer which wil lbenefit the South Central ccm!ll..II1ity as a Y.1hole.Each respondent should describe i ts organizational approach, such asfir..ancing, design, capital structure, the specifics of public offerirp:; ( i fany), the percentage of ownership by local residents or percentage of C'J'wnershipto be made available to local residents, the dis'fX)sition or righ:s to anybalance of shares not acquired locally through any pt.:blic offerings, buy-backprovisions, cost or basis for buy-backs, and rights of f i r s t refusal to localshareholders.III . Franchise Fee:

IV. Cable Systerrl Design:The City of Los Angeles seeks one or IDJre I!'()dern, efficient and costpffective systems which w ~ l l facil i tate maintenance practices of high ~ J a l i t y , deliver a variety of marketable services and provide thf> f lexibi l i ty needed toadjust to new develq::m:mts. Re8pondents may wish to include insti tutional andbusiness service carrnunications capability based on their (JI;..'n assessrrent of theneed and 'fX)tential uses of such capability within th e entire franchise area orany portion proposed to be served therein.

V. Ini t ia l Coverage and Line Extensions Policy:A respondent may prO'fX)se to serve a ll residences and institutions 'Withinth e present the franchise area or a portion thereof. The City is seekinginformation which t=ay lead to a revision of the existing franchise areaboundaries. Therefore, i f your proposed service area is only a portion of thepresent South Central service area, the botmdaries of ycrur service area shall beclearly delineated along with detailed an explanation of why specific areas areincluded and th e remaining 'fX)Ttion is being excluded.

VI. ServicesThe City does not wish to review the proposed cor.tent of any prograr:! that a

respondent proposes, however. th e City is concerr.ed with th e proper mix anddiversity of programning, as provided for in th e Ccnmunicatiar.s Act.
