LEGAL AD AND NOTICE TO BIDDERS

NOTICE TO BIDDERS: Sealed bids will be received from general contractors by the Northwest Ohio Area Computer Services Cooperative (“NOACSC”), for the project known as the “Parking Lot Improvements” (the “Project”) with an engineer’s estimated budget of $95,000 for asphalt or $145,000 for concrete, and will be opened and read aloud thereafter. Responses will be accepted for the option of asphalt or concrete. Interested general contractors should submit one (1) original and two (2) copies of their fully completed and signed Bid Proposal, along with all required documentation, in a sealed envelope marked “Proposal for Parking Lot Improvements” to the NOACSC’s office located at 4277 East Road, Lima, Ohio 45807 at 10:00 a.m. (EST) on April 11, 2018. A Pre-Bid Meeting will be held 2:00 pm. (EST), on March 14, 2018 at the NOACSC’s offices. Copies of the plans, specifications and proposal forms are available via the NOACSC’s website at http://www.noacsc.org by selecting Home>Parking Lot Improvement Project. All questions shall be submitted via email to [email protected] or [email protected]. In accordance with ORC 153.54, each bid must be accompanied by a bid bond, letter of credit or certified check equal to 10% of the bid. No proposals will be entertained unless submitted on bid forms furnished in the Request for Proposal. The NOACSC will award the Project to the lowest responsive and responsible bidder, however, the NOACSC reserves the right to accept or reject any or all bids, waive any informalities or irregularities in any bid received and to conduct such investigation as necessary to determine the responsibility of any bidder. No bid may be withdrawn after the opening of the bids. Any Bid Proposal received after the above referenced time and date will be returned to the submitter unopened. This project is tax exempt.

REQUEST FOR PROPOSALS FOR PARKING LOT IMPROVEMENT PROJECT

NORTHWEST OHIO AREA COMPUTER SERVICES COOPERATIVE August 28, 2017 TO: Prospective Bidders: The Northwest Ohio Area Computer Services Cooperative (the “NOACSC”) is planning to select a general contractor (“Contractor”) to construct a new parking lot, with either asphalt or concrete, and required drainage according to engineer’s drawings, at its office located at 4277 East Road, Lima, Ohio 45807 (the “Project”) as further described in this Request for Proposal (“RFP”). In connection with the Project, Contractor shall furnish all labor, equipment, material, and supplies as may be required to properly perform the work thereunder. Carefully review this RFP, as it provides specific information necesesary to aid potential bidders in formulating a thorough response. Should you elect to participate in this RFP, please submit one (1) original and two (2) copies of your fully completed and signed Proposal, along with all required documentation, in a sealed envelope marked “Proposal for Parking Lot Improvements” to the NOACSC offices at located at 4277 East Road, Lima, Ohio 45807, Attn: Ray Burden, on or before April 11, 2018 at 10:00 a.m. (EST). Proposals must be made on the attached Proposal Form and must be complete in nature, including containing all required signatures and additional documentation, forms and must otherwise be made in accordance with the enclosed instructions. Proposed pricing for Project may be disclosed at a public meeting to recommend and select a contractor. Because agreements of this nature require the expenditure of public funds and/or the use of public facilities, the successful contractor must understand that potentially all of their Proposal (including any final contracts) will become public record after its acceptance by the NOACSC. The NOACSC reserves the right to cancel this RFP, accept or reject any or all Proposals, waive any informalities or irregularities in any Proposal and/or to accept any Proposal considered most advantageous and beneficial to the NOACSC.

INSTRUCTIONS TO BIDDERS A. DESCRIPTION OF PROJECT This Request for Proposals (“RFP”) is a solicitation from the Northwest Ohio Area Computer Services Cooperative (the “NOACSC”) for proposals from qualified contractors to construct a new parking lot and required drainage at its office located at 4277 East Road, Lima, Ohio 45807 (the “Project”) in accordance with the specifications which are more fully described on Appendix A attached hereto (the “Project”). The engineer’s estimate of probable cost for the Project is $95,000 for asphalt or $145,000 for concrete, plus any contingencies used during the construction process. B. SUBMITTAL REQUIREMENTS AND FORMAT

1. Submittal Deadline: Proposals are due no later than 10:00 a.m. (EST) on April 11, 2018. Any Proposal received after the above-referenced time and date will be returned to the bidder unopened.

2. Submittal: The submittal must include one hard copy in a sealed envelope clearly marked on the outside with “Proposal for Parking Lot Improvements”.

3. Content: To be considered for selection, each bidder must submit the following information in keeping with the following format and identifying each item by number and letter. All materials and other documentation submitted with the Proposal will become the property of the NOACSC at the time of submission. Proposals will be public information after bids are opened.

(a) Letter of Introduction. Briefly describe the bidder, the name, address, email, and phone number of the contact person as well as a summary of the bidder’s understanding of the scope of work and the overall approach to the Project. This letter should indicate features, skills and/or services which distinguish the bidder, and state why you believe your company is the best qualified to perform the work. Indicate if any conflicts of interest exist or could arise due to working for the NOACSC.

(b) Personnel and Allocation of Resources.

(i) Provide the names, title, experience, and qualifications of management personnel who would provide oversight for the contract service. Provide resumes of all such personnel.

(ii) Provide the names, title, experience, and qualifications of personnel who would be assigned to provide direct services to the NOACSC.

(iii) Provide the office location that would be servicing the Project and staffing level at that office.

(c) References. Provide at least three (3) references that may be contacted for verification of the bidder's experience and qualifications. This should consist of a minimum of two (2) public entities for which similar services have been performed, and provide names and telephone numbers of personnel who can be contacted with regard to the services you have provided.

(d) Litigation History. Provide specific information on the bidder’s performance history, in the last five years, with respect to:

(i) Termination for default. (ii) Litigation by or against your company. (iii) Judgments entered for or against your company.

(e) Bid Forms and Documents. All bidders MUST complete the Bid Forms attached hereto as Appendix B and MAY NOT substitute them with other or similar forms.

(f) Statement of Proposed Work. All bidders must provide a description of the services and cost.

(g) Additional Documentation. The NOACSC requires the following additional documentation to be provided along with the submitted Proposal:

(i) Proof of Liability and Casualty Insurance

(ii) Proof of Workers’ Compensation

(iii) Provide documentation of participation in Ohio Drug Free Safety Program

(iv) A bid bond in the form attached hereto as Appendix C.

(v) A completed and signed Notice of Non-Discrimination, in the form attached hereto as Appendix D.

(vi) The law now requires that, if the bidder is an individual or has less than five (5) employees and is classified as an independent contractor, the bidder must acknowledge its status as an independent contractor and the fact that no contributions will be made to “OPERS. This acknowledgement is made by completion of the OPERS Independent Contractor Acknowledgement form attached hereto as Appendix E.

(vii) A completed and signed Non-Collusion Affidavit in the form attached hereto as Appendix F.

(viii) A completed and signed Delinquent Personal Property Tax Statement, in the form attached hereto as Appendix G.

(ix) A completed and signed affidavit in compliance with O.R.C. 3517.13 (contracts over $10,000) attached hereto as Appendix H.

(x) A completed and signed W-9 Form attached hereto as Appendix I.

(h) Addendum: Any addendum issued during the time of accepting Proposals shall be deemed a part of this RFP and covered in any submitted Proposal.

(i) Bidder Certification: The bidder hereby certifies that upon delivery of a Proposal that:

(i) They have carefully and thoroughly reviewed this RFP and understand the nature and scope of the work to be performed in connection with the Project which may be reasonably inferred to be included within the scope of work;

(ii) They understand their Proposal is based upon the terms, specifications, requirements, and conditions of this RFP; and

(iii) They agree that the performance time specified in this RFP is a reasonable time, having carefully considered the nature and scope of the work expected to be performed.

The deadline to submit questions regarding this RFP is March 28, 2018. Questions must be submitted via email to [email protected] or [email protected]. Answers to the questions will be posted on NOACSC’s website, http://www.noacsc.org under Home > Parking Lot Improvement Project no later than noon. on March 28, 2018. An email will be sent to all interested firms indicating the link to the questions and answers.

E. SCOPE OF WORK The bidder shall provide all labor, equipment, supervision and administration in connection with the construction of a new parking lot and required drainage (as more fully described on Appendix A) according to engineer’s recommendations. It is the responsibility of each bidder to visit the project site and take measurements as required to provide an accurate bid. All bids must include a complete drawing of the project site and measurements. The bidder shall, at all times, observe and comply with all such laws, ordinances, regulations, orders, and decrees, and shall protect and indemnify the NOACSC and its representatives against any claim or liability arising from or based on the violation of any such law, ordinance, regulation, order, or decree, whether by itself or its employees. The bidder agrees that in the hiring of employees for the performance of work in connection with the Project, the bidder shall not by reasons of race, sex, creed or color, discriminate against any person in the employment of labor or workers, who are qualified and available to perform the work to which the employment relates. The RFP does not attempt to define the entire scope of the work nor all the terms and conditions in the contract documents. Rather, the RFP and contract documents are intended to be flexible and allow for the successful bidder to demonstrate its expertise necessary to fully complete the contract documents in accordance with the specifications on budget and on time. The NOACSC reserves the right to modify the scope of work at any time before execution of the contract documents, as it deems necessary, in its sole judgment, and in the best interest of the public.

F. EXAMINATION OF SPECIFICATIONS AND WORK SITE The bidder is expected to carefully examine the site for the Project, this RFP, specifications, contract documents, before submitting a Proposal. The submission of a Proposal shall be considered evidence that the bidder has made such examination and is satisfied as to the conditions to be encountered in performing the work and as to the requirements of the specifications and contract documents.

G. BID BOND AND PERFORMANCE BOND Each proposal must include a Bid Bond, Certified Check, Cashier's Check, or an Irrevocable Letter of Credit drawn on a solvent bank, payable to the NOACSC, in an amount not less than ten percent (10%) of the proposed bid amount for the Project. Bid Bonds must be completed in the form attached hereto on Appendix C. As a condition to awarding the contract, the successful bidder must, within ten (10) days after it has received notice of the award and before it has entered into a Contract, furnish a Performance Bond, Irrevocable Letter of Credit, or Certified or Cashier's Check drawn on a solvent bank made jointly payable to the NOACSC in an amount equal to 100% of the Contract price. H. AWARD OF CONTRACT The award of a Contract will be made by the NOACSC Board to the lowest responsive and responsible bidder based the bidder's qualifications including, but not limited to the following: references, knowledge, interpretation of the NOACSC's needs, and experience with similar projects. Proposals will be evaluated on the basis of the following criteria:

1. Experience and Qualifications of the Proposal (50 points) - Consideration will be given to bidders (including the individuals assigned to the project) demonstrating strong capabilities, experience and reputation in undertakings similar to those described in this RFP.

2. Proposal Completion (25 points) - Proposal responses will be evaluated on completeness, clarity/accuracy of the information requested, technical approach, and proposal presentation.

3. Cost and Financial Terms (25 points) - Consideration will be given to proposals that present the most cost efficient terms to the NOACSC.

4. NOACSC participation (Pass/Fail).

In no case will an award be made until all necessary investigations are made as to the responsibility of the bidder to whom it is proposed to award the Contract. The successful bidder will be notified by phone and email that its bid has been accepted and that it will be awarded the Contract. The NOACSC reserves the right to reject any and all bids for any and all items covered in the Proposal; to waive informalities or defects in Proposals; to reject the Proposal of a bidder, who in the NOACSC’s opinion, is not qualified to perform the Contract; or to accept any Proposal that it deems to be in the best interest of the NOACSC. This RFP creates no obligation on the part of the NOACSC to award a contract or to compensate a bidder for any costs incurred in the preparation of the Proposal, for presentation, interviews and evaluations or as a result of due diligence and contract negotiations by a bidder, regardless of whether or not the NOACSC enters into a contract with the bidder. The NOACSC reserves the right to award a contract based on Proposals received without further discussion or negotiation. Bidders should not rely upon the opportunity to alter their qualifications during any discussions. I. EXECUTION OF THE CONTRACT The successful bidder shall execute the form of Contract attached hereto and shall be returned together with the Performance Bond and other contract documents within ten (10) days after bidder has received notice that the Contract has been awarded. No Proposal shall be

considered binding upon the NOACSC until the execution of the Contract. If the NOACSC does not execute the Contract within sixty (60) days following receipt from the bidder of the required contract documents, the bidder will have the right to withdraw its bid without prejudice. Execution of the Contract by the successful bidder is a representation that the bidder has visited the site, become generally familiar with local conditions under which the work is to be performed and correlated personal observations with requirements of the contract documents, including, without limitation, (1) the location, condition, layout, and nature of the site and surrounding areas, (2) generally prevailing climatic conditions, (3) anticipated labor supply and costs, (4) availability and cost of materials, tools, and equipment, and (5) other similar issues. The NOACSC shall not be required to make any adjustment in either the Project price or schedule in connection with any failure by the bidder to have complied with the requirements of the contract documents. Bidder further represents that it thoroughly understands the contract documents and their intent and purpose, and is familiar with all applicable codes, ordinances, laws, regulations and rules as they apply to the work and the Project. Additional compensation as a result of the Bidder’s failure to follow the foregoing procedures and to familiarize itself with all local conditions and the contract documents will not be permitted. J. COMMENCEMENT DATE AND COMPLETION DATE Performance under the Contract shall commence after April 13, 2018. The Project shall achieve Substantial Completion on or before May 1, 2018, unless the Contract is terminated earlier in accordance with the provisions of the Contract. NOACSC will work with the awarded contractor on a completion date, as necessary, based on seasonal weather conditions. K. INSURANCE As part of its proposal, each bidder, shall submit evidence of the following insurance coverage, and if awarded the contract, shall at all times during the term of the contract maintain such insurance. The insurance company(ies) providing the required insurance shall be authorized by the Ohio Department of Insurance to do business in Ohio and rated “A” or above by A. M. Best Company or equivalent. The successful bidder shall provide a copy of the policy or policies and any necessary endorsements, or a substitute for them satisfactory to and approved by the NOACSC, evidencing the required insurances upon execution of the Contract.

1. Commercial General Liability Insurance, including Contractual Liability Coverage Products and Completed Operations Coverage and Broad Form Property Damage, written on an “occurrence” basis, with limited of liability not less than One Million Dollars ($1,000,000) per person/One Million Dollars ($1,000,000) per occurrence/ Two Million Dollars ($2,000,000) annual aggregate, and with a deductible no greater than $25,000, covering bodily injury, personal injury, property damage and loss of use of property.

2. Professional liability insurance with limits of not less than One Million Dollars ($1,000,000.00). Each occurrence and subject to a deductible each occurrence of not more than Fifty Thousand Dollars ($50,000) per occurrence and in the aggregate and if not written on an occurrence basis, shall be maintained for a period of not less than two (2) years following the completion of the services.

3. Business automobile liability insurance to cover each automobile, truck or other

vehicle used in the performance of the Contract in an amount not less than a combined single limit of One Million Dollars ($1,000,000) for bodily injury

(including death at any time occurring) and property damage per occurrence. 4. Workers’ compensation and employer’s liability insurance as provided under

the laws of the State of Ohio. 5. Statutory unemployment insurance protection for all of its employees. 6. Maintain such other insurance policies as may be reasonably required by the

NOACSC. 7. The successful bidder will name the NOACSC as additional insured on all

policies, and all policies will contain a clause stating the coverage will be primary and non-contributor as respect to all work being performed for the NOACSC.

8. The successful bidder will provide the NOACSC with no less than thirty (30)

days’ written notice if the bidder’s insurance will be cancelled, non-renewed, or has any material changes in coverage.

L. CONFLICTING TERMS Any requirements appearing in any one of the contract documents are as binding as though appearing in all. The contract documents and specifications are intended to be explanatory and supplementary to one another, but should any discrepancies appear or any misunderstanding arise as to the importance of anything contained thereon or therein, the explanation of interpretations of the NOACSC shall be final and binding on the bidder. Correction of any error or omission in the specifications may be made by the NOACSC when such correction is necessary to clarify the intended meaning. In case of conflict, the specifications shall take precedent. M. ADDITIONAL TERMS

1. Right to Request Additional Information: During this evaluation process, the NOACSC reserves the right, where it may serve the NOACSC’s best interest, to request additional information or clarifications from proposers, or to allow corrections of errors or omissions that do not substantially impact the other firms. Debriefings will not be provided by the NOACSC.

2. Right to Reject Proposals: The NOACSC reserves the right to reject any or all proposals.

3. Public Record: All proposals submitted in response to this RFP will become the property of the NOACSC upon submittal and a matter of public record pursuant to applicable law.

4. Reimbursement: The NOACSC does not reimburse respondents for the cost of proposal or proposal preparation or delivery, even in the event of cancellation of the RFP.

5. Standard Agreement: The NOACSC holds ultimate discretion to modify the final Contract, including modifications requested by potential bidders, or modifications suggested or required by the NOACSC’s legal counsel or architect.

The undersigned, have carefully studied the local conditions affecting the cost of the work, the Contract Documents, including Invitation for Bids, Instructions to Bidders, Bid Bond, Contract Forms, Bid Form, Bid Proposal, EEO Bid Certification Document, Specifications, Drawings, and all Addenda issued prior to execution of the Contract and all modifications there to, all on file in the offices of the Northwest Ohio Area Computer Services Cooperative, hereby proposes to perform everything required to be performed, and to provide and furnish all the labor, materials, tools, expendable equipment and all utility and transportation services necessary to perform and complete, in a workmanlike manner, all the work as specified, in connection with the

all in accordance with the Contract Documents, for the sums enumerated for the Base Bids and alternates when required. In conformance with the Drawings and Specifications prepared by the NOACSC. We hereby propose to furnish all labor, equipment, and transportation; to furnish and deliver all materials, and to perform and supervise all work as required by the Specifications, the Drawings, and all other Contract Documents for completing said Project for the sums of money enumerated. Commencement shall be after April 13, 2018. Access to the site for work to begin will be given on April 13, 2018 and shall be 100% completed and approved by the NOACSC by May 15, 2018. These dates will be altered only under the conditions set forth in the Contract. It is understood and agreed that all work to be performed under the Contract shall be completed within the established Project schedule unless an extension of time is granted by the NOACSC in accordance with the Contract. Upon failure to have all work completed within the period of the dates above specified, or upon the date of any milestone completion date, the NOACSC shall be entitled to retain or recover from the bidder, as liquidated damages, and not as a penalty, the minimum amount of $500.00 (Five Hundred Dollars and 00/100) for each and every calendar day thereafter until Project has been completed in accordance with Contract. The NOACSC’s right to recover liquidated damages shall no substitute for any right of recovery for additional cost incurred should the bidder fail to complete the Contract according to the Contract Documents.

APPENDIX B - BID FORM CONTINUED

STANDARDS-SUBSTITUTIONS: All bids shall be based upon the “Standards” specified or approved by Addenda. Bidders desiring to make substitutions for “Standards” specified shall list proposed substitutions on a separate form, together with the amount to be added or deducted from the amounts of their Base Bid. If no addition or deduction in amount is offered it shall be so indicated by the bidders. This listing of Substitutions shall be part of this Proposal. The NOACSC reserves the right to accept or reject Substitutions. BID OPENING: It is understood that this Proposal and all other Proposals will be publicly opened and read by the NOACSC and this and all other proposals shall be tabulated and computed and a report thereof made to the NOACSC’s Board at its next meeting. The NOACSC will treat all bidders for this work alike in every respect and it will take final action upon this and all other proposals for this work not later than sixty (60) days after this and all other Proposals are opened, as aforesaid. BID BOND INSTRUCTIONS

In accordance with Sections 153.571, Ohio Revised Code, each person bidding on this Proposal is required to file with this bid a Bid Guaranty in the form of either:

(i) A “Bid Bond” for 100% of the amount of the bid in compliance with the form attached hereto.

(ii) A certified check, cashier’s check, or letter of credit made payable to the Northwest

Ohio Area Computer Services Cooperative in an amount equal to ten (10%) percent of the total bid, in compliance with Ohio Revised Code, Chapter 1305.
