INTRODUCTION The Woodlands Township is requesting proposals (RFP) from qualified suppliers to provide a consistent level of vending machine services for healthy snacks and drinks at reasonable prices to the employees of The Woodlands Township and at some locations, to Township patrons and visitors. The purpose of this RFP is to select one or more suppliers to furnish vending machine services for healthy snack and drink products to Township offices, park and ride facilities, recreation centers and swimming pools. The selected supplier(s) will furnish full service vending by providing the equipment, products and services required for a complete full-service vending operation. In consideration of allowing the awarded supplier(s) access to Township facilities, the awarded supplier(s) must agree to provide the services to the Township at no cost and pay a commission percentage of the gross sales to the Township. All products in snack and beverage machines should be those offering the highest gross commission to the Township. The awarded supplier(s) will provide snack-type food and beverage products of high quality representing leading brands. Seventy percent (70%) of the snacks in each snack vending machine must meet the Alliance for a Healthier Generation’s Smart Food Planner (https://foodplanner.healthiergeneration.org/products). These products were determined to meet the Smart Snacks Standards based on the product’s ingredient statement and Nutrition Facts panel. Other food product standards may be established or agreed to in writing by the Township. GENERAL INFORMATION Proposals must be submitted to The Woodlands Township by March 13, 2018, 5:00 p.m. CDST at 2801 Technology Forest Blvd., The Woodlands, Texas 77381 - Attn: John Powers, Assistant General Manager, Community Services. [email protected]. Phone - 281-210-3807. Please mark outside of sealed Proposal packaging or identify the transmittals as: “Vending Machine Services C-2018-0101”.

Proposals should be mailed or hand delivered. Proposals submitted via email will be accepted however, The Woodlands Township will not be responsible for any delays in transmission or filtering programs that may cause electronic submissions to not be received. It is the responsibility of the responder to ensure that the proposal is received by the date and the time specified. All costs incurred in the preparation of a proposal responding to this RFP will be the responsibility of the responder and will not be reimbursed by The Woodlands Township.

Late submittals will be rejected without consideration

Please provide 5 copies of your proposal and one electronic/USB version. Any questions about the meaning, the intent or the specifications must be submitted by the Proposer in writing by 5:00 p.m. CST on March 7, 2018. E-mail all questions to John Powers, [email protected]. All questions will be responded to in the form of written addenda. All addenda shall become part of the contract documents and must be acknowledged and dated on Section 3 Addendum Acknowledgment. All addendums will be posted to the same location as the Request for Proposal on The Woodlands Township website. There is a mandatory facility inspection requirement. Proposers are required to visit each Township facility indicated in Exhibit “A” and inspect the specific locations indicated for the vending machines. Proposers must schedule each site visit in advance with the facility contact person per the contact information provided on the Exhibit. Inspections must be conducted on or before March 5, 2018.

Proposal shall be firm for 120 days from Proposal due date. All prices and commissions offered in the RFP shall remain fixed for the initial twelve months of the contract. After the initial twelve months, the prices quoted in response to this RFP may be adjusted up or down in an amount 1) mutually agreed upon in writing in advance by both parties and/or; 2) not to exceed the Consumer Price Index (CPI), appropriate for the product/commodity, as published by the United States Department of Labor. The initial term of the contract will be thirty-six (36) months with two (2) – one (1) year renewal options for a maximum term of sixty (60) months. QUALIFICATIONS AND EXPERIENCE

Submit a Cover Letter signed by an authorized representative of the Proposer. The cover letter must state a commitment to provide vending machine services from the owner or duly authorized representative of the responding company. In addition, the letter should include a brief statement of understanding and approach to the Scope of Work. Include a history of the firm including years in business operating under the name of the business submitting the proposal and references. Provide a list of at least three (3) customers provided similar vending machine services by the company during the last five years, which are comparable to the scope of this service. Also, provide current contact information for a key person for each of the listed customers. EVALUATION AND REVIEW OF PROPOSALS

The Woodlands Township, at its discretion, may request presentations by or meetings with any or all proposers

to clarify or negotiate modifications to the firm’s proposal. However, The Woodlands Township reserves the

right to make an award without further discussion of the proposals submitted. Therefore, proposals should be

submitted initially as the most responsive on which the company can propose.

An evaluation committee will conduct a comprehensive, fair and impartial evaluation of all proposals received in response to this RFP. Each proposal received will be analyzed to determine overall responsiveness and completeness as defined herein. Failure to comply with the instructions or to submit a complete proposal may deem a proposal non-responsive and may, at the discretion of the Township, be eliminated from further consideration. The Township will begin the evaluation process immediately after the deadline for submittal. The evaluation team will recommend to the Township President/General Manager the proposal that is most responsive and best meets the criteria set out herein and that is most advantageous to The Woodlands Township. TERM OF AGREEMENT The resulting agreement will be for three years and expected to begin on or about May 1, 2018, with options to renew for two one-year periods. RIGHT TO REJECT The Woodlands Township reserves the right to reject any or all proposals, including without limitation the rights

to reject any or all nonconforming, non-responsive, unbalanced or conditional Proposals and to reject the

Proposal of any Proposer if the Township believes that it would not be in the best interest of the service or the

Township.

The Township also reserves the right to waive all informalities and defects in the Proposals and the Request for Proposal process not involving price, time of submittal or changes in the Scope of Work and to negotiate contract terms with the Successful Proposer. Discrepancies between the multiplication of units of products sold and unit

prices will be resolved in favor of the unit prices. Discrepancies between the indicated sum of any column of figures and the correct sum thereof will be resolved in favor of the correct sum. Discrepancies between words and figures will be resolved in favor of the words. In case of ambiguity or lack of clarity in stating the prices and commissions in the Proposal, the Township reserves the right to consider the most advantageous Proposal thereof or to reject the Proposal.

CERTIFICATIONS Responders must certify that the Responder is not currently engaged in, and agrees for the duration of the Agreement not to engage in, the boycott of Israel as defined by Section 808.001 of the Texas Gov’t. Code, nor is it engaged in business with Iran, Sudan, or foreign terrorist organization as identified by the Texas Comptroller’s office under Sections 806.051, 807.051 or 2252.152 of the Texas Gov’t. Code. See Section 1.41 Responders must submit Form CIQ – “Conflict of Interest Questionnaire” in accordance with Chapter 176, Local Government Code. http://www.statutes.legis.state.tx.us/Docs/LG/htm/LG.176.htm. See Section 1.42, Section 7 & Exhibit “B”. The successful selected vendor awarded a contract by the Board of Directors of The Woodlands

Township must complete Form 1295– “Certificate of Interested Parties” – and must provide a signed

and notarized printed copy of the form and a separate certification of filing upon execution of the

SCOPE OF SERVICES Vending Machine Services will include, but are not limited to, installation of vending machines at all identified Township locations and all necessary equipment, connections and auxiliary needs, upkeep and maintenance of the machines, stocking of products, restocking of products and making refund requests. All machines must be insured and replaced if inoperable or broken. The locations for the vending machines are generally described as the Township offices, park and ride facilities, recreation centers and swimming pools and as specifically described in Exhibit “A”. Some locations, the swimming pool facilities, are open to the public seasonally. Generally, the season is from late May to September. Therefore, vending machines at these locations are not required year-round. Seventy percent (70%) of the product in each snack machine must meet the Alliance for a Healthier Generation’s Smart Food Planner (https://foodplanner.healthiergeneration.org/products). The Township reserves the option to modify this requirement for the products at any or all machines at its sole discretion.

Section 1: General Specifications and Acknowledgments

Proposer shall complete every space in the Proposer’s Initials column with either the Proposer’s initials to

indicate the item being Proposed is exactly as specified or a notation and/or description to indicate any

deviation of item being Proposed from the Description of Requirements – General Specifications.

General Specifications

1 Proposal submittal shall include at least 3 references with addresses and contact information of similar projects that the vendor has provided similar vending machine services within the past five (5) years. See Section 6.

2 Product prices shall be inclusive of any and all charges (staff time, materials, equipment, supplies, food, beverages, snacks, transportation to/from sites, truck charges, set-up, tear down, licensing fees, etc.).

3 Proposal must submit a commission and/or compensation plan. The plan will include a list of all products offered with unit prices, estimated net sales, commission percent for each product and estimated dollar amount of commissions for each product. See Section 2.

4 Commissions/compensations are to be paid to the Township monthly on or before the 15th of each month. If payments are not made in a timely manner, after a fifteen (15) day grace period, the Township reserves the right to terminate the contract.

5 Vendor shall be capable of receiving communication by fax, web, email, text, or via phone.

6 Vendor must ensure the safety of Vendor’s employees and the Township’s employees, guests, Directors, volunteers, contractors, and the public when performing services in and around all locations.

7 Vendor shall adhere to image standards - meaning each employee while on Township property will be identified by a clean company uniform (shirt, pants, cap, etc.) and vehicles will be clean, in good condition and all marked with company name.

8 The regular and frequent duties and responsibilities of the Vendor consist of, but are not limited to, the following:

a) Fill and stock fresh, quality product in vending machines no less than twice per month per Exhibit “A”;

b) Service cycle will be set to ensure quality of product and to occur during facility hours of operation;

c) The service cycle, restocking and any other activities necessary to fulfill the scope of services shall not interfere with normal Township operations;

d) Clean, repair and replace machines; e) Collect monies from machines; f) Make refunds as necessary.

9 Vendor and vendor’s personnel and approved subcontractors (Vendor) shall behave and operate in a professional manner while providing all vending services. Vendor may not smoke or drink alcoholic beverages while providing services to the Township and must operate in an environmentally sound and professional way, as to not create damage or cause exposure by virtue of negligence or omission.

10 At Vendor's own cost and expense, Vendor shall comply with all laws, ordinances, rules, and regulations of the federal, state and local authorities

and departments relating to or affecting the work hereunder, and shall secure and obtain any and all permits, licenses, certifications and consents as may be necessary in connection therewith.

11 Proposer shall provide proof of insurability with the proposal submittal as outlined in Section 5. The selected vendor shall provide the Township the required insurance with the execution of the contract but no later within 10 days of the Notice to Proceed. Vending services will not commence until Certificate of Insurance has been received. See Section 7 Submittal 1

12 Selected vendor shall not employ any subcontractor to fulfill any of the duties herein specified without express written approval of the Township.

13 In soliciting proposals, it is the Township’s intent to establish a primary vending machine services vendor for providing said services. However, the Township reserves the right to make multiple awards resulting from this Request for Proposal (RFP). The Township may, at any time, secure similar or identical services from other vendors at its sole option.

Healthy Snacks and Beverages – Vending Products

14 All snacks and beverages, the vending products, shall be non-meal food items such as but not limited to: chips, popcorn, crackers, pastries, candy, cookies, gum, mints, water, juice, tea, sparkling water, milk, yogurt, cheese, fruit leather, nuts and jerky.

15 All snacks and beverages must be manufactured, processed, and prepared in establishments that comply with all local, state, and federal laws and regulations. They must be wholesome and free from spoilage, contamination, and adulteration. All foods and beverages must be labeled in compliance with the federal Uniform Food, Drug and Cosmetic Act.

16 Seventy (70) percent of all vending products in each snack machine must meet 1) the Healthier US School Challenge (HUSSC) - Alliance for a Healthier Generation’s Smart Food Planner; or 2) USDA Smart Snacks In Schools (SSIS); or 3) Certified - All Natural, Organic, Vegan, Gluten-Free, Kosher, Non-GMO; or 4) any combination of the three; or 5) guidelines acceptable to the Township.

17 Vendor shall submit complete descriptions and specifications of all snacks and beverages included with this proposal including their nutritional values and descriptions. See Section 7 Submittal 2

18 Vendor is to provide taste tasting of potential vending products upon being awarded the vending services contract and prior to the installation of units.

19 All vending products in vending machines that are past their labeled “best by” or “sell by” dates must be removed from machines and replaced with fresh product.

20 Vendor shall notify the Township as soon as possible, but not less than twenty-four (24) hours of receiving a food recall notice issued by the manufacturer, distributor or any governmental agency of any product provided in a Township machine and Vendor must remove any such products from machines within seventy-two (72) hours of the recall notice.

Vending Machines – Equipment

21 Vendor shall provide all equipment, materials and labor necessary to install, maintain and operate the vending machines and to provide the vending services without charge to the Township.

22 Vendor and Township shall mutually agree to a schedule for delivery and installation of equipment per locations identified in Exhibit “A”.

23 As The Woodlands Township will provide the electricity connections and pay all costs for electricity associated with the vending machines, all vending machines shall have received the Energy Star designation. In the absence of the Energy Star designation, Proposer may propose with supporting documentation, alternate energy conservation measures to minimize energy consumption and cost associated with vending services.

24 All vending equipment shall display the Vendor’s name, local service phone number and process for refunds. Refunds are not required at swimming pool locations.

25 All vending machines are to be equipped with a plexiglass, or similar product, front. Exterior glass is strongly discouraged and may not be permitted at outside locations.

26 Vending machines shall provide multiple payment options such as credit card readers, cash/coin, Apple Pay, Fast Pay, Android Pay, etc.

27 Vending machines shall be ADA compliant.

28 Vending machines should have advanced remote monitoring. Ensure vending machines will properly operate as designed in all identified locations, including but not limited to, cellular and internet connections.

29 Submit pictures and specifications of the vending machines proposed to be placed at Township locations. See Section 7 Submittal 5

30 Guarantee vending machines will fit within the spaces designated for the vending machine(s) at each location. Exhibit “A”

31 The swimming pool facilities are open to the public seasonally. Generally, the season is from late May to September. Therefore, vending machines at these locations are not required year-round. Vendor has the option to remove the machines from these locations at the end of each season and replace the machines at the beginning of each season for each year of the contract; or leave the vending machines and remove all the product.

32 All machines and/or machine locations must display appropriate phone number(s) for immediate reporting of malfunctioning equipment. Response time to malfunctioning equipment must be within 24 hours of notification. The Township has the right to request the removal and/or exchange of any machine it deems, in its sole discretion, not up to its standards of serviceability or appearance.

Communication

33 Though the vendor will have one main Township contact, communication will be with multiple Township employees due to the variety of vending locations. Selected vendor must be capable of receiving communications by fax, web, email, phone and text messaging.

Anticipated Project Timeline and Contract Term

34 Release of Request for Proposals: February 8, 2018 Site visits must be completed by: March 5, 2018 Questions Due: March 7, 2018 Proposals Due: no later than 5:00 p.m. CDST March 13, 2018 Award of Proposal: on or about March 28, 2018 Effective date of Contract: May 1, 2018.

35 The contract for vending services, if awarded, shall be for an initial term of three (3) years, with two renewals options of one year each. The Township has sole discretion to exercise the renewal options and the maximum term will not exceed sixty (60) months. The Township reserves the right to cancel the

contract without cause at any time with thirty (30) days written notice. Any services in process at the time of cancellation will be compensated per the terms of the contract.

Payment

36 Commission payments to be rendered to the Township monthly, no later than the 15th of each month.

37 All commission payments shall be accompanied with commission statements which indicate the location of the vending machines and their related unit sales, gross sales and commission.

Proposal Evaluation

38 Each proposal will be evaluated by a team of Township employees who will make recommendation to the Township President/General Manager for consideration to award a contract(s). The award shall be made to the most responsive and responsible bidder(s) offering the best value and most economical proposal. 39 It is not the intent of these specifications to rule out or eliminate any prospective vendor. If the services you intend to propose do not comply with the specifications as written, you are instructed to attach to your proposal response a complete itemization and explanation for each deviation or variation to the specifications. The Township may, at its discretion, consider or deny any deviation and purchase the services which best suit its intended use. The vendor shall not purposely propose services of a lesser quality, which requires deviation from the specifications, if the vendor can furnish the services which will comply with the minimum specifications.

Certifications and Certificates

40 In compliance with State of Texas Government Code, Section 2252.908, the successful business entity awarded a contract by the Board of Directors of The Woodlands Township must complete Form 1295 – “Certificate of Interested Parties” – and must provide a signed and notarized printed copy of the form and a separate certification of filing upon execution of the contract. The form can be found at www.ethics.state.tx.us

Section 2 – Compensation and Commission Schedule

43 Responder shall submit a list of proposed prices for the various products. These prices are to remain in effect for no less than twelve months from effective date of the contract and for the duration of the contract, unless new pricing requests are submitted prior to the start of the next contract year. See Section 7 Submittal 3

44 Prices may be adjusted up or down in an amount 1) mutually agreed upon in writing in advance by both parties; and/or 2) not to exceed the Consumer Price Index (CPI), appropriate for the product/commodity, as published by the United States Department of Labor.

45 Responder shall submit a proposed compensation and commission schedule for each product proposed to be provided in the vending services. See Section 7 Submittal 4

46 Vendor shall provide monthly sales reports for each location detailing products sold, gross sales and net commission due the Township.

Section 5 - Insurance Requirements

Vendor agrees to maintain and require its approved subcontractor(s) to maintain at all times the following

coverage at no less than the limits indicated:

Vendor’s coverage must be written on an Occurrence (not claims made) basis with companies acceptable to The

Woodlands Township, and must stipulate that no take-out endorsements are included on the General Liability

policy, and each policy providing coverage hereunder shall contain provisions that no cancellation or material

reduction in coverage in the policy shall become effective except upon thirty (30) days prior written notice

thereof to The Woodlands Township. The Woodlands Township shall be named as additional insured with

respect to liability imposed upon it resulting from the performance of the vending services under the Agreement.

There shall be no right of subrogation against The Woodlands Township and a waiver of subrogation shall be

endorsed upon the policies. Prior to the commencement of performance of the vending services, Vendor shall

furnish to the Township certificates which shall identify The Woodlands Township, evidencing compliance with

all requirements herein. The limits of such insurance shall in no way be construed as limiting Vendor’s

obligation to completely release, defend, indemnify, save and hold harmless The Woodlands Township from

any and all claims, demands, or causes of action, including but not limited to property damage, personal

injuries or death, and all court costs and attorney’s fees, arising or growing out of such claim, demand or cause

of action or the performance of the contract.

Proposer shall submit proof of insurability to the specifications above with the proposal. Selected vendor shall

have ten (10) days after Notice of Award to provide the Township with the Certificate of Insurance or at the time

of contract execution. See Section 7 Submittal 1.

Section 7 - Submittals

Submittal 1: Per Section 1.11 & Section 5 - provide proof of insurability as outlined in Section 5. Acceptable

forms of proof include a Letter of Insurability from the Proposer’s insurance agent or a copy of an existing

insurance policy issued to the Proposer for another contract meeting the same levels of the Township’s

insurance requirement. Proposer is not required to obtain or bind insurance coverage for this proposal.

Submittal 2: Per Section 1.17 submit complete descriptions and specifications of all snacks and beverages

included with this proposal including their nutritional values and descriptions.

Submittal 3: Per Section 2.43 submit a list of proposed prices for the various products. These prices are to remain

in effect for no less than twelve months from effective date of the contract and for the duration of the contract,

unless new pricing requests are submitted prior to the start of the next contract year.

CONFLICT OF INTEREST QUESTIONNAIRE

For vendor doing business with local governmental entity

A complete copy of Chapter 176 of the Local Government Code may be found at http://www.statutes.legis.state.tx.us/Docs/LG/htm/LG.176.htm. For easy reference, below are some of the sections cited on this form.

Local Government Code § 176.001(1-a): "Business relationship" means a connection between two or more partiesbased on commercial activity of one of the parties. The term does not include a connection based on:

(A) a transaction that is subject to rate or fee regulation by a federal, state, or local governmental entity or anagency of a federal, state, or local governmental entity;(B) a transaction conducted at a price and subject to terms available to the public; or(C) a purchase or lease of goods or services from a person that is chartered by a state or federal agency andthat is subject to regular examination by, and reporting to, that agency.

Local Government Code § 176.003(a)(2)(A) and (B):(a) A local government officer shall file a conflicts disclosure statement with respect to a vendor if:

***(2) the vendor:

(A) has an employment or other business relationship with the local government officer or afamily member of the officer that results in the officer or family member receiving taxableincome, other than investment income, that exceeds $2,500 during the 12-month periodpreceding the date that the officer becomes aware that

(i) a contract between the local governmental entity and vendor has been executed;or(ii) the local governmental entity is considering entering into a contract with thevendor;

(B) has given to the local government officer or a family member of the officer one or more giftsthat have an aggregate value of more than $100 in the 12-month period preceding the date theofficer becomes aware that:

(i) a contract between the local governmental entity and vendor has been executed; or (ii) the local governmental entity is considering entering into a contract with the vendor.

Local Government Code § 176.006(a) and (a-1)(a) A vendor shall file a completed conflict of interest questionnaire if the vendor has a business relationshipwith a local governmental entity and:

(1) has an employment or other business relationship with a local government officer of that localgovernmental entity, or a family member of the officer, described by Section 176.003(a)(2)(A);(2) has given a local government officer of that local governmental entity, or a family member of theofficer, one or more gifts with the aggregate value specified by Section 176.003(a)(2)(B), excluding anygift described by Section 176.003(a-1); or

(3) has a family relationship with a local government officer of that local governmental entity.(a-1) The completed conflict of interest questionnaire must be filed with the appropriate records administratornot later than the seventh business day after the later of: (1) the date that the vendor:

(A) begins discussions or negotiations to enter into a contract with the local governmentalentity; or(B) submits to the local governmental entity an application, response to a request for proposalsor bids, correspondence, or another writing related to a potential contract with the localgovernmental entity; or

(2) the date the vendor becomes aware:(A) of an employment or other business relationship with a local government officer, or afamily member of the officer, described by Subsection (a);(B) that the vendor has given one or more gifts described by Subsection (a); or(C) of a family relationship with a local government officer.
