ARTICLE I: MEMBERSHIP and VOTING
SECTION 1: MEMBERS
Membership intheAssociationisasfollows:
A. Allpersonswho own a Lot intheplatofLagoon PointDivisions1,2,3,4 orLagoon PointView TractsareMembers oftheAssociation.
B. Votingshallbe by Lotsowned, witheachLotentitledtoone vote.
C. Members areentitledtoparticipateinthediscussionsand mattersbroughtbeforetheBoard ofthis
Association.
D. Mailings,including(butnotlimitedto)billingstatements,Members' meetingnoticesand ballotsshall
be senttotherecordedname and addressofeachMember asmaintainedby theSecretaryintheroster
ofMembers.
Members areresponsiblefornotifyinga LPCA Officeroftheircurrentmailingaddress,phonenumber and emailaddress.
1.A Member shallreceivemailingsby thefollowing:
a. mailedby U.S.PostalServicetotherecordedaddressoftheMember;b. ordeliveredelectronicallyatthediscretionoftheBoard ofDirectorsand withtheMember's
approval.
E. Lotswhich have been legallycombined intoone Lot undertheLotcombinationsauthorityofIsland
County Code, Section16.06orotherapplicablelaw and which aresingleresidentialbuildingsites,shallbe deemed tobe one Lotand assessedaccordingly.
1.The number ofvotesassignedtoa Member undervariousprovisionsoftheseBylaws shall
concurrentlybe adjustedinlikemanner.
2. To putintoeffectthisreductioninassessmentand votingrights,theMember who owns the
combined LotsshallfirstprovidetheLPCA PresidentadequatedocumentationofIslandCounty's
approvaland recordingofsaidLotcombination,
a. Assessmentsleviedafterthedateofadoptionofthisruleorthedatetheowner oftheLot has
providedLPCA therequireddocumentation,whicheverdateislater,shallbe adjusted
accordingly.b. Assessmentsleviedpriortothedateofadoptionoftherulesetforthinthissubsectionorprior
toa Member providingthedocumentationspecifiedinsubsectionE.2,shallnotbe adjusted
retroactively.c. Member's providingnecessarydocumentationduringa fiscalyearwillnotapplytothatyearbut

willtakeeffectthenextfiscalyear(startingJuly16).Assessmentswillnotbe proratedforanyportionofany year.
3. When a Lagoon PointLot issubdividedorconvertedtomulti-unitresidences,asallowedundertheseBylaws,eachoftheresultinglotsorresidentialunitswillbe assessedseparately.
SECTION 2: VOTING
A. VotingRights:
1. Each Member hasarighttovoteby ballotateachmeetingoftheAssociationorby mailinballotfor
theelectionofDirectorsand othermattersthatarenotsolelywithinthepowersoftheBoard of
Directorsasmay lawfullycome beforethemeeting.
2. Each Member shallbe entitledtoone voteforeachLotowned by suchMember on eachmatter
submittedtoa voteoftheMembers.
B. JointMember Disputes:
1.The votefora Lotmust be castasa singlevoteand fractionalvotesshallnotbe allowed.
2. Sincea Lot may be owned by a corporation,partnership,maritalcommunity, limitedliability
company, trustorotherlegalentityinvolvingorcomprisingmultiplepersons,anydirector,officer,
partnerin,ortrusteeofany suchentitymay be deemed theMember thereofand shallbe entitledto
castthevoteforsuchLot.
3. Where aLotisowned by more thanone Member, ifonlyoneofsuchMembers ispresentata meetingoftheAssociation,inperson,orrepresentedby a ballot,suchMember isentitledtocastthevote
allocatedtothatLot.
4. Ifmore thanone ofthemultiplepersonsowning a Lot arepresent,suchMember's votemay be
castonlyinaccordancewiththeagreementofa majorityofsuchmultipleOwners.
5. Thereismajorityagreementifanyone ofthemultiplepersonscastsa voteforsuchMember without
protestbeingmade promptlytothepersonpresidingovertheMeetingbyanyoftheotherpersons
comprisingtheMember. Intheabsenceofmajorityagreement,theconflictingvotesshallbedeemed
anabstentionofthevoteforsuchLot.
C. Votingby Ballot:
1.Vote allocatedtoa Lotshallbe castby ballotonly.
2. A ballotshallnotbe validunlessitissignedby theMember and receivedby theAssociationon or
beforethedateand timeofthemeetingasdirectedinthenoticeofthemeeting.
3. A ballotmay consistofany form preparedby theBoard,inwrittenorelectronicform,designedto
obtainvoteson mattersconstitutingthebusinessofthemeeting.
4. A ballotmay bedeliveredby electronictransmissioninaccordancewithprocedurespreviously
approvedby resolutionoftheBoard incompliancewiththeprovisionsofRCW 24.03.085.

5. Signedballotsshallbe retainedforthreeyears.
6. Summary dataincludingsupportinginformationfora ballot,copy oftheblankballotand resultsofthevoteshallbe retainedpermanently.
D. VotingProcedure.
1. UnlessotherwiserequiredunderthedocumentsgoverningtheAssociationortheseBylaws,thevoteofMembers holdinga majorityofthevotescastby ballotatany meetingoftheAssociationshallbe sufficienttodecideany itemofbusinessatthatmeeting.
2. BallotsshallbesenttoMembers alongwiththenoticesofsuchmeeting.
3. Votingshallbe conductedby ballotvoteofMembers who may mailintheballotand isreceived
by thedateofthemeetingorsubmittheballotinpersonatthemeeting.
E. MatterspertainingonlytoDivisions2-3-4and totheelectionofa Member oftheArchitecturalCommittee shallbe governedby Divisions2-3-4Covenants.
F. Resultsofthevotingshallbe announcedatthenextBoard ofDirector'smeetingand publishedinthenextLPCA Newsletter.
ARTICLE II: ASSESSMENTS and BUDGETS
SECTION 1: ANNUAL ASSESSMENTS and SPECIAL ASSESSMENTS
A. FiscalYear isdefinedas July 1 toJune 30.
B. Each Member isobligatedtopay annualassessmentseachyearand specialassessmentsasspecifiedineachspecialassessmentapprovedby Members.
C. Annual assessmentsareusedfor:
1. fundingtheFiscalYear OperatingBudget asspecifiedintheseBylaws;
2. buildingcashreservestofundprojectsformaintenance,repairand improvementofcommon
propertiesasspecifiedintheseBylaws.
D. Specialassessmentsareusedfor:
1.eliminatinga shortfallinthereservefunds;
2. purposesasapprovedby theMembership inaccordancewiththeprovisionsoftheseBylaws.
E. Annual assessmentsand specialassessmentsshallbe paidtotheAssociationasfollows:
1. Annual assessmentsaredue on orbeforethefirstday ofJulyeachyearunlessotherwiseapproved
by theBoard ofDirectors.
2. Specialassessmentsaredue on orbeforethedatespecifiedforeachspecialassessment.

F. Billingstatementsfortheannualassessmentsand specialassessmentsshallbe deliveredatleast30 dayspriortotherequireddue date.
G. Annual Assessments/Budgets:
1.Withinthirtydaysafteradoptionofany proposedbudgetforLPCA, theBoard ofDirectorsmust
providea copy ofthebudgettoalltheMembers and seta datefora meetingoftheMembers toconsiderratificationofthebudgetnotlessthanfourteennormore thanfiftydaysafterprovidingthe
budget.RCW 64.38.025(3)
2. UnlessatthatmeetingtheMembers towhich a majorityofthevotesintheAssociationareallocated
rejectthebudget,thebudgetand theassessmentsagainsttheLotsincludedinthebudgetareratified,whetherornota quorum ispresent.RCW 64.38.025(3).
a. Iftheproposedbudgetisrejectedortherequirednoticeisnotgiven,theperiodicbudgetlastratifiedby theMembers continuesuntiltheMembers ratifya subsequentbudgetproposedbytheBoard. RCW 64.38.025(3)
b. The budgetshallincludethefollowingperRCW 64.38.025(4)a-g(1) theprojectedincome totheAssociationby category;(2) theprojectedcommon expensesand thosespeciallyallocatedexpensesthataresubjectto
beingbudgeted,bothby category;
(3) theamount oftheannualassessmentsand/ora specialassessmentsperLotand thedate
theassessmentsaredue and thepurposeoftheassessments;
(4) thecurrentamount ofannualassessmentsbudgetedforcontributiontothereserveaccount;
(5) a statementofwhethertheAssociationhasa reservestudythatmeetstherequirementsof
RCW 64.38.070and,ifso,theextenttowhich thebudgetmeetsordeviatesfrom the
recommendationsofthatreservestudy;and
(6) thecurrentdeficiencyorsurplusinreservefundingexpressedon a perLotbasis.
H. SpecialAssessments.
1.The Board,atany time,may proposea specialassessment.
2. The assessmentiseffectiveonlyiftheBoard followstheproceduresforratificationofa budgetdescribedinsubsection(G) ofthisSectionand theMembers do notrejecttheproposedassessment
assetforthinsubsectionG.
3.The Board may providethatthespecialassessmentmay be due and payableininstallmentsoverany
perioditdeterminesand may providea discountforearlypayment.
SECTION 2: PENALTIES
Members whose annualassessmentsorspecialassessmentsand relatedaccruedpenaltiesarenotfullypaid
by thespecifieddate,withouta specialpayment arrangementapprovedby theBoard inaccordancewith
payment planrequirementsof theseBylaws, shallbe subjecttothefollowingpenaltiesforallamounts
remainingunpaidasoftheapplicabledue date,whetherornotthebillingstatementshavebeenreceivedbythe Member, providedbillingstatementshave been sentto the Member's recordedmailingaddressin
accordancewithnotifyingtheAssociationof a Member's currentmailingaddressrequirementsofthese
Bylaws. Payments postmarkedby thedue dateshallbe deemed tohavebeen paidon time.

The followingpenaltiesshalloccurwhen a Member's annualassessmentsand/orspecialassessmentsare
pastdue:
A. PastDue ThirtyDays:
1. A one-time$100 latefeeperdelinquentLotshallbe chargedtotheMember's account.
B. Pastdue NinetyDays:
1. Alien shallbe placedon thedelinquentLot(s)owned and thefullcostoffilingand satisfyingsaid
lienshallbe chargedtotheMember's account.
2. Allcostsincurredinattemptingtocollecttheamounts due,includingallactualattorney'sfeesand
costs,filingfees,courtcostsand otherexpensesincurredinthecollectioneffortshallbe included
intheamount owed on thedelinquentaccountand must be paidby theMember priortoreleaseof
thelien.
C. PastDue One Hundred Twenty Days:
1.An annual12% oftheaccruedoutstandingunpaidannualassessments,specialassessmentsand
penaltiesshallbe chargedtotheMember's accountfrom theoriginaldue dateofsuchpastdue
amount untilsuchunpaidassessmentsand penalties,includingallaccruedinterest,arepaidinfull.
2. By a majorityvoteoftheBoard,a Member's Associationprivilegesshallbe suspended.(Example:revocationofboatramp LotC electronicgatecard).
Privilegesshallbe reinstatedwhen allannualassessments,specialassessments,penaltiesand
allexpensesincurredinthecollectioneffortispaidinfullby thedelinquentMember.
3. The Board may takealllegalactiontocollectannualassessments,specialassessments,penaltiesand
allaccruedinterestincluding,withoutlimitation,foreciosureinthemanner ofa mortgage.This
statement"manner ofa mortgage"specifiestheprocessinwhich foreclosuresaretobe conducted.
D. The Member shallbe liableforallunpaidamounts:
1. Amounts due specifiedinthisSectionoftheseBylaws.
2. Allcostsincurredinattemptingtocollecttheamounts due.
3. Allcostsofforeclosureproceedings,including:
a. allrelatedattorneys'feesand costs;b. filingfees;c. courtcosts;d. Otherexpensesincurredinthecollectioneffort.
4. Allsuchamounts shallbe paidinfulland theMember's accountbroughtcurrenttoavoid
foreclosure.
E. Payment Plans:Ifa Member demonstratestotheBoard thattheannualassessmentand/orspecialassessmentconstitutean extremefinancialhardship,theBoard may, initssoleand exclusivediscretion,

enterintoa payment planwithsuchMember provided:
1.when thepayment plangoesbeyond one year,alienshallbe placedon theMember's Lotattheend
ofthefirstyearofsuchpayment plan;
2. thefullcostoffilingand satisfyingsaidlienshallbe chargedtotheMember's account;
3. thepayment planwillbe forone year.The planmay be renewed permajorityvoteoftheBoard.
F. The provisionsforrecoveringcostsofcollectioneffortssetoutinthissectionoftheseBylaws shall
applytoallcollectioncostsincurredon orafterthedateoftheserevised/amendedBylaws.
SECTION 3: FISCAL YEAR OPERATING BUDGET
A. Each FiscalYearOperatingBudgetshallprovideformaintenanceand improvementoftheAssociation's
common propertiesand shallcontaingeneralcategoriesfor:
1. The Administrationcategoryprovidestheannualfundingforadministrationcosts,utilities,
accounting,legaland insuranceforthecommon properties.
2. The MaintenanceOperationscategoryprovidesannualfundingformaintenanceand improvementsofthecommon propertiesand facilitiesofthecommon properties.
B. AllfundsremainingintheFiscalYear OperatingBudgetattheend ofany fiscalyearmay be usedto
fundgeneraloperatingand maintenanceduringthenextfiscalyearand/or,upon theapprovalofthe
Board,transfertotheReserveFund(s).
C. FiscalYear OperatingBudget shallbe approvedby a ballotvoteoftheMembers perthisArticleII,Section1,subsectionG.
D. FollowingapprovaloftheFiscalYear OperatingBudget,thebudgetshallgo intoeffectatthebeginningofthenextfiscalyear(JulyIthroughJune30)and a billingstatementshallbe sentperArticleII
Section1 F.
SECTION 4: RESERVE ACCOUNTS
A. The reserveaccountsshallprovideforbuildingcashreservestofundmajorprojectsrelatedto
maintenance,repair,replacementand improvementofcommon propertiesfora periodof30 years.
B. Reserveaccountfundsshallbe investedininterestbearingaccountsthatarefullyinsuredby a U.S.
governmentagency.
C. Withdrawalsfrom and repaymenttoreserveaccountstopay forunforeseenorunbudgetedcoststhat
areunrelatedtoroutinemaintenance,repairorreplacementofthereservecomponentsshallcomplywithRCW 64.38.075.
D. ReserveAccountsshallbe separatelyaccountedfor.
E. A majorprojectisany projectthatisnotfundedfrom theFiscalYear OperatingBudgetand thatproject
shallbe separatelyaccountedfor.

F. The followingistheapprovalprocessfortheexpenditureoffundsfrom theReserveAccounts:
1. Allmajorprojectsformaintenance,repair,improvementsorreplacementsofcommon propertiesto
be fundedby reserveaccountsshallbe approvedby a ballotvoteperArticleII,Section1,subsection
G.
2. Inany one yeartheBoard,by a majorityvote,isauthorizedtospendno more than12% ofthetotal
ofthethencurrentfiscalyearannualassessmentsoutofthereserveaccount(s)forthemaintenance
and upkeepofthecommon propertieswithoutpriornoticeto,and a favorablevote,by a majorityof
theMembers.
3. The Board isauthorizedtospendfundsoutofthereserveaccounts(s)exceedingthethresholdin
subsectionF (2).withouta voteoftheMembers intheeventofan Emergency."Emergency" is
definedasunforeseencircumstancesbeyond thecontroloftheBoard thatmay resultinmaterialloss
ordamage toproperty,bodilyinjury,liabilityorlossof lifeifimmediateactionisnottaken.
4. Inany one yeartheBoard,by majorityvote,isauthorizedtospendno more than2% ofthetotalof
thethencurrentfiscalyearannualassessmentsoutofthereserveaccount(s)fornew improvementstothecommon propertieswithoutpriornoticetoand a favorablevoteby a majorityoftheMembers.
The 2% shallbe withdrawnfrom theFiscalYear OperatingBudgetand/orReserveAccountsin
compliancewithRCW 64.38.075.
G. ReserveStudy- thedecisionrelatingtothepreparationand updatingofa reservestudyshallbe made
by theBoard ofDirectorsinaccordancewithRCW 64.38.65.
SECTION 5: DIVISIONS 2-3-4 FUNDS
A. InadditiontotheprovisionscontainedinthePlatofLagoon Point,Divisions2-3-4arefurthergoverned
by theCovenantsapplicabletoDivisions2-3-4inaccordancewiththeDivisions2-3-4Architectural
Committee (the"ArchitecturalCommittee")requirementsspecifiedintheseBylaws.
1. Members who own LotsinDivisions2-3-4ofthePlatofLagoon PointarefurtherobligatedtopayassessmentsforDivisions2-3-4SpecialWaterway Fund and OperatingFund,asprovidedforinthe
CovenantsofDivisions2-3-4and amendment theretoinadditiontotheLPCA assessments
2. Divisions2-3-4SpecialWaterway Fund and OperatingFund assessmentsshallbe approvedby vote
ofDivisions2-3-4Members inaccordancewiththevotingrequirementspecifiedintheDivisions
2-3-4Covenants,applicablestatelaw,and any amendments thereto.
3. The Divisions2-3-4SpecialWaterway Fund and OperatingFund arethesolepropertyofDivisions
2-3-4Members perDivisions2-3-4Covenants.
B. LPCA shallprovidethefollowingwithrespecttotheDivisions2-3-4SpecialWaterway Fund and
OperatingFund:
1.The assessmentsfortheDivisions2-3-4SpecialWaterway Fund and OperatingFund shallbe
includedintheLPCA billingstatementssenttotheMembers.
2. CollecttheassessmentsforDivisions2-3-4SpecialWaterway Fund and theOperatingFund.
3. The authorityand liabilityofLPCA withregardtoDivisions2-3-4fundsislimitedtothecollecting,

accountingand transferofsaidFunds totheDivisions2-3-4account(s).
4. LPCA willholdtheDivisions2-3-4fundsfortheArchitecturalCommittee or,intheeventtheArchitecturalCommittee establishesitsown bank accounts,willforwardthosefundstotheArchitecturalCommittee aftercollectingthesame and deductingtheapplicablechargespursuanttosubsectionC below.
C. The Divisions2-3-4OperatingFund willreimbursetheLPCA GeneralOperatingFund forLPCA'sdirectcostsofcollectingand administeringthefundsofDivisions2-3-4.
SECTION 6: FINANCIAL AUDITS
A. Financialstatementsshallbe auditedatleastannuallyby an independentCertifiedPublicAccountant,
providedhowever,an auditmay be waived if67% ofthevotescastby Members approvetowaivetheaudit.RCW 64.38.045(3).
1. Each yearMembers shallvotetoeitherwaive an auditortoauthorizethecostofan auditby aCertifiedPublicAccountantwiththefollowingstipulation:
The auditwillbe conductedinno more thanninetydaysafterthecloseofthethencurrentfiscal
year.
2. The Board witha majorityvotemay orderan auditorotherfinancialexamination.The resultsof
suchauditorfinancialexaminationshallbe communicated totheMembers viathenextnewsletterand/orelectronicmail.
ARTICLE III: BOARD OF DIRECTORS
SECTION 1: COMPOSITION OF BOARD OF DIRECTORS
A. The Board ofDirectorsshallconsistof 12 positions:
1. SixOfficers:President,Vice President,Secretary,AssistantSecretary,Treasurer,Assistant
Treasurer.
2. SixArea Representatives:One from eachofthesixAreasdefinedinthisarticle.
B. A Board Member's positionshallnotbe sharedby two ormore persons.
C. A Board Member shallnotdelegateit'svotingauthoritytoanotherMember.
SECTION 2: QUALIFICATIONS FOR OFFICE
A. Board ofDirectors:
1. shallown propertyintheplatofLagoon Point;
2. shallnotbe delinquentintheirLPCA assessmentsand penalties;

3. eachArea Representativeshallown propertyintheareatheyrepresent.
SECTION 3: TERMS OF OFFICE
A. The sixOfficersshalleachservefor1yearoruntiltheirsuccessorsareelected.
B. RepresentativesforArea 1,3,and 5 willbe electedineven-numberedyearsand willserve2 yearsoruntiltheirsuccessorsareelected.
C. RepresentativesforArea 2,4 and 6 willbe electedintheodd-numberedyearsand willserve2 yearsoruntiltheirsuccessorsareelected.
D. Each Board Member shallservefrom July1followingtheirelectionthroughJune30 ofthelastyearoftheirterm.
SECTION 4: AREAS
ForthepurposeofselectingArea Representatives,LPCA hasbeen dividedintosixAreasinwhich one
representativerepresentsan Area on theBoard ofDirectors.
The DivisionNumber, BlockNumber and LotNumber, arefoundintheIslandCounty Geo ParcelNumber assignedtoeachLot. These numbers identifythespecificLotsthatareinan area.
The followingdefineswhich LotsareineachArea.
A. AREA 1 shallbe thatpartofthePlatofLagoon PointDivision1 thatcontainsthefollowing:
Block I Lots1-23 Block 3 Lots1-54
Block 2 Lots1-16 Block 4 Lots 1-31
Area 1 Lotsarelocatedatthetopofthebluffon SmugglersCove Road and Marine View Drivenorth

B. AREA 2 shallbe thatpartofthePlatof Lagoon PointDivisionI and allofthePlatofLagoon PointView Tractsthatcontainsthefollowing:

B. The Members by a majorityvoteofthevotingpower intheassociationpresent,inpersonorby proxy,and entitledtovoteatany meetingoftheMembers atwhich a quorum ispresent,may remove anyMember oftheBoard ofDirectorswithorwithoutcauseand inaccordancewiththevoting

SECTION 8: FILLING BOARD VACANCIES
Ifa Board positionbecomes vacant,a majorityoftheremainingBoard may appointan eligibleand willingMember tofillthepositionuntilthenextscheduledelection.
SECTION 9: GENERAL DUTIES and RIGHTS OF BOARD MEMBERS
A. Duty ofCare.
1.A Directorshallperformthedutiesof a Director,includingdutiesas a Member of anycommitteeoftheBoarduponwhichtheDirectormay serve,ingood faith,inamannersuchDirector
believestobe inthebestinterestsoftheAssociation,and withsuchcare,includingreasonable
inquiry,asan ordinarilyprudentpersonina likepositionwould useundersimilarcircumstances.
2. Inperformingthedutiesofa Director,a Directorshallbeentitledtorelyon information,opinions,
reports,orstatements,includingfinancialstatementsand otherfinancialdata,ineachcasepreparedor
presentedby:
a. One ormore Officersor Members oftheAssociationwhom theDirectorreasonablybelievesto
be reliableand competentinthematterpresented;b. legalcounsel,publicaccountants,orotherpersonsastomatterswhichtheDirectorreasonably
believestobe withinsuchperson'sprofessionalorexpertcompetence;or

c. acommitteeoftheBoarduponwhichtheDirectordoesnotserve,dulydesignatedinaccordance
witha provisionintheseBylaws,astomatterswithinitsdesignatedauthority,which committee
theDirectorbelievestomeritconfidence;so longas,inany suchcase,theDirectoractsingood
faith,afterreasonableinquirywhen theneedthereforisindicatedby thecircumstances,and
withoutknowledgethatwould causesuchreliancetobe unwarranted.
B. Duty ofLoyalty-ConflictofInterest.
1.The Directorsshallexercisetheirpowers and dutiesingood faithand witha view totheinterests
oftheAssociationand inaway thatisconsistentwiththepurposessetforthintheseBylaws.
2. No contractorothertransactionbetweentheAssociationand anyDirector,orbetweenthe
Associationand any corporation,firmentityorassociationinwhichtheDirectorisanofficeror
Directororispecuniarilyorotherwiseinterested,shallbe eithervoidorvoidablebecausesuch
DirectorispresentattheMeetingoftheBoard ofDirectorswhich authorizesorapprovesthe
contractortransaction,ifthefactofthecommon directorateorotherinterestisdisclosedorknown
totheBoardofDirectorsora majoritythereofand notedintheminutes,and theBoard of
Directorsauthorizes,approvesorratifiessuchcontractortransactioningood faithbyavotesufficient
forthepurpose.
3. Directorswho havea financialinterestorotherpersonalinterestinthetransactionmay be countedin
determiningthepresenceofa quorum atany MeetingoftheBoard of Directorsorcommittee
thereofwhich authorizes,approvesorratifiesany contractortransaction,butsuchDirectorsmust
abstainfrom voting.
4. Ifdisclosuresand decisionsarenotmade as requiredby thissubsection,thecontractortransaction
may be voidableattheinstanceoftheAssociation,and theaffectedDirectormay notbe insulated
from liabilityforany harm sufferedby theAssociationasa resultofenteringintothecontractor
transaction.
C. RighttoIndemnification.
1.The AssociationshallindemnifyandholdharmlesseachoftheDimetorsandOfficersfromand
againstallcontractualliabilitytoothersrisingoutofactionstakenorcontractsmade bytheBoardof
DirectorsorOfficerson behalfoftheAssociationortheMembers unlesssuchactionorcontractwas
made inbadfaithorcontrarytothepmvisionsspecifiedinanydocumentsgoverningtherightsand
obligationsoftheBoardofDirectorsandOfEcerstoacton thebehalfoftheAssociation.
2. Directorsand Officersshallnotbe personallyliableforcontractsmade by them on behalfofthe
Association.
3. The Associationshallindemnifyany personwho was orisa partyoristhreatenedtobe made a
partytoany threatened,pendingorcompletedaction,suitorproceedingby reasonofthefactthat
(s)heisorwas a DirectororOfficeroftheAssociationagainstamountspaidinsettlementincurredby
him orherinconnectionwithsuchaction,suitorproceedingif(s)heactedingood faithand ina
manner (s)hereasonablybelievedtobe in,or notopposed to,thebestinterestsoftheAssociation,
tothefullestextentauthorizedby RC W 23B.08.320,and23B.08.500through23B.08.600,andany
amendmentsthereto,irrespectiveof the factthatthe Associationisnot incorporatedunder
RCW 23B. See RCW 23B.17.030.

ARTICLE IV: DUTIES OF OFFICERS and AREA REPRESENTATIVES
The followingsectionsdescribesdutiesoftheOfficersand Area RepresentativesoftheAssociation.The
dutiesoftheBoard areunderstoodto includesuchotherdutiesapplicabletoeachonce as prescribedbytheparliamentaryauthorityadoptedby LPCA.
SECTION 1: PRESIDENT
A. The Presidentshall:
1. be theprincipalexecutiveofficer,withresponsibilityforsupervisingtheaffairsofLPCA;
2. presideatallMember's meetingsand Board meetings;
3. be LPCA's agentforallmattersrelatingtoLPCA business;
4. authorizeallexpendituresaccordingtotheseBylaws thatareapprovedby theBoard;
5. receiveMember's suggestionsand complaintsofLPCA relatedissuesand resolveorassistinthe
resolutionofan acceptablesolution.
SECTION 2: VICE PRESIDENT
A. The Vice Presidentshall:
1. assume alldutiesof thePresidentduring thePresident'sabsence;
2. assistthePresidentas requested.
SECTION 3: SECRETARY
A. The Secretaryshall:
1.be thecustodianofallrecordsand isresponsibleforthesafekeepingand keepingLPCA documents
currentexceptforthoseforwhich responsibilityisspecificallyassignedtootherBoard Members;
2. keep accurateand make availableminutesofallmeetingsofLPCA includingtheAnnual General
MeetingofMembers, specialmeetingsand Boardmeetings.Upon requestofthePresidentreadsuch
minutestotheMembership;
3. providenoticeofallmeetingasrequiredundertheseBylaws and inaccordancewithmeeting
requirementsspecifiedintheseBylaws;
4. keep a registerofallMembers' addressesand contactinformationby name and Lotnumber;
5. prepare,execute,certifyand recordamendments and revisionstothegoverningdocumentson behalf
ofLPCA;
6. signallcertifiedcopiesofdocuments relatedtoactstakenon behalfofLPCA;

7. intheabsenceofthePresidentand Vice president,callthemeetingtoorderand presideuntilthe
electionofa chair;
B. A portionofthesedutiesand responsibilitiesmay be delegatedby theSecretarytotheAssistant
Secretary.
SECTION 4: ASSISTANT SECRETARY
A. The AssistantSecretaryshall:
1.work withtheSecretaryand performany dutiesand/orresponsibilitiesdelegatedby theSecretary;
2. be familiarwiththedutiesand responsibilitiesoftheSecretary;
3. performalldutiesoftheSecretarywhenever theSecretaryisabsentfrom any meetingorisabsent
from thecommunity fora specifiedperiodoftime.
SECTION 5: TREASURER
A. The Treasurershall:
1.procurea bond insuchamount asmay be requiredby theBoard fortheprotectionofLPCA and
LPCA assets,thepremium tobe paidby LPCA;
2. be thecustodianofallfundsofLPCA, suchfundsshallbe keptinthename of LPCA and shallnot
be co-mingledwiththefundsofany otherassociationorperson;
3. be thecustodianofDivisions2-3-4SpecialWaterway Fund and OperatingFund unlessthesefunds
areheldby theArchitecturalCommittee perArticleIISection5 SubsectionB;
4. depositallfundsininterestbearingaccountsthatarefullyinsuredby US governmentagency;
5. prepareand sendtoeachMember billingstatementsforannualassessments,specialassessments,
suspenseand followup on allpastdue accountsinaccordancewithrequirementsspecifiedinthese
Bylaws;
6. pay designatedlineitemsintheannualFiscalYear OperatingBudgetwhen due and non-designatedlineitemsasapprovedby theBoard;
7. maintainincome and expenseaccountinginaccordancewithgenerallyacceptedaccounting
principlesand asrequestedby theBoard;
8. atleastannuallyorupon requestby thePresidentora majorityoftheBoard,prepareorbe
responsibleforthepreparationoffinancialstatementforallaccounts,assetsand liabilities;
9. prepare,notarizeand filewithIslandCounty allliensauthorizedundertheseBylaws and filea
releaseoflienswhen allannualassessments,specialassessmentsand/orpenaltiesrelatedtoalien
have beenpaid;
10. prepareand presentfinancialrecordsrequiredforany auditconductedinaccordancewiththe

provisionsoftheseBylaws;
I1.turnovertohis/hersuccessorinofficeallLPCA fundsand propertyinhis/herpossession,togetherwithan accountingofsame.
B. The signingofchecksshallbe inaccordancewithstandardbankingprocedures.The Treasurer,
President,Vice Presidentand AssistantTreasurerareauthorizedtosign.
C. A portionofthesedutiesand responsibilitiesmay be delegatedby theTreasurertotheAssistant
Treasurer.
SECTION 6: ASSISTANT TREASURER
A. The AssistantTreasurershall:
1. work withtheTreasurerand performthosedutiesand/orresponsibilitiesdelegatedby theTreasurer;
2. be familiarwiththedutiesand responsibilitiesoftheTreasurer;
3. work withtheTreasurertoinvoiceand collectMembership assessments;
4. performalldutiesoftheTreasurerwhenever theTreasurerisabsentfrom thecommunity foran
extendedperiodoftime.
SECTION 7: AREA REPRESENTATIVES
A. The Area Representativesshall:
1. be Members oftheNominatingCommittee;
2. actasa community liaisonby keepingintouchwithallMembers intheirrespectiveareasand reportMember's concernstotheBoard;
3. welcome new neighborsintheirArea intothecommunity;
4. informtheBoard ofany changesintheoccupancyofresidencesintheirArea,includingnames and
addresses;
5. monitorconditionsofLPCA propertylocatedintheirArea.Reportconditionsand recommendations
regardingsuchpropertiestotheBoard.
SECTION 8: BOARD OF DIRECTORS
A. The Presidentshallbe chairoftheBoard of Directors.
B. The Board shallmanage theaffairsofLPCA pursuanttothepowers setforthinChapter64.38RCW,
unlessotherwisespecificallyreservedfortheMembers asspecifiedintheseBylaws.
C. The Board shallapproveallexpenditures.

D. The Board shallmeet regularlythroughouttheyearviaconferencecallorinperson.
E. The Board shallmeet inspecialsessionwhen requestedby thePresident.
F. At allmeetingsa majorityoftheBoard shallbe deemed tobe a quorum requiredfortransactionof
business.Intheeventa voteby theBoard isa tie,thePresidentshallcastthedecidingvote.
G. As providedelsewhereintheseBylaws theArea Representatives,representingthedesignatedAreas
withinLPCA, shallbe LPCA's regularlyconstitutedNominatingCommittee.
H. By a majorityvoteby theBoard,theBoard may enactnew rulesrelatedtotheuseand maintenance
of LPCA common propertiesand may exercisepowers deemed ingood faithtobe necessaryforthe
governanceand operationofLPCA.
Priortothevoteby theBoard,atleast30 daysbutno more than60 daystheproposednew ruleis
publishedintheLPCA NewslettertoinviteMembers' comments. The Board may, butisnotrequiredto,modifytheproposedrulesbasedon suchcomments.
ARTICLE V: MEETINGS
SECTION 1: ANNUAL GENERAL MEETING
A. Thereshallbea singleAnnual GeneralMeetingofMembers heldata timedeterminedby thePresident
and/ortheBoard inthefirstorsecondquarterofeachcalendaryear.
B. The purposeoftheAnnual GeneralMeetingshallbe to:
1. electtheBoard ofDirectors;
2. approvetheBudgetforthefollowingfiscalyear;
3. votetowaive orauthorizethecostofa financialauditperRCW 68.38.045(3);
4. presentand discussgoals,activitiesand/oraccomplishments;
5. discussany othermattersrelatedtoLPCA, asrequestedby a Member;
6. conductofsuchbusinessasmay be properlybroughtbeforetheAnnual GeneralMeeting.
SECTION 2: SPECIAL MEETINGS
A. SpecialmeetingsoftheAssociationmay be calledatany timeforthepurposeofconsideringmatters,
which by thetermsspecifiedinany documentsorlawsgoverningtheAssociation,requireapprovalof
allorsome oftheMembers, orforany otherreasonablepurpose.
B. Specialmeetingsshallbe heldupon therequestofone ofthefollowing:
1. Presidentand two members oftheBoard;

2. a majorityoftheBoard;
3. atleast22 Members of LPCA presenta signedpetition(includingprintednames ofeachMember
signingsuchpetition)tothePresident.
SECTION 3: ANNUAL GENERAL MEETING and SPECIAL MEETING
REQUIREMENTS
A. Quorums:
A quorum ispresentthroughoutany Annual GeneralMeetingorspecialmeetingoftheAssociation
iftheMembers who own Lotstowhich atleastOne Hundred (100)ofthevotesintheAssociation
areallocatedarepresentinpersonby ballotormailinballotatthebeginningoftheMeeting.
B. Order of Business.
1. The orderofbusinessatan Annual GeneralMeetingoftheAssociationshallbe asfollows:
a. proofofNoticeoftheMeeting;b. determinationofthepresenceofa quorum;c. approvaloftheAgenda fortheMeeting;d. approvalofminutesofthepreviousMeetingoftheAssociation;e. appointmentofinspectorsofelectionifapplicable,f.electionofDirectors,ifapplicable;
g. presentationofreportsoftheBoard of Directors,Of6cersand committees;h. untinishedbusiness,ifany;and
i. new business,ifany.
2. Only mattersdescribedinthenoticeofaspecialmeetingmay beconsideredatsuchameeting,and
theorderofbusinessataspecialmeetingshallgenerallyconformtotheorderspecifiedinthenotice
ofsuchmeeting.
3. New businessatan Annual General Meeting shallincludea discussionof whether to
conduct an auditof theAssociation'sfinancialstatements,as describedinArticleII,
Section6 hereof.
C. Conduct ofMeeting.
1.The PresidentshallpresideatmeetingsoftheAssociationand theSecretaryshallkeeptheminutes
ofmeetings,forinclusionintheAssociation'spermanentminutebook.
2. Untilchangedby resolutionoftheBoard ofDirectors,RobertsRulesofOrder,latestedition,shall
governtheconductofallmeetingsoftheAssociationwhen notinconflictwiththelawsand
documentsgoverningtheAssociationortheseBylaws.
D. The Board may by resolutionadoptadditionalprocedures,thatarenotinconsistentwiththeseBylaws,
toassisttheBoard inmaintainingtheintegrityofthevotingprocessatmeetingsoftheAssociation.

SECTION 4: BOARD OF DIRECTORS MEETINGS
A. AllmeetingsoftheBoard shallbe open forobservationby allMembers.
B. The Secretaryshallkeep minutesofallactionstakenby theBoard and shallmake theseminutes
availabletoallMembers.
C. A closedexecutivesessionoftheBoard ispermittedtobe heldinaccordancewithRCW 64.38.035(4)
SECTION 5: NOTIFICATION and CANCELLATION OF MEETINGS
A. Membership Meetings-Annual GeneralMeetingsand SpecialMeetings
1. NoticeofanymeetingoftheAssociation(i.e.annualand specialmeetings)shallbeeitherhand-
deliveredorsentprepaidby firstclassUnitedStatesmailtothemailingaddressofeachLotOwner or
toanyothermailingaddressdesignatedinarecordbytheMember, and shallbe postedon the
websiteand may be includedinthenewsletter.
2. With theadvancewrittenconsentofanyMember, orintheeventthatlegislationotherwisepermits,noticemay alsobe providedelectronically,toan e-mailorotherelectronicaddressspecifiedby the
Member forsuchpurposes.
3. The noticeofany meetingshallstatethedate,timeand placeofthemeeting,and theitemson the
agendatobe votedon by theMembers, includingwithoutlimitation,ifappropriate,a listofthe
candidatesseekingtobeelectedasDirectorsoftheAssociation,allinformationrequiredtobe
deliveredtoMembers inconjunctionwiththedevelopmentoftheAssociation'sannualbudget,the
natureofany proposedamendment ofdocumentsgoverningtheAssociationorBylaws and any
proposaltoremove a Director.
The noticeofanymeetingshallincludeaballotandsupportinginformation,ifapplicable,forthoseMembers
who choosetomailintheballotinsteadofsubmittingtheballotatthemeeting.
4. Whenever anynoticetoa Member isrequiredtobegivenbytheAssociation,awaiverthereofin
awrittenstatementsignedbytheMember, whethermade beforeorgivenafterthetimestatedtherein,
shallbe equivalenttothegivingofsuchnotice.
5. Noticeofany meetingoftheAssociationshallbe providedby theSecretarytoallMembers not
lessthanfourteen(14)normore thansixty(60)daysinadvanceofthemeeting.RCW 64.38.035(2)
6. Noticeofcancellationofa scheduledmeetingshallbe eithersentprepaidby firstclassUnited
Statesmailtothemailingaddressofeach LotOwner orpostedon theLPCA websiteand sentvia
emailtoMembers.
B. Board ofDirectorsMeetings-RegularMeetingsand SpecialMeetings
1.NoticeoftheBoard'sregularlyscheduledmeetingand specialmeetingshallbe publishedinthe
LPCA newsletterand/orWebsite.
2. NoticeofregularorspecialmeetingsoftheBoard of Directorsshallbe giventoeachDirector,by
mail,receiptede-mailordigitalequivalent,receiptedtelefacsimileorhand-deliveryatleast72

hourspriortothetimeofthemeeting,and shallstatethedateand placeand houroftheMeeting.
3. NoticeofregularBoard meetingsmay alsobe givenby providingeachBoard member withawrittenscheduleofregularmeetingsadoptedfortheensuingyearatany timeaftertheannual
meetingand atleastsevendayspriortothenextsucceedingregularmeeting.
4. Noticeofa specialBoard meetingshallstatethepurpose(s]ofthemeeting.
5. Noticeofa meetingoftheBoard ofDirectorsmay be waived and recordedintheminutesby a
DirectoreitherbeforeoraftertheMeeting.
6. Attendanceby a Directorata meetingconstituteswaiverofnoticeofthatmeeting,exceptwhere a
Directorattendsa meetingfortheexpresspurposeofobjectingtothetransactionofbusiness
becausethemeetingisnotlawfullycalledorconvened.
7. Ina bona fideemergency,and ifalloftheBoard members arepresentand soconsent,no notice
shallbe requiredand mattersrelatingtothesubjectoftheemergency may be consideredatthe
meetmg.
8. Noticeofcancellationofa scheduledBoard meetingmay be electronicallytransmittedand/or
postedon theLPCA websiteor intheNewsletter.
E. Actionby DirectorsWithouta Meeting.
Ina bona fideemergency,ortoaccomplishpurelyministerialobjectives,or as may be otherwise
permittedby law,any actionrequiredorpermittedtobetakenmay betakenwithoutameetingifall
oftheMembers oftheBoard ofDirectorsunanimouslyconsenttosuchactionand suchconsentis
evidencedinwritingeitherpriortoorsubsequenttothetakingofsuchactionand suchwrittenconsent
orconsentsshallbe filedwiththeminutesoftheproceedingsoftheBoard ofDirector
ARTICLE VI: COMMITTEES
SECTION 1: COMMITTEES
A. Two typesofCommittees:
1. StandingCommitteesarepermanentcommitteesthatexisttoperformvariousongoingfunctionsof
LPCA.
2. SpecialCommitteesarecreatedtofulfilla specificfunctionorprojectofLPCA and willceaseto
existwhen theyhavecompletedtheirwork.
B. The structureofStandingand SpecialCommittees:
1. PresidentappointstheMembers tothecommitteesexceptcommitteesthatmay be chosenby a vote
of LPCA Membership,providedallsuchMembers haveagreedtosuchappointment.
2. The Presidentmay authorizewitha voteby theBoard additionalStandingand SpecialCommittees.
3. Shallconsistofatleastthree(3)members, one ofwhom shallbe electedby thecommittee,tobe the

SOCIAL EVENTS and CHARITABLE ACTIVITIES
SECTION 1: STRUCTURE OF SOCIAL EVENTS and CHARITABLE ACTIVITIES
A. FundingforLPCA sponsoredsocialand charitableactivitiesshallbe by voluntarycontributions,
admissionfeesand/orproceedsfrom fundraisingactivities.
B. Funds shallbe accountedforby LPCA and shallnotbe co-mingledwithotherfunds.
C. The Presidentand Board shalladheretopolicyinmanaging thefunds,eventsand activities.
D. LPCA community wide socialeventsareopen toallMembers, theirfamiliesand guestsaswellas
longtermrenterslivinginLagoon Point.

ARTICLE IX: BYLAWS REVISIONS and AMENDMENTS
SECTION 1: BYLAWS
A Bylaws revisionoramendment shallbe approvedby a 2/3majorityof Members voteprovidedatleast
133 votesarecast.Intheeventlessthan 133 votesarecast,theBylaws revisionor amendment willbe
deemed tohave failed.VotingforBylaws revisionsoramendments shallbe inaccordancewiththevoting
requirementsoftheseBylaws.
A. Revisionsoramendments totheseBylaws may be proposedby one ofthefollowing:
1.theBoard;
2. a petitionsubmittedtotheBoard and signed(withprintednames added aftereachsignature)by at
leasttwenty-fiveMembers ingood standing.
B. Proposedrevisionsoramendments totheseBylaws shallbe approvedby theBoard priortobeing
presentedtoMembership fora voteinaccordancewiththevotingrequirementsspecifiedinthese
Bylaws.
