ARTICLE I

INTRODUCTION AND GENERAL INFORMATION

Section 11 Introduction and Purpose

Formal Request for Proposal documents may be obtained by those interested via written request to Mr James J Jorgensen QPA CCPO Purchasing Agent for the County of Morris acting as liaison for the Morris County Improvement Authority Mr Jorgensen may be contacted by email at jjorgensencomorrisnjus The Authority assumes no responsibility for potential respondents that fail to obtain the proper documentation as instructed herein

The Authority created in 2002 by the Board of Chosen Freeholders of the County of Morris (the County) New Jersey (the State) as a public body corporate and politic of the State pursuant to and in accordance with the county improvement authorities law (codified at NJSA 4037A-44 et seq the Act) is soliciting responses to this Request for Proposals (each a Proposal) from interested persons andor firms (each a Respondent) for the provision of renewable energy project consulting services including but not limited to renewable energy project operations and maintenance analysis and Solar Renewable Energy Credit (SREC) consulting services (the Renewable Energy Consulting Services) as more fully described in Article II hereof Through a Request for Proposals process described herein persons andor firms interested in assisting the Authority with the provision of such services must prepare and submit a Proposal in accordance with the procedure and schedule in this Request for Proposals (this RFP) The Authority will review Proposals only from those firms that submit a Proposal which includes all the information required to be included as described herein (in the sole judgment of the Authority)

Section 12 History of the Authoritys Morris County Renewable Energy Program

The Authority in combination with and for the County has created its Morris County Renewable Energy Program (the Renewable Energy Program) The Renewable Energy Program developed photovoltaic energy systems including any related electrical modifications the maintenance of existing warranties and other work necessary desirable or convenient for the installation of such systems (the Renewable Energy Projects) for certain local government buildings parking canopy and other structures and lands (the Morris County Local Unit Facilities) owned or controlled by local governments within and including the County (the Morris County Local Units)

The 2009A tranche of the Renewable Energy Program (the Series 2009A Program) consisted of developing Morris County Renewable Energy Projects for the following eight (8) Morris County Local Units (the Series 2009A Local Units) County of Morris Parsippany- Troy Hills Board of Education Morris County Park Commission Mountain Lakes Board of Education West Morris Regional High School District Board of Education Boonton Board of Education Morris Hills Regional District Board of Education and The Parking Authority of the Town of Morristown

On July 15 2009 Tioga Solar Morris County 1 LLC a limited liability company organized and existing under the laws of the State of Delaware duly authorized to conduct business in the State (including any successors and assigns the Project Company or Tioga Morris) was awarded a contract as the solar developer in connection with the Series 2009A Program On April 30 2013 Tioga Energy Inc the managing member of Tioga Morris made a general assignment for the benefit of creditors to Tioga Energy (Assignment for the Benefit of Creditors) LLC (Tioga Energy ABC) including its membership interests in Tioga Morris Tioga Energy ABC continues to own and operate the Series 2009A Program and the Series 2009A Local Units continue to receive energy produced by the Renewable Energy Projects and pay a price per kilowatt hour for such energy pursuant to power purchase agreements

The 2011 tranche of the Renewable Energy Program (the Series 2011 Program) consisted of developing Renewable Energy Projects for the following twelve (12) Morris County Local Units (collectively the Series 2011 Built Sites) County College of Morris County of Morris Kinnelon Board of Education Montville Board of Education Morris Hills Regional District Randolph Board of Education Mine Hill Board of Education Chester Board of Education Mount Olive Board of Education Borough of Chester Chatham Board of Education and Washington Township Board of Education

Section 13 Procurement Process and Schedule

From all timely Proposals received the Authority intends first to qualify Respondents (the Qualified Respondents) (i) that possess the professional financial and administrative capabilities to provide the Renewable Energy Consulting Services and (ii) agree to be bound by and meet the other terms and conditions of the RFP as determined by the Authority Once the Authority has selected the Qualified Respondents the Authority shall select one or more of the Qualified Respondents to provide Renewable Energy Consulting Services (the Successful Respondents) which award shall only be set forth in a services contract (Services Contract) setting forth the terms of such Renewable Energy Consulting Services which Services Contract shall be based on the RFP and the Proposal of the Successful Respondents and which award shall not be effective until such Services Contract shall be executed by authorized officers of both the Authority and the respective Successful Respondents

The selection of Qualified Respondents and Successful Respondents is subject to the New Jersey Local Unit Pay-to-Play Law NJSA 1944A-205 et seq According to such New Jersey Local Unit Pay-to-Play Law the Authority shall post notice of the existence of this RFP on its website at least ten (10) days prior to receipt of Proposals Such notice shall be in the form set forth in Exhibit A attached hereto The Authority has structured this procurement process to ensure that each Respondent is provided an equal opportunity to submit a Proposal in response to the RFP The Authority may reject all Proposals waive any nonconformities to the RFP requirements andor take whatever other action shall be available to the Authority at law or equity as the Authority in its sole discretion deems to be in the best interests of the Authority and the Renewable Energy Program described under this RFP The Proposals will be evaluated in accordance with the criteria set forth in Section IV of this RFP which will be applied in the same manner to each Proposal received

In order to review or obtain a copy of this RFP and to be considered a Qualified Respondent all potential Respondents must provide Mr James J Jorgensen QPA CCPO Morris County liaison for the Authority with the name address e-mail address and phone number of their designated contact person (the Contact Person) Mr Jorgensen may be contacted by email at jjorgensencomorrisnjus To the extent the Authority in its sole discretion determines to amend modify supplement revoke or alter any material term or condition of this RFP including without limitation the procurement process or the criteria for qualification or award which rights are hereby expressly reserved to the Authority the Authority will make all commercially reasonable efforts to communicate any such change to each potential Respondent prior to the due date of this RFP through e-mail or other verifiable notification

Proposals will be reviewed and evaluated by certain officials of the Authority certain officials of the County and certain advisors to the Authority andor County (collectively the Review Team) The Proposals will be reviewed to determine if the Respondent has met the minimum professional administrative and financial areas described in this RFP Under no circumstances will a member of the review team review responses to an RFP for a job which they or their firm submitted a response Based upon the totality of the information contained in the Proposal including information about the reputation and experience of each Respondent the Authority will (in its sole judgment) determine which Respondents are qualified (from professional administrative and financial standpoints) Each Respondent that meets the requirements of the RFP (in the sole judgment of the Authority) will be designated as a Qualified Respondent and will be given the opportunity to participate in the selection process determined by the Authority whereby the Authority shall select one or more Successful Respondents to provide the Renewable Energy Consulting Services which award shall only be set forth in a Services Contract

The procurement process for the Renewable Energy Consulting Services commences with the issuance of this RFP The steps involved in the process and the anticipated completion dates are set forth in the following Anticipated Procurement Schedule The Authority reserves the right to among other things amend modify alter or terminate the Anticipated Procurement Schedule whereupon the Authority shall provide notice of such action to all Contact Persons on behalf of the Respondents

Section 14 Submission of Proposals

In order for a Respondents Proposal to be considered under this RFP procurement process each such Respondent must comply with the following

(a) Each Proposal shall be fully authorized complete in accordance with the terms of this RFP and executed by an authorized officer of the Respondent

(b) Each Proposal shall be timely submitted to and be received by the Authoritys Morris County liaison at ldquoMorris County Purchasing Division Att James J Jorgensen QPA CCPO 10 Court Street Suite 517 Morristown New Jersey 07963rdquo via mail or hand delivery on or before 300 pm Eastern Standard Time on November 8 2017 (the Proposal Submission Date) Proposals will not be accepted by facsimile transmission or e-mail

(c) Each submittal shall include one set of original documents and two photo-copies of the original documents and one digital set on CD Rom or Flash-drive enclosed in sealed envelopes bearing the name and address of the Respondent (including multiple persons or firms if applicable) the date of the submission of the Proposal and the informational heading Proposal for Renewable Energy Consulting Services submitted to Morris County Improvement Authority all on the outside of any such sealed envelope

Section 15 Conditions Applicable to RFP

Upon submission of a Proposal in response to this RFP the Respondent acknowledges and consents to the following conditions relative to the submission and review and consideration of its Proposal

(a) This document is an RFP and does not constitute a Request For Qualifications (an RFQ)

(b) This RFP does not commit the Authority to issue an RFQ

(c) All costs incurred by the Respondent in connection with responding to this RFP shall be borne solely by the Respondent

(d) The Authority reserves the right (in its sole judgment) to reject for any reason any and all Proposals and components thereof and to eliminate any and all Respondents responding to this RFP from further consideration for this procurement

(e) The Authority reserves the right (in its sole judgment) to reject any Respondent that submits incomplete responses to this RFP or a Proposal that is not responsive to the requirements of this RFP

(f) The Authority reserves the right without prior notice to supplement amend or otherwise modify this RFP or otherwise request additional information

(g) All Proposals shall become the property of the Authority and will not be returned

(h) All Proposals will be made available to the public at the appropriate time as determined by the Authority (in the exercise of its sole discretion) in accordance with applicable law

(i) The Authority may request Respondents to send representatives to the Authority for interviews

(j) Any and all Proposals not received by the Authority by 300 pm Eastern Standard Time on November 8 2017 may be rejected by the Authority in its sole discretion

(k) Neither the Authority nor their respective staffs consultants or advisors (including but not limited to the Review Team) shall be liable for any claims or damages resulting from the solicitation or preparation of the Proposals nor will there be any reimbursement to Respondents for the cost of preparing and submitting a Proposal or for participating in this procurement process

Section 16 Rights of Authority

The Authority reserves holds and may exercise at its sole discretion the following rights and options with regard to this RFP and the procurement process in accordance with the provisions of applicable law

(a) To determine that any Proposal received complies or fails to comply with the terms of this RFP

(b) To supplement amend or otherwise modify the RFP through issuance of addenda to all prospective Respondents who have received a copy of this RFP

(c) To waive any technical non-conformance with the terms of this RFP

(d) To change or alter the schedule for any events called for in this RFP upon the issuance of notice to all prospective Respondents who have received a copy of this RFP

(e) To conduct investigations of any or all of the Respondents as the Authority deems necessary or convenient to clarify the information provided as part of the Proposal and to request additional information to support the information included in any Proposal

(f) To suspend or terminate the procurement process described in this RFP at any time (in its sole discretion) If terminated the Authority may determine to commence a new procurement process or exercise any other rights provided under applicable law without any obligation to the Respondents

The Authority shall be under no obligation to complete all or any portion of the procurement process described in this RFP

Section 17 Addenda or Amendments to RFP

During the period provided for the preparation of responses to the RFP the Authority may issue addenda amendments or answers to written inquiries Those addenda will be noticed by the Authority and will constitute a part of the RFP All responses to the RFP shall be prepared with full consideration of the addenda issued prior to the Proposal Submission Date

Section 18 Cost of Proposal Preparation

Each Proposal and all information required to be submitted pursuant to the RFP shall be prepared at the sole cost and expense of the Respondent There shall be no claims whatsoever against the Authority its staff or consultants for reimbursement for the payment of costs or expenses incurred in the preparation of the Proposal or other information required by the RFP

Section 19 Proposal Format

Proposals should cover all information requested in this RFP Proposals which in the judgment of the Authority fail to meet the requirements of the RFP or which are in any way conditional incomplete obscure contain additions or deletions from requested information or contain errors may be rejected

ARTICLE II

SCOPE OF RENEWABLE ENERGY CONSULTING SERVICES

Section 21 Generally

This RFP is for Renewable Energy Consulting Services as more fully described below The proposed term of the contract(s) will begin on January 1 2018 and end on December 31 2018 with an option by the Authority to exercise two (2) one-year extensions

Section 22 Renewal Energy Consulting Services

The consultant providing the Renewable Energy Consulting Services shall have the necessary and required skills and experience to deliver the various services and perform various tasks on behalf of the Authority with respect to Renewable Energy Projects as applicable including but not limited to

(a) Advise the Authority on the proper operation and management of the completed Renewable Energy Projects including without limitation (i) reviewing and advising on the operations and management program practices and budget of the owner(s) of the Renewable Energy Projects including making recommendations as to any necessary or otherwise beneficial changes that should be made to the current operations and management program practices and costs (ii) presenting and analyzing various Renewable Energy Project system modifications including those that may increase production or storage or may otherwise provide additional revenue generation and (iii) presenting reviewing and advising on modification of the ownership of the Renewable Energy Projects including but not limited to disposition of the Renewable Energy Projects to third parties provided same is in compliance with all applicable laws

(b) Consult on current and future New Jersey solar renewable energy credits (SRECs) pricing including such charts current tables and analyses as are appropriate to estimate future SREC forward contract prices over 1 3 5 and 10 year projection periods and noting and explaining all major assumptions in the estimate and

(c) Evaluate and make recommendations to the Authority on the timing of SREC sales and the advisability of entering into long-term SREC contracts as compared with spot market selling

ARTICLE III

PROPOSAL SUBMISSION REQUIREMENTS

Section 31 General Requirements

(a) The Proposal submitted by a Respondent must meet or exceed the professional administrative and financial qualifications set forth in this Article III and shall incorporate the information requested below

(b) In addition to the information required as described below a Respondent may submit supplemental information that it feels may be useful in evaluating its Proposal Respondents are encouraged to be clear factual and concise in their presentation of information

Section 32 Content and Form of Proposal

(a) Proposal content and completeness are important criteria in the evaluation process In order to streamline the evaluation process and ensure that all Proposals are evaluated on an equal basis it is required that Proposals adhere to the standard format outlined below for presentation of the requested information

The Proposal Cover Letter must be executed by an authorized officer of the Respondent in the form substantially set forth as Exhibit B hereto

(ii) IntroductionExecutive SummaryGeneral Information (Section 1 of the Proposal)

This section of the Proposal should contain a brief summary of both the background of the Respondent and its key personnel highlighting the benefits the Respondent believes it can contribute to the Authority and provide a list of the personnel the firm proposes to utilize to provide the Renewable Energy Consulting Services and identify their individual qualifications The following information with respect to each Respondent (reference to Respondent shall also mean each subcontract and sub-consultant if any) should also be included in this section of the Proposal Principals shall mean ten percent (10) or greater owners of Respondent or where applicable affiliates

(A) Name address and telephone number of the Respondent submitting the Proposal pursuant to this RFP and the contact information for the Contact Person going forward

(B) A description of the business organization (ie corporation partnership joint venture etc) of each Respondent its ownership and its organizational structure

(C) The number of years Respondent has been in business under the present name and the number of years it has been under current management

(D) Any judgments claims or suits pending or outstanding against Respondent or affiliates with explanation of same

(E) A statement as to whether Respondent affiliates or any of their respective principals are now or have in the past ten (10) years been the subject of any federal or State investigations or proceeding or any Security and Exchange Authority regulatory investigation or proceeding and if so please indicate the nature of that investigation or proceeding

(F) Whether Respondent affiliates or any of their respective principals are now or has been involved in any bankruptcy or re-organization proceedings in the last ten (10) years If yes please explain

(G) Confirm appropriate federal if applicable and State licenses to perform the Renewable Energy Consulting Services

(H) An executed Letter of Intent (See Exhibit C)

(iii) Qualifications (Section 2 of the Proposal)

(A) Set forth the experience of the Respondent andor key personnel of the Respondent regarding the ability to provide the Renewable Energy Consulting Services contemplated in this RFP

(B) Set forth Respondents experience with local government entities such as the Authority the County and the Morris County Local Units regardless if related to the Renewable Energy Projects Please list all local government units within Morris County for which you presently provide services

(C) Set forth any potential or existing conflicts or any other issue that may preclude the Respondent from performing the Renewable Energy Consulting Services

(D) Any other information the Respondent deems pertinent and that demonstrates an ability to perform the requested Renewable Energy Consulting Services for which Respondent has submitted a Proposal

(iv) Fee Proposal for Renewable Energy Consulting Services (Section 3 of the Proposal)

Renewable Energy Consultants shall be paid for Renewable Energy Consulting Services on an hourly rate basis payable monthly on the basis of a detailed invoice outlining the services rendered the person(s) rendering each service the time required for each task and the applicable rate for each person at such rate may be adjusted from time to time by resolution of the Authority All time shall be calculated on the basis of increments of one-tenth of an hour The invoice shall also include all reimbursable out of pocket expenses incurred calculated without markup or overhead charges and substantiated to the reasonable satisfaction of the Authority

Respondents should include in their Proposal a proposed fee schedule listing by person or by position as applicable the hourly rate Respondent proposes to charge for Renewable Energy Consulting Services

(v) Supplemental Information if any (Section 4 of the Proposal)

Respondents should feel free to concisely set forth any other relevant information not required by this RFP of which the Authority should be made aware in selecting one or more Renewable Energy Consultants for the Renewable Energy Consulting Services contemplated in this RFP

(vi) Completed Document Checklist (Section 5 of the Proposal)

Respondents should complete the Document Checklist attached hereto as Exhibit D

ARTICLE IV

CRITERIA FOR EVALUATION

In order to submit a successful Proposal Respondents shall demonstrate that they are capable of providing in-house expertise in the fields necessary to provide the Renewable Energy Consulting Services Respondents will need to demonstrate that they have the continuing capabilities to perform these Renewable Energy Consulting Services

Section 42 Criteria for Award

(a) In determining which Respondents shall be deemed Qualified Respondents and Successful Respondents which determination each Respondent acknowledges shall be in the sole discretion of the Authority the Authority may utilize the following criteria weighted as the Authority determines The Authority shall not be obligated to reveal to any third party including Respondents any of its deliberations in reaching a decision on the designation of Qualified andor Successful Respondents although the Authority shall deliberate in good faith

(b) The qualifications expertise and experience of the Respondents including the staffing and ability to utilize key personnel of the Respondents together with Respondents understanding and grasp of the purpose and intent of the Renewable Energy Program to perform the Renewable Energy Consulting Services contemplated by this RFP

(c) The fee quotes of the Respondents in accordance with Article III of this RFP

(d) Any prior positive experience of the Authority the County the Morris County Local Units or their professionals with the Respondent If no prior experience exists the Authoritys determination of whether the Respondent shall constitute a service friendly partner and shall read the scope and underlying purpose of this RFP and the Renewable Energy Program broadly to assist and otherwise serve the best interests of the Authority the County and the Morris County Local Units

(e) The completeness of the Proposal

(f) Any problematic ancillary issues that may arise in the Proposal or subsequent thereto such as potential conflicts

(g) Any other factors that the Authority in its sole discretion shall determine to be in the best interests of the Authority the County the Morris County Local Units and the Renewable Energy Program
