UNITED STATES OF AMERICA § OUTER CONTINENTAL SHELF § KNOW A L L MEN BY THESE PRESENTS, THAT: GULF OF MEXICO §

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and

also in consideration of the mutual covenants and conditions herein contained, Noble Energy, Inc., a

Delaware corporation, whose address is 1001 Noble Energy Way, Houston, Texas 77070, hereinafter

called "Assignor", does hereby grant, transfer, convey and assign unto Ridgewood Castle Rock, LLC

and ILX Prospect Castle Rock, LLC, both being Delaware limited liability companies, whose addresses

are 1254 Enclave Parkway, Suite 600, Houston, Texas 77077, hereinafter individually called "Assignee"

and collectively called "Assignees", each an undivided twenty-five percent of eight-eighths (25.00000%

of 8/8ths), and collectively an undivided fifty percent of eight-eighths (50.00000% of 8/8ths) Record Title

Interest in and to the below described Oil and Gas Lease, hereinafter referred to as the "Lease":

that certain Oil and Gas Lease dated effective July 1, 2010, from the United States of America, as Lessor, to Noble Energy, Inc., bearing Serial Number OCS-G 33753, and covering all of Block 700, Mississippi Canyon, OCS Official Protraction Diagram, NH 16-10,

said assigned interests hereinafter referred to individually as "Assigned Interest" and collectively as

"Assigned Interests".

Assignor represents that each Assigned Interest is free and clear of any royalty, burdens,

overriding royalty interests and encumbrances, including but not limited to any production payment, net

profits interest, claim, lien, lawsuit, mortgage, preferential right, contract for transportation, sale and/or

other purchase of hydrocarbons; or any other burden, impediment or encumbrance with the exception of

its proportionate share of the Lessor's royalty as provided in the Lease.

This assignment is made subject to, and each Assignee agrees to comply with, all of the terms,

conditions, obligations and other provisions contained in the Lease to the extent attributable to its Assigned

Interest.

This assignment is made and accepted without warranty of title, express or implied, except as to

persons lawfully claiming by, through or under Assignor, but not otherwise, provided each Assignee shall

have the right of full substitution and subrogation in and to any and all rights and actions of warranty

which the Assignor has or may have against all preceding owners of its Assigned Interest.

This assignment shall inure to the benefit of and be binding upon the respective successors and

assigns ofthe parties hereto.

This assignment may be signed in multiple counterparts, each of which shall be deemed an original

and all of which shall constitute one and the same agreement.

IN WITNESS WHEREOF, this assignment is executed by the parties hereto as of the dates set

forth in the respective signature blocks below, provided that the assignment shall be effective as of

December 1, 2017 subject to the approval of the Bureau of Ocean Energy Management.
