ENFORCEMENT PROCEEDINGS

MOTION FOR SUMMARY AFFIRMANCE DENIED

The Commission has denied motion of the Division of Enforcement for summary

affirmance of the initial decision of an administrative law judge in Christopher Lowry

Initial Decision Release No 190 The law judge found among other things that Lowry

the president of Lowry Investors Services Inc registered investment adviser violated

antifraud provisions of the securities laws in connection with his misappropriation of

$156500 from corporation he controlled The law judge barred Lowry from

association with an investment adviser and Lowry has sought Commission review of that

decision

In denying the Divisions motion the Commission stated that it already had determined to

grant review and established briefing schedule for Lowrys appeal and it wished to

SEC HALTS ALLEGED FRAUDULENT SECURITIES OFFERING BY WORLDCLASS LIMOUSINES INC AND 1-800-GET-LIMO INC OPERATING IN POMPANO

BEACH FLORIDA

The Commission announced that on Decmber it filed an emergency federal civil action

against World Class Limousines Inc WCL 1-800-GET-LIMO Inc GET-LIMO and

Anthony Caliendo Jr Caliendo WCL and GET-LIMOs founder president chief

executive officer and chairman collectively defendants WCL and GET-LIMO are

companies providing limousine services and purportedly developing nationwide Internet

limousine reservation network are headquartered in Pompano Beach Florida On the same

day the Honorable Adalberto Jordan United States District Judge for the Southern District

of Florida entered among other things temporary restraining order and an asset freeze to

halt the alleged on-going unregistered offering of securities by WCL GET-LIMO and

Caliendo The Court also entered an order appointing Receiver over WCL and GET

LIMO

According to the SECs complaint WCL GET-LIMO and Caliendo have been offering

securities to investors both across the country and internationally The complaint alleges

that WCL and GET-LIMO have raised approximately $1.9 million dollars from at Jeac

investors to develop its limousine businesses butthat 32% of these funds were actually used

for risky stock trading by Caliendo Moreover the complaint alleges that Caliendo has

misappropriated at least $55350 in investor funds for his own personal use In addition the

complaint alleges that unbeknownst to investors WCL and GET-LIMO paid its sales

representatives commissions totaling at least $160000 The SEC further alleged that WCLand GET-LIMO among other things misled the public about the security and safety of the

investment the rate of return on the investment the time frame in which it expected to

engage in an initial public offering and about the existence of purported joint venture

which was critical to their Internet strategy

As result the Commission charges WCL GET-LIMO and Caliendo with violations of

Sections 5a 5c and 17a of the Securities Act of 1933 and Section 10b of the

Securities Exchange Act of 1934 and Rule lOb-S thereunder The SEC is also seeking in

its lawsuit preliminary and permanent injunctions disgorgement of ill-gotten profits and

civil money penalty against Caliendo World Class Limousines Inc et al Case

No 01 -7834-dy-JORDAN S.D Fla LR- 17261

SEC SETTLES CASE AGAINST FORMER CEO OF DIGITAL LIGHT WAVE INC

The Commission announced that the United States District Court for the Middle District

of Florida issued an order enjoining Bryan Zwan founder and former Chief Executive

Officer of Tampa Florida based Digital Lightwave Inc Digital from violating or

aiding and abetting violations of certain of the federal securities laws Among other

things the order enjoins Zwan from violating the provision of the securities laws

prohibiting making materially false statements to auditors and from aiding or abetting

books and records violations by public companies Zwan consented to the entry of the

injunction without admitting or denying the allegations of the Commissions complaintIn conjunction with the entry of the injunction the Court ordered Zwan to pay $10000civil money penalty

The Commissions settlement with Zwan was the last outstanding action of several

matters related to fraudulent earnings management scheme books and records

violations and other violations that the Commissions complaint alleged had taken place

at Digital during two quarters in 1997 Without admitting or denying the Commissions

allegations Digital previously consented to an injunction against violating the antifraud

books and records and other provisions of the federal securities laws Other individuals

who are or had been officers of Digital previously settled administrative proceedings

brought by the Commission without admitting or denying the Commissions findings

On October 23 2001 the United States District Court entered Final Judgment of

Permanent Injunction and other Relief as to Bryan Zwan Final Judgment The Final

Judgment enjoins Zwan from aiding and abetting violations of Sections 13a13b2A and 13b2B of the Exchange Act and Rules 12b-20 and 13a-13

thereunder and from violating Rule 3b2-2 promulgated under the Exchange Act The

Final Judgment also orders Zwan to pay $10000 civil money penalty Digital

SUMMARY JUDGMENT ENTERED AGAINST WILLIAM BRANSTON PRESIDENT

OF INVESTMENT ADVISER TANDEM MANAGEMENT INC

The Commission announced that on November 13 2001 the Honorable John Koeltl

United States District Judge for the Southern District of New York entered summary

judgment against William Branston Branston of Tandem Management Inc Tandem in

civil injunctive action filed by the Commission on October 1995 against Tandem and

its principals Branston Eugene Deveney Deveney and Peter Alsop Alsop At the

time the Commission filed its complaint Tandem was registered investment adviser and

Branston was Tandems President and Chief Investment Officer The Commission alleged

that Branston misappropriated over $1 million in client assets principally in the form of

soft dollar credits and commission rebates distributed false information concerning

Branstons past performance returns and Tandems performance returns and assets under

management to clients investors in limited partnership fund advised by Tandem and

national money management ranking publication filed false Forms ADV and failed to keep

required books and records The judgment permanently enjoined Branston from violating

Section 17a of the Securities Act of 1933 Section 10b of the Securities Exchange Act of

1934 and Rule lOb-5 thereunder Sections 204 2061 2062 2064 and 207 of the

Investment Advisers Act of 1940 and Rules 204-2 2064-i and 2064-4 thereunder On

September 24 1999 Branston was criminally convicted of 16 count indictment based

upon the same facts in the Commissions civil injunctive action and is currently serving

term of 37 months imprisonment The Court previously entered final judgment on

consent against defendant Alsop on August 18 1997 and default judgment against

defendant Tandem on May ii 2001 This case which had been suspended without

prejudice due to Branstons criminal proceedings was restored to the active docket in

January 2001 and is pending against remaining defendant Deveney For further
