    Note: This document is updated periodically by Cisco, and all affected parties are alerted of changes through notices provided at the Seller Rewards Program website (“Program Website”). Always refer to the English version found online at cisco.com/go/sellerrewards for the most current version. In the event of a discrepancy between a translated version of the document and the English version of the document located on the Program website, the English version, which is part of the agreement between Cisco and its partners, shall prevail.

    Program Overview

    The Seller Rewards Program (“Program”) awards eligible Cisco authorized Partners (“Partners”) and Cisco authorized Distributors (“Distributors”) with Cisco® Seller Rewards Points and Ticket Prizes (“Rewards”) when their individual Seller Participants earn the available Rewards by completing designated activities as outlined in the specific rules for Sales and Activity Challenges (“Challenges”) found on the Seller Rewards website. Company Participants then distribute all earned Rewards to their Seller Participants to redeem accordingly. Both the Company Participants and Seller Participants (“Participants”) must complete all these tasks outlined on the Program’s website at cisco.com/go/sellerrewards. In order to access the Program website, all Participants must have access to Cisco.com. This access can be obtained online by completing Cisco.com registration at: https://www.cisco.com/c/en/us/about/help/registration-benefits-help/partner-registration.html. This Seller Rewards Program Appendix: Program Rules provides the entry eligibility requirements within the Program, as well as outlines the enrollment and participation requirements, and the many benefits of the Program. A Company enrolled in Seller Rewards should encourage the eligible individuals within their organizations to participate in the Program.

    The Seller Rewards Program Appendix: Program Rules is also incorporated by reference into the Channel Program Incentive Agreement located on the Partner Program Enrollment tool at cisco.com/go/ppe. In the event of a conflict between this Seller Rewards Program Appendix: Program Rules and the Channel Program Incentive Agreement, this Seller Rewards Program Appendix: Program Rules prevails. Definitions The following definitions are being provided to ensure that as this document is reviewed these definitions are familiar and will assist in reading through these terms and conditions. If a capitalized term is not defined in this Program Appendix: Program Rules, it shall have the meaning in the Resale Agreement. In the event of a conflict between the Resale Agreement and this Appendix: Program Rules, these Terms and Conditions will control as it relates to the subject matter set forth in this Appendix.

    • Company: means the individual Cisco authorized Partners and Distributors. • Seller: means those Company individuals who operate as salespersons for their respective Company and enrolled in

    Seller Rewards with an eligible profile role as identified on the Program website as a Seller as an “Individual Contributor” (Account Manager, Sales Engineer and System Engineer)

    • Seller Participant: means those individuals identified as Sellers enrolled and through the Program who complete Challenges in order to earn, receive and redeem the Program Rewards.

    • Leader: means those identified as Company individuals through Cisco Partner Self Service with Company Administrator’s credentials and enrolled in Seller Rewards with an eligible profile role as identified and determined on the Program website as a “Leader” such as Cisco Practice Lead, Administrator, Sales Manager, and System Engineer Manager.

    • Company Participant: means those individuals identified as Leader enrolled in the Program who represent and act on behalf of the Company to manage how their individual Sellers participate (earn and receive Rewards) in the Program.

    • Participant: means an individual Seller Participant and Company Participant unless the context requires otherwise. • Seller Rewards Points: earned when Seller Participants sell eligible Cisco products, services, and solutions, and meet

    any other requirements as stated in each of the Sales Challenge details located on the Seller Rewards website, “View challenges” page. Rewards largely claimed, earned, issued, and distributed for completing Sales Challenge requirements and redeemed in Marketplace.

    • Seller Rewards Tickets: earned when Seller Participants successfully complete Activity Challenges, (including but not limited to, fulfilling training requirements, and reaching sales goals) as stated in each of the Activity Challenges detail on the Seller Rewards website “View challenges” page. See the “Activity Challenges” section for details on how a Company can also earn and receive Tickets to be used as Seller Rewards for their own created Activity Challenges.

    • Relevant Law: means in relation to a jurisdiction, the statues, common laws, and regulations promulgated by governmental instrumentalities and that are capable of being enforced in a court of law in that jurisdiction. In the United States “Relevant Law” includes applicable Federal, and State, Regional, and Local laws and shall be construed accordingly.
