TheSellerRewardsProgram(“Program”)awardseligibleCiscoauthorizedPartners(“Partners”)andCiscoauthorizedDistributors(“Distributors”)withCisco®SellerRewardsPointsandTicketPrizes(“Rewards”)whentheirindividualSellerParticipantsearntheavailableRewardsbycompletingdesignatedactivitiesasoutlinedinthespecificrulesforSalesandActivityChallenges(“Challenges”)foundontheSellerRewardswebsite.CompanyParticipantsthendistributeallearnedRewardstotheirSellerParticipantstoredeemaccordingly.BoththeCompanyParticipantsandSellerParticipants(“Participants”)mustcompleteallthesetasksoutlinedontheProgram’swebsiteatcisco.com/go/sellerrewards.InordertoaccesstheProgramwebsite,allParticipantsmusthaveaccesstoCisco.com.ThisaccesscanbeobtainedonlinebycompletingCisco.comregistrationat:https://www.cisco.com/c/en/us/about/help/registration-benefits-help/partner-registration.html.ThisSellerRewardsProgramAppendix:ProgramRulesprovidestheentryeligibilityrequirementswithintheProgram,aswellasoutlinestheenrollmentandparticipationrequirements,andthemanybenefitsoftheProgram.ACompanyenrolledinSellerRewardsshouldencouragetheeligibleindividualswithintheirorganizationstoparticipateintheProgram.

• SellerParticipant:meansthoseindividualsidentifiedasSellersenrolledandthroughtheProgramwhocompleteChallengesinordertoearn,receiveandredeemtheProgramRewards.

• Leader:meansthoseidentifiedasCompanyindividualsthroughCiscoPartnerSelfServicewithCompanyAdministrator’scredentialsandenrolledinSellerRewardswithaneligibleprofileroleasidentifiedanddeterminedontheProgramwebsiteasa“Leader”suchasCiscoPracticeLead,Administrator,SalesManager,andSystemEngineerManager.

• CompanyParticipant:meansthoseindividualsidentifiedasLeaderenrolledintheProgramwhorepresentandactonbehalfoftheCompanytomanagehowtheirindividualSellersparticipate(earnandreceiveRewards)intheProgram.

• Participant:meansanindividualSellerParticipantandCompanyParticipantunlessthecontextrequiresotherwise.• SellerRewardsPoints:earnedwhenSellerParticipantsselleligibleCiscoproducts,services,andsolutions,andmeet

anyotherrequirementsasstatedineachoftheSalesChallengedetailslocatedontheSellerRewardswebsite,“Viewchallenges”page.Rewardslargelyclaimed,earned,issued,anddistributedforcompletingSalesChallengerequirementsandredeemedinMarketplace.

• SellerRewardsTickets:earnedwhenSellerParticipantssuccessfullycompleteActivityChallenges,(includingbutnotlimitedto,fulfillingtrainingrequirements,andreachingsalesgoals)asstatedineachoftheActivityChallengesdetailontheSellerRewardswebsite“Viewchallenges”page.Seethe“ActivityChallenges”sectionfordetailsonhowaCompanycanalsoearnandreceiveTicketstobeusedasSellerRewardsfortheirowncreatedActivityChallenges.

• RelevantLaw:meansinrelationtoajurisdiction,thestatues,commonlaws,andregulationspromulgatedbygovernmentalinstrumentalitiesandthatarecapableofbeingenforcedinacourtoflawinthatjurisdiction.IntheUnitedStates“RelevantLaw”includesapplicableFederal,andState,Regional,andLocallawsandshallbeconstruedaccordingly.



• RewardsStatuses:o Claimed:RequestsforRewardsfromSellerorCompanyParticipantsforRewardsfromsuccessfully

completingeligibleChallengesbysubmittingtherequiredandrelevantperformanceinfoonlinethroughSellerRewardsinordertoearnPointsorTickets.

o Earned:ThePointsand/orcontestPrizesthatarecontributedtoSellerParticipantswhentheysuccessfullycompleteChallengesandtheeligibleperformancesareclaimedthroughtheProgramwebsiteinorderforRewardstobeissuedtotheCompany.

o Issued:AlloftheearnedRewardsthataregiventotheCompany(ownerandmanagerofallRewards)tobedistributedtoSellerParticipantsbytheCompany.

o Distributed:TheRewardsPointsandPrizesthathavebeenissuedtotheCompanyandthengiventotheSellerParticipantonlinethroughtheProgramwebsitebyaCompanyParticipant.

o Redeemed:RewardsPointsthathavebeendistributedtoSellerParticipantstobeexchangedintheProgram’sMarketPlaceforvariousmerchandise,experiencesandmore.

Note:AllSellerRewardspointsearnedbytheSellerParticipantswillbeissuedtotheCompanyforfurthermanagementanddistributiontoitsSellerParticipants.Seecompletedetailsinthe“ChallengeParticipation”sectionoftheserules.Challengesmayvarybycriteriasuchascountry,certificationrequirements,eligibleregisteredjobrole,andothersasdeterminedbyCiscoforeachChallenge.

ProgramEnrollment

PartnersForPartnerstoenrollandparticipateintheSellerRewardsProgram,theymustacceptthetermsandconditionsoftheChannelProgramIncentiveAgreement(“Agreement”)tobegintheenrollmentprocess,aswellastheseSellerRewards–ProgramrulestermsandconditionsprovidedinthePartnerProgramEnrollmentToolat:cisco.com/go/ppe.OncetheCompanyhasacceptedthetermsoftheAgreement,theywillbeautoenrolledinSellerRewards.OnceenrolledallofthePartner’sactivecontactsinPartnerSelfService(PSS)(CompanyParticipantsandSellerParticipants)willbeemailedaninvitationtocompletetheenrollmentprocessthroughtheSellerRewardswebsite,whereeachcontactwillberequiredtoaccepttheseSellerRewardsProgramAppendix:ProgramRulesandcreatetheirSellerRewardsprofiles.DistributorsForDistributorstoenrollandparticipateintheSellerRewardsProgram,theymustaccepttheseSellerRewardsProgramAppendix:ProgramRulestermsandconditionsprovidedinthePartnerProgramEnrollmentToolat:cisco.com/go/ppe.OncetheCompanyisenrolled,alloftheDistributorsactivecontactsinPSS(CompanyParticipantsandSellerParticipants)willbeemailedaninvitationtocompletetheenrollmentprocessthroughtheSellerRewardswebsite,whereeachcontactwillalsoberequiredtoaccepttheseSellerRewardsProgramAppendix:ProgramRulesandcreatetheirSellerRewardsprofiles.PartnersandDistributorsACompanyParticipantmustcompletetheenrollmentprocessfortheCompanybycreatingtheCompanyprofilethroughSellerRewards.ACompanyprofilemustbeactiveinSellerRewardsbefore,andinorderfortheirParticipantstoalsocreatetheirownindividualprofiles,accesstheSellerRewardswebsiteandparticipateintheProgram.ACiscoPPE/PSSPartnerorDistributoradministratormustbeenrolledintheProgramwithaSellerRewardsLeaderroleattachedtotheirprofile.TheymustalsoincludeaSellerroletotheirprofileiftheychoosetoalsoearn,receive,andredeemRewards.TheProgramisalsoavailabletotheCompanyParticipantthatenrolledtheCiscoCompany,alsoreferredtoastheAdministratororPracticeLeadrolesinSellerRewards.TheseSellerRewardsLeadersmusthavetheauthoritytobindtheCompanytothesetermsandconditionsoutlinedinthisSellerRewardsProgramAppendix:ProgramRules.ToparticipateasanAdministratororPracticeLeadinSellerRewards,theCiscoPPE/PSSadministratormustfirstcompletetheenrollmentandonboardingprocessinCiscoPartnerProgramEnrollment(PPE)atcisco.com/go/ppeandSellerRewardsatcisco.com/go/sellerrewards.Oncetheenrollmentprocesshasbeenfullycompleted,SellerParticipantswillbeeligibletoparticipateintheSellerRewardsProgram.*IfanyParticipantisunabletoenrollinSellerRewards,theycannotifyCiscoSellerRewardsSupportbyemailatsellerrewardssupport@external.cisco.com.



ProgramParticipationDates

ParticipantscanbeginparticipatingintheSellerRewardsProgramoncetheCompanyacceptstheSellerRewardsProgram:ProgramRulestermsandconditions,andeachParticipantenrollsindividuallyintheProgrambyacceptingthesetermsandconditionsoutlinedinthisSellerRewardsAppendix:ProgramRules.ThedatethattheParticipantacceptsthesetermsandconditionsisconsideredtheeffectivedatetheParticipantcanenrollintotheProgramandbeginearningRewardsbycompletingavailableSalesandActivityChallenges.Note:Programqualificationdates,criteria,challenges,andotherrequirementsvarybycountry.ForadditionalinformationontheProgramandqualifications,referencecisco.com/go/rewardsforageneralProgramoverviewandthequalifications,aswellasSellerRewardstrainingandresourcesitethroughCiscoSalesConnect.IfaParticipantisunabletofindanswers,theyshoulddirectallinquiriestotheCiscoSellerRewardsProgramSupportteamthroughtheProgramsiteatcisco.com/go/sellerrewards,usingtheSupportlinklocatedinthepagefooter,orbyemailingthemdirectlyatsellerrewardssupport@external.cisco.com.

CompanyRemovalfromtheProgram

CompanyParticipantshavetheabilitytocanceltheirCompany’sparticipationbyoptingoutoftheSellerRewardsProgramthroughthePartnerProgramEnrollment(PPE).OnceaCompany’sparticipationhasbeencanceled,allactiveParticipantsforthatCompanywillautomaticallybecanceledaswell.ThisProgramalsoincludesavoluntary“RemoveMefromtheProgram”functionfortheindividualSellerParticipantsthroughCiscoPartnerSelfService(PSS).IfaParticipantoptstoberemovedfromtheProgramduringanystage,CiscoshallnotcontacttheParticipantbye-mail,phone,orstandardmailwithrespecttoanymarketing-relatedactivitiesrelatedtothisProgramafterthedateonwhichtheParticipantoptsout.Participantswillthenhavesixty(60)calendardaysfromtheopt-outdatetoredeemanyRewards(ifapplicable),afterwhichtimeallremainingRewardswillbeexpiredandtheirProgrammembershipwillterminate.IfaCompanyisvoluntarilyremovedfromtheProgram,associatedParticipantswillnolongerhavetheabilitytodistributeand/orredeemanyremainingRewardsasoftheCompanyremovaldate.AnyassociatedProgramaccountswithremainingRewardsthathavenotbeendistributedand/orredeemedbeforetheCompanyremovaldatewillbeexpiredandnolongeravailableforanyreason,andtheirProgramparticipationwillterminate.Note:ACompanythathasbeeninvoluntarilyremovedfromtheprogramwillforfeitallRewardsearned,claimed,issued,ordistributedtoanyParticipants.SellerParticipantscanalsocanceltheirownProgrammembershipandparticipationatanytimebycontactingtheProgramSupportteambyemailatsellerrewardssupport@external.cisco.com,bysubmittingacaseonlinethroughtheSellerRewardsSupportpage,orthroughtheCiscoPartnerSelf-Servicetool.AllParticipantsfromaCompanythathasbeenremovedvoluntarilymustredeemanyRewardsbeforetheCompanyremovaldate,afterwhichtimeallremainingRewardswillbeexpiredandallmembershipswillterminate.FollowingtheCompanyremovaldate,ParticipantswillnotbeeligibletocompeteinanyChallengesorsubmitclaimsonpastorcurrentChallenges.

ProgramParticipantRequirements

ToqualifyandparticipateintheSellerRewardsProgram,CompanyParticipantsandSellerParticipantsmustmeetthefollowingeligibilityrequirements.CompanyEligibilityRequirements

TheCompanyeligibilityrequirementforthePartnerCompanyisthatitmustbeacurrentCiscoResalePartner,andfortheDistributorCompanyisthatitmustbeaCiscoAuthorizedDistributor,bothasdeterminedbyCiscoforaselectedregionorcountry.SellerRewardsisprohibitedandrestrictedbylawintheCisco-definedEMEARcountries,NorthandSouthKoreaandMainlandChina;therefore,anyCompanylocatedintheseregionsarenoteligibletoparticipate.

NOTE:EmployeesofCiscoPartnerresellersandDistributorsthatprohibitemployeeparticipationduetoCompanypolicyarenoteligibletoparticipate.TheCompanyisresponsiblefornotifyingtheSellerRewardssupportteamofanysuchpolicyatsellerrewardssupport@external.cisco.com.



CompanyParticipantsRequirements*

TheCompanyParticipant(SellerRewardsLeaders)eligibilityrequirementstoparticipateinthisProgramareasfollows.They:

• mustbealegalresidentoftheirrespectivecountrywhohasaneligibleroleofPartnerAdministrator,orDistributorAdministratorinCisco’sPartnerProgramEnrollment(PPE)toolorPartnerSelfService(PSS)tool

• mustbecurrentlyemployedbyhisorherCompany

• mustbeauthorizedtobindhisorherCompanytothetermsandconditionsoutlineinthisProgramAppendix:Program

RulesorassigntosomeonewhoisabletobindtheCompany• mustcompletetheenrollmentandonboardingprocessinPartnerProgramEnrollment(PPE)andprofileinSellerRewards

TheCompanyParticipantsmayalsoenrollasanindividualSellerParticipantwithrolessuchasSEManager,SalesManager,AccountManager,SystemorSalesEngineer,oranotherroleasdeemedeligibleinthePSStool.InadditiontheymayalsorequestadditionalCompanyProgramManagementaccessandinformationabouttheProgram,makeSellerparticipationchangeswithintheProgramwebsite,andanyotherchangesorrequestsbycontactingtheProgramSupportTeaminwritingand/orrespondingasrequestedorinstructedotherwise.*Note:EligibilityissubjecttothepoliciesofrelatedSellerParticipants’CompanyregardingtheacceptanceofChallengebenefitsand/orregardingparticipationin,andperformanceofactivitiesunder,theProgramgenerally.

SellerParticipantsRequirements

SellerParticipantsinclude,butarenotlimitedto,thefollowingCompanyindividuals:AccountManager,Systems/SalesEngineer,SystemsEngineerManager,SalesManager,andothersalesqualifiedindividualsasidentifiedinPartnerSelfServiceandenrolledintheSellerRewardsProgramasa“Seller”.

TheSellerParticipant(SellerRewardsSellers)eligibilityrequirementstoparticipateinthisProgramareasfollows.They:• mustbeemployedbyCompanyenrolledintheProgramthatpurchasesCiscoproductsandservicesdirectlyfromCiscoor

fromaCiscoAuthorizedDistributor• mustbealegalresidentofthecountryoftheirCompanythroughoutthetermoftheProgram.

• mustbeandremainemployedatorundercontractwithaneligibleCompanyassociatedtotheirprofileontheCisco

PartnerSelfServiceportal• musthaveavalidateduniqueidentifierasdeterminedbyCiscooravalidusername(alsoreferredtoasCiscoCCOIDor

UserID),andavalidpasswordonCisco.com,associatedtotheCompanyprofileonthePartnerSelfServicePortalorcisco.com/go/pss*

*AccesscanbeobtainedonlineattheCiscoPSStoolathttps://tools.cisco.com/WWChannels/GETLOG/login.do).Participantsagreetobecontactedthroughemail,telephone,and/orstandardmailatanytimeduringtheirparticipationintheProgram.OnceaCompanyParticipant’sorSellerParticipant’semploymentwiththeCompanyisterminatedforanyreason,suchParticipant’seligibilitytoparticipateintheProgramortobeawardedorredeemanyRewardswillceasewithimmediateeffect.AdditionallyfollowingterminationofaParticipant’semploymentwiththeCompany,ParticipantwillberemovedfromtheProgram,allofParticipant’sremainingRewardswillbeexpiredandallmembershipswillterminate,andParticipantwillnotbeabletosubmitclaimsonpastorcurrentChallenges.WhenaCompanyParticipant’sorSellerParticipant’semploymentwithhisorherCompanyisterminatedforanyreason(voluntarilyorinvoluntarily),theCompanyagreestopromptlyremovesuchParticipantfromtheProgram.



ProgramChallengeRequirements

ChallengeParticipation

EachSellerRewardschallengeprovidestheParticipantwiththespecificrulesandrequirementsforthatparticularchallenge.Thesechallengerulesandrequirementsincludebutarenotlimitedto,Rewardsearningandclaiming,claimingperiods,earningcaps,aswellastheParticipanttypes,roles,products,services,andsoftware.ThecompletedetailsforeachChallengecanbeaccessed,reviewedordownloadedwithintheProgramwebsiteatcisco.com/go/sellerrewards.

• AllSellerRewardsPointsearnedbySellerParticipantswillbeissuedtotheCompanyaccount.ACompanyParticipant(e.g.,Administrator)willthenberequiredtodistributeallthepointstoitsSellerParticipants.ThedistributionisdonebygoingonlinethroughtheSellerRewards“Distributepoints”page.

• AllSellerRewardsPointsmustbedistributedwithinthesixty(60)daysfollowingthelastdayoftheeligiblequarterfor

whichtheywereearnedandissued,ortheywillbeforfeited.• AllSellerRewardsTicketPrizesearnedbySellerParticipants(contestwinners)willbeissuedtotheCompany.A

CompanyParticipant(e.g.,Administrator)willthenberequiredtodistributeallthePrizestoitsSellerParticipantsthroughthe“ProgramWinnerConfirmation”process.

• AllSellerRewardsTicketPrizesmustbeacceptedanddistributedwithinthethirty(30)daysfollowing

thedateinwhichthewinnernotificationwasemailedtotheCompany.

WhiletheRewardsareearnedbasedonthebehaviorofaSellerParticipant,allSellerRewardsearnedbytheSellerParticipantareautomaticallyissuedtotheCompanyandremainsthepropertyoftherespectiveCompanyuntiltheRewardshavebeendistributedbyaCompanyParticipant(e.g.,Administrator)toitsSellerParticipants.AllSellerRewardsPointsandTicketprizesaredistributedatthesolediscretionoftheCompany;however,onceaCompanyParticipantdistributesanyPointsand/orTicketPrizestoitsSellerParticipants,theRewardsthenbecomethesolepropertyoftheSellerParticipantwhoreceivedtheRewardsandmaythenberedeemedand/orutilizedbytheSellerParticipantattheirsolediscretion.AlltaxandlegalobligationsrelatedtotheseProgramrulesandtheparticipationthereofarethesoleresponsibilityoftheCompany.Refertothe“TaxRulesforCompanyandSellerParticipants”belowforcompletedetails.

AtanytimeduringtheProgram,CompanyParticipantscanenrollorun-enrollintheProgrambygoingintothePPEtoolatcisco.com/go/ppe.AtanytimeduringtheProgram,CompanyandSellerParticipantscanrespondtotheirSellerRewardsemailinvitationsentfromCiscoPartnerSelfService(PSS)toenrollintheProgrampriortoparticipatingintheProgramthroughtheSellerRewardssiteatcisco.com/go/rewards.NOTE:InorderforCompanyandSellerParticipantstobeginclaiming,earning,receiving,distributing,orredeemingRewardsrespectively,anassociatedCompanyParticipantwillneedtohaveenrolledandonboardedtheCompanyintheProgramfirst.Then,alloftheCompanyandSellerindividualParticipantswillbeabletoandarerequiredtoenrollandonboardthemselvesinordertoaccesstheSellerRewardsplatformandfullyparticipateintheProgram.

ProgramChallengesRewardsPoints

ClaimingRewardsPointsClaimsagainsteligibleCompanysalesmustbesubmittedbyParticipantsthroughtheSellerRewards“Manageclaims”pagetoearnanyavailableRewardspoints.TheCompanysolelymanagesanddetermines,throughtheSellerRewards“Managechallenges”page,whichParticipantsareabletoparticipate,whichParticipantswillsubmitclaims,andwhichclaimingmethoditsParticipantswillusetosubmiteligibleclaims.Thethree(3)methodsforclaimingareasfollows:

1. QuickClaiming-IndividualClaims(defaultmethod):ClaimsforRewardspointsusingthisQuickClaimingmethodcanbesubmittedindividuallythroughSellerRewardswebsitebytheSellerParticipantsand/orCompanyParticipantsusingeitherorbothofthefollowingmethods:



a. SellerParticipantsubmissions-IndividualSellerParticipantscansubmitclaimsfortheirownsalesthatmeetspecificSalesChallengerequirements.ThisQuickClaimingsubmissionsmethodallowstheSellerParticipantstoviewtheentirelistofeligibleCompanysalesinordertoselectandsubmitclaimsfortheirowneligiblesales.

b. CompanyParticipantsubmissions-CompanyParticipantscansubmitclaimsindividuallyfortheirSellers’sales

thatmeetspecificSalesChallengerequirements.ThisQuickClaimingsubmissionsmethodallowstheCompanyParticipanttocreateclaimsindividuallybymappingeacheligiblesaletoaSellerParticipantandthensubmittingtheclaimonbehalfoftheSeller.

2. TheQuickClaimingsubmissionsmethodsrequiresthatCiscovalidateandlistCompanyeligiblesalesonlinethroughtheSellerRewards“Manageclaims”pageinorderforParticipantstoview,selectandsubmitclaimsforthesolepurposeofearningtheassociatedRewardspoints.TheQuickClaimingmethodrequiresParticipantstosubmitalloftheireligiblesalesclaimsonlineatcisco.com/go/sellerrewardsnolaterthansixty(60)calendardaysfollowingthelastdayoftheeligibleCiscofiscalquarterinwhichthesalesorderwasbookedandshipped.

• AnyCiscosalesnotlistedonlineand/ornotsubmittedforclaimingafterthesixty(60)daywindowwillbedenied.This

doesnotincludeanyclaim(s)thatispartofadisputeorexceptionprocess.• QuickClaimingdoesnotrequireParticipantstoprovideanyProof-of-Performance(PoP)tosubmitclaims.However,

SellersmustknowcertaininformationregardingtheirsalesinordertodistinguishandselecttheirownqualifiedCiscosalesoutofalltheCompanyeligiblesaleslistedonlineforclaiming.

• EligiblesalesarelistedandgroupedonlinebasedontheactiveChallenge(s)againstwhichtheyhavebeenvalidatedanddeemedeligibleforearningtheassociatedRewardspoints.

• InanefforttohelpParticipantsdistinguishsalesfromoneanotherinthelistofeligiblesales,thelistwillbeavailableonlinethroughtheSellerRewards“Manageclaims”pageandwillinclude,butnotbelimitedto,thefollowingsalesorderinformation:

• WithQuickClaimingsubmissions:



o onlythosesalesthathavebeenvalidated,approved,shipped,andeligibleforRewardspointswillbelistedon

SellerRewardsforclaiming;therefore,nofurthervalidationisrequiredforclaimingfromtheParticipantsunlessotherwisestatedand/orrequested.

o RewardspointsareimmediatelyearnedbytheSellerParticipantsandissuedtotheCompanyforSeller

distribution.o onceRewardsPointshavebeenearned,issued,and/ordistributed,theycannotbereversedorremovedfrom

anyParticipants’account.3. ProofofPerformance(PoP)Claiming–IndividualClaims:ClaimsforRewardspointsusingthisPoPClaiming

methodcanbesubmittedindividuallyonSellerRewardsbytheSellerParticipantsusingthefollowingPoPClaimingmethod:

SellerParticipantsubmissions-IndividualSellerParticipantscansubmitclaimsfortheirownsalesthatmeetspecificSalesChallengerequirements.ThisPoPClaimingsubmissionsmethodrequirestheSellerParticipanttoprovidethespecificPoPasstatedintheChallengedetailsfortheireligiblesales.CiscothenreviewstheassociatedPoPsalesinformationinordertomatchagainstthepointofsalesdataandtheSellerRewardsactiveChallengerequirementstovalidatetheearningofassociatedRewardspoints.

• WithPoPClaimingsubmissions:

o theindividualSellerParticipantsmustsubmitallsalesclaimsonlineatcisco.com/go/sellerrewardswithinthethirty(30)calendardaysfollowingthelastdayoftheCiscofiscalquarterinwhichthesalesorderwasbooked.

o anyCiscosalesnotavailableorsubmittedforclaimingafterthethirty(30)dayclaimsubmissionwindowwillbedenied.Thisdoesnotincludeanyclaim(s)thatispartofadisputeorexceptionprocess.

o theSellerParticipantsisrequiredtoknowandprovidethestatedPoPinformationrequestedthroughthe

Programwebsiteinordertosubmitclaims.TherequiredPoPinformationincludes,butisnotlimitedto:

§ theauthorizedResellertoDistributorPurchaseOrderNumberforeligiblesales§ theResellertoCiscoPurchaseOrderNumberforeligiblesales§ anyotherrequiredPoPasdescribedinthespecificChallengesdetailsasfoundonthesiteatView

verified,andshipped.

o RewardsPointsareissuedonceperweek,intheweekthattheclaimhasbeenvalidatedandconfirmedforPointsissuance.Thisentireprocesscantakefromoneweektosixty(60)daystobevalidatedbasedonproductshippingdates,confirmedasearnedandpointsissuedtotheCompany.

o SellerParticipantsmaynotusethesamePoPinformationtosubmitformorethanoneclaimunlessotherwise

notedinthespecificChallenges’rulesontheSellerRewardsProgramwebsite.

• WithPoPClaimingsubmissions:

o onlythePoPforpurchasesmadewithonequalifiedEndUser(Customer)iseligibleforclaiminginthisProgram.PurchasesmadewithmultiplequalifiedEndUsersonasinglePoPareineligibleforthisProgramandwillbedenied.

o PointswillbeconfirmedasearnedandissuedtotheCompanyaccountonceanaudithasbeencompletedand

therequiredPoPhasbeencheckedforreturnedCiscoproductsorservices.ReturnswillbecheckedatthesolediscretionofCiscoorCisco’sAuthorizedDistributorandanyPointsgiveninconsiderationofthepurchaseofareturnedproductwillbedeductedfromtheParticipantsRewardsaccount.



o claimswillexpireifnomatchingPoPhasbeenfoundintheCiscodatabaseortheproducthasnotshippedaftersixty(60)calendardaysfromthedatetheclaimwassubmittedbytheSellerParticipant.ExpiredclaimscannotberesubmittedunlessresubmissionisattherequestofCiscoaspartofanauditprocess.

IntheeventthatCisco,itsvendors,ortheirrespectivesubsidiaries,oraCiscoAuthorizedDistributorattemptstocontactaParticipanttoclarifyinformationonaclaim,noticewillbesenttotheParticipantthroughemail.IftheParticipanttowhomnoticeissentfailstorespondwithinfifteen(15)calendardaysafterthedateofmailing(ortransmissioninthecaseofemail),theParticipantclaimisdisqualified,andthePointsassociatedwiththatclaimareforfeited. ACompanyParticipantcanchangetheclaimsubmissionmethodatanytimethroughthe“Managechallenges”pageontheProgramwebsite.Onceadifferentclaimingmethodhasbeenselected,regardlesstothedateinwhichitwaschanged,thenewclaimingmethodwilltakeeffectimmediately. AllclaimsubmissionsaresubjecttoverificationbyCiscoAuthorizedDistributorsandCisco,whosedecisionsastothevalidityoftheclaimsarefinal.Claimsrequiringauditingwilldosowithintwenty-one(21)calendardays,althoughinsomecasesitcantakelongerdependingonreasonfor,responsefrom,orresult(s)ofanaudit. DisputesandDeniedClaimSubmissions

Claimsreflectingspecialorpromotionalpricingareineligible,unlessotherwisenotedinChallengerules;claimssubmittedbyunqualifiedroleswillbedeniedorexpired;andclaimsnotsubmittedbythespecifiedclaimingand/orsalesdeadlineswillbedenied.Intheeventaclaimisdenied,Participantshavefourteen(14)calendardaystoappealthedenial.AppealsshallbeacknowledgedbyopeningacasewithCiscoSellerRewardsSupport,orasdirectedbyaSellerRewardsSupportteammember.Appealsmadeafterthefourteen(14)calendardayshaveelapsedwillnotbeconsidered.Whenexceptionshandlingordisputeresolutionisrequired,theSellerRewardsSupportteamwillinstructParticipantsastothenecessarynextsteps.ThismayrequiretheParticipantstosubmitcopiesoftheAuthorizedDistributororCiscoproofofperformanceand/ortheCompany’sresaleinvoices.Participantsshouldkeepacopyofthesubmitteddocumentsfortheirrecords.AlldocumentssubmittedbecomethepropertyofCiscoandwillnotbereturned.Invoiceswillonlybeacceptedbyemailandmustbeaddressedto“SellerRewardsClaimsVerification.”TheclaimsportionofanexceptionshandlingordisputeresolutionprocessmustbesubmittedthroughaninquiryonlineatSellerRewardssupport,orbyemailingtheSellerRewardsteamdirectlyatsellerrewardssupport@external.cisco.com.Maileddocumentswillnotbeaccepted,andanydocumentationmailedwillnotbeprocessedorreturned.Cisco,itsvendors,andtheirrespectivesubsidiaries,andCiscoAuthorizedDistributorsarenotresponsibleforlost,late,incomplete,invalid,illegible,fraudulent,ormisdirectedsubmissionsorclaimdocumentationorinformation;forfailed,partial,orgarbledcomputertransmissions;orfortechnicalfailuresofanykind,includingbutnotlimitedtoelectronicmalfunctioningofanynetwork,hardware,software,electronic,orhumanerrorthatmayoccurinthetransmissionofanyinformationrelatedtothisProgramorintheprocessingofclaims.Participationislimitedtoone(1)accountperindividualParticipant(regardlessofthenumberofCCOIDsanindividualParticipantmayhaveoruse).SpecificrulesfortheclaimingprocessesareoutlinedontheSellerRewardsProgramwebsiteatcisco.com/go/sellerrewardsforeachrespectiveChallenge.OnlyclaimsmadeforactivitiesafterParticipantsenrollmentintheProgramarevalid.



SellerRewardsPointsmayonlybeearnedforthequalified,registeredjobroleswhohavesubmittedeligibleclaims.SellerRewardsPointswillonlybeissuedtoCompanyatacumulative,Company-widelevelforthetotalperformanceoftheirCompany.ValidSalesChallengesincludingeligibility,duration,dates,andclaimspecifics,willbelistedonlinethroughtheProgramwebsiteatcisco.com/go/sellerrewards.EarningandIssuingRewardPointsAkeybenefitoftheSellerRewardsProgramisthatSellerParticipantscanearnRewardspoints,duringaqualifyingChallengeperiodforsellingCiscoproducts,andsolutionsandthenhavingtheclaimssubmittedfortheeligiblesales.Eligibleproducts,andsolutionscanchangequarterlyandcancoveranyandallCiscoarchitectures.OtherofferpromotionsandRewardsmaybeavailableforitemssuchasregisteringdeals,softwareactivations,andothers.SomeChallengesmayrequirespecificqualifications,suchasCompanyorindividualcertificationorspecialization.Ifspecificqualificationrequirementsmustbemet,thedatethattheParticipantmeetsthequalification,asrecordedbyCisco,willbethedateonwhichthatParticipantiseligibletoparticipateandreceiveRewardsPointsforthatchallenge.ShouldaParticipantceasetomeettherequiredchallengequalification,thenthedatethattheParticipantceasestomeetthequalification,asrecordedbyCisco,isthedatethattheParticipantwillbecomeineligibleforthatchallenge’sparticipationandRewardsPoints.IfaCompanyqualificationchanges,theassociatedParticipants’eligibilitywillalsochange,ifbasedontheCompanyqualifications.AllSalesChallengespublicizedundertheSellerRewardsProgramthroughtheProgramwebsiteatcisco.com/go/sellerrewardsmayhaveadditionalrules.AnyadditionalruleswillbeoutlinedwithineachofthespecifictermsandconditionforthatChallenge.Referenceadditionalinformationonthe“Viewchallenges”page.WhileSellerParticipantscanclaimandearnRewardsPointsformeetingChallengerequirements,allpointsclaimedand/orearnedbytheSellerParticipantisautomaticallyissuedtotheirCompanyonbehalfoftheSeller.IssuedPointsthenbecomethesolepropertyoftheCompanywiththesoleintentofdistributingthepointstotheirSellersasdeterminedbythatCompany.CiscoassumesnoresponsibilityforthedistributionofthepointstotheSeller.ItisarequirementthatallPointsearnedbySellerParticipants,whetherclaimedbySellerorCompanyParticipants,beissuedtotheCompanyaccount.Note:ThereisamaximumamountofRewardspointsthatcanbeearnedbyaSellerorissuedtoaCompany,referencethe“RewardsPointsCaps”sectionbelowformoreandcompletedetails.

DistributingRewardsPoints

AllRewardsPointsearnedbySellerParticipantsandissuedtotheCompanymustbemanagedanddistributedtoSellersbyaCompanyParticipantfoundonthe“Distributepoints”pagethroughtheProgramwebsite.ACompanyParticipantmustdistributeallitsCompanyissuedPointstoitsSellerParticipantsforredemptionpurposes.PointsmustbedistributedtoSellersnolaterthansixty(60)daysafterthelastdayoftheeligiblequarterforwhichthePointswereearnedandissuedtotheCompany.CompanyParticipantscanonlydistributetheamountofpointsavailablethroughthe“Distributepoints”pageonSellerRewards.TheamountofpointsdistributedtothoseSellersenrolledintheProgramcannotexceedtheCompany“TotalAvailablePoints”atthetimeofthedistribution.However,pointsissuedtotheCompany,thathavenotbeendistributedtoitsSellerParticipantswithinthesixty(60)dayperiodallottedwillbeforfeited.Exceptionswillnotbeconsidered.Therearetwo(2)methodsbywhichaCompanyParticipantcandistributeRewardsPointstoSellerParticipantsonlinethroughtheProgramwebsite:

1.AutomaticDistributionofpoints(defaultmethod)–AutomaticdistributionallowsaCompanytohavePointsautomaticallydistributedfromtheirCompanyaccountdirectlyintotheirSellerParticipantsaccountsexactlyasthePointswereclaimedandearnedfromtheclaimsubmissions.



WithAutomaticDistributionofPoints,

• SellerParticipantscansubmittheirownclaims(usingeithertheQuickorPoPClaimingmethods)throughtheSellers’“Manageclaims”pageontheProgramwebsite.

• CompanyParticipantscansubmitclaims(usingtheQuickClaimingmethod)onbehalfofSellersthroughtheLeaders’

“Manageclaims”pageontheProgramwebsite.• AsPointsareclaimedbyParticipants,theywillautomaticallybeissuedanddepositedintotheCompanyaccounts,and

theninstantlydistributedintotheSellerParticipantsaccountsexactlyasearnedandclaimed.• UponProgramenrollmentbytheCompany,this“AutomaticDistribution”methodisthepre-selected,defaultmethodfor

distributingPoints.ItcanonlybechangedbyaCompanyParticipantthroughthe“Managechallenges”pageontheProgramwebsite.

2.ManualDistributionofpoints–manualdistributionrequiresthattheCompanyParticipantmanuallydistributeissuedPointsfromtheCompanyaccountintotheirSellerParticipantsaccountsinanymanneroramounttheywish.

• TheamountofRewardsPointsactuallydistributedbytheCompanytoanindividualSellerParticipantcandifferfromtheamountofpointsstatedperindividualParticipantintheChallenges’termsandconditions

• IfaSellerParticipantbelievesthatheorshehasbeendistributedPointsbytheirCompanyincorrectly,unfairly,orcontrary

tothestatedamountofRewardsPointsintheChallengetermsandconditions,theyshouldcontacttheirCompanyParticipant(SellerRewardsLeader).

• ItisthesolediscretionanddecisionoftheCompanyastowhompointsaredistributedandtheamountofpoints

distributed• CiscowillnotbeheldresponsibleoraccountablefortheamountofRewardsPointsultimatelydistributedtoSeller

ParticipantsbytheirCompanyParticipantusingtheManualdistributionmethod.CiscowillnotbeheldresponsibleinanymannerforwhichParticipantsultimatelyreceivethemanuallydistributedPointsbytheirCompany.

• CiscowillonlypayoutorissuetheRewardsamountstatedtobeearnedintheChallenges’termsandconditionsfoundon

the“Viewchallenges”pageontheProgramwebsite.• AllSellerRewardsPointsearnedbySellerParticipantsandissuedtotheCompanymustbedistributedbytheCompanyto

Sellersnomorethansixty(60)daysafterthelastdayoftheeligiblequarterforwhichthePointswereissuedtotheCompany,ortheywillautomaticallybeexpiredandnolongeravailablefordistribution.

• AllSellerRewardsPointsissuedtotheCompanythathavenotbeendistributedtoitsSellerswithinthesixty(60)daysthat

followthelastdayoftheeligiblequarterforwhichtheywereissuedwillautomaticallyexpireandnolongeravailablefordistribution.

TheCompanyissolelyandindependentlyresponsibleformanagingandselectingthemethodbywhichPointswillbedistributedtoitsSellers.

TheCompanycanchangethedistributionmethodatanytimeonthe“Managechallenges”pageontheProgramwebsite.Onceadifferentdistributionmethodhasbeenselected,regardlessastothedateinwhichitwaschanged,thenewmethodwilltakeeffectimmediately.



RedeemingRewardPoints

ParticipantsmayredeemdistributedRewardsPointsforanyitemfeaturedontheirProgram’swebsiteRewardsMarketplaceatthetimeofredemption.RewardPointsvaluesrequiredforredemptionofspecificMarketplaceitemsaresubjecttochangeatthesolediscretionofCiscoand/oritsvendororsupplier.Inaddition,thefollowingpertaintoRewardsredemptions:

• MarketplaceitemleadtimesvaryandarenotedontheSellerRewardsProgramwebsite.• MarketplaceitemshipmentscanonlybemadetotheParticipantscountryofregistrationasindicatedintheir

Programprofiles.• Ciscowillnotbeheldresponsibleforanyissuesorconcernsregardingmerchandise,experientialactivities,orother

usesoftheprepaiddebitorgiftcards.• RefertoExhibitA–MarketplaceItems,PrepaidCardsandTravelandExperientialRewardsforadditionalinformation

ontheseprizes.• RewardPointsearnedstartingontheeffectivedatewillexpireonlyasnotedinthe“DistributingRewardPoints”

Serviceportal(PSS),ParticipantswillnotbeeligibletocompeteinanyChallenges,submitsalesclaimsonpastorcurrentChallenges,andanysalesoractivitiesduringthisperiodarenoteligibletoearnanyRewardsPointsorTickets.

o OnceorifaParticipantisemployedwithanothereligibleCiscoPartnerorDistributorCompanythroughthe

PartnerSelfServiceportal(PSS),aslongastheCompanyissuccessfullyenrolledintheProgram,theParticipantcanenrollagaintoparticipateintheProgramundertheirnewemployer;however,theParticipantwillnotbeentitledtoRewardsorTicketsearnedduringParticipant’semploymentwithhisorherprioremployerandwillnotbeabletosubmitsalesclaimsonpastorcurrentChallengesheorsheparticipatedinwhileemployedbyhisorherprioremployer.

• Challenge/BudgetCaps

A“perChallenge(orgroupofChallenges)”pointspayoutcap,perquartermayalsoapply.OnceaChallengehasreacheditsbudgetpayoutcapacity,CiscoreservestherighttoterminateallpointearningsandissuancestotheCompanyanditsSellersaccordingly.If/oroncethedesignatedamountofbudgetfundsforaChallengehasbeenexhausted,nootherpointscanbeearned,orwillbeissuedagainsttheChallengetotheCompanyoritsSellersfortheremainderofthequarterperiod.



If/oronceapointspayoutcaphasbeennotedforaspecificChallenge,thecapamount,captargetaudience,andcapperiodcanbefoundinthespecificChallengetermsandconditionsthroughtheViewchallenges”pageontheProgramwebsite.If/oroncethespecificChallengecapamount,captargetaudience,and/orcapperiodhasbeenissued,CiscoreservestherighttoterminateallpointissuancesagainstthatChallengeandnootherpointscanbeearnedorwillbeissuedfortheremainderofthequarterperiod.

Oncetheabove-mentionedCapshavereachedfundingcapacityinanygivenquarter,foranyreason,andaneligibleorderissubsequentlysubmittedforclaiming,thesubmittedclaimwillbeprocessedasan“Approved”orderordeal,butpointswillnotbeavailabletobeissued.AnySellerbasedcapsforpointsearnedbySellerand/orCompanyParticipantsthroughtheQuickorPoPclaimsubmissionsmethodwithAutomaticDistributionofpointswillbemanagedandcalculatedattheperSellerindividuallevel.SellercapsforpointsclaimedbyCompanyParticipantsthroughtheQuickClaiming“bulk”submissionswithManualDistributionofpointswillbemanagedandcalculatedbasedonthetotalnumberofCompanyenrolledSellersandregionalperSellerProgramcapamountsasillustratedabove.PointcapdetailscanbefoundinthespecificChallenges’generaltermsandconditionsthroughtheProgramwebsiteonthe“Viewchallenges”page.AnotificationinformingtheindividualParticipantsoftheutilizationstatusofanyactiveChallengescapswillbepostedonthe“AlertsandAnnouncements”sectionoftheProgramwebsite,andontheParticipants“Dashboard”.Inaddition,autilizationbargraphingeachapplicablepointspayoutcapamountwillbeprovidedthroughtheProgramwebsiteParticipant’s“Dashboard”.TheutilizationbarwillmonitoranddisplaythepercentageofRewardspointsusedand/orstillavailablepercapinstance.

RewardsPointsExpiration

SellerPointExpirations

AllParticipantsmustremainemployedatCompany,haveaCiscoID(CCOID)thatisassociatedwithsameCompany,andsuccessfullyenrolledthroughPPE/PSSandonboardedintheSellerRewardsProgramtocontinuetoparticipateintheProgram.AllPointsdistributedtoaSellerParticipantthathavenotbeenredeemedatanytimewithinafiscalyear(FY),aswellasanyoutstandingbalancesofunredeemedPointsissuedinearlierperiodswillexpireattheendofthefirstquarterofthesecondCiscofiscalyearfollowingtheCiscofiscalyearinwhichtheywereearned.*Example:ASellerParticipantwhoisdistributed100,000RewardsPointsinCiscoFY1mustutilize(redeemthroughtheSellerRewardsMarketplace)atotalof100,000RewardsPointsbythelastdayofthefirstquarterofFY3orCiscowillexpirethebalanceofthetotalRewardsPointsfromFY1thatwerenotredeemed.AllRewardsPointswillbecountedasredeemedonafirstin,firstoutbasis.

AlloutstandingPointsand/orTicketswillexpireforParticipantswhoseaccounthasbeeninactive(noRewardsPointsorTicketsissuedtoorredeemedbyCompanyorSellerParticipants)fortwenty-four(24)cumulativemonthsandtheirrespectiveaccountmaybeclosedbyCisco,andadditionalmonthswillnotbeallowedtoutilizeanypreviouslyoutstandingRewardsPointsorTickets.InactiveParticipantswillbenotifiedinadvanceofRewardsexpirationand/oraccountdeactivation.Rewardearnings,distributionandredemptionactivitywillbetrackedwithintheSellerRewardsProgramwebsiteatcisco.com/go/sellerrewards.ParticipationthatdoesnotresultinPointsand/orTicketsissuances,distributionsorredemptionsisnotconsideredRewardsactivity.*“Inactive”isdefinedasanaccountthathasneitherearned,distributed,received,orredeemedanySellerRewards(PointsandTickets).



CompanyPointExpirationsCompanyParticipantsmustremainemployedatCompany,haveaCiscoID(CCOID)thatisassociatedwithsameCompany,andsuccessfullyenrolledandregisteredinSellerRewardsinordertocontinueparticipationintheProgram.AllRewardsPointsearnedbytheSellerParticipantsandissuedtotheCompanyaccountatanytimewithinaquarterperiodthathasnotbeendistributedtoaSellerParticipant(s)withinthesixty(60)daysfollowingtheendoftheeligiblequarterforwhichtheRewardsPointswereearnedbytheSellerParticipantwillbeexpiredandnolongereligiblefordistribution.ACompanyParticipantmustdistributeRewardsPointstoSellerParticipantsassociatedwiththeirCompanyduringthisperiod,orCiscowillexpirethebalanceofthetotalRewardsPointsfromthespecificCiscofiscalquarterthatwasunused.AllPointswillbemeasuredasdistributedonafirstin,firstoutbasis.PointsdistributedtoSellerParticipants(orredeemedbyCompanyonbehalfofSellers)priortothisdatewillnotexpire.ThisexpirationisspecifictoCompanyaccountsanddoesnotapplytoindividualSellerParticipants.CompanyParticipantsandSellersParticipantscanviewactivitybydatewithintheirrespectiveaccountsontheProgramwebsite.ParticipantsmaynotbenotifiedpriortoPointsexpirationasitisatCisco’sdiscretion.

ProgramChallengesRewardTickets

EarningandRedeemingRewardTicketsSellerParticipantsintheSellerRewardsProgramcanearnandreceiveRewardsTicketswhentheysuccessfullyperformeligibleChallengesonorexternaltotheProgram’ssite.EligibleChallengesincludebutarenotlimitedtosuchactivitiesascompletingCiscotrainingsandeducation,reachingcertainbookingsamounts,meetingcertainCiscoarchitecturegoals,submittingasurvey,achievingtopsellerperformances,completinganactivationandmore.TicketsthatareearnedandreceivedbySellersarearesultofSellerscompletingChallengesthathavebeencreatedbyeitherCiscoorCompanyParticipantsthroughtheProgramwebsiteatcisco.com/go/sellerrewards.Theseticketshavenomonetaryvalueandcannotberedeemedforanyitemsequatingtoamonetaryvalue.ACompanyearnsRewardsTicketsquarterlybasedonthenumberofpersonstheyhaveenrolledintheSellerRewardsProgramatthestartofeachquarter.CompanyParticipantscanutilizetheirearnedTicketsonlyasRewardsfortheirSellerParticipantssuccessfullycompletingActivityChallengescreatedandassignedtoSellersbytheCompany.SellersredeemtheirearnedRewardsTicketsforentriesintoregularlygeneratedcontestdrawingsforchancestowinPrizessuchasgiftcards,merchandise,orexperiencesasindicatedandfeaturedintheSellerRewardsProgramwebsite.Prizesmaydifferaccordingtocountry,availability,andlegalrequirements.EachPrizeentryrequiresacertainnumberofTicketsthatcanbeexchangedformorethanoneentryperitem,unlessotherwisestated.ForPrizesthatallowmultipleentriesperParticipant,themoreTicketsredeemedforentriesperPrize,themorechancesthereistowinthatPrize.ForPrizesthatonlyallowoneentryperIndividualParticipant,thereisanequalchancetowinthatPrizeforallParticipantswithanentry.ThePrizeswhichcanbedistributedcanvary.EntriesmustbereceivedduringeachcontestPeriod(permonth,quarterorperiodasindicatedonwebsiteandmarketingcommunications).IntheeventofadisputeastotheidentityofaParticipant,theidentitywillbedeemedtobethepersonwho:

Onlycompleteandvalidentrieswillbeaccepted.CiscowillverifyreceiptofentriesthroughtheProgram’swebsite.ParticipantsmustprovideallinformationrequestedtobeeligibletowinaPrize.Ciscoreservestherighttodisqualifyfalseentriesorentriessuspectedofbeingfalse.Incomplete,unreadable,orunintelligibleentrieswillbedisqualified.AllentriessubmittedbecomethesolepropertyofCiscoandwillnotbeacknowledgedorreturned.

TaxRulesforCompanyandSellerParticipants

ThefollowingsectionprovidesthetaxrulesforboththeindividualSellerandCompanyParticipants.LiabilityfortaxationorsocialchargesisthesoleresponsibilityoftheCompany,andCiscogivesnowarrantyoracceptsanyresponsibilityastothetaxationtreatmentoftheProgram,includingwithoutlimitation,theaccumulationofRewardsPoints.SellerParticipantsTaxRulesSellerParticipantsmustacknowledgethatPointredemptions,aswellasanyTicketPrizesmaybetreatedastaxableincome.Thepointsredeemedmayalsobeconsidereddirectcompensationforthepurposesoftaxation,nationalinsurance,orsocialsecuritycontributions(orequivalenttaxesorsocialchargesapplicableunderlocallaw).SinceallSellerParticipantRewardsareissuedtotheCompanyandthendistributedtotheSellersbytheCompanyastheCompanydetermines,SellerParticipantsarenotrequiredtosubmitanytaxidentificationinformationtogainaccesstotheplatformorparticipateintheSellerRewardsProgram.CiscoisnotrequiredtoreportanytaxinformationtotheSellerParticipants.AnytaxinformationrequiredbylocaltaxagenciesforparticipatingintheProgramisthesoleresponsibilityoftheCompanyandSellerParticipants,andnotthatoftheSellerRewardsProgram,itsteammembers,orwebsite(s).CompanyParticipantsTaxRulesTheCompanymustpayallapplicableincometaxes,eveniftheCompanyhasrequiredthattheSellerParticipantstransferownershipofthemoneytotheCompany.TheCompanyissolelyresponsibleforanyfederal,state,provincialtaxes,socialsecurity,nationalinsurancecontributions,socialchargeorothertaxesthatmaybeimposedasaresultofredeemingPointsorTicketsthatresultintheSellerParticipantswinningprizesundertheSellerRewardsProgram.TheCompanywillindemnifyCiscoforanytaxes(whetherdirect,indirect,orotherwise)thatCiscobecomesliableforasaresultoftheSellerParticipantsbeingprovidedwithPointsfortheredemptionofitemsand/orTicketsthatresultinprizespursuanttothisProgram.TheCompanyagreesthattheyareobligedunderapplicablelocallawstoreporttotheSellerParticipants’localtaxauthoritiesand/orsocialchargeorcontributionsagency(oranalogousauthority),informationrelatingtotheirparticipationintheProgram,includingwithoutlimitation,thevalueofRewardsPointsaccumulated.TheCompanyagreesthatCiscoisnotobligedunderapplicablelocallawstoreporttotheSellerParticipants’localtaxauthoritiesand/orsocialchargeorcontributionsagency(oranalogousauthority),informationrelatingtotheirparticipationintheProgram,includingwithoutlimitation,thevalueofRewardsPointsaccumulated.IfaSellerParticipantleavestheemploymentofthePartnerCompany,SellerParticipantmustupdatetheirpersonalinformationinPartnerSelfService(PSS)atcisco.com/go/pss.IfParticipantisunabletoaccessPSS,theycannotifyCiscoCustomerServiceCentralbyopeningacase.TheCompanyParticipantisalsoresponsiblefordisassociatingtheSellerParticipantfromthePartnerCompanyinPSSassoonaspossiblefollowingtheterminationdatetoeliminatethepossibilityoftheterminatedSellerParticipantmakingsubsequentclaimsintheprogram.

GeneralProgramTerms

• TheCompany’sportionoftheSellerRewardsProgramisavailabletomultiplePartnerAdministratorrolesasdesignatedbythePartnerandDistributorCompany.



• ByparticipatingintheProgram,individualSellerParticipantsandCompanyParticipantswarrantthat(a)theyare

eligibletoparticipateundertheircountry’sRelevantLaws,includingthosegoverningprizesandawardsand(b)participationin,andperformanceofactivitiesundertheProgramareconsistentwiththepoliciesoftheCompanyforwhichtheindividualandCompanyParticipantswork.

• CiscoreservestherighttodisqualifyanyParticipant(individualand/orCompany)andexpireallassociatedRewardsif

CiscodeterminesthatParticipant’sparticipationintheChallenges,receiptofaReward,ortheProgramitselfviolatesanyRelevantLaw.

• CiscoreservestherighttodisqualifyanyParticipant(individualand/orCompany)andexpireallassociatedRewardsif

CiscodeterminesthatParticipant’sparticipationintheProgram,orreceiptofaReward,isinviolationoftheserulesorthetermsofanyChallenge,oriftheParticipantisruledtobeineligible.

• Likewise,Ciscoreservestheright(a)todisqualifyandexpireallassociatedRewardsofanyParticipant(individual

and/orCompany)thatCiscosuspectsoffraudorotherunlawfulconductinobtainingRewardsor(b)todisqualifyandexpireallassociatedRewardsofanyParticipantwhoCiscobelieveshaspurchasedproductsinviolationofCisco’sDistributionChannelPoliciesorCisco’sDirectChannelPolicies(whicheverisrelevant).Ataminimum,theParticipant’saccountwillbefrozenduringthereviewperiodandnoactivitywillbeallowedtotransactagainstit.

• CiscoreservestherighttodiscontinuetheProgramatanytime.Shouldthisoccur,Participantswillthenhaveninety

(90)calendardaystoutilizeanyoftheiroutstandingRewards,afterwhichtimeallremainingRewardswillbeexpiredandtheirmembershipwillcease.

• ByparticipatinginthisSellerRewardsProgram,ParticipantsagreetoreleaseandholdharmlessCisco,thevendors

thatmanagethisProgram,andeachoftheirrespectivesubsidiaries,divisions,relatedcompanies,andtheirrespectiveofficers,directors,employees,andagentsfromandagainstanyandallclaimsorcausesofactionarisingoutofparticipationintheProgram.ParticipantsfurthergrantCiscoanditsagentsandassigneesfullpermissionandauthoritytouse,publish,anddisplayParticipantname,voice,andphotographorotherlikeness,aswellasidentifyinginformationsuchasthenameofParticipantemployer,foradvertisingorotherrelatedpurposesinanymediawithoutadditionalcompensation(optionalforresidentsofTennessee).

• ParticipantsfurtheracknowledgeandagreethatCiscomaypostinformationonaleaderboard,newsfeed,orother

methodtoshowstatus(foundatcisco.com/go/sellerrewardsoranotherCiscopasswordprotectedwebsite)relatingtoParticipant’sparticipationinvariousactivitiesthatfallunder

• Theinformationmayinclude,butisnotlimitedto,Partner’snameandterritory;thefactofPartner’sparticipation;

specifictaskscompleted;and/orPartner’srankingascomparedtootherpartnersparticipating.• RankingscanincludenumberssuchasSellersCiscosalesrankandPartnerorDistributorCiscosalesrank.Regardless

ofwhetherthisinformationcouldbeconstruedascompetitiveinformation,andnotwithstandinganythingtothecontraryinanyotheragreementbetweenPartner,DistributorandCisco,ParticipantacknowledgesandagreesthatCiscomaypostsuchinformation.

• PartnerandDistributoracknowledgesandagreesthatitshallbesolelyresponsibleforensuringthatitsemployees

grantCiscoanditsagentsandassigneesfullpermissionandauthoritytouse,publish,anddisplaysuchinformation,plusemployees’names,voices,andphotographsorotherlikenesses,aswellasidentifyinginformationsuchasthenamesofParticipants’employers,foradvertisingorotherrelatedpurposesinanymediawithoutadditionalcompensationunlessprohibitedbylaw.

• Anyandalldisputes,claims,andcausesofactionwithCiscoarisingoutoforconnectedwiththisProgram,otherthan

determinationorvalidityofclaims,shallberesolvedindividually,andexclusivelybyarbitrationundertheCommercialDisputeResolutionProcedures(January1999)oftheAmericanArbitrationAssociationinSanFrancisco,California,UnitedStates,orunderthedisputeresolutionprovisionofPartner’sresaleagreement,asapplicable.

• Anyandallclaims,judgments,andawardsshallbelimitedtoactualout-of-pocketcostsincurred,includingcosts

associatedwithparticipatinginthisProgram,butinnoeventattorneys’fees.Participantsherebywaiveallrightsto(i)claimorbeawardedanypunitive,direct,indirect,incidental,andconsequentialdamagesandanyotherdamages,



otherthanforactualout-of-pocketexpenses,and(ii)tohavedamagesmultipliedorotherwiseincreased.• Ciscoreservestheright,atitssolediscretion,tocancelorsuspendtheProgramandtheProgrammembersiteshould

viruses,bugs,unauthorizedhumanintervention,orothercausesbeyondthecontrolofCisco,intheCompany’ssoleopinion,corrupttheadministration,security,fairness,integrity,orproperoperationoftheProgramortheProgrammembersite.Intheeventofcancellation,CiscomayrequireParticipantstoredeemalltransferredPointswithinninety(90)calendardaysofcancellationorsuspension.

• Allissuesandquestionsconcerningtheconstruction,validity,interpretation,andenforceabilityoftheseProgram

Rulesshallbegovernedby,andconstruedinaccordancewith,thelawsspecifiedasthegoverninglawsinPartner’sresaleagreementwithCisco(i.e.IndirectChannelPartnerAgreement,SystemsIntegratorAgreement,orsimilar).IntheUnitedStates,theforegoingmeansthelawsoftheStateofCalifornia.

• CiscoreservestherighttocancelormodifythisProgramatitsdiscretion.AnymodificationoftheseProgramRules

shallbecommunicatedtotheParticipantsbyregularmail,email,orbypostingontheSellerRewardswebsiteatcisco.com/go/sellerrewards.ChecktheseProgramRulesfrequently,asCiscomayfromtimetotimeunilaterallyamendtherulesbypostingrevisedlanguageonthewebsite.Themostup-to-dateversionoftheseruleswillalwaysbeavailableforreviewonthewebsite.Amendmentswillbecomeeffectiveatthetimetheyarepostedonthewebsite.Continueduseofthewebsiteafteramendmentsarepostedwillconstituteacceptanceofsuchamendments.

• Thesubmissionoffalse,incomplete,ormisleadingclaimsinconnectionwiththeProgrammayconstitutemailorwire

fraud,whicharefederalcriminaloffenses,andmayviolateregional/statelawsaswell.• EachindividualSellerParticipantandeachCompanyParticipant,throughitsauthorizedrepresentative,verifiestothe

following:Either:• Theowner(s),principals,directors,officers,andemployeesofCompanyParticipant’sbusiness

(“Owners/Management”)arenotgovernmentofficialsoremployees(atanylevelofgovernment);or• If,duringthetermoftheProgram,oneormoreoftheowners/managementisorbecomesanofficial,officeror

representativeofanygovernment,politicalpartyorcandidateforpoliticalofficeoutsidetheUnitedStatesandisresponsibleforadecisionregardingobtainingorretainingbusinessforCiscoproductsorservicesbysuchgovernmentorgovernmentalentity,CompanyParticipantwillnotifyCiscoinwriting;

• Theowners/managementofCompanyParticipantarenotemployeesofCisco(includinganyofitsaffiliated

companies).

o NeitherCompanyParticipant,ortheowners/managementofCompanyParticipant,havebeenformallychargedwith,convictedof,orpleadguiltyto,anyoffenseinvolvingfraudorcorruption.

o NeitherCompanyParticipant,ortheowners/managementofCompanyParticipant,havebeenlistedbyanygovernmentorpublicagency(suchastheUnitedNationsorWorldBank)asdebarred,suspended,orproposedforsuspensionordebarmentorotherwiseineligibleforgovernmentprocurementprograms.

o NeitherCompanyParticipant,ortheowners/managementofCompanyParticipant,haveofferedto

pay,orhasCompanyParticipantpaidanypoliticalcontributionstoanypersonorentityonbehalfofCisco.

o TheywillpromptlyinformCiscoifanyportionofthestatementsinthissectionchanges(e.g.,anowner

ofCompanyParticipant’sbusinessbecomesagovernmentofficial).



ExhibitA–MarketplaceRedemptionItems

MarketplaceItemsCiscowillacceptreturnsforanymerchandiseawarditemprovideditisreturnedwithinthirty(30)daysofreceipt,andCiscowillfullyrefundthevalueoftheaward.Wewillalsopayforthereturnshippingforanyreturnsduetodamage,defect,ororderprocessingerror.Ciscoregretsthatitcan’tacceptreturnsformajorappliances,eventtickets,travelawards,vouchers,specialorders,orawardsdeliveredelectronically(downloaded)suchase-books,music,movies,andsoftware.Prices,descriptions,andavailabilityofawardsaresubjecttochangewithoutnotice.

PrepaidCardsIfaprepaiddebitcardorgiftcardisavailableinagivencountry,thecardwillbeachoiceintheProgramwebsiteMarketplaceatthetimeofredemption.FortheUnitedStatesandCanada,reloadableprepaiddebitcardsareonlyavailabletoIndividualParticipantsandcanonlybeissuedintheIndividualParticipant’sname.IfanIndividualParticipantchoosesareloadabledebitcard,whereavailable,onlyoneprepaidcardwillbeissuedtoeachIndividualParticipant.Areplacementdebitcardcanbeissuedforafeeuponlossoftheplasticcard.IndividualParticipantscanviewtheirprepaidcardaccountsonlinetoseetheirremainingbalances.Theprepaidcardcannotbeusedifthereisnolongerapositivebalanceintheprepaidcardaccount.IndividualParticipantsmustaccrueaminimumthresholdofPointsinordertoredeemforareloadableprepaidcard.ChangestothesevaluesandincrementsareatthesolediscretionofCisco.MinimumvalueofapprovedPointsinordertoredeemareloadableprepaidcardandrespectiveincrementisoutlinedintherespectiveProgramwebsiteRewardsMarketplace.PrepaidcardsmaynotbeusedtowithdrawcashfromanATM,subjecttothetermsandconditionsofthecardissuer.Prepaidcardsmayincludetheirowntermsandconditionsofuse,whichwillbesenttoIndividualParticipantalongwiththeprepaidcard.Ciscowillnotbeheldresponsibleforanyproblemsregardingmerchandise,trips,orotherusesoftheprepaidcard.Typically,Rewardscardsareissuedinconnectionwithaloyalty,award,orpromotionalprograms.ExperiencesMarketplaceExperiencesMarketplacetermsandconditionsareprovidedintheHelpCenteronthebottomofeachpageintheExperiencesMarketplace.Specificexperiencedetailislocatedintheexperiencedescription.AnyquestionsParticipantsmayhavepriortoredemptioncanbeansweredbyemailingtheSellerRewardsCustomerServiceTeambyusingtheContactUslinkatthebottomofanypagewithintheExperiencesMarketplace.UnlessotherwisespecifiedintheExperiencepackagetermsandconditions,anyarrangementsthatarenotarrangedandpre-paidbyCiscoarethesoleresponsibilityoftheParticipantincluding,withoutlimitation,spendingmoney,mealsthatarenotpartofthepre-paiditinerary,taxes,insurance,passports,visas,vaccinations,additionaltransfers,itemsofapersonalnature,in-roomcharges,sight-seeingandotherentertainmentcostsandallotherancillarycosts.AconditionofparticipatinginanyexperientialeventisthatallParticipantsconsenttoparticipateintheexperienceattheparticipatingperson’sfreewillandrisk.TheparticipatingpersonmustexpresslywaiveanyresponsibilityorliabilityonthepartofCiscoforanyaccidents,personalinjury,damagetoorlossofanypersonalpropertyandindemnifyCiscoagainstanyclaimsbythirdpartiesunderorinconnectionwiththeexperientialRewards.CiscomayrequiretheparticipatingpersontosignawaiverbeforeembarkingontheexperientialRewardsandmaywithdraworcanceltheRewardsintheeventthataparticipatingpersondoesnotsignsuchwaiver.
