Utvikling
Simplified illustration of 2 main models
•Dagens eier har utarbeidet et detaljregulerings-forslag for Sørumsand Nærings-park som er inne til offentlig behandling.
•Planforslaget inkluderer det eksisterende næringsområdet, ett tilleggsområde, samt et boligområde mellom næringsparken og Industrivegen.
•I forslaget legges det til rette for videre utvikling av det eksiterende nærings-området med en utnyttelse (BYA) på 60%, eks. parkering.
•Konkret foreslås utvikling av et næringsbygg inne på området, anvist på bildene til høyre. Se for øvrig illustrasjonsplan på neste side og hele planen med bestemmelser i bilag x.
•Forslaget er forventes ferdig behandlet i løpet av sommeren 2013.

1 Budgivning
Følgende forutsetninger legges til grunn ved bud:
Eiendommen og dens tilbehør selges ”som det /den er” as is, jfr. Avhendingslovens § 3-9. Ved eventuell mangelsvurdering skal de alminnelige kjøpsrettlige prinsippene i Avhendingsloven § 3-9 og kjøpslovens §19 legges til grunn, dog slik at disse prinsippene fravikes slik at det kun kan gjøres gjeldende at det foreligger en mangel i følgende tilfeller:
•Dersom selger ikke oppfyller sin opplysningsplikt, jf. reguleringen Avhendingsloven § 3 - 7 og Kjøpsloven § 19 litra b).
•Dersom selger har gitt uriktige opplysninger, jf reguleringen i Avhendingsloven § 3 – 8 og Kjøpsloven § 19 litra a).
•Dersom selger ikke oppfyller sine konkrete forpliktelser under denne kontrakt.
Risikoen for eventuelle skjulte feil m.v. som angitt i Avhendingsloven § 3 – 9 siste
punktum og Kjøpsloven § 19 litra c), tilligger etter dette kjøper.
For så vidt gjelder rapporter fra tredjemenn som gjelder Eiendommen (tekniske
rapporter, grunnanalyser, takster etc.), og som er vedlagt denne kontrakt og/eller
fremlagt av Selger i forbindelse med transaksjonen, så har Selger opplyst at Selger ikke
er kjent med ufullstendigheter eller feil i dokumentene. Skulle dokumentene likevel vise
seg å være ufullstendige eller inneholde feil, så fravikes prinsippene i avhendingsloven
§ 3-7 og § 3-8 og kjøpsloven § 19 bokstav a) og b), slik at Selger bare svarer for
eventuelle feil som Selger selv likevel var kjent med.
Eventuelle uriktige angivelser av Eiendommenes arealer (utvendige og innvendige) skal
ikke under noen omstendighet kunne gi Kjøper grunnlag for mangelskrav.
For øvrig henvises til vedlagte utkast til kjøpekontrakt.

1 Salgsprosessen og forutsetninger
Eiendommene selges i henhold til informasjonsmemorandum med alle vedlegg, dog uansett med følgende forbehold og forutsetninger fra selgers og meglers side. Salget baseres på ordlyden i vedlagte kjøpekontrakt. Med mindre budgiver tar spesifikke forbehold knyttet til kontrakten anses budet gitt på grunnlag av kontraktsvilkårene.
Bud på eiendommen skal inngis skriftlig til megler; DTZ Realkapital Eiendomsmegling AS. Selger står fritt til å akseptere og forkaste ethvert bud.
Forutsetninger må fremkomme av budets ordlyd. Referanse på finansiering må oppgis dersom det ikke eksplisitt er gitt finansieringsforbehold.
Dette salget forutsettes gjennomført av profesjonelle parter. Bestemmelsene om budgivning i forskrift om eiendomsmegling § 6-3 gjelder ikke.
Det må foreligge styregodkjennelse i selgerselskapet før avtalen om salg av eiendommen er bindende for selger. Selgers styre vil ta stilling til en eventuell transaksjon når det foreligger endelig utkast til kjøpekontrakt og de kommersielle vilkårene, herunder DD-relaterte forhold, for transaksjonene er avklart.

1 Salgsprosessen og forutsetninger forts.
Enhver som investerer i næringseiendom må på egen hånd gjøre egne undersøkelser. Interessenter oppfordres til å sette seg grundig inn i Informasjonsmemorandumet, vedlegg og vedlagte kjøpekontrakt, samt foreta egne undersøkelser av eiendommen. Oppgjøret mellom Oppdragsgiver og kjøper skal skje direkte mellom partene eller med bistand fra advokat eller bank for partenes regning. Megler skal ikke gjennomføre dette oppgjøret som oppgjørsansvarlig, og skal derfor ikke yte den bistand som for øvrig i fremgår av eiendomsmeglerlovens § 6-9. Særskilte bestemmelser om budgivning gitt i medhold av eiendomsmeglerloven § 6-10 kommer ikke til anvendelse ved utførelsen av oppdraget. DTZ fraviker eiendomsmeglerlovens §§ 1-4, 4-4, 6-2, 6-4, 6-7, 6-8, 6-10 , 7 og 8-8. Informasjon i dette Informasjonsmemorandum er mottatt fra selger. Informasjonsmemorandumet forutsettes gjennomgått i detalj av Kjøper før bindende bud inngis. Eiendommene forutsettes besiktiget. Det forutsettes at Kjøper gjennomgår eiendommens tekniske tilstand ved bruk av egne fagfolk (teknisk DD). Det forutsettes videre at Kjøper gjennomgår leieavtaler og annen relevant informasjon vedrørende eiendommen. Megler og selger fraskriver seg ansvaret for oppgitte arealopplysninger knyttet til eiendommen og dens bebyggelse. Det forutsettes at kjøper foretar egne kontrollmålinger av arealene. Det kan fremkomme feil i Informasjonsmemorandumet og det kan være utelatt vesentlige forhold sammenlignet med hva som fremkommer av den vedlagte kjøpekontrakt med bilag. I slike tilfeller gjelder den informasjonen som er gitt i kjøpekontrakten med bilag i prospektet som er gjeldende. Forholdet til Lov om hvitvasking: Det informeres med dette at eiendomsmeglere er underlagt Lov om hvitvasking. Det innebærer at eiendomsmeglere plikter å gjøre identitetskontroll av både selger og kjøper av eiendom. Dersom det ikke er mulig å identifisere reell selger og kjøper tar vi forbehold at handelen ikke kan gjennomføres.
