Eligibility & Rules: Sponsorship opportunities at BbWorld 2020 (the “Event”) are available to Blackboard business partners and businesses, who offer materials, products or services of specific interest to attendees of the Event and who are approved by Blackboard (“Sponsor(s)).” To participate as a Sponsor at the Event, Sponsor’s sponsorship level(s) must be confirmed and approved by Blackboard; Sponsor’s Agreement with Blackboard must be in effect at the time of the Event and must pay sponsorship fees per the Payment Terms herein.
By signing this agreement, Sponsor submits the application for a sponsorship opportunity at the Event, and Sponsor agrees to comply with the provisions of this Agreement, as well as those provisions that are imposed by the Event venue (in Orlando, Florida at the Orlando World Center Marriott) in conjunction with the Event. Further, Sponsor and its employees, agents and servants consent to Blackboard’s collection and storage (in the United States) of the information provided on the application form (“Sponsor Information”) and to Blackboard’s use of such Sponsor Information for promotional and marketing purposes.
Audio/video/photography disclaimer: From time to time, Blackboard and/or its contractors will record, photograph and/or stream the various aspects and activities of the Event, for both archival and promotional purposes. By sponsoring the Event, Sponsors grant to Blackboard, its contractors and their respective assigns the absolute right and permission to use Sponsor’s and/or Sponsor’s employees, agents’ and servants’ name, voice, photograph and/or likeness in any and all advertising and promotional materials, in any manner or media whatsoever, for purposes of advertising, trade or promotion; and the absolute right and permission to use Sponsor’s and/or its employees, agents and servants name, photograph and/or likeness and voice as recorded on the footage and/or photographs featuring Sponsor and/or its employees, agents and servants participation at the Event. Sponsor and/or its employees, agents and servants acknowledge and agree that Sponsor and/or its employees, agents, and servants shall have no right of approval, no claim to any compensation and no claim arising out of the use, alteration or distortion of Sponsor’s and/or its employees, agents and servants name, photograph, video or film image or likeness.
Payment Terms: Sponsor shall pay sponsorship fees within thirty (30) days from date of invoice, as applicable; provided, however, that payment of sponsorship fees via check or wire transfer must be made payable to Blackboard and be received on or before June 24, 2020. Sponsorship must be fully paid at the time of the event (July 28th, 2020). Event management will refuse the vendor from participating if full invoice is not paid by July 28th.
Cancellation Policy: This contract is binding upon signature. Exhibit space reservations will not be considered confirmed until the total amount due has been paid. Sponsor wishing to cancel or withdraw from the Event must do so in writing. Cancellations made on or before May 15, 2020, will receive a 50% refund of the sponsorship fee less a $200 administration fee. Sponsors canceling after May 15, 2020, will be liable for the entire amount paid or due.
Booth Location: Blackboard reserves the right to assign final booth location. Sponsors shall not reassign, sublet or share the whole or any part of such booth.
Sponsor’s Representative: Each exhibiting organization must name at least one person to be its authorized official representative. At least one representative must be at Sponsor’s booth during all regular hours of the Event.
Exhibit set up: All exhibiting companies must comply with the Exhibit Construction Guidelines established by Blackboard.
Character of Exhibit: Blackboard has full discretion and authority over the appropriateness of any exhibit and/ or the appearance of all items displayed by Sponsor and to decline to permit any Sponsor to conduct or maintain an exhibit if, in the sole judgment of Blackboard, said Sponsor or exhibit or proposed exhibit shall, in any respect, be deemed unsuitable. This reservation relates to persons, conduct, articles or merchandise, printed matter, souvenirs or catalogs without limitation, which might negatively affect the character of the exposition. In the event that Blackboard determines that the conduct of any of Sponsor’s its employees, agents and/or servants, is not in keeping with the character of the exposition, Blackboard may, at any time and in its sole discretion, without notice, terminate the contract for space entered into with said exhibit and, with or without process of law, remove Sponsor, its employees,
agents, servants and all of the property of the Sponsor from the space contracted for and from the exposition. No Sponsor shall have any right or claim against Blackboard on account of any action so taken. The determination of Blackboard as to the suitability of any Sponsor, exhibit or proposed exhibit or as to whether the conduct of any person is in keeping with the character of the exposition shall, in each instance, be final. Further, the Sponsor agrees that it will not demonstrate products at this exposition that Blackboard reasonably determines to be competitive with products of Blackboard. If the Sponsor demonstrates competitive products, the Sponsor, its employees, agents and servants may be removed from or refused admittance to the event. If admittance is refused or if Sponsor is removed, Sponsor will remain liable for the cancellation penalty.
Sponsors must confine activities to their demonstration area. Distribution of literature and/or conducting surveys in the aisles of the show is not permitted. Promotional activities and giveaways are permitted only in Sponsor’s designated area. All Sponsors must be properly attired and conduct themselves in a professional manner. The use of microphones and strobe or flashing lights is prohibited. If Sponsor is removed, Sponsor will remain liable for the cancellation penalty.
Default: If the Sponsor defaults in any of its obligations under these Terms and Conditions or violates any of its obligations under these Terms and Conditions, Blackboard may, in addition to other remedies provided herein or otherwise available at law or in equity, without notice, terminate this agreement and retain all sponsorship fees received.
Termination of Exhibit: If the premises where the exhibition is to be housed are destroyed or damaged, or the exposition fails to take place as scheduled or is relocated or interrupted and discontinued or access to the premises is prevented or interfered with by reason of any strike, lockout, injunction, act of war, act of God, emergency declared by any government agency or for any other reason, this contract may be terminated by Blackboard. In the event of such termination, the Sponsor waives any and all damages and claims for damages and agrees that the sole liability of Blackboard shall be to return to each Sponsor the sponsorship fee.
Limitation of Liability—Insurance: Sponsor agrees to protect, save and keep Blackboard, Cvent Event Software Solutions, National Trade Production, Freeman, One10 and the Orlando World Center Marriott harmless from any damage or charges imposed for violation of any law or ordinance, whether occasioned by the negligence of the Sponsor, its employees, agents, servants or those holding under the Sponsor, as well as to strictly comply with the applicable terms and conditions contained in the agreement between the facility and Blackboard regarding the exhibit premises. Further, the Sponsor at all times shall protect, indemnify, save and keep harmless Blackboard, Cvent Event Software Solutions, National Trade Production, Freeman, One10 and the Orlando World Center Marriott against and from any and all loss, cost, damage, liability or expense arising from or out of or by reason of any accident or other occurrence to anything or anyone, including the Sponsor, its agents, employees and business invitees which arises from or out of or by reason of said Sponsor’s occupancy and use of the exhibition premises or a part thereof. In addition, Sponsor acknowledges that Blackboard, NTP, Cvent Event Software Solutions, National Trade Production, Freeman, One10 and the Orlando World Center Marriott nor any of the exhibit facilities maintain insurance covering Sponsor’s property and that it is the sole responsibility of Sponsor to obtain business interruption and property damage insurance covering such losses by Sponsor. Blackboard’s total liability to Sponsor for any claims or causes of action arising from, related to or in connection with these Terms and
Conditions or the Event shall be limited to Sponsor’s fee paid hereunder. In no event shall Blackboard be liable forany special, indirect or consequential damages whatsoever.
By submitting the application and contract for sponsorship, I certify that I have read and agree to abide by the above Terms and Conditions for Exhibiting at the Event. Blackboard reserves the right to modify these Terms and Conditions with respect to changes in the Rules and Regulations enforced by the venue. All sponsors will be notified in writing by registered mail of changes in Terms and Conditions. By signing this application, Sponsor understands that Sponsor and its employees, agents and servants participating in the Event will adhere to the rules and regulations set forth.
