INTRODUCTION AND BACKGROUND

The St. Louis County Port Authority (the “Port”) was established pursuant to Chapter 68 of the

Missouri Revised Statutes for the purposes of promoting the general welfare of and within the

port district, which includes all of St. Louis County; advancing the economic interests of

residents; fostering increased employment opportunities; and promoting trade and industry in St.

Louis County, Missouri.

The Port seeks to retain the services of a qualified firm to perform a geotechnical investigation

and site evaluation related to the Port’s proposed sale and/or redevelopment of an approximately

140-acre property located at the former Jamestown Mall site in St. Louis County, Missouri

63034, identified as Lot A in the attached boundary adjustment plat (referenced herein as, the

“Property” or the “Jamestown Mall Site”). The Property is located at the intersection of North

Lindbergh Boulevard (US Highway 67) and Old Jamestown Road, one mile west of Missouri

Route 367.

The purpose of the requested investigation is to provide prospective redevelopers with a baseline

of information on the geotechnical conditions at the Jamestown Mall Site. The Port, however,

has not identified a specific use or uses or redevelopment project for the Property.

PROJECT AREA

The Property currently is improved with the now closed Jamestown Mall, which includes the

former Dillard’s, Macy’s, JC Penney, Sears and AMC Theater locations along with an in-line

mall, totaling approximately 1 million square feet “under roof.” The Property also contains

approximately 2 million square feet of asphalt paved surface parking along with undeveloped

buffer areas to the north and east and south. It should be noted that the waterlines on the Property

are active, and a number of leaks have occurred.

Note that the Jamestown Mall Site does not include the approximately 2-acre out-lot parcel,

identified as Lot B in the attached boundary adjustment plat.

SCOPE OF SERVICES

The selected firm will conduct a geotechnical survey at the Property, performing soil borings and

related tests and analysis in such number, at such locations, and with such depths and other

characteristics as are necessary, in the professional opinion of the firm, to identify the basic soil

and related characteristics of the Property and any other material features or limitations of the

Jamestown Mall Site that would be relevant to the future development or redevelopment of the

Property (the “Services”). Proposing firms acknowledge that the Port does not have a proposed

redevelopment plan or specific proposed future use for the Property but is seeking a general, but

comprehensive geotechnical investigation of the Jamestown Mall Site.

The selected firm shall provide a report to document its findings and recommendations, which

includes, but is not limited to:

1. A property vicinity map;

2. Boring location plan;

3. Logs of borings;

4. Laboratory test results;

5. Findings regarding site, soil and groundwater conditions;

6. Conclusions regarding:

(a) Seismic design parameters;

(b) Bearing capacity;

(c) Expansive soil conditions;

(d) Suitability of on-site soils;

(e) Excavation conditions;

(f) Preliminary soils corrosion potential;

(g) Pavement subgrade qualities;

(h) Known or suspected sinkholes;

(h) Effect of groundwater on development; and

(i) Areas of the Jamestown Mall Site suitable and unsuitable for

development.

In connection with its Services, the selected firm shall meet with the Port and/or its staff as

necessary or as may be reasonably requested by the Port.

PERFORMANCE OF WORK AND SERVICES

All Services and work to complete the Services shall be coordinated through the project contact

designated by the Port. The selected firm shall:

Perform the work in a professional and timely manner;

Coordinate the work with all existing site constraints, such as buildings, utilities, and

underground construction;

Perform all testing according to ASTM Standards and classify soil samples in accordance

with ASTM D-2487;

Obtain the Port’s approval to gain access to the site;

Repair areas that are disturbed by field operations to the satisfaction of, and without cost

to, the Port;

Place additional compacted fill in boring holes if settlement occurs up to ninety (90) days

after completion of the borings; and

Remove any excess spoils from the Property.

PROPOSAL CONTENT

Proposals must include, at a minimum, the following information:

1. Experience of the Firm. Provide a detailed description of the firm's experience in

providing similar services. Include the type and number of clients served, as well as

the size, scope, and nature of the projects involved. Discuss representative clients and

projects where appropriate.

2. Experience/Qualifications of Assigned Professional(s). Provide the qualifications for

each individual who may be assigned to provide the Services, and designate the

individual who would have primary responsibility for oversight of the project.

3. Statement of Project Understanding & Approach. Provide a summary of the firm’s

understanding of the Scope of Work and its plan and approach for accomplishing the

Services. Proponents should also identify any information or activities that they

deem to be pertinent but not specifically requested in this RFP and any suggestions

for innovative approaches for accomplishing the Services that should be considered.

4. Project Timeline. Provide a proposed schedule from project initiation to completion,

with key tasks, milestones and deliverables with approximate dates for completion,

consistent with the Port’s goal of completion of the Services and issuance of a final

report within forty-five (45) days from the date of engagement.

5. Minority Participation. Provide a description of the firm’s approach to minority

participation in providing the Services.

6. Proposed Fees/Expenses. Proposals shall clearly state the total fees and expenses to

be charged for performance of the Services:

a. If based on an hourly rate, provide the hourly rates to be charged for each

individual who would be assigned to this engagement and a general

description of how billable hours will be allocated among key personnel.

b. Provide an explanation if fees will be calculated on any other basis. Itemize

the type of expenses (other than fees) for which your firm would seek

reimbursement.

c. A five percent (5%) proposal discount shall be applied to MBE firms

during the evaluation process. The proposal discount shall lower the

eligible MBE firm’s price proposal but shall not reduce the contract

award amount. In order to qualify for the proposal discount, the eligible

MBE firm shall include with its proposal a copy of a current MBE

certification approval letter issued by a federal, state, or local

governmental entity.

d. It is anticipated that a maximum not to exceed amount will be established for

these Services.

SELECTION CRITERIA

Proposals submitted will be reviewed by the Port’s staff for completeness and relevant

qualifications. Selection of a firm will be made on the basis of the following criteria:

1. Expertise and experience of the firm in providing similar services;

2. Expertise and experience of the individuals assigned from the firm;

3. Project approach and understanding of the Services;

4. Timeliness of completing the Services;

5. Approach to minority participation;

6. Cost, after application of any applicable MBE discount, as described above; and

7. Responsiveness of the firm to the RFP categories.

TERMS AND CONDITIONS

The following terms and conditions apply to all proposals:

1. The Port reserves the right to reject any and all proposals submitted; to select one or more

responding parties; to void this RFP and the review process and/or terminate negotiations

at any time; to select separate responding parties for various components of the scope of

services; and to select a final party/parties from among the proposals received in response

to this RFP. Additionally, any and all RFP project elements, requirements and schedules

are subject to change and modification. The Port also reserves the unqualified right to

modify, suspend, or terminate at its sole discretion any and all aspects of this RFP

process, to obtain further information from any and all responding parties, and to waive

any defects as to form or content of the RFP or any responses by any party.

2. This RFP does not commit the Port to award a contract, defray any costs incurred in the

preparation of a response to this RFP, or contract for any services. All submitted

responses to this RFP become the property of the Port as public records. All proposals

may be subject to public review, on request, unless exempted as discussed elsewhere in

this RFP.

3. By accepting this RFP and/or submitting a proposal in response thereto, each responding

party agrees for itself, its successors and assigns, to hold the Port, the Partnership and its

affiliated entities, St. Louis County, the City of St. Louis, and all of their various agents,

commissioners, directors, consultants, attorneys, officers and employees harmless from

and against any and all claims and demands of whatever nature or type, which any such

responding company, its representatives, agents, contractors, successors or assigns may

have against any of them as a result of issuing this RFP, revising this RFP, conducting the

selection process and subsequent negotiations, making a final recommendation, selecting

a responding party/parties or negotiating or executing an agreement incorporating the

commitments of the selected responding party.

4. By submitting responses, each responding party acknowledges having read this RFP in its

entirety and agrees to all terms and conditions set out in this RFP.

5. Responses shall be open and valid for a period of ninety (90) days from the due date of

this RFP.

SUBMISSION OF PROPOSALS

To be considered, proposals must be received no later than Friday, April 24, 2020, at 3:00

PM CST. Proposals received after the deadline identified above will not be considered.
