"o simplify presentation the te%t of the Prequalification Data Sheet has been !ritten primarilyfor construction contracts (the most common application of prequalification procedures)'

(i) corrupt practice means the offerin$ $ivin$ receivin$ or solicitin$directly or indirectly of anythin$ of value to influence improperly theactions of another partyG

(ii) fraudulent practice means any act or omission includin$ amisrepresentation that kno!in$ly or recklessly misleads or attempts tomislead a party to obtain a financial or other benefit or to avoid an

obli$ationG(iii) coercive practice means impairin$ or harmin$ or threatenin$ to impair

or harm directly or indirectly any party or the property of the party toinfluence improperly the actions of a partyG and

(iv) collusive practice means an arran$ement bet!een t!o or more partiesdesi$ned to achieve an improper purpose includin$ influencin$ improperlythe actions of another partyG

(b) !ill reject a proposal for a!ard if it determines that the supplier contractorconcessionaire or consultant recommended for a!ard has en$a$ed inprohibited practices in competin$ for the contract in questionG

(c) !ill cancel the portion of the Bank financin$ allocated to a contract for $oods!orks services or concessions if it at any time determines that prohibitedpractices !ere en$a$ed in by representatives of the Borro!er or of abeneficiary of the Bank financin$ durin$ the procurement or the e%ecution of that contract !ithout the Borro!er havin$ taken timely and appropriate actionsatisfactory to the Bank to remedy the situationG

(d) may declare a firm ineli$ible either indefinitely or for a stated period of time tobe a!arded a Bank&financed contract if it at any time determines that the firmhas en$a$ed in prohibited practices in competin$ for or in e%ecutin$ a Bank&financed contractG

(e) reserves the ri$ht !here a Borro!er or a firm has been found by a judicialprocess or by the enforcement mechanism of another internationalor$anisation to have en$a$ed in prohibited practices-

(i) to cancel all or part of the Bank financin$ for such Borro!erG and

(ii) to declare that such a firm is ineli$ible either indefinitely or for a statedperiod of time to be a!arded a Bank&financed contractG and

(f) !ill have the ri$ht to require that in contracts financed by the Bank aprovision be included requirin$ suppliers contractors concessionaires andconsultants to permit the Bank to inspect their accounts and records relatin$to the performance of the contract and to have them audited by auditorsappointed by the Bank'

6'. ,n applicant may be a natural person private entity $overnment&o!ned entity or anycombination of such entities in the form of a joint venture consortium or association(@A ,)'

/n the case of a @A ,-

(a) unless other!ise specified in the PDS the application shall be si$ned by all @A ,partnersG and

(b) the @A , shall nominate a Representative !ho shall have the authority toconduct all businesses for and on behalf of any and all the partners of the @A ,durin$ the Prequalification process'

6'2 /n accordance !ith the Bank#s Procurement Policies and Rules an applicant from anycountry may apply for Prequalification unless as a matter of la! or official re$ulationthe lient#s country prohibits commercial relations !ith the applicant#s country' ,napplicant shall be deemed to have the nationality of a country if the applicant is acitiIen of or is constituted incorporated or re$istered in and operates in conformity!ith the provisions of the la!s of that country' "his criterion shall also apply to thedetermination of the nationality of proposed subcontractors or suppliers for any part of the ontract'

6'5 ,n applicant shall not have a conflict of interest' ,ll applicants found to have a conflict of interest shall be disqualified' ,n applicant may be considered to have a conflict of interest !ith one or more parties in this Prequalification process if-

(a) they have controllin$ partners in commonG or

(b) they receive or have received any direct or indirect subsidy from any of themGor

(c) they have the same le$al representative for purposes of this prequalificationGor

(d) they have a relationship !ith each other directly or throu$h common thirdparties that puts them in a position to have access to information about or influence on the prequalification of another applicant or influence thedecisions of the lient re$ardin$ this Prequalification processG or

(e) an applicant its affiliates or parent or$anisation has participated in thefeasibility or desi$n sta$es of a project' /n !hich case that applicant itsaffiliates or parent or$anisation shall not be eli$ible to participate in aprequalification for contracts involvin$ the supply of $oods !orks or servicesincludin$ architectural or en$ineerin$ services for the project unless it can bedemonstrated that such participation !ould not constitute a conflict of interest'Such determination must be made prior to the submission of a prequalificationapplicationG or

(f) an applicant participated as a consultant in the preparation of Part B/nformation on the ontract(s) that are the subject of the prequalificationG or

(g) an applicant or any of its affiliates has been hired or is proposed to be hired bythe lient or the Borro!er for the supervision of the ontract'

6'6 +ot!ithstandin$ the provisions of /", 6'5 above a firm may apply for prequalificationboth individually and as part of a @A ,' ?o!ever a prequalified firm or a member of a prequalified @A , may participate as a tenderer in only one tender either individually or as a partner in a @A , for the ontract' Submission or participation bya tenderer in more than one tender for the ontract !ill result in the disqualification of all tenders for that ontract in !hich the party is involved' ?o!ever this does not limitthe inclusion of the same subcontractors in more than one application'

6'3 ,n applicant shall be disqualified if the applicant an affiliate of the applicant a partyconstitutin$ the applicant or an affiliate of a party constitutin$ the applicant is under adeclaration of ineli$ibility by the Bank in accordance !ith /", 5'. at the date of thedeadline for application submission or thereafter'

6'9 +o affiliate of the lient shall be eli$ible to participate in a prequalification in anycapacity !hatsoever unless it can be demonstrated that there is not a si$nificantde$ree of common o!nership influence or control amon$st the affiliate and the lient

or the Borro!er'

6'4 ,pplicants shall provide such evidence of their eli$ibility satisfactory to the lient as thelient may reasonably request'

6'7 1irms shall be e%cluded if-

(a) as a matter of la! or official re$ulation the Borro!er#s country prohibitscommercial relations !ith the applicant#s country provided that the Bank issatisfied that such e%clusion does not preclude effective competitionG

(b) by an act of compliance !ith a decision of the Fnited +ations Security ounciltaken under hapter A// of the harter of the Fnited +ations the Borro!er#scountry prohibits any import of $oods from the applicant#s country or anypayments to persons or entities in that countryG

(c) as a matter of la! or official re$ulation a firm is formally debarred fromcontractin$ activities and the lient may not enter into a contract !ith suchfirmG or

(d) it has been determined that it has en$a$ed in prohibited practices as definedin the Bank#s Procurement Policies and Rules '

3'. ,ll $oods !orks and services to be supplied under the ontract and financed by theBank shall have as their country of ori$in an eli$ible country of the Bank inaccordance !ith the Bank#s Procurement Policies and Rules '

3'2 1or purposes of this para$raph the term $oods includes commodities ra! materialmachinery equipment and industrial plantsG !orks includes any kind of civilmechanical and electrical !orksG and services includes services such as insurancetransportation installation commissionin$ trainin$ and initial maintenance'

3'5 "he term country of ori$in for the $oods means the country !here the $oods havebeen mined $ro!n cultivated produced manufactured or processedG or throu$h

manufacture processin$ or assembly another commercially reco$nised articleresults that differs substantially in its basic characteristics from its importedcomponents'

3'6 "he nationality of the firm that produces assembles distributes or sells the $oods shallnot determine their ori$in'

3'3 "he term country of ori$in for the !orks and services means the country !here the!orks are constructed or services are rendered'

9'2 "he /nvitation for Prequalification issued by the lient is not part of the PrequalificationDocument'

9'5 "he applicant shall obtain the Prequalification Document from the source stated by thelient in the PDSG other!ise the lient is not responsible for the completeness of the

Prequalification Document'

9'6 "he applicant is e%pected to e%amine all instructions forms terms and information inthe Prequalification Document' 1ailure to furnish all information or documentationrequired by the Prequalification Document may result in the rejection of theapplication'

6> !larification of Prequalification Document

4'. , prospective applicant requirin$ any clarification of the Prequalification Document shallcontact the lient in !ritin$ at the lient address indicated in the PDS or raise hisenquiries durin$ the clarification meetin$ if provided for in accordance !ith /", 4'6'"he lient !ill respond to any request for clarification provided that such request isreceived prior to the deadline for submission of applications !ithin the number of days specified in the PDS' "he lient#s response shall be in !ritin$ !ith copies to allapplicants !ho have acquired the Prequalification Document in accordance !ith /",9'5 includin$ a description of the inquiry but !ithout identifyin$ its source' Should the

lient deem it necessary to amend the Prequalification Document as a result of arequest for clarification it shall do so follo!in$ the procedure described under /", 7'

4'2 here applicable the applicant may visit and e%amine the project site and obtain for itself on its o!n responsibility all information that may be necessary for preparin$ theapplication and enterin$ into the ontract' "he costs of visitin$ the site shall be at theapplicant#s o!n e%pense'

4'5 here the applicant and any of its personnel or a$ents have been $ranted permissionby the lient to enter upon its premises and lands for the purpose of such visit the

applicant its personnel and a$ents !ill release and indemnify the lient and itspersonnel and a$ents from and a$ainst all liability in respect thereof and !ill beresponsible for death or personal injury loss of or dama$e to property and any other loss dama$e costs and e%penses incurred as a result of the visit'

4'6 "he applicant#s desi$nated representative is invited to attend a clarification meetin$ if provided for in the PDS' "he purpose of the meetin$ !ill be to clarify issues and toans!er questions on any matter that may be raised at that sta$e' /f so provided in thePDS the lient !ill or$anise a site visit'

4'3 "he applicant is requested as far as possible to submit any questions in !ritin$ toreach the lient not later than one !eek before the meetin$'

4'9 =inutes of the clarification meetin$ includin$ the te%t of the questions raised !ithoutidentifyin$ the source and the responses $iven to$ether !ith any responsesprepared after the meetin$ !ill be transmitted promptly to all applicants !ho haveacquired the Prequalification Document in accordance !ith /", 9'5' ,ny modificationto the Prequalification Document that may become necessary as a result of theclarification meetin$ shall be made by the lient e%clusively throu$h the issue of anaddendum pursuant to /", 7 and not throu$h the minutes of the clarification meetin$'

4'4 +on&attendance at the clarification meetin$ !ill not be a cause for disqualification of anapplicant'

8> Amendment of Prequalification Document

7'. ,t any time prior to the deadline for submission of applications the lient may amendthe Prequalification Document by issuin$ addenda'

7'2 ,ny addendum issued shall be part of the Prequalification Document and shall becommunicated in !ritin$ to all applicants !ho have obtained the PrequalificationDocument in accordance !ith /", 9'5'

7'5 "o $ive prospective applicants reasonable time in !hich to take an addendum intoaccount in preparin$ their applications the lient may at its discretion e%tend thedeadline for the submission of applications'

> !ost of Prequalification

:'. "he applicant shall bear all costs associated !ith the preparation and submission of itsapplication and the lient shall not be responsible or liable for those costsre$ardless of the conduct or outcome of the Prequalification process'

10> Lan ua e of Prequalification

.8'. "he applications as !ell as all correspondence and documents relatin$ to thePrequalification e%chan$ed by the applicant and the lient shall be !ritten in thelan$ua$e specified in the PDS' Supportin$ documents and printed literature that arepart of the application may be in another lan$ua$e provided they are accompanied byan accurate translation of the relevant passa$es in that lan$ua$e in !hich case for purposes of interpretation of the application such translation shall $overn'

(b) ,pplicants submittin$ applications electronically shall follo! the electronicapplication submission procedures specified in the PDS'

.3'2 "he inner and outer envelopes shall-(a) bear the name and address of the applicantG

(c) bear the specific identification of this Prequalification processG and
