Q: How do I sign up for Smart Order/Autoship?

A: It’s simple. Click on the Smart Order button in the upper menu bar of your Virtual Office. Any active Smart Orders you set up will display on this page each time you visit your Virtual Office. To set up a Smart Order, click on the green Create New Smart Order button in the upper left corner of the screen. Choose your product and check out. It’s that easy.Q: How can I make sure that my Smart Order runs each month?

A: The most important thing you can do is make sure that the payment card information

we have on file for you is up to date. Check to see if the billing name and billing address

information in your FGXpress personal profile matches your card information. You’ll find all

this information by clicking on Billing Information under the My Account button in your

Virtual Office.

Q: My Smart Order order hasn’t arrived yet. What should I do?

A: Shipping times can vary depending on where you live and the delivery options that are

available in your local area. If delivery is taking longer than expected, the XpressCare

support team is available to assist you Monday through Friday, 8:00 am to 7:00 pm, U.S.

Let’s illustrate this with an example:

For this example please notice;- You are active with 100QV- Your left leg has 10,000CV and your right leg has 12,000CV- You have at least one ACTIVE PEM per leg.

Your Team Bonus this week will be 12% of your pay leg.

Then, the right leg will begin the new week with 2,000QV which was the difference between the two legs before paying the Team bonus. This volume is also known as “Carry Over”.

As you continue enrolling there’s another tree that is being built: The Placement Tree.

The beauty of this two-legged tree is the speed it can grow! Your goal is to help the leg that needs it the most (i.e. the one with less QV), which will be your pay leg for that week.

Rank advancement is directly related to your placement tree.

Active order and Active member: Purchasing eligible products with QV associated to them, qualifies you for a 4 week period including the period the purchase was made.

Autoship: Highly recommended. You can choose to program a recurring order every 4 week period. Always hav-ing an active order is one of the requirements for earning commissions and avoiding flush of your Big leg.

Big Leg: Also known as “Power Leg”. Your placement tree has two legs. This is the leg with the highest QV on a certain week, including any carry over volume if applicable.

Carry-Over Volume: Every time a Team bonus is paid, it’s based on the small leg volume. Then the next period will begin with zero points on the small leg, and the difference between the big leg and the small leg’s volume will be carried over as part of the big leg’s volume for the new period. Failing to maintain a minimum personal active order of 50QV or more, cancels the carry over and both legs will start the new period with zero points.

Commissionable Volume (CV): The “points” attributed to a product purchased by a member directly through the member’s ID#. All calculations for commissions in the compensation plan are based on the CV accumulated by members and customers during a volume period. QV and CV are specified next to the product’s price. There’s no CV associated with promotional materials, membership kits, shipping and handling fees or any other fees paid by a member or any customer.

Duplication and Duplication Model: We call it “Duplication” when members in your enrollment tree have all the knowledge and take all the actions you’re taking for growing the business. You’ve duplicated yourself through one of them by training and being an example. What you see in your organization is a mirror of your work. A duplication model is a system or method by which your people can duplicate the right business behaviors and results.

Enrollment Tree and Placement Tree: When a member directly enrolls someone into the business, the new member will appear direct to the enroller in the enrollment tree. This is also known as “first level” for the enroller. The Enrollment tree has no limit to the number of people on the first level. The same people will also be part of the placement tree, which is the two-legged tree. There is a limit of 2 legs: Left and Right. The other members must be placed underneath the first and so on and so forth.

Enroller Leg: Each Enroller leg in the enrollment tree, includes the Personally Enrolled Member and all Mem-bers structured in the Enrollment tree below this Frontline Member.Enrolling / Enrollment / and Enroller: To Enroll is to open a new possibility to someone when they share your vision for the business and make a choice to become a member. The enroller is the active member who signs a new member up.

FastStart Bonus. A commission paid to Active members as a reward for directly enrolling a new member. This commission is paid on the CV of the first purchase of a new active member.

FastStart Order: The first order with CV placed by a new member.

Generation: Used in the Matching Bonus. A Generation is based on the enroller tree’s legs. Each member who’s rank is 1 star or higher will combine it’s volume down through this member’s legs until finding the first 1 Star or higher rank Member in that Volume Period, The next member in the Enroller’s downline begins a new Genera-tion.

Grace Period: When a member’s Active Order Expires after 4 periods, there’s an informal grace period during period 5 as a courtesy to members to allow them to prevent flushing. A member that does not complete a qual-ifying purchase by the end of the 5th period will receive no commissions of any type for the 5th period, and the big leg will be flushed for good.

Minimum Qualifying Volume Requirement: Various components of the Comp Plan require to complete a mini-mum purchase in order to assign an amount of QV to the member.

Organizational Volume (OV): The sum of CV generated by a Member’s complete Downline.

Pay Leg or Small leg: The leg with the smaller OV out of the two placement tree legs.

Period and Volume Period: A period of time from Tuesday, at 12am USA Mountain Time through 11:59pm Moun-tain Time on the following Monday, where product purchases and enrollments are included for qualification in the Compensation Plan. Qualifying Volume (QV): The point value associated with each individual product order for the purpose of deter-mining qualifications in the Plan. Once the qualification is determined, calculations will be done using Commis-sionable Volume CV.

Commission Cycle FAQ – March, 2014

Q: How are commissions calculated at FGXpress?

A: All FGXpress commission calculations are based on a Tuesday through Monday weekly

pay period, beginning at midnight U.S. Mountain Time on Tuesday and ending at 11:59 pm

U.S. Mountain Time on Monday.

Q: Why doesn’t the pay period run Monday through Sunday?

A: This is an important business advantage to our members. The Monday close ensures

that our full corporate support team is available to you in the home office when you’re

processing all of your important end-of-period qualifying orders.

Q: It hasn’t been a month since my last order. Why do I have to qualify again?

A: This is actually simpler than it sounds. You have four pay periods to retain your active

status, but sometimes Members place their qualifying order close to the last day of the

period. Because commissions are calculated on weekly volume and not monthly volume,

your next qualifying order must be placed within the three remaining weeks of that four

pay period cycle – not a calendar month from your last qualifying order.

Q: How can I be sure I won’t miss my chance to qualify?

A: The best way to lock in your qualification and commissions is to sign up for AutoShip

and encourage everyone you enroll to do the same. The fastest growing organizations with

Payment Preference FAQ – March, 2014

Q: How do I receive my commission payments?

A: When you first enroll, eWallet is the default payment option. To change your selection to

ACH, Payoneer or check you must set your preference using Payment Setting under the

Commissions button on the upper menu bar of your Virtual Office.

Q: What is eWallet?

A: eWallet is simply a virtual FGXpress account where your commission balance accrues. It’s

not the same thing as a third party ecommerce service such as Payoneer. You may use

your eWallet balance to pay for single, non-autoship product orders but there are no other

balance transfer options. When you request funds to be transferred from your eWallet, the

entire balance goes to the payment option you select.

Q: How long does it take to receive my commission funds?

A: Changing your payment preference does not initiate a payment to you on the day you

make the change. Money transfers begin on the Friday after the pay period closes. Checks

normally go out on the following Monday (U.S. and Canada only).

When you change your payment preference selection it can take time to get it processed,

especially for direct deposit (ACH). When you request ACH online, your setup is not

complete until you send us a SIGNED ACH enrollment form including all the correct bank

account and routing numbers and a voided check by fax or email. Your payment could also

be delayed if your switch your preference between midnight Thursday and Sunday.

Q: Where do I send my direct deposit information?

A: Submit forms by email at [email protected] or by fax at 801-655-5505.

You will find the ACH enrollment forms in your Virtual Office Library. Download the

appropriate ACH form for your location and fill in the requested information, including

your account and routing numbers. For U.S. members, please be sure to complete the IRS

W-9 portion of the form. Please include a voided check (or statement) that matches the

bank information you provided.

IMPORTANT: make sure you sign the completed ACH form – not valid without signature.

Payment Preference FAQ – March, 2014

Q: Why haven’t my direct deposits started yet?

A: If you completed and sent in your direct deposit (ACH) paperwork but haven’t seen any

expected deposits within a couple weeks, it’s possible that some of the required

information was missing or incorrectly formatted. We have attempted to personally reach

out to everyone who’s in this situation, but we may have inadvertently missed you because

of an issue with our recent system migration. Please send in the forms again and we will

get them processed for you promptly. Depending on your bank’s normal processing time,

please note that it could take 1-2 weeks before the deposits begin showing up.

Q: What is a Payoneer card?

A: Payoneer is a third-party financial service company that’s completely separate from

ForeverGreen and FGXpress. Payoneer requires an application process and they collect the

necessary information and documentation directly from you. Follow the easy signup link

under Payoneer on the Payment Setting page in your Virtual Office.

Payoneer must approve your application and activate your account before we’re able to

send commission payments to your Payoneer account. It’s possible that your Payoneer

account will be active before you receive your Payoneer Card. If you don’t want your

commissions transferred to your Payoneer account until after you’ve received your card in

the mail, please wait until your card arrives before selecting the Payoneer option.

Q: What happens if I request payment by check?

A: The check option is only available in the U.S. and Canada. When you select this option,

your payment will be mailed to you by standard paper check. Selecting this option does not

cause a check to be cut immediately. The available balance accrued in your eWallet will be

sent to you by check starting on the Friday after the pay period closes. NOTE: Delivery

time will depend on the normal U.S. surface mail delivery to your area from Utah.

The Contract governs the way a Member conducts business with FGX, other Members and customers. A Member agrees to abide by the Contract, as currently published, and as may be amended. Any interpretation, clarification, exclusion, or exception to this Contract, in order to be effective, must be in writing and signed by an authorized officer of FGX. Where the text of the Contract permits, the singular use of a word includes the plural and vice versa. In addition, one gender includes any gender. All dollar or monetary amounts are United States Dollars unless specifically indicated otherwise. In the event of conflict between the United States English language version of the Contract and any translated or foreign language version of the Contract, the United States English version shall control. If a Member has questions concerning the Contract, they should consult with their legal counsel.

SECTION 1:

MEMBERSHIP TERMS

1. Fees.

1.1 Signup Fee. To become a Member of FGX, a signup fee may be required. 1.2 Other Fees. FGX may add fees to orders, or deduct from bonus, or commissions checks for

genealogy reports requested by a Member, label fees, transfer request fees, maintenance fees, and fees for other services provided by FGX.

2. Independent Contractor Status. Members are independent contractors and are not purchasers of a franchise or a

business opportunity. The agreement between FGX and its Members does not create an employer/employee relationship, agency, partnership, or joint venture between the Company and the Member. Members shall not be treated as an employee for his or her services or for Federal or local tax purposes. All Members are responsible for paying local, state (provincial), and federal taxes due from all compensation earned as a Member of the Company. The Member has no authority (expressed or implied), to bind the Company to any obligation. Each Member shall establish his or her own goals, hours, and methods of sale, so long as he or she complies with the terms of the Member Agreement, these Policies and Procedures, and applicable law.

3. Member Consent. , but not limited to:

and any film footage, videotapes, audiotapes, recordings, articles, and interviews of the Member, in any form and medium whatsoever, when created in connection with any FGX product or opportunity, any events, promotions, and/or conventions to advertise, promote, and publicize FGX product or the FGX Business Opportunity. A Member may withdraw such consent by notifying FGX in writing and providing at least thirty (30) days advance notice before such withdrawal takes effect.

4. Communication. In addition, a Member agrees that FGX may contact the Member by the provided telephone

number, fax number, or E-mail address concerning his or her FGX Business and Member status during the term of this Contract. Members also acknowledge that they agree to accept electronic copies (fax, scans, reprints or other

formats) as being the same as the original documents, and that documents, requests, and authorizations submitted electronically on behalf of the Member are explicitly deemed to have the same force in law as their manual

earnings including, but not limited to: Return merchandise authorizations (RMA), fraud, credit card charge-backs, insufficient funds check returns, Commissions paid erroneously, and/or disciplinary actions.

5. Policy Enforcement. FGX endeavors to enforce the Contract on a uniform and nondiscriminatory basis. However,

the failure of FGX to enforce any of the provisions of the Contract with one Member does not waive the right of FGX to enforce any such provision(s) with that same Member or any other Member.

6. Member Lists. FGX desires to protect its Members and FGX from inappropriate and unfair competition. Lists of

Members and any customers, activity reports, Downline organizations, and other information regarding Members e, provided by or originating from FGX or any Member or Vendor

may not be reproduced in any way or in any part by a Member. The Lists are the confidential and proprietary property of FGX. FGX has derived, compiled, configured, and currently maintains Lists through the expenditure of significant time, computer programming and monetary resources. Lists, in present and future forms and as amended from time to time, constitute commercially advantageous proprietary assets and trade secrets of FGX, which Members agree to hold confidential. Lists shall not be disclosed by Members to any third party or used for any purpose other than in the performance of their obligations under the Contract and for the benefit of FGX and the

7. FGX Information. To access FGX information, materials or Lists online or through other electronic or physical

means, a Member agrees to comply with all requirements designated for such access. Each Member agrees that the use of Lists within the intended scope constitutes a separate, exclusive license agreement between the Member and FGX. Lists remain, at all times, the exclusive property of FGX and must be returned to FGX immediately upon

Business; and to hold confidential and not disclose any List or portion thereof to any third party, including, but not limited to, other Members, competitors, and the general public. Any unauthorized use or disclosure of Lists constitutes misuse, misappropriation, and a violation of the Contract and is acknowledged to cause irreparable harm to FGX. Members agree that upon any violation of this paragraph, the Member will stipulate to injunctive relief, enjoining such use under applicable national, state or local law, and retrieve and return to FGX all existing Lists previously provided to the Member, and that intended or unintended misuse of a List may be cause for termination

In addition, a Member agrees that the obligations under this section shall survive the termination of the Contract and that FGX reserves the right to pursue all appropriate remedies under applicable national, state or local laws to protect its rights to the Lists as proprietary and trade secrets of FGX. Any failure to pursue such remedies will not constitute a waiver of those rights. A Member agrees that, but for this agreement of confidentiality and non-disclosure, FGX would not provide the Lists to the Member. FGX reserves the right to restrict the nature and scope of such information at its sole discretion, including the number of levels a given Member may have access to, as well as the type and amount of information made available at any level.

8. Member Gifts to FGX Employees. FGX employees are dedicated professionals committed to the success of

Members. FGX employees endeavor to treat all Members with respect and fairness; consequently, FGX employees may not accept any cash gifts from a Member. FGX employees appreciate the kindness of Members and may accept small tokens or gifts of appreciation valued at fifteen ($15.00) USD or less, upon notifying and receiving approval from their department supervisor.

9. FGX Members shall provide an accurate mailing address. Such addresses must meet all local postal standards in

order to ensure prompt and accurate deliver of the FGX product.

10. Commission Payouts

10.1 Pay Period. Commissions are calculated on the Friday following the close of the week. They are posted by Saturday, and paid-out on the Monday following the close of the pay period. Commissions are paid by the following methods:

a. Checks. (Checks are only available in the United States and Canada). Members must allow 15 business days after checks are paid-out before reporting a check missing. Upon notifying FGX of the missing check, if determined, FGX will issue a replacement check within 14 business days. If the Member finds him/herself in possession of both checks, he/she agrees to return the first check to FGX immediately.

b. ACH and Payoneer. (The ACH payment option is only available in the United States, Canada, Guam, Puerto Rico,

Australia and New Zealand). FGX may modify ACH and Payoneer payments up until the Thursday after commissions have been paid-out. Direct deposit may take one to three (1-3) business days to complete. In the event that FGX determines that it will reissue commissions for whatever reason, FGX will reissue said funds within seven (7) business days from the date of determination. Payoneer payment times may vary as they are a company

s responsibility to do so.

c. Ewallet. Commissions are calculated on the Friday following the close of the week and will appear in the Ewallet by that Monday evening.

10.2 Changing Payment Method. When a new method of payment is selected, FGX will verify and

validate the new payment method. Commissions earned during the validation period may be held in the Ewallet and then paid with the commissions of the week following the validation of the payment preference change.

11. Product 11.1 PowerStrips. PowerStrips are a patented fusion of modern energy and ancient herbs. Everyone and

every part of the body needs energy. PowerStrips, worn daily, bring energy to those parts of the body that need it. 11.2 SolarStrips.

12. Shipping. Orders are shipped via the United States Postal Service (USPS) at the low price of $4.95. Additional shipping options are available.

12.1 Reshipping. In the event that a product is lost in shipping or otherwise is not delivered to the Member

in a reasonable amount of time, FGX shall reship the product to the Member with no additional cost to the Member. However, once FGX has reshipped product once, the Member bears the risk that the product will not be delivered on every shipment that follows. FGX will only reship product to the Member once. FGX may require or the Member may choose to pay for priority mailing that allows the product to be tracked.

13. Return Policy. If a Member wishes to return resalable product it must be returned within 90 day of purchase. FGX

will give 100% of the product price back in product exchange credit based on volume. If a Member wishes to return resalable product for a refund of a dollar amount, the Member will be issued a refund of 80% of the product price. No refund will be given if the resalable product is not returned within 90 days of the purchase date. FGX reserves the right to remove volume from returned orders to recoup and balance commissions already paid on the returned order(s).

13.1- Chargebacks. If Members charge back any amount, they will be suspended and required to refund the

money they charged back as well as pay a $50.00 USD reinstatement fee.

13.2- Refund Limit. Members may return no more than $300 worth of merchandise to FGX for a refund annually. Any returns over $300 annually shall be considered an inventory repurchase and the FGX Membership shall

paid to the Member any commissions, bonuses, rebates, or other incentives received by the Member that were associated with the merchandise that is returned. returned and refunded without penalty, but the Member will not be permitted returns for a refund of a dollar amount for a 12 month period.

14. NFR. Generally, sales in countries other than the United States are intended for personal use and are not intended for

resale. Such sales are designed to comply with the country's not-for-resale or personal use program and Members are required to comply with all regulations associated with those programs.

15. FGX Employees. FGX employees are responsible to support and assist Members. To avoid conflicts of interest, and

Opportunity, during the term of their employment and according to contract, no FGX corporate officer, director, employee, product supplier, agent, representative, or consultant or any member of their household is allowed to become a Member, have a beneficial interest in any FGX Business or build a Downline within FGX or any other network marketing or direct selling company without the express written consent of the President of FGX.

16. Member Accounts. There is no limit to the number of accounts that may be held per household as long as the

accounts are placed in the same leg of the same enrollment tree and share the same enroller. Spouses are permitted to maintain separate accounts as long as the accounts are placed in the same leg of the same enrollment tree and share the same enroller. Members must comply with local laws and regulations. International offices, at their own discretion, may implement additional restrictions.

17. Member Divorce or Partnership Dissolution. In the unfortunate circumstance that married Members, or partners

who share in a certain FGX Business, obtain a divorce or wish to dissolve their partnership, FGX will continue to treat the FGX Business according to the existing Membership ownership until such time as FGX receives written notice from both parties, or a certified court order directing otherwise. The written notice must be signed by all parties and notarized.

18. Succession. Upon death, a Membership may pass to successors in interest as provided by law, and, upon FGX

receiving, from the successor, a certified copy of the death certificate, and will, trust or any other legal instrument

rights and privileges, and subject to the duties and obligations of the Contract.

19. Member Placement and Enrollment Changes 19.1- Placement Changes. FGX has provided the tools for Members to manage their own placement changes during a set time period via the web office. If a Member is unable to complete the desired placement change, they must request the placement change within 14 days. Requests for placement changes may be submitted to [email protected]

19.2- Enrollment Changes

19.2.1- Within 24 hours of Signup. If an enrollment change is requested within the first 24 hours of signing up, a Member need only email from his/her email address we have in our system or fax a signed letter that provides his/her identification number, current enroller, and desired enroller.

19.2.2- After 24 hours. Enrollment changes after the first 24 hours of signing up may not occur outside of the existing enroller tree. To request an enrollment change after the deadline of 24 hours, a Member must complete form 4002, Enrollment Change Request, and obtain the consent and signatures of each Member between the position they are placed and the position to which they wish to move. These documents may be submitted to the commissions department via email ([email protected]) or fax (801-655-5505).

20. Member Status Changes and Transfers. To convey, sell, assign, or otherwise transfer an FGX Business or any interest therein, a Member must contact the FGX Commissions Department at [email protected] and follow its internal policies and meet any requirements, as may be amended from time to time, including payment of a standard processing fee. The same Terms and Conditions of the offer to purchase requires an offer in writing to the Enroller. Such requests may take up to ten business days to complete. No Member shall sell or assign a Membership in order to circumvent the Contract, including but not limited to cross-sponsoring rules, and/or the possession of or interest in, more than one Membership, or any mandatory waiting period after the termination of a previous Membership. FGX reserves the right to review any sale or assignment, and to impose reasonable conditions on the sale or assignment to ensure compliance with the Contract.

20.1- Member Status Changes and Transfers to Enrollers. An enroller may purchase any number of

accounts within their enrollment tree. However, all accounts must be sold, or made compliant, within 90 days of purchase.

21. Unauthorized Claims and Actions

21.1- Indemnification. A Member is fully responsible for all of his or her verbal and written statements made regarding FGX products, services, and the Compensation Plan which are not expressly contained in current official FGX materials. Members agree to indemnify FGX and FGX's directors, officers, employees, and agents, and hold them harmless from any and all liability including judgments, civil penalties, refunds, attorney fees, court cost, or lost business incurred by FGX as a result of the Member's unauthorized representations or actions. This provision shall survive the termination of this Agreement.

21.2- Product Claims. No claims may be made (including personal testimonials) as to therapeutic, curative or beneficial properties of any products offered by FGX, as more fully set forth in Section 4 below. Not only do such claims violate FGX policies, but they potentially violate federal and local laws and regulations.

21.3- Income Claims. In their enthusiasm to enroll prospective Members, some Members are occasionally tempted to make income claims or earnings representations to demonstrate the inherent power of network marketing. This is counterproductive because new Members may become disappointed very quickly if their results are not as extensive or as rapid as the results others have achieved. Moreover, the Federal Trade Commission and several states and provinces have laws or regulations that regulate or even prohibit certain types of income claims and testimonials made by persons engaged in network marketing. Therefore, Members may not make income projections, income claims, representations, or disclose his or her FGX income or the income of any other FGX Member (including the showing of checks, copies of checks, bank statements, or tax records).

21. Customer Complaints. A Member must timely report all customer complaints regarding the identity, quality,

durability, reliability, safety, effectiveness, or performance of FGX products or devices to the FGX Compliance Department ([email protected]). The FGX PowerStrip is listed with the FDA as a Type I Medical Device, governed by FDA Guidelines for Medical Device Reporting of Adverse Events , which are defined as a result from use of the device which may have caused or contributed to a death or serious injury. Any such event must be immediately reported to the FGX Compliance Department pursuant to FGX MDR policies and procedures.

SECTION 2: MEMBER RENEWAL, RESIGNATION AND TERMINATION

1. FGX Member Renewal. As part of remaining in good standing, a Member must renew their Contract and their FGX Business status bi-annually, based upon their initial enrollment date. All Members who have been with FGX six months or longer, have an opportunity to renew their FGX Membership by placing an order for 100 Q.V. at least once every 6 Volume months. The responsibility to renew rests with each Member. At the election of FGX, a Member who fails to renew his/her FGX Business may have their membership converted to Preferred Customer status, Membership terminated and/or be removed from the Member database. If an FGX Business position is terminated for failure to renew or by voluntary resignation, a Member may not be reinstated or regain their Rank or Downline Organization existing at the time of termination, and may not reapply as a new Member for a period of not less than six months since their last date of activity, at the sole discretion of FGX. FGX, at its sole discretion may elect to suspend, All inactive accounts may be assessed a ten (10) dollar monthly service fee.

2. FGX Business Ethics. FGX honors all applicable federal, state, and local laws and regulations governing good

business practices as well as the standards set by the Direct Selling Association (DSA) and the Multi-Level Marketing International Association (MLMIA). Members must adhere to the same ethical business practices to be successful. A Member agrees to comply with the Contract, all contractual obligations, and any applicable state and federal laws. Any breach or violation of the Contract may be deemed unethical and grounds for disciplinary action, including termination, to protect FGX, its Members and the integrity of the FGX Business. Examples of unethical behavior include, but are not limited to: 1) Cross-sponsoring; 2) Raiding another members Downline or sales organization; 3) Writing checks on insufficient fuCredit card charge backs; 6) Misrepresenting the FGX product or FGX Compensation Plan; 7) Engaging in any deceptive or unlawful trade practice or other illegal or unlawful activity; 8) Creating or publishing advertising material without prior Company approval; 9) Any unauthorized use of the FGX names, trade names, domain names, patent information, trademarks, or logos; 10) Manipulating the FGX Compensation Plan; and 11) Defaming, making libelous statements or impugning FGX, its products, services, staff, executives, vendors, or other Members.

3. Unfair Competition and “ Cross-Sponsor ing” . A Member may not, directly or indirectly, Enroll, solicit or attempt

to Enroll or solicit any other Member into any other network marketing or direct selling company, with the exception

exclusively in the Enrollment Tree. Further, a Member may not solicit the participation of any other Member, not on -FGX product that is competitive with FGX product or opportunities, or

to participate in any other direct sales, network marketing, or multi-level marketing company or opportunity through direct solicitation by telephone, internet, mail, in person, or any other means of communication. The foregoing

3.1- Cross-Line Sponsoring. A Member may not, directly or indirectly, Enroll, solicit, or attempt to Enroll or solicit any existing Member into another leg, tree, team, or position. Such prohibited activities constitute unfair

4. Voluntary Resignation. A Member may, at any time, voluntarily resign as a Member. A Member who resigns loses

all rights and all beneficial interests in the resigned FGX Business and to any Downline Members. A Member who voluntarily resigns may not reapply for a new FGX Business or apply to hold a beneficial interest in an existing FGX Business until six (6) months after their last date of activity. A Member may resign voluntarily by submitting to FGX a resignation letter signed by all Members in the FGX Business account and listing the Member name(s) and ID Number(s) and returning or destroying (including a notarized statement that they personally performed or witnessed

resign by failing to renew the Membership pursuant to Section 1 above. Any terminating Member is responsible for

5. Disciplinary Process. Failure to abide by the Contract may lead to appropriate disciplinary action. After a

disciplinary action is complete, FGX, at its discretion, may announce details of such disciplinary action publicly. Policy violations that do not lead to immediate termination may be dealt with as detailed below. The disciplinary process may involve any one step, some, or all of these steps: a. Informal warning. The Member may be notified verbally or in writing that the Member is in violation of the

Contract. b. Formal warning. A formal written warning may be sent to the offending Member explaining the violation,

required corrective action and stating that failure to remedy the stated violation may result in further disciplinary action.

c. Probation. A Member may be placed on probation for violating the Contract. The length and conditions of the probation may vary, depending upon the circumstances, but may include the denial of access to Downline organizations, Lists, the virtual office, any FGX websites or other restrictions. A Member placed on probation may appeal the probation using the same procedures for appealing a suspension.

d. their FGX Business may be suspended for serious violations or breaches of the Contract, and a suspension may last for a period of days or months, depending on each circumstance. Members may also be suspended during investigation of potential violations or breaches of the contract. In the event of a suspension, a suspension letter will be sent to the Member. This notice will list actions the Member must take in order for FGX to revoke the suspension, or the issues being investigated. These actions may include the immediate cessation of all violations; the submission of a written statement to FGX responding to the suspension; and such other action as may be necessary or requested by FGX. A Member who fails to respond to a suspension letter may be terminated. A Member may appeal a suspension in writing within the time period outlined in the suspension letter. Suspended Members are not eligible to receive compensation, earned or otherwise, from FGX or participate in any FGX functions or programs. FGX reserves the right to withhold compensation until the disciplinary process has been

use suspended Members may not place product orders, they will not qualify in the FGX Compensation Plan during their term of suspension. FGX may, at its absolute discretion, qualify an FGX Business during the suspension and retain all the earned Commissions to offset Member-caused damages to FGX. Additional administrative processing fees may also be assessed.

e. Termination. When a decision is made to protect FGX and other Members and/or customers by terminating a Member for cause, FGX will send notification by mail to the terminated Member at the most recent address on file. Upon receipt of notice from FGX, the Member shall immediately cease all Member activities and return all

Lists to FGX. Notice will be deemed received upon delivery, but no later than ten (10) days after mailing.

6. Disciplinary Termination. A Member may be terminated at any time by FGX for cause. A Member agrees that FGX

has the right to take quick and decisive action in limiting or terminating a Member that is found in violation of the Contract or any state or federal laws, statutes, and/or regulations that pertain to the FGX Business. FGX also reserves the right to pursue reasonable legal recourse for any such violations, as well as reimbursement from the Member for any expenses arising from under this clause must perform the acts described in the Contract regarding the surrender or destruction of any and all Lists and/or other intellectual property owned by FGX; additionally, terminated Members are reminded that the

7. Appeal of Termination. A Member who has been terminated involuntarily may appeal the termination by submitting a written explanation, including any extenuating or mitigating circumstances. The Member must submit the written appeal within the time period specified in the termination letter, but no later than ten (10) calendar days of receipt of notice of the termination. FGX will review any timely appeal and notify the Member of its decision. If the appeal is not received within the specified time period, the termination will be final. Appeals of termination may be submitted to the Compliance team at [email protected].

8. Termination Results. Whether a Member of an FGX Business is terminated through voluntary resignation or

revoked and the Member is no longer entitled to sell FGX product, to sponsor other prospective Members, or represent himself/herself as an independent contractor or Member of FGX, or to receive Commission payments. Any Bonus Rollover amounts on a terminated account may be converted to account credits at the time of termination. In addition, a terminated Member loses all rights to the existing Downline and is no longer entitled to receive Commissions, awards, or any compensation or recognition whatsoever, already earned or otherwise, from FGX, nor is the Member entitled to any other claim for indemnification with regard to the loss of his or her customer base or any investments made. A Member also forfeits any rights to Lists. A terminated Member must immediately return all existing Lists to FGX including all other documents and materials made available to him or her. Involuntarily terminated FGX Membership positions are the exclusive property of FGX and may remain in the current FGX Downline position to be disposed of in a manner that reflects consideration and serves the best interests of FGX, as well as the interests of the Upline and Downline Members of the terminated FGX Business. A Member who has been terminated for cause may not reapply for an FGX Business for one year following the date of termination.

SECTION 3: GENERAL TERMS AND CONDITIONS

1. Vendor Confidentiality. and exclude FGX Members. Consequently, a Member shall not contact or communicate, directly or indirectly, in any way with any FGX vendor or supplier, except at specific FGX events the vendor or supplier may attend at FGX request.

2. Non-Circumvention. A Member warrants that by entering into this Contract, the Member does not violate any other

agreements the Member has entered into with a third party, and further, that the Member has not entered into any agreement or contract that may invoke a non-competition restriction by any employer or direct selling company that wilexisting contractual or fiduciary duties that would prevent the Member from receiving the benefits of, and performing the duties of, this Contract. Members agree to indemnify FGX and FGX's directors, officers, employees, and agents, and hold them harmless from any and all liability including judgments, civil penalties, refunds, attorney fees, court cost, or lost business incurred by FGX as a result of claims or legal action brought against the Member by any former employer or direct selling company alleging breach of contract or other violation of any non-competition agreement. This provision shall survive the termination of this Agreement.

3. Amendment/Acceptance. FGX may amend the Contract, the Polices & Procedures and the FGX Compensation

Plan, at any time, at its discretion, and such changes shall be effective and binding seven (7) days after appearance on the FGX corporate website or in an official FGX publication, or upon acceptance of any Commission payment or

n FGX Business and/or acceptance of any earnings

pursuant to the FGX Compensation Plan or acceptance of any other benefits under the Contract constitutes acceptance of the Contract in its entirety along with any and all amendments thereto.

4. Limitation of Liability. Regardless of the form of claim, whether in tort, contract, or other, FGX and its officers,

employees, and agents shall not be liable for any consequential, incidental, special, or punitive damages, including lost profits, for any claims by a Member. No legal action may be brought by either party to the Contract more than one (1) year after the event giving rise to the cause of action has occurred.

5. Arbitration, Governing Law and Jurisdiction. This Contract shall be governed by the law of the State of Utah, as

that law applies to contracts made and performed wholly within the State of Utah. FGX and the Member who enter into this Contract irrevocably consent to settle any suit, action or proceeding arising out of, or relating to, the Contract by binding arbitration in the State of Utah using the rules of the American Arbitration Association under the jurisdiction of the courts of the State of Utah and of any federal courts in the State of Utah. Each party having a concern shall first give notice of the offense and allow at least thirty (30) days for the other party to cure. In the event of dispute, the prevailing party expenses by the other party.

6. Severability. In the event that any section or subsection of the Contract shall be found invalid or unenforceable, it

shall be deemed to be removed from this Contract, and shall have no impact upon the validity or enforceability of any other section.

SECTION 4:

ADVERTISING

FGX encourages Members to promote FGX product and the FGX Business Opportunity pursuant to the appropriate guidelines issued by FGX. These guidelines are required in order for FGX to ensure compliance by Members and FGX with the myriad of laws that govern the advertising of FGX product and the FGX Business Opportunity. Failure to follow these guidelines can result in violations of local and national laws, which may result in damage to the reputation of FGX, as well as restrictions upon FGX, Members, and FGX product, that could trigger undesirable publicity and possible fines, penalties and/or legal actions.

1. Re-packaging and Re-labeling Product. Members may not repackage, re-label, refill, or alter the packaging or labeling on any FGX product, information, material, or program in any way. FGX products must be sold in their original packaging.

2. Internet and Other Electronic Media. A Member may not use electronic media advertising of FGX product or the FGX Business Opportunity on television, radio, social media, websites, or on any Internet site without prior written approval from FGX. Compliance with this policy ensures an equal opportunity for all Members to succeed with FGX. Please forward all advertisements to [email protected].

2.1 Member Websites. A Member may use the Internet to promote the FGX Business Opportunity by

creating a personalized Website, however, the Website must display a graphic, approved by FGX that states they are an independent Member. forms of electronic communication through which users create online communities to share information, ideas, personal messages, and other content (i.e. videos). Such Websites and all other Websites used by a Member are subject to review and approval by the FGX Compliance Department ([email protected]). A Member may not register or use any FGX name(s), trademark(s), logo(s), or product name(s) in any URL address or domain name. FGX reserves the right, at its discretion, to reject, refuse, and withdraw a URL or domain name.

Members are required to comply with the U.S. CAN-SPAM Act of 2003, 15 U.S.C. §§ 7701-7713 (and Rules promulgated thereunder at 16 C.F.R. pt. 316), which establish federal standards for electronic mail whose primary purpose is commercial, such as requiring that consumers be given the opportunity to opt-out of receiving future solicitations, and any other laws governing the electronic distribution of materials.

3. Promotional Material. FGX may allow a Member to use FGX names, logos, or trademarks provided such use is

in accordance with the Contract. All FGX literature, audiotapes, videotapes, Internet website material, and programs are copyrighted by FGX and may be duplicated only by obtaining the prior written consent of FGX. Please forward all such requests to [email protected].

3.1 Member Incentive Programs. Members may offer incentive programs to their team and prospective Members of their team; however, Members may not publicly advertise such incentive programs because such advertisements may result in, direct or indirect, cross-sponsoring or other violations of the Policies and Procedures.

4. Proprietary Names and Intellectual Property Rights. s employee names,

trademarks, service marks, trade dress or trade names, domain names, logos, FGX media or public relations events or any distinctive phrases or sounds used by FG ing written permission from FGX. To protect the proprietary rights of FGX, a Member may not obtain, through filing for a patent, trademark, Internet domain name, or copyright, any right, title, or interest in or to the names, domain names, trademarks, logos, or trade names of FGX and its products. As FGX changes or abandons any of its trade names or marks, a Member agrees to also change or abandon such trade names or marks. Should a Member possess or control any FGX intellectual property rights, or come into possession or control of said marks or other property, the Member agrees to assign such intellectual property rights without charge or delay to FGX.

5. Product Claims. A Member may not make any prescriptive, disease, medicinal, or therapeutic claims for any

FGX product or specifically prescribe FGX product as suitable for the treatment of any ailment. No representation or sales offers may be made relating to FGX product that is not accurate or truthful as to grade, quality, performance, and availability. Appropriate product information is contained in authorized FGX literature and is subject to periodic review and revision by FGliterature and materials. All product representations made by a Member must be the same as those found in current FGX literature. Members are prohibited from diagnosing any medical condition or prescribing or suggesting any FGX product as a form of treatment for any disease or condition. Additionally, testimonials in literature and websites must not contain any reference to cures, healings, miraculous recoveries and/or the suggestion to cease taking any physician prescribed medications; and must state that the material does not represent that all people will have the same experience. All product claims must be accompanied by a disclaimer acceptable to FGX, stating the comments displayed were for information purposes only, and have not been evaluated by the Food and Drug Administration and therefore are not intended to diagnose, treat, cure or prevent any disease. FGX products are designed to be an important overall part of an individua X believes in embracing health, not fighting disease. If an interested person, customer or Member is suffering from a medical condition, it is recommended that they speak with a medical professional prior to making any nutritional or dietary changes in their lives.

6. Income and Opportunity Claims. No unreasonable or misleading claims or intentional misrepresentation of

earnings or potential income may be made by a Member. Income guarantees of any kind are prohibited by the

Contract and by law, as is the exhibition of actual or copies of Commission checks or earnings statements. Income representations must be honest and based on fact. In addition, income representations must include disclaimers that earnings may vary depending on the degree of effort employed. No earnings are guaranteed, and a Member is not guaranteed to reach a certain compensation level.

7. Sale or Promotion of Non-FGX Product, Opportunities, or Materials. A Member shall not sell, promote, or advertise non-FGX product, opportunities, or materials that are competitive with FGX product, opportunities or materials, on Internet sites that offer the FGX opportunity or product, or at FGX functions to Members or customers. FGX functions include, but are not limited to conventions, meetings, seminars, teleconferences, webinars or similar events prepared by a Member of FGX for Members, prospective Members, or employees of FGX. Sales and/or recruiting in violation of this provision may constitute unfair competition against FGX and a breach of the Contract. Such violation is subject to disciplinary action, up to and including termination of the Membership and other legal actions.

8. Future Growth Claims. A Member shall not imply or assert that additional products or services will be added to

the products and services currently offered by FGX, or that enhancements to the FGX Compensation Plan are forthcoming, or that specific territories or areas will be opened or added to the FGX business operation unless or until the change or event has been officially announced in writing by FGX.

9. Governmental Claims. A Member shall not state, suggest, or imply that the FGX Compensation Plan or its

products or business opportunities are approved by any state attorney general, federal or state government authority or agency, or any other third party.

10. Company Recordings. A Member may not, without the prior written approval of FGX, produce for sale or

distribution, in personal or business use, any audio, video, or other recording of FGX sponsored events, speeches, employees or meetings. Neither may a Member produce or make available to others any company recordings without the express written permission of FGX.

11. Media Inquiries. In order to ensure accuracy and consistency of information, a Member who receives any inquiry

from the press or other media regarding any aspect of FGX, its products, or the FGX Business Opportunity should refer such inquiry to FGX at 801-655-5500.

12. Telephone Book and Directory Listings. All listings for telephone publications and/or other directory type

servictelephone number. A Member may not display advertisements in telephone directories using the FGX name(s), logo(s), image(s), or product name(s), excluding such marks approved specifically for this purpose. A Member listing a toll-free telephone number may not use any FGX name(s), logo(s), or product name(s) for such listing. A Member agrees to not use 900 numbers, surcharge numbers, or other similar toll numbers for the purpose of marketing either the FGX Business Opportunity or FGX product. A Member may not answer the telephone in any manner that would give callers a reason to believe they have reached the corporate headquarters or any other FGX company offices or company employee. Specifically, a Member shall NOT ansbut shall answer indicating his or her status as a Member or Distributor of FGX. Answering machines and voicemail, emails, faxes and all other forms of communication must also comply with this policy. Members who fail to comply with this policy are subject to disciplinary action as determined by FGX.

13. Fairs and Special Events. To enhance the reputation and high caliber of FGX products, a Member agrees to not

display or advertise FGX product at swap meets, flea markets, garage sales, or any other similar events. Upon approval, a Member may display FGX product in a booth at state or county fairs, trade shows or exhibits, but may not display competing products or products from any other direct-selling company with FGX product.

For years now I have watched in disbelief as companies in our industry come and go, with what I call “boy band mentality”, or hollow, trendy, one hit wonders!

Your Enroller is your best source for information and support regarding your new business. Q: What tools do I have to manage my new business? A: Upon becoming a Member of ForeverGreen/FGXpress, you will automatically receive access to a secure online Member portal known as your web office. The web office can be found at www.fgxpress.org. Your web office username is your Member ID, and the password is the password you chose during the enrollment application process. Keep your private information secure by not sharing your username and password with others. Q: How do I receive my commission earnings? A: Upon enrolling as a Member of ForeverGreen, the default method for receiving your commission payments will be eWallet. You can change your preference anytime through your web office. To change the preferred method of receiving commissions, log into your web office, select ‘Commissions’ and then ‘Payment Setting’ from the top navigation menu. You can change your payment preference to a payment card (Payoneer or other paycards available to certain locations), or have your money retained in your eWallet.
