Our Infinity Assurance programme is designed to give you confidence and knowledge to make

the right decisions when it comes to selecting LED lighting. It is a set of 4 standards covering:

Light Quality Minimum CRI >80Ra. Colour temperature tolerances and binning: SDCM<4.

Reliability Minimum chip and driver failure rates of less than 1% for 6,000 hours, minimum

lumen maintenance of 50,000 hours for L70/B50 criteria.

Efficacy Minimum performance of 80 luminaire lumens per circuit watt.

Warranty Minimum 5 years warranty for absolute failure on driver, chip or luminaire.

So when you see the Infinity Assured mark you can be sure that the luminaire meets the

standards for light quality, reliability, efficacy and warranty.

A S S U R A N C E

For many of our recessed or surface luminaires that have traditionally been fitted with

fluorescent lamp sources the move to a LED source has been very straightforward.

The choice of outputs and colour temperatures is greater than it was with

fluorescent, as the development of driver technology has allowed a wide range of

driver currents (and therefore luminaire power) to be available.

Lighting in the Retail sector has always been at the forefront of designers’ and

installers’ minds and the development of higher power, spot modules (up to 5000

lumens) has opened up the energy and maintenance benefits to the sector. Along

with high colour rendering values (CRI >90Ra) and more accurate optic control, the

high street is seeing a real revolution in the choices available for quality lighting.

L E D S P O T M O D U L E S

The flexibility of design and production for LED allows bespoke LED arrays to be

made to suit specific product applications. This allows designers greater freedom in

planning and fitting a new lighting installation into existing buildings or architectural

forms. With our own in-house electronics division, Tamlite Lighting is able to provide

bespoke solutions for our own luminaire ranges, as well as design and develop

unique tailor-made solutions for clients.

LED is now firmly established as a light source for many different applications and represents

over half of the sales of all luminaires in the UK market. The improvement in efficiencies and

costs have resulted in significant benefits to end-users and installers as they look to take advan-

tage of longer life and improvements in lighting maintenance.

Ra - Colour rendering index in many applications should

now be a minimum of 80Ra.

CCT - Colour temperature ranges are now available at

any of 4 specific values:

> Warm White - 3000K

> Neutral White - 4000K

> Cool White - 5000K

> Daylight - 6000-6500K

One of the biggest benefits of LED as a light source is the

delivery of extended lifetimes over and above traditional

light sources. This has resulted in a number of different

methods for evaluation, as European and industry

standards are still in draft stage at time of publication,

the following represent the most professional method

of outlining lifetime expectations. Fluorescent, halogen

and discharge lamp lifetimes are often quoted by way

of an absolute failure calculation. Lifetimes of 20,000

hours would indicate that at this point, 50% of the

lamps in an installation would have failed outright. In

many applications this would have resulted in an actual

illumination level well below the design standard.

L I F E T I M E

LED's have superior absolute failure rates so the measure is moving towards identifying the degree

of light loss that an LED source will suffer over its lifetime. This is then measured as a percentage

of initial output (e.g. L70 = 70% of initial lumen output). It has been common to also state what

quantity of LED chips/modules this drop applied to. Typically this has been 50% of an installation,

hence the term L70/B50 indicates that half of the LED chips in an installation will suffer a minimum

of 30% drop in output before the quoted lifetime.

Crucially this figure is quoted as expected useful lifetime of the LED modules and therefore may well

be different to a product warranty that will apply to LED light source, driver and associated wiring

or controls. IEC 62717 is still in draft stage, but is expected to become EN standard and will then

provide a universal platform for customers to make their choices on.

The development of LED technology has put the metrics used to identify the quality of light into

greater focus. Tamlite Lighting have developed the Infinity Mark to help customers identify a range

of specific standards that make it easier to be assured that certain quality thresholds will be met.

It is vital that our customers have all the data and information available so that they can make

informed and accurate decisions about the right solution for them. Tamlite Lighting provide third

party, independent photometric test data that eliminates the need to second-guess design work.

Compliance with relevant design standards cannot be compromised in the search for energy

reduction and maintenance benefits so accurate and reliable data has become the minimum

standard for Tamlite Lighting.

Delivering ‘Best of British’ technology to the very heart of its lighting technologies has long

been an initiative pursued by Tamlite Lighting – one of the UK’s largest privately owned

lighting manufacturers. Now, the company has announced the culmination of £500K+

investment in its own UK production facility to manufacture high performance LED printed

circuit boards (PCBs).

The Tamtec facility benefits from the very latest advances in

surface mount and associated technologies for single and

double sided PCB production.

Quality control remains paramount, and fully-automated

production processes mean that the need for manual

handling of each board is virtually eliminated.

wave of commitment to further strengthen the company’s

offer to customers. In the last three years, Tamlite has spent

over £4 million on product research and development. This

With well in excess of 10 million pounds sterling of U.K. based manufacturing resource and 50

years of experience at our disposal, Tamlite Lighting is able to offer a market-leading, bespoke

manufacturing solution for those lighting projects where refurbishment or custom-fit designs are

required. We have a team of design and production engineers on-hand to assist with on-site surveys,

sample approval and designs covering a multitude of applications in retail, industrial or commercial

installations. Solutions can be designed for retro-fit or new installs where mechanical or electrical

fit does not conform to standard lighting formats. This can often help reduce installation costs of

other building components, such as ceilings or services, as well as release energy savings available

through the introduction of new lighting technology.

There are many instances where the replacement of the current

lighting fixtures is impractical or costly and a refurbishment of

existing housings or gear trays would help reduce capital install

costs, allowing for new lighting technology to assist with energy

reduction. Many older fluorescent or halogen luminaires can be

fitted with retro-fit LED solutions which are designed to fit directly

onto existing lamp holders. However these solutions don’t

always release the energy savings and continued performance

needed, so a refurbishment of gear trays and attachments can be

undertaken. Tamlite have many years of experience in stripping

out existing gear trays or luminaires, re-finishing and painting

and then re-wiring with the LED light sources. In many instances

the design of a replacement tray or housing is just as practical and

economical as the all-new option.

R E T R O - F I T

Many existing buildings have older ceiling types which require

a unique, one-off design to provide a modern, energy efficient

lighting solution. The dimensions and form-fit of the luminaire

and any optical attachments are often outside of the standard

range offered by most lighting companies. Tamlite Lighting is

able to attend site and discuss with building engineers, architects

and installers the requirements for mechanical and electrical fit

as well as any lighting design needs. Our expert team of luminaire

design engineers can then draw up all the necessary plans for our

production teams to produce samples for approval. These often

involve a number of modifications and iterations before ultimate

approval, leading to final supply and delivery - often within weeks

of the initial consultation.

A key factor in the rapidly changing world of lighting standards and ever stricter European lead legislation governing Lighting, in all its aspects, is the ability to

remain focused and committed to producing lighting products that comply with current legislation, and at the same time producing quality products that will

give many years reliable service. To this end Tamlite Lighting has invested heavily in experienced staff and test facilities in the laboratory at our central Technical

department based in Telford.

The test facilities allow Tamlite Lighting to carry out tests to ensure product CE compliance, this includes the ability to conduct EMC, electrical safety, electrical

parameter and thermal performance testing. This gives Tamlite Lighting the ability to provide technical back up to all of the Tamlite Lighting divisions in addition to

offering such back up to our customers.

NETWORK DB10 provides an efficient and cost effective way to interconnect presence detectors and

luminaires using industry standard connectors. One or two detectors can be connected to up to 10

luminaires, depending upon the configuration required. One detector can control up to 10 luminaires

NETWORK DB12 has 6 output channels providing control through various protocols (DSI/DALI and analogue dimming and conventional switching) with

the capability of connecting motion detectors and volt-free switch inputs. Luminaires use industry standard connectors. Simple programming changes are

made via an infrared programmer. By connecting a control and communications Interface, each NETDB12 box can be monitored over an internet or ethernet

connection and interact via BACnet protocol to other systems (BMS, HVAC, security).

The lighting environment within schools and universities is now more demanding than ever. The variety and flexibility

that is needed for the many different teaching layouts has resulted in greater focus than ever on making sure lighting

enhances the teaching experience.

Many classrooms and workspaces have an abundance of ambient daylight and a lot of people movement, so careful

design of the space and lighting controls can help to provide energy saving benefits without compromising the

lighting.

Integrated sensors can help provide accurate illumination levels within each area of a classroom to make sure everyone

has the exact amount of light they need. These can then be connected without complexity so that luminaires can easily

be grouped. Absence detection can also make sure that energy is automatically saved when rooms are empty and

quickly vacated.

The challenge of controlling illumination levels at high mounting heights can easily be overcome with the introduction

of medium or high bay sensors which can operate from 6m to 16m. These can be easily integrated into the Tamlite

luminaire range to enable ease of installation whilst allowing daylight dimming or presence control.

This allows energy savings in large areas when movement is restricted to isolated instances within a busy warehouse

location. The highly accurate control of lens masks, or tilting lenses, allows main thoroughfares to be lit whilst

unoccupied aisles remain on standby, or even off.

As the workspace within offices changes to a more dynamic and varied environment, the need for greater

consideration and enhanced technology to control the lighting space grows and grows.

An understanding of the user's needs and movements is vital in making sure that presence detection is a benefit not

a hindrance, and careful management and commissioning of interconnected systems will help secure some significant

energy savings.

Highly accurate lens control on stand-alone sensors can help control lighting in key areas such as corridors whilst

avoiding triggering illumination in open-plan areas.

A change of office layout can easily be accommodated with the quick-link wiring connections and the new micro

detection zone feature allows lighting to be kept on even under the most static of work conditions - such as desktop

PC tasks.

Kirklees College carried out an extensive overhaul of the lighting across its Dewsbury Centre. This involved installing 578 low-energy

lighting products in classrooms, offices and corridors across three of the building’s five floors. For Kirklees College, the resulting energy

This would be in an area where explosive atmospheres are, or may be, expected to be present in quantities such as to require special precautions for the use of

electrical equipment. In order to create an explosion there have to be three elements present: fuel / flammable substance (e.g. gas or dust), oxidizer (e.g. oxygen in

the air) and finally a source of ignition spark (such as an electrical spark). These three elements are commonly referred to as ‘the fire triangle’.

The concentration has to be between the Lower Explosion Limit or LEL (this is the level below which the gas atmosphere is not explosive) and the Upper

Explosion Limit or UEL (this is the level above which the gas atmosphere is not explosive) for the explosion to occur. There are many examples of installations

which may require hazardous area lighting as below:

T H E I M P O RTA N C E O F AT E X Atex is a required testing and certification-type approval to verify the safety of products destined for the European Union (where it is mandatory) and other international

regions (where it is a frequent specification) and this applies directly to hazardous area lighting. All hazardous area lighting must demonstrate compliance to ATEX

directives which would provide assurance that the fixture should not cause an explosion during routine operation. In order to correctly install or extend an existing

installation under ATEX the following information is normally required:

> Specific documents for lighting (e.g. certificate numbers which have the suffix “X”)

UK law advises that it is the employer who is responsible for the health and safety of the employees and further to this ATEX advises that it would be the site manager or

creating a well-lit, versatile and comfortable environment, while keeping energy costs low. The new hall trebled the Prep School's

indoor sports space, with facilities for badminton, mini tennis, mini basketball, indoor hockey, cricket and many other sports. The

The testing of Emergency lighting throughout private or public buildings is the responsibility of the owner or occupier. The legislation

for this is laid out in BS5266-1 and landlords, end users or owner occupiers are at risk if they do not have the correct testing and

recording of emergency lighting installations in place.

The Tamlite e-CONNECT system provides one of the most professional and complete automatic self-testing systems on the market.

The Tamlite e-CONNECT system offers a flexible and professional, automatic emergency testing system that allows for scheduled maintenance programs to be

carried out without the need for walking around site and costly access.

The system incorporates the use of fully addressable DALI emergency modules to allow for full monitoring of status and battery condition, and a communications

protocol that allows for central monitoring and reporting as well as remote access to the emergency lighting network for testing and real-time status.

The entire system is wired via a simple 2-wire bus system that acts as the communication highway for devices to report back on function and duration testing.

Luminaires can be dedicated emergency or conversions of standard luminaires and these can be grouped or zoned into user-defined sectors allowing scheduled

testing of different areas or luminaire types at specific times.

Ensures the “Responsible Person” for the installation has met legal obligations in ensuring emergency lighting testing has been carried out and recorded.


F U N C T I O N A L I T Y

Once installed, the Tamlite e-CONNECT system allows for 2 main emergency lighting test functions:

> Function test for loss of mains power supply. The system simulates the loss of mains power and then checks

that all devices on the network operate safely and correctly from the battery supply within the luminaire.

> Duration test removes the mains power supply for a period of usually 3 hours to ensure the battery supply is

capable of meeting the minimum requirements.

Manual scheduling of these 2 functions allows a minimum of disruption within the building.

Once the tests are complete then test reports can be printed or e-mailed to a remote location for review and storage in central locations. This allows the system to

be very beneficial across large, multi-building estates such as hospitals, universities, schools and large factory sites.

E - C O N N E C T P A N E LCentral to the control and management is the e-CONNECT panel that is the

final termination point of the 2-core DALI bus.

The e-CONNECT panel provides an easy user-interface for engineers or site

managers to schedule testing, monitor status and report testing schedules

and results back to a central network point or even via ethernet to a remote

location.

All emergency function testing and duration testing can be scheduled remotely

from the panel with collation of all results or individual testing and identification

of failed units. All luminaires and emergency points can be addressed and

named on commissioning so that testing errors can be easily and quickly

located.

Larger installations can have multiple panels connected together to manage

sites where more than 120 emergency devices are needed.

The e-CONNECT panel has a 7” colour screen with a user-friendly display and a

screen lock mode.

The urgent renewal of failing existing lighting at their distribution centre, was the focus for Dixons Carphone plc, leading electrical and

For many years lighting design seemed a low priority in architectural considerations for a building. Today however it is recognised as a crucial element

in the building services industry. Not only is lighting sometimes responsible for up to half of a commercial premises’ power consumption, but it can

often be the finishing touch in a project which ensures achievement of an attractive, stimulating and dynamic environment for all users. With such vital

considerations, it is clearly very important to ensure a qualified and experienced input by skilled personnel every time.

The design of a lighting installation involves the collation of a wide range of information, all of which is crucial in helping the designer or installer to make the right

choice. This process is often neglected, but forms the basis of all good lighting design. The information can be as involved as user work patterns or be as simple

as the type of ceiling that is installed. An understanding of the application, the products and the science behind the design is vital. Tamlite Lighting have invested

considerable amounts of time and money in the development of a professional and dedicated technical team that can provide the help and guidance that

designers and installers expect from one of the UK’s leading lighting suppliers.

Colour temperature

The colour temperature relates to the characteristic of visible light. Colour temperature is measured in degrees Kelvin,

using the symbol K, a ‘unit of measure’ for absolute temperature, (the radiated heat flux of traditional incandescent

lighting). A colour temperature of 3000ºK will display a warmer white tone whereas a colour temperature of 6000ºK

appears much cooler and blue/white.

Efficacy Measured in lumens per Watt, efficacy helps compare the amount of light available for each Watt of power lm/W

Illuminance The luminous flux density on a surface, per unit area, known as the illumination level and expressed as E or Lux1 lm/m² = 1 lx

Luminance The measured brightness of a surface stated in candelas per square meter cd/m²

Light output ratio The ratio of the total light output of the luminaire to the output of the light source (LOR)%

Luminous flux The total light output of a luminaire Lumens

Uniformity ratio This generally represents the ratio between the average illuminance value and the lowest across a specified area%

All Tamlite Lighting products carry the ‘CE’ mark. The CE mark signifies that a

product conforms to the relevant directives and regulations for that product

type. Tamlite Lighting also have obligations under the Consumer Protection

Act 1987. This requires that any electrical appliance made available for sale

is safe. By providing our own in-house testing facilities Tamlite Lighting can

self certify all of our products on this basis.

However third party certification or approval is also available for some

of our products and these can be provided upon request.

E M E R G E N C Y L I G H T I N G

As well as manufacturing a wide range of dedicated emergency lighting

products, Tamlite Lighting also offer many of our products with additional

emergency lighting conversion packs. This conversion is done using only

the highest quality components available in the market place. This includes

inverter modules and batteries. Many types and quality of emergency DC

batteries are available but such is the necessity for reliability that Tamlite

Lighting only use those that are tested to continue holding charge even

after many years of regular statutory testing. Not all emergency luminaires in

the market place may offer this assurance.

M A N U FA C T U R I N G A N D P R O D U C T I O N

Over the years Tamlite Lighting have invested heavily in tooling, machinery,

design and testing facilities, as well as training for our lighting team to

develop our product range professionally. We now operate leading edge

CNC punching machines and break press equipment at both our Redditch

and Telford sites as well as using the latest CAD/CAM facilities. Our design

team use the latest 3D enhanced design software which allows an

unsurpassed level of innovation into the design process. Our production

schedules and reduced machine changeover times have resulted in the

best availability for special items in the Industry. This is on top of the many

millions of pounds sterling worth of stock carried in our warehouses and

within our distributors stores around the U.K.

A key factor in the rapidly changing world of lighting standards and

ever stricter European lead legislation governing lighting, in all its

aspects, is the ability to remain focused and committed to producing

lighting products that comply with current legislation, and at the same

time, producing quality products that will give many years reliable

service. To this end Tamlite Lighting has invested heavily in experienced

staff and test facilities in the laboratory at our central Technical

Department based in Telford. The test facilities allow Tamlite Lighting

to conduct tests to ensure product CE compliance, which includes the

ability to conduct EMC, electrical safety, electrical performance and

thermal performance testing. This gives Tamlite Lighting the ability

to provide technical back up to all of the Tamlite Lighting factories, in

addition to offering such back up to our customers.

All Tamlite products are manufactured in accordance with the relevant

British/European (BS EN) standard, mainly working towards BS EN60598-1.

This standard covers luminaires - general types. Further testing is done for

more specific luminaires relevant to their application or type. These are listed

The new and completely rewritten edition of the Lighting

Guide 7: office lighting, covers all aspects of the lighting of offices, from

board room through general offices to the post room. It also includes

guidance on lighting for office spaces where display screen equipment

is in use (VDT). This effectively replaces Lighting Guide 3 as the relevant

guidance for office areas. However, there are many other buildings where

display screen equipment is used, that Lighting Guide 3 (now out of print)

provides useful guidance for such applications. Lighting Guide 7 gives advice

on the design and operation of office lighting schemes and installations for

all users of office buildings and associated areas.

The guide is aimed at, and will be useful to, lighting specifiers, designers,

equipment providers, contractors, users, maintainers and developers.

Following an introduction which sets the scene in terms of legislation,

standards and good practice, sections cover:

The guide contains the following text: “For the ceiling not to appear dark,

the average illuminance on the ceiling, from both the direct and reflected

components, should be at least 30% of the average horizontal illuminance

across the working plane. In large spaces with ceilings less than 2.4m high

this may be hard to achieve. If there is no alternative to using recessed

luminaires the ceiling illuminance ratio should still be as close to 30% as

possible”. “It is likely that where ceiling illuminance ratios are lower than 30%

a poor visual environment will result. Where reflected light is not sufficient

to achieve these levels, additional light from the sides of surface mounted

downlights, from uplighting elements of suspended luminaires, from

dropped elements of recessed downlights or from supplementary uplights

may be used”. This guide makes use of several relevant international,

European and British Standards and is a companion to the SLL Code For

Lighting 2012, also published by CIBSE. The declaration of conformity

originally published in connection with Lighting Guide 3 has been updated

slightly to make it suitable for use with Lighting Guide 7.

W E E E

The Waste Electrical and Electronic Equipment (WEEE) EU Directive 2002/96/

EC amended by 2003/108/EC published 8th December 2003. This directive

stipulates procedures to be implemented for the collection, treatment,

recycling and recovery of electrical waste and places the responsibility on to

the retailer/distributor of the product. The WEEE directive was made law by

Statutory Instruments SI2006 No.3289 amended by SI2007 No.3454 and

came into force 2nd January 2007 and is known by the Waste Electrical and

Electronic Equipment Regulations 2006. The WEEE producer registration

number for Tamlite Lighting is WEEE/FG0077UT.

L A B E L L I N G

The WEEE Regulations require producers to ensure that equipment which

they put on the UK market after 13th August 2005 is marked with the

crossed out wheeled bin symbol, see left. In addition to this symbol, the

directive requires producers to ensure that products put on the UK market

after 13th August 2005 are marked (i) to show that they were put on the

market after that date; and (ii) to identify the producer. These symbols

also indicate that this product must not be disposed of within the normal

waste stream and should be recycled at the end of life. All Tamlite Lighting

products carry these markings from August 2005 on either luminaire body,

packaging and/or installation data sheets.

There is a restriction on the use of certain hazardous substances in electrical

and electronic equipment in the European Union. This was implemented

in the EU by publication of the European Directive 2002/95/EC on 1st July

2006. This was made law in the UK by Statutory Instruments SI2008 No37

and the RoHS Regulations that came into force on 1st February 2008. The

RoHS regulations limit the amount of the following hazardous substances

that can be contained within homogeneous materials:

Cadmium – 0.01%

Mercury – 0.1%

Hexavalent chromium – 0.1%

Polybrominated biphenyl (PBB) – 0.1%

Polybrominated diphenyl (PBDE) – 0.1%

Lead – 0.1%

Tamlite Lighting have strict controls to ensure compliance with the RoHS

Regulations and have made our declaration of conformity accordingly.


The guide specifically looks at areas using visual display screen equipment and can be split into two parts. The first part looks at the luminaire used in the space

and the required luminance limit of the optics. As the space contains display screen equipment the luminaire used must limit the glare in the area. The luminance

limit is based on the type of screen and the type of software in use. A typical value at 65 degrees for most screen types is 3000cd/m². Also covered in part one is a

recommended horizontal illuminance of 300-500 Lux and a minimum uniformity on the desks of 80%. Part two looks into the illumination of all the surfaces in the

room and is the main addition to the guide since it was published in 1996. The additional criteria was introduced to make the office environment a brighter more

enjoyable space to work. Illumination levels should be greater than 75 Lux on walls and 50 Lux on the ceiling. For more information visit www.cibse.org

1 Interpretation 1.1 In these Conditions:

“Buyer” means the person who accepts a quotation of the Seller for the sale of the Goods or whose order for the Goods is accepted by the Seller. “Conditions” means the standard terms and conditions of sale set out in this document. “Contract” means the contract for the purchase and sale of the Goods. “Goods” means the Goods (including any installment of the Goods or any parts for them) which the seller is to supply in accordance with these Conditions. “Seller” means Saldon Products Ltd., trading as Tamlite Lighting, registered in England under number 494829, whose registered office is at P.O. Box 4265, Fishing Line Road, Redditch, Worcs. B98 0SQ.

1.2 The headings in these Conditions are for convenience only and shall not affect their interpretation.

2 Basis of Sale 2.1 Any quotation or estimate given by the Seller is an indication given in good faith and shall not

become binding upon the Seller unless subsequently confirmed by the Seller in writing. 2.2 All prices quoted are based on information available at the date of quotation and the seller reserves the

right to vary prices at any time without notice prior to the date of issue of the relevant invoice and the price payable by the buyer shall be the price applicable at the date of the invoice.

2.3 The Contract made between the Seller and the Buyer shall incorporate and be subject to these Conditionsand receipt of the Goods by the Buyer shall be deemed conclusive proof that the Buyer has accepted these Conditions to the exclusion of any other terms and conditions and in particular to the exclusion of any terms and conditions of the Buyer.

2.4 No variation to these Conditions shall be binding unless agreed in writing between the authorized representatives of the Buyer and the Seller prior to the date of the Contract.

2.5 The Buyer shall not be entitled to rely on any typographical, clerical or other error or omission in any sales literature, quotation, price-list, acceptance of offer, invoice, or other document or information issued by the Seller. Any such error or omission shall be subject to correction without any liability on the part of the Seller.

2.6 The Seller reserves the right to make any changes in the specification of the Goods which are required toconform to/with any applicable safety or other Statutory requirements.

3 Price of the goods 3.1 The price of the Goods and any applicable services is exclusive of VAT and any other taxes and the cost of

carriage and any other matters all of which will be charged in addition. 3.2 In the event of any variation or suspension of the work which is agreed to by the Seller upon the buyer’s

request, or if the Buyer’s instructions are incorrect or insufficient, the Company shall be entitled to adjust the price of the Goods, and/or any relevant services to reflect costs involved, and to adjust delivery dates as appropriate.

3.3 The Seller shall be entitled to bring an action for the price, or part thereof whether or not the ownership in the Goods has passed.

3.4 All prices quoted are valid for only 30 days from date of quotation, and must be verified thereafter.

4 Terms of payment 4.1 Payment is to be made by the Buyer in cash with order, or against a Pro-forms invoice unless a credit

account has been opened. A Buyer wishing to open a credit account should furnish two trade, and one banker’s reference for approval by the Seller.

4.2 Where credit is granted payment should be made by the 28th day of the month following delivery with settlement discount, if applicable, being allowable on the amount shown on the invoice in relation to the Goods only if payment is received by the Seller on time.

4.3 The Seller shall be entitled in its absolute discretion to withdraw credit at any time, and refrain from delivering the Goods until such time as the Buyer tenders the purchase money to the Seller together with any outstanding amounts which may be due to the Seller on any account whatsoever.

4.4 Time of payment of the price of the Goods shall be of the essence of the Contract. Accordingly, if the buyer fails to make any payment on the due date then without prejudice to any other right or remedy available to the Seller, the Seller shall be entitled to: 4.4.1 cancel the Contract or suspend any further deliveries to the Buyer: 4.4.2 charge interest. Interest will be calculated as per the “Late Payments of Commercial Debts

Regulations 2002”, and any amendments to said legislation thereafter.

5 Delivery 5.1 Any dates quoted for delivery of the Goods are approximate only, and the Seller shall not be liable for

any delay in delivery of the Goods howsoever caused. Time for delivery of the Goods shall not be of the essence unless previously agreed in formal written contract by the Seller. The Goods may be delivered by the Seller in advance of the quoted delivery date upon giving reasonable notice to the Buyer.

5.2 In respect of any Contract the Seller shall be entitled to make delivery of the Goods by installments, and to invoice the Buyer separately for each installment dispatched.

5.3 Any failure to take delivery by the Buyer shall be deemed to be a breach of the Contract (save for grounds for rejection as specified in the law relating to the Sale of Goods).

6 Risk and title to the goods 6.1 Risk of damage to, or loss of the Goods shall pass to the Buyer:

6.1.1 In case of Goods to be delivered at the Seller’s premises, or other nominated address/site at the time when the Goods are collected; or

6.1.2 In the case of Goods to be delivered otherwise, and at the Seller’s premises at the time of delivery, or if the Buyer wrongly fails to take delivery of the Goods then at the time when the Seller has tendered delivery of the Goods.

6.2 Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these Conditions the property in the Goods shall not pass to the Buyer until the Seller has received in cash, or cleared funds payment in full of both: 6.2.1 the price of the Goods; and 6.2.2 the price of all other Goods agreed to be sold by the Seller to the Buyer for which payment is

then due. 6.3 Until such time as property in the Goods passes to the Buyer the Buyer shall hold the Goods as the Seller’s

fiduciary agent and bailee, and shall keep the Goods separate from those of the Buyer and third parties, and properly stored, protected and insured and identified as the Seller’s property. The Buyer shall not destroy, deface, or obscure any identifying mark or packaging on or relating to the Goods. Until that time the Buyer shall be entitled to resell or use the Goods in the ordinary course of its business, but shall account to the Seller for the proceeds of Sale or otherwise of the Goods, whether tangible or intangible, including insurance proceeds, and shall keep all such proceeds separate from any monies or property of the Buyer and third parties, and in the case of tangible proceeds properly stored protected and insured.

6.4 Until such time as the property in the Goods passes to the Buyer (and provided the Goods are still in existence and have not been resold) the Seller shall be entitled at any time to require the Buyer to deliver up the Goods to the Seller, or (at the Seller’s option) the Seller shall be entitled (and the Buyer hereby irrevocably authorises the Seller) to enter upon any premises of the Buyer, or its agents where the Goods are stored and repossess the Goods.

6.5 In the event that the Buyer is supplied Goods by a third party, which Goods are identical to any of the Goods supplied hereunder, then the Buyer shall be obliged to sell the Goods supplied by such third parties before selling any of the identical Goods supplied hereunder.

6.6 In order to identify and recover such Goods as are referred to in clause 6.4 above the Seller, or its representatives, shall be entitle to assume, unless the contrary is shown to their satisfaction, that the Buyer has sold Goods supplied hereunder, and identical Goods supplied by any third party in accordance with the provisions of clause 6.5.

6.7 In any legal proceedings between the Seller and the Buyer, the certificate of the duly authorized representative of the Seller as to which Goods on the Buyer’s premises are, or were the Seller’s property, shall be conclusive evidence of the facts stated herein.

6.8 The Buyer may resell the Goods before ownership has passed to it solely on the following conditions: 6.8.1 any sale shall be effected in the ordinary course of the Buyer’s business at full market value,

and the Buyer shall hold such part of the proceeds of sale as represent the amount owed by the Buyer to the Seller on behalf of the Seller, and the Buyer shall account to the Seller accordingly; and

6.8.2 any such sale shall be a sale of the Seller’s property on the Buyer’s own behalf, and the Buyer shall deal as principal when making such a sale.

6.8.3 the Buyer has a bankruptcy order made against him, or makes an arrangement or composition with his creditors, or otherwise takes the benefit of any Act for the time being in force for

the relief of insolvent debtors, or (being a body corporate) convenes a meeting of creditors (whether formal or informal), or enters into liquidation for the purpose only of reconstruction or amalgamation, or has a receiver and/or manager, administrator, or administrative receiver appointed of its undertaking, or any part thereof, or a resolution is passed, or a petition presented to any court for the winding up of the Buyer for the granting of an administration order in respect of the Buyer, or any proceedings are commenced relating to the insolvency, or possible insolvency of the Buyer.

6.8.4 the Buyer suffers, or allows any execution or sequestration (whether legal, or equitable) to be levied on his/its property, or obtained against him/it, or fails to observe/perform any of his/its obligations under these Conditions, or any other contract between the Seller and Buyer, or is unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986, or the Buyer ceases to trade.

7 Warranties and liability 7.1 In addition to all warranties implied by Statute, the Seller warrants that the Goods shall correspond with

their written specification (if any) at the time of delivery, and will be free from material defects in materials and workmanship for a period of 12 months from delivery.

7.2 The warranty given in clause 7.1 above is given by the Seller strictly subject to the following conditions: 7.2.1 the Seller shall be under no liability in respect of any defect in the Goods arising from any

drawing, design specification, or other information supplied by the Buyer; 7.2.2 the Seller shall be under no liability in respect of any defect arising from fair wear and

tear, willful damage, negligence, abnormal working conditions, failure to follow the Seller’s instructions (whether oral or in writing), misuse or alteration or repair of the Goods without the Seller’s approval;

7.2.3 the Seller shall be under no liability under the warranty given in 7.1 above (or any other warranty condition or guarantee) if the total price for the Goods has not been paid by the due date for payment;

7.2.4 The warranty given in 7.1 above does not extend to any Goods parts, materials or equipment not manufactured by the Seller in respect of which the Buyer shall only be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer thereof to the Seller.

7.3 Subject as expressly provided in these Conditions, and except where the Goods are sold to a person dealing as a consumer (within the meaning of the Unfair Contract Terms Act 1977 as amended up to date 1/10/2003) all warranties, conditions, or other terms implied by Statute or common law are hereby excluded to the fullest extent permitted by law.

7.4 Where Goods are sold under a consumer transaction (as defined by the Consumer Transactions Restrictions on Statements Order 1976) the Statutory rights of the Buyer are not affected by these Conditions.

7.5 Any claim by the Buyer which is based on any defect in the quality or conditions of the Goods, or their failure to correspond with specification shall (whether or not delivery is refused by the Buyer) be notified to the Seller within 7 days from the date of delivery, or (where the defect or failure was not apparent on reasonable inspection) within 14 days after discovery of the defect or failure. If delivery is not refused, and the Buyer does not notify the Seller accordingly, the Buyer shall not be entitled to reject the Goods, and the Seller shall have no liability for such defect or failure, and the Buyer shall be bound to pay the price as if the Goods had been delivered in accordance with the Contract.

7.6 Where any valid claim in respect of any of the Goods which is based on any defect in the quality or condition of the Goods (or their failure to meet specification) is notified to the Seller, in accordance with these conditions, the Seller shall be entitled to exchange the Goods (or part in question) in replacement, or at the Seller’s sole discretion, refund to the Buyer the price of the Goods (or a proportionate part of the price) but the Seller shall have no further liability of any nature whatsoever to the Buyer).

7.7 The Seller shall not be liable to the Buyer by reason of any representation, or any implied warranty condition, or other term, or any duty at common law, or under the express terms of the Contract, or in any manner whatsoever for any consequential loss or damage (and in particular but without prejudice to the generality of the foregoing, the Seller shall not be liable for any costs, claims, damages or expenses arising out of any tortious act or omission including negligence, or any breach or Statutory duty calculated by reference to profits, income, production or accruals, or by reference to accrual of such costs, claims, damages or expenses on a time basis) which may arise out of, or in connection with the supply of the Goods, or provision of any related services, or their use or resale by the Buyer (and whether caused by the negligence of the Seller, its employees or agents or otherwise) save as may be expressly provided in these Conditions.

7.8 Nothing in these Conditions shall be deemed to limit or exclude the liability of the Seller in respect of death, or personal injury resulting from the negligence of the Seller, its employees or agents.

7.9 The Seller shall have no liability of any nature whatsoever to the Buyer in relation to the Goods, or provision of any related services, unless the Buyer proves to a reasonable satisfaction of the Seller that the Goods, subject to any claim by the Buyer, are Goods which have been supplied to the Buyer by the Seller.

7.10 Any repair, replacement or refund, or any monies made by the Seller to the Buyer, shall not under any circumstances be deemed to be an admission of any liability on the part of the Seller to the Buyer (or to any third party), and shall be without prejudice to the rights of the Seller which the Seller hereby reserves in full should it make any such repair, replacement or refund of monies.

7.11 The Seller shall not be liable to the Buyer, or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform any of the Seller’s obligations in relation to the Goods, or any related services if the delay or failure is due to any cause beyond the Seller’s reasonable control.

7.12 All liabilities of the Seller to the Buyer determined by a Court of Law as not having been excluded hereunder shall be limited in total to the total price of the Goods as shown on the Seller’s invoice.

7.13 The Buyer shall be responsible for the Goods being suitable in every way for the purpose for which it intends to use them, and no warranty condition or representation is given by the Seller as to the fitness of the Goods for any particular purpose.

8 Designs, drawings, Etc 8.1 All figures, statements, advice, recommendations, drawings, designs, suggestions and specifications

contained or referred to in any document supplied by the Seller to the Buyer are given in good faith, but shall be approximate only, and shall not (unless the Seller specifically warrants the same in writing) be warranted to be accurate. All such matters should be checked and verified for accuracy and suitability by the Buyer, and accordingly the Seller accepts no liability or responsibility whatsoever in relation to such matters unless specifically warranted in writing in the manner referred to above.

8.2 The Seller will make available information required in relation to the design, construction and testing of the Goods as is reasonably necessary for the Buyer to take appropriate steps to see that the Goods will be, when installed, safe and not constitute a risk to the health of any person provided always that the Buyer shall indemnify, and keep indemnified, the Seller against all claims, costs, actions, damages or liabilities resulting directly or indirectly (including economic and consequential loss) for any claim brought against the Seller under the Consumer Protection Act 1987 arising out of the use of the Goods.

9 Suspension and Termination Without prejudice to any other right or remedy the Seller shall be entitled to forthwith suspend further performance of and/or terminate the Contract if the Buyer is in breach of any Condition hereof or (in the absolute opinion of the Seller) is likely to breach any Condition hereof.

10 General 10.1 If any term or provision in these Conditions shall be held to be illegal, or unenforceable in whole or in part

under any enactment or rule of law, such term or provision or part shall to that extent be deemed not to form part of these conditions, but the validity and enforceability of the remainder of these Conditions shall not be affected.

10.2 The waiver or forbearance or failure of the Seller in insisting in anyone or more instances upon the performance of any provisions of these Conditions shall not be construed as a waiver, or relinquishment of the Seller’s rights to future performance of such provisions, and the Buyer’s obligations in respect of future performance shall continue in full force and effect.

10.3 Where the Goods are supplied for export from the United Kingdom the Seller shall be entitled to impose such other terms and conditions as it shall require in relation to terms for payment and/or limitation of its liability hereunder as it shall determine.

10.4 The Contract shall be governed by the Laws of England, and the Seller and Buyer hereby irrevocably submit to the exclusive jurisdiction of the English Courts.
