Im alltäglichen Sprachgebrauch wer-den oftmals die technischen Begriffe'rund um’s Rad' falsch angewendet.So ist vielfach festzustellen, dass dieBegriffe 'Felge' und 'Rad' miteinanderverwechselt werden. Sie ersparensich zeitraubende Rückfragen undvermeiden Falschlieferungen, wennSie auf eine einwandfreie Bezeich-nung achten.

Die Felge dient zur Aufnahme desReifens, die Radschüssel verbindetdie Felge mit der Achsnabe und dasRad stellt den gesamten Körper dar,bestehend aus Felge und Schüssel.Die Gestaltung der Radschüssel(oder: Radscheibe) ist sehr vielfältig,da neben konstruktiven Forderungenbezüglich der Optimierung (hohe Be-lastbarkeit bei niedrigem Radgewicht)und des Achsanschlusses auch Wün-sche hinsichtlich der Bremstrommelu.ä. berücksichtigt werden müssen.Für die betriebssichere Befestigungdes Rades an der Achsnabe ist diemaßliche Übereinstimmung vonAchs- und Radanschluss sowie dieVerwendung der richtigen Befesti-gungsteile bei vorgeschriebenemAnziehdrehmoment entscheidend.

Technical featuresof a wheel

The rim serves as seat of the tyre,the wheel disc connects the rim withthe wheel hub, and the wheel is theentire body, consisting of rim anddisc. There is a great variety in wheeldiscs as we have to take intoconsideration not only designrequirements regarding optimization(high loading capacity along with lowwheel weight) and axle connection,but also requests concerning thebrake drum etc.

The accurate correspondence of axleand wheel connection as well asutilization of the correct attachmentparts at the torque prescribed aredecisive for fault-free and securefastening of the wheel disc to the axlehub. The fitting sizes are listed in therelevant fable columns in thiscatalogue. Indications and theirmeanings are shown in the followingdrawing:

La jante sert à recevoir le pneu, levoile d'une roue relie la jante aumoyeu. La roue représente l'objetentier se composant de la jante et duvoile. Il existe des formes multiplesde voile de roue (ou: disque de roue),puisque, outre les exigences deconstruction en matière d'optimi-sation (capacité de charge élevéepour un poids minime de la roue) etde raccordement à l'essieu, dessouhaits en matière de tambour defrein par exemple doivent être pris encompte.

Pour pouvoir garantir une fixation sûrede la roue au moyeu, la concordancedes dimensions de raccord d'essieuet de roue ainsi que l 'utilisation depièces de fixation adéquates serréesau couple de serrage prescrit estdéterminante. Oberflächenbehandlung

Eine gründliche Vorbehandlung bildetbekanntlich die Basis für eine optima-le Oberflächenqualität.

Mefro-Scheibenräder werden in einer9-Zonen-Zinkphosphatierung einerintensiven Vorbehandlung unter-zogen, welche höchsten An-sprüchen genügt. Um auch anschwer zugänglichen Stelleneinen optimalen Korrosions-schutz zu gewährleisten,werden Mefro-Scheiben-räder nach der Vorbehand-lung kathodisch tauch-grundiert (KTL). Abschließendwerden unsere Räder inbrillantsilber (Standard) deck-lackiert. Neben der exzellenten Vor-behandlung führt dieser zweischich-tige Farbaufbau zu einem hervorra-genden 'Finish'.

Im Sinne der Schonung unserer Um-welt verwenden wir nur Grundier-bzw. Decklacke, die frei von Blei, Kad-mium oder sonstigen Schwermetal-len sind.

Ihren Wünschen nach Sonderfarb-tönen kommen wir gerne nach; kal-kulatorische Voraussetzung hierfür istjedoch eine entsprechende Abnahme-menge.

Tragfähigkeit, Felgen-/Reifen-Kombination

Den DIN-Normen und WdK-Leitliniensind entsprechend den internationa-len Gegebenheiten einer bestimmtenFelgengröße nicht nur die Reifen-größe, sondern auch jeweils mehre-re Reifenunter- und -übergrößen zu-geordnet. Diese Zuordnungen betref-fen nur die Montagemöglichkeiten dergenannten Reifen auf die zugeordne-ten Felgen. Da jedoch die Gestalt-festigkeit jedes Rades für eine be-stimmte Tragfähigkeit und auf spezi-fische Einsatzzwecke bemessen ist,birgt die Verwendung vonReifen höherer Auslast-barkeit die Gefahr vonFelgen- und Radbrüchenin sich.Sind Sie nicht sicher, dassdas von Ihnen vorgesehe-ne Rad allen Anforderun-gen genügt, so fragen Sieuns wegen der Rad-tragfähigkeit in Ihrem Ein-satzfall.

Hinsichtlich der Felgen- und Reifen-zuordnung schreibt die Technische Or-ganisation der Europäischen Reifen-und Felgenhersteller in ihrem ETRTO-Data-Book: "Bitten Sie die Reifen- undFelgen-/Räderhersteller um Bestäti-gung der Eignung der Reifen-/Rad-Ein-heit für den vorgesehenen Einsatz."Das Jahrbuch '89 der US-Tire & RimAss. beinhaltet diesbezüglich sinnge-mäß folgendes:Die Felgenabmessungen sind ge-normt bezüglich ihrer Größe undForm. Genaue Reifen-/Felgenkombi-nationen wurden festgelegt, um ein-wandfreien Reifensitz auf den Felgensicherzustellen. Tragfähigkeit und

initial. Puis elles sont enduitesd'émail argenté brillant (Stan-

dard). Cette manière d'appliquer lacouleur en deux couches assure non

seulement un excellent traitementinitial mais encore une finition im-peccable.En accord avec la protection de l'envi-ronnement, nous n'utilisons que despeintures de fond et de l'émail finalsans plomb, cadmium ou autres mé-taux lourds.Pas de problème si vous désirez destons spéciaux; cependant, pour desquestions de rentabilité, une quantitéminimale d'achat adéquate est dansce cas nécessaire.

Surface treatment

As is well-known, a thourough basictreatment is essential to get the bestpossible surface finish. In a nine-step

zinc phosphatizing plant Mefro discwheels undergo such an intensivebasic treatment, satisfying highestdemands. Following the basictreatment, our disc wheels arecathodic dipped to guard againstcorrosion, thereby also protectingparts not easily accessible.

Finally, our wheels are standard topcoated in brilliant silver. This dualcoating, together with the basictreatment guarantees excellent topfinish and durability.In accordance with our environmentalprotection policy we only use suchprimer and top paints not containinglead, cadmium, or other heavy metals.Requests for special colour shades canbe processed, provided appropriatepurchasing quantities are involved.

Load carrying capacity,rim-/tyre-combinations

In the DIN Standards and WdKdirectives not only the normal tyresize, but also - due to internationalrequirements - several under- andoversizes are allocated to each rimsize.

These allocations only refer to thepossibility of assembling the indi-cated tyres to the allocated rim. Asthe strength, depending on design ofeach wheel, is designed for a specificloading

capacity and for a specific usage, therim or wheel may break when usingtyres which have higher charge ca-pacities.The ETRTO Data Book states on thissubject:"Consult the tyre and rim/wheelmanufacturers for confirmation of thesuitability of the tyre/ wheel assemblyfor the intended service."

The US-Tire & Rim Ass. Year Book1989 states on this subject: "Rimdimensions are standardized for sizeand contour only, and particular tireand rim combinations designated toassure proper mounting and fit of the

Quality assurance

The safety part 'wheel' is subject tostringent regulations, the observationof which must be provable bydocumentation of the manufacturerat any time. In order to fulfill thesetasks Mefro has built up an efficientquality assurance system. Theregistration and evaluation of qualitydata required for assessment,improvement, assurance, anddocumentation of quality is effectedby means of highly modern meas-uring and testing equipment.Mefro wheels are in accordance withthe DIN standards, the directives

issued by the WdK (Association ofthe German Rubber Manufacturers),the standards of the European Tyreand Rim Technical Organization(ETRTO), as well as further interna-tional Standards (ISO).By virtue of its quality, each Mefrowheel exhibits a high degree of safetyin performance and road safety, andthus corresponds to the requirementsof our customers.

I. Angebot und Vertragsabschluss

1. Angebote erfolgen stets freibleibend undunter Ausschluss etwaiger Einkaufsbe-dingungen des Käufers. Grundlage allerAngebote sind die Allgemeinen Geschäfts-bedingungen von Mefro.

2. Aufträge bedürfen zur Rechtsgültigkeit derschriftlichen Bestätigung, deren Inhalt fürdas Vertragsverhältnis maßgebend ist. Ab-weichende Bedingungen der Bestell-formulare des Käufers werden hierdurchaufgehoben. Nebenabreden bedürfen zuihrer Rechtsgültigkeit der Schriftform undmüssen durch Mefro schriftlich bestätigtwerden. Katalogdarstellungen sind mitRücksicht auf etwaige technische Fortent-wicklungen unverbindlich.

3. Angebotsunterlagen bleiben Eigentum desVerkäufers und dürfen an Dritte nicht wei-tergegeben werden.

II. Geltung der Lieferbedingungen

1. Diese Allgemeinen Geschäftsbedingungengelten spätestens mit dem Empfang derLieferung oder Leistung (Vorschläge, an-wendungstechnische Beratung) als vomKäufer angenommen.

2. Diese Allgemeinen Geschäftsbedingungengelten auch für alle Bestellungen, die demVerkäufer in Zukunft erteilt werden, ohneRücksicht darauf, ob der Verkäufer injedem Einzelfall ausdrücklich auf sieBezug nimmt.

III. Preise und Zahlungen

1. Die Preise verstehen sich ab Werk und in€ ohne Mehrwertsteuer. Preisangabenin Angeboten und Auftragsbestätigungendes Verkäufers erfolgen stets freibleibend:Maßgebend sind die am Tage der Liefe-rung jeweils gültigen Preise. Voranschlä-ge für Instandsetzungs- und Einbau-arbeiten werden so genau wie möglicherstellt, sind aber unverbindlich und wer-den nach dem tatsächlich entstandenenAufwand abgerechnet.

2. Die Kosten für Fracht, Verpackung, Verla-dung, Versand und sonstige Nebenkostensind im Preis nicht eingeschlossen. Erhö-hen sich die für die Preisbildung maßge-benden Kostenfaktoren (z.B. die Preise fürMaterial, Betriebsstoffe, Löhne, Frachtenoder sonstige für den Verkäufer verbindli-che Regelungen nationalen oder suprana-tionalen Rechtes), ist der Verkäufer be-rechtigt, die Preise entsprechend anzupas-

To be legally valid, orders require writtenconfirmation the content of which ismaterial to the contractual relationship.Any conditions in the buyer's order formswhich differ are hereby cancelled.Ancillary provisions must be in writing andconfirmed in writing by Mefro in order tobe legally valid; catalogue descriptions arenot binding in view of possible continuedtechnical development.

3. Offers are solely owned by Mefro and arenot to be passed on to third parties.

II. Application of Conditions of Delivery

1. These General Business Conditions aredeemed to have been accepted by thebuyer al the latest of receipt of the goodsdelivered by the seller.

2. These General Business Conditions alsoapply to all orders given to the seller infuture, regardless of whether the sellerexpressly refers to them in each case.

III. Prices and Payment

1. Prices are ex works in €, VAT excluded.Particulars of prices in offers and orderconfirmations by the seller are alwayssubject to change; the relevant prices arethose applying on the date of delivery.Estimates for repair and installation workare drawn up as accurately as possible,but are not binding.

2. Costs of freight, packing, loading,despatch and other incidental expensesore not included in the price. If the costfactors (e.g. prices of materials, fuels,wages, freights or other regulations ofnational or supranational law binding onthe seller) which determine the formationof prices rise, the seller is entitled to adjustprices accordingly. Packing will beinvoiced lo the buyer at cost price.

3. Unless otherwise agreed, the invoiceamount is to be paid within 10 days ofdate of invoice with 2% discount orwithout deduction 30 days net; sameapplies for invoices of part-deliveries.

Les devis pour des travauxde réparation et de montage sont établisavec la plus grande précision tout en étantsans engagement. Ils seront facturés enfonction des efforts réellement fournis.

2. Les coûts pour fret, emballage, chargement,expédition et frais accessoires ne sont pascompris dans le prix de vente. Lors d'uneaugmentation des facteurs responsables dela formation des prix (p.ex. les prix desmatières, des moyens d'exploitation, dessalaires, du fret ou d'autres règlements dudroit national ou supranational qui engagentle vendeur), le vendeur aura le droit d'a-juster les prix en fonction. Under no circumstances shall the buyerhave a right of retention, not even if hecomplains of the goods delivered.

4. If the seller accepts giro transfer orders,cheques or bills the debt will only bedischarged when they are collected. Girotransfer orders and bills shall only beaccepted when confirmed in writing. Thebuyer shall meet all discount expensesand all court and extra-judicial expensesin connection with collecting the amountsof bills or cheques.

5. Any discount granted by the seller will notbe given if the buyer is in default withpayment for previous goods and services.

If payment dates are exceeded interestand commissions will be charged inaccordance with bank rates for short-termcredits, and no reminder from the sellershall be necessary. Default in payment willresult in goods not being supplied.Payment shall not be withheld or set offagainst claims of any kind by the buyer.

6. The seller is entitled to demand securityat any time for his claims. If the buyer isin default with a payment or contravenesthe stipulations of the contract includingthese Conditions, all other claims by theseller against the buyer shall fall dueimmediately. If the buyer is in default withperformance of his obligations the sellerwill be entitled, without prejudice to allother rights, to withdraw from the contractwithout granting a period of grace. In allother respects the provisions of sections355 et seq. of the Commercial Code apply.

IV. Deliveries and Deadlines

1. Unless otherwise agreed, all con-signments are delivered ex work seller. Allconsignments are at the risk of the buyer;insurance will be taken out only at thebuyer's express wish and at his cost.

2. The seller is entitled to make part-deliveries.

3. In principle delivery dates given by theseller are not binding. If a firm deliveryperiod is agreed it shall begin on the datewhen the seller posts the written orderconfirmation provided that all details of theorder are clear. The delivery period isadhered to when the goods are taken fordispatch or, if the buyer has to call for orcollect them when notice of readiness for

5. Un escompte accordé par le vendeur seraannulé si l'acheteur est en retard depaiement de livraisons ou de servicesantérieurs. En cas d'échéance dépassée, lesintérêts et les commissions selon tauxbancaires pour les crédits à court termeseront facturés sans nécessité d'une lettrede rappel de la part du vendeur. Un retardde paiement entraînera un retard delivraison.Sont exclues: la rétention du paiement oula compensation en raison d'éventuelsdroits de l'acheteur vis-à-vis du vendeur.

6. Le vendeur a le droit de réclamer à toutmoment des garanties de ses créances. Aucas oú l'acheteur serait en retard depaiement ou offenserait les stipulations ducontrat, y compris les présentes, la totalitéde toutes les autres créances éventuellesdu vendeur vis-à-vis de i'acheteur viendraimmédiatement à échéance. Au cas oùl'acheteur manquerait à ses engagements,le vendeur, sans préjudice de tous sesautres droits, est en droit de résilier lecontrat sans nécessité de délaisupplémentaire. En général, les articles 355et suivants HGB (Handelsgesetzbuch =pourrait être comparé au Code duCommerce français) font loi.

IV. Livraisons et délais de livraison

I. Sauf stipulation contraire, les livraisonssont effectuées départ usine du vendeur.Tous les envois voyagent aux risques etpérils de l'acheteur; une assurance estconclue seulement à la demande expresseet aux frais de l'acheteur.

3. Der Rechnungsbetrag ist, sofern nicht an-ders vereinbart, ohne jeden Abzug freiZahlstelle des Verkäufers spätestens in-nerhalb von 30 Tagen nach Rechnungs-datum zu leisten. Bei Zahlung innerhalbvon 10 Tagen wird ein Skonto von 2% ge-währt. Dies gilt auch für Rechnungsbeträ-ge von Teillieferungen. Dem Käufer stehtin keinem Fall ein Zurückbehaltungsrechtzu, auch dann nicht, wenn er den Liefer-gegenstand beanstandet.

4. Nimmt der Verkäufer Zahlungsanwei-sungen, Schecks oder Wechsel an, wirddie Schuld erst durch deren Einlösung ge-tilgt. Zahlungsanweisungen und Wechselwerden nur nach besonderer schriftlicherVereinbarung angenommen. Diskontspe-sen und alle mit der Einziehung der Wech-sel- oder Scheckbeträge in Zusammen-hang stehenden gerichtlichen und außer-gerichtlichen Kosten trägt der Käufer.

5. Ein vom Verkäufer gewährter Skonto ent-fällt, wenn sich der Käufer mit der Bezah-lung früherer Lieferungen und Leistungenim Verzug befindet. Bei Zielüberschrei-tungen werden Zinsen und Provisionengemäß den Banksätzen für kurzfristigeKredite berechnet, ohne dass es einerMahnung des Verkäufers bedarf.Zahlungsverzug hat Lieferverzug zurFolge. Zurückhaltung der Zahlung oderAufrechnung wegen irgendwelcherAnsprüche des Käufers gegen den Ver-käufer sind ausgeschlossen.

6. Der Verkäufer ist berechtigt, für seineForderungen jederzeit Sicherheit zu verlan-gen. Gerät der Käufer mit einer Zahlung inVerzug oder verstößt er gegen die vertrag-lichen Vereinbarungen einschließlich dieserBedingungen, so werden alle etwaigensonstigen Forderungen des Verkäufers ge-gen den Käufer sofort fällig. Falls der Käufermit ihm obliegenden Verpflichtungen inVerzug gerät, ist der Verkäufer - unbescha-det aller anderen Rechte - berechtigt, ohneSetzung einer Nachfrist vom Vertrag zurück-zutreten. Im Übrigen gelten grundsätzlichdie Bestimmungen der §§ 355 ff. HGB.

IV. Lieferungen und Lieferfrist

1. Wenn nicht anders vereinbart, erfolgen alleLieferungen ab Werk des Verkäufers. AlleSendungen gehen auf Gefahr des Käufers;eine Versicherung erfolgt nur auf ausdrückli-ches Verlangen und auf Kosten des Käufers.


2. Der Verkäufer ist zu Teillieferungen berech-tigt.

3. Vom Verkäufer aufgegebene Liefertermi-ne sind grundsätzlich unverbindlich. Wirdeine feste Lieferfrist vereinbart, beginnt sieam Tage der Absendung der schriftlichenAuftragsbestätigung seitens des Verkäu-fers, sofern über alle AuftragseinzelheitenKlarheit besteht. Die Frist gilt als einge-halten, wenn der Liefergegenstand beiFristablauf zum Versand gebracht oder dieVersandbereitschaft mitgeteilt ist, sofernder Käufer abzurufen oder abzuholen hat.

4. Der Verkäufer ist berechtigt, bei Ereignis-sen höherer Gewalt, bei Betriebsstörun-gen jeglicher Art, bei Mangel an Arbeits-kräften, Rohmaterial bzw. Brennstoffen,bei Streiks und Aussperrungen einge-gangene Lieferverpflichtungen ganz oderteilweise zu verschieben oder aufzuheben.Ein Verzugsschaden kann in solchen Fäl-len vom Käufer nicht geltend gemachtwerden. Ist ein fest vereinbarter Lieferter-min überschritten, so steht dem Käuferunter Ausschluss der Bestimmungen des§ 361 BGB ein Rücktrittsrecht nur dannzu, wenn er eine Nachfrist von mindestenseinem Monat gesetzt hat und innerhalbdieser Nachfrist die Lieferung nicht erfolg-te. Weitergehende Ansprüche sind aus-geschlossen. Die vorbezeichneten Um-stände sind auch dann nicht vom Verkäu-fer zu vertreten, wenn sie während einesbereits vorhandenen Lieferverzugs eintre-ten. Ein Anspruch des Käufers auf Ent-schädigung bei einer Lieferzeit-überschreitung der vorgenannten Art be-steht nicht.

5. Wegen Änderungen an der Konstruktionund Ausführung, die der Verkäufer vor derAuslieferung eines Auftrages an dem be-treffenden Liefergegenstand ganz allge-mein vornimmt und die den Gebrauchs-wert in keiner Weise einschränken, kanneine Beanstandung nicht erfolgen.

6. Für Sonderanfertigungen besteht seitensdes Käufers in jedem Falle Abnahme-pflicht. Der Verkäufer ist aus Fertigungs-gründen berechtigt, diese Aufträge (Son-deranfertigungen) zu unter- oder überlie-fern. Was als Sonderanfertigung gilt, kannim Zweifelsfall der Verkäufer bestimmen.

7. Eine vom Käufer verlangte oder eine aus-drücklich vereinbarte Prüfung und Abnah-me hat rechtzeitig vor dem Versand im Be-trieb des Verkäufers zu erfolgen. Die Kos-ten hierfür trägt der Käufer.

V. Versand und Übergang der Gefahr

1. Versandfertig gemeldete Aufträge mit Lie-ferung ab Werk sind unverzüglich abzuru-fen oder abzuholen. Werden die versand-fertig gemeldeten Liefergegenstände nichtinnerhalb einer Woche abgeholt, so ist derVerkäufer berechtigt, den Versand mit ei-nem Transportmittel eigener Wahl auf Kos-ten des Käufers vorzunehmen.

2. Mit der Übergabe an den Käufer, Spedi-teur, Frachtführer oder die sonst zur Aus-übung des Transports bestimmte Personoder Anstalt, spätestens jedoch beim Ver-lassen des Werkes, geht die Gefahr aufden Käufer über. Versand, Auswahl derTransportmittel und des Transportwegessowie evtl. Verpackung werden vom Ver-käufer mit der Sorgfalt eines ordentlichenKaufmanns, jedoch ohne Übernahme ei-ner Haftung, bewirkt. Verzögert sich derVersand durch Umstände, die der Käuferzu vertreten hat, ist der Verkäufer berech-tigt, den Liefergegenstand auf Kosten undauf Gefahr des Käufers nach seinem Er-messen zu lagern und sofortige Zahlungdes Preises zu verlangen oder bei Liefe-rung auf Kredit die Lagerzeit auf die Lauf-zeit des Kredites anzurechnen.

VI. Sicherungen (Eigentumsvorbehalt undVorausabtretungsklausel)

1. Die Lieferungen des Verkäufers erfolgenunter Eigentumsvorbehalt gemäß § 455BGB mit den nachstehenden Erweite-rungen.

2. Die gelieferten Gegenstände bleiben biszur Erfüllung aller gegenwärtigen und zu-künftigen Ansprüche des Verkäufers ge-gen den Käufer aus der Geschäftsverbin-dung - gleichgültig, auf welchem Rechts-grund sie beruhen - Eigentum des Verkäu-fers (Vorbehaltsware); dies gilt auch dann,wenn Zahlungen für besonders bezeich-nete Forderungen erfolgen.

a) Ein Eigentumserwerb des Käufers an derVorbehaltsware gemäß § 950 BGB im Fallevon deren Verarbeitung oder Umbildungzu einer neuen Sache oder neuem Bestandist ausgeschlossen. Etwaige Verarbeitungoder Umbildung der Vorbehaltsware erfol-gen für den Verkäufer als Hersteller im Sin-ne des § 950 BGB, ohne diesen zu ver-pflichten.

b) Bei Verarbeitung oder Umbildung mit an-deren, dem Verkäufer nicht gehörendenWaren durch den Käufer steht dem Ver-

4. Mefro is entitled to postpone or cancel allor part of her delivery obligations in theevent of occurences of force majeure,operating breakdowns of any kind,shortage of labour, raw materials or fuels,strikes and lockouts. In such cases thebuyer shall not claim damages or default.If a fixed delivery date which has beenagreed is exceeded, the provisions ofsection 361 of the Civil Code shall beexcluded and the buyer shall have a rightof withdrawal if he allows a period of graceof at least one month and the goods arenot delivered within that period. All furt-her claims are excluded. The seller shallnot answer for the above mentionedcircumstances even if they arise duringan existing delay in delivery. The buyershall have no claim to compensation if adelivery deadline is exceeded in themanner described above.

5. No complaints can be made in respect ofalterations in design and constructionwhich the seller makes generally to thearticle supplied before an order is deliveredand which in no way limit the practicalvalue of the article supplied.

6. For specially produced articles the buyerhas an obligation of acceptance in everycase. For production reasons thesespecially produced articles may be over/under supplied by the seller! In case ofdoubt the seller may determine whatconstitutes a specially produced article.

7. Any test and acceptance required by thebuyer or expressly agreed must take placein the seller's work in good time beforedespatch. The costs shall be met by thebuyer.

V. Despatch and Passing of Risk

1. In case of delivery ex work goods readyfor despatch have to be called for or to becollected immediately by the buyer. If thegoods notified as being ready for despatchare not collected within one week ofnotification, the seller is entitled to havethese goods delivered by a transportationof his choice at the costs of the buyer.

2. The risk shall pass to the buyer when thegoods are handed over to him or to theforwarding agent, carrier or other person

or organisation appointed to transport thegoods, but at the latest the risk shall passto the buyer when the goods leave theworks. Despatch, choice of means oftransport and route as well as packing, ifany, will be effected by the seller with thecare of an ordinary businessman butwithout accepting any liability. If despatchis delayed by circumstances for which thebuyer is responsible, the seller is entitledto store the goods within his discretion atthe buyer's cost and risk and demandimmediate payment of the price or, in thecase of delivery on credit, to charge thestorage period to the term of credit.

VI. Securities (Retention of Title and PriorAssignment)

1. Goods are supplied by the seller subjectto retention of title in accordance withsection 455 of the Civil Code with thefollowing extensions.

2. The goods shall remain the seller'sproperty (goods subject to retention oftitle) until satisfaction of all present andfuture claims by the seller against thebuyer arising from the businessrelationship, irrespective of their legalbasis; this applies even if payments aremade for specified claims.

a) Acquisition of ownership by the buyerpursuant to section 950 of the Civil Codein respect of the goods subject to retentionof title is excluded if the goods areprocessed or reconstructed to form a newarticle or new stock. Any processing orreconstruction of the goods subject toretention of title shall take place on theseller's behalf as manufacturer within themeaning of section 950 of the Civil Codewithout creating any obligation on his part.

b) If the goods are processed orreconstructed by the buyer with othergoods not belonging to the seller, the sellershall be entitled to joint ownership of thearticle produced in the proportion existingbetween the invoice value of the goodssubject to retention of title used in thearticle produced and the total of all invoicevalues of all the goods used to produce it.

c) If the goods subject to retention of titleare mixed or combined with other articlesand the seller's ownership of the goods

3. Les délais de livraison indiqués par levendeur sont par principe sansengagement. Lorsqu'un délai de livraisonfixe est convenu, celui-ci commence àcourir le jour de l'envoi de la confirmationde commande écrite par le vendeur, àcondition que tous les détails de lacommande soient clarifiés. Le délai passepour respecté losque l'objet de la livraisona été expédié à l'expiration du délai oulorsque sa disponibilité à l'expédition a éténotifiée au cas où l'acheteur devrait dem-ander livraison des marchandises ou lesenlever.

4. En cas d'événements de force majeure, detoutes sortes d'incidents de fonction-nement, de manque de main-d'oeuvre, dematières premières ou de carburants, encas de grèves ou de lock-outs, le vendeurest autorisé à différer ou à résilier com-plètement ou en partie ses engagementsde livraison. Dans ce cas, l'acheteur nepourra plus réclamer compensation dedommages résultant d'un retard. En cas dedépassement de’un délai de livraison fixé,l'acheteur, à l'exclusion des stipulations de1'article 361 BGB (Bürgerliches Gesetzbuch- pourrait être comparé au Code Civilfrançais), jouira seulement du droit derésiliation au cas où il aurait fixé un délaisupplémentaire d'au moins un mois et aucas où la livraison n'aurait pas eu lieu durantce délai supplémentaire. Sont exclues: desprétentions dépassant le cadre prévu. Lescirconstances citées ci-dessus ne sont pasnon plus de la responsabilité du vendeurlorsqu'elles interviennent pendant un retardde livraison déjà existant. L'acheteur n'estpas en droit de réclamer une indemnité lorsd'un dépassement du délai de livraison dela manière citée ci-dessus.

5. Des modifications très générales de laconstruction ou de la fabrication de l'objetde la livraison entreprises par le vendeuravant la délivrance d'une commande, et quine limitent nullement sa valeur d'usage, nedonnent pas droit à une réclamation.

6. Des fabrications hors-série entraînent entout cas l'obligation de la part de l'acheteurde prendre livraison. Pour des raisons defabrication le vendeur a le droit de livrer desquantités supérieures ou inférieures à lacommande (fabrications hors-série). En casde doute, le vendeur décidera de ladéfinition de fabrication hors-série.

7. Un examen demandé par l'acheteur ou unehomologation convenue expressément doit

avoir lieu en temps utile avant l'expéditiondans les usines du vendeur. L'acheteur ensupportera les coûts.

V. Expédition et transfert des risques

1. Des marchandises notifiées prêtes à quitterl'usine et qui sont à livrer ex usine, doiventêtre prises en livraison ou enlevées sanstarder. Si les objets livrables notifiés prêtsà l'envoi ne sont pas enlevés au cours d'unesemaine, le vendeur est autorisé à effectuerla livraison par un moyen de transport deson choix et aux frais de l'acheteur.

2. Au moment de la remise matérielle àl'acheteur, au transporteur, au voiturier auà toute autre personne ou institutiondestinée à effectuer l'envoi, cependant auplus tard au moment de la sortie des usines,les risques passent à l'acheteur. Le vendeurorganise l'envoi, le choix des moyens et dela voie de transport ainsi que l'emballageéventuel en tant que commerçant prudentet avisé, mais sans en assumer la re-sponsabilité; Lors d'un retard de livraisonde la responsabilité de l'acheteur, le vendeurest autorisé à entreposer comme bon luisemble le matériel de la livraison auxrisques et périls et à la charge de l'acheteuret à exiger le paiement immédiat du prixde vente ou, en cas de livraison sur crédit,à imputer la durée d'entrepôt à la durée ducrédit.

VI. Garanties (Réserve de propriété etclause de cession anticipée)

1. Les livraisons du vendeur sont effectuéessous réserve de propriété selon l'article 455BGB et en tenant compte des stipulationssuivantes.

2. Le matériel livré reste la propriété duvendeur (marchandise sous réserve depropriété) jusqu'à l'accomplissement detoutes les obligations actuelles et futuresde l'acheteur vis-à-vis du vendeur - quelque soit leur motif juridique - résultant derelations commerciales; ceci étantégalement valable en cas de paiementspour des créances spécialement désignées.

a) L'acquisition de la propriété de lamarchandise sous réserve de propriétéselon l'article 950 BGB par l'acheteur dansle cas de son usinage ou de sa trans-formation en une nouvelle chose ou quantitéest exclue. L'usinage ou la transformationéventuels de la marchandise sous réservede propriété interviennent pour le vendeuren tant que fabricant selon l'article 950BGB, sans engager celui-ci.

c) Wird die Vorbehaltsware mit anderen Ge-genständen vermischt oder verbundenund erlischt hierdurch das Eigentum desVerkäufers an der Vorbehaltsware (§§947, 948 BGB), so wird bereits jetzt ver-einbart, daß die Eigentums- bzw.Miteigentumsrechte des Käufers an demvermischten Bestand oder den einheit-lichen Sachen im Umfang des Rechnungs-wertes der Vorbehaltsware des Verkäufersauf diesen übergehen und der Käufer die-se für den Verkäufer unentgeltlich ver-wahrt.

d) Für die aus der Verarbeitung, Umbildung,Verbindung oder Vermischung entstehen-den Sachen oder Bestände gilt im Übri-gen das Gleiche wie für die Vorbehalts-ware; auch diese Sachen oder Beständegelten als Vorbehaltsware im Sinne die-ser Allgemeinen Geschäftsbedingungen.

e) Der Käufer darf die Vorbehaltsware nur imgewöhnlichen Geschäftsverkehr zu seinennormalen Geschäftsbedingungen und so-lange er nicht im Verzuge ist veräußern.Er ist zur Weiterveräußerung der Vor-behaltsware nur mit der Maßgabe be-rechtigt und ermächtigt, daß die Forde-rungen aus der Weiterveräußerung gemäßden nachfolgenden Ziffern 4 bis 7 auf denVerkäufer übergehen. Zu anderen Verfü-gungen über die Vorbehaltsware ist derKäufer nicht berechtigt.

4. Die Forderungen des Käufers aus demWeiterverkauf der Vorbehaltsware werdenbereits jetzt an den Verkäufer abgetreten,und zwar einerlei, ob die Vorbehaltswareohne oder nach Verarbeitung, Umbildung,Verbindung oder Vermischung und ob siean einen oder mehrere Abnehmer veräu-ßert wird.

5. Für den Fall, dass die Vorbehaltsware vomKäufer zusammen mit anderen, nicht demVerkäufer gehörenden Waren veräußertwird, gilt die Abtretung der Forderung ausder Weiterveräußerung nur in Höhe desRechnungswertes der jeweils veräußer-ten Vorbehaltsware.

6. Wird die Vorbehaltsware nach Verarbei-tung, insbesondere mit nicht dem Verkäu-fer gehörenden Waren oder nach Verbin-

dung/Vermischung/Umbildung weiter-veräußert, so gilt die Abtretung nur in Höhedes Miteigentumsanteils des Verkäufersan der veräußerten Sache oder dem ver-äußerten Bestand.

7. Wird die Vorbehaltsware vom Käufer zurErfüllung eines Werk- oder Werkliefe-rungsvertrages verwandt, so wird die For-derung hieraus im gleichen Umfang imVoraus an den Verkäufer abgetreten, wiees in den vorstehenden Absätzen be-stimmt ist.

8. Der Käufer ist berechtigt, Forderungen ausder Weiterveräußerung einzuziehen, solan-ge er seinen Zahlungspflichten gegenüberdem Vorbehaltsverkäufer nachkommt. ZurAbtretung der Forderung ist der Käufer inkeinem Fall befugt. Er ist auf Verlangen desVerkäufers verpflichtet, seine Abnehmervon der Abtretung zu unterrichten und diezur Einziehung erforderlichen Auskünfteund Unterlagen zu geben.

9. Übersteigt der Wert der für den Verkäuferbestehenden Sicherheiten dessen Forde-rungen um insgesamt mehr als 10%, istder Verkäufer auf Verlangen des Käufersinsoweit zur Freigabe von Sicherungennach Wahl des Verkäufers verpflichtet.

10. Von einer Pfändung oder anderen Beein-trächtigungen durch Dritte oder durch sons-tige Ereignisse hat der Käufer den Verkäu-fer unverzüglich zu benachrichtigen.

11. Der Verkäufer ist berechtigt, jederzeit Her-ausgabe der in seinem Eigentum oder Mit-eigentum stehenden Gegenstände zu ver-langen, wenn ihm die Erfüllung seiner For-derungen durch den Käufer gefährdet er-scheint oder der Käufer oder seine Abneh-mer gegen die ihnen obliegenden Ver-pflichtungen verstoßen. Gegen diesen Her-ausgabeanspruch kann ein Zurückbehal-tungsrecht nicht geltend gemacht werden.Die Geltendmachung des Herausgabean-spruchs und die Pfändung eines im Eigen-tum oder Miteigentum des Verkäufers ste-henden Gegenstandes durch diesen gel-ten nicht als Rücktritt vom Vertrag.

VII. Gewährleistungsbestimmungen

Der Käufer hat die gelieferte Ware unver-züglich nach Eingang zu prüfen und alleMängel oder unvollständige Lieferung spä-testens 8 Tage nach Empfang der Wareschriftlich anzuzeigen, widrigenfalls dieLieferungen und Leistungen als einwand-frei genehmigt gelten, unter Vorbehalt fol-gender Gewährleistungspflichten:

e) The buyer may only sell the goods subjectto retention of title in the ordinary courseof business on his normal businessconditions and as long as he is not indefault. He is entitled and authorised toresell the goods subject to retention of titleonly with the proviso that the claimsarising from the resale shall pass to theseller in accordance with paragraphs 4 to7 below. The buyer is not entitled to makeany other dispositions in respect of thegoods subject to retention of title.

4. The buyer's claims arising from the resaleof the goods subject to retention of titleare hereby assigned to the seller,regardless whether the goods are soldwithout or after processing reconstruc-tion, combination or mixing and whetherthey are sold to one or more purchasers.

5. If the goods subject to retention of titleare sold by the buyer together with othergoods not belonging to the seller, theassignment of the claim arising from theresale shall apply only in relation to theinvoice value of the goods subject toretention of title which are sold.

6. If the goods subject to retention of titleare sold after processing together withother goods not belonging to the buyer,or combination/mixing/reconstructionhereof, the assignment of the claim arisingfrom the sale shall apply only up to theamount of the seller's co-ownership onthis object or part thereof.

7. If the goods subject to retention of titleare used by the buyer to perform a workcontract or contract for work and materialsthe claim arising from it is assigned inadvance to the seller, as provided in theforegoing paragraphs and to the sameextent.

8. The buyer is entitled to recover claimsarising from the resale as long as heperforms his payment obligations to theseller who has retained title. Under nocircumstances is the buyer authorised toassign the claim. On demand by the sellerhe undertakes to inform his purchasers ofthe assignment and to provide theinformation and documents necessary forrecovery.

9. If the total value of the securities existingon the seller's behalf exceeds his claimsby more then 10% the seller undertakes,on demand by the buyer, to releasesecurities to that extent as the seller maychoose.

10 The buyer must inform the sellerimmediately of seizure or encroachmentsby third parties or by other occurrences.

11. The seller is entitled at any time to demanddelivery of articles in his ownership or jointownership if satisfaction of his claims bythe buyer appears to him at risk or if thebuyer or his purchasers do not fulfill theirobligations. A right of retention cannot beinvoked against his claim to delivery. As-sertion of the claim to delivery and theseizure by the seller of any article in hisownership or joint ownership is not to bedeemed cancellation of the contract.

VII. Guarantee Provisions

The buyer must check the goods deliveredimmediately after he receives them andmust give written notice of all defects orincomplete delivery to the latest eight daysafter receipt of the goods, otherwise thegoods and services are deemed to havebeen approved without objection, subjectto the following guarantee obligations:Claims about incomplete delivery andexternal visible defects are taken intoconsideration by the seller only in regardto sections 377, 378 Commercial Code.The deadline starts with the day the buyergains possession of the goods. Imperfectgoods are not to be processed.

b) En cas d'usinage ou de transformation parl'acheteur avec d'autres marchandisesn'appartenant pas au vendeur, le vendeur adroit à la copropriété de l'objet fabriquéselon le rapport suivant: la valeur facturéedes marchandises sous réserve depropriété employées à la fabrication de lachose par rapport à la somme totale desvaleurs facturées de toutes lesmarchandises employées à la fabrication.

c) Lorsque la marchandise sous réserve depropriété est mêlée ou associée à d'autresobjets, ce qui entraîne l'annulation de lapropriété du vendeur à la marchandise sousréserve de propriété (articles 947, 948BGB|, il est convenu dès ce jour que lesdroits de propriété ou de copropriété del'acheteur en matière du matériel compositeou des choses homogènes sont transférésau vendeur proportionnellement à la valeurfacturée de sa marchandise sous réservede propriété et que l'acheteur les gardegratuitement pour le vendeur.

d) Les choses ou unités résultant de l'usinage,de la transformation, de l'association ou dumélange sont régies par les mêmesconventions que la marchandise sousréserve de propriété puisqu'elles passentégalement comme marchandise sousréserve de propriété selon les présentesconditions générales de vente.

e) L'acheteur n'a le droit de vendre lamarchandise sous réserve de propriété quedans le cadre des échanges commerciauxhabituels, à ses conditions générales devente ordinaires et s'il n'est pas en de-meure. ll est autorisé et habilité à revendrela marchandise sous réserve de propriétéà la seule condition que les créancesrésultant de la revente soient transféréesau vendeur selon les points suivants 4 à 7.L'acheteur n'a pas le droit de disposer d'uneautre manière de la marchandise sousréserve de propriété.

4. Les créances de l'acheteur résultant de larevente de la marchandise sous réserve depropriété sont cédées dès maintenant auvendeur, indépendamment du fait que lamarchandise soit vendue sans ou aprèsusinage, transformation, association oumélange, ou qu'elle soit vendue à un ou àplusieurs sous-acquéreurs.

5. Au cas où la marchandise sous réserve depropriété serait vendue par l'acheteur encommun avec d'autres marchandisesn'appartenant pas au vendeur, la cessionde la créance résultant de la revente vautseulement pour le montant de la valeurfacturée de la marchandise sous réserve

de propriété correspondante revendue.

6. Si la marchandise sous réserve de propriétéest revendue après usinage, en particulieravec des marchandises n'appartenant pasau vendeur ou après association/mélange/transformation, la cession vaut seulementpour le montant de la part de copropriétédu vendeur à la chose ou aux unitésvendues.

7. Si la marchandise sous réserve de propriétéest employée par l 'acheteur à l 'ac-complissement d'un contrat de louaged'ouvrage ou d'un contrat mixte d'entrepriseet de vente, la créance résultante est cédéeà l'avance au vendeur dans la mesurestipulée dans les paragraphes précédents.

8. L'acheteur est en droit de réaliser descréances résultant de la revente, tant qu'ils'acquitte de ses obligations de paiementvis-à-vis du vendeur sous réserve depropriété. Dans aucun cas, l'acheteur nàle droit de céder la créance. Il est obligé, àla demande du vendeur, dínformer sessous-acquéreurs de la cession et de fournirles informations et documents nécessairesau recouvrement.

9. Lorsque la valeur des garanties en faveurdu vendeur dépasse ses créances de plusde 10% au total, le vendeur est, à lademande de l'acheteur, obligé au déblocagecorrespondant de garanties du choix duvendeur.

10. L'acheteur est tenu à renseigner le vendeurimmédiatement d'une saisie ou d'autresatteintes par des tiers ou par descirconstances quelconques.

11. Le vendeur est en droit de réclamer à toutmoment la restitution des objets dont il estpropriétaire ou copropriétaire, sil'accomplissement de ses créances parl'acheteur lui semble compromis ou sil'acheteur ou ses sous-acquéreurs nerespectent pas leurs engagements. Ce droitde restitution ne peut pas être entamé enfaisant valoir un droit de rétention.L'exercice du droit de restitution et la saisiede matériel en propriété ou copropriété duvendeur par ce dernier ne sont pasconsidérés comme une dénonciation ducontrat.

VII.Clauses de garantie

L'acheteur est tenu à examiner lamarchandise sans tarder dès sa réceptionet à notifier par écrit tout vice ou toutelivraison incomplète au plus tard dans les8 jours suivant la réception desmarchandises. A défaut, les livraisons et

Im Rahmen der Gewährleistungspflicht ge-hen Fracht und Verpackung sowie etwai-ge Kosten für den Aus- und Einbau derLiefergegenstände des Verkäufers zu La-sten des Käufers.Die Gewährleistungs-pflicht setzt voraus, dass während derGarantiezeit keinerlei Ersatzteile fremderHerkunft verwendet und keine Eingriffevon dritter Hand vorgenommen werdenund dass sofort bei Erteilung des Auftra-ges ausdrücklich und schriftlich kostenlo-se Instandsetzung verlangt wird.

Weitergehende Ansprüche auf Minderung,Ersatzlieferung oder Schadenersatz sindauch bei rechtzeitiger Mängelrüge ausge-schlossen. Für Schwierigkeiten, die sichaus Vorschriften des gewerblichenRechtsschutzes bei dem Weiterverkaufoder der Verwendung der Liefergegen-stände ergeben, ist jede Haftung des Ver-käufers ausgeschlossen. Wird die Warein vom Kunden besonders vorgeschriebe-

ner Ausführung hergestellt und geliefert,haftet der Verkäufer nur für solche Män-gel, die auf einer Nichtbeachtung der An-weisungen des Kunden beruhen. Der Kun-de übernimmt in diesem Fall die Gewährdafür, dass Rechte Dritter nicht verletztwerden und stellt uns von sonstigen Ge-währleistungsansprüchen frei.

Die genannten Haftungsregelungen gelteninsbesondere auch für alle Formen unse-rer anwendungstechnischen Beratung. DieEignung der von uns vorgeschlagenen Pro-blemlösung hat der Auftraggeber in jedemFalle auch selbst zu überprüfen.

VIII. Haftungsausschluß

Soweit in diesen Bedingungen nicht an-ders vereinbart, sind alle weiteren Scha-denersatzansprüche des Käufers, gleichaus welchem Rechtsgrund, ausgeschlos-sen. Dies gilt insbesondere für Folgeschä-den und solche Schäden, die nicht amLiefergegenstand selbst entstanden sind.

IX. Herstellungswerkzeuge undWerkzeugkosten

Die vereinbarten Werkzeugkosten verste-hen sich grundsätzlich als anteiligeWerkzeugkosten und sind unabhängigvom Warenwert zu sehen. Werkzeug-kosten sind ohne Abzug zahlbar 2/3 beiAuftragserteilung netto und 1/3 bei Über-sendung des Ausfallmusters netto.

Durch die Vergütung von anteiligen Kostenan Werkzeugen erwirbt der Käufer keinenAnspruch auf die Werkzeuge selbst; sieverbleiben vielmehr Eigentum und Besitzdes Verkäufers.

Der Verkäufer verpflichtet sich, die Werk-zeuge für den Käufer ein Jahr nach der letz-ten Lieferung daraus entstehender Pro-duktionsteile aufzubewahren. Nach Ablaufdieses Zeltraums kann der Verkäufer freiüber das Werkzeug verfügen.

Für Werkzeugaufträge, die im Entwick-lungsstadium (z.B. durch Schwierigkeitenin der Formgebung oder der Umformung)oder in der Anlaufzeit zur Annullierungkommen, behält sich der Verkäufer die Ab-rechnung der entstandenen Kosten vor.Hierbei werden bei einer Annullierung vorFreigabe der Muster die angefallenen Kos-ten für den ganzen Erstwerkzeugsatz, beiAnnullierung nach Musterfreigabe je nachHöhe des vorgesehenen Bedarfes die an-gefallenen Kosten für den gesamten Um-

In respect of goods supplied by him theseller guarantees, from the date or noticeof completion and from the date ofdespatch, that they are free of defects inmaterials and workmanship in conformitywith the latest technologicaldevelopments, even if such defectsappear after the risk has passed to thebuyer. For such defects the guaranteeperiod and limitation period is twelvemonths from the date when the riskpasses. The seller will supplyreplacements free of charge for articleswhich are proved to have defects in work-and external material defects (i.e. notinternal defects also) on return of thedefective articles.

Normal wear and tear is not covered bythe guarantee, nor damage caused byimproper handling, e.g. overloading overthe capacities specified or using tyres notconforming to the German Industrial Stan-dard (DIN), and in this connection thebuyer has the burden of proof.Compensation for consequential damage,particularly reimbursement of anymachining costs, disbursements orexpenditure by the buyer is expresslyexcluded.

In the framework of the guaranteeobligation the buyer will be responsible forfreight and packing and any expenses fordismantling and fitting the goods suppliedby the seller. It is a condition of theguarantee that during the guarantee periodno spare parts of any kind originating fromelsewhere are used, that no measures aretaken by outsiders and that free repairsare expressly demanded in writing as soonas the order is placed.

Any further claims to a reduction in price,supply of a replacement or damages areexcluded even if notice of a defect is givenin good time. The seller accepts no liabilityfor difficulties arising from provisionsrelating to the protection of industrialproperty rights on the resale or use ofgoods supplied by the seller. If the goodsare manufactured and delivered to thebuyer's specifications the seller is liableonly for such defects based on the non-observance of the buyer's instructions. Inthis case the buyer guarantees that therights of third parties are not violated andexempts the seller of any further

guarantee claims. The mentioned liabilityregulations are valid for all forms of ourconsultation. The suitability of theproposed problem solving should alwaysbe examined thoroughly by the buyerhimself.

VIII. Exemption from Liability

Unless otherwise agreed upon, all furtherdamage claims by the buyer are excluded.This applies in particular to consequentialdamages and for such damages notimmediately emerging from the goodsdelivered.

IX. Production Tools and Costs

The agreed costs of tools are to be seenas a portion of the costs of these toolsand are independent of the value of themerchandise. The costs of tools arepayable net without deduction 2/3 whenordering and 1/3 by delivery of the firstsample. The buyer does not obtain a claimto the tools themself by paying part of thecosts thereof; the tools remain theproperty of the seller. The seller agrees tokeep the tools at the buyer's disposal atleast one year after the last delivery ofparts produced on these. After this timethe seller can dispose freely of the tools.Should an order for production tools becancelled during development orconstruction, the seller reserves the rightto charge the buyer for all costs occurredup to that date. In the event of an ordercancellation before release of the sampleall costs for the initial set of tools will becharged to the buyer. If the order iscancelled after release of the sample thecosts charged to the buyer will becalculated according to the order volume,taking all costs for regular productiontools, special constructions, moulds,materials etc. into consideration.

The developed tools charged to the buyerremain to be viewed for a period of 4weeks at the seller's, after which they willbe scrapped or used otherwise. In orderto protect his development techniques, theseller is not obliged to present anyconstruction and development plans and/or drawings.

X. Special Conditions

All parts sent in as samples, parts which

Le vendeur remplacegratuitement et contre remise des objetsdont le matériel présente indubitablementdes défauts d'usinage ou des vices dematière extérieurs (vices intérieurs noncompris).

La garantie ne comprend ni la dégradationnormale ni des dommages résultantd'utilisation incorrecte, p.ex. surcharge quidépasse les charges admissibles fixées ouen cas d'utilisation de pneus qui ne sontpas conformes à la norme DIN, la chargede la preuve étant du côté de l'acheteur.Sont expressément exclues: desindemnisations pour des dommages con-sécutifs, en particulier la compensationd'éventuels coûts d'usinage, de charges oud'emplois de la part de l'acheteur. Dans lecadre de l'obligation de garantie, le fret etl'emballage ainsi que d'éventuels coûts pourle démontage ou le montage du matérieldu vendeur sont à la charge de l'acheteur.L'obligation de garantie exige qu'au coursde la période de garantie aucune pièce derechange d'origine extérieure ne soitemployée, qu'aucune intervention de tiercepersonne ne se soit passée et qu'uneréparation gratuite soit demandée par écritet explicitement dès la passation de lacommande.

Sont exclues: des prétentions dépassant lecadre prévu, en matière de restitution d'unepartie du prix, de livraison de remplacementou de dommages-intérets, nonobstant unrecours en garantie en temps utile. Levendeur décline toute responsabilité pourdes difficultés résultant de la réglemen-

tation en matière de protection de lapropriété industrielle lors de la revente oude l'emploi du matériel livré.

Lorsque la marchandise est fabriquée etlivrée selon des ordres spécifiques du client,le vendeur est seulement responsable dedéfauts causés par le non-respect desinstructions du client. Dans ce cas, le clientdonne sa garantie que les droits de tiercepersonne ne sont pas offensés et nouslibère de tout autre droit à garantie.

Les règlements en matière de reponsabilitécités sont également valables pour toutesles formes de nos conseils techniquesd'application. En tout cas, le donneur d'ordredevra vérifier lui-même le bien-fondé denotre proposition de solution.

VIII. Non-responsabilité

Sauf convention contraire des présentesconditions, sont exclues: toute autredemande de dommages-interêts parl'acheteur, nonobstant le motif juridique.Ceci vaut en particulier pour des dommagesconsécutifs et pour des dommages quin'apparaissent pas sur le matériel même.

IX. Outils de fabrication et coûts del'outillage

Principalement, les coûts d'outillagestipulés se comprennent comme des coûtsd'outillage au prorata et sont indépendantsde la valeur de la marchandise. Les coûtsd'outillage sont payables nets sans aucunedéduction à 2/3 lors de la passation de lacommande et à 1/3 lors de l'envoi del'échantillon.

Le remboursement de coûts d'outillageproportionnels ne confère aucun droit surces outils à l'acheteur, ils restent cependantla propriété et la possession du vendeur.

Le vendeur s'engage à garder les outils pourl'acheteur pendant un an suivant la dernièrelivraison de pièces fabriquées à l'aide deceux-ci. Après l'expiration de cette période,le vendeur pourra disposer librement del'outil.

Le vendeur se réserve le droit de facturerles frais encourus pour des commandesd'outils qui sont annulées au cours de laphase de développement (p.ex. en raisonde difficultés de modelage ou detransformation) ou au cours de la phase dedémarrage. En cas d'annulation avantl'homologation des échantillons, les coûtsencourus pour le lot complet d'outillageprototype seront facturés. En casd'annulation après l'homologation des

X. Sonderbedingungen

Als Muster eingesandte sowie durch In-standsetzung oder Umänderung unbrauch-bar gewordene oder durch neue ersetzteTeile werden verschrottet, sofern die Rück-lieferung bei Bestellung nicht ausbe-dungen ist.

Der Käufer darf die Liefergegenstände nurmit den Warenzeichen und den sonstigenauf den Hersteller hinweisenden Kennzei-chen verwenden und veräußern, mit de-nen die Gegenstände vom Verkäufer ge-liefert wurden. Der Käufer ist für die Lau-terkeit seiner Werbung verantwortlich. DerVerkäufer ist berechtigt, die Art der Wer-bung zu bestimmen.

XI. Allgemeine Bestimmungen

Für alle Vereinbarungen und Rechts-handlungen gilt sowohl für den Verkäuferals auch für den Käufer ausschließlichdeutsches Recht. Im Falle der Unwirksam-keit einzelner Vertragsbedingungen blei-ben die übrigen Bedingungen verbindlich.Soweit infolge der einschlägigen Recht-sprechung des BGH eine Lieferbedingungin ihrem Rechtsbestand zweifelhaft seinsollte, so ist diese im Rahmen der Leitsät-ze des BGH auszulegen und als derart ver-einbart anzusehen.

Als Erfüllungsort für Lieferungen und Zah-lungen gilt D-07580 Ronneburg/Thür.

Ausschließlicher Gerichtsstand ist dasAmtsgericht Gera/Thür. einschließlich derWechsel- und Scheckprozesse, oder nachWahl des Verkäufers jedes andere Amts-gericht.

Ifthe legal validity of a delivery condition isdoubtful as a result of the relevant case ofthe Federal Supreme Court, the provisionmust be interpreted on the basis of theguiding principles of the Federal SupremeCourt and must be regarded as havingbeen agreed in that way.

D-07580 Ronneburg/Thür. is the place ofperformance for deliveries and payments.The District Court of Gera/Thür. shall haveexclusive jurisdiction, extending to actionson bills and cheques or, at the seller'selection, any other District Court.

L'acheteur estresponsable de la loyalité de sa publicité.Le vendeur est autorisé à déterminer Iemode de publicité.

XI. Généralités

Toutes les conventions et tous les actesjuridiques sont régis exclusivement par Iedroit allemand; ceci vaut pour Ie vendeuraussi bien que pour l'acheteur. La nullité decertaines clauses du contrat ne restreintpas la validité des autres clauses. Pourvuqu'une clause de livraison soit mise enquestion pour sa valeur juridique d'après lajurisprudence compétente du BGH (Bun-desgerichtshof - pourrait être comparé à laCour de Cassation française), celle-ci devraêtre interprétée dans Ie sens des dispositifsdu BGH et considérée comme convenue.
