IMPORTANT NOTE TO BIDDERS:

(1) TIMELY SUBMISSION OF OFFER TO GSECL :

All the relevant documents as per requirement of the tender shall be submitted physically along with the Tender Fee and EMD in sealed cover so that the same is received in this office on or before the due date and time. All such documents should be strictly submitted by RPAD / speed post only. Otherwise the offer will not be considered and no any further communication in the matter will be entertained. Please note that Price Bid is not to be submitted in physical form.

No tender shall be accepted in any case after due date and time of receipt of tender, irrespective of delay due to postal services or any other reasons and GSECL does not assume any responsibility for late receipt of the tender.

(2) TECHNICAL BID (TECHNO-COMMERCIAL BID) TO BE SUBMITTED BOTH IN PHYSICAL AS WELL AS SOFT COPY (ON LINE) :

It is mandatory for all the bidders to submit their Technical bid (Techno-commercial bid) documents in both forms i.e. on–line (e-tendering) as well as in hard copy in scheduled time. Technical bid in any one form i.e. either in soft copy(on line) or in hard copy(physical form), shall not be considered.

Technical Bid (Techno-commercial bid) in THREE (3) copies (1 Original+ 2 Copies) shall be sent in Sealed Envelopes containing copies of Technical bid (Techno-commercial bid).

1.0 PREAMBLE :

Sealed tenders are invited for the following services: “Consultancy Services For ‘Environment Impact Assessment and Environmental Management Plan (EIA-EMP) Study’ and getting ‘Environmental Clearance’ for Installation of 2 x 800 MW Supercritical Coal Based Thermal Power Plants each at (a) Village Dholera in Dholera SIR, Dist: Ahmedabad (b) Village Bavaliyari in Dholera SIR ,Dist: Ahmedabad (c) Village Mojap Ta: Dwarka , Dist : Jamnagar”,

If you are meeting with the qualifying requirements indicated in the tender and are in a position to quote, your tender in Triplicate (one original and two copies) shall be submitted so as to reach this office latest by the due date.

The Techno-commercial bid (Technical bid) shall be submitted both in physical form as well as through on-line e-tendering. The price bid shall be submitted only through On-line (e-tendering).

Techno-commercial bid (Technical bid): All information regarding technical and commercial aspects of your offer are to be furnished in the bid. Bid shall also include un-priced price schedules.

2.0 ABOUT PROJECT SITE AND LAY OUT THEREOF:

If the Bidder, wishes, he may familiarize himself with the site conditions for proposed site The details of project site, in brief, for project at Dholera village, Bavaliyri Village and Mojap village are as under : (a) Dholera : Dholera Special Investment Region Development Authority

(DSIRDA) has tentatively allocated land Survey no. 18P admeasuring about 335 hectares of land at about 10 Kms of eastern side of Dholera Village in the proposed Dholera SIR region in Dhandhuka Taluka in Ahmedabad District. Dholera village is located on the state highway of Vadodara-Bhavnagar /Ahmedabad-Bhavnagar. It is located at about 100 Kms from Ahmedabad, 120 Kms from Vadodara and about 60 Kms from Bhavanagar.

(b) Bavaliyari : DSIRDA has tentatively allocated land Survey no. 313 & 314 admeasuring total land of about 793 hectares of land through which state highway of Vadodara-Bhavnagar /Ahmedabad-Bhavnagar is passing in-between near village Bavaliyari on southern most area of proposed Dholera SIR region in Dhandhuka Taluka in Ahmedabad District. It is about 17 Kms away from Dholera village. It is located at about 100 Kms from Ahmedabad, 120 Kms from Vadodara and 40 Kms from Bhavanagar.

(c) Mojap : The project site is located at Govt. Land Survey no. 50/P-1 admeasuring about 213 hectares of land at village Mojap Ta: Dwarka Dist: Jamnagar. Moreover additional private land of about 85 hectares towards the adjacent village Bhimpura in north of Government land survey no. 50/P-1 . The site is located at in northern side of about 10 Kms from Dwarka Town, and it is located in southern side of about 20 Kms from Okha port .

The GSECL reserves the right to accept or reject any or all tenders without assigning any reason thereof or rescind the tender process.

3.0 QUALIFYING REQUIREMENTS / EXPERIENCE OF BIDDER:

Offer of only those experienced and resourceful bidder will be considered who

meet with following qualifying requirements:

(A) Bidder should have valid Certificate of Accreditation from National Accreditation Board of Education and Training (NABET) / Quality Council of India (QCI) for accreditation as a EIA consultant with ‘Thermal Power Project’ covered as one of the scopes approved therein.

(B) Bidder should have prepared EIA study report for at least two nos. of projects of Coal Based Supercritical Units in India having minimum size of unit of 660/800 MW, for which Environmental Clearance is received.

(C) For establishing the above qualifying requirements, Bidder shall have to submit the details and relevant documents in the following format: Sr. No.

The Bidder shall indicate the maximum value of the order executed by him together with the details of name of the party, order value, scope of work, completion period stipulated in the order and actual completion period / date. Performance certificates from customers shall also be submitted. The bidder shall furnish enough details / documents in the technical bid regarding their own / parent company experience, capability and resourcefulness. The bidder shall also furnish experience list.

The bidder shall indicate following also: Maximum value of the order executed along with the details i.e. name and full address, telephone / fax number / email ID of the customer, value of the order, scope of work etc. Completion period and time limit for completion of the work stipulated in order. Actual completion period and time taken for completion, with reasons for delay if any, together with the performance certificates from respective customers. The bidder shall submit PF code number allotted by Regional PF Commissioner. Failure to do so is likely to result in the offer being rejected. Detailed and precise information on these matters shall be furnished in technical bid (Techno-commercial bid). Failure to do so is likely to result in the offer being considered not meeting with requirements and liable for rejection.

4.0 TENDER DOCUMENTS:

For this Tender document you shall pay non-refundable Tender Fee of Rs.7500/- (Rs. Seven Thousand Five hundred only). Tender fee is acceptable by Crossed Demand Draft payable at Vadodara favoring Gujarat State Electricity Corporation Ltd., VADODARA (Cheques are not acceptable). Tenders submitted without tender fee will not be accepted. 7.0 MODE OF DESPATCH OF TENDER/BID/OFFER.: 7.1 All the envelopes shall be dispatched by Registered AD post / Speed post only. PLEASE NOTE THAT COURIER / HAND DELIVERY IS NOT ACCEPTABLE. 7.2 DELAYED AND LATE TENDER:

No tender shall be accepted / opened in any case which are received after due date and time of receipt of tender irrespective of delay due to postal services or any other reasons and GSECL shall not assume any responsibility for late receipt of tender. CORRESPONDENCE IN THIS MATTER WILL NOT BE ENTERTAINED.

8.0 OFFER TO BE MADE IN ACCORDANCE TO TENDER DOCUMENTS:

Offer / Tender / Bid submitted by the bidder must be in accordance with and must be

responsive to terms and conditions of the tender documents appended hereto.

Incomplete tender, amendments & additions to tender received after the bid dead

line, amendments & additions to tender received prior to bid dead line but which are

not in sealed covers & superscribed as stipulated above are likely to be rejected.

Bidder to note that Price Bid (Schedule of Prices) of those bidders shall be opened

(On-line/e-tendering) who is found technically qualified and is found reasonably

responsive to GSECL’s tender terms and conditions and scope of Works.

9.0 EARNEST MONEY DEPOSIT:

Bidder has to submit EMD of totaling Rs. 1, 20,000.00 (Rs. One lacs twenty

thousand only).

Out of above referred EMD of totaling Rs. 1, 20,000.00 (Rs. One lacs twenty

thousand only), 50 % of EMD (Rs. 60,000) will be accepted in the form of

crossed Demand Draft and 50% of EMD (Rs. 60,000) will be accepted in the

form of BG from the following Bank with one time validity of 12 months from the

date of offer which may be extended as per GSECL’s requirements,

as per the format attached herewith (at ANNEXURE-I) .

While remitting the EMD, the Tender No. GSECL/ PP/ PMI / EIA-EMP Study and

EC / Dholera-Bavaliyari-Mojap / , EMD for “Consultancy Services for ‘Environment

Impact Assessment and Environmental Management Plan (EIA-EMP) Study’ and

EMD shall be submitted in separate envelope in the main cover of the offer. It should also be superscribe with complete details of EMD ( i.e Bank name, amount , DD No. and Date etc.). If the bidder deviates from his offer for the reasons not attributable to GSECL, the EMD may be forfeited by GSECL.

The Earnest Money Deposit will be released in accordance with the following conditions:

• In case of the successful Bidder, the Earnest Money Deposit will be refunded after the Bidder has furnished Security Deposit.

• In case of unsuccessful Bidder, the Earnest Money Deposit will be refunded after payment of Security Deposit by the successful Bidder.

If the successful Bidder withdraws his tender within the validity period or fails to submit the required Security Deposit within 30 days time, he shall be liable for the difference by which the cost of this project exceeded as compared to his cost and the Earnest Money Deposit shall be made available towards off-setting such difference.

Tenders submitted without Earnest Money Deposit shall be rejected.

CORPORATE GUARANTEE IS NOT ACCEPTABLE.

10.0 SECURITY DEPOSIT CUM PERFORMANCE BANK GUARANTEES

(SD cum PBG):

• The successful bidder shall have to pay SD cum PBG deposit within one week from the date of issue of Detailed Order. Format for the SD cum PBG shall be furnished at the time of ordering.

• The successful bidder shall be required to submit Bank Guarantee of an amount of 10% of ordered value as a SD cum PBG. The format for SD cum PBG shall be furnished to successful bidder at time of awarding the consultancy contract.

• As per Finance Department, Govt. of Gujarat GR No. EMD-SD/102006/108/DMO dated. 30.03.2012, Bank Guarantee from the following Banks will be acceptable.

11.0 VALIDITY:

Validity of your offer shall be 120 days from the date of opening of the price bid.

12.0 PRICES:

The GSECL expects to award this work on FIRM price basis. THEREFORE, ONLY FIRM PRICED OFFERS ARE ACCEPTABLE. OFFERS WITH PRICE VARIATION ARE LIABLE FOR REJECTION. PRICES SHALL REMAIN FIRM TILL COMPLETE EXECUTION OF THE CONTRACT IRRESPECTIVE OF CONRACTUAL COMPLETION PERIOD. The rates quoted shall also include all the expenses for personnel services, visits of Bidder team for various purposes, transport charges, expenditure against stationeries, computer software, hardware etc., miscellaneous expenditures incurred for collecting / preparing the required data from various statutory/non-statutory bodies, from Field / Site , GSECL/Outside agencies etc. , Testing from Site for preparation of EIA-EMP report and getting Environmental Clearance from MoEF / SPCB etc. and all the other associated activities like public hearing / presentations / expediting-follow up with various authorities etc. No extra payment for the above will be made. Bidder is requested to submit the bid accordingly considering the above referred scope in the quoted price. Bidder has to pay all the necessary fees for permissions/ clearances/ collection of data etc. for completion of EIA-EMP Study. For getting permissions/ clearances/ collection of data etc. other than above referred EIA-EMP study, the necessary fees shall be borne by GSECL, however for such type of permissions/ clearances/ collection of data etc Bidder has to assist GSECL for the said purpose. Bidder is requested to submit the bid accordingly considering the above referred cost. However as far as nos. of visits of Bidder team for various purposes is concerned; following shall be considered while quoting the price bid.

(a) For carrying out the EIA-EMP study/ testing from/at /around project site,

monitoring, collection of required data either from project site or elsewhere etc. in order to meet the requirements of the statutory / non-statutory bodies and obtaining MoEF, GPCB/CPCB clearances/permissions in relation to EIA-EMP Studies, all the visits of Bidders’ team for various purpose as per requirements till the submission of Final EIA-EMP study report (Either One Season or Comprehensive EIA-EMP as the case may be as decided by GSECL), shall be included within the quoted prices.

(b) (i) For attending all the meetings at Corporate Office / Other Offices / Public Hearings / Presentations to the Statutory /non-statutory bodies in relation to EIA-EMP Studies and for expediting/ follow-up for obtaining project related clearances/permissions from the respective authorities, minimum fifteen (15) nos. of visits of bidders’ team shall be included within the quoted prices.

(ii) Any additional visit beyond that specified under Sr. No. (b)(i) above shall be reimbursed at actual limited to airfare (Economy Class) or Railways (IInd A.C.) up to the nearest Air Port / Railway Station of destination, on production of documentary evidences for the same. However, local conveyance, lodging, boarding, out of pocket expenses etc. for the same shall be borne by the Bidder.

13.0 TAXES AND DUTIES:

The price quoted shall be inclusive of all applicable taxes, duties, levies but exclusive of service tax as applicable.. Statutory variations in the service tax shall be permitted as under:

(A) Statutory variations during original contractual completion period : (i) If any increase takes place in taxes and duties due to statutory

variation, then GSECL shall admit the same on production of documentary evidences.

(ii) If any decrease takes place in taxes and duties due to statutory variation, the same shall be passed on to GSECL or GSECL shall admit the decreased rate of taxes and duties while making the payment.

(B) Statutory variations beyond original contractual completion period : (i) If reasons for extension of contractual completion period is attributable

solely to GSECL, the provisions of (A) (i) above shall apply.

(ii) If reasons for extension of contractual completion period is attributable to Bidder, then :

(a) Any increase in takes place in taxes and duties due to statutory variation, then GSECL shall not admit the same, however GSECL shall admit the taxes and duties at the rate prevailing during payment of last invoice raised during original contract completion period.

(b) If any decrease takes place in taxes and duties due to statutory variation, the same shall be passed on to GSECL or GSECL shall admit the decreased rate of taxes and duties while making the payment.

Variation on account of exchange rate will not be payable. No statutory variation shall be payable by GSECL on the input items. i.e. raw materials etc.

No statutory variation shall be admitted if the excise duty becomes payable because of exceeding the prescribed limits for turnover of the Bidder.

Receipt of Environmental Clearance from MoEF

(g) Balance 10 % along with taxes for the respective Project Site in accordance to GSECL’s decision to go for either one season EIA-EMP study or comprehensive EIA-EMP study.

After receipt of all the project related clearances from the statutory / Non-statutory bodies and submission of compliance to the conditions laid down therein or 18 months from the date of receipt of MoEF & GPCB / CPCB clearances, whichever is earlier.

(c) MODE OF PAYMENT:

Invoices complete in all respects is to be raised by the bidder to ‘The Chief Engineer (P&P), GSECL, Vidyut Bhavan, Race Course, Vadodara. 300 007’ who shall process the same after due verification and the payment shall be paid through RTGS/NEFT (Format for details/data to be furnished by the bidder is enclosed) within 30 (Thirty) Days from the date of receipt of the invoice at GSECL’s Corporate Office at Vadodara.

15.0 PRICE BREAK-UP:

The price breakup shall be furnished as per format given in schedule of Price (Schedule-B) at Section-4 of these tender documents. Bidder is to note that as per directives of MoEF in TOR for the respective project, GSECL shall decide any one of the following two options. The payment shall be made as per the actual services provided. (a) Option-I : Providing Consultancy services as per tender terms, considering

one season EIA-EMP study. (b) Option-II : Providing Consultancy services as per tender terms, considering

Comprehensive EIA-EMP study.

16.0 COMPLETION PERIODS:

(a) Preliminary ‘Draft EIA-EMP study report’ for respective project is to be submitted to GSECL for comments & approval within eleven months from the date of intimation by GSECL for ‘Comprehensive EIA-EMP study’.

(b) ‘Draft EIA-EMP study report’ for respective project site is to be submitted to GSECL after incorporating the comments, within 15 days of receipt of comments from GSECL on (a) above for approval.

(a) Four (4) hard copies along with two soft copies in CD of “Preliminary ‘Draft EIA-EMP study report’ ” [Either for ‘One season EIA-EMP report’ or ‘Comprehensive

EIA-EMP report’ (as the case may be)] for respective project site , shall be submitted for comments / approval of GSECL. All the relevant drawings covered in the report are also to be in AutoCAD format as well as PDF format.

(b) Twenty Five (25) copies along with 25 nos. of soft copies in CD of Draft EIA-EMP study report’ ” [Either for ‘One season EIA-EMP report’ or ‘Comprehensive EIA-

(e) Bidder has to submit nos. of Copies of the respective report for the respective project site as above, however Bidder shall have to submit any additional copies for these reports wherever the same are required during the period of the contract.

(f) Consultant should endeavor that all the drawings, documents etc. are computerized

and in editable/reproducible format.

(g) All the drawings, documents etc. to be furnished by the consultant should be clear, legible to read and neat in presentation.

18.0 PENALTY FOR DELAYS:

The penalty (not liquidated damages) for the delay shall be as under: In case of any delay that may take place in completion of works beyond contractual cut-off period, the consultant shall be liable to pay at the discretion of the GSECL, a penalty (not liquidated damages) at the rate of 0.5 % per week of the contract price of that part of contract for which works is delayed subject to a maximum of 10% of the total contract value. Due consideration will be given in the levy of penalty for reasons absolutely beyond control of consultant for which necessary evidences shall be produced by the consultant to the satisfaction of the competent authority of the GSECL.

19.0 PRINTED TERMS AND CONDITIONS WILL NOT BE CONSIDERED:

Printed terms and conditions of the Bidder will not be considered as forming part of his tender / offer. This shall be strictly adhered to. Deviations, if any, should be provided separately clearly indicating the clause numbers of GSECL’s tender documents and deviations taken by the bidder for the same.

20.0 DESIGNATION AND AUTHORITY OF THE PERSONS SIGNING THE TENDER: Bidder must indicate the official designation and the authority of the individual signing the tender.

21.0 TENDERERS TO ENSURE TIMELY RECEIPT OF THE OFFERS BY CHIEF ENGINEER (P&P), GSECL, VADODARA:

Bidder is responsible for ensuring that their tenders (on-line and physical as the case may be) are actually received in time and at the place mentioned above.

22.0 CANVASSING NOT PERMITTED:

Bidder should not canvass their offer personally or otherwise by approaching the Chairman or the Directors of the Board of directors of GSECL. If any Bidder wants to make any representation regarding the offer, he should write to the Chief Engineer (P&P) with copies to the Chairman or Directors, if he desires, but personal and oral representations are not permitted. Inspite of the above clear instructions, if any Bidder is found to canvass his offer or against his competitor’s offer through personal approach to the Chairman or the Directors of the Board of directors of GSECL, his offer will be rejected without assigning any reason and the firm may even be blacklisted.

23.0 ADDITIONAL INFORMATION AND DOCUMENTS TO BE FURNISHED WITH OFFER :

23.01 Full address of office with Fax / Telephone numbers and Email ID of responsible persons with whom correspondence shall be made.

23.02 Name of the Senior Officers with designations and Telephone Numbers (Residential as well as office) who can be contacted for any follow up.

23.03 Name of the directors with their Bio-data indicating qualifications and experience. Also, state whether the firm is a Pvt. Ltd., Public Enterprise or proprietary etc.

23.04 Audited Annual reports of last three years accounts i.e. profit & loss account and balance sheet.

23.05 Banker’s name and reference of Bankers regarding firm’s performance. 23.06 Details of manpower employed indicating numbers of Executives involved in

Technical and Engineering management, Administrative management and financial management alongwith Curriculum of personnel involved in execution, design, engineering etc.

23.07 Experience, indicating list of order executed, brief scope, date of the orders and completion date of the same, value of each order, copy of performance certificate from the customers etc.

23.08 Details of the orders on hand / under execution indicating brief scope, dates of the orders, value of the orders and contractual completion period and type of work ordered.

23.09 The bidder shall submit PF code number allotted by Regional PF Commissioner. Failure to do so is likely to result in the offer being rejected.

23.10 All other information as called for under various schedules forming part of the tender documents and / or the specification shall also be invariably furnished.

24.0 ENSURING MEETING PRE-QUALIFICATION REQUIREMENTS:

24.1 The Bidder shall submit sufficient data/documents in his technical bid (Techno-commercial bid) to justify and prove that he is meeting with the pre-qualifying requirements stipulated in the tender specifications. However, the price bids of such of the bidders would be considered to be opened by GSECL as, in its opinion prima-facie satisfy the pre-qualification requirement.

24.2 If GSECL finds, after opening of Technical bid (Techno-commercial bid) and before opening price bid of a Bidder that a particular Bidder is not meeting pre-qualification requirements or suffers for lack of resources, lack of know how, lack of capacity, lack of experience etc., GSECL reserves the right to reject such Bidder’s price bid without assigning any reason and also without giving any intimation.

25.0 CLARIFICATIONS REQUIRED BY TENDERER:

26.0 CANCELLATION / TERMINATION OF CONTRACT:

(i) Suspension:

GSECL may by written notice of suspension to the Bidder, suspend all payments to the Bidder hereunder if the Bidder fail to perform any of their obligations under this contract, provided that such notice of suspension (i) shall specify the nature of the failure, and (ii) shall request the Bidder to remedy such failure within a period not exceeding thirty (30) days after receipt by the Bidder of such notice of suspension.

(ii) Termination:

(1) Termination by GSECL:

(A) GSECL reserves its right to terminate the contract in full or in part and at any time by giving a written notice of 30 days. In case, GSECL terminate the contract by issuing written notice, the consultant shall be paid for the actual work done till the date of notice, and the payment shall be calculated on prorate basis for the actual work done. Consultant shall also be paid for the commitments related with this assignment which can not be terminated, on production of documentary evidences of such commitments. Upon receipt of the written notice, attempts to terminate all commitments and otherwise minimize all cost shall be made by the

consultant. Above payment shall be subject to submission of all data, design, plans, specifications and other documents for the project up to the date of termination of contract, to GSECL. In case, the consultant terminate the contract by issuing a written notice or abnormally delays the works beyond scheduled time frame, GSECL reserves the right to get work done by another consultant. Any expense which may be incurred in excess of the sum which would have paid to the original consultant, for completion of unexecuted works shall be deducted /recovered from any money due to the original consultant , by GSECL.

(B) GSECL may also terminate the Contract, by not less than thirty (30) days written notice of termination to the Bidder, to be given after the occurrence of any of the events specified in paragraphs (a) through (c) of this Clause

and sixty (60) days” in the case of the event referred to in (d). Bidder

shall be paid as per provision indicated at (A) above:

(a). If the Bidder do not remedy a failure in the performance of their obligations under the Contract, within thirty (30) days of receipt after being notified or within such further period as the Client may have subsequently approved in writing;

(b) If the Bidder (or any of their Members) become insolvent or bankrupt;

(c) If the Bidder, in the judgment of the Client has engaged in corrupt or fraudulent practices in competing for or in executing the Contract. For the purpose of this clause: “corrupt practice” means the offering, giving, receiving or soliciting of anything of monetary value or otherwise to influence the action of a public official in the selection process or in contract execution.

(d) On operation of any law / by law/rules under which the project is prejudicial to the interest of the GSECL.

(2) Cessation of Rights and Obligations:

Upon termination of this Contract or upon expiration of this Contract, all rights and obligations of the Parties hereunder shall cease, except :

(a) Such rights and obligations as may have accrued on the date of termination or expiration;

(b) The Bidder obligations to permit inspection, copying and auditing of their accounts and records. and

(c) Any right which a client may have under the Applicable Law.

(3) Disputes in the Events of Termination:

If either Party disputes whether an event specified in paragraphs (a) through (d) of (1) hereof has occurred, such Party may, within forty-five (45) days after receipt of notice of termination from the other Party, refer the matter to arbitration pursuant to Clause No. 28 hereof, and this Contract shall not be terminated on account of such event except in accordance with the terms of any resulting arbitral award.

27.0 SETTLEMENT OF DISPUTES:

(a) Amicable Settlement: The Parties to this agreement shall use their best efforts to settle all disputes arising out of or in connection with this Contract or the interpretation thereof amicably through conciliations.

(b) Dispute Settlement: Any dispute between the Parties as to matters arising pursuant to this Contract which cannot be settled amicably by conciliations within thirty (30) days after receipt by one Party of the other Party's request for such amicable settlement may be submitted by either Party for settlement in accordance decision of MD, GSECL.

28.0 ARBITRATION :

All questions, disputes, differences, whatsoever, which may at any time arise between the parties to this contract in connection with the contract or any matter arising out of or in relation thereto, shall be in first instance resolved through discussions or mediation and if not resolved, referred to the Sole Arbitrator as per provision of Indian Arbitration to conciliation Act 1996 as updated from time to time.

29.0 CONTRACT AGREEMENT:

As per the GSECL's rules, Bidder shall enter into an agreement with the GSECL. This agreement shall be on stamp paper of Rs. 100/- and shall be signed within one week of receipt of the order. The agreement shall be signed by the Bidder or his authorized representative and GSECL affixing seal of the Bidder and GSECL. The cost of stamp fee shall be borne by the Bidder. The contract shall comprise of the tender with the detailed scope of work, schedules, bidder's offer, all correspondence done till issue of detailed order and acceptance of Bidder thereof.

30.0 JURISDICTION:

All questions, disputes or differences arising out of or in connection with the tender/contract if concluded shall be subject to the exclusive jurisdiction of the court under whose jurisdiction the place from which the tender/ acceptance of tender is issued/ is situated i.e. Vadodara ,Gujarat (India).

SECTION-3 General Conditions of the Contract (GCC) and Broad Scope of

Works/Services 1.0 INTRODUCTION /INTENT:

Gujarat State Electricity Corporation. Ltd., (GSECL) intent to conduct EIA-EMP studies and to get Environment Clearances and other Clearances from the regulatory/ statutory/non-statutory bodies on fulfilling their requirements as per prevailing laws, rules and regulations thereof, through a resourceful Consultant for the following projects of installation of 2 x 800 MW Supercritical Coal Based Thermal Power Plant each at : (a) Village Dholera in Dholera SIR, Dist: Ahmedabad

(b) Village Bavaliyari in Dholera SIR ,Dist: Ahmedabad

(c) Village Mojap Ta: Dwarka , Dist : Jamnagar

2.0 BROAD SCOPE OF WORKS / SERVICES TO BE PROVIDED BY BIDDER:

The broad scope specified hereunder outlines the works / services generally expected from the bidder. It is not the intent to specify minute details of each works/services expected from the consultant/bidder. In view of above, the broad scope of the works/ services shall include but not limited to the following:

The prospective bidder is required to perform the following functions/activities as set out expressly in this tender documents and any other activities which may be essential and incidental thereto for meeting the intent of GSECL as above and for completion of Draft and final EIA report for One Season EIA Study /Three Season(Comprehensive) Environmental Impact Assessment (EIA) study along with Environmental Management Plan (EMP) as per requirements in TOR and getting Environmental Clearance from MoEF and further compliances as per the requirements, Receipt of Consent to Establish (CTE) from GPCB etc., Receipt of CRZ and Forest Clearances as applicable for the project site, from the concerned statutory/regulatory/non-statutory bodies.

Accordingly all the necessary studies shall have to be carried out to meet the existing acts/rules/notifications/norms / requirements including EIA notification dated 14.09.2006 and/or CRZ Notification 2011(All amended from time to time), of the Ministry of Environment & Forest, Gujarat Pollution Control Board / Central Pollution Control Board and other Statutory and Non-Statutory Bodies for obtaining various project related clearances including comprehensive services, liasoning, presentation, wherever required, attending meetings, comply the conditions laid down in the TOR/EC, Environment clearances, CRZ clearances where applicable, Forest Clearances wherever applicable, Consent to Establish (CTE), etc till satisfactory completion / commissioning of the Project. Bidder is also required to rework for carrying out the study and modify the study reports and obtain the amended clearances/permissions, if any required.

The scope of services is also inclusive of following:

(a) To fill-up Form- I alongwih draft TOR , to be submitted to MoEF, New Delhi for getting TOR.

(b) Preparation and giving presentation for TOR at various stages/to various authorities, as per requirements of MoEF and providing all the necessary assistance for the same as per requirements.

(c) Liasioning / Expediting /Follow-up with MoEF for the early receipt of TOR and with other statutory/non-statutory bodies for getting various permissions/clearances etc. .

(d) To prepare either One Season or Comprehensive detailed EIA –EMP Report as decided by GSECL which should be as per the requirements of TOR / EC and shall also cover the points referred in the “Technical EIA Guidelines Manual for Thermal Power Plant” published by MoEF and the amendments thereof with completion of all the necessary field works , monitoring , testing etc. including measurement of meteorological parameters for the respective area of project site.

(e) Preparation and giving presentation at various stages/to various authorities for Public Hearing and Public Consultation and providing necessary assistance for the same as per requirements and also for the compliances to the points identified during Public Hearing and Public Consultation.

(f) Preparation of the GSECL’s compliances as per requirements in TOR for further submission to MoEF.

(g) Preparation and giving presentation at various stages/ to various authorities, for getting Environmental Clearance and providing necessary assistance for the same as per requirements.

(h) Expediting/Follow-up with MoEF/ statutory bodies for the early receipt of Environmental Clearance.

(i) GSECL may carry out comprehensive Marine EIA study including CRZ demarcation, wherever felt it necessary by GSECL, through engaging a separate competent agency. Consultant under the scope of this contract has to incorporate all the necessary data/details and also has to perform necessary additional study thereof if required. Moreover Consultant under the scope of this contract has to perform all the necessary activities like incorporation and submission of required data /details to MoEF/GPCB/relevant bodies for getting CRZ Clearance / getting NOC for CRZ Clearances, attend various meetings, necessary presentation to the respective statutory bodies, Liasioning / Expediting/Follow-up with them for getting CRZ clearances for the respective project as applicable.

(j) Preparation/presentation of GSECL’s compliances as per requirements in EC for further submission to MoEF.

(k) All other works for getting Environmental Clearance /CRZ / Forest Clearances/CTE etc. and providing necessary assistance for the same as per requirements.

2.1 GENERAL :

The scope of EIA-EMP Study shall be complete in all respects in accordance with the latest guidelines/acts/rules/norms/notifications of MoEF and GPCB / CPCB and other bodies whichever is stringent, for obtaining necessary project related clearances/permissions from them and shall not be limited to the scope specified in the bid document or clarified herewith.

2.2 TECHNICAL ASSISTANCE:

The consultant shall provide all required technical assistance to Gujarat State Electricity Corporation Ltd. for obtaining the necessary project related clearances from Ministry of Environment & Forest (MoEF), Gujarat Pollution Control Board (GPCB) / Central Pollution Control Board (CPCB) and other Statutory / Non-Statutory Bodies and including attending the TOR meeting, public hearing, clearance meeting and the meetings with the respective officials at Delhi, Gandhinagar, Vadodara, etc. Also the Consultant shall arrange for presentation to the authorities / statutory bodies whenever required.

2.3 REQUIREMENTS FOR ADDENDUM / REVISED EIA-EMP STUDY REPORTS :

The Bidder shall be responsible for the correctness of the technical contents / data of the reports (One Season Or Comprehensive EIA Study) and shall submit addendum / revised EIA-EMP Study Reports, if called for to meet the requirements of the Statutory / Non-Statutory Bodies for obtaining project related clearances/permissions within the quoted prices.

2.4 CHANGE OF LAW / REVISION IN NORMS OF STATUTORY BODIES VIZ. GPCB / CPCB & MOEF:

The Selected Bidder shall carry out the EIA Study as per the latest rules & regulations / norms / amendments / guidelines whenever issued by the Statutory Bodies during currency of the contract shall be within the scope of services.

2.5 Bidder have to explore atleast 3 nos. of Alternative Project Sites for each Projects with pros and cons for the same with full justifications thereof for site selection. 2.6 The services like presentation, attending meetings / Public hearing , liasoning

with MoEF / GPCB / CPCB / Statutory / Non-Statutory Bodies etc. shall be within the scope of services for obtaining the clearances.

2.7 The details contained in the tender documents are indicative only and not

exhaustive. The work will be performed and completed in accordance with tender documents, specifications and latest statutory requirements.

2.8 Except for the modifications and deviations that are specifically agreed by

GSECL, the selected bidder shall strictly perform the work and successfully complete the same in all respect as per the terms and conditions contained in the bid documents.

2.9 It is to inform that time is the essence of the contract as the work under this

contract is very important and critical for the project.

2.10 The selected bidder shall arrange, secure and maintain insurance as may be necessary and for all such amount to protect his interest and the interest of the owner, against all risks for the subject assignment / works. The responsibility to maintain adequate insurance coverage on comprehensive all risks basis at all times during the period of contract shall be that of the selected bidder alone. The selected bidder’s (Consultant’s) failure in this regard shall not relieve him of any

of his contractual responsibilities and obligations. The insurance cover to be taken by the Consultant shall be in joint name of the owner and the Consultant. The Consultant shall, however, be authorised to deal directly with the insurance company and shall be responsible with regard to maintenance of all insurance cover. Any loss or damage to the equipment, during handling, transporting, testing shall be to the account of the Consultant. The Consultant shall be responsible for preferring all claims and make good for the damage or loss by way of repairs and / or replacement of the portion of the works damaged or lost.

2.11 SITE ORGANIZATION:

The selected bidder shall depute well-qualified officers/team having sufficient experience in execution of works of the type indicated in the bid documents as well as necessary equipments as required for the work. If the progress of work is found unsatisfactory during the currency of the contract, bidder shall promptly mobilize additional personnel / resources for ensuring satisfactory progress and timely completion of the EIA-EMP Study under the contract at no extra cost to GSECL.

2.12 . The above reports will also highlight the following and other points as per the latest guidelines of MoEF / GPCB / CPCB:

– Observations on the studies carried out in items referred above. – Suggesting mitigative measures to avert any adverse environmental impact and

preparation of EMP. – Commenting on adequacy of proposed pollution control measures and

suggesting additional pollution control measures for the project. – Order of investment and operating expenses to be incurred on environmental

protection measures and monitoring of environmental parameters for the project. – Providing guidelines for environmental monitoring after implementation of the

project.

3.0 OBLIGATIONS AND RESPONSIBILITY / INPUTS BY GSECL:

(a) GSECL shall assist to the bidder to get all necessary permissions/clearances for the respective project. However it shall be on the part of bidder to get all these permissions. Bidder has to pay all the necessary fees for permissions/ clearances/ collection of data etc. for completion of EIA-EMP Study. However other than above referred EIA-EMP study, the necessary fees shall be borne by GSECL.

(b) GSECL shall furnish Feasibility Report / Detailed Project Report of the respective site to Bidder at the time of work execution only for taking reference. EIA-EMP Study is to be carried out as per MoEF requirements only based on the actual data/details for the respective project site.

(c) GSECL shall provide only the available details / data and balance shall be managed by the Bidder. GSECL will introduce/ authorize the Bidder, if required, to collect data/ information within the quoted price from Statutory / Non-Statutory Bodies. Non-availability of the required inputs from GSECL, which is not essential for GSECL to be furnished, shall not be an excuse for improper preparation of EIA-EMP study report /delay in preparation.
