I. EXECUTIVE SUMMARY

Introduction

The AAA-SA Partnership has been requested by AirAsia Berhad (“AirAsia”) who are the

appointed agent of CJS Aviation Pte Ltd (“CJS” or “the Seller”) to identify the potential buyers

(“Potential Buyer”) for two (2) CRJ200 LR aircraft (“the Aircraft”) currently owned by the

Company, with the intention of selling these Aircraft.

An information pack has been prepared which includes the asking price (“Asking Price”) and

technical information for the Potential Buyer for the Aircraft. The anticipated delivery period of

the Aircraft shall be immediate subject to the swift execution from the Buyer.

Aircraft for Sale

The Aircraft listed for sale shall be sold on an “as is, where is” basis. Below are the details on

the two (2) Aircraft bearing the Manufacturer’s Serial Number (“MSN”) 7478 and 7629 listed for

sale. The Potential Buyer would be able to buy the minimum of one aircraft and the maximum

of two aircraft out of the selection below.

including engines, Auxiliary Power Unit (“APU”) are as attached in Exhibits:

II. LETTER OF INTENT AND PROPOSAL REQUIREMENTS

The AAA-SA Partnership wishes to minimise documentation time and expense for all

parties and has therefore, established the following requirements for submission of Letter of

Intent (“LOI”) and/or proposals:

Deposit

The Potential Buyer will pay a LOI deposit to AirAsia in the amount of 10% of the Asking Price,

upon execution of the LOI. The deposit shall not be refundable and upon payment by the

Potential Buyer of the deposit, CJM shall remove the Aircraft from the market.

Submission Deadline

It is expected that relevant parties will have completed a preliminary evaluation of all

submitted proposals by 21st September 2014. Thereafter, the Potential Buyers will be

contacted to discuss the LOI. It is mutually intended that the LOI shall only oblige each

party to negotiate in good faith towards a final binding contract. CJM reserve the right to

accept or reject proposals and to extend this submission deadline at its sole

discretion.

It is not necessary to have internal approvals for the initial offer submissions but

respondents will be expected to have (and be able to communicate to The AAA-SA Partnership

in writing) a reasonable level of internal comfort that approvals will be forthcoming.
