NOTES DUE 2015 PURSUANT TO B m U 1 P T C Y RULE 2019

1. UMB Bank, N.A. (“W’ or the “Successor Indenture Trustee”) is a national

banking association having an address at 1010 Grand Boulevard, 4* FIoor, Kansas City,

Missouri 64106. The undersigned, Mark B. FIannagan, is a Vice President at UMB and is duly

authorized to execute this Verified Statement on behalf of UMB.

2. UMB sewes as Successor Indenture Trustee for the 11% Senior Secured Notes

due 2015 (the ‘Wotes”), issued in the original amount of $3,987,006,000 pursuant to the

Indenture dated as of September 28, 2005 (the “Tndenture”). CCH I, LLC, and CCH I Capital

Corp. issued the Notes. The Notes are guaranteed by Charter Communications HoIdings, LLC.

3. The Successor Indenture Trustee holds such rights as are provided in the

Indenture and any supplements thereto and all related documents, agreements and instruments

executed and delivered in connection with the issuance of the Notes (the r‘DocumentS’l). A true

and complete copy of the Indenture is attached hereto as Exhibit “A”.

4. The terms of UMB’s employment as Successor Indenture Trustee are set forth in

the Indenture.

5. In accordance with Bankruptcy RuIe 2019(a), the Indenture Trustee submits the

following verified statement:

(a) UMB’s address is: 101 0 Grand BouIevard 4’ Floor Kansas City, MO 64106 Am: Mark B. Flannagan

Vice President

(b) The cIaims on the Notes are in the nature of money loaned, all as

evidenced by the Notes and the Documents. A substantial portion of the Notes is held

either in nominee names or by the Depository Trust Company, a national securities

repository. Some of the Notes may have been acquired from prior holders of such

interests within one year prior to the filing of the petitions in these cases;

(c) The exact amount of VM-B’s claim is unknown at this time. As of

March 27,2009, the date of the filing of the original petitions herein, the indebtedness on

the Notes was in the principal mount of $3,987,006 pIus interest accrued and certain

fees, costs, and expenses of the Successor Indenture Trustee (including fees, costs, and

expenses of Successor Indenture Trustee’s counsel); and

(d) UMB does not own any of the Notes (although UMB may hold

some Notes as custodian for others which are the beneficial owners), and UMB hoIds

only: (i) the claims or interests under the Indenture and the Documents as Indenture

Successor Trustee for the benefit of the holders of the Notes; and (ii] the d a h s for

expenses and liabilities incurred as Indenture Trustee under the Indenture and

Documents.

6. In addition to its rights to take actions in its own name and as trustee of an express

trust to collect on the claims of the holders of the Notes or otherwise as provided in the Indenture

or by applicable law, the Successor Indenture Trustee has claims for reimbursement of

reasonable fees and expenses (including reasonable fees and expenses of counsel) for pre- and

post-petition services and performance of duties by the Successor Indenture Trustee under the

Documents.

7. Nothing stated herein is with prejudice to any right, remedy or claim that UMB

may have on behalf of the holders of the Notes or otherwise and all such rights are expressly

preserved.

8. Thc Successor Indenture Trustee resewes the right to supplement or amend this

statement at any time in the future,
