We understand the digital securities market is new to most of you. It’s likely the first time you’re using an online platform to invest in a private placement offering.

To make things easier for you, we created this simple guide. It’s a visual walk-through that will show you exactly how to invest in the CEO token.

Step 2: Complete your information and accept the terms and conditions

Once you accept the terms and conditions… you’ll receive an email with the subject line:

Step 3: Click on the link in the email to verify your email address and your interest

Once you click this link… you’ll be connected to the investor platform, where all the details about the offering will be made available to you once you register.

Step 4: Accept the Privacy Policy

Step 5: Download all the documents and carefully review them

This is where you’ll have access to all our documents. Please read each one before you invest in our offering. These documents include:

White paper: Highlights our executive summary… token security details… why we’re raising money through a digital security token… and how we plan to grow Curzio Research into one of the largest financial publishers in the world. The PPM (offering memorandum): Explains the risks of the offering and discloses the terms/details of our corporate structure. The SAFE subscriber agreement: The agreement (one for U.S. investors and one for non-U.S. investors) you’ll sign via DocuSign once you’ve decided to invest.

Step 6: On the investor dashboard, click “Complete your investor information”

The first screen summarizes the process…

Step 8: Fill in and submit your personal information

This will be used to set up your account and it starts the KYC (know your customer) process.

Step 9: Provide proof of identity

Upload a high-resolution picture of your driver’s license or passport. The images must be no less than 50 KB and no more than 10 MB.

This can be done by scanning your license/passport to your computer and hitting the “upload file” tab. You will then have to select the picture on your computer to upload it to the investor platform.

Step 10: Confirm you’re an accredited investor

Our Curzio Equity Owners token is only available to accredited investors. You must click this button in order to continue the process.

Step 11: Choose the amount and type of currency you’ll be investing in our offering

The first step is to click which currency you will use to invest. We accept U.S. dol-lars, Bitcoin, and Ethereum. Once you choose the currency… you will need to list the amount of money you’re investing in our offering.

The minimum investment is $25,000. The maximum is $12 million. Once the hard cap of $12 million is met—which could be one investor or up to 480 ($25,000 x 480 = $12 mil-lion)—our offering will close. We will not extend the offering or accept any additional investments once our hard cap is met.

After you select the currency and list the amount you are investing…

Please click the “Continue” button.

Step 13: Agree to use DocuSign to complete the SAFE agreement

Click the box to agree to use electronic records and signature and then click “Continue.”

It will display our SAFE (Simple Agreement for Future Equity) agreement. This is the document you reviewed during Step 5. It lists all the details of our offering, including the price of our token.

Choose a signature on DocuSign to complete your signature, then click “Finish.” You’ll be able to download or print the document you just signed. A copy will also be emailed to you.

IMPORTANT NOTE: The base price of the Curzio Equity Owners token is $5.00 per unit. This is what will appear on your agreement. All discounts will be applied after the sign-up process. We’ll send you an email documenting your discount once your investment has been funded.

After you’ve signed the SAFE agreement, you’ll be assigned a personal investor code. You’ll also be emailed this code.

Keep this code. You’ll need it to gain access to your account… and also for reference when speaking to our customer service liaison.

Congratulations!

Your personal investor dashboard is now created.

Now you just need to fund your investment...

Step 13: Fund your investment

On your personal investor dashboard, you’ll see a “Funding” button, and beneath it are wire instructions to fund your investment.

If you choose to fund your investment using USD: You’ll be wiring your money to North Capital, our fiat escrow custodian. Please print these instructions and take them to your bank. Tell your bank the investment amount you want to wire. They’ll then wire the money for you… and give you a copy of the transfer.

This money should be transferred in less than an hour, but could take up to 24 hours if you’re an international investor and wiring money from an account outside the U.S.

If you choose to fund your investment using Bitcoin or Ethereum: You’ll send crypto from your existing wallet to Vo1t. That’s our digital custodian… and one of the most widely used in the crypto industry. Please use the transfer information on your per-sonal investor dashboard.

IMPORTANT NOTE: There is a “Register Wallet” tab to the right of the “Funding” tab (pictured above). You can skip this step. You DO NOT need to register a wallet to complete the offering. And you do not need to register a wallet right away, since our tokens won’t free-trade until 12 months after our closing. When we get closer to the free trading date (about nine months from now), we’ll send you an email about setting up a wallet to receive your CEO tokens.

There is one last step you will need to take to become an investor in Curzio Re-search...

Step 14: Complete the accredited investor confirmation

After you fund your account, you’ll receive an email from us asking you to provide documentation that you’re an accredited investor.

Please click on the link in this email and submit the documentation that proves you’re an accredited investor.

Most accredited investors will fall under one of the following three categories:

1. An individual who made more than $200,000 in each of the two preceding years and can reasonably expect to generate the same level of income in the current year

2. A married couple that has had a joint income of more than $300,000 over the pre-ceding two years and can reasonably expect to generate the same level of income in the current year

3 An individual or couple with a net worth of more than $1 million, excluding the value of the primary residence

We’ll provide examples of documents you can use to show you are an accredited inves-tor. And while this step is a time-consuming… it’s for your benefit.

Every one of our CEO token investors will be 100% compliant (Know Your Customer, Anti-Money Laundering, and Accredited). These checks are necessary for our token to list on major U.S.-compliant digital token exchanges (similar to trading on the NYSE or Nasdaq).

If the CEO token is listed on exchanges like tZERO, OpenFinance, or Coinbase (which is no guarantee), it would be similar to a small-cap company graduating from the pink sheets to the NYSE or Nasdaq. They’ll provide much more liquidity for our CEO token than non-compliant exchanges.

Plus, since every CEO investor is an accredited investor and 100% compliant… you don’t need to worry about misplacing your tokens or losing them. If you happen to lose your tokens… we can burn the old ones and issue new tokens to you.

It’s that simple!
