GENERAL TERMS AND CONDITIONSOF ZIEGERT – BANK- UND IMMOBILIENCONSULTING GMBH APPLICABLE TO THE MARKETING, IDENTIFICATION AND DOCUMENTATION OF PROPERTIES
Our Terms and Conditions set out below, together with this brochure, shall become an integral part of the mutual agreements concluded between the parties.
§ 1 Confidentiality
This brochure, including the information contained within, is intended exclusively for the recipient. It shall be treated in confi-dence and may not be made available to any third parties, including the recipient’s principals and clients, without our prior consent. In the event that this brochure or the information contained in it is made available to a third party in an unauthorised manner, the recipient (referred to below as “Client”) shall owe ZIEGERT – Bank- und Immobilienconsulting GmbH (referred to below as “Estate Agent”) the contractually agreed commission should a contract be brought about by that third party.
§ 2 Liability
(1) The information contained in this brochure is based solely on data provided by the seller. We therefore accept no liability for the correctness and completeness of the information contained in this brochure. We expressly advise that we have not verified this information for its factual accuracy or legal admissibility, and recommend that buyers consult experts or seek legal advice where necessary.
(2) The liability of the Estate Agent shall be limited to gross negligence and wilful conduct unless the breach of duty leads to death or injury to life, limb or health of the Client.
§ 3 Obligation to pay a commission
(1) The commission shall be earned and payable when the principal contract comes about due to our agency services or in-formation concerning a property identified by us.
(2) The commission plus VAT shall be owed at the rate indi-cated in the brochure on the day the contract goes into effect and be payable within fourteen working days of the invoice date. In the event that payment should fall overdue, default interest shall be payable at a rate of 5% above the base rate of the European Central Bank.
(3) The agreed remuneration shall also be payable by the Cli-ent in the event that a contract other than the contract being of-fered should come about with the same substantive content. Minor discrepancies of a factual, economic, financial or legal nature shall not operate to the detriment of the agreed commission owed.
(4) Where the content of the purchase and sale agreement ac-tually concluded differs in substance from the property described in the brochure, however the same economic result is achieved, the original commission shall continue to be earned and payable.
(5) The commission shall also be earned and payable in the event that the sale comes about with a different party with whom the Client has a close personal relationship or close economic or business ties.
§ 4 Commissions payable for succeeding contracts
A succeeding contract shall be deemed to exist where an amended or a new contract is concluded based on an addendum or amendment to the original contract. If the Client concludes a suc-ceeding contract within twelve months of concluding the original contract, they shall be obligated to pay a differential commission if the content of the succeeding contract was also a component of the original contract and was also offered by the Estate Agent. The differential commission shall be computed on the basis of the difference between the agreed commission for identifying the opportunity for concluding the original contract and the agreed commission for identifying the opportunity for concluding the suc-ceeding contract.
§ 5 Prior knowledge
Should the Client have prior knowledge of the property or the owner of the property, they shall advise the Estate Agent in writing without undue delay. Failure of the Client to do this shall obligate the Client to compensate the Estate Agent for expenses incurred by it in vain in an effort to satisfy the engagement and brought about due to the Client withholding this information.
§ 6 Negotiation and conclusion of contract
(1) The Client shall be obligated to indicate us as the origi-nal initiating estate agent in negotiations with contracting parties identified by us.
(2) The Client shall inform us without undue delay when and under what conditions they have concluded a contract pertaining to the property described in the brochure or another property of the contracting party identified by us.
(3) The Estate Agent shall be entitled to be present when the contract is signed.
(4) The Estate Agent shall also be entitled to a copy of the principal contract and any side agreements.
§ 7 Non-binding character of offers and quotations
Our offers and quotations are without engagement and sub-ject to change without notice. All properties listed are subject to prior sale, rental or lease by the seller in the interim, unless a separate agreement providing otherwise is reached.
§ 8 Dual agency
The Estate Agent shall be entitled to also act on behalf of the other party on a commission basis.
§ 9 Complete agreement
The Client confirms that there are no other tacit or verbal side agreements extending over and beyond the brochure and these General Terms and Conditions.
§ 10 Place of jurisdiction
The courts of Berlin, Germany, shall have jurisdiction in transactions with merchants as defined by the German Commer-cial Code (section 1 HGB).
§ 11 Severability clause
If any of the foregoing provisions should prove void or unen-forceable, whether in whole or in part, it shall not affect the validity or enforceability of any other provision hereof. Where provisions do not become an integral part of the contract or are unenforceable, the content of the contract shall be based on statutory provisions.
