THE LEADERSHIP AND INTEGRITY CODE FOR STATE OFFICERS IN THE ETHICS AND ANTI-CORRUPTION COMMISSION
PreambleThisCodeisestablishedpursuanttosection37oftheLeadershipand Integrity Act, 2012 which requires every public entity toprescribeaSpecificLeadershipandIntegrityCodefortheStateOfficersintheentity.TheCodeisintendedtoestablishstandardsofintegrityandethicalconductintheleadershipoftheCommissionbyensuringthattheStateOfficers respectthevalues,principlesand requirements of the Constitution in the discharge of theirduties.PART I - PRELIMINARY
1. CitationThisCodemaybecitedastheLeadershipandIntegrityCodeforStateOfficersintheEthicsandAnti-CorruptionCommission.
2. InterpretationInthisCode,unlessthecontextotherwiserequires–“Act”meanstheLeadershipandIntegrityAct,2012;“Bank account”meansanaccountmaintainedbyabankoranyotherfinancial institutionforandinthenameof,or inthenamedesignatedby,acustomerofthebankorotherfinancialinstitutionandintowhichmoneyispaidorwithdrawnbyorforthebenefitof thatcustomerorheld in trust for thatcustomerand inwhichthe transactions between the customer and the bank or otherfinancialinstitutionarerecorded;“Bus�ness assoc�ate”meansapersonwhodoesbusinesswithoronbehalfofaStateofficerandhasexpressor impliedauthorityfromthatStateofficer;“Cab�net Secretary” means theCabinet Secretary for the timebeingresponsibleformattersrelatingtoleadershipandintegrity;“Code”means theLeadershipand IntegrityCodefor theEthicsandAnti-CorruptionCommission;“Comm�ss�on”meanstheEthicsandAnti-CorruptionCommission

establishedundertheEthicsandAnti-CorruptionCommissionAct,2011;“General Code”meanstheCodeprescribedunderPartIIoftheAct;“Personal �nterest”meansamatterinwhichaStateofficerhasadirectorindirectpecuniaryornon-pecuniaryinterestandincludestheinterestofhis/herspouse,child,businessassociateoragent;“Regulat�ons”means theRegulationsmadeby theCommissionpursuanttoSection54oftheLeadershipandIntegrityAct,2012;“Spouse”meansawifeorhusband;“State Officer”meansaChairperson,MemberorSecretary/ChiefExecutiveOfficeroftheEthicsandAnti-CorruptionCommission.
3. Application of CodeThisCodeappliestoStateOfficersintheCommission.
4. ApplicationoftheConstitution,thePublicOfficerEthicsAct2003 and the Ethics and Anti-Corruption Commission Act, 2011(1) Theprovisions ofChapter Six of theConstitution shall
formpartofthisCode;(2) Unlessotherwiseprovided in thisCode, theprovisions
ofthePublicOfficerEthicsActandtheThirdScheduletotheEthicsandAnti-CorruptionCommissionActshallformpartofthisCodeinsofarastheyconformtotheprovisionsoftheLeadershipandIntegrityAct.
5. StateOfficertosignCodeAStateOfficerappointedtotheCommissionshallsignandcommittothisCodeatthetimeoftakingoathofofficeorwithinsevendaysofassumingoffice.

PART II - REQUIREMENTS
6. Rule of Law(1) A State officer shall respect and abide by the
Constitutionandthelaw;(2) AStateofficershallcarryoutthedutiesofhis/heroffice
inaccordancewiththelaw;(3) Incarryingoutthedutiesofhis/heroffice,aStateofficer
shallnotviolatetherightsandfundamentalfreedomsofanypersonunlessotherwiseexpresslyprovided forin the law and in accordance with Article 24 of theConstitution.
7. Public trustAStateoffice isapositionofpublic trustand theauthorityandresponsibility vested in a State officer shall beexercisedby theStateofficerinthebestinterestoftheCommissionandthepeopleofKenya.
8. Responsibility and dutiesSubject to the Constitution and any other law, a State officershall takepersonal responsibility for the reasonably foreseeableconsequences of any actions or omissions arising from thedischargeofthedutiesofhis/heroffice.
9. Performance of dutiesAStateofficershall,tothebestofhis/herability—
(1) carry out the duties of the office efficiently andhonestly;
(2) carryoutthedutiesoftheofficeinatransparentandaccountablemanner;
(3) keepaccuraterecordsanddocumentsrelatingtothefunctionsoftheoffice;and
(4) reporttruthfullyonallmattersoftheCommission.
10. ProfessionalismAStateofficershall—

(1) carryoutthedutiesofhis/herofficeinamannerthatmaintains public confidence in the integrity of theoffice;
(2) treatmembersofthepublic,staffandotherStateandPublicofficerswithcourtesyandrespect;
(3) not discriminate against any person, except as isexpresslyprovidedbythelaw;
(4) totheextentappropriatetotheoffice,maintainhighstandardsofperformanceandlevelofprofessionalismwithintheCommission;and
(5) iftheStateofficerisamemberofaprofessionalbody,observeandsubscribetotheethicalandprofessionalrequirementsofthatbodyinsofarastherequirementsdonotcontravenetheConstitution,anyother laworthisCode.
11. Financial Probity (1) AStateofficershallnotusehisorherofficetounlawfully
or wrongfully enrich himself or herself or any otherperson;.
(2) Subject toArticle76(2)(b)of theConstitution,aStateofficershallnotacceptapersonalloanorbenefitwhichmaycompromisetheStateofficerincarryingouthisorherduties;
(3) A State Officer shall submit an initial declaration ofassetsandliabilitieswithinthirtydaysofassumingofficeintheCommissionandthereafterbi-annually;
(4) AStateOfficershallnot:(a) evadepayingtaxes(b) neglecttheirfinancialobligations
12. Moral and ethical requirements(1) AStateOfficershallobserveandmaintainthefollowing
ethicalandmoralrequirements—(a) demonstratehonestyintheconductofhisorher
publicandprivateaffairs;(b) nottoengageinactivitiesthatamounttoabuse
ofoffice;

(c) accuratelyandhonestlyrepresentinformationtothepublic;
(d) notengageinwrongfulconductinfurtheranceofpersonalbenefit;
(e) notmisusepublicresources;(f) notfalsifyanyrecords;(g) notsexuallyharassorhave inappropriatesexual
relations with other state officers, staff of theCommissionoranyotherperson;
(h) notengage inactionswhichwould lead to theState officer’s removal from themembership ofaprofessionalbodyinaccordancewiththelaw;and
(i) not neglect family or parental obligations asprovidedforunderanylaw
13. GiftsorbenefitsinKind(1) AgiftordonationgiventoaStateofficeronapublicor
officialoccasionshallbetreatedasagiftordonationtotheCommission;
(2) Notwithstanding subsection (1), a State officer mayreceivea gift given to the State officer in an officialcapacity,providedthat—(a) thegiftiswithintheordinaryboundsofpropriety,
a usual expression of courtesy or protocol andwithintheordinarystandardsofhospitality;
(b) thegiftdoesnotexceedanamountprescribedby the Regulations under the Act or any otherlaw.
(3)AStateofficershallnot—(a) acceptorsolicitgifts,hospitalityorotherbenefits
fromapersonwho;(i) isunderinvestigation;(ii) has a contractual relationship with the
Commission(iii) hasany interest that isdirectlyor indirectly
connectedwiththeStateofficer’sduties;

(b) receive a gift which has the potential ofcompromising his or her integrity, objectivity orimpartiality;or
(c) accept any r type of gift expressly prohibitedundertheAct.
(4) Subjecttosection13(2),aStateOfficerwhoreceivesagiftordonationshalldeclarethegiftordonationtotheCommissionwithinfourteendaysofreceiptofthegift.
(5) The Commission shall maintain a register of all giftsreceived by State Officers as provided for in theregulations.
14. WrongfulorunlawfulacquisitionofpropertyAStateofficershallnotusetheofficetowrongfullyorunlawfullyacquireorinfluencetheacquisitionofproperty.
15. Conflictofinterest(1) AStateofficershallusethebesteffortstoavoidbeing
inasituationwherehisorherpersonalinterestsconflictor appear to conflict with the State officer’s officialduties.
(2) Withoutlimitingthegeneralityofsubsection(1),aStateofficershallnotholdsharesorhaveanyotherinterestin a corporation, partnership or other body, directlyor throughanother person, if holding those shares orhaving that interest would result in a conflict of theStateofficer’spersonalinterestsandtheofficer’sofficialduties.
(3) A State officer whose personal interests conflict withtheirofficialduties shalldeclare thepersonal intereststotheCommission.
(4) TheCommissionmaygivedirectionsontheappropriateaction to be takenby the State officer to avoid theconflict of interest and the State officer shall complywiththedirections;andrefrainfromparticipatinginanydeliberationswithrespecttothematter.AnydirectionissuedbytheCommissionunderthissubsectionshallbeinwriting.

(5) Notwithstandinganydirections to thecontraryundersubsection (4), a State officer shall not award orinfluencetheawardofacontractto;(a) himselforherself;(b) theStateofficer’sspouseorchild;(c) abusinessassociateoragent;or(d) a corporation, private company, partnership or
otherbodyinwhichtheofficerhasasubstantialorcontrollinginterest.
(6) WhereaStateofficerispresentatameeting,andanissuewhichislikelytoresultinaconflictofinterestistobediscussed,theStateofficershalldeclaretheinterestatthebeginningofthemeetingorbeforetheissueisdeliberatedupon.
(7) Adeclarationofaconflictofinterestundersubsection(6)shallberecordedintheminutesofthatmeeting.
(8) TheCommissionshallmaintainaregisterofconflictsofinterestintheprescribedforminwhichanaffectedStateofficer shall register the particulars of the registrableinterests,statingthenatureandextentoftheconflict.
(9) Forpurposesofsubsection(8),theregistrableinterestsshallinclude:-(a) TheinterestssetoutintheSecondScheduleofthe
Act;(b) Any connection with a person or a company,
whetherby relation, friendship,holdingofsharesorotherwise,which is subjectofan investigationbytheCommission;
(c) Anyapplicationforemploymentorotherformofengagement with the Commission, by a familymember or friend of the State Officer or by acorporationassociatedwiththeStateOfficer;
(d) Anyapplication to theCommission, bya familymemberorfriendoftheStateOfficer,forclearancewith respect to appointment or election to anypublicoffice;
(e) Anyothermatterwhich,intheopinionoftheStateOfficer, taking into account the circumstances

thereof, isnecessary for registrationasaconflictofinterest.
(10) TheCommission shall keep the registerofconflictsofinterestforfiveyearsafterthelastentryineachvolumeoftheregister;
(11) TheCommissionshallprepareareportoftheregisteredinterestswithinthirtydaysafterthecloseofafinancialyear;
(12) AStateOfficershallensurethatanentryofregistrableinterestsundersubsection(7)isupdatedandtonotifythe Commission of any changes in the registrableinterests,withinonemonthofeachchangeoccurring.
16. Participation in tenders issued by the Commission(1) AStateofficershallnotparticipateinatenderforthe
supplygoodsorservicestotheCommission.(2) Notwithstanding subsection (1), a company or entity
associatedwiththeStateOfficershallnotbeconstruedastradingwiththeCommissionunless:-(a) TheStateofficerhasacontrollingshareholdingin
thecompanyorentity;or,(b) TheStateOfficerisaDirectoroftheCompany.
17. Public Collections(1) AStateofficershallnotsolicitforcontributionsfromthe
Commissionoranyotherpersonorentity forapublicpurpose unless the President has, by notice in theGazette,declaredanationaldisasterandallowedapubliccollectionforthepurposeofthenationaldisasterinaccordancewiththelaw;
(2) AStateofficershallnotparticipateinapubliccollectionoffundsinawaythat reflectsadverselyonthatStateofficer’s integrity, impartiality or interferes with theperformanceoftheofficialduties.
(3) Subjecttosubsection(2),aStateOfficermay,withtheapprovaloftheCommission,participateinacollectioninvolvingaprivatecauseasmaybeapprovedbytheCommission.

18. BankaccountsoutsideKenya(1) SubjecttoArticle76(2)oftheConstitutionoranyother
written law,aStateofficershallnotopenorcontinuetooperateabankaccountoutsideKenyawithouttheapprovaloftheCommission;
(2) AStateofficerwhohasreasonablegroundsforopeningoroperatingabankaccountoutsideKenyashallapplytotheCommissionforapprovaltoopenoroperateabankaccount;
(3) AStateofficerwhooperatesorcontrolstheoperationof a bank account outside Kenya shall submitstatementsoftheaccountannuallytotheCommissionandauthorizetheCommissiontoverifythestatementsand any other relevant information from the foreignfinancialinstitutioninwhichtheaccountisheld;
(4) Subject to subsections (1) and (2), a person who isappointed as a State officer in the Commission andhas a bank account outside Kenya shall, upon suchappointment, close the bank account within sixmonths;
(5) Subjecttosubsection(4),aStateOfficermayopenorcontinuetooperateabankaccountoutsideKenyaasmaybeauthorizedbytheCommissioninwriting.
19. Actingforforeigners(1) AStateofficershallnotbeanagentof,orfurtherthe
interests of a foreign government, organization orindividualinamannerthatmaybedetrimentaltothesecurityinterestsofKenya,exceptwhenactinginthecourseofofficialduty.
(2) Forthepurposesofthissection—(a) anindividualisaforeigneriftheindividualisnota
citizenofKenya;and(b) anorganizationisforeignifitisestablishedoutside
Kenya or is owned or controlled by a foreigngovernment,organizationorindividual.

20. Care of property(1) AStateofficershalltakeallreasonablestepstoensure
thatpublicpropertyintheofficer’scustody,possessionorcontrol is takencareofand is ingood repairandcondition;
(2) A Stateofficer shall notusepublicproperty, fundsorservicesthatareacquiredinthecourseoforasaresultoftheofficialduties,foractivitiesthatarenotrelatedtotheofficialworkoftheStateofficer;
(3) A State officer shall return to theCommission all thepublicproperty in theircustody,possessionorcontrolattheendoftheappointmentterm;
(4) AStateofficerwhocontravenes subsection (2)or (3)shall, in addition to any other penalties provided forunder theConstitution, theAct or any other law, bepersonally liableforanylossordamagetothepublicproperty.
21. Misuseofofficialinformation(1) AStateofficershallnotdirectlyorindirectlyuseorallow
anypersonunderthe officer’s authority to use anyinformationobtainedthroughorinconnectionwiththeoffice,whichisnotavailableinthepublicdomain,forthefurtheringofanyprivateinterest,whetherfinancialorotherwise.
(2) A state Officer shall not violate the requirements ofsubsection(1), iftheinformationistobeusedforthepurposesof—(a) furtheringtheinterestsoftheAct(b) educational, research, literary, scientificorother
purposesnotprohibitedbylaw.
22. Political neutrality(1) AStateofficer,shallnot,intheperformanceofhis/her
duties—(a) actasanagent for, or further the interestsofa
politicalpartyorcandidateinanelection;or

(b) manifestsupportfororoppositiontoanypoliticalpartyorcandidateinanelection.
(2) engageinanypoliticalactivitythatmaycompromiseorbeseentocompromisethepoliticalneutralityoftheofficesubjecttoanylawsrelatingtoelections.
23. ImpartialityAStateofficershall,atalltimes,carryoutthedutiesoftheofficewith impartiality andobjectivity in accordancewithArticles 10,27, 73(2)(b) and 232 of theConstitution and shall not practicefavouritism,nepotism,tribalism,cronyism,religiousbiasorengageincorruptorunethicalpractices.
24. GivingofadviceAStateofficerwhohasadutytogiveadviceshallgivehonest,accurateandimpartialadvicewithoutfearorfavour.
25. Gainful employment(1) Subjecttosubsection(2),afulltimeStateofficershall
notparticipateinanyothergainfulemployment.(2) In this section, “gainful employment” means work
thatapersoncanpursueandperform formoneyorotherformofcompensationorremunerationwhich isinherently incompatiblewith the responsibilitiesof theStateofficeorwhich results in the impairmentof thejudgementoftheStateofficerintheexecutionofthefunctions of the Stateofficeor results in a conflict ofinterest.
26. Offers of future employment(1) A Stateofficer shall notallowhimselforherself tobe
influencedintheperformanceoftheirdutiesbyplansorexpectations fororoffersof futureemploymentorbenefits;
(2) AStateofficershalldisclose,inwriting,totheCommission,alloffersof futureemploymentorbenefits thatcouldplace the State officer in a situation of conflict ofinterest.

27. FormerStateOfficerIntheCommissionAformerStateofficershallnotbeengagedbytheCommissioninamatterinwhichtheStateOfficerwasoriginallyengagedinasaStateofficer,foratleasttwoyearsafterleavingtheCommission.
28. MisleadingthepublicA State Officer shall not knowingly give false or misleadinginformationtoanyperson.
29. FalsificationofrecordsA State officer shall not falsify any records or misrepresentinformationtothepublic.30. Conduct of private affairsAStateofficershallconducttheirprivateaffairsinamannerthatmaintainspublicconfidenceintheintegrityoftheoffice.
31. Bullying(1) AStateofficer shall notbullyanother StateOfficer,a
memberofstafforanyotherperson;(2) For purposes of subsection (1), “bullying” includes
repeatedoffensivebehaviorwhichisvindictive,cruel,maliciousorhumiliatingandisintendedtoundermineaperson.
32. Actingthroughothers(1) AStateofficershallnot—
(a) cause anything to be done through anotherpersonthatwouldconstituteacontraventionofthis Code, the Constitution or any other law ifdonebytheStateofficer;or
(b) allowordirectapersonundertheirsupervisionorcontroltodoanythingthatisincontraventionofthisCode,theConstitutionoranyotherlaw.
(2) Subsection(1)(b)shallnotapplywhereanythingisdonewithout theStateofficer’sknowledgeorconsentor if

theStateofficerhastakenreasonablestepstopreventit.
(3) A Stateofficerwhoacts underan unlawful directionshallberesponsibleforhisorheractions.
33. Reportingimproperorders(1) If a State officer considers that anything required of
them is in contravention of the Code or is otherwiseimproperorunethical,theStateofficershallreportthemattertotheCommission;
(2) TheCommission shall investigate the reportand takeappropriateactionwithinninetydaysofreceivingthereport.
34. ConfidentialityAStateshallnotdiscloseorcausetobedisclosedanyinformationinhiscustodytoanyunauthorizedperson.
35. Duty to prevent occurrence of corruption or unethical practice in the Commission
A State Officer who believes or has reason to believe that acorrupt act or unethical malpractice has occurred or is abouttooccur intheCommissionshall takeallnecessarymeasurestopreventitfromcontinuingormaterializinginadditiontoanyotherappropriateaction.
36. Promotion of ethics, integrity and best practices in theCommission
StateOfficersintheCommissionshallcollectivelyandindividuallytake measures to ensure that staff of the Commission upholdand practice the highest attainable degree of integrity in theperformanceoftheirduties.
37. Dress CodeAStateOfficershallmaintainappropriatestandardofdressandpersonalhygieneatalltimes.

38. Implementation of the CodeTheCommissionshallberesponsibleforensuringfullimplementationofthisCode.
39. ReviewTheCodeshallbereviewedatsuchintervalsastheCommissionmaydetermine.
40. Breach of Code(3) BreachofthisCodeamountstomisconductforwhich
the State Officer may be subjected to disciplinaryproceedingsincludingremovalfromoffice;
(4) Whereabreachof thisCodeamounts toaviolationoftheConstitution,theStateOfficermayberemovedfrom office in accordance with Article 251 of theConstitution;
(5) AnypersonmaylodgeacomplaintallegingabreachofthisCodebyaStateOfficer;
(6) Apersonallegingabreachof thisCode, other thana breach under Article 251 of the Constitution, maysubmitapetitionsettingouttheallegedviolationtotheCabinetSecretary;
(7) TheCabinet Secretary shall submit thepetitionundersubsection(4)tothePresidentwhoshallconstituteanIndependentReviewPaneltoinquireintotheallegationscontained in thepetition inaccordancewith section51oftheAct;
(8) Atthecloseofinquiry,theIndependentReviewPanelshall take appropriate disciplinary action against theStateOfficerorwhere itdoesnothave thepower totakeactionorreferthemattertotheappropriatebodyorpersonwhoisvestedwithsuchpowertotakeactionagainsttheStateOfficer;
