IntroductionOn March 17, 2014, the Commission approved publication inorder to obtain comments on the proposed amendments to LocalRule 91-501.
Summary of Proposed AmendmentsSince the enactment of LR 91-501 in 2009, the regulation of de-rivatives has changed dramatically throughout the world. Thechanges derive largely from commitments made by G-20 lead-ers at the Pittsburgh Summit in September 2009 to strengthenthe regulation of over-the-counter (OTC) derivatives. The G-20commitments have caused jurisdictions across Canada and theworld to make significant changes to legislation and local rules.Amendments to the Securities Act, which were introduced inDecember 2013, provide the Commission with the authority toimplement the G-20 commitments and enhance the regulationof derivative products. The amendments, together with otherregulatory developments, necessitate modifications toLR 91-501. As such, the Commission approved the publicationof the proposed amendments to update LR 91-501 in a mannerconsistent with the legislative amendments, and to delete defi-nitions and repeal references which are no longer necessary orappropriate.

IntroductionLe 17 mars 2014, la Commission a approuvé la publication duprojet de modifications à la Règle locale 91-501 dans le but derecueillir des commentaires.
Résumé du projet de modificationsDepuis l’entrée en vigueur de la RL 91-501 en 2009, la régle-mentation des dérivés a connu une transformation importantedans le monde entier. Les modifications découlent principale-ment d’engagements pris par les dirigeants du G-20 de renfor-cer la réglementation des dérivés de gré à gré lors du sommetqui s’est tenu à Pittsburgh en septembre 2009. En raison des en-gagements pris dans le cadre du G-20, des administrations ca-nadiennes et du monde entier ont apporté des modifications im-portantes à leurs dispositions législatives et règles locales.Des modifications apportées à la Loi sur les valeurs mobilièresen décembre 2013 habilitent la Commission à respecter les en-gagements pris dans le cadre du G-20 et à renforcer la régle-mentation des produits dérivés. Les modifications, ainsi qued’autres nouveautés réglementaires, exigent que des change-ments soient apportés à la RL 91-501. Par conséquent, la Com-mission a approuvé la publication des modifications proposéesafin de mettre à jour la RL 91-501 conformément aux modifica-tions à la Loi et d’y supprimer toute référence qui n’est plus re-quise ou pertinente.

Substance and Purpose of Proposed AmendmentsThe Commission, the Alberta Securities Commission (ASC),the Autorité des marchés financiers (AMF), the Financial andthe Consumer Affairs Authority of Saskatchewan (FCAA) (theParticipating Jurisdictions) have published for comment pro-posed amendments relating to the offering memorandum ex-emption (OM Exemption); the ASC, FCAA and the Commis-sion have also published two new proposed reports of exemptdistribution (Exempt Distribution Reports).
Staff of the Participating Jurisdictions have coordinated their ef-forts in developing the proposals with the Ontario SecuritiesCommission (OSC). The OSC has concurrently published forcomment under a separate local notice proposals relating to theOM Exemption and Exempt Distribution Reports.
Although there is significant alignment among the jurisdictionsproposing changes to the OM Exemption, the proposals of theCommission and OSC are somewhat different than those of theAMF, ASC and FCAA. The OM Exemption is designed to fa-cilitate start-up and small business financing which tends to belocal in nature. Differences in regulatory approach in this areacan therefore reflect differences in local experience and feed-back.
The proposed Exempt Distribution Reports of the ASC, FCAAand Commission have been harmonized with those proposed bythe OSC, although the OSC contemplates an electronic filingapproach. The ASC and FCAA propose to continue to accept incertain circumstances the current form of Report of ExemptDistribution (the Form 45-106F1) for a two year transitionalperiod.

L’ASC et la FCAA proposent decontinuer d’accepter, dans certaines circonstances, la présenteversion de la déclaration de placement avec dispense (soit l’An-nexe 45-106A1), pour une période transitoire de deux ans.

Substance and Purpose of Proposed InstrumentsThe Commission, Autorité des marchés financiers, the Finan-cial and Consumer Affairs Authority of Saskatchewan, theManitoba Securities Commission and the Nova Scotia Securi-ties Commission today published for comment the IntegratedCrowd funding Prospectus Exemption (the Crowd funding Ex-emption) and the Start-Up Crowd funding Prospectus and Reg-istration Exemption (the Start-Up Exemption). The proposedexemptions would, subject to certain conditions, allow both re-porting and non-reporting issuers to raise money by distributingsecurities through internet portals.
The Ontario Securities Commission is also publishing theCrowd funding Exemption for comment today by way of a localnotice and the British Columbia Securities Commission is alsoconcurrently publishing a local notice soliciting comments onthe Start-Up Exemption.
In a relatively short period of time, crowd funding has becomean important new method of raising capital through the internetfor a broad range of purposes. To date, it has been used to raisemoney for a specific project and does not generally involve theissuance of securities. However, in some foreign jurisdictions,crowd funding is emerging as a way for businesses to raise cap-ital through the issuance of securities, particularly start-ups andsmall and medium enterprises (SMEs).

We think that crowd funding can be a viable method for start-ups and SMEs to raise capital. However, because issuers do notall have the same capital needs nor the same resources to raisecapital, we propose two different crowd funding prospectus ex-emptions: the Crowd funding Exemption available to reportingissuers and non-reporting issuers and the Start-Up Exemptionaimed more particularly at providing an alternative source ofcapital to non-reporting issuers at a very early stage of develop-ment.
We believe that the Crowd funding Exemption and the Start-UpExemption are complementary: they focus on different stages inthe growth and business cycles of start-ups and SMEs. At thesame time, the proposed exemptions have requirements that areintended to maintain an appropriate level of investor protectionand regulatory oversight.
