IntroductionOn 26 January 2015, the Financial and Consumer ServicesCommission (Commission) approved publication in order toobtain comments on the proposed amendments.

Substance and Purpose of Proposed AmendmentsOn March 14, 2013, the Canadian Securities Administrators(CSA) published for comment proposed National Instrument62-105 Security Holder Rights Plans and proposed CompanionPolicy 62-105CP. The Autorité des marchés financiers, whileparticipating in the publication for comment of the CSA pro-posal, concurrently published a consultation paper entitled AnAlternative Approach to Securities Regulators’ Intervention inDefensive Tactics.

On September 11, 2014, the CSA published CSA Notice 62-306Update on Proposed National Instrument 62-105 SecurityHolder Rights Plans and AMF Consultation Paper An Alterna-tive Approach to Securities Regulators’ Intervention in Defen-sive Tactics. As indicated in the Notice, in light of the commentsreceived on the previous proposals, and following further re-flection and analysis, the CSA decided to propose specificamendments to the bid regime as an alternative harmonized pol-icy approach for the regulation of take-over bids.

IntroductionLe 26 janvier 2015, la Commission des services financiers etdes services aux consommateurs (la Commission) a approuvé lapublication dans le but de recueillir des commentaires sur lesmodifications proposées.

Substance et objet des modifications proposées Le 14 mars 2013, les Autorités canadiennes en valeurs mobi-lières (les « ACVM ») ont publié pour consultation le projet deNorme canadienne 62-105 sur les régimes de droits des por-teurs et le projet d’Instruction complémentaire relative à laNorme canadienne 62-105. L’Autorité des marchés financiers,tout en participant à la publication pour consultation de la pro-position des ACVM, a publié simultanément un document deconsultation intitulé Un regard différent sur l’intervention desautorités en valeurs mobilières dans les mesures de défense.Le 11 septembre 2014, les ACVM ont publié l’Avis 62-306 desACVM, Le point sur le projet de Norme canadienne 62-105 surles régimes de droits des porteurs et sur le document de consul-tation de l’Autorité, Un regard différent sur l’intervention desautorités en valeurs mobilières dans les mesures de défense.Comme l’indiquait cet avis, à la lumière des commentaires surles propositions précédentes, et après mûre réflexion et analyse,les ACVM ont décidé de proposer des modifications du régimedes offres publiques d’achat (« OPA ») pour instaurer une autreapproche harmonisée de réglementation.

Presently, the proposed amendments’ key objectives are the fol-lowing:

• to reduce the risk of structural coercion in take-over bidscaused by the inability of target company shareholders torespond collectively to a hostile bid, and

• to provide target company boards with additional time torespond to a hostile bid.

The proposed amendments will serve to harmonize require-ments for take-over bids and issuer bids in all jurisdictions ofCanada.
