A N O R D I N A N C E TO A M E N D T H E N O T A R I E S P U B L I C ( F O R E I G N D O C U M E N T S ) O R D I N A N C E , 1 9 2 1 .

B E I T E N A C T E D by the H i g h Commissioner for Palestine, wi th the advice of the Advisory Council thereof :—

1. This Ordinance may be cited as the Notaries Publ ic (For­eign Documents) (Amendment) Ordinance, 1 9 3 6 , and the Nota­ries Public (Foreign Documents) Ordinance, 1 9 2 1 , (hereinafter called the principal Ordinance) and this Ordinance may together be cited as the Notaries Publ ic (Foreign Documents) Ordinances, 1 9 2 1 - 1 9 3 6 .

2. Schedule I I to the principal Ordinance shall be amended by the, substitution of the following item for item 1 0 thereof :—

If exceeding 1 0 0 words, for every additional 1 0 0 words or fraction thereof 1 0 0 " .

Amendment of schedule I I to the p r i n c i p a l Ordinance.

This draft Ordinance makes a minor alteration i n item 1 0 of the Schedule of Fees to the Notaries Public (Foreign Documents) Ordinance, 1 9 2 1 . That item provides for the fee to be charged for certifying a document not exceeding one hundred words, but does not specify what additional fee shall be charged if the document does exceed one hundred words, and this omission has led to a diversity of practice among notaries public in such cases. This draft Ordinance accordingly supplies the omission by specifying the fee to be charged upon such documents for every additional one hundred words.

A N O R D I N A N C E TO A M E N D T H E C O M P A N I E S O R D I N A N C E , . 1929.

B E I T E N A C T E D by the H i g h Commissioner for Palestine, with the advice of the Advisory Council thereof :-

Short title.

No. 18 of 1929. No. 45 of 1932. No. 40 of 1934. No. 10 of 1935. No. 64 of 1936.

Insertion of new part in the principal Ordinance.

1. This Ordinance may be cited as the Companies (Amend­ment^ Ordinance (No. 2), 1936, and the Companies Ordinance, 1929 (hereinafter referred to as the principal Ordinance) and the Companies (Amendment) Ordinance, 1932, and the Companies (Amendment) Ordinance, 1934, and the Companies (Amend­ment) Ordinance, 1935, the Companies (Amendment) Ordinance, 1936, and this Ordinance may together be cited as the Companies Ordinances, 1929-(No. 2), 1936.

2. The principal Ordinance shall be amended b}̂ the insertion of a new part after section 260 thereof as follows :—

"Registration as company of co-operative society registered under the Co-operative Societies Ordinance, 1933.

P A R T X L

261.—(I) Subject to the provisions of this sec­tion any registered co-operative society may re­gister as a company, but such registration shall not affect the rights or liabilities of the society in re­spect of any debt or obligation incurred, or any contract entered into, by, to, w i t h , or on behalf of the society before the registration, and those rights or liabilities may be enforced in manner provided by this Ordinance.

(2) A registered co-operative society desiring to register as a company shall prepare a scheme for the reconstruction of the society as a company and shall submit such scheme for the approval of the Registrar of Co-operative Societies, who may in his absolute discretion refuse his approval without assigning any reason for such refusal. I f the Registrar of Co-operative Societies approves of the scheme it shall be placed before a general meeting of the members of the society, of which not less than twenty-one days notice specifying the intention to propose the scheme has been duly given, and if a resolution adopting the scheme is passed by a majority of not less than three-fourths of such members as, being entitled so to do, vote in person or by proxy, a Memoran­dum of Association, and if so desired, Articles of Association shall be drawn up in conformity with

Part I I of this Ordinance and upon application for registration a printed or typewritten copy of such Memorandum and Articles of Association, if any, shall be delivered to the Registrar of Com­panies.

(3) The Registrar of Companies shall submit the application to the H i g h Commissioner who may in his absolute discretion either authorise or refuse the registration of the society as a company.

(4) Upon receiving the authorisation of the H i g h Commissioner for the registration of the so­ciety as a company the Registrar of Companies shall give notice thereof to the Registrar of Co­operative Societies who thereupon shall cancel the registration of the society as a co-operative society and shall publish a notice of the cancella­tion in the Gazette, and upon the cancellation of such registration the Registrar of Companies shall register the society as a company and shall cause the Memorandum or summary thereof to be published, at the cost of the company, in the Gazette.

(5) A registration fee of twenty-five pounds or such other fee as may be prescribed, and a fee to be prescribed for the publication of the registra­tion of the company in the Gazette, shall be paid to the Registrar of Companies upon the regis­tration of the society under this section.

(6) A l l property, real and personal, belonging to or Vested in a co-operative society at the date of its registration as a company in pursuance of this section, shall , on registration, pass to and vest in the company as incorporated under this section for all the estate and interest of the so­ciety therein.

(7) A l l actions and other legal proceedings which at the time of the registration of a com­pany in pursuance of this section are pending by or against the society, or any officer or any mem­ber thereof, may be continued in the same man­ner as if the registration had not taken place.

(8) Upon the registration of a co-operative so­ciety as a company under this section the Regis­trar of Companies shall close the registration, if any, of the society under the provisions of section 7 of the Banking Ordinance, 1921, or under the provisions of section 56 (4) and sections 60 and 62 of the Co-operative Societies Ordinance, 1933".

This Ordinance amends the Companies Ordinance, 1929, by making provision enabling a co-operative society registered under the Co-operative Societies Ordinance, 1933, to convert itself into a company within the meaning of the principal Ordinance without the necessity of having to go into l iqui ­dation. A co-operative society desirous of registering itself as a com­pany w i l l be required to prepare a scheme of reconstruction and to submit it to the Registrar of Co-operative Societies for his approval. If the scheme is approved the society w i l l apply for registration as a company and wi l l prepare a Memorandum of Association, and if necessary Articles of Association, as laid down in the principal Ordinance. The application wi l l then be submitted to the H i g h Commissioner, who is given power to grant or refuse it in his discretion. " *

I T IS H E R E B Y NOTIF IED that from the 24th October, 1936, and unti l further no­tice, the following regulations wi l l apply in respect of the loading and offloading pf wagons at Ha i fa Quay.

(i) The period allowed free for the offloading of wagons (other than those con­taining citrus fruit) at Ha i fa Quay wi l l be l imited to 8 hours, after which de­murrage wil l be charged at the rate of 9 mils per hour or part thereof per ton of the carrying capacity of the wagons used.

(ii) Sunday wi l l not be regarded as a "dies n o n " .

(iii) Wagons shall be deemed to be placed for offloading when they are placed on the lines where the traffic loaded in such wagons is permitted to be offloaded.

(iv) Wagons placed between 1800 and 0600 hours wil l not be liable to demur­rage charges unti l 8 hours have elapsed from 0600 hours, except as provided for in paragraph (vi) below.

(v) Wagons wi l l be placed for offloading in the order in which they arrive and once placed wi l l not be shunted out for offloading elsewhere.

(vi) The Rai lway reserves the right to require that offloading shall continue dur­ing the night if this is demanded by the situation. In this event demurrage charges wi l l be raised on any wagon not offloaded within eight hours of be­ing placed in position.

(vii) The period allowed free for the loading of wagons to be forwarded from Ha i fa Quay wi l l be 8 consecutive hours from the time the empty wagon is placed at the disposal of the trader, excluding the hours between 2000 and 0600.

(viii) The Rai lway reserves the right to make arrangements with the Port M a n ­ager to load or offload any wagons not loaded or remaining under load in ex­cess of the period allowed free and to collect a charge for this in accordance with the porterage tariff, in addition to any demurrage charges which may have accrued.
