Here is information on Policy Committee agenda items.

8. FY 2017 – 2020 Transportation Improvement Program Amendments (Enclosures) (ACTION)

The FY 2017 – 2020 Transportation Improvement Program is the listing of projects, funded with available federal funding that supports the KATS Metropolitan Transportation Plan. It contains road, transit, congestion mitigation air quality, and safety projects planned for completion within the four-year time period. The local Act 51 agency road projects are on the list based on the Project Prioritization Process adopted by the Policy Committee to rank proposed projects for federal funding. Now that the Transportation Improvement Program has been reviewed and approved, changes can be made that reflect more recent information.

The list included in your packet contains 7 projects that are proposed to be added, or are deleted from the Transportation Improvement Program. The projects include the following:

The addition of a FY 2017 MDOT early preliminary engineering phase project for the I-94 BLbetween Howard and M-43 (Gull Road) which adds a job number to the already approvedPlanning Engineering Linkage (PEL) project looking at options for this trunkline throughdowntown Kalamazoo. Additional State funds ($110,000) are also being added. The total projectcost for this phase is $610,000 with $356,000 coming from federal sources.

The addition of a FY 2017 Kalamazoo Public Transit project to purchase up to 3 demandresponse and up to 2 community service vehicles. The total project cost is $104,000 funded withFederal transit funding of $83,000. The balance is from State funds.

The addition of a FY 2018 Road Commission of Kalamazoo County resurfacing project on DAvenue between Westnedge and Riverview. The total project cost is $650,000 with $410,000coming from federal funds.

The addition of a FY 2019 Road Commission of Kalamazoo County resurfacing project on 42ndStreet between Z Avenue and Y Avenue. The total project cost is $900,000 with $379,000 comingfrom federal funds.

The deletion of a FY 2018 Kalamazoo Public Transit vehicle purchase project funded with RuralTask Force funds. The Rural Task Force deleted this project.

The deletion of a FY 2018 Road Commission of Kalamazoo County resurfacing project on 38th

Street between O Avenue and MN Avenue funded with Rural Task Force funds. The Rural TaskForce deleted this project.

The deletion of a FY 2019 Road Commission of Kalamazoo County resurfacing project on RavineRoad between F Avenue and D Avenue funded with Rural Task Force funds. The Rural TaskForce deleted this project.

The Technical Committee reviewed and discussed these project changes. The Technical Committee and Staff recommend that the Policy Committee approve these project amendments to the FY 2017 – 2020 Transportation Improvement Program.

9. Contract Extension with the Southcentral Michigan Planning Council (Enclosures) (ACTION)

The Kalamazoo Area Transportation Study is the contractor to the Southcentral Michigan Planning Council (SMPC) for transportation planning activities contained in the MDOT Regional Work Program. The current contract extends through FY 2017 and contains a onetime clause to extend the contract for two additional years through FY 2019. While Barry County has transferred to the planning region to the north in alignment of the Regional Prosperity boundaries, the MDOT Regions continue to include Barry County with the SMPC. Thus, KATS will continue to provide service to Barry County in the Regional Task Force, Asset Management, and other activities of the MDOT Regional Work Program.

This contract is a cost reimbursement contract with no substantive changes. It has been edited to remove the extension clause for after FY 2019. The SMPC Board approved the contract extension at their March 2, 2017 meeting. Staff recommends that the Policy Committee approve this contract extension with the SMPC for fiscal 2018 and 2019 and authorize the Policy Committee Chair to sign on the behalf of KATS. This partnership has worked well for both parties.

10. FY 2018 Unified Planning Work Program Discussion

Staff will discuss areas of emphasis that will be included in the FY 2018 Unified Planning Work Program.

11. Federal Certification Report Discussion

Staff has prepared a response in answer to the corrective action contained in the KATS Certification review by our federal partners. Andy Pickard from Federal Highway Administration and Stewart McKenzie from Federal Transit Administration discussed the certification review at the January Policy Committee meeting. Staff will bring the draft through the Citizens, Technical, and Policy Committees in April.

12. Pedestrian, Greenway, and Transit Study Update

Staff will update the Policy Committee on this work. The second phase of the project is nearing completion.

13. Public Transportation Updates

Members of the Kalamazoo County Transportation Authority Board, the Central Country Transportation Authority Board, Van Buren Public Transit, and/or staff will provide additional updates to the Policy Committee as appropriate.

14. Executive Director’s Report

MDOT Finance – MDOT Finance is in the process of reviewing past KATS financial audits and records to close out past years. KATS is assisting in this work.

Transportation Improvement Program Amendments – The process that the Michigan Transportation Planning Association and MDOT agreed upon is experiencing start up issues. Staff is involved with others to try to resolve the items.

Safety Performance Measure Data – Work is ongoing to develop the plan for gathering the safety data required.

Transportation Asset Management Surface Condition Data – Training has started to prepare for the FY 2017 road surface condition data gathering. Staff is working with members to try to get this work done earlier this year. This will allow for additional analysis and other activities to be completed.

Subject: Technical Committee Report (February 9, 2017 and March 9, 2017)

The Technical Committee met on February 9, 2017 at 9:00 a.m. at Kalamazoo Metro Transit. There were no action items on the agenda. Discussion items included updates on the Transportation Improvement Program (TIP) threshold for TIP amendments, system performance measures, and the Pedestrian, Greenway and Transit Plan. Kalamazoo Metro Transit provided public transportation updates.

The Technical Committee also met on March 9, 2017 at 9:00 a.m. at Kalamazoo Metro Transit. There was one action item to review and recommend Policy Committee approval of proposed amendments to the FY 2017-2020 Transportation Improvement Program. This is an action item on the agenda of the March Policy Committee meeting and will be discussed further in the Informational Memorandum.

Discussion items for the March Technical Committee meeting included FY 2017 Contributed Service Reporting, the FY 2018 Unified Planning Work Program, updates on the Pedestrian, Greenway and Transit Plan, and an update on the Transportation Management Area Certification Review. Kalamazoo Metro Transit provided public transportation updates.

There were also status reports on roads and planning activities at both meetings which included:

ROAD STATUS REPORTS

Michigan Department of Transportation: Paving projects have begun on I-94. The Michigan Department of Transportation (MDOT), City of Kalamazoo, and Amtrak held an open house to discuss several upcoming road, railroad and utility projects on February 28. In 2017, the three agencies will be collaborating on several projects, including repaving M-43 (West Main Street) from US-131 to Michikal Street, and M-43 (West Kalamazoo Avenue) from Pitcher Street to Douglas Avenue. The Harrison traffic signal project is targeted for April construction.

The State of Michigan 2017 Paving the Way state construction map is available online at http://www.michigan.gov/documents/mdot/MDOT_C_MapWeb-2011_350547_7.pdf. All updated state construction information is available on the Mi Drive traffic website at www.michigan.gov/drive and via the Mi Drive app.

City of Portage: The bids for Shaver Road improvement project from Vanderbilt to W. Centre were favorable. The Angling Road improvement project from Squire and Heath to Romence will be in the April letting. An open house was held for the Portage Road reconstruction project from Mandigo to Osterhout.

The city has 4 traffic signal projects underway - South Westnedge Avenue at Kilgore Road, South Westnedge at Romence Road, West Centre Avenue at Old Centre Road, and West Centre at Cooley Drive. The city has received Local Safety Program project funding for two FY 2018 projects one at Portage and Lakeview and one at Oakland and Vanderbilt.

Technical Committee Report

Road Commission of Kalamazoo County (RCKC): Tree removal is underway for the Stadium Drive project from 4th Street to 6th Street. The Stadium Drive project from 9th Street to US-131 is in the April letting. The Sprinkle Road project from Zylman to G Avenue is awaiting award. The E. Michigan Bridge over the Kalamazoo River project is targeted to start in June. The bridge will be closed and traffic detoured.

The RCKC also provided updates on its local projects. The G Avenue project from 32nd Street to 37th Street was added as a project for FY 2017. The S Avenue Bridge and Q Avenue Bridge over the Portage River projects will be let in April. The FY 2017 Chip Seal Program has a tentative start date of May 15. The final schedule will be set once all contracts are received. This will be the biggest year of the program with approximately 170 miles to be treated.

City of Kalamazoo: The Drake Road Congestion Mitigation Air Quality project and Burdick Street road diet project are targeted for construction in April. The Portage Street project is in the April letting. The Vine Street project from Westnedge to Crosstown is in the May letting. The Vine Street project between Davis Street and Oak Street is targeted for October or November letting with construction planned for next year. The local project for a roundabout at Harrison and Random is out to bid.

Village of Augusta: The village has been awarded grant funding through the Stormwater, Asset Management, and Wastewater (SAW) Program and will be working with Prein and Newhof on an infrastructure improvement plan.

River to River Trail: Efforts are underway to identify potential connections from the Kalamazoo River Valley Trail to Grand Rapids. Four public meetings have been set. For the Kalamazoo area, the meeting will be held on May 17 from 5:00-7:00 p.m. at Cooper Township Hall, 1590 D Avenue, Kalamazoo.

Charleston Township: The township is working on updates to its Land Use Plan. A new streetlight will be added on the I-94 bridge at exit 88 for safety reasons. M-96 preventative maintenance work will be done in FY 2017 and a safety project at M-96 and G Avenue is programmed for FY 2018.

LAND USE/PLANNING AND ZONING UPDATES

Michigan Department of Transportation: MDOT will be working with a consultant for the next phase of the Planning and Environmental Linkages (PEL) for downtown Kalamazoo. A traffic study analysis is planned.

City of Kalamazoo: The city will be holding an MDOT Training Wheels course on July 20. The city will be holding Imagine Downtown Workshop and Open Houses April 11 and 12 from 4:00 p.m. to 7:00 p.m. at Rose Street Market, 303 N. Rose Street. Day 2 held on April 12 will feature a formal presentation with Mayor Bobby Hopewell at 6:00 p.m. A draft Complete Streets Policy will be presented to the City Commission in April.

City of Portage: The City of Portage has three school projects a new middle school project, a stadium project at Portage Northern High School and a stadium project for Portage Central High School. A Stryker research development project is underway. The city will be submitting a Transportation Economic Development Fund application for partial funding for a new traffic signal on Portage Road.

NEW BUSINESS

Road Commission of Kalamazoo County: The RCKC shared information that Michigan has qualified for funding under the Fixing America’s Surface Transportation (FAST) Act to reduce pedestrian and bicycle fatalities and injuries from crashes involving motor vehicles. The Michigan Office of Highway Safety Planning (OHSP) is seeking ideas for FY 2017 projects and FY 2018 long-term planning projects. Projects eligible for funding are: law enforcement officer training, law enforcement mobilizations and campaigns, and public education.

Subject: Public Transportation Monthly Report

This year marks the fiftieth anniversary of Public Transportation in Kalamazoo. There was a nice

celebration event at Metro Transit where the history of public transportation in Kalamazoo was

summarized, and where Innovators in Transportation awards were given. KATS received an award for its

past and continuing efforts to support comprehensive public transportation in Kalamazoo County.

The Governor sent a letter to Federal Transit Administration for the designated recipient for the

Kalamazoo urban federal transit funds. The agreement between Kalamazoo Metro Transit and Van Buren

Public Transit is reportedly nearing completion.

Subject: Regional Prosperity Initiative Report

The Regional Prosperity Initiative Committee continues to meet. The March meeting of the full committee discussed priorities identified by the three subcommittees in order to identify one that would be the focus of proposal solicitations for FY 2017. There were two primary focus areas, one in transportation trying to improve regional access to jobs and education/training. The other in Higher Education building a regional uniform tracking system that helps identify where people are in the training system for specific skill sets.

During the months of January and February, 2017, KATS staff worked on the Michigan Department of Transportation Planning Activities for the Southcentral Michigan Planning Council (SMPC). Work was concentrated in the following activities:

Prepared and distributed meeting packet for the January 11, 2017 Rural Task Force (RTF) #3 Meeting

Prepared and mailed public notices for the January 11. 2017 RTF #3 Meeting. Reviewed newly released 2017 – 2020 Small Urban program awards for Region #3 agencies and

forwarded suggested corrections to the Michigan Department of Transportation (MDOT). Facilitated January 11 RTF #3 Meeting. Prepared and distributed draft meeting minutes of January 11, 2017 RTF #3 meeting. Updated SMPC website Transportation page with approved minutes of June 20, 2016 RTF #3

meeting. Updated RTF #3 tracking spreadsheets to reflect changes approved at the January 11, 2017 RTF

#3 meeting. Updated the RTF #3 Transportation Improvement Program (TIP) efile spreadsheet with revised

programming information from Barry, Branch, Kalamazoo and St. Joseph counties and submitted to MDOT Planning for inclusion in the State TIP.

Participated in Transportation Asset Management Council’s monthly regional Pavement Surface Evaluation and Rating (PASER) coordinators conference calls.

Reviewed the City of Bronson Asset Management Plan for Pavements, added a section with treatments and costs and submitted to their city administration for review.

Began scheduling of 2017 federal aid PASER road ratings for Region 3. Worked on scheduling a March RTF #3 meeting that is needed to approve final changes to 2017

programming in response to revised obligation authority from MDOT. Meeting will be held March 27, 1:00 p.m., at the Road Commission of Kalamazoo County.

Started preparing materials for March 27 RTF #3 meeting. Distributed to the counties, cities and villages in the Region the February 17 memorandum from

the Transportation Asset Management Council outlining guidelines and instructions for road agencies that wish to apply for reimbursement of costs to rate non-federal aid roads. Also responded to several agencies who had questions regarding the program.

Updated the SMPC website’s Transportation page with the latest road condition reports for the five counties in Region 3.

At the March 2, 2017 meeting, the SMPC board voted to approve extending for two years the contract with KATS for administration of the Region 3 transportation planning activities. If approved by the KATS Policy Committee, this would extend the current contract through the end of Fiscal Year 2019.

Chair Dykstra noted that since the Policy Committee did not have quorum, the meeting would proceed with the Auditor’s Report and non-action items.1

AUDITOR’S REPORT FOR THE FY 2016 KATS AUDIT – AARON STEVENS, ABRAHAM & GAFFNEY (ACTION)

A copy of the letter from Abraham & Gaffney, P.C. Certified Public Accountants to KATS Policy Committee members, the Financial Statements for September 30, 2016 and 2015, and a copy of the Audit Presentation were distributed at the meeting.

Aaron Stevens of Abraham & Gaffney, P.C. presented on the FY 2016 Audit. Stevens reported that management was responsible for the preparation and fair presentation of the financial statements in accordance with U.S. Generally Accepted Accounting Principles (GAAP). The responsibility of the auditor is to express an opinion on the audited financial statements. The independent auditors issued an unmodified opinion which provides the highest level of assurance. Steven’s noted that there was approximately an 11% drop in revenues. This decrease resulted from a decrease in KATS activities in work element 500. Start elaborated noting that KATS program revenues and costs will vary from year to year based upon the transportation planning priorities set forth by the Michigan Department of Transportation (MDOT), the Federal Highway Administration (FHWA) and the Federal Transit Administration (FTA).

Nielsen observed that program revenues and expenses varied annually depending KATS activities wasn’t mentioned in the report and opined this might be a good addition. Stevens noted this could be added to the Management Discussion and Analysis next year.

MOTION by Smith, SECOND by Hinkle, “to accept the FY 2016 Independent Auditor’s Report.” MOTION APPROVED.

Chair Dykstra noted that since there was quorum, the meeting would follow the agenda beginning with “Changes or Additions to the Agenda.”

ACCEPTANCE OF THE CENTRAL COUNTY TRANSPORTATION AUTHORITY AS A VOTING MEMBER

Start reported that the KATS Policy Committee Bylaws state that additional voting members may be admitted to the Policy Committee with a two thirds majority vote of the members present. As of October 1, the Central County Transportation Authority (CCTA) took over fixed route operations from the City of Kalamazoo. He noted that it would be appropriate for the Policy Committee to take action to admit the

CCTA as a voting member. Ann Nieuwenhuis was designated by the CCTA as their Policy Committee member. Start noted that the Policy Committee Bylaws members would be updated to remove the Kalamazoo Transit Authority Board and add the Central County Transportation Authority.

FEDERAL CERTIFICATION REPORT DISCUSSION

Start introduced Andy Pickard from FHWA Michigan Division. Stuart McKenzie from FTA was present via conference call. Since KATS has completed its Transportation Management Area (TMA) Certification Review and received the TMA Certification Review Report, Pickard and McKenzie were present to discuss the report with Policy Committee members.

Pickard thanked KATS Staff, the public transportation agencies and those who participated in the certification review. He noted that KATS was first designated as a TMA after the 2010 census. One of the requirements for a TMA is to go through the certification process every 4 years to determine if the TMA was following federal regulations for federal transportation planning. The purpose of the presentation was to discuss the process and the federal regulations. Pickard reported on the one required action and the nine recommendations.

Corrective Action 1: KATS must revise their Metropolitan Transportation Plan (MTP) to betterintegrate and address the planning factors safety, security, freight, and economic vitality.

Recommendation 1: KATS include more documentation of analysis throughout the MTP andtailor analyses to be specific to the Kalamazoo area.

Recommendation 2: KATS more fully incorporate transit and non-motorized elements throughoutthe Plan to reflect a multimodal planning approach.

Recommendation 3: KATS expand the MTP environmental justice analysis to regional measuressuch as accessibility to essential services.

Recommendation 4: KATS continue to build off the creditable efforts to develop the first regionalCMP by more fully integrating the process into development of the next MTP review.

Recommendation 5: KATS should develop a formal, documented and agreed to consultationprocess for the various components of the planning process

Recommendation 6: KATS, MDOT, KCTA, Metro Transit, VBPT, and CCTA, in cooperation withFTA and FHWA, review the finalized Moving Ahead for Progress in the 21st Century Act (MAP-21)

Planning Code of Federal Regulations when released and work cooperatively to update and adopt a single Planning MOU between all parties to reflect a performance-based planning process, including roles, responsibilities, and timeframes.

Recommendation 7: KATS update the PPP to include the following revisions:

• KATS should expand the discussion of EJ outreach strategies to effectively and

proactively engage EJ populations in the planning process. It would then be beneficial to add a measure of effectiveness that monitors the number opportunities for engagement provided to EJ populations. It is also recommended that a representative from an EJ population be appointed to the CAC.

• “UPWP Amendments” should be added as a milestone in the UPWP timetable.

Recommendation 8: KATS expand the discussion of the treatment of public comments to include a documented process for how KATS and the transit agencies will address comments/complaints regarding service changes and other transit related issues.

Recommendation 9: KATS actively participate in discussions regarding TIP administrative

modifications and amendments and considers raising the threshold for scope and funding changes to the TIP to reduce the amount of amendments.

Pickard noted that the required action included the submission of draft revisions to the MTP be submitted to FHWA, FTA, and MDOT for review in January. KATS staff has completed initial revisions which are currently being reviewed to ensure they address the required action. The deadline for the incorporation of the revisions to the MTP is June. Nielsen asked for clarification on the definition of Environmental Justice (EJ) and the recommendation for its incorporation into KATS plans. Pickard reported that the recommendation was for KATS to go beyond the identification of EJ areas and reporting on projects included in these areas. It was recommended that KATS analyze accessibility and gaps in the transportation system to healthcare, jobs, schools and essential services and the impacts projects would have on EJ areas and access to these services. He noted that the Southeast Michigan Council of Governments’ MTP was a good example for this analysis and incorporation. Stepek noted that the Pedestrian, Greenway and Transit Plan would be looking at EJ analysis for incorporation into the next MTP. Nieuwenhuis voiced concerns with accessibility issues related to snow removal especially considering that the enforcement of requiring residents to clear sidewalks was currently being questioned. Pickard noted this was an interesting impact on accessibility that has not been analyzed. Heppler voiced concerns with safety on I-94 and the impact of cut-through traffic being detoured off of I-94 onto local roads when a crash occurred. He asked if additional funding for projects such as widening I-94 would be available. Pickard reported that safety is a priority for federal transportation planning and was the first final rule on Performance Based Planning that was passed. FHWA has dedicated staff for federal safety issues. Teeter voiced concerns on behalf of the CCTA and the Kalamazoo Transportation Authority (KCTA) with the definition of Environmental Justice and its interpretation. She noted that it had been construed to mean that public transit agencies are required to provide public transportation to certain areas. She opined that there should be better training and education. Pickard reported that EJ training was held through the FHWA Resource Center, and he would work with Kalamazoo and KATS on the issue. Swiat asked for clarification on the recommendation related to raising the TIP threshold. KATS current policy is that if a project cost change is 20% or higher, the change must be amended into the TIP through the amendment process. The recommendation is to raise this threshold.

Swiat inquired if a cost analysis had been completed regarding the required action and recommendations from the certification review. Pickard noted that a cost analysis had not been completed and that the required action was the only corrective action KATS must take. FHWA, FTA and MDOT will work with KATS regarding recommendations considered the highest priority.

Johnson asked for more information regarding the corrective action and if the revisions to the MTP would be going through the public involvement process and to Technical Committee and Policy Committee for review. Start noted that following the review of FHWA, FTA and MDOT, KATS staff would incorporate any additional revisions to ensure the required action was fulfilled. The MTP would then go through the public approval process, review by the Technical Committee and review and approval of the Policy Committee. Johnson expressed that she would be interested on the incorporation of freight and how competing priorities would be addressed.

Start reported that a meeting of the subcommittee to review KATS Public Participation Plan would be held on January 31 at 10:00 a.m. at KATS offices. He noted that the subcommittee currently had 3 members from Technical Committee and two from the Policy Committee. If anyone was interested in assisting, they were asked to contact KATS staff.

2017-2020 PROPOSED AMENDMENTS TO THE TRANSPORTATION IMPROVEMENT PROGRAM

A copy of the proposed amendments to the FY 2017-2020 Transportation Improvement Program were included in the meeting materials. (For a list of the amendments, please see pages 8-9 of the minutes).

MOTION by Johnson, SECOND by Nielsen, “to approve the recommended amendments to the FY 2017-2020 Transportation Improvement Program.” MOTION APPROVED.

FY 2016 FTA DESIGNATED RECIPIENT FOR URBAN TRANSIT FUNDING AMENDMENT

A copy of the Resolution of Support for the Designated Recipient Status of Federal Transit Administration Section 5307, Section 5310, Section 5337, and Section 5339 Funds was included in the meeting materials.

MOTION by Johnson, SECOND by Reid, “to approve the Resolution of Support extending the Designated Recipient Status of Federal Transit Administration Section 5307, Section 5310, Section 5337, And Section 5339 Funds for the City of Kalamazoo through FY 2016 and to authorize KATS Chair to sign on KATS behalf.” MOTION APPROVED.

PEDESTRIAN, GREENWAY AND TRANSIT PLAN

A flyer for the KATS Pedestrian, Greenway and Transit Plan Open House to be held on Tuesday, February 7, from 4:00-7:00 p.m. at Kalamazoo Metro Transit was distributed at the meeting. Stepek invited all members to attend. Refreshments and childcare will be provided. Those unable to attend were encouraged to submit comments on the website at www.katsmoves.org.

PUBLIC TRANSPORTATION UPDATES

Teeter reported that Kalamazoo Metro was over 2 months into the transition of the fixed route system from the City of Kalamazoo to the CCTA. There will be a joint meeting of the KCTA and CCTA in April for a joint planning session. Sunday service continues on the fixed route system and demand response. An article on demand response service was on MLIVE. Nieuwenhuis reported that Teeter had issued a challenge to the CCTA and KCTA to ride public transportation. She requested that Policy Committee Members consider taking the challenge as well. She opined it would give members a participant perspective to assist in decision making. Teeter noted that she had rode on the Lansing system while attending an event and seniors with a Medicare card ride for free. She noted riding public transportation in other areas was also beneficial to exploring options for public transit.

EXECUTIVE DIRECTORS REPORT Start reported that KATS has received overpayments from MDOT resulting from MDOT finance including the value of contributed services in KATS payments. MDOT is implementing new financial procedures. KATS Office Manager is monitoring the overpayments and coordinating with MDOT to resolve the issue. The Michigan Department of Transportation, the Federal Highway Administration, and some Metropolitan Planning Organizations including KATS have been meeting regarding developing uniform policies on whether a change in a project in the Transportation Improvement Program is handled as an amendment or as an administrative modification. Individual policies of the Metropolitan Planning Organizations vary. KATS Administrative Modification Policy allows dollar changes less than 20% of the total project cost as an administrative modification. Changes to project costs that exceed this threshold are handled as TIP amendments. Start reported that KATS federal funding levels are capped and local agencies are responsible if the project costs more than programmed in the TIP. Some MPOs allow for a percentage change in federal obligation funding levels. This method may result in some projects not receiving full obligation in the year originally programmed and as a result the projects may be moved to the next year. Start reported that the recently approved Safety Performance Measures Rule has a requirement for states to gather and report on road system data elements for the entire public road network including the local non-federal aid eligible system. The states are required to have a plan by July 1, 2017, that details how they will provide the data. There will be a five-year period to collect and report the data. Information on the physical road network and Annual Average Daily Traffic is also needed for all of the system as either an estimate or actual counts. MDOT is approaching the Metropolitan Planning Organizations and the Regional Planning Organizations for assistance in collecting the data. An additional concern is setting safety performance measures that will not penalize KATS for failing to meet its performance measures given that severe and fatal crashes are increasing. Urban opined that there has been a massive change in driver behavior and the increase in crashes is a result of this change and data on distracted driving would be useful. Start noted that crash reports have been modified to include distracted driving. Heppler confirmed the change to crash reports. Start also noted that alternative methods for collecting data such as cell phone tracking might be possible. Johnson shared that she and Start have been involved in discussions regarding the needed data collection at the state level through their participation on the Transportation Asset Management Council. Approximately 25 roadway elements have a requirement for data collection. She noted there were concerns with how the data will be collected, how to best use technology and how to avoid duplication of efforts. After data is collected, performance metrics will have to be added. In response to Start’s report on the TIP threshold, Reid stated a preference for the cap and that federal funding is a set amount. He suggested consideration be given to a 70% federal share, 30% local share for projects be explored to allow funding to be distributed to additional projects. Stepek reported that while the current minimum local match is 20% most projects do exceed this minimum. Start reported that another concern is how smaller agencies might receive federal funding in the prioritization process and that the prioritization process will be reviewed for the next Transportation Improvement Program Call for Projects. NEW BUSINESS-NONE CITIZEN COMMENTS – NONE MEMBER COMMENTS Nieuwenhuis requested that a reminder be sent to Policy Committee members be emailed and asked to send their alternate in the event that they were unable to attend since quorum had nearly been an issue at today’s meeting.

Heppler reported that the City of Galesburg had requested he attend the meeting on behalf of the city. Start noted that proxies for voting members are not allowed. Nielsen thanked those members who had returned their evaluation of the Executive Director. The Finance and Personnel Committee will be meeting prior to the February Policy Committee Meeting and a report on the results will be available at that meeting. Teeter reported that it is the 50th Anniversary of Public Transportation in Kalamazoo. Special events to mark the occasion will be held throughout the year. Nieuwenhuis noted observing trucks having difficulty with the radius of the Comstock Township roundabouts. She also voiced concerns that the pavement markings were difficult to see when wet. Johnson thanked KATS for sharing information with members on the Asset Management for Local Officials Workshop. The Road Commission of Kalamazoo County (RCKC) is currently working on efforts to raise awareness of difficult travel conditions on gravel roads and the formation of potholes on paved roads. The RCKC website has added a map of projects included in its Capital Improvement Program. Urban reported that Chris Barnes current Director of Transportation and Utilities for the City of Portage will be retiring effective in August. Kendra Gwin has been appointed to replace Barnes. She brings approximately 17 years of experience with her. KALAMAZOO AREA TRANSPORTATION STUDY

AGREEMENT This Agreement is made and entered into this date of _____________________ by and between the SOUTHCENTRAL MICHIGAN PLANNING COUNCIL, hereinafter referred to as “SMPC,” and the KALAMAZOO AREA TRANSPORTATION STUDY, hereinafter referred to as “KATS,” for the purpose of fixing the rights and obligations of the parties in agreeing to participate in a cooperative regional transportation planning process. RECITALS: A. For the purposes of the Michigan Department of Transportation, hereinafter referred to

as “MDOT,” Regional Transportation Work Program, Region 3 consists of the Counties of Barry, Branch, Calhoun, Kalamazoo, and St. Joseph and is represented by SMPC.

B. SMPC, as a state recognized regional planning organization, is tasked by The Michigan Department of Transportation (MDOT) to conduct regional transportation planning activities in Region 3.

C. KATS has extensive transportation planning experience serving as the Metropolitan Planning Organization associated with the Kalamazoo Urbanized Area. SMPC will utilize KATS’ expertise in transportation planning to fulfill the MDOT required transportation planning activities in Region 3 during MDOT fiscal years 2018 and 2019.

D. KATS has administered the program during fiscal years 2014 through 2016, and continues to administer the program in fiscal year 2017.

Accordingly, the Southcentral Michigan Planning Council and the Kalamazoo Area Transportation Study agree to the following terms and conditions: TERMS AND CONDITIONS: 1. Recitals: The recitals accurately reflect the intent and purpose of this Agreement and are

made a part of it. 2. Description of Project:

a) KATS will administer and oversee the transportation planning activities required by MDOT in the WORK PROGRAM throughout the region.

b) SMPC will oversee and review work performed by KATS, and administer the program.

c) SMPC will reimburse KATS for their work using MDOT funding identified in the FY 2018 and FY 2019 WORK PROGRAM.

d) This Agreement will expire at the end of the 2019 Fiscal Year (September 30, 2019).

e) Payments for work completed in the 2019 Fiscal Year ending September 30, 2019 and invoiced after that date shall be paid to close out the fiscal year.

3. Duties and Responsibilities of SMPC: The duties and responsibilities of SMPC include

the following: a) Receive and approve or deny the WORK PROGRAM presented by KATS in a

timely manner. b) Receive and approve or deny invoices submitted by KATS in a timely manner. c) Submit required reporting documentation and invoices to MDOT for work outlined

in this Agreement in a timely manner. d) Receive and distribute funds from MDOT to KATS in accordance with this

Agreement. e) Conduct a quarterly review of KATS activities and provide feedback on progress. f) Conduct minor program administration related to the Work Program.

4. Duties and Responsibilities of KATS: The duties and responsibilities of KATS include the

following: a) Prepare and submit a draft annual transportation planning WORK PROGRAM and

budget to SMPC for review and approval no later than July 1 for each upcoming fiscal year.

b) Conduct all activities in response to requests by SMPC, MDOT, local units of government, and local partners as related to the WORK PROGRAM.

c) Proactively market the services offered by SMPC in the Work Program to local units of government in the region.

d) Submit progress reports and invoices for payment no less than quarterly to SMPC. e) Present reports on activities as needed at SMPC Board meetings. f) Prepare the Final Acceptance Report within eighty (80) days of the end of the

MDOT Fiscal Year and submit to SMPC for review and submittal to MDOT. 5. Reimbursement:

a) KATS will submit invoices and progress reports for work performed related to the WORK PROGRAM to SMPC.

b) SMPC will submit invoices and progress reports for work performed by KATS to MDOT.

c) MDOT will reimburse SMPC who will in turn reimburse KATS. d) To expedite payment to KATS, two of the following SMPC agents will, under typical

circumstances, approve invoices and payments within fifteen (15) days of receipt: The Chairperson, Secretary/Treasurer, SMPC Staff or Board Member of SMPC. A report of activities will be presented by SMPC Chairperson or Secretary/Treasurer as needed at SMPC board meetings.

e) SMPC will, under typical circumstances, submit payment to KATS within ten (10) days of receipt of MDOT reimbursement.

6. Opt-Out: SMPC reserves the right to opt-out of the agreement for the following reasons:

a) Performance

i. If KATS fails to perform the duties described above, SMPC has the option to terminate this contract.

1. SMPC staff and board members will conduct quarterly performance reviews.

2. SMPC will inform KATS of their performance standing. 3. Termination of this contract requires a resolution with two thirds

(nine members) support of the SMPC board. 7. Binding Effect: The obligations of the parties under this Agreement shall bind and inure

to the benefit of each party and their respective successors. The parties do not intend to confer any benefits on any person, firm, corporation, or other entity which is not party to this Agreement.

8. Notices: Any notices that may be required under this Agreement shall be in writing and

delivered personally, or via first-class mailed, postage fully prepaid and properly addressed to:

indemnify and hold each other harmless, including its elected officials, agents, employees, officers and representatives, from all fines, costs, lawsuits, claims, demands and actions of any kind or nature, including reasonable attorney fees, which occur by reason of any wrongful act, negligence or wrongful omission on the part of the other. For purposes of this paragraph, the Counties of Barry, Branch, Calhoun, Kalamazoo and St. Joseph, the Michigan Department of Transportation, Federal Transit Administration, and the Federal Highway Administration are considered included.
