Transeo as an international non-profit
association (INPA)
Transeo as a INPA
• By joining Transeo, you do not become partners in a club. You are welcome as members of an international non-profit association (INPA).
• There are more than 1800 INPA in Belgium (census 2009).
Why is that ?
Transeo as a INPA
• First reason: The Belgian law of 1919 renovated in 2002 designed a framework of transparence, publicity and security to such associations by granting them a legal personality
• Second reason: INPAs carry out work of value / benefit to international communities, groups of interest attracted in Belgium as the seat of the EU Commission, Parliament and Council, and impacted by policies and regulations decided by such authorities.
Transeo as a INPA
• Stability of INPAs is guaranteed by:• The legal status, the explicit definition of the social goals, the recognition by Royal Decree
• The management structure based on a General Assembly and a Board of Directors. The latter applies day by day the strategical options of the association, with annual reports and votes on the accounts and the budget.
• The general secretariat ensures the representation of all members and the liaison between them.
Transeo as a INPA
• Flexibility of the INPA status:– INPAs are autonomous and independent organisations.
– Delegating the power, creating Committes : possible
– Changing the seat, convocation of meetings by e-mail, electing the governing bodies, mutual representation between members, suing a judicial action are easy things with clear definitions of decision power.
– No income tax; VAT: EU package applicable.– BUT, special quorum requested to amend the statutes or to dissolve the association!
Transeo as a INPA
• The credibility of INPAs is ensured by:• The grouping of key players (institutions, companies) that share and defend similar interests
• Their expertise in a specific matter on which European bodies can rely in consultative processes
• The independence from any philosophical or political ideas,
• The not-for-profit character prevents any member to make money out of his participation
• Most INPAs are registered in the EU Transparency Initiative mechanism
Transeo as a INPA
• The utility of INPAs to their members:• Exchange of experiences and good practices helps improving the members’ skills and performance
• Participants are stronger to launche common research or training projects (economy of scale)
• Members can draw benefits from EU actions • INPA has no right to intervene in the own business of membersLobby function:
• INPAs conveys suggestions to EU decision makers. They inform their members on what is underway in the EU.
Transeo as a INPA
• Guarantees offered to the members:• Decisions are taken for the common good and not for the economic interest of some members,
• Members are not personally liable for the liabilities of the INPA.
• Members have a voting right in the General Assembly on financial matters and can become members of the Board of Directors
• Members are free to adhere and to leave the association
Transeo as a INPA
• Members have duties• The membership is not a free lunch : annual fee contributes to the functioning of the INPA
• Members are invited to bring in common their own input (ideas, suggestions…)
• Requested to all: a spirit of co-operation, the will to achieve the common objectives, loyalty to other members
Transeo as a INPA
• In conclusion,
NOTHING CAN BE DONE IF ISOLATED
Thank you for the attention,
André Douette
