Note: The Debtor’s retention of Lazard was approved by the Court and is based on that certain Engagement Letter dated as of July 17, 2002. Lazard’s compensation was based on a fixed monthly fee and a transaction fee. Accordingly, Lazard’s compensation is subject to the standard of review under section 328(a) and not subject to review under section 330 of the Bankruptcy Code, with the exception that the U.S. Trustee retains all rights to review Lazard’s interim and final applications pursuant to the reasonableness standard provided for in section 330 of the Bankruptcy Code. Pursuant to sections 327(a) and 328(a) of title 11 of the United States Code (the
“Bankruptcy Code”), Rule 2016 of the Federal Rules of Bankruptcy Procedure (the “Bankruptcy
Rules”), and the Court’s Administrative Order Pursuant to Sections 105(a) and 331 of the
Bankruptcy Code Establishing Procedures for Interim Compensation and Reimbursement of
Expenses of Professionals (the “Administrative Order”), Lazard Frères & Co. LLC (“Lazard”),
as investment banker and financial advisor for WorldCom, Inc. and certain of its direct and
indirect subsidiaries (collectively, “WorldCom”, the “Company” or the “Debtors”), files its
Fourth and Final Application for Allowance of Compensation and Reimbursement of Expenses
(the “Application”) for the period October 1, 2003 through April 19, 2004 (the “Fourth
Compensation Period”). By this Application, Lazard seeks (i) interim allowance of
compensation for professional services performed during the Fourth Compensation Period and
for reimbursement of its actual and necessary expenses, and (ii) final allowance of compensation
for professional services performed during the period July 21, 2002 through April 19, 2004 and
for reimbursement of its actual and necessary expenses. Lazard respectfully represents as
follows:

BACKGROUND
1. On July 21, 2002 (the “Petition Date”), each of the Debtors commenced a case
under chapter 11 of the Bankruptcy Code. The Debtors were authorized to operate their business
and manage their properties as debtors in possession pursuant to sections 1107(a) and 1108 of
the Bankruptcy Code.
2. Lazard was retained by the Debtors to provide comprehensive investment banking
and financial advisory services pursuant to terms of the engagement letter dated July 17, 2002
(the “Engagement Letter”) attached hereto as Exhibit A. The Court approved Lazard’s retention
nunc pro tunc to the Petition Date in an interim Court Order dated as of September 4, 2002, and
on a final basis in a Court Order dated January 14, 2003 (the “Retention Order” attached hereto
as Exhibit B). The compensation for Lazard as detailed in the Engagement Letter is summarized
as follows:
a) A monthly financial advisory fee (the “Monthly Advisory Fee”) of $300,000, payable until the earlier of the completion of a Restructuring or the termination of Lazard's engagement pursuant to paragraph 8 of the Engagement Letter;
b) In the event that the Company consummated a restructuring transaction, the Company would pay Lazard an additional Restructuring Transaction Fee of $15 million, less a credit of 50% of any Business Combination Fees and Sale Transaction Fees paid;
c) If the Debtors requested Lazard to assist with merger & acquisition services related to any of the Debtors business lines, divisions or subsidiaries, Lazard would be entitled to either a Business Combination (buy-side advisory) or Sale Transaction Fee (sell-side advisory) based upon the aggregate consideration multiplied by the applicable percentage as set forth on Schedule I to the Engagement Letter.
3. On October 31, 2003, the Bankruptcy Court approved the Debtors’ Second
Amended Joint Plan of Reorganization. The Debtors emerged from bankruptcy on April 19,
2004.

COMPENSATION REQUEST
4. Lazard respectfully requests interim and final allowance of compensation in the
amount of $18,049,433 for the Fourth Compensation Period. This amount includes (i)
$1,990,000 for Monthly Advisory Fees during the Fourth Compensation Period, (ii) $13,940,566
related to the Restructuring Transaction Fee (net of credits), and (iii) $2,118,867 related to the
Business Combination Fee. Lazard previously sought interim allowance of Monthly Advisory
Fees totaling $4,200,000 in its First, Second and Third Fee Applications and requests final
allowance3 of this compensation by this Application. Prior to the commencement, Lazard
received a retainer of $300,000 which will be applied to the final amounts owed pursuant to this
Application. A summary of the fees requested during these cases is as follows:

Monthly Advisory Fees
5. This is the Applicant’s fourth and final application for allowance of its Monthly
Advisory Fees. Lazard requests allowance of compensation in the amount of $1,990,000 for the
Fourth Compensation Period. This amount consists of (i) $300,000 for each of the six months
from October 2003 through March 2004, and (ii) $190,000 pro-rated for the period commencing

April 1, 2004 and ending April 19, 2004. The Applicant has received $1,592,000 to date and
requests payment of $398,000 related to the holdback on professional fees.
6. Pursuant to the Third Interim Application, Applicant sought interim allowance for
compensation in the amount of $1,800,000 for the six-month period April 1, 2003 through
September 30, 2003. The Applicant has received $1,440,000 to date and requests payment of
$360,000 related to the holdback on professional fees.
7. Pursuant to the Second Interim Application, Applicant sought and received
interim allowance for compensation in the amount of $1,200,000 for the four-month period
December 1, 2002 through March 31, 2003. The Applicant has received $1,200,000 to date and
requests payment of $0 related to the holdback on professional fees.
8. Pursuant to the First Interim Application, Applicant sought and received interim
allowance for compensation in the amount of $1,200,000 for the four-month period August 1,
2002 through November 30, 2002. The Applicant has received $1,080,000 to date and requests
payment of $120,000 related to the holdback on professional fees.
Restructuring Transaction Fee
9. Pursuant to paragraph 2(b) of the Engagement Letter, as additional consideration
for restructuring advisory services, Lazard requests allowance of its Restructuring Transaction
Fee of $15,000,000 which was earned upon consummation of a restructuring transaction. For
purposes of the Engagement Letter, the Debtors conversion of pre-petition debt to new securities
and emergence from Chapter 11 satisfies the criteria for “consummation of a restructuring
transaction”. However, 50% of any Business Combination Fees or Sale Transaction Fees earned
by Lazard with respect to providing merger & acquisition services are to be credited against the
Restructuring Transaction Fee. Accordingly, $1,059,434 (see paragraph 10 below) has been

credited against the Restructuring Transaction Fee, resulting in a “net” Restructuring Transaction
Fee of $13,940,566. The Applicant has received $11,152,453 to date and requests payment of
$2,788,113 related to the holdback on professional fees.
Business Combination Fee
10. Pursuant to paragraph 2(c) of the Engagement Letter, as consideration for merger
& acquisition advisory services, Lazard requests allowance of a Business Combination Fee in the
amount of $2,118,867. During the Chapter 11 proceedings, Lazard provided the Debtors with
significant merger & acquisition advisory services. Notably, Lazard assisted the Debtors with
respect to the planned divestitures of Embratel, WorldCom Broadband Solutions (MMDS) and
the acquisition of Digex. As of the April 19, 2004, the only transaction to be consummated was
the acquisition of Digex. Accordingly, Lazard is seeking allowance of the Business
Combination Fee with respect to the Digex transaction, of which 50% is to be credited against
the Restructuring Transaction Fee. The calculation of the fee is as follows:

The Applicant has received $1,695,094 to date and requests payment of $423,773 related to the
holdback on professional fees. Lazard reserves all of its rights to negotiate a mutually
acceptable agreement with the Company on a post-petition basis to be engaged to provide merger
& acquisition services with respect to completing any ongoing or new transactions.
11. To the best of Lazard’s knowledge, this Application complies with sections 327
and 328 of the Bankruptcy Code, the Federal Rules of Bankruptcy Procedure, the Guidelines
adopted by the Office of the United States Trustee and the Orders of this Court.
12. All services for which Lazard requests compensation were performed for or on
behalf of the Debtors. Other than as discussed herein, Lazard has received no payment and no
promises for payment from any source for services rendered or to be rendered in any capacity
whatsoever in connection with the matters covered by this Application. Lazard has not entered
into any agreement, express or implied, with any party in interest, including the Debtors, any
creditors, or any representative of any of them, or with any attorney for such party in interest, for
the purpose of fixing the fees or other compensation to be paid to Lazard for services rendered in
connection herewith, from the assets of the Debtors. There is no agreement or understanding
between Lazard and any other person, other than members, associates and employees of Lazard,
for the sharing of compensation received or to be received for services rendered in connection
with these proceedings.

ACTUAL AND NECESSARY EXPENSES
13. Lazard requests interim allowance of $81,345 as reimbursement for actual,
reasonable and necessary expenses incurred by Lazard during the Fourth Compensation Period,
and requests final allowance of $440,825 as reimbursement for actual, reasonable and necessary
expenses incurred by Lazard during the entire case. The Applicant has received $406,330 to
date and requests payment of $34,495 which has not been paid.
14. Lazard has provided supporting detail of the expenses incurred during the Fourth
Compensation Period4 and a summary of Lazard’s billing procedures attached hereto as Exhibit
D. It is Lazard’s policy to charge its clients only the amount actually incurred by Lazard in
connection with such items. Examples of such expenses are overnight mail, courier services,
data processing, communications charges, transportation, photocopying, airfare, meals, and
lodging. With respect to airfare expenses, all travel, by all individuals, has been billed at the
coach class rate.
SUMMARY OF SERVICES
15. During the engagement, 25 Lazard professionals have provided advisory services
to the Debtors. The primary Lazard professionals who have rendered services in these cases
include the following: Larry Grafstein (Managing Director), Terry Savage (Managing Director),
Alex Stern (Managing Director), Robert Kost (Managing Director), Joseph Maybank (Managing
Director), Eric Mendelsohn (Vice President), Nick Melton (Vice President), Christopher Lee
(Associate), Klaudia Kormendi (Associate), Mark Mirhashemi (Senior Analyst), Matthew

Satnick (Senior Analyst), Jonathan Krautmann (Analyst), Vinay Kolla (Analyst), Gian-Marc
Widmer (Analyst) and Gaurav Sharma (Analyst).
16. During these cases, the Debtors relied heavily on the experience and expertise of
the above-named persons in dealing with matters relating to the Debtors’ restructuring, including
strategy, financing alternatives, management issues and interfacing with the Committee’s
advisors and other parties-in-interest. Lazard’s restructuring and M&A professionals devoted
significant time and effort to perform properly and expeditiously the required professional
services.
17. The Debtors acknowledged and agreed that Lazard’s restructuring expertise as
well as its mergers and acquisitions capabilities, capital markets knowledge and financing skills,
some or all of which were required by the Debtors during the term of Lazard’s engagement, were
important factors in determining the amount of the Monthly Advisory Fee and the Restructuring
Transaction Fee and that the ultimate benefit to the Debtors of Lazard’s services hereunder could
not be measured merely by reference to the number of hours expended by Lazard’s professionals
in the performance of such services. In addition, given the numerous issues which Lazard was
required to address in the performance of its services hereunder, Lazard’s commitment to the
variable level of time and effort necessary to address all such issues as they arose, and the market
prices for Lazard’s services for engagements of this nature in an out-of-court context, the
Debtors agreed that the fee arrangements were reasonable under the standards set forth in section
328(a) of the Bankruptcy Code.
18. Lazard is seeking the Court’s final approval of its fees and expenses in
accordance with the Retention Order. As described in the Retention Order, the Court ordered
that “Lazard shall be compensated in accordance with the terms of the Lazard Agreement

pursuant to the standard of review under section 328(a) and not subject to review under section
330 of the Bankruptcy Code.” Notwithstanding anything to the contrary, the United States
Trustee retains all rights to object to Lazard’s interim and final fee applications on all grounds
including the reasonableness standard set forth in section 330 of the Bankruptcy Code. In
accordance with the applicable factors enumerated in the Bankruptcy Code, it is respectfully
submitted that the amount requested by Lazard is fair and reasonable given (a) the complexity of
these cases, (b) the time expended, (c) the nature and extent of the services rendered, (d) the
value of such services, (e) the costs of comparable services other than in a case under this title,
and (f) the successful nature of the outcome of these cases.
19. Lazard, in its normal course of business, invoices its clients pursuant to a flat
monthly fee and a transaction fee, and does not charge by the hour. Thus, Lazard does not
ordinarily keep time records. However, for the benefit of the Court, Lazard recorded its hourly
time to the best of its ability and has provided summaries of the time spent by professionals
during the Fourth Compensation Period5. Attached hereto as Exhibit C is (i) a summary of the
time records by month, by professional for the entire case, and (ii) the time records for each
professional related to the Fourth Application Period for which no interim approval was sought.

20. A summary of the services rendered by Lazard are as follows:
Restructuring Services
a) Review and Analysis of the Debtor’s Business and Operations: Lazard staffed the engagement with six professionals with expertise in the telecommunications sector to assist the Company with the evaluation of its business, operations and the preparation of financial projections. Lazard assisted in the creation and updating of an extensive operating and financial model, advised the Company with respect to industry norms and the performance of peer telecommunication companies as a benchmark against which to measure the Company’s performance, and monitored the Debtors financial performance during the engagement.
b) Preparation of Liquidity Analyses: Lazard assisted the Debtors in determining their short-term liquidity outlook and cash needs. Lazard assisted the Debtors with the preparation of a 13-week cash flow forecast which was extensively used in the early months of the case.
c) Arrangement of DIP Financing: Lazard played a significant role in sourcing and negotiating the Debtors’ DIP facility and testified on the DIP at the outset of these chapter 11 cases. The procurement and negotiation of the Debtors’ DIP facility was difficult due to (i) the lack of reliable historical financial statements and fraud, (ii) lender apprehension with respect to the telecommunications industry in 2002, and (iii) the relative size of the facility. Lazard’s knowledge of loan market and pricing trends and its relationships with the DIP lenders assisted the Debtors in their DIP loan negotiations and was an important factor in the Debtors’ ability to secure the facility. Lazard also assisted in the preparation of various materials for use in the syndication of the DIP loan.

d) Assisted in the Development of Financial Forecasts: Lazard spent a significant amount of time assisting the Debtors with internal forecasting. In this capacity, Lazard met with the executive management team, business unit managers and the Board of Directors to vet the business plan assumptions. Lazard assisted with the creation of financial models to help the Debtors evaluate different strategic and financial alternatives under a wide variety of scenarios. These models served as the basis for Lazard’s valuation and capital structure analyses that were required for the Debtors’ reorganization. Lazard performed this function several times as the Debtors revised their forecasts. Additionally, Lazard assisted all interest parties in performing their due diligence of the business plan.
e) Preparation of Enterprise Valuation: Lazard performed a variety of generally accepted valuation analyses including a discounted cash flow analysis, comparable company analysis, and precedent transactions analysis to determine the Debtors’ theoretical total enterprise value (“TEV”) in order to establish the form and amount of recovery available to creditors. Lazard also performed various sensitivity analyses on the valuation to take into account changing estimates of customer retention and profitability. The experience of Lazard’s professionals contributed to the determination of a credible estimated valuation and the results of these analyses played a critical role in negotiations with the Debtors’ creditors and other parties-in-interest. In conjunction with the Plan and Disclosure Statement, Lazard also assisted in the preparation of a liquidation value analysis of the Debtors.
f) Preparation of Debt Capacity: Lazard researched the capitalizations of other companies in the telecommunications industry and compared the Debtors’ leverage, coverage and debt/equity ratios under alternative capital structures to the ratios of comparable companies and rating agency benchmarks. The experience of Lazard’s professionals contributed to the determination of a credible estimated debt capacity. The determination of the appropriate capital structure was a highly contested matter and Lazard’s analyses played a critical role in negotiations with the Debtors’ creditors and other parties-in-interest.
g) Review and Analysis of Financial Information on a Legal Entity Basis: Lazard worked closely with the Debtors, Weil Gotshal and the advisors to the Official Committee of Unsecured Creditors to review and analyze various issues and financial information related to the Debtors’ various legal entities. Lazard prepared several analyses reviewing the legal entities and related financial information. Lazard reviewed income statements, balance sheets and intercompany balances on an entity-by-entity basis to the extent they were available. Lazard worked with the other advisors to analyze the nature of the intercompany balances and the degree to which they could be explained and documented. Lazard also worked with the advisors to the Official Committee of Unsecured Creditors to develop and revise an integrated model to analyze the recovery to creditors at various legal entities given available information on intercompany balances and a range of other assumptions including enterprise value and the potential distribution of value among the various legal entities.
h) Negotiation of Plan of Reorganization: Lazard assumed an integral role in the negotiation of the Plan of Reorganization and the related settlements among and between

the Debtors’ major constituents. Lazard maintained significant contact with the various constituents during this period and was successful in attaining a consensual agreement among almost all of the parties in these cases. These parties included the WorldCom bondholders, WorldCom banks, MCI bondholders, MCI subordinated bondholders, Intermedia bondholders, and Intermedia preferred stock, among others.
i) Negotiation of Settlement with Securities Exchange Commission (SEC): Lazard assisted the Debtors with respect to their settlement discussions with the SEC to resolve the civil action filed by the SEC against the Debtors. Lazard participated in numerous discussions with the SEC, the District Court, and various creditors as to the form and amount of the settlement. Lazard also assisted in securing creditor approval for the settlement.
j) Preparation of Plan of Reorganization and Disclosure Statement: Lazard provided assistance to Weil Gotshal and the Debtors’ management in the drafting and review of the Plan of Reorganization and the Disclosure Statement. In particular, Lazard prepared certain sections of the Disclosure Statement including the Financial Projections (Exhibit D), the Liquidation Analysis (Exhibit E), and the Reorganization Valuation Section. In addition, Lazard prepared and provided the recovery percentages for each of the classes. Lazard testified before the Court on numerous occasions with respect to these and other matters.
k) Structuring and Negotiation of Senior Notes Terms: Lazard assisted the Debtors with the structuring and negotiating of the terms of the New Senior Notes issued pursuant to the Plan of Reorganization.
l) Participation in Meetings of the Board of Directors: Lazard attended numerous meetings of the Debtors’ Board of Directors. Lazard prepared various presentations on issues related to financial matters and strategic bankruptcy issues.
m) Preparation for and Participation in Various Depositions and Hearing: Lazard prepared two expert reports for use in these cases including the Valuation Report and Liquidation Analysis. Lazard professionals, including Messers Savage, Grafstein and Kost prepared for and were deposed on several occasions during these cases regarding these expert reports and on other matters. In addition, Lazard prepared and filed rebuttal reports with respect to its expert reports. During the confirmation hearings, Lazard professionals prepared for and provided expert testimony on several occasions.
n) Assistance with Court Filings: Lazard has reviewed certain of the Debtors’ Court filings, particularly with regard to financial matters including lease rejections and various settlement agreements.
o) Due Diligence and Creditor Inquiries: Lazard responded to the informational requests of various parties in interest through interfacing with the relevant personnel at the Company or the other advisors to the Company. As part of this, Lazard prepared for and participated in various in-person meetings with Creditors and their respective advisors.

Merger & Acquisition Services
p) Merger & Acquisition Services: Lazard acted as investment banker to the Debtors with respect to the potential sale of certain of the Debtors’ non-core businesses and assets, including Embratel, WorldCom Broadband Services (MMDS), and Digex, among other transactions.
i) Preparation of Confidential Offering Memorandum - Lazard conducted due diligence on each of these operations and prepared a detailed Confidential Offering Memorandum for use in the solicitation process for Embratel and MMDS.
ii) Preparation of the Buyer’s Contact List - Lazard compiled a comprehensive contact list of potential buyers consisting of both strategic and financial parties. Lazard contacted potential financial and strategic buyers and signed confidentiality agreements with respect to Embratel and MMDS.
iii) Management of Sales Process - Lazard assisted the Debtors in conducting a comprehensive M&A sale processes for Embratel and MMDS including the following: (1) contacted and solicited interest from potential buyers, (2) distributed confidentiality agreements and Offering Memorandums to interested parties, (3) provided answers to due diligence related questions and participated in conference calls with management as required, (4) requested indications of interest to be submitted by a certain date, (5) received and analyzed indications of interest submitted by interested buyers, (6) contacted interested parties which were selected to proceed to the next phase of the sale process, (7) assisted management with the preparation and presentation of the formal management presentation to interested parties, (8) assisted buyers in completing their due diligence, (9) notified interested parties of the requirement for submission of final offers and (10) received and analyzed offers received from interested parties, and (11) assisted in the negotiation of terms.
iv) Valuation of Offers - Lazard prepared certain valuation analyses related to offers for Embratel and MMDS and presented these findings to various parties including the Debtors’ management, the Board of Directors, the Unsecured Creditors’ Committee, the Secured Lenders, and the Court.
v) Court Testimony - Lazard provided testimony before this Court on several occasions with respect to (i) the bidding procedures, (ii) the value of the transaction, and (iii) the auction process with respect to the Embratel and MMDS transactions.

q) Status of Lazard Advised Merger & Acquisition Transactions:
i) WorldCom Broadband Solutions (MMDS) - In October 2002, Lazard began assisting the Debtors with this sale by preparing an extensive information package and contacting interested parties. The Debtors ultimately received preliminary indications of interest from 19 parties and bids from 10 parties for either the MMDS assets or select assets comprising the MMDS assets. After several months of negotiations, on April 24, 2003, the Debtors and BellSouth entered into an agreement and on June 3, 2003, the Court approved procedures for the Debtors’ proposed auction of the MMDS assets. After a formal auction of the MMDS assets held on or around June 26, 2003, the Debtors, with Lazard’s assistance, reached the Final Auction Offer with Nextel for a purchase price of $144,000,000 in cash, plus other non-cash considerations. On or about July 10, 2003, the Court approved the Final Auction Offer received from Nextel Spectrum Acquisition Corp. (“Nextel”) for the purchase of the MMDS assets.
ii) Embratel – The Debtors own a 19% economic interest and a 52% voting interest in Embratel, a Brazilian telecommunications company. Lazard assisted the Debtors with respect to negotiations with various parties interested in acquiring the Debtors’ ownership position in Embratel. On March 15, 2004, the Debtors announced a definitive agreement to sell this stake to Telefonos de Mexico (Telmex) for $360 million. On April 21, 2004, the Debtors announced an agreement with Telmex to increase the purchase price to $400 million. Completion of the sale is pending subject to regulatory approval.
iii) Digex – The Debtors owned a 60.7% economic interest and a 93.9% voting interest in Digex, a provider of managed hosting services. Lazard assisted the Debtors with respect to the purchase of the Class A Common Stock of Digex not already owned by the Debtors and the purchase of the Series A Convertible Preferred Stock of Digex held by a subsidiary of Hewlett-Packard Company. On November 17, 2003 the Debtors announced the completion of the tender offer for the outstanding shares of Class A Common Stock of Digex.

CONCLUSION
WHEREFORE, Lazard respectfully requests that the Court enter an Order:
(i) granting the Application and authorizing interim allowance of compensation in the amount of
$18,049,433 for professional services rendered and $81,345 for reimbursement for actual and
necessary costs, for the period October 1, 2003 through April 19, 2004 in this case, (ii)
authorizing the final allowance of compensation, for the period July 21, 2002 through April 19,
2004 in this case, in the amount of $22,249,433 for professional services rendered, and $440,825
for actual and necessary expenses incurred, of which Lazard has received $18,159,547 for
professional services rendered and $406,330 for actual and necessary expenses incurred from
previously filed fee applications, (iii) directing payment by the Debtors of any of the foregoing
amounts which remain unpaid and (iv) granting such other and further relief as this Court deems
necessary and just.

Upon the application, dated July 21, 2002 (the “Application”), of
WorldCom, Inc. and certain of its direct and indirect subsidiaries, as debtors and debtors
in possession (collectively, “WorldCom” or the “Debtors”), for an order pursuant to
sections 327(a) and 328(a) of the United States Bankruptcy Code (the “Bankruptcy
Code”) and Rule 2014(a) of the Federal Rules of Bankruptcy Procedure (the “Bankruptcy
Rules”) authorizing and approving the employment and retention of Lazard Frères & Co.
LLC (“Lazard”) as financial advisors and investment bankers to the Debtors, on the terms
set forth in its engagement letter, the amended engagement letter and the related
indemnification agreement (together, the “Lazard Agreement”), all as more fully set forth
in the Application; and upon consideration of the Affidavit of Frank (Terry) A. Savage, a
managing director of Lazard, sworn to on July 19, 2002, and the Supplemental Affidavit
of Frank (Terry) A. Savage, sworn to on October 15, 2002 (together, the “Savage
Affidavit”); and due and proper notice of the Application having been provided too all
known creditors in the Debtors’ cases, and it appearing that no other or further notice
need be provided; and the Court being satisfied based on the representations made in the
Application and the Savage Affidavit, that Lazard does not hold or represent an interest
adverse to the Debtors estates and is “disinterested,” as such term is defined in section
101(14) of the Bankruptcy Code, as modified by section 1107(b) of the Bankruptcy
Code, and that the employment of Lazard is necessary and would be in the best interests
of the Debtors, their creditors and estates; and the Court being satisfied that the terms of
compensation being sought by Lazard, as described in the Lazard Agreement and the
Savage Affidavit, are reasonable, and the Court having jurisdiction to consider the
Application and the relief requested therein pursuant to 28 U.S.C. §§ 157 and 1334 and
the Standing Order of Referral of Cases to Bankruptcy Court Judges of the District Court
for the Southern District of New York, dated July 19, 1984 (Ward, Acting C.J.); and
consideration of the Application and the relief requested therein being a core proceeding
pursuant to 28 U.S.C. § 157(b); and venue being proper before this Court pursuant to 28
U.S.C. §§ 1408 and 1409; and after due deliberation and sufficient cause appearing
therefor, it is
ORDERED that the Application is GRANTED; and it is further
ORDERED that pursuant to sections 327(a) and 328(a) of the Bankruptcy
Code and Rule 2014(a) of the Bankruptcy Rules, the Debtors are authorized, effective as
of July 21, 2002, to employ and retain Lazard as their investment bankers and financial
advisors, on the terms set forth in the Lazard Agreement, as modified in the Order; and it
is further
ORDERED that Lazard shall be compensated in accordance with the
terms of the Lazard Agreement pursuant to the standard of review under section 328(a)
and not subject to review under section 330 of the Bankruptcy Code; and it is further
ORDERED that, notwithstanding anything to the contrary set forth above,
the United States Trustee retains all rights to object to Lazard’s interim and final fee
applications (including expense reimbursement) on all grounds including but not limited
to the reasonableness standard provided for in section 330 of the Bankruptcy Code; and it
is further
ORDERED that the Debtors are authorized to indemnify and hold
harmless Lazard and its affiliates, their respective directors, officers, members, agents,
employees and controlling persons, and each of their respective successors and assigns
(collectively the "Indemnified Persons"), pursuant to the indemnification provisions of
the Lazard Agreement and, during the pendency of these bankruptcy proceedings, subject
to the following conditions:
(a) all requests of Indemnified Persons for payment of
indemnity, contribution or otherwise pursuant to the indemnification provisions of the
Lazard Agreement shall be made by means of an interim or final fee application and shall
be subject to the approval of, and review by, the Court to ensure that such payment
conforms to the terms of the Lazard Agreement, the Bankruptcy Code, the Bankruptcy
Rules, the Local Bankruptcy Rules, and the orders of this Court and is reasonable based
upon the circumstances of the litigation or settlement in respect of which indemnity is
sought; provided, however, that in no event shall an Indemnified Person be indemnified
or receive contribution to the extent that any claim or expense has resulted from the bad-
faith, self-dealing, breach of fiduciary duty, if any, gross negligence or willful
misconduct on the part of that or any other Indemnified Person; and
(b) in no event shall an Indemnified Person be indemnified or
receive contribution or other payment under the indemnification provisions of the Lazard
Agreement if the Debtors, their estates, or the statutory committee of unsecured creditors
assert a claim, to the extent that the Court determines by final order that such claim arose
out of bad-faith, self-dealing, breach of fiduciary duty, if any, gross negligence, or willful
misconduct on the part of that or any other Indemnified Person; and
(c) in the event an Indemnified Person seeks reimbursement
for attorneys' fees from the Debtors pursuant to the Lazard Agreement, the invoices and
supporting time records from such attorneys shall be annexed to Lazard's own interim
and final fee applications, and such invoices and time records shall be subject to the
United States Trustee's guidelines for compensation and reimbursement of expenses and
the approval of the Bankruptcy court under the standards of section 330 of the
Bankruptcy Code without regard to whether such attorney has been retained under
section 327 of the Bankruptcy Code; and it is further
ORDERED that to the extent that there may be any inconsistency between
the terms of the Application, the Lazard Agreement or this Order, the terms of this Order
shall govern; and it is further
ORDERED that the requirement pursuant to Local Rule 9013-10(b) that
the Debtors file a separate memorandum of law in support of the Application is waived;
and it is further
ORDERED that this Court will retain jurisdiction to continue and enforce
the terms of the Application, the Lazard Agreement and this Order.

EXPENSE REIMBURSEMENT BILLING PROCEDURES General Accounting Information Lazard has followed its general internal policies with respect to out-of-pocket expenses billed to the Debtors as detailed in its Monthly Statements. It is important to note that the date an expense is posted to the ledger in Lazard’s accounting system (the “Trans Date” on the expense detail) may be several months later than the date the expense was actually incurred depending on the date such expense was processed for reimbursement by Lazard employees or vendors. Further, Lazard’s accounting system has a 30-character limit for the description that posts to the ledger. This system limitation may cut off detail pertinent to the reasonableness of such expenses. Lazard can provide additional detail upon request for most items when such information is reasonably available, but all items must be researched and supplemented manually from back-up hard copies. Lazard tracks all client related expenses by a project code created for each client matter. Prior to requesting and/or submitting to the Court for reimbursement, Lazard reviews all unbilled items that have posted to the ledger to determine if they are billable to the client. For clients in Chapter 11 Bankruptcy proceedings, Lazard verifies with each Professional (or their secretary) any significant amounts for travel related matters to verify proper allocation and billing (i.e. coach air fares, business meals, etc.). All items are processed by Lazard’s accounts payable department from invoices and/or expense reports by project code that are submit to accounts payable by professionals in this case, other departments within Lazard that provide support to these professionals (i.e. Information Center, Copy Center, Mailroom, Word Processing/Graphics, etc.) and various outside vendors. Summary of Billing by Expense Type Lazard’s charges for expenses in this case are determined in the same manner as for clients in non-bankruptcy matters. Out-of-pocket expenses incurred by Lazard are charged to a client if the expenses are incurred in connection with services rendered for such particular client. Lazard has followed its general internal policies with respect to out-of-pocket expenses billed in this case as set forth below, with any exceptions specifically explained. Car Services and Taxis Business Travel – It is Lazard’s policy to bill clients for all transportation charges incurred in connection with employee business travel on any given client related matter. These charges include transportation to and from the airport locally and all charges incurred to and from location of various meetings while traveling on client related matters. Local – With respect to local travel, Lazard’s general policy enables employees to travel by taxi or private car service to and from meetings while rendering services to a client on a client related matter, for which the client is charged. This policy is based on Lazard’s determination that travel by taxi or private car service is the most efficient use of a professional’s time. Lazard employees

are not permitted to charge commutation expenses to a client unless the employee is traveling after 8:00 p.m. or on a weekend on the client related matter. Couriers/Shipping Messengers and couriers (including Federal Express and UPS) are used by Lazard to deliver hard copy documents relating to the client matter that require receipt on an expedited basis; otherwise, Lazard uses the regular postal system. Any charges for either messengers or couriers are billed to clients at cost. Electronic Information Service/Hard Copy Information Lazard utilizes various news and historical data services for research related to the client matter. All charges for such services are billed to the client at cost. Employee Meals Lazard’s general policy permits employees to bill dinner meals to a client if the employee is required to render services during such mealtime to the client due to extreme time constraints. Lazard employees are permitted to order dinner in the office (for no bill more than $20.00 per person) if the Lazard employee is required to work after 8:00 p.m. or on weekends. Lazard employees are permitted to bill lunch to a client (for no more than $15.00 per person) if they are required to work on the weekend or on a holiday on the client related matter. Meals-Meetings/Travel This expense type includes charges for meals while Lazard employees are traveling on client related matters or conducting business locally on behalf of its clients. This includes catering charges for meetings at Lazard’s offices as well as business dinners attended by the client and/or other interested parties. Miscellaneous Expenses This expense type includes charges for miscellaneous items incurred by Lazard employees locally or while traveling on client related matters that would not have been normally incurred had the professional not been traveling (i.e. laundry service or personal supplies for an unexpected extended business trip). Photocopying Costs/Printing Consumables Non-Vendor/AP Journals – Lazard’s ability to produce color charts, large volumes of reports and certain types of presentation slides is limited by space and mechanical constraints. Photocopying performed internally by Lazard are currently charged at a rate of $0.10 per page for black and white Xerox copies and $.35 per page for color copies. Other rates apply when production services are utilized to create other presentation books and other documents (i.e. the cost associated with the binding various presentation books including tabs, covers, etc.). The table below provides a list of charges per item billed by Lazard’s in-house copy center. These charges

are billed to Lazard’s clients on a monthly basis and are calculated internally by each job dependent upon the amount of materials utilized to complete the job request.

Other – Outside production companies are used for projects that cannot be handled by Lazard’s in-house production capabilities or for jobs that are required to be produced on location while traveling on a client related matter. Any charges for outside production are billed to client at cost. Telephone/Telex/Fax-Usage Cellular Phone Usage – Lazard employees are permitted to use their personal cellular telephones while they are traveling on an as required basis when public telephones are unavailable. Lazard employees are permitted to allocate these charges to clients for reimbursement on a monthly basis dependent upon unusually high client-related usage levels and roaming charges incurred while traveling1. Phone Card and Air/Rail Phone Usage – Itemized charges included in this expense type consist of actual charges incurred for phone card usage and air or rail phone usage while traveling on behalf of clients. Telex/Fax Usage – Charges incurred by an employee for external Fax or Telex usage while traveling are billed to the client at cost. Conference Calls – Lazard customarily bills its clients for actual conference call charges incurred. Lazard employees are encouraged to use our preferred vendors which Lazard has negotiated discounted corporate rates. These charges are billed on a monthly basis by outside vendors and are billed to the client at cost once processed by accounts payable.

Lazard
Local/Long-Distance Calls from Office – Lazard does not bill clients for any local or long distance telephone charges incurred while at the office (with the exception of conference call service charges incurred) nor does Lazard charge for in-house facsimile transmissions. Lazard absorbs these charges in overhead. Temporary Wages - Graphics/ Word Processing Lazard utilizes temporary employment services to efficiently staff the Word Processing and Graphics department on an as needed basis over the weekends and/or after normal business hours or when full-time staff is unavailable or cannot efficiently complete the projects in demand (presentations, memorandums, etc.) due to the various time constraints of any given client matter. Paragraph II. E. 7. of the Guidelines states, “[f]actors relevant to a determination that the expense is proper include the following: . . Whether the expenses appear to be in the nature of non-reimbursable overhead. Overhead consists of all continuous administrative or general costs incident to the operation of the applicant's office and not particularly attributable to an individual client or case.” The Guidelines also state that “Overhead includes word processing...” but as Lazard specifically attributes the costs associated with these temporary wages to each client by requiring request forms with project codes be submitted prior to obtaining services, Lazard bills these temporary help expenses at cost to each relevant client matter and does not absorb such costs as overhead. These items are “particularly attributable to an individual client or case”. Lazard does not bill for the time of full-time staff employed in the Graphics/Word Processing department as such costs are absorbed as overhead, Lazard bills only for the temporary employment wages incurred attributed to specific client matters. Lazard requests reimbursement of these expenses as they are reasonable and necessary given the various time constraints and deadlines which Lazard must meet at the request of the Debtor(s). Travel This expense type includes various travel related expenses incurred on behalf of clients including air/rail, lodging, auto rental and miscellaneous travel charges (i.e. parking, gas, fees, etc.). Air/Rail and Auto Rentals – Lazard has discounted rates with several major airlines and auto rental companies that are preferred carriers when making all travel reservations. Lazard passes these savings onto its clients and bills all amounts at cost. Further, Lazard does not bill its clients in Chapter 11 bankruptcy proceedings any first class airfares; all amounts billed are for the coach and/or business2 fares only. Lodging – Lazard’s employees are requested to make lodging reservations through the firm’s travel department that has preferred hotel rates in most major U.S. cities. Lazard passes these savings onto its clients and bills all amounts at cost. Lazard employees often stay at hotels recommended by clients and/or are convenient to the meeting location.
