SUMMARIZE THE SERVICES RENDERED IN NARRATIVE FORM: On November 4, 2002, June 9, 2003, and January 26, 2004, Dick Thornburgh, the Bankruptcy Court appointed examiner, with the assistance of counsel and the Applicant, filed his First and Second Interim Reports, and Third and Final Report, respectively, in accordance with the Order, dated August 6, 2002, approving his appointment. With the filing of the Third and Final Report, the Examiner and his professionals have concluded their investigation. The Third and Final Report concludes on numerous matters, including WorldCom’s dealings with its investments bankers, the Company’s loans to its former Chief Executive Officer, Bernard Ebbers, Arthur Andersen’s performance in connection with its audits of WorldCom’s financial statements, Tracker stocks, and WorldCom’s state tax minimization programs. In addition, in the Third and Final Report, the Examiner concludes that WorldCom has causes of action against a number of persons and entities that bear responsibility for WorldCom’s injuries. During the application period, the Applicant assisted the Examiner in the following areas:
1. Continuation of the review of the work papers prepared by the Debtors and/or its auditors, Arthur Andersen LLP, that were used in connection with the audits of the Debtors’ financial statements as of and for the years ended December 31, 1999 through December 31, 2001.
2. Continuation of the Investigation of WorldCom’s tax minimization programs.
3. Continuation of the investigation of matters relating to the allocation of IPO shares and
secondary offering shares to Mr. Ebbers.
4. Continuation of the investigation of the facts and circumstances surrounding the Debtors’ loans of more than $400 million to the Debtors’ former Chief Executive Officer.
5. Continuation of the investigation related to tracker stocks.
Specifically, the Applicant has reviewed documentation related to: (i) accounting and financial reporting records; (ii) records related to loans made by the Debtors to Bernard Ebbers, the former CEO of the Debtors, including use of loan proceeds for various business ventures; (iii) documents related to tax planning and strategies; (iv) documents related to communications and dealings with securities analysts, underwriters, and investment banks by the Debtors and certain of its officers, directors and/or employees, including the facts and circumstances surrounding the issuance of IPO’s by various parties to senior management; and (v) work papers prepared by the Debtors and/or its auditors, Arthur Andersen LLP, that were used in connection with the audits of the Debtors’ financial statements as of and for the years ended December 31, 1999 through December 31, 2001. In addition to reviewing the documentation related to the issues identified above, the Applicant interviewed former partners and employees of Arthur Andersen LLP who participated in the WorldCom audits, investment bankers, and employees of WorldCom and partners/employees of KPMG who participated in the tax planning processes. Finally, the Applicant provided the Examiner and his legal counsel with preliminary findings related to the above and causes of action against a number of persons and entities. Such findings have been included in the Examiner’s Third and Final Report that was filed with the Court on January 26, 2004.

This Fourth and Final Application for allowance of compensation of $381,650.25 and
reimbursement of expenses of $60,278.98 by J.H. Cohn LLP, as accountants and financial
advisors to Dick Thornburgh, the Examiner of WorldCom, Inc. (the “Examiner”) for the period
October 1, 2003 through April 20, 2004 and for final approval of fees and expenses from August
26, 2002 through April 20, 2004, is submitted pursuant to Sections 330 and 331 of the
Bankruptcy Code (the “Code”), 11 U.S.C. §101, et seq., Federal Rules of Bankruptcy Procedure
2016(a), the April 19, 1995 Guidelines for Fees and Disbursements for Professionals for
Southern District of New York Bankruptcy cases, and the Revised Guidelines dated January 30,
2
1996 for Reviewing Applications for Compensation and Reimbursement of Expenses filed under
11 U.S.C. § 330, issued by the United States Trustee (the “Revised Guidelines”). Applicant
respectfully represents as follows:
1. J.H. Cohn LLP (“J.H. Cohn”) is a firm of accountants and consultants retained
by the Examiner as his financial advisor.
2. J.H. Cohn’s retention was approved by this Court by Order dated October 29,
2002, nunc pro tunc to August 26, 2002. A copy of the Order (the “Retention Order”) is
annexed hereto as Exhibit “A.”
3. The Retention Order provides that all compensation and reimbursement of
costs and expenses incurred during applicant’s employment be made only after appropriate
application and approval of this Court.
4. Pursuant to the Order Pursuant to Sections 105(a) and 331 of the Bankruptcy
Code Establishing Procedures for Interim Monthly Compensation and Reimbursement of
Expenses of Professionals dated August 13, 2002 (the “Interim Compensation Order”),
Applicant has submitted and filed with the Court Monthly Statements of fees and disbursements
for the period August 26, 2002 through January 31, 2004. A summary of these monthly
statements is annexed hereto as Exhibit “B.”
5. This application seeks allowance of compensation for professional services
rendered to the Examiner for the time period October 1, 2003 through April 20, 2004 (the
“Subject Period”). This application also seeks final approval of fees incurred and costs
expended for the period August 26, 2002 through April 20, 2004.

6. To the extent this Final Application seeks allowance of compensation for the
time period covered by J.H. Cohn’s first, second and third applications, those applications are
incorporated by reference in this Final Application.
7. Applicant values the services rendered during the Subject Period to the
Examiner at $381,650.25. Such amount represents the Applicant’s usual and customary charges
for services of a similar nature performed for other clients of the firm and computes to an
average hourly rate of $309.26. A summary indicating all professionals who rendered services
to the Examiner, their hourly billing rates, the amount of time spent by each individual, the total
dollar value of each person’s time and the overall average hourly rate charged during the Subject
Period is attached hereto as Exhibit “C.”
8. The following is a summary of services provided by J.H. Cohn at the direction
of the Examiner and/or its counsel:
(a) Assisting the Examiner in overseeing the affairs of the Debtor in order to
insure the preservation of all relevant books and records, and
(b) Assisting the Examiner in compiling, analyzing and interpreting the
financial information necessary to prepare his report to the Court.
9. Annexed hereto as Exhibit “D” is a detailed description of the professional
services rendered by J.H. Cohn during the Subject Period, including the date the service was
performed, the identity of the individuals rendering such services, the hours expended by them
and a description of the services performed. The charges associated with such services during
the Subject Period based upon J.H. Cohn’s standard hourly rates amounted to $381,650.25.

10. J.H. Cohn also incurred necessary out-of-pocket expenses in the sum of
$60,278.98 during the Subject Period related to the aforesaid services, which are summarized on
Exhibit “C” attached hereto.
WHEREFORE, J.H. Cohn LLP respectfully requests that this Court approve its Fourth
and Final Application For Compensation as Accountants and Financial Advisors to the Examiner
of WorldCom, Inc., as follows:
(i) For allowance of compensation for professional fees in the amount of
$381,650.25 for the period October 1, 2003 through April 20, 2004;
(ii) For reimbursement of necessary out-of-pocket expenses in the amount of
$60,278.98 for the period October 1, 2003 through April 20, 2004;
(iii) For final approval of compensation for professional fees in the amount of
$6,542,160.75 (less $174,209.30 previously agreed-upon reduction); for
the period August 26, 2002 through April 20, 2004;
(iv) For final approval of reimbursement of out-of-pocket expenses in the
amount of $651,923.76 (less $8,788.48 previously agreed-upon
reduction); for the period August 26, 2002 through April 20, 2004; and,
(v) Directing payment of unpaid and “holdback” fees and expenses totaling
$760,437.98, as more fully detailed on Exhibit “B” annexed hereto.

3. No agreement has been made by J.H. Cohn or on J.H. Cohn’s behalf, either
directly or indirectly, and no understanding exists (other than among partners of the firm) in any
form or guise with any person or entity for the division of fees or compensation herein requested
by J.H. Cohn.
4. The expenses incurred by J.H. Cohn for which reimbursement is requested in
this Application for compensation were reasonable, necessary and proper in furtherance of the
duties and functions of J.H. Cohn as accountants for the Examiner, and not incurred on behalf of
any other person. The expenses incurred include only ordinary and necessary costs and
telephone charges and exclude any and all charges for sustenance so as to effectively avoid
charging the estates for luxury accommodations or meals.
5. I am the Certifying Professional responsible for J.H. Cohn’s compliance with
the Guidelines and the Revised Guidelines. I have read this Application, and to the best of my
knowledge, information, and belief, formed after reasonable inquiry, it complies with the
Guidelines and Revised Guidelines.
6. To the best of my knowledge, information, and belief, formed after reasonable
inquiry, the fees and disbursements sought fall within the Guidelines and the Revised
Guidelines.
