MINUTES OF THE 2014 FALL CONFERENCE MEETING Saturday, 27 September 2014 Sarasota Hyatt Hotel - Sarasota Florida CALL TO ORDER: The Conference was called to order at 1407 by D/C Myles Gee, SN D/C Gee reserved the right to change the order of business and called for the presentation of colors by the D22 Color Guard. Barber, SN gave the invocation and memorials INTRODUCTIONS: D/F/Lt Thomas Krupa, AP introduced the Chief Commander’s Representative V/C Louie Ojeda, SN, National Education Officer’s Representative R/C Steven R. Abbott, SN, District Bridge, Assistants, Past District Commanders, Chairman Rules, Chairman Auditing, Chairman Nominating, Past Rear Commanders and National Officers of USPS. He asked all other past National and District officers to stand and be recognized. . ROLL CALL OF SQUADRONS AND VERIFICATION OF A QUORUM: D/Lt/C Sandra Krupa, P called the roll and verified that a quorum was present. All squadrons were present, with a total of 129 squadron delegates. MINUTES OF THE SPRING CONFERENCE 2014: The minutes of the Spring Conference were approved as submitted. REMARKS BY CHIEF COMMANDER’S REPRESENTATIVE: V/C Ojeda presented a power point from the Chief Commander, noted that USPS needs to do a better job of marketing itself to the public as the best in educating boaters. He then addressed issues brought up during the Commanders Meeting: Courses offered by competition – our courses are the best – give the students ‘training’ not a race thru the book – give the 7 week course – include charting supplies – increase the cost making it “Value Added”; Sale of book on Amazon – found that the books are out of date, not sure how they obtained them as USPS is not involved; Insurance questions - reviewed steps on the website to obtain answers to Insurance questions; and National website - update is starting over as previous company did not perform. FREEDOM BOAT CLUB MESSAGE: Jim Cull of Freedom Boat Club explained their program and history.

REPORT OF THE CONFERENCE COMMITTEE: D/C Gee noted the absence of Conference Committee Chair P/R/C Charles Troike, N due to illness and thanked everyone for helping to make this conference a success as both the room and meal counts will be met. He further stated that both of next years conferences will be held at the Sheraton Hotel in Tampa, Spring on 16-19 April 2015 at the rate of $122 per night and the Fall on 15-18 October 2015 at the rate of $109 per night.

EDUCATIONAL FUND: P/D/Lt/C Earl J. Mummert, AP stated that the Education Fund is in good shape and encouraged squadrons not on National billing, to do so.

SUMMARIZED REPORTS OF DISTRICT OFFICERSDistrict Treasurer – Report on file with District Secretary. Reviewed the financial report, which is included in the seat packet.District Secretary – Report on file with District Secretary. Thanked committee members for their work, especially P/D/C Alta Mullins, SN and D/1/Lt Carol Einhart for gathering delegates. A copy is included in the seat packet.District Administrative Officer- Report on file with District Secretary. A copy is included in the seat packet. Pointed out savings incurred by District’s purchase of audio and visual equipment.

AUDITING COMMITTEE REPORT OF THE FISCAL YEAR: P/D/C Herb Schneider, SN In accordance with District 22 Standing Rules, Section 2.1.2 the Audit Committee has reviewed the financial reports for the 2013-2014 fiscal year and based on a sampling of supporting documents and receipts, believes the financial statements are presented fairly, in all material respects. P/D/C Schneider made a motion to accept the report, this was seconded voted on. Report was accepted

FINANCIAL REPORT FOR 2014 SPRING CONFERENCE: D/Lt/C Richard E. Clemm, AP reported that his report was in his seat packet.

AUDITING REPORT OF 2014 SPRING CONFERENCE: P/D/C Schneider, in accordance with District 22 Standing Rules, Section 2.1.2, the Audit Committee reviewed the financial reports for the 2014 Spring Conference and based on a sampling of supporting documents and receipts, believes the financial statements are presented fairly, in all material respects. P/D/C Schneider made the motion to accept the report, this was seconded voted on. Report was accepted.

PRESENTATION OF THE 2015-2016 BUDGET: Stf/C Wayne Partie, SN presented the 2015-2016 balanced proposed budged as accepted by the Council. Total budget is $44,110. Stf/C Partie moved to accept and seconded. P/C Sami Lucas, made a motion that the funds earmarked for the Beacon ($1,300) be transferred to the Commander’s Travel to help offset costs, was seconded and approved. Amended Budget was then Voted on and Approved and attached herewith.

AWARDS COMMITTEE REPORT: P/D/C James Keil, AP stated that the Awards Committee recommends the approval of the Proposed Amendment to Standing Rule 3.2.2 which is included in the seat packet.

AUDITING COMMITTEE REPORT: P/D/C Schneider recommended changes to Financial Procedures as shown in the Audit Committee recommendation in the seat packet.

RULES COMMITTEE REPORT: Rules Committee Chair, P/D/C William C. Lucas, SN reviewed the proposed Amendment to Standing Rule 3.2.2 – Flag for Educational Excellence: change requirement to excel three of the four categories, and adding the forth category of d.) Excellence in Seminars- for having a total twelve month seminar attendance of at least one attendee for every three members as recorded by the annual report of the National Education Department on the previous 30 June. P/D/C Lucas moved for the approval, motion was seconded and passed. The D22 Rules Committee recommended and the chair moved for the deletion of Standing Rule 1.12, the collection by D22 of dues for new members as the funds do not cover the costs involved in collection, motion 2 nd and passed.

NEW BUSINESS: Planning Committee Chair, R/C Gregory T. Scotten, SN reported that the District is seriously discussing

plans for a one day Fall Conference which would move around the District. The day would consist of roundtables/workshops in the morning, followed by the awards luncheon, then the Conference during the afternoon. The committee is looking at various venues which would accommodate the concept, along with reasonably priced hotels in the area where members could stay, if they so wish. The Commander and Council Meetings would be held approximately one month prior to the Conference. The asked for suggestions for seminars which could be held in locations more convenient to members of each area of the District. ANNOUNCEMENTS: D/C Gee asked for any announcements:

1. Cdr Rossini of Crystal River announced that there would be a memorial service for his wife, Julia at 1600 on Saturday, 4 October at the Squadron Building.

2. Cdr Jan Keller of Boca Ciega invited members to attend an OT class at their building on 11 October3. D/C Gee then made the following announcements:

a.) Thanked the Conference Committee, Color Guard and Photographer Lt Garry Stubbs, S, for taking the pictures this Conference.

b.) Reminded members about the upcoming C&R at Little Harbor 6-9 Novemberc.) Noted the following dates to save - Officer Training Class 17 January and DB2000 Class 28 March at Sarasota’s Buildingd.) Noted the last page of the seat packet has information for a District cruise November 2015

It seems like it’s only been weeks since I was sworn in as your District Commander, that’s how fast time is going. As I said at the change of watch that I was from Detroit and blue, that I would roll up my sleeves and work as hard for each and every one of you. I am hoping that you have recognized that so far. And yes there is plenty of work yet to be done.

None of this work can be done by one person; you and I have a great Bridge and also so many dedicated members behind the scenes doing the bulk of the work. I am so proud of being part of this great organization. The Bridge has had two Bridge meetings, audit committee meetings, budget meeting and conference meetings along with hundreds of emails. Again I repeat there are many dedicated members involved. Thank you. We unfortunately had two resignations amongst our ranks, P/D/C Alta Mullins, SN from the Rules Committee and our DXO Vic Stewart, SN. I applaud both of them for their work and continued work and support to District 22 and their home squadrons. This past summer I received a call from DAO Warren Maciag telling me that Lee County School system was auctioning off Audio/Video equipment and he and Margie had purchased some of the equipment for Cape Coral squadron. Well it didn’t take us long to decide to purchase six Epson projectors, five 100” screens and then thru P/C Charlie Brunner the purchase of a stand-alone speaker system and two extra wireless microphones and so far all for less than our usual rentals at our conferences. Yes, we (District 22) owns the equipment - no more $1500 to $2400 rental fees at each conference. Yes your squadron can borrow the equipment. Thank you to Cape Coral and Sarasota squadrons for each storing part of the equipment. Well over 30 District 22 members traveled to Arlington, Va. For the annual Governing Board meeting where we all attended various meetings and seminars. Connie Beckman and I attended the D/C-DXO meeting, where the Chief Commander asked for volunteers to attend an advisory board meeting in Jacksonville, I threw my name in the hat along with several others but was unlucky as another district commander’s name was drawn.

It was interesting to find out the average aged person taking the ABC 3 class was “48-49” either in person or an on-line student, average age that took Seamanship was “56”. You are going to see two things happening in the education department; U.S.P.S. will offer un-proctored tests (where allowed) in the future and there will be a 10% across the board increase on all educational material except for the ABC 3 book.

Eventually we will see a web-site change and the OD-1, OD-2 forms should be available in a few months on the web site along with or besides our usual DB2000. On Saturday at the Governing Board meeting there was a vote raising the National dues by $2.00 per individual and $3.00 per family, not a big deal and maybe they should have raised it last year and a bit more than what they did this year.

District 22 Squadrons did very well again with the following national awards:Sarasota Power and Sail Squadron - 3rd place for the Membership Involvement Retention Award “MIRA”

Peace River Sail and Power Squadron - 1st place Charles F. Chapman Scrap Book AwardCrystal River Sail and Power Squadron - 1st place the Roger Upton Award

Naples Sail and Power Squadron - 1st place the Public Service Announcement Awardall of these are national awards. Bravo to our squadrons.

I would like to thank everyone that worked so hard at this conference especially your Chairman P/R/C

Chuck Troike, SN and his entire team. Thank you Sandy Krupa for the fun nights and to Julie McGarr for our great dinner choices. I also need to mention a couple of other people that have helped me since I started on the district bridge, when I need something special with nothing but a pat on the back they are there for me, D/Lt Charlie Brunner, SN, P/C Larry Beverage, AP and P/D/C Greg Scotten SN.

Don’t forget the District C&R at Little Harbor 6-9 November hosted by; Manatee, Sanibel-Captiva, Venice and Naples Squadrons. I’m honored to be selected to serve as your District Executive Officer but am saddened by the circumstances that caused my selection to occur.

The District 22 Executive Department has been busy at work. All the current committee chairmen are asked to remain in place and I will be touching base with them to be sure that District 22 is following National guidelines and objectives.

It is easy to see that the Vessel Safety Examiners have been busy at work. District 22 is only 78 vessel examinations short of the 2013 total with eight less examiners. I’m asking every squadron to add one new examiner, and by doing so we will surpass our total examinations of 2013 since every new examiner must perform five vessel checks to qualify.

Our Public Relations Committee is keeping our squadron PROs informed via the “Keeping Up” Newsletters from National with valuable squadron ideas and ‘how to’ articles and as usual, the Cooperative Charting Committee is leading District 22 toward becoming one of the best in the Nation.

I’m asking each Executive Department Committee to keep up the good work and to move forward with its plans while keeping us informed.

One of the DXO’s most enjoyable tasks is the responsibility for general supervision and coordination of squadron activities within the district, so I am asking each squadron commander to inform me of any developments having a District or National importance and please let me know of any important operational problems that may occur.

Each squadron commander can also expect a one page monthly newsletter from me with any information needed to grow our squadrons and meet National and District deadlines.

First, let’s look at our accomplishments over the past educational year. Your district scholars successfully completed 232 Advanced Grades (83S, 77P, 38AP, 16JN, and 18N). In addition 119 Electives (34CP, 22EM, 20D,

4ME, 21Sail, and18WX) were added to our members’ records for a grand total of 351. We can be proud that 12 of our colleagues will be presented with Educational Proficiency (first three advanced grades plus three electives) certificates and six more will receive the Educational Achievement Award (SN). On the other side of the coin, we still have 1404 without any grade and 1341 (out of 2929) who have not completed a single course. We’re doing well but there is room for improvement

The big news this year is the introduction of the Virtual Trainer, a boat simulator. I’m sure most of you have seen it here. The value as both a training aid and a public relations attention getter is enormous. Five units are now available and a further grant from the US Coast Guard will provide seven more for a total of thirteen within a short time. Further enhancements are in the works which will provide 360 degree visual and other improvements. The new program will be retrofitted to the present units so all will be identical. If you want your own unit, members can buy one for $14,500.00.

The online offering has expanded with the addition of a new seminar “Weather for Boaters-A Boater’s Guide for Forecasting Winds and Storms”. Cruise Planning should be available by years end. A new offering for members is available from the catalog, “Crossing Boarders”, details regulations and procedures focusing on Mexico, Canada, and most importantly for us, the Bahamas. For anyone interested in obtaining a Coast Guard Captain’s license, USPS has an agreement with Mariner’s Learning System offering courses at a significant discount. The Six-Pac course for example can be purchased for $535.00. Their products are available from the National Ship Store.

Other changes are in the works. National will probably be charging a $10.00 registration fee for all courses and seminars. The reason given is too many are not purchasing the printed material, thus not paying their way. Those who purchase the material will be able to do so for $10.00 less, thus incurring no additional cost. That being said, expect a 10% price increase shortly anyway to cover a budget shortfall.

The past few months have been a learning experience as your new District Secretary. Getting everything ready for this, my first Conference has given this conference and supporting packets you are looking thru a whole new appreciation when the responsibility falls on your shoulders.

We had a couple Bridge Meetings during the summer to discuss District business. One item was mailing of the Beacon. The Beacon is posted on the D22 website. Almost all the squadrons include a copy when sending their newsletters via email. A few squadrons submitted requests for reimbursement to mail the Beacon to their members. After much research, we found nothing setting out the authorization for this payment . Be advised that the reimbursement to squadrons to mail the Beacon is now discontinued.

The easiest part of my job has been running the Secretary Department as each committee member is more capable and better at their jobs than I could ever be. I would like to take this opportunity to thank the following for their dedication:

Existing D22 Standing Rule 3.2.2 - Flag for Educational Excellence:

Awarded at the fall conference to each squadron that excelled in each of the three following categories during the previous year ending 30 June:

a.) Excellence in USPS Public Boating Courses- for graduating at least one student for every three members as recorded by the annual report of the National Education Department on the previous 30 June; and,

b.) Excellence in Advanced Grade Courses- for having at least six percent of its eligible members pass Advanced Grade Courses as recorded by the annual report of the National Education Department on the previous 30 June. Eligible membership shall be determined by subtracting from the total number of members reported in that report, the number of members holding the grade of Navigator as reported in the annual report a year earlier on 30 June.

c.) Excellence in Elective Courses- for having at least six percent of its eligible members pass Elective Courses as recorded by the annual report of the National Education Department on the previous 30 June. Eligible membership shall be determined by subtracting from the total number of members reported in that report, the number of members holding "Education Achievement" Awards as reported in the annual report a year earlier on 30 June.

Flags for Educational Excellence may be displayed by qualifying squadrons at all official squadron and district meetings, at rendezvous and at other gatherings of squadron members, but must be returned to the district educational officer prior to the next fall district conference [Conf Oct 09].

Proposed Amendments to D22 Standing Rule 3.2.2 - Flag for Educational Excellence:

Auditing Committee Recommendations

To: D-22 Council and D-22 Conference

The Auditing Committee is responsible to determine, in its opinion, based on a sampling of supporting documents and receipts, whether the District 22 financial statements are presented fairly, in all material respects. The

committee’s role includes the responsibility to make recommendations concerning the correction of deficiencies in current practices, and improvements in practices to better reflect the financial condition of the District.

The Auditing Committee recommends the following actions as the result of auditing the 2013-2014 fiscal year financial statements:

. Change the D-22 Bylaws to eliminate the collection of D-22 dues for new members (eliminate Standing Rule 1.12).

. The D-22 Treasurer currently reimburses several squadrons for the distribution of Beacon 22. No authorization to reimburse squadrons currently exists in the D-22 Standing Rules. If the District Bridge wishes to continue this practice, the Auditing Committee recommends that the Rules Committee draft a Standing change to authorize the reimbursement, including the formula to calculate the amount of the reimbursement. . Correlate the Ship’s Store physical inventory with financial statements at the start and the end of each fiscal year (1 April and 31 March respectively) and reconcile the change of inventory valuation and the income and disbursements from the Ship’s Store accounts during that fiscal year. The actual physical inventory should be conducted by two people and each should sign the inventory document.

The Rules Committee Response to Proposed Rules:

1. The Rules Committee finds that the change for Existing Standing Rule 3.2.2 as requested is in proper form and order.

2. Current Situation:The District 22 Standing Rules require the treasurer to bill the Squadrons for new active members twice per year as follows:1.12 – District assessments for new active members joining a squadron shall be payable to the district treasurer semi-annually. The 2 billing periods are from 1 December to 31 May and 1 June to 30 November. The district treasurer will prepare billing subsequent to the close of business dates of 31 May and 30 November, by querying the District 22 database by certificate date, that is, dates inclusive within the billing period. Squadrons will remit funds to the district treasurer upon receipt of the billing. Assessments for additional active members shall be one-half ( 1/2 ) the assessment for active members.Considerable manual effort and related expense is required by the district and squadron treasurers to fulfill the requirements of Standing Rule 1.12. Subsequent billing for new members is completely automated. The USPS

headquarters organization issues electronic funds transfers (EFT) monthly, deposited directly into D-22’s bank account. No manual effort is required.To comply with the requirement of Standing Rule 1.12, every six months the district treasurer must manually search the National Dues Reporting System records to determine the correct billing for each squadron; prepare and mail the billing statement; follow up with squadrons that do not comply in a reasonable time period; and when funds are received, record the receipts and physically deposit the checks in the D-22 bank account. The squadron treasurer must handle the bill by seeking approval to pay from the squadron executive committee and prepare and mail the check to the district treasurer. If not done within a reasonable time, the squadron treasurer must respond to reminders by the district treasurer. Expenses include the cost of billing and related paperwork and the mileage required to physically mail the documents and deposit the checks. Analysis:A total of $1095 was collected from the 18 squadrons during fiscal year 2013-2014.The cost and time required by the district treasurer to perform these duties for eighteen squadrons and each of the squadron treasures to comply appears to be out of proportion to the benefits. The district and squadron treasurers have many requirements that they must fulfil, making it increasingly difficult to recruit candidates for these positions. Eliminating activities that do not have a high return in terms of benefits to the organization would seem to be a prudent course of action.
